The package includes inclusive access to all Schudio Website Features released during your 3 Year ‘subscription’. When we add new features they will be made available in your account. Any products which are not related to the Schudio Website System may be chargeable but every feature we build specifically for the Schudio Website System will not incur any additional charge.

1. Initial website set up 1.1

Schudio Ltd will:

• Consult with you to decide which of our web site themes suits you best • Set up your account, install your logo, change any colours on chosen theme to match your • • • • •

branding Transfer all current web site content (to be agreed before commencement of works) Advise on site structure and content Setup Schudio App logo, background and About Us content Liaise with domain administrator to repoint domain to new website Provide training for up to 3 members of staff on the use of Schudio CMS at our training venue in Lancashire. (additional charges apply if on location)

2. Client Requirements 2.1

Google Chrome is our recommended web browser for administering content using the Schudio CMS. While the vast majority of features in the system do work on Internet explorer, it is not supported due to a lack of compliance with web standards.

2.2

In order to complete set up of your new school web site we will require the following to be provided at the earliest opportunity.

Your logo in high resolution A selection of high quality, landscape photographs for homepage 3/4 upcoming events, including image, title, times / dates and content 3/4 recent news articles including image, title, content Confirmation of site structure (if different from current site) Confirmation that all content on site to be transferred is ready to be transferred If we are transferring new content, not from a current site. This should be word processed with clear structure and passed to Schudio Ltd at the earliest opportunity. Content transfer will commence when this has been received in full.

If the information is not provided we may not be able to complete your web site as quickly as we would usually aim to.

3. Contract 3.1

The terms and conditions contained in this SLA apply to all Schudio Ltd customers unless agreed in writing to the contrary. Schudio Ltd reserves the right at all times to vary, change, alter, amend, add to or remove any of these terms.

4. Lead Time 4.1

We will aim to have your new school website live within 6 weeks but no later than 8 weeks after commencement date.

4.2

Exclusions to this include, but are not exclusive to, site builds that include bespoke development. In this case lead times and deliverables schedule will be agreed with the client on commencement of works.

4.3

Where there is additional development required lead times are targets and cannot be guaranteed due to the flexible nature of online development.

4.4

Should we expect to be unable to deliver additional development by a target date, Schudio Ltd will keep the client well informed and provide regular updates on progress.

5. Renewal 5.1

Renewal of all Schudio Ltd website subscriptions will automatically occur unless notice of cancellation is provided in writing to Schudio Ltd by the client no less than 30 days from the renewal date.

5.2

The renewal date is 3 years from the commencement date. (Date of SLA signature or commencement of works - whichever is first).

5.3

At the renewal date, clients will be offered an optional complimentary upgrade of their website theme. This is included in the renewal of the subscription and will not incur any additional cost unless the client requires any level of bespoke design.

5.4

Should the client require amendments to the design or a change of theme before the renewal date this may be chargeable at the discretion of a Director of Schudio Ltd.

6. Bespoke Design 6.1

Bespoke design refers to any customisation work that includes additional development.

6.2

Costs for bespoke design will be detailed after specification in a quoted price for the additional work. Design amends requested after the scope of work is agreed will be chargeable at an additional cost. Additional costs will be calculated on an hourly rate of £50 + VAT per hour. 

7. Hosting 7.1

Website hosting is provided on UK based servers, subscribed to and paid for by Schudio Ltd.

7.2

The Server is installed and operated in the UK. You will have no right of physical access to the Server or the space.

7.3

We shall have no liability for any loss or damage to any data stored on the Server.

7.4

You acknowledge that, We cannot guarantee that the server will be free from defects. Nor can we guarantee that it will operate uninterrupted or without failure. We shall use our reasonable endeavours to make available to you at all times the services but Schudio Ltd shall not, in any event, be liable for interruptions of service or downtime of the server and we shall be under no liability for non-receipt or misrouting of email or for any other failure of email.

7.5

Should Schudio Ltd become aware of a server fault, we will at our option repair the server or provide an equivalent server as a replacement as soon as practicably possible.

8. Copyright 8.1

The source code of all website web pages remains the intellectual property of Schudio Ltd and may not be copied and used by any other party without the consent of Schudio Ltd.

8.2

All scripts, css and included files used within customer websites remains the intellectual property of Schudio Ltd and may not be copied and used by any other party without the consent of Schudio Ltd.

8.3

The stored procedures, functions and triggers programmed in to SQL Databases remain the intellectual property of Schudio Ltd and and may not be copied and used by any other party without the consent of Schudio Ltd.

8.4

All customer logo images, images unique to the customer, i.e. of their premises, workforce and their business, plus all written copy, belong to the customer and are covered under their copyright. Schudio Ltd will not reuse customer written content or images without the express permission of the customer.

9. Website Services 9.1

Schudio Ltd will offer to customers third party services such as those offered by Google to enhance the performance of their websites. Schudio Ltd may include in quotations the setup and maintenance of such third party services. Schudio Ltd will not be liable to the customer for any interruption, non-performance, or cancellation of the provision by third parties of any such services.

10. Fixed Price Quotations 10.1 Whenever possible Schudio Ltd will provide customers with a fixed price quotation and detailed specification for a project.

10.2 Items omitted or added to the specification that accompanies a fixed price quotation will be treated as variations in accordance with clause 6.

10.3 Schudio Ltd will provide quotations in writing by email to customers, which will include access to this SLA. Acceptance by a customer of an Schudio Ltd quotation is subject to acceptance of the terms and conditions in this SLA, unless specifically agreed in writing between the Customer and Schudio Ltd to the contrary.

11. Variations 11.1 The value of work included in a fixed price quotation specification that is omitted will be valued and deducted from the final project sum.

11.2 Work that is in addition to that detailed in a fixed price quotation specification will be valued and added to the final project sum.

12. Invoicing & Payment 12.1 Schudio Ltd standard payment terms are 14 days from the date of invoice. Invoices are issued at commencement of work.

12.2 Schudio Ltd will specify within estimates or quotes how a project will be invoiced. Large projects may be split into a number of monthly interim invoices plus a final invoice on completion.

12.3 Schudio Ltd reserve the right to withhold assets (including logo designs etc), take websites offline, decline to make websites live, or immediately and without notice cease work until any and all invoices are settled.

13. Damages 13.1 Unless expressly agreed in writing to the contrary Schudio Ltd do not have any liability to the client for any delays in completing a project.

13.2 Schudio Ltd do not have any liability for the performance of a website, database or any other entity/service developed/setup for the client.

14. Ongoing Support & Incident Handling 14.1 Support is provided explicitly for Schudio products. Exclusions from support include, but are not limited to image or document editing, content curation and internal network configuration.

14.2 Maintenance of content is not covered under the Schudio CMS support package. For example ongoing addition of new content, changing existing content, etc.

A chargeable content maintenance contract is available - ask for details if required.

14.3 Clients who require support using the Schudio CMS should initially refer to the comprehensive knowledge-base located before submitting a support request.

14.4 All support requests should be submitted and updated via our online support system.

Support requests submitted via phone will, at the discretion of all Schudio Ltd staff be directed to the online support system to ensure accurate support tracking and recording.

14.5 All reported incidents will be assigned a number for reference. The Point of Contact will classify the incident’s Impact Level. However, the 2nd party may present its views on the same. The decision of POC from 1st party will be final and binding.

14.6 Incidents shall be addressed as per the incident severity grid below, target response or resolution times shall be the guidance for resolving issues but are not guaranteed.

15. Force Majeure 15.1. We shall have no liability to You in respect of anything which, apart from this provision, may constitute a breach of this Agreement arising by reason of force majeure which means, circumstances beyond our reasonable control including acts of God, acts of any governmental or supranational authority, war or national emergency, riots, civil commotion, fire, unauthorised use or access to the IT systems, explosion, flood, epidemic, strikes and other industrial disputes (in each case, whether or not relating to Our workforce), restraints or delays affecting shipping or carriers, inability or delay in obtaining supplies of adequate or suitable materials and currency restrictions.

16. Complaints Procedure 16.1 Informal procedure Anyone who experiences a problem with their web service provided by Schudio Ltd should raise the matter directly using our online contact form to do so, giving sufficient information to locate the material (such as a url) and clearly outlining the grounds for complaint.

Schudio Ltd will approach the individual responsible for the material in question with a view to resolving the matter to the satisfaction of the complainant.

16.2 Formal complaints procedure The formal complaints procedure should only be used where the complainant feels that the nature of the complaint is too serious to be dealt with informally, or where a satisfactory conclusion has not been reached after following the informal procedure.

A formal complaint should be made in writing to Schudio Ltd, who will acknowledge receipt and ensure that the matter is looked into as soon as possible. An initial response to any complaint can be expected within seven days of its receipt; a full and considered response to the complaint should be completed within 30 days and any subsequent remedy implemented with the minimum of delay.
