APEX Did everyone enjoy the club activities this year?! Whether you attended a driving event, social event, or both I hope you enjoyed your time with other Porsche enthusiasts. Do you have an idea for an event? Or want to get learn what will be planned for next year? If so, please come to the planning meeting on Saturday, December 2, at 1PM at the Urbandale Public Library in Meeting Room B. All are welcome to attend! This month’s Spinner will also have the proposed revision of the Schonesland By-Laws. PCA suggests region by-laws be reviewed every 5 years and we were due! The board has proposed the following revisions. The changes are noted by highlighting with the original lined out. Some of the major proposed revisions are listed below. 1. Removed the umlaut from Schonesland. Some spellings have it while others do not. To avoid further confusion, we are proposing to remove the umlaut from the By-Laws. 2. Article IV, Section 2: Revision of membership classes to align with national membership classes. 3. Article VI, Section 1: Increase of the board member term from one year to two years. (We have been having two-year elections for a several years now.) Also changed he pronoun to member. 4. Article VII: Wording more concise. 5. Article IX: Updated the nominations and elections with de nite timelines and voting methods. 6. Article XI, Section 1: Increase the dollar amount that needs pre-approval by the board. 7. Article XII, Section 2: Created a section for an inventory of the Club’s tangible assets to be maintained. You will be getting a SurveyMonkey to record your approval or disapproval of the revised By-Laws in early November. RECAP Yes, the Fort Dodge Drive is an annual event. But, it also is one of the most popular. 31 cars made the drive this year. The roads were wet and covered with freshly washed gravel from an early morning rain. Parke Adamson summarized the event succinctly. He said mater-offactly, “My car has never been this dirty”. And so 2023 went. We found rain and wet highways from Wisconsin to Arkansas

How do you follow an inaugural 2022 tour to Red Wing, Minnesota in 2023? Make it a day longer, pack in more activities for members to choose from (or not) and o er some spectacular roads for Porsche driving pleasure. Red Wing 2023 gave 44 Schoneslanders a chance to nd out.

The concept for this trip was to o er some options for participants other than driving all day. Maybe throw in a few activities and suggestions for points of interest in the area for the group to visit together or individually- or to do nothing but relax, do a little shopping, check out a museum or the casino. And, now that we have Ride With GPS, those who wish to do more driving, could do so on their own. Since only a hotel reservation was required for this trip, members were not bound by prepaid dinner reservations, making it possible to join and leave the group as needed to t their work/life schedules and preferences during the trip.

Thursday mid-morning saw a little over 20 cars depart from Ames and Ankeny for a quick dash to Clear Lake, where we met for lunch at The Other Place. After lunch we split into two groups, and wiggled our way up the two-lanes in southeastern Minnesota. North of Austin, the roads became more and more fun all the way to Red Wing. After check-in at the historic St James Hotel, cocktails and dinner were a block away at the Dugout Lounge. Some late-comers joined us here to round out the group at 44 members for the next day. On Friday morning we gathered for a day-long drive across the river into Wisconsin. By all accounts, the big surprise (besides the rain) was the morning pit stop at the Stockholm Pie and General Store in Stockholm, WI. www.stockholmpie.com

Now, our pit stops normally last 20 minutes-but not this one. The rst group got there right at 10 am and nobody in either group left until they had a piece of homemade pie and ice cream and did some shopping. At least an hour went by before we could saddle up and move on. Lunch was in Eau Claire, WI at the Shanghai Bistro. Great Asian dishes and sushi were had by all. We were treated to great weather for the afternoon drive with roads that were classic “Wisconsin”- curvy, hilly, scenic, and plentiful with fall’s full palate of colors. When we arrived for cocktails and dinner at The Jewel Golf Club in Lake City, MN it seemed that everyone was happy with the day’s tour and ready to-you guessed it!- eat again.

Saturday morning began really early for pastries and co ee from Hanisch Bakery-Minnesota’s legendary bakery, then o to the Auto Motorplex in Chanhassen, MN to stage our cars for the German auto Cars and Co ee. This is a very large Garage Condo Complex for car collectors to house and share their collections with others. One Saturday per month they invite the public in for a Cars and Co ee to raise funds for various charities.

Our hosts, Nord Stern Members Bret Bailey and Laura Catania own a beautiful garage here and invited us to park our cars in front of theirs and their neighbors’ garages. We had a thoroughly wonderful Saturday morning, drifting from garage to garage, meeting some very interesting owners and taking in some very incredible cars and auto memorabilia. For the afternoon, Schoneslanders scattered to check out other attractions nearby. Four blocks from the Motorplex, many of us took guided tours of Prince’s Paisley Park, which was his residence, recording facility and rehearsal sound stage. It is now a museum, operated by his family foundation. The guy was a genius and a workaholic who died way too soon. Just a couple miles away is world-famous U of Minnesota Arboretum, which some other members visited for the afternoon. The reports were very positive for this attraction as well. After Saturday’s events, a few members returned directly home to Central Iowa and the rest of us returned to Red Wing for one last dinner at Smokin’ Oak BBQ and Rotisserie. It was an early night for most of us after such a big day. Sunday saw everyone return to Central Iowa on their own-some taking the express route and others taking a variety of scenic, longer routes for more driving pleasure - and some for more pie!

Proposed Revision of the Schonesland By-Laws BY-LAWS Schönesland Schonesland Region Of the Porsche Club of America (Revised: October 10, 2023) ARTICLE I - Organization and Principal O ce The name of the club shall be "Schönesland Schonesland Region" (the Club). The Club shall be organized and operated as an Iowa nonpro t corporation, a social club under section 50l(c)(7) of the Internal Revenue code, and a regional club of the Porsche Club of America, Inc. (the National Club) under the charter granted thereby on June 23, 1967. The principal o ce of the Club shall be located at the residence of the presiding President of the Club. ARTICLE II - General Objectives The general objectives of the Club, to which its members are joined together and mutually pledged, shall be the furtherance and promotion of the following: A. The highest standards of courtesy and safety on the roads. B. The enjoyment and sharing of good will and fellowship engendered by owning a Porsche and engaging in such social or other events as may be agreeable to the membership. C. The maintenance of the highest standards of operation and performance of the marque by sharing and exchanging technical and mechanical information.

D. The establishment and maintenance of mutually bene cial relationships with the Porsche Works Porsche Cars North America (PCNA), Porsche dealers and other service sources to the end that the marque shall prosper and continue to enjoy its unique leadership and position in sports car annals.


E. The interchange of ideas and suggestions with other Porsche Clubs throughout the world and in such cooperation as may be desirable. F. The establishment of such mutually cooperative relationships with other sports car clubs as may be desirable. ARTICLE III- Powers, Corporate Seal, and Badge The Club endorses the national Porsche Club of America's By-Laws Article III Powers, Corporate Seal and Badge. ARTICLE IV- Membership, Dues, and Privileges Section 1 – Membership Membership in the Club shall be restricted to owners, lessees, and co-owners of Porsches who are 18 years of age or older, and to such other persons interested in the Club and its objectives as provided in section 2 of this article. Section 2 - Classes of Membership The classes of membership are consistent with the current National Club ByLaws (dated October 2014) copied below. A. ACTIVE – Any owner, lessee or co-owner of a Porsche acceptable to a Regional Club, who is 18 years of age or older, having paid Club dues and fees as required. B. FAMILY-ACTIVE - An individual requested by an active member as his or her family- active member, restricted to persons 18 years of age or older, whether otherwise quali ed for active membership by ownership of a Porsche or not.

C. ASSOCIATE – Any active member who ceases to own, lease or co-own a Porsche while in good standing, or any person, employed by a Porscheoriented business, interested in the Club and its objectives having paid Club dues and fees as required. A person of the associate member’s family who has been a family-active member as in (B) above, may continue as a familyassociate member similarly.


D. HONORARY – Any person who, on the a rmative vote of the Executive Council Board, is deemed to merit recognition for outstanding interest in or service to the Club. Such membership shall be limited to one year, but may, upon the a rmative vote of the Executive Council Board be renewed. E. LIFE – Any person who, on the a rmative vote of the Board of Directors, is deemed to have performed such extraordinary service to the Club as to warrant this singular honor. Each National President, upon termination of the President’s elected term, shall automatically be a life member without such vote. A life member shall be considered as an active member, may name a family member under (A) above, and the Regional Club refund under Section 6 shall be made by the Club in the amount refunded for an active member. F. AFFILIATE MEMBER – A person, 18 years of age or older, named by the active member at the time of joining or at any renewal of membership in lieu of a family-active member. A. Active - Any owner, lessee, or co-owner of a Porsche, acceptable to the Board of Directors, who is 18 years of age or older, having paid dues and fees as required, and may include (if requested by the active member) as a familyactive member, one other person of the active member's immediate family, also 18 years of age or older, restricted to wife, husband, brother, sister, son, daughter, mother or father, whether otherwise quali ed for active membership by ownership of a Porsche or not. B. Associate - Any active member who ceases to own, lease or co-own a Porsche while in good standing, having paid dues and fees as required. A person of the associate member's family, who has been a family-active member as in (A) above, may continue as a family-associate member similarly. C. Honorary- Any person who, on the a rmative vote of three-fourths of the Board of Directors, is deemed to merit recognition for outstanding interest in or service to the Club. Section 3- National and Regional Club Memberships No active, family-active, a liate, associate, or family-associate member may hold membership in the Regional Club without at the same time being a member in good standing of the National Club. Section 4 - Membership Applications A. All applications for membership made to or forwarded to the National Club shall be processed in accordance with the By-Laws of the National Club. B. Con ict as to Applicant's Eligibility - In the event of a con ict between the Board of Directors of the National Club and the Regional Club as to the eligibility of an applicant for membership, the question shall be submitted to a vote of the membership of the Regional Club. Section 5 – Dues National Dues shall be collected by the National Club, which shall refund to the Regional Club such part thereof as shall have been set by the National Board of Directors. Regional dues shall be determined from time to time by the Board of Directors of the Regional Club. Section 6 - Membership Year A. The membership year shall be determined by the By-Laws of PCA; however, members shall not be dropped from regional membership until the Regional Club is noti ed by the National Club. B. Regional membership year shall coincide with the national membership year. Regional dues payment, if required, shall not necessarily coincide with the membership year. Section 7 – Privileges Members, including family members, in good standing shall be entitled to all the privileges of the Club. Active, family-active, associate, or a liate members shall be entitled to vote or be nominated to hold an elected position.

Section 8 – Suspension


Any member may be suspended by a two-thirds vote of the Board of Directors of the National Club or by the Regional Club upon a three-fourths vote of the Board of Directors, for the infractions of National or Regional rules or regulations or for action inimical to the general objectives or best interests of the National or Regional Clubs. Upon written notice of such suspension, the suspended member shall be a orded a reasonable opportunity to be heard, in person or through a representative, by the Board of Directors or a committee appointed by it for the purpose, concerning the alleged misconduct. The Board of Directors may thereafter continue the suspension for a de nite time, terminate the suspension or expel the member, and its decision shall be nal. Suspensions of active and associate members are applicable also to family-active, familyassociate and a liate members. Section 9 – Resignations Any member may resign by addressing a letter of resignation to the Secretary of the Regional Club. The resignation shall become e ective upon receipt and all Club privileges shall terminate as of that date. ARTICLE V- Elected O cers The elected o cers of the Club shall be a President, Vice President, Secretary, Treasurer and Newsletter Editor, and additional elected members of the Region, as needed. At no time may the Treasurer and Secretary position be held by the same person simultaneously. ARTICLE VI - Board of Directors Section 1 - Board Members The Board of Directors of the Club shall consist of the elected o cers of the Region. The terms of o ce of the board members shall be one year two years and shall end on December 31. No board member may continue in o ce if he shall move the member moves residence beyond the borders of the Club region. Section 2 – Duties

The Board of Directors of the Club shall be responsible for the proper conduct of the administrative a airs of the Club, the proper functioning of the several committees, and shall insure compliance with these By-Laws. Proper conduct of the administrative a airs of the Club shall be construed to mean, among other things, that operating expenditures shall approximate income in the scal year.


All decisions of the Board of Directors shall be by a majority vote unless otherwise provided in these By-Laws. ARTICLE VII - Duties of the O cers Duties of the President, Vice President, Secretary, and Treasurer will be in accordance with those outlined in the most current edition of the PCA Region Procedures Manual, accessible at PCA.org. Duties of all other Directors will be in accordance with those outlined in the PCA Region Procedures Manual (2018) Section 3.8, “Region Coordinator/Sta Position Descriptions.” Duties of the President, Vice President, Secretary, Treasurer, and all other Directors will be in accordance with those outlined in the most current edition of the PCA Region Procedures Manual, accessible at PCA.org. ARTICLE VIII - Committees and Appointments The Board of Directors or President may establish and ll such committees and make such appointments as are deemed necessary and expedient for the performance of the Club's functions. These committees may include, but are not limited to: Auditing Membership Newsletter Nominating Technical

The Board of Directors may create such other committees from time to time, to exist at its pleasure, as it may see t. The President, with the advice of the Board of Directors, shall appoint the Chairperson of the Standing and other committees and their members, and may, in like manner dismiss or replace the Chairperson and members.


ARTICLE IX- Election of O cers Section 1- Nominating Committee The Nominating Committee shall submit to the membership by publication in the regional newsletter one or more nominees for each elected o ce and the nominees for the Board of Directors prior to the November meeting of the membership. The Nominating Committee shall be established at the September board meeting. The Nominating Committee shall submit to the Board of Directors the nominees at the October board meeting. The Nominating Committee shall consist of, at least, three members of the region, one of which will not be on the Board of Directors. Section 2- Nominations by the Members Any member may nominate one or more eligible persons for each elected o ce. Any member may supplement the Nominating Committee's slate of Executive Board nominees with additional eligible members. These nominations will also be submitted at the November meeting of the members October board meeting. Section 3 - Elections and Ballots The election shall be accomplished by electronically mailed ballots via electronic media. Ballot forms shall be e-mailed to all members in time to allow for return by the time of the December meeting of the members. The ballot shall indicate the address to which it is to be returned. There will be one ballot per active member, per email address. Only email addresses receiving ballots may return ballots. Election shall be determined by the greatest number of signed ballots cast for each elected o cer. Section 4 – Tellers The Secretary shall tabulate the votes in time for installation of o cers at the December annual planning meeting of the members. ARTICLE X- Fiscal Year

The scal year of the Club shall be the calendar year.


ARTICLE XI- Obligations and Indebtedness Section 1 - Authority to Incur Obligations and Expenditures Only the elected o cers or persons authorized by the Board of Directors to act on behalf of the Club, shall incur any obligation or make any expenditure in the name of the Club. All obligations incurred in accordance with the provisions of these ByLaws By-Laws shall be incurred solely as corporate obligations. No personal liability whatever shall attach to or be incurred by any member or o cer of the Club by reason of any such corporate obligation or liability. No elected o cer or any other person authorized to act in on behalf of the Club shall incur any obligation or make any expenditure in the name of the Club in excess of $100.00 $250.00 without prior approval of a majority of the Board of Directors. No obligation shall be incurred or expenditure made in the name of the Club in excess of $100.00, other than for the purposes enumerated above, without prior approval of the majority of the membership present at the next regular meeting after presentation to the Club. Section 2 -Unauthorized Obligations or Expenditures No elected o cer or any other person authorized to act in on behalf of the Club shall incur obligation or make any expenditure an the in the name of the Club which is not for the general bene t of the entire membership of the Club nor shall the Executive Board approve the incurring of any such obligation or the making of any such expenditure. Section 3 - Personal Liabilitv Liability for Unauthorized Obligation The incurring of any obligation or indebtedness in the name of the Club by any elected o cer or member in contravention of these By-Laws shall be an ultra vires act. The person or persons responsible for such act or acts shall be personally liable, individually and collectively, to the Club in an amount equal to the obligations or indebtedness which the Club may be required to pay. Section 4 – Indebtedness

No o cer, member, or body of such persons may incur indebtedness in the name of the Club.


Section 5 – Budgets It is desirable for all events and committees to operate within a budget approved by the Board of Directors. ARTICLE XII - Funds, Assets, and Properties Section 1 - Use of Funds, Assets, and Properties The funds, assets, and properties of the Club shall be used only for the purposes designated in Article II of these By-Laws, and shall, in no case, be used for any private gain, personal gain, or political purpose. Section 2 - Inventory An inventory of the Club’s tangible assets will be maintained by the Club’s Vice President. Section 2 3 - Abolishment of the Club Upon abolishment of the Club, all remaining monies will be submitted to the National Club as future dues for the members of the Regional Club on record as of the date the decision to abolish the club is made. Any xed assets of the Regional Club will be distributed as agreed by the last Board of Directors ARTICLE XIII- Amendment of By-Laws

The Constitution and By-Laws shall be amended by a majority of the votes cast in a referendum of the members following publication of the proposed changes in the monthly newsletter.
