PRESIDENT’S REPORT

FOOTBALL REPORT

Dear Member, With the Annual General Meeting to be held on Thursday 20th November, it is pleasing to report that your Club has again exceeded the profit figures of the last financial year. Further details regarding the AGM are included later on in this Journal, and a copy of the annual report for 2014 can be found on the Club’s website (www.releagues.com.au). Suffice to say that members are to be thanked for their continued support, together with an extremely efficient and organised management team led by G.M. Chris McCarthy, and our dedicated and friendly staff. Some more good news is that at last the Ryde Council has approved our D.A. for the Hawks site and it now remains for the Club to tidy up some further issues with Council before we finally get down to determining the best outcome for this site. A presentation night for recipients of the Club Grants programme was held recently and all invitees were most appreciative of the support that not only your Club gives to the Community but that of the Club movement in general. Over the last year your Club donated in the region of $500,000 to various organisations, both in monetary and in kind donations. July 2014 saw the Federal Liberal National Government repeal the carbon tax, an unpopular tax introduced by the previous Labor Government. Your board approved a motion earlier in the year that if it was repealed then the Club would reinvest the funds saved from the carbon tax into energy saving or environmental initiatives. The key criteria were that there be a cost-effective initiative that will provide not only long term benefits for the Club but also to ensure we provide a benefit to our community at large. The one major difference with the RELC use of the “carbon tax” is that it will be used locally and in a manner that we have control over.

The 2014 State Cup Competition has concluded and the Wests Tigers team were eliminated by Wyong 26 to 8 in the Qualifying Semi-Final. The team finished the season in 6th position after being equal second on the table for most of the season. This was brought about by the huge injury toll suffered by the NRL team that lost so many players, with the State Cup team losing most of its squad as a result of promotion to the NRL. The team used 43 players over the season and this made team cohesion almost impossible for Coach Paul Fletcher to achieve as, at times, the team was not finalised until just before gametime. They played 25 matches, winning 14 and losing 11. They scored 629 points to 586. The last eight matches of the Season show that they won only 3 games and lost 5. The results are set out below:-

This year’s A.G.M. has some resolutions for minor changes in regard to the Club’s constitution, which will tidy up various aspects of the Club’s constitution and bring it in line with current legislation, as well as a resolution to clarify the classification of the Club’s property holdings.

With the warmer months approaching, it is an opportune time for those members with young children (or grandchildren) to ensure that their offspring can swim and learn the key competencies of water safety. Your Club has one of the best “Learn to Swim” programmes available. Members who have not done so should avail themselves of this programme and ensure their small ones are in the best position to cope in an emergency should the situation ever arise.

LINE DANCING AT RYDE-EASTWOOD LEAGUES CLUB

KEEP YOUR LITTLE ONES SAFE THIS SUMMER Toddlers are curious by nature and often attracted by water; however, they have little fear or understanding of the possible dangers posed. As they learn to crawl and walk, their ability to access water hazards such as pools, spas, and buckets is greatly increased. Toddlers tend to be ‘top heavy’ and can therefore easily lose balance and fall into bodies of water. Children can drown in as little as a few centimetres of water, so items such as inflatable swimming pools, baths, and nappy buckets all pose a drowning hazard. According to the Royal Life Saving Society of Australia, 49% of children aged 0-4 that drowned, did so in a swimming pool. The Fitness Edge Swim School recommends that parents and carers take the following precautions to reduce the risk of childhood drowning:

Supervise: • • •

Ensure constant and active supervision. Remain within an arm’s reach of young children as they can drown quickly and silently. Never leave a young child unsupervised; always take your child with you if you have to leave the water area, even if you will only be one for a short period. Don’t expect older children to look after younger siblings. Children have short attention spans and can be easily distracted. Nominate a parent or carer to supervise any children near the water when you have visitors.

Reduce the Hazard: •

Restrict the child’s access to water through safety barriers such as pool fencing. The legislation surrounding pool fencing differs between the States and Territories of Australia. Contact your local authority or government agency for information on pool fencing regulations in your area.

Don’t leave objects near a pool fence that will enable children to climb into a pool, e.g. pot plants and chairs. Don‘t leave any gates or doors propped open that might allow children access to a body of water. Create a safe play area for children, especially on farms and large properties that are separated from bodies of water such as swimming pools, dams and water troughs.

Come and see us at the Swim School where we can teach not only your little ones but you as well the life skill of swimming and water safety. PRESIDENT’S REPORT Dear Member, Your Club has again exceeded all expectations and returned a net profit after tax of $5,217,454 for the financial year ended 30th June 2014. This exceeds last year’s profit by $1,110,700 and is the best ever for our Club. These results do not just happen by themselves, but come about by a series of contributions including member support, good facilities, efficient staff and excellent management. These contributions are anchored by the Board of Directors in creating good policy that management puts in place. I would like to thank my fellow directors for their dedicated efforts and personal support over the past year. They have spent many long hours deliberating over a series of issues that most Clubs face from time to time, and results show that their efforts have been rewarded. It has been my absolute pleasure to have the privilege of chairing meetings with these men. Boards of organisations certainly set policy but these must be carried out by management, and your Club is fortunate in having one of the best management teams in the Industry. Led by G.M. Chris McCarthy and his team of Carl Pozzato (Assistant GM),

Joanne Luke (H.R.), Nathan Hawton (Gaming), Martin Westbrook (Beverage), Dean Owen (Marketing), Lisa Kradenian (Functions), Chris Kalligas (The Fitness Edge), and Jo Furness and Leanne Mooy (Swim School). These senior staff members, combined with a great team of line managers and dedicated and friendly staff, makes for a successful business. In 2013 the board engaged the services of Paynter Dixon to develop a Master Plan for the Club’s future and this blueprint was completed in 2014. It gives our Club many long term options to consider. One of these options is to develop the property at the rear of the Club. Members would realise that our Club is landlocked and any development for the future has to take this problem into consideration, and all the proposals raised in our Draft Master Plan will no doubt be considered in the years to come. Please be assured that any matters relating to the Master Plan mentioned above will be circulated to all members through various surveys before any future developments are carried out. In conclusion, may I thank everyone from members, board, management and staff for their support over the year. I know that with this continued support there is no reason why our Club should not repeat these results in future years. Keith Aggett President

GENERAL MANAGER’S REPORT Members, The 2014 Annual Report again shows a record trading profit for Ryde-Eastwood Leagues Club – the fourth year in a row that the Club has achieved a record trading profit. This year’s profit figure has been helped by some extra ordinary items (mainly related to the sale of assets) but the underlying trading profit is also significantly higher than 2013 and would have provided a record result on its own. I am also pleased to say that trading for the first three months of the current financial year is tracking ahead of last year for the same period. The tremendous trading result was of course a highlight; however there were a number of other items worthy of note. •

The 50th Anniversary of the Leagues Club and Football Club held in October 2013 featured a number of memorable events and highlighted the early struggle of the Leagues Club and also the great success of the Football Club over those 50 years. The installation of the 2nd car park lift which opened in March 2014 and provides members and their guests that cannot manage stairs a reasonable level of assurance that access to and from the car park won’t be affected by mechanical breakdowns. Hawks on Second Avenue A site specific DCP for the Hawks site, which provides for a development comprising 31 townhouses, underground parking and publicly accessible open space was approved by Ryde Council in December 2013. A Development Application in compliance with that DCP, was lodged in April 2014 and was approved in September 2014. At the time of writing the Club is working to finalise some issues relating to titling and the public open space component required by Council before the board can make a decision on the next step. However it is pleasing to see this long process finally nearing resolution. Masterplan The Club commissioned a Masterplan for the Club site and adjoining properties in early 2013 and this was completed in mid-2014. While this gives the Board a blueprint for future development options, none of them are low cost or short term options. A decision to implement any of the proposals will require significant review and considered thought, and this process will continue while we resolve what we believe will be the best long term outcome.

In 2012 I predicted a sustained period of political stability in relation to the Club Industry. This was partially achieved in 2012, bettered in 2013 and I believe finally achieved in 2014. The NSW Government honoured their commitment to implement all of the points agreed upon in a memorandum of understanding signed in 2010 in relation to the NSW Club Industry, and is to be commended for that achievement.

For 2014/15 I predict this environment to continue and provide more stability for the Club industry, which in turn will have a positive effect on employment and capital expenditure. In 2014 the new Federal Government repealed legislation related to limiting withdrawals from ATMs in Clubs and Hotels, which would have been a major inconvenience to members. Another major step undertaken by the Federal Government was to repeal the Carbon Tax, a very unpopular tax introduced by the former Labor Government. While the Club is very appreciative of the savings generated by this repeal the Club’s Board made a decision earlier in the year that if it was repealed then the Club would utilise the monies saved to invest in new energy saving or environmental initiatives to benefit both the Club and the community. The initial projects identified are the completion of the changeover of low voltage down lights to LED technology and also to trial the use of new Dyson air blade hand dryers with a view to a major upgrade throughout the Club. The key to any initiatives introduced will be the cost effectiveness and also the long term benefit of the proposed change. On the staff front, an experienced senior team and an excellent service team have contributed to our record trading result, and I thank them all for their efforts, on your behalf. Also on the staff front I note the Club’s commitment to training for senior staff and also the Fitness Edge team in First Aid and Advanced Resuscitation, a commitment that on two occasions in the last few months has resulted in life saving action by staff. I express my gratitude and pride of those staff who ‘stepped up to the mark’ in these stressful situations. Well done to all involved. Your Club again entered a large contingent of staff in the 10km Run for Fun charity fun run event at Homebush in late 2013, achieving a fantastic 3rd in the teams’ event, and with the assistance of the Board raising over $5,000 for the Children’s Medical Research Institute at Westmead Hospital. This year’s event is on Sunday 2nd November and the RELC team will again be flying the flag, and also raising further funds for the CMRI. In closing, I would just like to reinforce that the results for year 2013/14 could not have been achieved without the support of members and a solid effort by the whole Club team. That team is very capably led by President Keith Aggett, who together with a committed Board of Directors work tirelessly to ensure Ryde-Eastwood Leagues Club, your Club, is always well positioned to serve you and the local community. 1. FIRST ORDINARY RESOLUTION (a) That pursuant to the Registered Clubs Act the members hereby approve and agree to expenditure by the Club in a sum not exceeding $70,000 until the next Annual General Meeting of the Club for the following activities:

An annual dinner for Foundation Members and partners;

ii. An annual Appreciation dinner for sub-club Executive Committee Members;

Grants and subsidies to the sub-clubs;

iv. Two free meals and beverages per fortnight for each Life Member of the Club who is not a Director of the Ryde-Eastwood Leagues Club Limited (not to exceed $120 for each meal); v.

Presentations to members and other persons acknowledging services deemed by the directors as being of benefit to the Club.

The members acknowledge that the benefits in paragraph (a) above are not available to members generally but only those members who fall within the

The reasonable cost of directors attending the ClubsNSW and Leagues Clubs Australia quarterly and annual general meetings and the reasonable costs of directors attending formal functions to represent the club including but not limited to functions and dinners conducted by ClubsNSW, and Leagues Clubs Australia and including costs associated with the Directors’ partners where attendance is expected and required. ii. The reasonable cost of directors attending seminars, lectures, trade displays and other similar events as may be determined by the Board from time to time as being of benefit for Club and the education of directors; iii. The reasonable cost of directors attending or hosting other registered clubs for the purpose of viewing and assessing their facilities and methods of operation or for the purpose of meeting


and exchanging ideas with the governing bodies of those other clubs provided such attendances are approved by the Board as being necessary for the betterment of the Club; iv. Nine car parking spaces for the exclusive use of directors; v. Duty directors, while on duty, shall be entitled to the use of a table in the Club auditorium without charge; vi. Blazers and associated apparel for each director as may be necessary for new directors, and to replace those of existing directors which may need replacing; vii. The reasonable cost of a meal and beverage for each director immediately after a Board or Committee meeting on the day of that meeting where that meeting coincides with a normal meal time; viii. The reasonable cost of meal and beverage for each duty director and his or her partner when the duty director is on duty in the Club or within a reasonable period of that date; ix. The reasonable cost of directors attending the Club’s holiday units to inspect them or to assess other holiday units for purchase by the Club provided such attendances and cost thereof are approved by the Board. x. The reasonable cost of directors, senior management and their partners attending an annual dinner; including a token of appreciation for partners. The total value of tokens of appreciation not to exceed $1200. xi. The reasonable cost of directors of the Club attending an organised intrastate, interstate or overseas tour as determined by the Board of the Club for the purpose of viewing and assessing the facilities of casinos, hotels and entertainment venues and determining trends in relation to entertainment, decor, gaming, marketing and promotion and thereafter for such director to make a detailed written report thereon to the Board of the Club; xii. The reasonable expense incurred by directors in relation to such other duties including entertainment of special guests to the Club and other promotional activities performed by directors which activities and the expense there from are approved by the Board, on production of receipts, invoices or other proper documentary evidence of such expenditure; xiii. That the members approve that directors and other members be entitled to represent the Club at sponsored sports events by invitation. xiv. The reasonable cost of providing Directors with computer hardware as well as internet access to access a secure website for board meeting minutes and agenda items

$130,000 for the expenditure by the Club in relation to duties performed in or about the Club by directors and expenditure for directors to attend seminars, lectures, trade displays and other similar events including the Clubs NSW Annual General Meeting and to visit other clubs to enable the Club’s governing body to be kept abreast of current trends and developments which may have a significant bearing on the nature and way in which the Club conducts its business. This resolution also includes an option for directors to participate in organised intrastate, interstate or overseas trips to view and assess facilities. This option has been included in our Annual General Meeting Agenda for the last sixteen years and has been used only once. However prior approval is required by members to ensure the club complies with relevant legislation. Part (i) of the resolution to include reasonable expenses of partners of directors is to allow the availability of directors to attend meetings that are expected or required for their development and knowledge and are often held in distant locations. To be passed, each ordinary resolution must receive votes in its favour from not less than a simple majority of those members, who being entitled to do so, vote in person at the meeting. The Third Resolution lists the properties that comprise the remaining club Holiday Units not already declared as non-core as well as two properties purchased in the local area in recent years. Section 41J of the Registered Clubs Act 1976 (NSW) restricts the sale of any property declared as core property by members. All the clubs local investment properties apart from the two listed in the Third Ordinary Resolution as well as two holiday properties have already been approved as non-core by members in the past. The Third Ordinary Resolution is to declare all the Club’s remaining properties apart from the main club building and carpark at 117 Ryedale Rd West Ryde as non-core properties. There is no proposal to dispose of any of the listed properties. The Resolution is to provide flexibility for the Board of Directors present or future to properly manage these assets without the need to wait for an AGM of members or convene a costly Extraordinary General Meeting. The Board of Directors recommend in favour of the Ordinary Resolution.

Explanatory message regarding the Special Resolution Rule 29(g) 1. The gaming and liquor regulatory authority formerly known as the “Casino, Liquor and Gaming Authority” has been re-named as the “Independent Liquor and Gaming Authority”. Currently, Rule 29(g) refers to the former name of the Independent Liquor and Gaming Authority. If the Special Resolution is passed, Rule 29(g) will be updated to reflect the correct name of the liquor and gaming regulatory authority. 2. Rule 29(g) deals with the ability of the Club to admit Temporary Members to the Club’s premises for up to 7 consecutive days, or such longer period as the Independent Liquor and Gaming Authority permits in writing. Rules 34 and 35(a) 3. The Registered Clubs Act 1976 (NSW) (Registered Clubs Act) and Corporations Act 2001 (Cth) (Corporations Act) do not require applications for membership of the Club to have a proposer and seconder. 4. Existing Rule 34 requires that every application for Club or Junior membership shall be proposed by one and seconded by another financial Club Member or Life Member. Existing Rule 35(a) requires applications for membership to be signed by the candidate, the proposer and seconder. In order to simplify applications for membership of the Club, it is proposed that Rules 34 and 35(a) be replaced with new rules which do not require a proposer and seconder for every application. 5. If the Special Resolution is approved, the Board may accept applications for membership which are not proposed or seconded by another financial Club Member or Life Member. However, the Board may require applications for Junior membership to include the endorsement of the parent(s) or guardian(s) as may be deemed appropriate. 6. All applications for membership remain subject to the approval of the Board or duly appointed election committee under Rule 33 and remain subject to the Registered Clubs Act requirement, contained in Rules 35(c) and 35(d) of the Constitution. That is, the candidate’s name and address is to be displayed on the Club’s notice board at least one (1) week before their election as a member of the Club, and an interval of 14 days must pass between the date their nomination or application for membership is submitted and their actual election to membership.

GENERAL NOTES TO MEMBERS REGARDING THE SPECIAL RESOLUTION 1. A member may on request to the Club office obtain a copy of the Club’s Constitution which contains the existing provisions that are proposed to be amended by the above Special Resolution. 2. In accordance with Rules 24 and 98 of the Club’s Constitution, only Life Members, financial Club Members and financial Foundation Members who were Full Members of the Club as at 24 November 2011; are eligible to vote on the Special Resolution. As the Annual General Meeting is being held within 3 years of Rules 24(a), 24(b), 98(a) and 98(b) being adopted, any Life Members and financial Club Members who became Full Members after 24 November 2011 will not be able to vote on the Special Resolutions. (Rules 24(c) and 98(c) apply to persons who became Full Members after the conclusion of the 2013 Annual General Meeting and their qualification period for eligibility to vote is 5 years standing as a Full Member. They are also not eligible to vote on the Special Resolution). 3. To be passed the Special Resolution must receive votes in its favour from not less than three-quarters of those members, who being eligible to do so, vote in person at the meeting. 4. As a result of the Special Resolution provisions of the Corporations Act, the Special Resolution must be considered as a whole and cannot be altered by motions from the floor of the meeting. 5. Members who are employees of the Club are not entitled to vote. 6. Proxy voting is prohibited by the Registered Clubs Act. 7. SQUASH CLUB At the time of writing we are nearing the end of the Spring competition. We have two teams competing this time around (Division 5 and Division 9). The Division 5 team are coming a very respectable 5th, and the Division 9 team are coming a very impressive 3rd at the time of writing. Keep up the effort guys. Bring home the bacon, Division 9!! The internal Club Championship round-robin was played at the completion of the Autumn competition, which was another toughly fought affair. The winner of this year’s Division 1 title, a father/daughter battle, was Sam Farrugia; congratulations, Sam, for a gritty effort. And the winner of the Division 2 was Sharon Muir, who defeated.... yep another Farrugia, Karyn. Well done to Sharon on a great win. Just a heads up that our Annual Presentation dinner is on next month (8th November) at RydeEastwood Leagues Club and we hope to see all squash members there. It promises to be a great night. Finally, thanks to the Leagues Club for its ongoing support of the Squash Club. It is very much appreciated by all the players. TRAVEL CLUB In August we travelled to “Fairground Follies” at St. Peters to sing, dance and reminisce amongst the greatest collection of self-playing instruments in the Southern Hemisphere. We had a lovely morning tea followed by a walk down memory lane and a ride on the 100 year old carousel.Then followed lunch at Petersham RSL. All members agree it was the best trip they have been on. September took us to the Southern Highlands to visit Mayfairs of Mittagong, our first splash of the Highlands Spring Colour.We enjoyed a morning tea and then a visit to the Bowral Tulip Time Festival, followed by lunch at Mittagong RSL. In October we headed west to the Nepean River. Morning Tea was served on the banks of the river before we set off on the Nepean Belle Paddle wheeler.
