AN ORDINANCE TO AMEND THE COMPANIES ORDINANCE.

ENACTED by the Legislature of the Turks and Caicos Islands.

Short title and commencement 1. This Ordinance may be cited as the Companies (Amendment) Ordinance 2014 and shall come into operation on such day as the Governor may appoint by Notice published in the Gazette.

Section 46 amended 2. Section 46 of the Companies Ordinance is amended in subsection (1)— (a) by deleting the words “having a capital divided into shares”; and (b) by repealing the concluding paragraph and substituting the following— “The above list and summary shall be contained in a separate part of the register of the company and a copy shall be forwarded to reach the Registrar no later than 30 June of each year after the year of its incorporation or the date of filing of its last list

and summary, as the case may be, together with the prescribed fee; and such copy to be kept by the Registrar in his office with the original memorandum and articles of association.”.

Section 63 amended 3. Section 63 of the Companies Ordinance is amended by deleting the words “no later than 30 April”.

Transitional provision 4. The amendment effected by this Ordinance to sections 46 and 63 with respect to the filing of return etc. and the holding of a general meeting, respectively, apply to the filing of return etc. and the holding of a general meeting for the year 2014 and each subsequent year. ______________
