President, Joe Meyer called the meeting to order at R-Ranch Lodge at 12:04 p.m. Meeting was also made available for owner viewing via Facebook Live (pilot) 1. Welcome back Bill and Amy, Stacy and Craig Plant a tree – Planned for on Tuesday, please bring a tree Superbowl Party 2/2/19. Come join us. Bring a drink and side dish. Football pool will be available for sign-ups 2 weeks prior to the game.

Water tank – hooked up and ready to go Plumbing and sewage updates o Water and sewage line replacement that runs from lodge snack bar. Those lines had 17 repairs completed over the years. o Main line pipe repair- completed at Bath house 3 A-cabins (1A, 2A, 3A, 4A, 5A, 8A, 9A) completely remodeled and upgraded. 2 remaining A cabins will be completed within the next couple of weeks During remodel, found fire damage on the interior of 9A caused by the Altas Fire. Damage to both 9A and 10A will be repaired.

Dave’s tree service is scheduled to cut down 38 gray pines throughout the property. Apprx 10 are in the campground and some RV’s will need to be moved to accomplish this. Brad will contact those owners impacted. With the tree removal there will be wood chips for horse owners who would like some for the paddocks. Orange banners are on the trees that will be trimmed.

Addressing drainage and mud issues as a result of the first bad rain Lodge roof- was scheduled in December but due to rain it had to be postponed. Contractor indicates unless there is one full week of clear weather, repairs can not be completed. Forecast doesn’t look promising over next couple of weeks.

Received our first heavy rain of the season last week and as always drainage issues are being addressed along with mud that wasn’t there before. We have gravel on hand and it will be placed in the needed areas.

CalTrans right of way request to repair roadways – CalTrans will pay the Ranch $ 17K for right of way access Snack Bar – couple of ongoing open items regarding Ranch requirements to widen roads, entrance gates, and fire lane safety. Requested architect to go down to county to get clarification and determine resolution Cabin replacement (fire damage) pending use permit. Ranch attorney sent Status Determination application to county last week. Pending county determination. Once completed the Board and Ranch Operations will work with cabin committee on recommendation for next steps on what to replacement cabins with. Looking at possible Park Model which would provide more winter cabin options for ownership

• Horseman’s Association- Gregg Holtmeier stated no meetings held recently and therefore nothing new to report • Campground- Colleen Silva Owner #354 At committee meeting today the following was discussed: • Planting the oleanders already purchased to other locations outside of the campgrounds was discussed due to poison concerns for children/dogs. Discussed purchasing Mulberry trees instead for the new reservable sites • Review of tarp policy put in place • Wording on site-to-site needs to be reviewed as the date changed at some point from 12/31 to 1/1. Wording will be recommended and sent to Board for review • Received recommendation for site-to-site deposit for next year of $50.00. This was previously discussed multiple times and Board turned down previous request.

Safety concerns of bad electrical boxes.

Site-to-site wording change recommended to allow owners to change sites within their 90 days and not be required to finish current 30-60-90 cycle but to start at green tag again for 90 days in that site. Site to site rules created after campground rules and this modification should be considered. Will present recommendation in writing to board.

Pilot- Reservable sites - Concerns raised about reservable sites always empty. Office conducted analysis if owners didn’t get a site and no owner had an issue with finding an open site last summer. A recommendation may come to the owners at the annual meeting to re-evaluate these sites or reduce the number of sites.

Would like to re-implement site-to-site sign-up sheet in office. Owners want visibility and reminders. Include on website, office notices, sign-up sheet. Kim can take back to Office Manager for review.

• Cabin- Cindy Lempky • First of all Cindy stayed in remodeled cabin and wanted to thank the Brad and team on the great work. They are beautiful; great work.

• 4 awnings on cabins ( 2 dog cabins and 1A/2A) work to start in April- cabins 67, 70, 1A, 2A • 10 more fans will be put in cabins in April 76,- cabins 66,67, 78-85 • Small rule change due to owner violations of rules. Board voted on change last month, pending ratification – Rule 18 A - Ratified - Ed motioned, Joe seconded, 5 ayes, 0 nays – • Replacement Vinyl for cabin window covering. Donated by Ed Russell. Vinyl will be used on the outside to be rolled up. Pilot of 6 cabins (95- 100), will be updated with this option for owner feedback. Vinyl is expected to last 5-6 years • Boat- Albert Sanchez. No committee member in attendance.

• Current committee chair has not attended for at least a year. Joe requested volunteers to head up the committee. $17K in boat committee funds available for boat area improvements • Reserve committee – Gregg Holtmeier • Committee created a year ago for reserve funding allocations for long-term infrastructure projects.

• Special assessment will go towards the following 2020 projects o 50 K cabin siding o 50 K roof repair o 125 snack bar funding o 75 electrical • Discussed regular meeting schedule. Next meeting planned within next 2 weeks and meeting notification will go out via blast. All owners encouraged to participate • Reminder a 3 yr. long-term plan was committed to ownership at the October meeting to have completed by March 31, 2020. Recommendation can be presented at April quarterly board meeting 7. Old Business: •

Pending Ranch Manager updates: o Attorney Review of Use Permit- Attorney recommendation letter was sent to county late last week and pending Napa County review o Update on Snack Bar- Joe has escalated slowness with project team and back and forth on county required fixes. o Update on Cabin Rebuild- Pending Napa county reply to use permit approval

8. New Business: • Election inspector- Requested volunteers. Patty Woods offered to head up this year’s election. 3 open board positions will be up for ownership vote in August • Ed recommended Committee Empowerment Proposal outlining guidelines for committee chairs and participants. This was inadvertently handed out to the ownership and Ed proceeded to read and provide insight. Sue agreed with the conceptual idea but suggested the document be reworded. Owners provided feedback that we cant add items on to the agenda once published. Board took feedback under advisement, Ed will reword and formally present to ownership at a later date.

Cindy Lempky #752, fire in fireplace last night caused smoke in the lodge. Apparently, the flu is broken and no signage. There was signage but someone removed. Not sure timing of repair but Adam will pass back to Brad and in meantime put new signage up.

Carol Roszkowski # 1679 – wants to bring back to the board a site-to-site non-refundable deposit of $50.00 for office services. Owners present were not in favor of another fee assessment

Close all public areas (teen center, youth center, lodge, kitchen) One bath house in cabins/campground- BH 3 and BH8 will be open If tag falls within next 2 weeks 1) Extend tags, 2) waive overnights and 3) extend out by 2 week timeframe Close stables, except for private ownership No wristbands issued. RV tags will be continued to be issued Increased bathhouse sanitation frequency A-cabins will remain open with 3 day close down period between occupancy. All other cabins, including dog cabins will be used once and rotated out Registration via car – office will come out to car Office workers use gloves No gathering of individuals in groups greater than 10 people

Helpful hints - For the health and safety of you, your loved ones and the community, our recommendation is to stay home - If exhibiting any cold or flu symptoms, stay home and do not come to R Ranch - Stay 6 ft apart - Be considerate of other R Ranch owners and staff All present agreed to meet again in 2 weeks to re-evaluate and make necessary adjustments based on current CDC and Napa County guidelines.

Sue Riley motioned to ratify decision to keep the ranch closed until further notice. 4 ayes, 0 nays Owner feedback on requests to pull on/pull off trailers, access trailers for personal effects and horse owners caring for private horses Members will be allowed to make arrangements to pull their trailers off the Ranch.

Members will be allowed to make arrangement for a one-time pick up of personal items Members tags will be extended the length of time we are closed.

Members with private horse(s) will be allowed to make arrangements to come onto ranch to care and/or feed. No riding will be allowed.

Sue Riley motioned to vote and ratify #2 A-D above and 4 ayes, 0 nays

Members must call or email the office to make arrangements/appointment to come onto the Ranch.

The R Ranch office will be answering calls and emails during normal business hours- 9 am – 5pm, 7 days a week.

The board and management will reconvene on April 7th, in line with the current restrictions for “shelter in place” counties and recommendations of the CDC. Others present- Brad Miracle- Ranch Manager, April Miracle - Office Manager Limited Agenda: 1) Review current CDC, State of CA and Federal “Shelter in Place” directives and subsequent impacts to R Ranch given the required extension through May 3, 2020 to reduce COVID-19 pandemic spread a. Ranch will continue to remain closed per current guidelines of May 3rd. Board and Management will continue to monitor based on future re-opening procedures, once defined and will meet again on April 30th to discuss. b. The staff continues to maintain normal process, procedures and maintenance as best they can during this difficult time. All staff is preparing to quickly re-open and greet owners once we are given the approval to reopen.

2) Review Paycheck Protection Program (PPP), part of the CARES Act a. We have obtained legal guidance on applying to the program. We continue to pursue options for obtaining these funds to assist the Ranch 3) Review policy details of filing a Business Interruption Insurance Claim a. We could file a claim, however insurance agent could not give us approval/decline % for this type of claim. Claim is usually made for fire, or circumstances where Ranch is completely unusable. Our definition is that it is completely unusable, and it wouldn’t hurt to file claim. Joe Meyer will set meeting with insurance agent and obtain further details and advise Board and Management of the outcome accordingly.

4) Discuss modification to hold April Quarterly Board Meeting by teleconference or FB Live. No in-person meeting will be held a. We will have Board meeting as scheduled using Zoom conferencing service. We will test functionality with an upcoming virtual Bingo event on Sat April 11, 2020 and send out instructions with the April Quarterly Agenda

b. All committee chairs should contact April to set up a Zoom conference call for your upcoming committee meetings that normally take place in the Lodge before the Quarterly Board meeting Reminders- Members must call or email the office to make arrangements/appointment to come onto the Ranch.

Snack Bar- on hold due to Covid-19 non-essential business mandate; no new information from county Cabin rebuild- No new information. Pending county use permit Caltrans- Bridge project, they are using our land as easement. We received $17K for land use.

County Permit request- dropped off at county offices in March. County attorney is currently reviewing our proposal but again, no updates

8. New Business:  Paycheck Protection Program (PPP), part of the CARES Act April and Ed have been reviewing options to file claim. Our bank, Chase, allowed us to fill out application and submitted. To date, we have not received payment in the first round of PPP monies given out.

As long as monies is used to keep operations going and paying employees, utilities and employee benefits the “loan” is forgiven by the government. We will continue to purse when next round of funding becomes available.

Business Interruption Insurance Claim Looking at option for insurance coverage and claim availability under our current policy. Our insurance agent has not gotten back to us on options and it has been frustrating. Joe Meyer will continue to pursue Ed recommended that we extend the 300.00 special assessment due on Oct 1, 2020 to Dec 31, 2020.

Doug Mayer #39- How will ranch handle RV tags for campground? o April explained that all tags are frozen at the point Ranch was closed, once the ranch reopens tags will start back up again.

Rebecca Cohn #124 - When will the Ranch reopen? o Joe explains we will reopen when the government mandate allow us to reopen. At this point there is so much to learn about the changes we will be required to make, continued social distancing, limited to small group gathering David Easton #1799 – How would the board entertain the possibility of those already on the Ranch extend out 90 days so owners can stay on the Ranch and enjoy the summer. o Brad explained that owner could come and get RV, pull off and the day the Ranch opens back up, bring your RV back up for new start of your 90 days.

Wendy Drey #734 – 1) If owners are having financial difficulty, will you extend quarterly payments? 2) Why cant we use cabins which are more than 6 ft apart?

1) April Miracle- we will work with those owners impacted on a case and case base.

2) Joe Meyer- indicated that it would be too hard to manage all aspects of the Ranch w/ social distancing.

Nick Peterson #1503 Is there a way to have a more controlled access to the Ranch and use horses?

Colleen Silva #354 – Say the governor lifts the order but we are required to limit to small groups and possibly close the lodge and pool but allow cabins and campground o Joe Meyer indicates that is a consideration and a possible viable solution. We will add that to our considerations once we get clearer direction Dawn Morrison #4 - Please clarify for those horse owners who want to exercise their horses would like a concession to ride in a confined space or arena? Taking care of their animals, conditioning, etc.

Other local ranches are allowing with special considerations, social distancing o Adam would like the opportunity to review w/ broader team. We will take it under advisement Cindy Lempky #752, everyone misses the Ranch but couldn’t the Ranch be fined for not following mandated requirements o Joe agrees and we would have to make sure we are doing our due diligence Andrea Gregg # 1701- Have read the governors order very carefully and clearly- care and essential of animals is considered essential. Paycheck Protection Program (PPP), part of the CARES Act o April and Ed have been reviewing options to file claim. Our bank, Chase, allowed us to fill out application and submitted. To date, we have not received payment in the first round of PPP monies given out. As long as monies is used to keep operations going and paying employees, utilities and employee benefits the “loan” is forgiven by the government. We will continue to purse when next round of funding becomes available.

Rebecca Cohn #124 - When will the Ranch reopen? o Joe explains we will reopen when the government mandate allow us to reopen. At this point there is so much to learn about the changes we will be required to make, continued social distancing, limited to small group gathering David Easton #1799 – How would the board entertain the possibility of those already on the Ranch extend out 90 days so owners can stay on the Ranch and enjoy the summer. o Brad explained that owner could come and get RV, pull off and the day the Ranch opens back up, bring your RV back up for new start of your 90 days.

Wendy Drey #734 – 1) If owners are having financial difficulty, will you extend quarterly payments? 2) Why cant we use cabins which are more than 6 ft apart? o 1) April Miracle- we will work with those owners impacted on a case and case base. o 2) Joe Meyer- indicated that it would be too hard to manage all aspects of the Ranch w/ social distancing.

Review latest revisions to county and state mandated “Shelter in Place” directives from CDC, State of CA and Federal agencies and its impacts to R Ranch  Joe advised that we are digging in and have spent countless hours researching , contacting and discussing COVID 19. Brad went to county in person regarding our unique circumstances.  Brad presented COVID 19 slide show (see attached for full details)- We have been given written guidance from the Napa County COVID-19 task force based on R Ranch permit and special circumstances on how RRanch can run operations. We expect to receive a formal letter from Napa County shortly. In a nutshell with the country currently on Phase 1 – No activities or members allowed on site as we have been deemed non-essential.  Per county verbal discussion- Ranch reopening most likely Phase 2-3  Pool and Activities most likely fall in Phase 3-4. County Pool Inspector indicates most likely late summer opening w/ restrictions  We still have quite a few questions out to the county and we will continue to work on them and share information as we obtain it.  As of now, the Ranch will continue to remain closed per Napa County order through 5/31.

No members will be allowed on the Ranch.  In the interim we can temporarily take reservations starting 6/1 forward with the understanding that they may be canceled.  Awaiting county mandates for reopening guidelines and once we have that we will formulate a structured reopening plan and share with the owners. Expect that only deeded owners, no guests will be allowed back on the Ranch until later phases.

 Brad addressed all owner questions posted in the ZOOM messaging site.

2. Update on Paycheck Protection Program (PPP), part of the CARES Act  Ed provided an update- We applied for Round 1 but received no funds. We subsequently applied to Round 2 as soon as it opened up. There is no approval process or notification, only notice will be deposit into account. Application was for $130K which was 2.5 times monthly salary and utilities. As long as we use for salary and utilities, the loan will be forgiven and no payment will be due.

3. Update on Business Interruption Insurance Claim information from insurance provider  Joe provided up stating that we did file a claim w/ the insurance company for business interruption. Agent is saying it is outside our policy and no claim can be filed. Joe states language is gray and plans to continue to pursue even though we received an initial denial.

4. Pending fire insurance claims  Joe indicated insurance wants to close out all claims. Brad and Joe are working on settlement payout based on all outstanding fire damage replacement work 5. Cabin replacement open project- Backyards Unlimited  Company offered $10K payback if they can sell the cabins they put together per our contract. Discussion still underway 6. Review proposal to change due date of Reserve assessment from 10/1/20 t0 12/31/20  Ed wants to rescind motion to extend reserve assessment as we don’t need to vote on a policy/procedure. Kathy Palmerton suggested due date of 12/15/20 to allow for funds to come in the fiscal year.  April reminded everyone that if you are experiencing financial difficulty due to COVID restrictions- email officemanager@rranch.info or office@rranch.info and it will be reviewed on a case by case basis.  Owner asked question about obtaining discounts or refunds for not using RRanch due to financial difficulties. Joe and Ed advised that unfortunately we cant return assessment monies as we can easily go into the red as Ranch Operations continue.

1. Management brought to the Board their concerns of the excessive violations owners are displaying against the Napa County and State ordered COVID 19 mandate and guidelines for social distancing, not wearing required face masks etc. this holiday weekend specifically however it has been going on since we reopened. a. Currently the ranch has ~ 130 families on site (400-500 people). Owners have been sent written emails, FaceBook blasts and posted signage throughout the Ranch outlining the requirements and yet there continues to be blatant disregard. b. In the past 24 hours the management has been forced to conduct drive throughs and monitor owner compliance. Unfortunately, many owners were stopped and spoken to about violating the order and yet many were repeat offenders throughout the weekend. c. The owner non-compliance included: i. ~ 20 owners in dog park Friday 7/3 evening ii. Owners not social distancing at the Stables iii. Owners co-mingling outside of their immediate families in both the campground and cabin areas. Not social distancing or wearing appropriate face masks iv. Multiple households riding in golf carts together v. Co-mingling of households at Friendship Park vi. Large gathering of 4-5 families in the cabin area vii. Large gatherings of children playing and families gathering in the Loop area d. Ranch General Manger contacted Napa County legal counsel, Sherri Kaiser for guidance on options/suggestions. Sherri suggested closure if we are not able to maintain compliance as the county and state orders put the liability of the virus and the orders directly on the business, in this case R Ranch.

The Board reviewed the documented incident report of the owners who violated the order.

Due to the blatant disregard for owner safety and wellbeing of others we have no choice but to send out a notice that the Ranch will close at noon tomorrow until further notice. Sue Riley motioned; Ed Russell seconded. 4 ayes, 0 nays 2. As the Board was wrapping up the meeting, the management received a call back from Sherri Kaiser indicating that the Napa County code enforcement task force was sending three cars to the Ranch for possible code violations. It was noted that Napa County has received more than

one call on their Covid Task Force compliant telephone line against the Ranch. As only owners are currently allowed on the Ranch, our fellow owners who are following the guidelines are also not happy with non-compliant owners putting them at risk.

The General Manager advised Sherri that the board was currently meeting and voted to close the Ranch. She said that was the right decision but couldn’t stop code enforcement team from showing up. a. R Ranch at the Lake Quarterly Board Meeting July 18, 2020 Open Forum questions and email inquiries received by owners regarding the Ranch Closure/Reopening in July 2020 Ranch Closure/Ranch Re-opening questions Chrissy Leard #1289 I respectfully request to be able to read the letter that was submitted by myself and over 20 owners during open forum, so that it can be on the record and also heard by other owners who are unaware of the suggestions in the letter. If you will not allow me to read the letter, then I request that it is read aloud during open forum by a member of the BOD or management.

1) Regarding ATTACHMENT A: EMERGENCY RULES TO PREVENT OR MITIGATE COVID-19 DISEASE TRANSMISSION, Item 9 that states masks must be worn " on all paths and walkways" should be clarified.

Is this regarding the pool only, or for the entire Ranch? State and County guidelines only require masks to be worn when social distancing cannot be met, and do not require them to be worn during outdoor recreation activities, such as walking. Also, why are masks required when sitting at your own pool table if you are 6ft away from other owners? Are our rules more strict than the state and county guidelines? If so, why?

ANSWER- The rules are intended to apply to the entire ranch, except for the noted exceptions. The rule is intended to protect everyone on the ranch as widely as possible. The Board has taken a restrictive approach to start as a way to be as protective as possible and may be able to relax the rules as things progress. If you are eating or drinking, and are socially distanced, you will not be cited for not wearing a mask.

The county guidelines are just that- based level guidelines. The Board has the authority and the duty to create rules that it finds to be in the best interest of the Association and all owners.

The issue is not only whether the Association will be cited or shut down, although those are risks. The bigger issue is liability for disease transmission and trying to protect people.

When can you take off your mask?

There are times when it’s okay to take your mask off when you’re away from home, such as: - When eating or drinking - If a hearing-impaired person needs to read your lips - If wearing a face covering imposes a risk to you at work – for example, if it could get caught in machinery - When you’re not sharing a common area, room or enclosed space with others - When you are getting a service to the nose or face - When outdoors in public and can stay six feet from others - You should replace the mask as soon as you can after these activities to reduce the risk of infection.

2) Item 21 in the same Attachment A states, "NO gatherings of people outside your immediate household are prohibited." First off, the double negative needs to be corrected.

ANSWER- This is an error that has since been updated. Additional information- Waivers have been updated as of 7/23/20 and available for owner review. If you have already signed a waiver, no need to sign an updated versions

Secondly, "gathering" needs to be defined. Are 2 people considered a gathering? If I stop by someone's campsite just to say hi for 5 minutes, am wearing a mask, AND 6 ft apart, is that a violation that can warrant a formal warning/penalty? According to the guidelines, this should not be a violation as a mask is worn AND social distancing is being met. Please clarify.

ANSWER- The rule is intended to prevent groups of people from different households from intermingling, such as parties. Saying hello to someone for a few minutes while wearing a mask and maintaining social distancing is not a gathering for which you will be cited.

3) Item 26 in Attachment A states: "Failure to comply with any of the above rules will result in the following measures: - First offense: a verbal warning will be issued and will be documented with an Incident Report.

- Second offense: You will be removed from the Ranch for up to 30 days (including removing your trailer and any personal property) and will be documented with an Incident Report - Third offense: Continued failure to comply with result in permanent removal from the Ranch until the health and safety emergency has ended and will be documented with an Incident Report."

I would like clarification on what the intent is here behind giving warnings and penalties. Is the intent here to target people who are blatantly not following the rules? Or are we also targeting the individuals that may accidentally forget their mask when walking to the bathroom? Are we allowing for educating and kind reminders to individuals who may simply forget? I am afraid these rules may be too stringent and definitely need clarification. I feel there should be clarification as well regarding if First offense happens today, and 2nd offense is in 60 days, if that can warrant removal from the Ranch? Or is there some leeway in the amount of time that has passed since the first offense? I think that perhaps it may be fair to owners to have a 30 day period between offenses and have a "reset" if you will, so start over at a warning if more than 30 days has lapsed between offenses (especially if someone can be written up for forgetting a mask vs. blatant disregard. I hope that made sense?)

ANSWER- The intent in giving warnings is to alert people that they are not complying with the rules and to give them a chance to comply before a penalty is imposed.

The intent of penalties is to deter behavior that endangers others and puts the Association at risk. The Board can take your suggestion under review and may find it reasonable to make changes to the rules at some point.

4) Lastly, I respectfully request that line 8 in the in Waiver agreement be revised and/or removed: "I willingly agree to take reasonable efforts to protect myself and any individuals identified in Paragraph 1 against any infectious diseases including COVID-19. If, however, I observe any unusual or significant health and safety issues at the Facilities during my presence, I will remove myself from the Facilities and immediately bring it to the attention of the Association. Such issues may include, but are not limited to, lack of social distancing or persons at the Facilities showing signs of illness."

I do NOT agree with putting owners against other owners! That allows for owners to be targeted by people who may not like them. I totally support reporting if someone shows signs of illness, but I DO NOT support asking owners to turn in other owners for not social distancing. Leave that to management and security please! People do not know everyone's families and can make horrible assumptions and accusations against other owners. Please, PLEASE revise or remove this line.

ANSWER- The intent is not for owners to police each other; no one is responsible for another adult’s behavior.

Rather, the waiver is asking that everyone notify the Association if they see issues arise that could affect health and safety, so the Association can take appropriate steps to address the matter.

Please see the correspondence below from Napa County regarding the required use of face coverings in two scenarios. I am hoping we could address this at the quarterly BOD meeting and perhaps revise the rules in these two instances. For us, wearing a mask at the pool and while walking the dog would really hamper our enjoyment of the Ranch, especially in 90 degree heat. We would of course always ensure we have a mask on us and wear it when moving about the pool deck or have it ready in the event we are walking the dog and walk through an area where people might come within 6 feet of us.

I think these minor changes will also be beneficial to staff so they aren't needing to be in a mask in every outdoor space or in a golf cart without being worried about owners reporting them also.

ANSWER- The Board is not required to consult with medical experts to make decisions to protect the Association.

They did consult with legal counsel. 

How is signing the new waiver “voluntary”?

ANSWER- It is voluntary in that you may choose not to sign it. If you wish to use the ranch, you are required to sign it. If you do not wish to sign it, you may not use the ranch at this time. 

The update emailed out on 7/14/20 failed to provide what authority the BOD had to unilaterally close the Ranch. The update further fails to provide what authority for the Ranch to continually stay closed, after the BOD made an emergency rule. CC&R section 3.8.4(4) provides the authority to make an EMERGENCY RULE, under very specific conditions, not arbitrarily close the Ranch. Nothing in the new emergency rules provides any authority to close the Ranch. Explain what authority the BOD has to close the Ranch, citing the specific rule and how the BOD is in compliance with that rule.

ANSWER-Emergency rules may be adopted when there is a threat to health and safety. The Board consulted with county counsel and considered what that happening at the ranch during that time, and determined that closing the ranch temporarily was in the best interests the Association, until further rules and a plan could be established. 

The new emergency rule is poorly written, vague, and ambiguous. How will it be handled when there’s a question that arises due to these vague, ambiguous, poorly written rules?

ANSWER- If you have a question or concern about a particular rule, please send it to the Board in writing. 

ANSWER- The Board did not find it necessary, since it is not possible to eat or drink with a mask on. 

Provide a copy of any and all reports/citations from the Napa County Health Department/Sheriff Department supporting the unsubstantiated claims of the “blatant disregard for owner safety and wellbeing of others” as noted BOD minutes from July 4th, 2020.

ANSWER- The Board is not required to have reports or citations to make its determination, but did have a conversation with county counsel about the issues and their potential consequences with the county. 

Provide specific incidents that were in violation of the Napa County/State of California Public Health Order and guidelines as set forth in the Centers for Disease Control and Prevention that the BOD based their decision on to close the R-Ranch. Who witnessed these incidents? What witnesses corroborated these claims?

ANSWER- The Board was not required to list each violation that it considered in making its determination. The minutes of the meeting and the notice sent to owners with the emergency rules explained the basis for the Board’s decision.

Provide the specific authority within the By-laws, CC&R, or R-Ranch Rules that authorizes the BOD to close the R-Ranch as it did this last Sunday.

Napa County currently allows indoor dining, wineries are open again for tastings, hair salons are open, and you can walk into nearly any large business and see numerous people not in compliance with social distancing. We witnessed countless large groups on Lake Berryessa over the weekend with zero enforcement from the Sheriff’s Department.

Napa County is not enforcing violations of the public health order. In fact, nearly all jurisdictions within the State are providing minimal enforcement of violations. Small gatherings or “social bubbles” are becoming the norm throughout the State, please explain why the Napa Ranch BOD and Management feel the need to take their current stance.

ANSWER- The Board has the authority and the duty to create rules that it finds to be in the best interest of the Association and all owners. 

If the Ranch BOD/Management is set on becoming the social distancing/facemask police provide the guidelines for violations committed by employees as well as members of the BOD.

ANSWER- Everyone is expected to comply with the rules. We will deal with employee issues separately. If you have a concern about an employee not complying with the rules, please inform the Board in writing.

Provide specific incidents that were in violation of the Napa County/State of California Public Health Order and guidelines as set forth in the Centers for Disease Control and Prevention that the BOD based their decision on to close the R-Ranch. Who witnessed these incidents? What witnesses corroborated these claims?

ANSWER- The Board was not required to list each violation that it considered in making its determination. The minutes of the meeting and the notice sent to owners with the emergency rules explained the basis for the Board’s decision.

Provide the specific authority within the By-laws, CC&R, or R-Ranch Rules that authorizes the BOD to close the R-Ranch as it did this last Sunday.

ANSWER- See response re emergency rules. 

Napa County currently allows indoor dining, wineries are open again for tastings, hair salons are open, and you can walk into nearly any large business and see numerous people not in compliance with social distancing. We witnessed countless large groups on Lake Berryessa over the weekend with zero enforcement from the Sheriff’s Department.

Napa County is not enforcing violations of the public health order. In fact, nearly all jurisdictions within the State are providing minimal enforcement of violations. Small gatherings or “social bubbles” are becoming the norm throughout the State, please explain why the Napa Ranch BOD and Management feel the need to take their current stance.

ANSWER- The Board has the authority and the duty to create rules that it finds to be in the best interest of the Association and all owners. 

If the Ranch BOD/Management is set on becoming the social distancing/facemask police provide the guidelines for violations committed by employees as well as members of the BOD.

ANSWER- Everyone is expected to comply with the rules. We will deal with employee issues separately. If you have a concern about an employee not complying with the rules, please inform the Board in writing.

New Business: 1. Fire Update a. Ranch evacuation on Monday 17, 2020. All owners, employees and 60 horses were evacuated without incident. County CART program provided horse transport and set up. Facility w/ temporary horse corrals at ValleyBrook Equestrian Center in North Napa. Evacuation process with the help of Claudia (vet) and CART was seamless. b. Horses settled and employees are shift sharing 3 hours per shift w/ owners also volunteering.

Horse Dakota would not trailer and he was left at the Ranch with his buddy, the Shetland pony, China. Brad tried to trailer the horse 3 attempts for over 6 hours total. c. All staff is staying together in a Napa camping ground d. Harry Fitzpatrick, ranch hand has stayed back and provided status of ranch since Monday e. April has been working on RV sites for employees, constantly had to shift sites multiple times, ranch office is set up, banking deposits made, will put hold on mail and pick up current mail. f. Brad spoke w/ John Marshall (insurance agent) possible underlying coverage for employee expenses. John made it clear that if we file another claim we would be uninsurable. If we plan to file claim, it had better be a big one. g. Ranch reopening - Brad indicates that based on all electricity down and previous timeframes with other fires it will be weeks away. Fire is still at 0% contained and no resources.

h. Employee resource need and availability. Impacts to PPP loan needs to be investigated.

Mike will reply to Patti indicating we do not feel the actions on a social media site were excessive, however we are working on Owner Code of Conduct to hold owners more accountable, bad behavior wont be tolerated, etc.

4. New Business: a. Ranch Manager reports we been without power for 3 weeks now with all store perishables lost. Power now on and off for 24 hours constantly- on PG&E generator power by Circle Oaks. We have been advised power should be up by 9/20. Not getting any communications from PGE b. Reports pool chemistry has been administered, but doesn’t believe it will be ready for this weekend.

Prior to fire, Pool hours 1-8 pm M-Thurs, 9-8 pm Fri-Sun. After Labor Day, hours get reduced due to early nights. 1-7 pm Mon-Thurs 9-7 pm Fri-Sun. Pool deck needs to be pressure washed. c. Trail rides closed due to trees down on trails. Did not want to cut trees right now due to fire danger. d. Tried to get a PGE same day permit for generator and has been advised it will take two weeks to get permit. e. We are extremely short-staffed as we are now short of all summer work campers. We have 2 stables, 2 pool, 2 office, 1 security, 2 housekeepers, and 1-maintenance employees on staff now. f. Have not communicated with the private security firm, but will check on status. g. Ed wants the employee issue dealt with first. Believes this is a carryover from the dog bite. The BOD okayed hiring security guards to insulate Management from the issue of enforcing the COVID guidelines of the Ranch. On security’s days off the Ranch Manager feels pressure from being watched by some Owners looking for him or his family to do something wrong at all times.

Prior past negative behavior by Ms. Bruce was discussed. The consensus of the BOD is to use all documented behavior post dog attack.

Attorney Ellen wants more detail over the incident to move forward, but admits videoing the Managers child or taking to him is not right. Plus she does not want anything about the dog bite incident.

Attorney would like a reminder of a Code of Conduct to the Owners. Also look to an Advisory Committee for enforcement of rules.

Ed wants to include employee privacy also.

Mike Goodman asked the attorneys’ on the matter of being personally sued over this.

The attorneys’ stated that being on the Board the insurance company would cover legal expenses and costs defending the Directors doing their Association job.

2) Discussed Owner disciplinary action for Mr. Murray for spiting at the pool. We need more input for this investigation.

Anthony Moscarelli is going to take over the investigation.

3) Discussion with attorney over Directors keeping their trailers on the Ranch and the 30/60/90 day rule. Discussed multiple options.

4) Discussion on the 120-day rule and the next steps to bring up in November to deal with it. Attorney advises making changes to the rules based upon the COVID Guidelines then giving the Association members a 30day comment period before voting on it.

5) Ed discussed our Budget based on COVID and his ideas how to make it through the next year. Joe wants more financial information to start the building of the Snack Bar Restaurant. Ed needs more time to complete his figures.

I want to start off by stating that This year, 2020, has been one of the most challenging years for our entire ownership. We have Covid !9 effecting so much of all of our lives, and add to that the horrible fires, again!

I want to let every owner know that throughout this entire year April, Brad, myself and the Board have been maintaining a constant vigilance for the safety of our ranch. I mean physical safety and as Treasurer, a main concern, Financial Safety.

The Ranchâ&#x20AC;&#x2122;s budget is always a focus of ours, but in the very first month of this year there was information that things may end up being dramatically different. In meetings early in the year the Board began to talk about what we would do to monitor our situation in all aspects of the ranch and very importantly our financial strategies. Well, by March we had our fears realized. Covid 19 had its confirmed American foothold and the worry of uncontrolled spread shut us down. Shut everything down.

The Management and The Board had already talked about strategies for mitigation of financial losses and how the plan for the year was going to have to change. We were all involved in finding what we could or couldnâ&#x20AC;&#x2122;t do with employees and employment, and what was allowable as far as work environments and safety protocols. If the ranch is shut down to owners, how long will it be? What do we do about our employees and what do we do as far as what is budgeted? What projects could still be worked on if any and what shouldnâ&#x20AC;&#x2122;t. Was there any benefit in the ranch being shut down temporarily but not evacuated of employees?

There were decisions to continue work on projects that were still allowed by the State and already funded by our budget, especially if there was the benefit of having more focused time devoted by employees. This monitored closely to be certain to not go beyond our budget. The ranch applied for and received a PPP grant/loan in the amount of $118K from the government as incentive to keep or add employees during the shutdown. That fact helped make the decision to go ahead with some Infrastructure projects knowing that the PPP money was mitigating the employee expense.

The Management and Board continued to monitor the financial effect on the Budget because there were losses happening even with the PPP money helping. With no owners present we had losses, income from the store, from the guest passes, from the riding passes, and because the courts were closed as well, we had losses in collection revenue from our Past Due owners. Consider too we also had budget gains in that we were not being billed as much for some energy bills. So, where we had deficits, we also had gains and also a Financial grant. Where we had savings, we also had history making expenses. We had no Pandemic Caused Expense Contingency.

The Management and Board were never considering spending the Ranch’s Reserve Funds for any of this.

Our first and foremost effort was to maintain a vigilant watch on spending and adjust our budgeted expenses to realign with what was changing sometimes weekly in response to the effects of the Pandemic.

Now add a Fire. OMG, Really??!!!!

Thank Goodness we fared well in this one!!!!

But another shut down while already enduring the budget busting pandemic?!! More loss when we thought we couldn’t experience worse.

Because the Management and Board had already been so vigilant budget wise, we were immediately aware of and acting on what needed to happen to maintain the Ranch’s financial wellbeing. More severe cuts and adjustments had to be made to our budget line items, including payroll. This time considering the season and having more “trust” in what would “Not” happen during the pandemic.

The board and management have made extreme and dramatic cuts to our budgeted expenses and have made adjustments because of our lost income sources, while ensuring the Capitol Improvement Reserve was maintained. Spending so far only the amount budgeted for the Lodge Roof replacement.

The Ranch is in good financial shape considering all that we have gone through. We will absolutely survive this terrible year. We are not where we had planned to be if there was no pandemic for sure, but we are very stable and without any more 2020 unknowns, we will end this year maintaining our financial stability.

The Management and Board have been evaluating every aspect of our business with an eye toward a Covid challenged existence. How long will Covid last? How will this continue to affect our ownership?

How will it continue to affect our use of the ranch? What do we budget for and what do we cut from the budget? Our focus toward budgeting for next year is what is the bare minimum? What use will be allowed and what won’t. How do we budget for this?

What we are focusing on now is the bare necessities. We are not considering budgets for entertainment and parties for sure. We are not budgeting for the number of employees we normally have as “Minimum numbers” during a “Normal use” year. We are looking at how few can we get by with while still covering the necessities of feeding and maintaining livestock and managing our collection efforts and grounds maintenance and paying our taxes and insurance. Until Covid is managed and we have the green light we must be aware that our business as usual, isn’t. R Ranch is running bare bones.

The Bod is focused on first providing that bare bones minimum and if/when we are allowed to have or do more. we can then work towards budgeting for that. Our next years budget is being planned with all of this in mind.

R-RANCH AT THE LAKE RANCH OWNERS’ ASSOCIATION Memorandum to the Members October 12th, 2020 Dear Fellow Owners, As you know, the Board of Directors adopted the Emergency Rules to Prevent or Mitigate COVID-19 Disease Transmission on July 14, 2020, pursuant to CC&Rs section 3.8.4(4).

Emergency rules expire 120 days after adoption. However, the Association continues to have a duty to protect the owners, employees, and Association from foreseeable threats to health and safety.

In order to continue to protect the health and safety of owners, employees, and the Association, the Board plans to adopt the enclosed Operating Rules to Prevent or Mitigate COVID-19 Disease Transmission (the “Rules”).

These Rules are similar to the Emergency Rules, with a few key updates, including opening the playground, changing the Gate hours of operation, revising the Bathhouse openings, and clarification about who may access the Ranch.

The Board’s continued goal is for owners to be able to use the Ranch safely. The Board has carefully considered the risks and options available to the Association and has consulted with legal counsel.

Similar to the Emergency Rules, anyone who wishes to use the Ranch facilities will be required to sign the attached R-RANCH AT THE LAKE (NAPA) RANCH OWNERS’ ASSOCIATION ASSUMPTION OF RISK, HOLD HARMLESS, AND WAIVER OF LIABILITY AGREEMENT RELATING TO CORONAVIRUS/COVID-19, which includes an acknowledgement of the Operating Rules to Prevent or Mitigate COVID-19 Disease Transmission, prior to coming to the Ranch. If you have already signed the waiver, you will not be required to sign another one.

Members may comment on the proposed Rules for a period of 30 days from the date of this memorandum. Comments should be submitted in writing to the Board via email at bod@rranch.net. The Board will vote on adoption of the Policy at a Board meeting on November 3, 2020. Your comments, questions, and suggestions will be considered at that Board meeting.
