PART I (Lots 1 - 31)

Eight Imperial ‘dragon and phoenix’ bowls, lots 1-8

The use of the various patterns of porcelain within the Imperial household was highly codified during the Ming and Qing dynasties.

Bowls painted and enamelled in the wucai palette with descending phoenixes alternating striding dragons were first produced during the reign of Emperor Kangxi. Like many of the new designs introduced in this period, the wucai motif of dragons and phoenixes found its inspiration in patterns of the Ming dynasty. An Imperial Wanli wucai dish with a design of dragons and phoenixes is the collection of the Metropolitan Museum of art, New York, Accession Number: 17.118.17.

Bowls of this design were produced throughout the 18th century and continued to be produced through the whole Qing dynasty, with many Qianlong and Daoguang examples known. In the twenty-first year of Qianlong (1756), an inventory check of Imperial wares of various mediums was carried out by the directors of the Qianqing Palace, the Yangxin Palace, and the Old Summer Palace; this inventory includes a grand-total of 943 wucai ‘dragon and phoenix’ bowls, bearing Kangxi, Yongzheng and Qianlong marks, across five different lists.

The fact that these bowls were produced in such large numbers in the early Qing dynasty, alongside their presence in the Imperial palaces, implies that they were used as dining wares for the Imperial family; Qing dynasty records also suggest that these bowls were used for wedding celebrations and Imperial Qianqing Palace banquets, due to their auspiciousness.

The five-clawed dragon is a symbol of the dignity and power of the Emperor, and represents fertility, while the phoenix embodies the warmth of the sun and helps produce male offspring. When depicted together they generally represent the Emperor and Empress and are symbolic of marital bliss. A common auspicious phrased used in Chinese

weddings is ‘long feng cheng xiang’ - meaning ‘Dragon and Phoenix bring Auspiciousness’. The auspiciousness of the present motif is further compounded by the use of Buddhist Emblems in the border at the rim.

These bowls are also recorded to have been used as Imperial gifts: when the Neapolitan Jesuit missionary Matteo Ripa, known in Chinese as Ma Guoxian(马国贤) , on the first year of Yongzheng (1723) requested a leave of absence from the Imperial court to return to Italy after a series of bereavements in his family, the emperor Yongzheng bestowed him with a gift of porcelain wares, which included forty of these wucai ‘dragon and phoenix’ bowls. A similar occurrence is recorded on the 9th year of Yongzheng: when two Westerners, Ruose Li and Weida Na, requested permission to return to Europe, they were gifted a number of porcelains, including eighty ‘dragon and phoenix’ bowls.

Whilst, from the Yongzheng period onwards, wucai and doucai enamels started being replaced with the famille rose palette of enamels, ‘dragon and phoenix’ bowls in wucai enamels were one of the few designs whose production continued uninterrupted, remaining a staple of the Imperial factories throughout the Qing dynasty.

御製五彩龍鳳紋盌八件

明清時期,景德鎮御窯作為專供皇家燒造瓷器的窯 口,逐漸形成了完整的體系和統一的工藝規範。按照朝 廷製定的標準進行燒造是明清御窯瓷器的一大特色。

此式五彩龍鳳碗的燒造始於康熙年間並延 续 至宣 统 朝。其靈感來源與同時期創燒的許多品種相似,皆 受明代瓷器紋飾 啟 發。紐約大都會博物館藏萬曆年 間御製五彩龍鳳紋盤即使用此類繪畫裝飾,藏品編 號:17.118.17。

這種紋飾的碗為大運瓷,在清朝一直都有燒造,諸多 帶有乾隆和道光年款。據乾清 宫 、養心殿與頤和園總 管於乾隆二十一年對各 宫 御用器皿進行清點的五份 清單記載,帶康熙、雍正、乾隆年款的龍鳳紋碗共計九 百四十三件。

此式碗在清初燒造的數量之多也是其曾為御用膳食 器的重要佐證。清宮檔案還記載,由於此類碗的畫片 寓意頗為吉祥的緣故,也曾用於慶祝婚禮和乾清宮宴 會。

五爪龍象徵著帝王的尊嚴、權力和生育力;鳳凰則代 表溫暖的太陽、助皇帝孕育子嗣。當龍鳳同時出現時 則代表皇帝與皇后,象徵其婚姻美滿、福澤深厚。正如

中國人慶祝婚禮時常說的龍鳳呈祥。此外碗的邊緣使 用佛教八寶紋飾更加豐富了其吉祥美滿的寓意。

據記錄,此類碗也曾被用作御賜禮。雍正元年,那不勒 斯耶穌會傳教士馬國賢(Matteo Ripa)因家中變故暫 時離朝回意大利。臨行前雍正皇帝賜給他的各式瓷器 中就包括四十只此式龍鳳碗。

從雍正時期開始,五彩和鬥彩逐漸被粉彩所取代。但 此式五彩龍鳳碗從未斷燒過,且為御窯廠的主要產品 之一。

The ‘Hall of Prudent Virtue’ (慎德堂 Shengde tang), was Emperor Daoguang’s main residence, built within the ‘Old Summer Palace’ (圓明園 Yuanming yuan) between 1830 and 1831.

The first account of Imperial porcelain bearing a Shengde tang mark being commissioned is recorded within the archives of the Imperial Household Department: in the thirteenth year of his reign (1833), the Daoguang Emperor issued an edict ordering, by Imperial command, that a spittoon and sixty further pieces of porcelain with white interiors be made with a Shengdetang zhi four-character mark in regular script.

The gently rounded sides finely enamelled to the exteriors with the Eighteen Luohans on a continuous coastal landscape, each of them holding their implement, two of them crossing a bridge, with the misty peaks of the Isles of the Blessed in the distance, the bases with iron-red six-character marks in regular script, 14.6cm diameter each (2).

The present pair of bowls is decorated with the Eighteen Luohans, who act as guardians of the Buddhist faith, and have obtained enlightenment through merit and virtue.

Because of the logistic impediments caused by the Taiping rebellion, which wreaked havoc in much of Southern China between 1850 and 1874, Imperial orders at the factories at Jingdezhen are thought to have been successfully produced and transported only for the first two years of Xianfeng’s reign, making Xianfeng-marked Imperial porcelain extremely rare.

Another bowl with the same decoration with Shendetang Zhi marks, also slightly bigger, was offered by Christie’s Hong Kong, 26 November 2014, lot 3328.

Brightly-enamelled famille rose bowls decorated with medallions over sgraffiato grounds of various colours, with fine underglaze blue painting to the interiors, were first produced during the reign of the Qianlong emperor and became a staple of the Imperial kilns during the reigns of his successors. This is true especially during the reign of Daoguang, when particularly fine examples in a range of motifs were made.

The lantern design on the present bowl is a rebus for ‘good harvest’, feng deng. It is likely that these bowls were used particularly during the Lantern Festival, as suggested by Jan Stuart in the exhibition catalogue Joined Colors, Washington D.C., 1993, cat.no. 58, where an example from the Dr. S.Y. Kwan collection is illustrated.

佛日常明 (fori changming) may be translated as ‘The Light of Buddha Shines Eternally’. The design of the present lot initiated, like many others, during the reign of the Qianlong Emperor, and kept being produced during the reigns of his successors.

The Qing Palace Archives record it as being approved by Emperor Qianlong himself in the first year of his reign: ‘On the twentysecond day of the twelfth month in the first year of the Qianlong reign (1736)... the emperor endorsed the production of wares in accordance with the plate prototype featuring a yellow ground with green-enamelled floral motifs and the four characters 佛日常明 (fori changming), applicable on any 7-cun (the Chinese measurement cun is equivalent to 3.2-3.55 cm) plate, 5-cun plate, large bowl and small bowl...’

Moreover, it is recorded that forty of these bowls were received by the Buddha Hall of Qianlong as ritual offerings bowls, amongst a number of other designs, in the twelfth month of the twelfth year of Qianlong (1747). A later inventory check carried out on the twenty-first year of Qianlong (1756) in the Buddha Hall only found five of this pattern. A further seventeen of the large size, and eighty-three of the small size, were found in an inventory of the Imperial kitchens carried out the following month of the same year. A further inventory of the Imperial kitchen carried out on the fourth year of Jiaqing (1799) finds the number of ‘fori changming’ bowls unchanged, suggesting that production of this pattern may have stopped for some time.

Bowls of this pattern, with a Jiaqing mark, appear to be rarer than their Qianlong counterparts. Imperial records report that, on the eleventh year of his reign (1806), Emperor Jiaqing ordered a further inventory check to be carried out, with the ultimate purpose to halve porcelain production overall; two years later, in 1808 (the thirteenth year of Jiaqing), thirty new small ‘fori changming’ bowls with Jiaqing four-character marks were presented to court. Later that year, a further inventory check was carried out by the Imperial Kitchens; the Emperor then instructed that the thirty bowls found with Jiaqing mark were sufficient, and to replace this pattern in the forthcoming orders with fifteen yellow bowls and fifteen green ‘peach’ bowls.

The Qing Palace Archives record it as being approved by Emperor Qianlong himself in the first year of his reign: ‘On the twentysecond day of the twelfth month in the first year of the Qianlong reign (1736)... the emperor endorsed the production of wares in accordance with the plate prototype featuring a yellow ground with green-enamelled floral motifs and the four characters 佛 日常明 (fori changming), applicable on any 7-cun (the Chinese measurement cun is equivalent to 3.2-3.55 cm) plate, 5-cun plate, large bowl and small bowl...’

Moreover, it is recorded that forty of these bowls were received by the Buddha Hall of Qianlong as ritual offerings bowls, amongst a number of other designs, in the twelfth month of the twelfth year of Qianlong (1747). A later inventory check carried out on the twenty-first year of Qianlong (1756) in the Buddha Hall only found five of this pattern. A further seventeen of the large size, and eighty-three of the small size, were found in an inventory of the Imperial kitchens carried out the following month of the same year. A further inventory of the Imperial kitchen carried out on the fourth year of Jiaqing (1799) finds the number of ‘fori changming’ bowls unchanged, suggesting that production of this pattern may have stopped for some time.

Six Imperial yangcai bowls, lots 25-29

Featuring an imaginary flower, known as ‘baoxianghua’, that combines elements of peony, pomegranate, chrysanthemum, lotus and other flowers and plants, to represent majesty and beauty, the magnificent enamelling on this group of bowls is a testament to the technical artistry and aesthetic mastery reached by the artisans of the Imperial workshops during the early to mid Qing dynasty. The decoration of the interior, with its five bats, wufu, represents a further auspicious wish for the owner to enjoy the ‘Five Blessings’ of longevity, health, wealth, love of virtue, and peaceful death.

The term Yangcai (洋彩) first appeared in the records of Tang Ying, Taosheng Jishi (陶成纪事), written in the thirteenth year of Yongzheng, where yangcai is described as a new category of glazed and enamelled porcelain inspired by Western painted enamel on copper. A number of yangcai wares were produced, later to become Imperial tea and dining vessels.

Palace records report that on the thirteenth day of the tenth month of the second year of Qianlong’s reign (AD1737), the Emperor was presented with ten new designs, including that of the present bowl, listed as ‘yellow-ground yangcai Palace bowl with foreign flowers’ (洋彩黃地洋花宮碗)1. Qianlong was so enamoured with the magnificent composition of baroque, scrolling flowers, that not only did he approve the production of this type of bowl in greater numbers, ordering: ‘this is a very good bowl, make more (洋彩黄地洋花宫碗甚好,再燒 造些)’2, but he also requested that the pattern be applied to boxes and covers, and vases.

During the reign of Daoguang, bowls of this pattern are thought to be referred to as ‘five-bats enamel bowls’. They are present in the records of the Imperial Palace archives from as early as the twelfth month of the first year of Daoguang’s reign (AD1821), when the records report that ‘(the Imperial Household Department) received a new shipment from Jiujiang, pieces with the Daoguang mark, including twenty large five-bat enamel

bowls and thirty small five-bat enamel bowls.’ The following year, when the Guangchu Division of the Imperial Household Department instructed the Jiangjiu to relay to the Imperial Kiln a list of the wares needed for the Imperial Tea and Dining Room, this list included ‘large five-bat enamel bowls’ and ‘small five-bat’ enamel bowls, with the request to produce several pieces of each. This suggests that bowls of this pattern were produced exclusively for the Imperial Tea and Dining Room, at the explicit behest of the court.

Production of these bowls was stopped in the 28th year of Daoguang (AD1849), by Imperial order. That year, when presented by a minister with the memorial listing the suggested porcelain production order for the year, Emperor Daoguang expressed dissatisfaction with the burdensome arbitrary rules of the past regulating the seasonality of patterns of porcelain and requested that the production of sixteen wares in this list be stopped immediately. Amongst these was the fivebat, floral bowl.

Palace records indicate that these bowls were produced in two sizes, both featured in the present collection. An example of the smaller size (14.8 cm diameter) is a pair from the Fonthill Collection, sold at Christie’s Hong Kong, 1 December 2010, lot 2892. The larger examples at 18.5 cm include a bowl in the collection of the Metropolitan Museum of Art, illustrated in Oriental Ceramics, The World’s Great Collections, 1977, vol. 12, no. 163; a bowl in the Victoria and Albert Museum, accession no. C.292-1918, illustrated by R. Kerr, Porcelain of the Qing Dynasty, 1644-1911, London, 1986, pl. 106; and yet another bowl illustrated by J. Ayers, Chinese Ceramics in the Baur Collection, vol. 2, 1999, p. 234, no. 338 (A630).

御製洋彩碗六件

此碗的紋飾以寶相花、牡丹、石榴、菊、蓮及各式花草

為元素,秀麗且不失皇家威嚴,是清中早期御窯廠工 匠達到超高造瓷技術和卓越美學造詣的證明。內部飾 有五隻蝙蝠(五福),代表著長壽、健康、富裕、愛德和 善終的吉祥願望。

洋彩一詞最早出現在唐英於雍正十三年間撰寫的《陶 成紀事》中。他將洋彩描述為受西方銅胎畫琺瑯彩所 啟發而新創的一種釉上彩。當時燒造了許多洋彩瓷器, 其中多為御用茶器和膳食器。

據《造辦處活計檔》記載,乾隆二年十月十三日司庫劉 山久、七品首領薩木哈、催總白世秀呈上十多种瓷器, 其中 “洋彩黃地洋花宮碗”[1]便為此類碗。乾隆皇帝甚 是喜愛這種巴洛克式卷草花卉構圖,檔案中記載:“黄 地洋花 宫碗甚好,再燒造些。”[2]並下旨將同類花卉構 圖應用於瓶、蓋盒等進行裝飾。

這種圖案的碗在道光年間被稱為 “五蝠琺瑯磁碗”。道 光元年十二月,《造辦處活計檔》有此種碗的記錄:“收 得九江新到道光款……大五蝠琺瑯磁碗二十件,五蝠 琺瑯小磁碗三十件。”

翌年,內務府廣儲司要求九江關轉達御窯廠燒造御茶 膳房所需的瓷器清單中有“大五蝠琺瑯磁碗”、“五蝠琺

瑯小磁碗”二項,要求“每樣燒十數件”的記載,此屬傳 辦瓷器,等級頗高,專供“御茶膳房”使用。

道光二十八年大臣向皇帝呈上該年瓷器燒造的清單 時,皇帝命停燒十六種瓷器,其中就包括此類碗。道光 帝曾批復:“從前按節令按花紋之鄙例再不能除,些些 小事就如是可恨可惡之至。總之有用之物不嫌共多, 繁文些條如當力屏,初不在數十種瓷器也。”

TERMS AND CONDITIONS FOR BUYERS

INFORMATION FOR BUYERS AT AUCTIONS

1. Introduction. The following informative notes are intended to assist Buyers of Roseberys London particularly those inexperienced or new to our salerooms or online only bidding platform. All sales are conducted according to our printed Conditions of Sale which are readily available for inspection in person, on our websites and normally accompany catalogues. Our staff will be happy to help you if there is anything you do not fully understand. Please make sure that you read our Terms of Sale set out in this catalogue or on our website carefully before bidding in the auction. If your bid is successful, you will be obliged to comply with our Terms of Sale.

2. Agency. As auctioneers we usually contract as agents for the seller whose identity, for reasons of confidentiality, is not normally disclosed. Accordingly if you buy your primary contract is with the seller.

3. Estimates. Estimates are designed to help buyers gauge what sort of sum might be involved for the purchase of a particular lot. The lower estimate may represent the reserve price or may be above the reserve price. Estimates do not include the Buyer’s Premium or VAT (where chargeable). Estimates are prepared some time before the sale and may be altered by announcement before the sale. They are in no sense definitive.

4. Buyer’s Premium. Please note a buyer’s premium is applied to all lots bought at auction. The buyer shall pay the hammer price together with a premium thereon of 26% up to £20,000 (31.2% inclusive of VAT), 25% from £20,001 - £500,000 (30% inclusive of VAT), 20% from £500,001 thereafter (24% inclusive of VAT). The premium price is subject to VAT at the standard rate.

5. VAT. VAT rules are complicated and you should take specialist advice if you are uncertain about their effect. The following paragraphs explain the VAT symbols used in our catalogues.

5.1. Items in our catalogue may be marked in the following ways:

a. (*) indicates that VAT is payable by the buyer on both the hammer price and the buyer’s premium. VAT will be chargeable at the standard rate (presently 20%) for most lots. Qualifying books will be charged at 0%. This imposition of VAT is likely to be because the seller is registered for VAT within the UK and is not operating the Dealers’ Margin Scheme on their consignment to us.

b. Lots which do not display one of the above symbols (referred to herein as unmarked lots) have no VAT payable on the hammer price. This is because such lots are sold using the Auctioneers’ Margin Scheme. Therefore, an amount in lieu of VAT at the standard rate is included within the premium and will not be shown separately on our invoice or be recoverable as input tax.

6. Refunds of VAT

6.1. For buyers from outside the UK, the VAT charged on the hammer price and buyer’s premium or included in lieu of VAT in the buyer’s premium can be refunded so long as the buyer has:

a. registered to bid with an address outside the UK; and

b. provided us with proof of export within 3 months of the sale.

6.2. Once we are satisfied that the requirements referred to in Clause 6.1 have been met, and with the proof of export provided, the following VAT will be refunded:

a. For lots marked (*): The VAT on the hammer price and on the buyer’s premium.

b. For unmarked lots: the amount in lieu of VAT in the buyer’s premium.

6.3. To enable us to refund the VAT charged correctly we normally require the use of our international shippers to assist with the required paperwork.

7. Reinvoicing Sales. For unmarked lots, you can request a lot to be reinvoiced outside the Auctioneers’ Margin Scheme. VAT at 20% will be charged on the hammer price and the VAT on the buyer’s premium will be itemised separately on our invoice. This will enable a VAT registered business to reclaim all the VAT. Please note that the item will no longer be eligible to be sold in the Margin Scheme. We recommend you seek advice before proceeding. Requests must be made within 21 days of the sale and certain conditions apply.

8. Agents. We are, primarily, agents for the seller. We are dependent on information provided by the seller and whilst we may inspect lots and act reasonably in taking a general view about them we are normally unable to carry out a detailed or any examination of lots in order to ascertain their condition in the way in which it would be wise for a buyer to do. Intending buyers have ample opportunity for inspection of goods and, therefore, accept responsibility for inspecting and investigating lots in which they may be interested. Please note carefully the exclusion of liability for the condition of lots contained in the Conditions of Sale. Neither the seller nor we, as the auctioneers, accept any responsibility for their condition. In particular, mechanical objects of any age are not guaranteed to be in working order. Additionally, in specified circumstances lots mis-described because they are ‘deliberate forgeries’ may be returned and repayment made. There is a three week time limit. (The expression ‘deliberate forgery’ is defined in our Conditions of Sale).

9. Goods with electrical components. These are sold as “antiques” for their historical and decorative attributes, and for collection and display only. They are not intended for use. If you buy goods with electrical components and intend to use them, you must ask a qualified electrician to check them for compliance with safety regulations before you use them.

10. Endangered species. If you intend to buy goods which contain endangered species, you need to find out if there is a prohibition on the purchase of goods of that character. For goods containing elephant ivory, you also need to satisfy yourself that they have been correctly registered or certified and meet the exemption conditions under applicable legislation.

11. Upholstered items. There are sold as “works of art” only and if bought for use must be checked over for compliance with safety regulations (items manufactured prior to 1950 are exempt from any regulations). Use of such goods is entirely at the risk of the Buyer and no warranties as to safety of the goods are provided, therefore, if you do intend to use such Lots for private use or otherwise, you must first ensure that they are refurbished and rendered compliant with any applicable furniture and safety regulations.

12. Coloured gems. It is common practice for gemstones to be treated in order to enhance colour and clarity. Unless stated buyers should presume coloured stones may well have been exposed to some sort of treatment.

13. Export of goods. Buyers intending to export goods should ascertain (a) whether an export licence is required and (b) whether there is any specific prohibition on importing goods of that character because, e.g. they may contain prohibited materials such as ivory.

14. Bidding. Bidders will be required to register with us before the auction starts. We reserve the right to impose a deadline prior to the auction by which you must register or by which we must receive a commission bid. If you wish to bid on high value lots this deadline may be several days before the auction in order to allow us sufficient time to carry out the necessary checks. Lots will be invoiced to the name and address on the registration form. Please enquire in advance about our arrangements for telephone or online bidding. Please note that we may refuse to register you if you do not provide us with all the information and documentation that we ask for or at our discretion.

15. Know your Buyer Checks. As auctioneers we may have to conduct various checks into our customers under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (as amended), under sanctions legislation and other related legislation. Unless we confirm we already have this information, on registration to bid you will be required to provide the following:

a. For individuals, official photo identification (driving licence, passport or equivalent) and proof of address (if this is not included in your ID document).

b. For corporate entities, the certificate of incorporation (or equivalent) with the entity’s official name, registered number (if any) and registered address, as well as details and ID documentation for directors and beneficial owners of the entity.

c. For trusts and estates, details and ID documentation for executors/trustees and details of beneficiaries: please contact us for further information.

15.1. You may be asked for further information if we deem this necessary.

15.2. If you are bidding for another person (your “principal”) you will be required to provide the above information for yourself and your principal, along with a signed letter from your principal authorising you to bid on his/her behalf.

15.3. Further information about ID requirements is available on [020 3820 3140]. If we deem that you have not provided sufficient information for us to complete our anti-money laundering, terrorist financing and sanctions checks to our satisfaction, we may refuse to register you to bid and we may postpone completion of or cancel any contract made by you and the Seller in the event you have made a successful bid.

16. Live Online bidding

(a) An online bidding service is offered via RoseberysLive, thesaleroom.com and liveauctioneers.com. In completing the bidder registration on these sites the buyer is agreeing to Roseberys conditions of sale.

(b) In the case where a debit or credit card has been used to register the buyer also agrees to authorise Roseberys, if they so wish, to charge the debit or credit card given in part or full payment, including all fees, for items successfully purchased in the auction via the online bidding platforms.

(c) Please note there is no additional surcharge for any lots purchased via RoseberysLive, whether live bidding or commission bidding. Any lots purchased via thesaleroom.com or invaluable.com will be subject to an additional 5% commission charge + VAT at the rate imposed on the hammer price. Any lots purchased via Drouot.com will be subject to an additional 3% commission charge + VAT at the rate imposed on the hammer price.

(d) Roseberys offers online bidding services as a convenience to its clients, but neither Roseberys nor the seller will be responsible to you for errors during or after the sale or failures to execute bids, either live bids or commission bids placed on the internet or on your mobile device, including, without limitation, errors or failures caused by: (i) any loss of connection to the auction being conducted online; (ii) a breakdown or problems with the online bidding software or the website service provider; and/or (iii) a breakdown or problems with any internet connection, computer, mobile device or system.

(e) By accessing RoseberysLive and using the software provided you are agreeing to the Website Terms and Conditions governing use of our websites. Please ensure you familiarise yourself with these prior to accessing our websites.

17. Collection and storage

(a) Please note what the Conditions of Sale state about collection and storage. It is important that goods are paid for and collected promptly. All lots must be collected within five working days following auction. Storage charges of £5 per lot per day + VAT plus an additional transfer charge of £10 + VAT per lot will be strictly enforced thereafter.

(b) Roseberys are unable to pack, post or deliver any items purchased through public or online auction, a list of suggested companies is supplied upon issuing of invoices, upon request or on the company website/s. These are suggestions only and are not the recommendation of Roseberys or affiliated with Roseberys in anyway and as such Roseberys cannot be held responsible for the individual performance of these companies.

Both the sale of goods at our auctions and your relationship with us are governed by the Terms of Consignment (primarily applicable to sellers) the Terms of Sale (primarily applicable to bidders and buyers) and any notices displayed in the saleroom or announced by us at the auction (collectively, the “Conditions of Business”). The Terms of Consignment and Terms of Sale are available at our saleroom on request.

Please read these Terms of Sale carefully. Please note that if you register to bid and/or bid at auction this signifies that you agree to and will comply with these Terms of Sale.

Please note that these Terms of Sale relate to auctions held at our premises only. We have separate terms for online only auctions.

1. Definitions and interpretation

1.1. To make these Terms of Sale easier to read, we have given the following words a specific meaning:

“Auctioneer” means Rosberys Fine Art Ltd, a partnership or company registered in England and Wales with registration number 06772322 and whose registered office is located at 74-76 Knights Hill, London, SE27 0JD or its authorised auctioneer, as appropriate;

“Art Market Participant” means an art market business registered with HMRC under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (as amended);

“Bidder” means a person who places an offer (called a “bid”) for Goods at our auction;

“Buyer” means the person who makes the highest bid for a Lot accepted by the Auctioneer;

“Deliberate Forgery” means: (a) an imitation made with the intention of deceiving as to authorship, origin, date, age, period, culture or source; and (b) which is described in the catalogue as being the work of a particular creator without qualification; and (c) which at the date of the auction had a value materially less than it would have had if it had been as described;

“Hammer Price” means the level of the highest bid for a Lot accepted by the Auctioneer by the fall of the hammer;

“Independent Bidding Platform” means an online bidding platform or service that is independent from us and has an arrangement with us to permit a Bidder to review Lots and to bid in our auctions using their platform or service;

“Lot(s)” means the goods that we offer for sale at our auctions;

“Money Laundering Legislation” means the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (as amended) and related legislation, together with any applicable terrorist financing and legislation on Restrictive Measures;

“Principal” means a person or entity you are acting on behalf of for the purposes of the purchase of the Lot(s);

“Premium” means the fee that we will charge you on your purchase of a Lot to be calculated as set out in Clause 4.1.b;

“Recorded Delivery” means a method of delivery pursuant to which the sender receives a confirmation that a letter has been posted and a signature is obtained from the recipient as a record that it has been delivered;

“Reserve” means the minimum hammer price at which a Lot may be sold;

“Restrictive Measures” means economic or financial sanctions, export controls, embargoes or any other restriction on trade under the laws of the European Union, the United Kingdom or the United States, or in the jurisdiction in which you, your Principal, or any agent acting for you does business;

“Sale Proceeds” means the net amount due to the Seller;

“Seller” means the person who consigns Lots for sale at our auctions;

“Terms of Consignment” means the terms on which we agree with Sellers to offer Lots for sale in our auctions as agent on their behalf;

“Terms of Sale” means these terms of sale, as amended or updated from time to time;

“Total Amount Due” means the Hammer Price for a Lot, the Premium, any applicable artist’s resale right royalty, any service charge or fee levied by the Independent Bidding Platform through which the successful bid was placed, any VAT due and any additional charges payable by a defaulting buyer under these Terms of Sale;

“Trader” means a Seller who is acting for purposes relating to that Seller’s trade, business, craft or profession, whether acting personally or through another person acting in the trader’s name or on the trader’s behalf;

“VAT” means Value Added Tax or any equivalent sales tax; and “Website” means our website available at www.roseberys.co.uk.

1.2. In these Terms of Sale, the words “you”, “yours”, etc. refer to you as the Buyer. The words “we”, “us”, “our” etc. refer to the Auctioneer. Any reference to a ‘Clause’ is to a clause of these Terms of Sale unless stated otherwise.

2. Information that we are required to give to Consumers

2.1. A description of the main characteristics of each Lot as contained in the auction catalogue.

2.2. Our name, address and contact details as set out herein, in our auction catalogues and/or on our Website.

2.3. The price of the Goods and arrangements for payment as described in Clauses 4, 5, 8 and 9.

2.4. The arrangements for collection of the Goods as set out in Clauses 9 and 10.

2.5. Your right to return a Lot and receive a refund if the Lot is a Deliberate Forgery as set out in Clause 14.

2.6. We and Trader Sellers have a legal duty to supply any Lots to you in accordance with these Terms of Sale.

2.7. If you have any complaints, please send them to us directly at the address set out on our Website.

2.8. We also refer you to your warranties as a Bidder and Buyer as set out in Clause 6.

3. Bidding procedures and the Buyer

3.1. You must register your details with us before bidding and provide us with any requested proof of identity and billing information, in a form acceptable to us (more details are set out at Paragraph [13] of the Information for Buyers in the auction catalogue). We reserve the right, where we deem we are so required for regulatory purposes, to reveal your identity and contact details (and those of your Principal) to the Seller. You must also satisfy any security arrangements we have in place before entering the auction room to view or bid.

3.2. We strongly recommend that you attend the auction in person if possible. You are responsible for your decision to bid for a particular Lot. If you bid on a Lot, including by telephone and online bidding, or by placing a commission bid, we assume that you have carefully inspected the Lot and satisfied yourself regarding its condition.

3.3. If you instruct us in writing, we may execute commission bids on your behalf. Neither we nor our employees or agents will be responsible for any failure to execute your commission bid, unless our failure to do so is unreasonable. Where two or more commission bids are recorded at the same level, we have the right to prefer the first bid made (where this can be reasonably ascertained).

3.4. The Bidder placing the highest bid for a Lot accepted by the Auctioneer will be the Buyer at the Hammer Price. However, the Auctioneer shall retain discretion on the running of the auction and in particular, retains the right not to accept a bid and to prefer a bid over any other bids received at the same time. Any dispute about a bid will be settled at our discretion. We may reoffer the Lot during the auction or may settle the dispute in another way. We will act reasonably when deciding how to settle the dispute.

3.5. Bidders will be deemed to act as principals (in other words, acting for their own account and not on behalf of someone else), even if the Bidder is acting as an agent for a third party.

3.6. We may bid on Lots on behalf of the Seller up to one bid below the Reserve.

3.7. We may refuse to accept any bid if it is reasonable for us to do so.

3.8. Bidding increments will be at our sole discretion (but will be in line with standard auction practice).

3.9. In the event you participate in the auction using the services of an Independent Bidding Platform, you will incur an additional fee or additional commission payable to that platform. This will be collected by us as part of the Total Amount Due in the event you are the Buyer of the Lot on which you bid.

3.10. Any post auction sales of lots offered at auction shall incorporate these conditions as if sold in the auction

4. The purchase price

4.1. As Buyer, you will pay:

a. the Hammer Price;

b. a Premium of 26% up to £20,000 (31.2% inclusive of VAT), 25% from £20,001 - £500,000 (30% inclusive of VAT), 20% from £500,001 thereafter (24% inclusive of VAT) of the Hammer Price;

c. any artist’s resale right royalty identified as payable on the sale of the Lot;

d. any additional bidding fee payable by a Buyer bidding via an Independent Bidding Platform; and

e. any VAT due.

5. VAT

5.1. You shall be liable for the payment of any VAT applicable on the Hammer Price and Premium due for a Lot and on any fee payable pursuant to Clause 4.1.d above. Please see the symbols used in the auction catalogue for that Lot and the “Information for Buyers” in our auction catalogue for further information.

5.2. We will charge VAT at the current rate at the date of the auction.

5.3. For any items sold under the rules for the Auctioneers’ Margin Scheme, VAT at the standard rate will be charged on the Premium at the standard rate. This VAT cannot be itemised separately on our invoices and is not reclaimable by UK VAT registered Sellers.

6. Buyer Warranties

6.1. You warrant, and where you are acting on behalf of someone else, you will procure that your Principal warrants, that:

6.1.1. the funds to be used for the purchase of the Lot(s) are not connected with nor are derived from any criminal activity, including without limitation tax evasion, money laundering or terrorist financing;

6.1.2. neither you, nor any agent acting for you, nor your Principal, are to the best of your knowledge either under investigation, nor have you been charged with or convicted of without limitation tax evasion, money laundering, terrorist financing or other criminal activities; and

6.1.3. neither you, nor any agent acting for you, nor your Principal, are subject to Restrictive Measures or owned, partly owned or controlled by person(s) subject to such Restrictive Measures.

6.2. Where you are bidding on behalf of another person and you are an Art Market Participant, you warrant that: (i) you have conducted appropriate customer due diligence on the ultimate Buyer of the Goods in accordance with all applicable Money Laundering Legislation; (ii) upon request, you will provide us or any independent third party auditor (employed at our cost) with any identification and any other relevant documentation you have obtained for customer due diligence purposes on the ultimate Buyer of the Goods; (iii) you consent to us relying on this due diligence; and (iv) you will retain for a period of not less than five years the documentation evidencing the due diligence.

6.3. Where you are bidding on behalf of another person and you are not a regulated Art Market Participant, you warrant that you will provide accurate and complete information about your Principal to us.

7. The contract between you and the Seller

7.1. The contract for the purchase of the Lot between you and the Seller will be formed when the hammer falls accepting the highest bid for the Lot at the auction.

7.2. You may directly enforce any terms in the Terms of Consignment against a Seller to the extent that you suffer damages and/or loss as a result of the Seller’s breach of the Terms of Consignment.

7.3. If you breach these Terms of Sale, you may be responsible for damages and/or losses suffered by a Seller or us. If we are contacted by a Seller who wishes to bring a claim against you, we may in our discretion provide the Seller with information or assistance in relation to that claim.

7.4. We normally act as an agent only and will not have any responsibility for default by you or the Seller (unless we are the Seller of the Lot).

7.5. In addition to any other rights we may have to cancel a contract for sale under these Terms of Sale, we may delay completion of a sale, delay release of a Lot or cancel the sale of a Lot in the event:

7.5.1 you are in breach of your warranties in Clause 6; or

7.5.2 we have not completed our enquiries pursuant to the Money Laundering Legislation to our satisfaction; or

7.5.3 we have reason to believe that the transaction might be unlawful for any reason, or that the sale might put us under any civil or criminal liability.

8. Payment

8.1. Immediately following your successful bid on a Lot you will:

8.1.1. give to us, if not already provided to our satisfaction, proof of identity in a form acceptable to us (and any other information that we require in order to comply with our anti-money laundering obligations – please refer to Paragraph 13 of the Information for Buyers in the auction catalogue); and

8.1.2. pay to us the Total Amount Due in any way that we agree to accept payment (for cash, there is an upper limit of 10,000 euros equivalent).

8.2. If you owe us any money, we may use any payment made by you to repay the money you owe us.

9. Title and collection of purchases

9.1. While you are bound by the contract for the purchase of the Lot from the fall of the hammer on your successful bid, the transaction is not completed and ownership in the Lot will not pass to you until:

9.1.1. you have paid us in full the Total Amount Due in cleared funds for that Lot;

9.1.2. you have provided us with the information set out in Clause 8.1.1; and 9.1.3. we have completed our enquiries pursuant to the Money Laundering Legislation to our satisfaction.

9.2. You may not claim or collect a Lot until (i) you have paid for it, (ii) ownership has passed to you and (iii) any applicable storage charge applicable under Clause 9.4 and accrued up until the day of collection have been paid in full by you (at law, the right for a professional to hold on to goods until its services have been paid for is called a “lien”).

9.3. Unless notified otherwise, and subject to the passing of ownership in the Lot to you under Clause 9.1, you will (at your own expense) collect any Lots that you have purchased and paid for either:

9.3.1. not later than 5 working days following the day of the auction; or 9.3.2. not later than 5 working days following the date that we have received payment of the Total Amount Due in cleared funds, if later.

9.4. Subject to Clause 9.1, if you do not collect a Lot you have agreed to purchase within any of the time periods set out at Clause 9.3 above, we shall start charging a minimum warehousing charge of £5 per Lot per day plus any applicable VAT, starting from the latest of the time periods set out at Clause 9.3 above to expire. You will also be responsible for any reasonable removal and insurance charges in relation to that Lot unless the delay was caused by us.

9.5. Risk of loss or damage to the Lot will pass to you when you (or your agents) take physical possession of the Lot.

9.6. Subject to Clause 9.1, if you do not collect the Lot that you have paid for within ninety days after the auction, we may sell the Lot. We will pay the proceeds of any such sale to you, but (unless the delay was caused by us) will deduct any storage charges or other sums that we have incurred in the storage and sale of the Lot. We reserve the right to charge you a selling commission at our standard rates on any such resale of the Lot.

10. Remedies for non-payment or failure to collect purchases

10.1. Please do not bid on a Lot if you do not intend to buy it. If your bid is successful, these Terms of Sale form your contract of purchase. This means that you will have to carry out your obligations set out in these Terms of Sale. If you do not comply with these Terms of Sale we may (acting on behalf of the Seller and ourselves) pursue one or more of the following measures:

10.1.1. take action against you for damages for breach of contract;

10.1.2. reverse the sale of the Lot to you and/or any other Lots sold by us to you;

10.1.3. resell the Lot by auction or private treaty (in which case you will have to pay any difference between the price you should have paid for the Lot and the price we sell it for as well as the charges outlined in Clause 9. Please note that if we sell the Lot for a higher amount than your winning bid, the extra money will belong to the Seller;

10.1.4. remove, store and insure the Lot at your expense;

10.1.5. if you do not pay us within three working days of your successful bid, we may charge interest at a rate not exceeding 1.5% per month on the total amount due;

10.1.6. keep that Lot or any other Lot sold to you until you pay the Total Amount Due;

10.1.7. reject or ignore bids from you or your agent at future auctions or impose conditions before we accept bids from you; and/or

10.1.8. if we sell any Lots for you, use the money made on these Lots to repay any amount you owe us.

10.2. We will act reasonably when exercising our rights under Clause 10.1. We will contact you before exercising these rights and try to work with you to correct any non-compliance by you with these Terms of Sale.

11. Health and safety

Although we take reasonable precautions regarding health and safety, you are on our premises at your own risk. Please note the lay-out of the premises and security arrangements. Neither we nor our employees or agents are responsible for the safety of you or your property when you visit our premises, unless you suffer any injury to your person or damage to your property as a result of our, our employees’ or our agents’ negligence.

12. Seller’s Warranties

12.1. The Seller warrants to us and to you that:

12.1.1. the Seller is the true owner of the Lot for sale or is authorised by the true owner to offer and sell the Lot at auction; 12.1.2. the Seller is able to transfer good and marketable title to the Lot to you free from any third party rights or claims; and 12.1.3. as far as the Seller is aware, the main characteristics of the Lot set out in the auction catalogue (as amended by any notice displayed in the saleroom or announced by the Auctioneer at the auction), and any documentation provided to you by the Seller in relation to the Lot, are correct.

12.2. If, after you have placed a successful bid and paid for a Lot, any of the warranties above are found not to be true, please notify us in writing. Neither we nor the Seller will be liable to pay you any sums over and above the Total Amount Due and we will not be responsible for any inaccuracies in the information provided by the Seller except as set out below.

12.3. Please note that many of the Lots that you may bid on at our auction are second-hand. If a Lot is not second-hand and you purchase the Lot as a Consumer from a Seller that is a Trader, a number of additional terms may be implied by law in addition to the Seller’s warranties set out at Clause 12.1 (in particular under the Consumer Rights Act 2015). These Terms of Sale do not seek to exclude your rights under law as they relate to the sale of these Lots.

12.4. Save as expressly set out above, all other warranties, conditions or other terms which might have effect between the Seller and you, or us and you, or be implied or incorporated by statue, common law or otherwise are excluded.

13. Descriptions, condition and safety

13.1. Our descriptions of the Lot will be based on: (a) information provided to us by the Seller of the Lot (for which we are not liable); and (ii) our opinion (although it is likely that we will not be able to carry out a detailed inspection of each Lot). The actual colour of the Lot may vary from the images in the auction catalogue.

13.2. We will give you a number of opportunities to view and inspect the Lots before the auction. You (and any independent consultants acting on your behalf) must satisfy yourself about the accuracy of any description of a Lot. We shall not be responsible for any failure by you or your consultants to properly inspect a Lot.

13.3. Representations or statements by us as to authorship, genuineness, origin, date, age, provenance, condition or estimated selling price involve matters of opinion. We undertake that any such opinion will be honestly and reasonably held and accept liability for opinions given negligently or fraudulently.

13.4. Please note that many of the Lots that you may bid on at our auction are second-hand and are unlikely to be in perfect condition. Lots are sold “as is” (i.e. as you see them at the time of the auction). Neither we nor the Seller accept any liability for the condition of second-hand Lots, for their fitness for purpose, or for any condition issues affecting a Lot if such issues are included in the description of a Lot in the auction catalogue (or in any saleroom notice) and/or which the inspection of a Lot by the Buyer ought to have revealed.

13.5. The sale of Lots containing elephant ivory is banned, subject to some exceptions. Where we offer Lots containing elephant ivory from time to time, we rely on the documentation obtained by the Seller of the Lot confirming that the Lot satisfies the relevant exemptions. We cannot guarantee that any certificate or other documentation provided by us (on the Seller’s behalf) to you in connection with the sale of the Lot is valid or accurate.

13.6. All Lots with electrical components are sold as “antiques” for their historical and decorative attributes for collection and display only, and are not intended for use. If you buy Lots with electrical components and intend to use them, you must first ask a qualified electrician to check them for compliance with safety regulations.

13.7. All Lots of furniture are sold as a collector’s item for display purposes and are not supplied for use. Such Lots may not comply with applicable furniture and safety regulations. Therefore, if you do intend to use such Lots for private use or otherwise, you must first ensure that they are refurbished and rendered compliant with any applicable furniture and safety regulations.

14. Deliberate Forgeries

14.1. You may return any Lot which you consider with some cause to be a Deliberate Forgery to us within 21 days of the auction, provided that you return the Lot to us in the same condition as when it was released to you, accompanied by a written statement identifying the Lot from the relevant catalogue description and a written statement of defects.

14.2. If we are satisfied, acting reasonably, that the Lot is a Deliberate Forgery and it has been returned to us within the time specified in Clause 14.1, we will refund the money paid by you for the Lot (including any Premium and applicable VAT) PROVIDED THAT you will have no right to a refund under this Clause 14.2 if:

14.2.1. the catalogue description reflected the accepted view of experts as at the date of the auction; or 14.2.2. you personally are not able to transfer good and marketable title in the Lot to us.

14.3. If you have sold the Lot to another person, we will only be liable to refund the price that you paid for the Lot. We will not be responsible for repaying any additional money you may have made from selling the Lot.The rights under this Clause 14 are given to you as Buyer in our auction; they are not given to, and may not be transferred or assigned to, any third party.

14.4. Your right to return a Lot that is a Deliberate Forgery does not affect your legal rights and is in addition to any other right or remedy provided by law or by these Terms of Sale.

15. Online Only Timed Auctions

These following terms are applicable only to sales conducted online only and are to be used in addition to the conditions of sale.

(a) Right to Cancel

(i) If you are a consumer resident in the European Union you have the right to cancel the contract for the purchase of a lot within 14 calendar days without giving any reason.

(ii) The cancellation period will expire after 14 calendar days from the day on which you acquire (or a party nominated by you and is not the shipper) physical possession of the lot.

(iii) To exercise the right to cancel, you must inform us of your decision to cancel this contract by a clear written statement (e.g. a letter sent by post, fax or email), or you may use the cancellation form which can be found on our website or by contacting a member of staff. The communication must be received within 14 calendars days from the day on which you acquire the lot.

(iv) If you cancel the contract, we will reimburse all payments received from you. As Roseberys are unable to provide a postage or packing service the cost of the initial delivery or collection is not returnable. In addition the cost of returning the item if you choose to cancel the contract is payable by you.

(v) We may make a deduction from the reimbursement for loss in value of any goods supplied, if the loss is the result of damaged caused by unnecessary handling whilst in your possession. We will make the reimbursement without undue delay, and not later than (aa) 14 calendar days after the day we receive back from you any goods supplied, or (bb) (if earlier) 14 calendar days after the day you provide evidence that you have returned the goods.

(vi) We will make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is earliest.

(b) Liability

Roseberys nor the seller will be responsible to you for errors during or after the online only timed auction or failures to execute bids placed on the internet or on your mobile device, including, without limitation, errors or failures caused by:

(i) any loss of connection to the auction being conducted online;

(ii) a breakdown or problems with the online bidding software or the website service provider; and/or

(iii) a breakdown or problems with any internet connection, computer, mobile device or system.

16. Our liability to you

16.1. We will not be liable for any loss of opportunity or disappointment suffered as a result of participating in our auction.

16.2. In addition to the above, neither we nor the Seller shall be responsible to you and you shall not be responsible to the Seller or us for any other loss or damage that any of us suffer that is not a foreseeable result of any of us not complying with the Conditions of Business. Loss or damage is foreseeable if it is obvious that it will happen or if at the time of the sale of the Lot, we, you and the Seller knew it might happen.

16.3. You should note that Lots are sold as antiques for their decorative attributes rather than for use, and are often of considerable age and uncertain manufacture; neither we nor the Seller accepts any liability for loss or damage to the Lots, or any other loss or damage, that is caused by or results from any inherent vice or defect affecting the Lots.

16.4. Subject to Clause 15.4, if we are found to be liable to you for any reason (including, amongst others, if we are found to be negligent, in breach of contract or to have made a misrepresentation), our liability will be limited to the total purchase price paid by you to us for any Lot.

16.5. Notwithstanding the above, nothing in these Terms of Sale shall limit our liability (or that of our employees or agents) for:

16.5.1. death or personal injury resulting from negligence (as defined in the Unfair Contract Terms Act 1977); or

16.5.2. fraudulent misrepresentation; or

16.5.3. any liability which cannot be excluded by law.

17. Notices

17.1. All notices between you and us regarding these Terms of Sale must be in writing and signed by or on behalf of the party giving it.

17.2. Any notice referred in Clause 16.1 may be given:

17.2.1. by delivering it by hand; or

17.2.2. by first class pre-paid post or Recorded Delivery; or

17.2.3. by email, provided that a copy is also sent by first class pre-paid post or Recorded Delivery. A notice given by email will be deemed to be signed for the purposes of this Clause 16.1 if the name of the sender appears in a signature position after the body of the email and has not been added automatically by the sender’s email server.

17.3. Notices must be sent:

17.3.1. by hand, by first class pre-paid post or Recorded Delivery:

a. to us, at our address set out in these Terms of Sale or at our registered office address appearing on our Website; and b. to you, at the last postal address that you have given to us as your contact address in writing; or 17.3.2. by email:

a. to us, by sending the notice to both the following email addresses: bengriffiths@roseberys.co.uk clientservices@roseberys.co.uk

b. to you, by sending the notice to any email address that you have given to us as your contact email address in writing.

17.4. Notices will be deemed to have been received:

17.4.1. if delivered by hand, on the day of delivery; or

17.4.2. if sent by first class pre-paid post or Recorded Delivery, two business days after posting, exclusive of the day of posting; or 17.4.3. if sent by email, at the time of transmission unless sent after 17.00 in the place of receipt in which case they will be deemed to have been received on the next business day in the place of receipt (provided that a copy has also been sent by pre-paid post or Recorded Delivery as set out in Clause 16.3.1.

17.5. Any notice or communication given under these Terms of Sale will not be validly given if sent by fax, any form of messaging via social media or text message.

18. Data Protection

We will hold and process any personal data in relation to you in accordance with our current privacy policy, a copy of which is available on our website.

19. General

19.1. We may, acting reasonably, refuse admission to our premises or attendance at our auctions by any person.

19.2. We act as an agent for our Sellers. The rights we have to claim against you for breach of these Terms of Sale may be used by either us, our employees or agents, or the Seller, its employees or agents, as appropriate. Other than as set out in this Clause 18.2, these Terms of Sale are between you and us and no other person will have any rights to enforce any of these Terms of Sale.

19.3. We may use special terms in the catalogue descriptions of particular Lots. You must read these terms carefully along with any glossary provided in our auction catalogues.

19.4. Each of the Clauses of these Terms of Sale operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining Clauses will remain in full force and effect.

19.5. We may change these Terms of Sale from time to time, without notice to you. Please read these Terms of Sale carefully, as they may be different from the last time you read them.

19.6. Except as otherwise stated in these Terms of Sale, each of our rights and remedies are: (a) are in addition to and not exclusive of any other rights or remedies under these Terms of Sale or general law; and (b) may be waived only in writing and specifically. Delay in exercising or non-exercise of any right under these Terms of Sale is not a waiver of that or any other right. Partial exercise of any right under these Terms of Sale will not preclude any further or other exercise of that right or any other right under these Terms of Sale. Waiver of a breach of any term of these Terms of Sale will not operate as a waiver of breach of any other term or any subsequent breach of that term.

19.7. These Terms of Sale and any dispute or claim arising out of or in connection with them (including any non-contractual claims or disputes) shall be governed by and construed in accordance with the laws of England and the parties irrevocably submit to the exclusive jurisdiction of the English courts.
