INTERNATIONAL SOFTBALL CONGRESS, INC. BY-LAWS NAME The name of this organization shall be the International Softball Congress. PURPOSE The purpose of the International Softball Congress shall be to create an interest in and promote men’s and boys’ fastpitch softball, to keep the game clean, and free from objectionable features, to make it a sport that will be attractive to lovers of all clean competitive sports, and to provide a series of games that lead up to ISC championships. BOARD OF DIRECTORS The Board of Directors of the International Softball Congress shall consist of all members of the Executive Committee, all Regional Commissioners and all At-Large Commissioners. OFFICERS The officers of the International Softball Congress shall be President, Secretary, Treasurer, all Vice Presidents (Canada, United States, Operations, Communications and Developmental) and the Chairman of the Executive Committee. The Executive Committee shall consist of the officers elected by the Board of Directors. All officers will take office 30 days after being elected. DUTIES OF OFFICERS PRESIDENT: The President shall preside at all meetings of the Board of Directors, appoint members of standing committees, establish ad hoc committees, and assist the Executive Director. The President may attend all committee meetings with voice but without vote. PRESIDENT PRO-TEM: A President Pro-Tem appointed by the Executive Committee shall preside in the place of the President in case the President is unable to function. NATIONAL VICE PRESIDENTS: Shall have jurisdiction over, and be responsible for, the Regional Commissioners within their regions, or any special segment of ISC operations including Player Reps. SECRETARY: The Secretary shall record the minutes of all Board of Director and Executive Committee meetings and make them available for publication and distribution to the Board of Directors. VICE PRESIDENT, OPERATIONS: shall have jurisdiction over, and be responsible for maintaining Outof-Region player lists, PRAWN lists and other lists; coordinate all changes in rules and ISC personnel and oversee the rankings committee, allocation of berths to ISC tournaments, and publication of the annual ISC Guide. VICE PRESIDENT, COMMUNICATIONS: shall have jurisdiction over, and be responsible for the web site and streaming operations and shall oversee dissemination of all news releases and other communications of the organization. VICE PRESIDENT, WORLD TOURNAMENT: shall oversee the scheduling of the annual ISC World Tournament and affiliated tournaments, oversee competition at the World Tournament and will have jurisdiction over attracting international teams. TREASURER: The Treasurer shall receive all monies; issue checks; prepare corporate filings; and prepare a financial statement for the annual meeting. EXECUTIVE COMMITTEE CHAIRMAN: The Executive Committee Chairman shall preside at all meetings of the Executive Board and conduct the business of the Executive Committee. The position of Executive Committee Chairman is suspended indefinitely and the duties are to be shared by the ISC President and the ISC Executive Director. EXECUTIVE COMMITTEE: Shall have jurisdiction over questions that may arise between annual meetings, which are not specifically covered by the By-Laws of the ISC. Shall have authority to approve Regional Commissioners, and the Umpire-in-Chief. Shall have the authority to make an interim appointment when an elected officer is unable to serve his full term. The Executive Committee shall, at their discretion, have authority to discipline any ISC person with a penalty up to and including suspension. UMPIRE-IN-CHIEF: Shall interpret the official playing rules for ISC championship play; obtain, organize and assign umpires for the ISC World Tournament and all affiliated tournaments; and assign a protest committee for the ISC World Tournament and all affiliated tournaments. EXECUTIVE DIRECTOR The Executive Director shall be appointed by the Board of Directors for a term of five years subject to an annual review and evaluation by the Executive Committee. The Board of Directors will also have the power of removal for cause, i.e. inability to function, misappropriation of funds, etc. The Executive Director shall not hold a commissionership nor have a vote. The Executive Director shall be responsible for the official day-to-day business of the International Softball Congress with the assistance of the Executive Committee as needed. The Executive Director shall serve as the General Manager of all ISC operations, maintain the corporate and business office of the ISC, coordinate publication of the annual yearbook and guide of the ISC and, with the concurrence of the elected Vice Presidents, appoint Regional Commissioners, At-Large Commissioners, and Specialists. The Executive Director shall appoint an Umpire-in-Chief and make all other decisions with the concurrence of the Executive Committee.
