The strengths of the two parties are complementary and enhance the group’s global competitiveness. Both Pantum and Lexmark advocate customized print solutions. One of Pantum’s strengths is to define products jointly with customers to satisfy specific requirements. Currently, Pantum has specially-designed printers for use in ID card copying, the financial sector and the healthcare sector. In the MPS sector, Lexmark is a leading enterprise with mature experience in servicing high-end customers. Today, undifferentiated print solutions prevail in the market. After the acquisition, the consolidated yearly revenue will amount to 30 billion RMB. The expansion and development of the company is not only to have better financial outcomes, but also to realize the company’s core values. The new company will stay focused on customers, and provide safe, convenient and efficient print services to its global consumers, as well as powerful print solutions combining software, hardware and quality service. This important milestone of Apex also represents a meaningful step in the industry. Editor’s note: Since 2006, when I first joined Recharge Asia magazine, two remanufacturing companies caught my eye: Apex Technology Co., Ltd. and Ninestar Technology Co., Ltd.. Of particular interest to me was their leader, Mr. Jackson Wang. Both companies, led by Mr. Wang for over ten years, have undergone radical paradigm shifts: from aftermarket trailblazers to the OEM behemoth resulting from their recent acquisition of Lexmark. Today, I am honored to report on this merger, a significant industry milestone, and share with you some of Mr. Wang’s sage insight.

First of all, congratulations to you and the team for “tying the knot” between APEX and Lexmark. It is one of the largest mergers in the printing industry, worth $3.9 billion. Can you please briefly describe this acquisition: what was the initial motivation, and how did you come to this major milestone? The vision of Apex is to become a high-tech service provider in the print industry, to build a globally renowned, trusted brand. In 2000, Apex started its print and imaging business with compatible print consumables and has since focused on print related products and services. It has accumulated a great amount of technology and industry experience, which was solid preparation for the printer industry. Lexmark is focused on advanced technology and a leader in printer hardware and software, and is especially strong in mid- and high-end products. Lexmark is the perfect match for Apex in terms of product, market presence, technology and channels. Besides, considering the size of Lexmark, compared with that of HP or Samsung, the acquisition with Lexmark has a higher chance of success. The printer industry is a $100-billion industry with huge market potential. Apex cares very much about the prospect of the industry and hopes to bring more value to consumers. Pantum printers, a related company controlled by Apex’s controlling shareholders, has a solid foundation in the mid-

and low-end laser printer market. After the acquisition, the group will have a full range of laser printers and technology, with a global brand presence and channel resources. The transaction is an important milestone for the group’s globalization strategy. Through industry upgrading, Apex hopes to bring more contribution and advancement opportunities to employees and shareholders. From the current political climate (Brexit and the outcome of the US presidential election), we can surmise that nationalism is on the rise against globalization, so how do you envision this “mixed marriage” will work out in the foreseeable future? Should we be cautiously optimistic about this culturally diverse merge? Mutual respect, mutual support and mutually beneficial development will be what we stick to in the future. The new Lexmark will establish a series of new measures to build stronger competitiveness in developing countries, especially in China. We are dreaming big, still the reality is complicated. We believe that Pantum and Lexmark are ready to face any challenge. Your role has changed from a fighter/industry protector of the aftermarket, to a leader of one of the biggest OEMs. What can we expect from now on? What do you think the expectations

will be for APEX’s performance and competitiveness in this much larger marketplace? Pantum’s customers are concentrated in the SMB and SOHO market, along with customization services to industries. Its market position is mid- and low-end. Apex will continue to strengthen Lexmark’s advantage in the mid- and high-end market. Lexmark, to the printer industry, is as a Mercedes-Benz to the car industry. It will continue to provide integrated print solutions to multinationals, large enterprises and industries. The synergy opportunities exist in product manufacturing, sales channels and cost control between Apex and Lexmark. On products: Lexmark printers are midand high-end products of 35ppm and above, which are complementary to Pantum’s mid- and low-end products. After the acquisition, Lexmark and Pantum can supplement each other on product lines to realize time & cost savings on R&D. On sales channels: Lexmark has a strong presence in Europe and the US, while Apex/Pantum has strong channels and customer bases in developing countries. The cooperation is expected to open up a global sales network. On the supply chain, after integration, Lexmark plus Pantum will have a larger output with a stronger negotiating power in the supply chain to bring costs down. Meanwhile, the scale effect in manufacturing and Apex’s technology experience in print supplies and components will also help realize cost reductions. Would you please describe your toughest time in this journey, and what advice could you offer to those young entrepreneurs who are still trying to find their way in business to make a difference? We have indeed undergone many challenges before the final close of the transaction. One of the biggest challenges was to obtain American government approvals and administrative procedures from regulatory authorities, which requires very precise preparation work and handling. We are lucky to have a great, tenacious team in Apex, and to have great partners, such as PAG and Legend Capital, as well as very professional lawyers to work with. Because of their excellent teamwork, we managed to convince the US government that the acquisition is purely a commercially strategic relationship to build a worldclass enterprise. That’s how we closed the transaction. My only suggestion to young entrepreneurs is: you must be very careful when selecting a partner with whom to do business. Your partner need not necessarily be the best, but must be someone whom you are familiar with, that you know well and can trust and do things together. The selection of a reliable partner is a very important step. Your merger has brought multiple benefits at many levels: substantial patented printer technologies (Lexmark 2000 IPS) and big-box distribution channels, for example. It is a big win not only for Apex, but also for the industry as a whole. What’s the on the agenda from now on, in regards to the global printing marketplace? In the future, Pantum and Lexmark will belong to the same group and collaborate strategically from all aspects of the business with complementary strength. This will bring huge a synergy effect. An important goal of the Apex-Lexmark acquisition is to leverage the synergy effect of Pantum plus Lexmark to expand the printer business and become a global leader

What will be APEX’s plan, toward Lexmark’s organizational structure? Do you anticipate any major personnel changes within Lexmark in 2017? The Consortium will maintain Lexmark’s corporate headquarters in Lexington, Ky. David Reeder, formerly Lexmark’s vice president and chief financial officer, has been named the company’s new president and chief executive officer. David Reeder takes over leadership of the company from Paul Rooke, who is stepping down from his position as chairman and chief executive officer of Lexmark. Lexmark’s Enterprise Software group will be separated from Lexmark. The Consortium and Lexmark will engage in a process to sell the Enterprise Software business while focusing on growing the imaging business, particularly in China and the Asia-Pacific region. Will this Lexmark acquisition be the last one we witness; if not, what would be the future strategic alliance for Apex? When a company grows to a certain size, it becomes a difficult to expand with its traditional growth model or strategy. Merger & Acquisition is an important way to enter into a new industry and a new market, and also an important means to integrate resources in the industry. For a company that is raising funds, it would be efficient to leverage the capital to fasten the company’s transformation and upgrading, so as to gain new competitiveness. Only when a company realizes a stable growth can it guarantee the value and benefits that it creates for employees, partners and consumers. In recent years, there have been an increasing number of acquisitions in the printer industry. The technical entry level to this industry is becoming higher. Late entrants would find it more difficult to enter the market. The industry trend is a concentration and consolidation of good resources, as well as giants joining hands. A critical consideration about merger & acquisition is future strategy, including complementary technology or sales channels. It is easier for high-tech companies to go public abroad. With publicly recognized valuation of the company, the company governance is usually more standard. The influx of investment capital poses higher requirements to the management team. Besides, the integration process post-acquisition is also essential, which needs smooth coordination and communication, and to put oneself into others’ shoes for resource sharing. Only in this way can win-win outcomes be achieved.

Distinguished leaders, partners, media friends and guests, Good afternoon! elcome to the “ApexLexmark acquisition press conference”. I am Jackson Wang. Everyone in attendance may have learned from the media that on November 29, 2016, the Apex-Lexmark acquisition has been formally closed. The consortium, led by Apex, PAG and Legend Jackson Wang Capital, acquired 100% equity of Lexmark International, including its intellectual properties and brand, at a price of $ 3.9 billion (around 26 billion RMB). This is by far the largest overseas transaction in the global printer industry, and also a meaningful milestone in the development history of Apex. We believe this transaction will make a big difference in the competition of the global printer industry. This transaction has undergone many challenges before its final closing. On behalf of Apex, I would like to extend my sincere gratitude to all of you, to government officials from the Ministries, from Guangdong province and from Zhuhai city, for their guidance and support in this transaction; to China CITIC Bank, Export-Import Bank, Bank of China for their constant support; to the great teamwork between PAG and Legend Capital; and to the professionalism delivered by members of our consulting firm and law firms. Giants Joining Hands to Target 100-billion Printing Market The press conference for Apex-Lexmark acquisition was held in Beijing on December 12th, 2016. At the conference, Apex announced the close of the transaction and its post-transaction synergy plans.

he acquisition is so far the biggest overseas acquisition in the global printer industry, worth approximately $3.9 billion (26 billion RMB), 2.1 times the price of Geely’s acquisition of the Volvo brand ($1.8 billion) in 2010, and more than 3 times the price of Lenovo’s acquisition of IBM PC business ($1.25 billion) in 2004. As China’s biggest overseas acquisition in the printing industry, the transaction has drawn great attention in China and overseas. In the press conference, Apex’s Chairman Jackson Wang and Lexmark’s new CEO David Reeder gave details about the acquisition and prospects on the future synergy plans. Government leaders and dignitaries giving speeches included Yueshan QIAO, deputy director of Sub-ministry of Electronics from the Ministry of Industry and IT; Yuehua CHEN, deputy director of Commerce Department of Guangdong province; Yemin He , Zhuhai deputy mayor; Qiang Zhang, vice president of China CITIC Bank; Professor Xiaolang Yan, member of the Advisory Committee of National Integrated Circuit Industry Development and Jinfang Sun, captain of the Chinese women’s volleyball team with six consecutive world championships. Through the acquisition, Apex Technology will possess a full range of laser printer products and technology, and be able to much better prepare itself to face the competition on this global printer market. Apex and Lexmark announced their synergy plans posttransaction after the press conference. According to the synergy plans, part of Lexmark manufacturing and raw material procurement will move to China to optimize the supply chain and cost control. Both parties will focus on adjustment of product families, rationalization of product structuring and interaction on the global sales network to deepen the cooperation. Besides, the development potential in China will be a major highlight of the deal. Lexmark’s high-end products and services will be fully introduced to Chinese consumers. MERGERS & ACQUISITIONS TREND IN CHINA In recent years, an increasing number of Chinese companies are entering into international market by means of mergers and acquisitions in order to acquire property, technology, brand, customer base and other market resources. According to the statistics of China’s Ministry of Commerce, for the first 3 quarters of the year 2016 there were 521 overseas acquisitions in 18 industries with actual transacted volume of $67.44 billion. The figure has largely exceeded the previous year’s $54.44 billion, representing 30% of the global acquisition volume. It is the first time that China overtook the US and became the biggest overseas acquiring country. The private sector closed almost 449 overseas acquisitions for the first 3 quarters in 2016, about 5 times the figure of state-owned companies. The acquisition areas extend from the early fields of natural resources and energy, to infrastructure, healthcare, consumer goods, agriculture, real estate, finance, and education. Some 81 transactions involved information transmission, software or IT services, worth $15.48 billion. Some industry experts have noted that the Apex-Lexmark acquisition follows the path and concept of other former Chinese overseas acquisitions, which started by introducing the foreign party’s products to the Chinese market and then leveraged the Chinese market potential to transform the strategy of the acquiring company from low-cost to high-end. The timing of the acquisition was well measured. Lexmark has operated in developed markets for many years and has a gained mature market position and operation model, focusing on mid- and high-end market but lacks penetration in the lowend market. On the other hand, besides Apex’s own technology experience, through its acquisition of global renowned print supplies manufacturer Static Control Components in 2015 and the incorporation of part of relevant assets of its controlling shareholder Seine, Apex has considerably enhanced its integration and operation ability in the printing industry chain. The two parties have not only complementary strengths, but also evident strengths in the industry chain from printer manufacturing, to inkjet cartridge, ink, toner cartridge, to high-tech chip development. At the conference, Jackson Wang and David Reeder also shared the opinion that the close of the acquisition is just a first step. In the future the two companies will work out their organic integration in terms of corporate operation and cultures. Currently, Apex has established a dedicated integration management office to interface with Lexmark by taking into account cultural and managerial differences in the design of management systems. HP to Integrate Samsung Printer Business in H2 2017 HP Inc., which announced it was buying the printer business of Samsung earlier this year, said the two companies will continue to operate as competitors until the end of the first half of 2017, after which they will become two brands under the umbrella of HP Inc. Samsung will continue providing customer services for its printers even after the completion of the sale. HP, for its part, will honor all discounts and other agreements between Samsung and its customers for the duration agreed by the seller.

Google Code Change Causes Epson Printers to Enter a Rebooting Loop Shortly after Google introduced a code change in its cloud services, Epson printers began to reboot continuously and repeatedly, with the company now saying it’s working to fix the problem. After the change in the Google Cloud Print, Epson printer users began reporting that their devices shut down and after they were restarted, they again shut down within 30 seconds. The printers only worked when their Wi-Fi was switched off. Apparently, the code change interfered with the printers’ firmware, causing them to shut down.

Google Brings Native Printing to Chrome Google has made a big step in improving printing services from its Chrome OS, which until recently was generally considered a headache. Now, Google has utilized the Native CUPS flag – Common Unix Printing System – to allow Canary users of Chrome to install and use printers from their OS settings. CUPS is very printer-friendly and most makes and models can be made to work with it easily. It can also work with Mac devices, which makes is an almost universal system.

Pazazz First Canadian Printer to Offer ElectroInk Fluorescent Pink for HP Indigo WS6000 MONTREAL — Pazazz is the first Canadian print house to offer HP Indigo Elecroink Fluorescent Pink for the HP Indigo WS6000 digital press series. In July 2016, Pazazz was approached by HP Inc. to act as a best site for testing their new fluorescent inks in Canada. “This was a fantastic opportunity that I was enthusiastic to being to my team,” says Shawn Werbitt, president of Pazazz’s Label Division. Werbitt was first introduced to fluorescent pink inks at Dscoop back in May 2016 and instinctively knew it was something he wanted to offer his clients. Moreover, it is a great challenge to be the first to offer fluorescent printing in North America across all of Pazazz’s digital presses. The label division set out to promote HP Indigo ElectroInk Fluorescent Pink with their own internal branding and marketing. To date, the response has been nothing but positive. Shipments of HP’s 3D Printer Begin

HP Inc. has started shipping its flagship in the 3D printing area, the Jet Fusion 3D 4200 to partners in Europe and North America. Chinese Scientists Approve 3D Printed Nuclear Reactor Part

Scientists from 13 Chinese institutions and companies, including the National Nuclear Engineering Company and the China Nuclear Power Institute, have approved a 3D printed pressure vessel cylinder for an ACP100 nuclear reactor. This approval could mark the first step towards significantly shortening the construction times for nuclear reactors, as more parts can be 3D printed. Jabil Circuit Inc., a designer and producer of electronics, and product management services provider, has announced it has installed a multi jet fusion printer at its production facilities. Canon Launches New Member of PIXMA Family Canon has introduced a new member into its PIXMA lineup, the PIXMA G4400. HP Inc. Reinvents Itself At the end of its first year as a standalone company, HP Inc. has concluded that the period was one of reinvention, as CEO Dion Weisler called it. The company tapped the potential of 3D printing in its first year, releasing its first 3D printer using its proprietary multi jet fusion technology. The company expects 3D printing to become an industry worth $18 billion by 2021, growing at a compound annual growth rate of 30%. HP’s focus is

exclusively on the manufacturing segment, signaling it’s well aware of 3D printing’s long way to becoming a mainstream household tech, if at all. In addition to 3D printing, HP is betting heavily on virtual reality, or rather, what it calls “a blended reality”, a major feature of the fourth industrial revolution, which will bring about shorter, more local supply chains that rely on the digital channel, transforming trade and industry.

Kyocera to Buy British office Equipment Maker Kyocera has sealed a deal for the acquisition of British Annodata, a maker of office equipment and provider of IT services. Annodata also sells and maintains printers and copiers, including Kyocera’s own products. The target company has been valued

at about $87.7 million and will be acquired through Kyocera’s subsidiary Kyocera Document Solutions. The deal is seen to help the Japanese printer maker strengthen its European and US printer business to offset a slowdown in its components operations.

Remanufacturing the Samsung Xpress M3015DW MLT-D118S Toner Cartridge By Mike Josiah and the Technical Staff at Uninet

Mike Josiah Mike Josiah is the Technical Director at UniNet’s East Coast office, a global distributor of toner, Smartchips, OPC drums, and other toner remanufacturing components. Mr. Josiah is an industry veteran since 1987, and a member of ASTM committee F.05, the STMC Technician Certification committee, as well as an STMC trainer. He and his support team at UniNet contribute with technical articles to industry trade magazines, and conduct seminars at association meetings and tradeshows worldwide. The Samsung Xpress M3015 series of printers are based on a 30ppm, 600 Dpi engine. The first page out is stated to be under 8.5 seconds, and all “W” models so far come with Wi-Fi, Samsung Mobile print, Google Cloud Print and NFC features built in. All machines released thus far come standard with 128Mb memory and have a duty cycle of 12,000 pages per month. There are two cartridges in this engine the toner (MLT-D118S/L) and the drum cartridge (MLT-R116). The Std. Yield toner (S) is rated for 1200 pages, the High Yield (L) is rated for 4,000 pages. The drum unit is rated for 9,000 pages. The toner cartridges come with an orange plastic protector on them. It’s highly recommended that you save and re-use the OEM cover until aftermarket covers become available.
