TERMS OF SALE & ORDERING POLICIES

Account Qualification: To qualify for a wholesale account, you must be a retailer selling merchandise in a brick-and-mortar storefront with regular, posted public business hours, or operating an approved website. You may only sell Nambé merchandise from the specific authorized physical location(s) which have been approved by Nambé in writing.

NAMBÉ

Internet Sales: Any sales of Nambé products online, whether on a company website or other thirdparty marketplaces must be expressly approved in writing by Nambé. Accounts wishing to sell online must submit the website address and/or storefront name(s) to Nambé as a part of the initial application process. Existing accounts who wish to sell Nambé products online must send a written request to Susan Mahoney, Director of Sales, at susan@nambe.com with the same information.

Nambé does not guarantee that website applications will be accepted and reserves the right to decline any application at its discretion.

Amazon.com: No Nambé wholesale may re-sell any Nambé product on Amazon.com either directly through its own “store” on amazon, as an “FBA” seller, or by re-selling Nambé products directly to Amazon acting as a retailer, nor may any account sell, transfer, or drop ship any Nambé product to,

for, or on behalf of any third party re-selling Nambé product on Amazon, including but not limited to its own subsidiaries, affiliates, or through the use of an alias or d/b/a account.

MAP Pricing Policy: Nambé has a MAP pricing policy (minimum advertised price) that we expect all Nambé retailers to abide by. MAP pricing is the MSRP as published in the Nambé price list.

Intellectual Property Usage: All Nambé images, logos and photographs of Nambé products are the intellectual property of Nambé. All usage must be approved and only approved Nambé retailers may use our images, logos, etc. in advertisements, emails or other marketing/promotional materials.

Approval may be rescinded at any time at the discretion of Nambé and any account not abiding by this policy may be terminated.

New Accounts USA/Canada: The opening order for new account is $1,500.00 USD wholesale. All new account applications and orders are subject to Nambé approval.

New Account Paperwork: To be considered for an account with Nambé, a prospective account must submit the following:

New Accounts International: The opening order for new international accounts (outside of US and Canada) is $3,000.00 USD wholesale value. All orders for accounts outside of the U.S. must be prepaid in U.S. dollars, Euro, or GBP, based on shipping origination.

Re-order Minimum: The minimum re-order is $200.00 wholesale cost. We reserve the right to backorder products not immediately shippable. Any backorders will be shipped as soon as available, unless we receive a written cancellation or written notification of policy that indicates an account does not accept backorders.

Freight: All freight is at buyer’s expense. All shipments originating from the U.S. are FOB Nambé, 701 Johnnie Roybal Industrial Park Road, Española, New Mexico, 87532, U.S.A. All shipments will be sent UPS Ground unless otherwise specified. Any shipments made at Nambé’s expense will be shipped using Nambé’s chosen carrier and mode.

Drop Shipping: Nambé offers a drop ship service for direct-to-consumer e-commerce orders for TERMS OF SALE & ORDERING POLICIES

accounts that maintain an annual purchase volume of $10,000.00 or more. A $7.00 drop ship fee will be added to each drop ship address. Accounts that are under $10,000.00 annual purchase volume may still place special orders to be sent directly to consumers on an as-needed basis.

Special shipping instructions/requirements must be provided to Nambé in writing for each order.

All shipment will be sent UPS Ground unless otherwise specified.

Transshipping: TRANSSHIPPING IS NOT ALLOWED. Any account selling Nambé products must be an approved reseller.

Account Maintenance: All full-line Nambé accounts are required to annually purchase, at minimum, $2,000.00 wholesale ($3,500.00 international) in order to maintain an account (accounts opening after April 30 of each year will have their minimum pro-rated). Accounts not reaching the annual minimum will be closed and may re-apply once for re-instatement. Re-instatement is not guaranteed.

Nambé reserves the right to terminate an account at any time at its discretion.

Terms: All opening orders for new accounts must be secured with a credit card, which Nambé will keep on file. An account may submit an application for net 30 credit terms after the first three orders on credit card are shipped. Nambé grants credit only at its discretion and may determine at any time to discontinue previously granted credit terms.

Any credit terms granted are net 30 from date of invoice. A service charge of 1 ½% per month will be added to all unpaid balances. Any accounts not abiding by these terms will have credit terms revoked and the card on file will be charged for any outstanding balances. Nambé reserves the right to suspend shipments to an account if unpaid balances exist. All claims for adjustment must be made within 30 days from the date of the invoice.

Orders: All orders in the Nambé system for in-stock merchandise that are in the system for more than 60 days past the ship window without communication or action by the account will be cancelled

Invoices: All invoices are sent electronically via email. All accounts must ensure Nambé has the correct email address in our system. Invoices sent to wrong address are still required to be paid according to terms (date of invoice).

Craftsmanship: Nambé is proud of our 65-year tradition of handcrafting products with the highest

standards in workmanship and materials. Following all recommendations as laid out in the Product Care and Use guide included with each item, or on Nambé’s website, means your product will look and perform beautifully for many years. Small irregularities or differences in size, shape, color, surface texture/inclusions, etc. are not to be considered defects.

Damage & Return Claims: Nambé is not responsible for damage or loss in transit. If a customer receives merchandise that has been damaged in shipment, the customer must notify Nambé at customerservice@nambe.com immediately upon receipt. Nambé will contact the carrier to file a claim and determine replacement. The carrier will determine the cause and extent of damage and will reimburse shipper if the carrier is at fault. If the carrier is not at fault, the customer must request an RMA number within 30 days from the date of the original invoice (see RMA policy below).

TERMS OF SALE & ORDERING POLICIES

Return Merchandise Authorization (RMA): Product Returns: Claims for defective merchandise must be made in writing with an invoice, packing slip and/or PO number referenced and sent to Nambé customer service department at customerservice@nambe.com or via fax to 505-474-3565. When a return is approved, Nambé will provide a Return Merchandise Authorization (RMA) number which will allow us to receive the returned merchandise and expedite the return process.

The RMA number must be written clearly on the outside of each returned carton. Unauthorized returns or returns without an RMA number on the outside of the box will be refused and returned at customer’s expense.

All returned merchandise must be returned in its original Nambé packaging, including all internal packaging and information cards. Any merchandise not returned in the original box or in saleable condition will be charged a 15% re-boxing fee. All returned items must have claim documents (invoice, packing slip and/or PO number) in order to be processed.

Shipping instructions will be provided by Nambé Customer Service at the time an RMA number is issued. Nambé will not honor any charge-backs for inbound, outbound freight, or any handling charges.

Merchandise must be received by Nambé within 30 days of the RMA issue date. Merchandise received after 30 days will be refused and returned at customer’s expense.

Any returns (for stock balancing or other) must be preceded by a buy back PO of equivalent or greater value.

Defective Merchandise: Claims for defective merchandise must be made within 30 days from date of invoice and must follow the RMA shipping policies above.

Invoice Discrepancies: All invoice discrepancies (i.e., transportation, shortages, defective merchandise, billing errors) must be reported within 30 days of the original invoice date. Nambé

reserves the rights to refuse any claim submitted later than 30 days after the date of the original invoice.

Repolishing Service: Nambé offers a repolishing service to restore your Nambé piece to like-new condition. Contact customer service at customerservice@nambe.com for pricing details. For any questions or to initiate a return for repolishing, please contact Nambé Customer Service at customerservice@nambe.com or at 800-433-0339 between the hours of 8:00am and 5:00pm MT Monday through Friday. You will be provided with a return authorization number (RMA) to write on the box and to place inside the box with the item. All items sent to Nambé for repolishing must be shipped with tracking or proof of delivery service. Nambé is NOT responsible for any lost items if

there is no proof of delivery.

Repolishing will remove any prior engraving. Re-engraving can also be arranged through Customer Service. Repolishing is not available for all Nambé items (ex: Copper Canyon). Contact Customer Service to determine if your item can be repolished.

Engraving/Personalization: Personalization and engraving is offered through Nambé. Company logos or other original artwork can be placed on many Nambé products. Logos require an EPS or AI file as a vectored image and must be in black and white (no shades of gray). All engraving verbiage must be sent to Nambé on a type-written document (no hand-written documents) via email to personalization@nambe.com . Engraving/personalization takes up to 14 business days; rush service is also available for an additional charge. Cost is variable depending on the item and the details of the engraving/personalization order. Contact personalization@nambe.com for more information and to receive a quote.
