EachpartysigningthisAgreementwarrantsandrepresentsthathelshehasthefullcapacityandauthorityto executethisAgreementonbehalfofthenamedparty.IfthisAgreementisexecutedonbehalfofClientbyanythird party,thepersonexecutingthisAgreementexpresslyrepresentstoInspectorthathelshehasthefullandcomplete authoritytoexecutethisAgreementonClient'sbehalfandtofullyandcompletelybindClienttoalloftheterms, conditions,limitations,exceptions,andexclusionsofthisAgreement.

SEVERABILITY:ShouldanyprovisionofthisAgreementbeheldbyacourtofcompetentjurisdictiontobeeither invalidorunenforceable,theremainingprovisionsofthisAgreementshallremaininfullforceandeffect, unimpairedbythe court'sholding.

MEDIATION:ThepartiestothisAgreementagreetoattend,ingoodfaith,mediationwitharetiredjudgeorlawyer withatleast5yearsofmediationexperiencebeforeanylawsuitisfiled.Allnoticesofmediationmustbeservedin writingbyreturnreceiptrequestedallowing30daysforresponse.Ifnoresponseisforthcomingthemovingparty maythendemandbindingarbitrationunderthetermsandprovisionssetforthbelow.
