Bridal fairs has frequented and bombarded our industry almost every week, thus making it less appealing to soon-to-weds and the likes. We at Destination Events and Business Solutions Inc. has been conceptualizing a different kind of bridal fair/expo that will be more exciting, less boring and bring more perks and information to the soon-to-weds yet bring more media exposure and sales to our participating exhibitors.

We aim to bring world class to the Philippine Wedding Industry by opening a platform for wedding professionals to showcase their products and services to local and international market. Participation Contract FEBRUARY 3-4, 2018 Date: ______________________

Between "us", Destination Events and Business Solutions Inc., and "__________________________________", Company Name: ________________________________ Destination Events and Business Solutions Inc. ("Producer") agrees to provide to the exhibitor signed below ("Exhibitor") booth space at a bridal week (the "Fair") according to the terms and conditions listed below and for the hours determined by the Producer. Unless otherwise provided below, in-booth carpeting is not included and requested booth locations are not guaranteed. If Exhibitor's assigned booth is empty at 9:00 am the day of the Show, Exhibitor's rights to the booth hereunder shall be terminated, and all money paid to Producer hereunder shall be retained by Producer, and the Exhibitor shall pay to Producer all remaining amounts outstanding hereunder, all as liquidated damages. Producer will use its best judgment in promoting and staging the Fair, and may for any reason change the date, times and places of the Show by giving Exhibitor thirty days notice before the Show. Producer may also change the floor plan or booth assignments in Producer's sole discretion, and Producer does not guarantee any exclusive right to any exhibitor in any product category. Exhibitor may not assign, sublease, or otherwise share the booth or its rights under this agreement.

2.0Â Â Terms and Conditions TERMS OF PAYMENT: Booth rental will be reserved only after signed contract & deposit have been received. The final balance must be paid 45 working days before the exhibit date.

The deposit is non-refundable. If the remaining balance is not paid by the due date, the booth space will be released and the deposit forfeited. Exhibitor may pay this amount by check or by bank deposit. Please see page one of the contract under payment information. No Exhibitor will be allowed to enter the facility to set up their booth if payment has not been made in full.

Booth Selections: Exhibitor may request their 1st, 2nd & 3rd choice of booth spaces by noting them on the contract. We'll make every effort to accommodate these requests. Exhibitor booth space or spaces will be confirmed prior to contract signing. If no booth selection is made, one will be assigned.

Electrical Service: Exhibitor must contact the Organizer for any electrical service; Advance request must be received at least two weeks prior to the event date. Exhibitors may contact Destination Events and Business Solutions at 09173831003 or visit the web site at: www.destinationweddingfairs.com and www.singaporeweddingexpo.com All necessary forms will be included in the Exhibitor Information Packet, which will be made available to all Exhibitors after they sign up for the event.

No exhibit shall interfere with the orderly operation of the exhibit. This includes a prohibition on music, special effects and other sound or entertainment without approval by the organizer.

Exhibitors will be able to set up their booths a day before the event and will be notified of the exact hours of set up closer to the event date. Exhibitors will be allowed to come and put finishing touches on their booths on the morning of the event. Exhibitors, please be in attendance by 9 a.m. of Day 1. All finishing touches on Exhibitor booths must be completed by 10:00 a.m. on Day 1. The doors open to the public at 11:00 a.m.

Each exhibit is entitled to a reasonable sight line from the aisle regardless of the size of the exhibit. The exposed backs or sides of all booths must be properly draped or finished with no signage, so that it will not interfere with adjoining booths. Special restrictions apply to Exhibitors having tents or pipe and drape higher than 8 foot high must be approved by the organizer in advance.

Exhibitor must keep aisles clear and abide by all city fire prevention codes.

No exhibit shall be dismantled or removed from the Organizer until the exhibit has been fully closed to public. THIS IS A FIRM RULE.

No exhibit is permitted that does not have at least one person in attendance at all times. Exhibit personnel shall wear identification badges or Exhibitor ID's at all times during exhibit hours.

All personnel working on your booth are to be ready to work and need to be present before doors open to the public. If personnel working on your booth are going to be late, they must be wearing an Exhibitor ID or identification badge in order to enter the Exhibitor Entrance.

Booths may not display or disperse any business' information other than that of the Exhibitor.

Exhibitors may not hand out promotional materials outside their booth space or spaces, in the aisles or at the door. Outside Exhibitors are prohibited from promoting their business to Exhibitors or attendees. If you observe anyone doing this, please notify the event management.

These Exhibitors will be removed from the exhibit hall.

The Organizer or his agents shall not be liable for loss or damage of Exhibitors' property due to theft, fire, accidents, or other causes, nor for any injury to Exhibitors, its employees or agents.

Exhibitor agrees that the purpose of exhibit space is for the positive promotion of the Exhibitors' products or services. Exhibitor may sell, display, give out information or give out samples (bite-sized). Sample sizes must not be more than 2 oz for food and 4 oz for beverage.

No alcohol sampling permitted without written permission and an attendant employed by the Organizer at the expense of the Exhibitor. More information will be made available upon request.

Exhibitor warrants that they carry liability insurance providing coverage for their area of the show. The Exhibitor's booth is an extension of their company, and as such they must have liability protection. Exhibitor is responsible for any employees or subcontractors that may be helping in their booth, or for any visitors in the booth, in the event of an injury.

Exhibitor warrants that they carry vehicle liability insurance for any vehicle that is brought onto the facility premises.

The ORGANIZER reserves the right of final decision and the right (a) to rearrange floor plans or relocate exhibits or both in order that competitive exhibitors wherever possible will be set up at specific locations that will not interfere with their individual operations, and (b) to prohibit or remove any exhibit which, in the opinion of the ORGANIZER, detracts from the general character of the exhibition including persons, conduct, language and materials. In the event of such restriction, removal, prohibition and/or eviction, the ORGANIZER shall not be liable for any refunds, other exhibit expenses or any other sums of money by way of damages or otherwise.

All decisions pertaining to use and occupancy of space are within the sole discretion of the ORGANIZER.

There will be no more than one business per booth rental. Separate businesses owned by the same entity may be allowed. This will be determined on a case by case basis, and at the discretion of the ORGANIZER.

No exhibit space shall be offered for use or sublet by an Exhibitor without the consent of the ORGANIZER.

Exhibitor will be provided an e-mailed copy of the lead list of attendees from the event.

For international exhibits visas will be arranged for by the organizer and their partner hotel subject to the condition that the exhibitor will stay on the hotel for the duration of the exhibit.

Visa processing fee will be collected by the organizer prior filing of visa application. Should the visa be denied due to the circumstance and fault of the organizer or its representative, all fees cannot be refunded. Please secure all necessary documents at least a month before the wedding and travel fair.

Accommodation, Airfare, Transportation, Visa and other travel document are of the exhibitor's account except otherwise when such are included in the contract or package.

The exhibitor shall not be responsible for any untoward incident that might occur in the course of the transit and expo proper. Exhibitors and participants are encouraged to take extra precautionary measures to prevent such. Insurance availment highly advised.

The exhibitor/participant releases the organizer of any legal liabilities should the exhibitor/participant participate in any crime or commit any illegal acts at any the host country.

Should the exhibitor/participant fail to leave the host country after the expiration of its special visa, the exhibitor agrees to be pay the corresponding bond and penalties not to mention the damages imposed by the host country (For Dubai the sum of equivalent to Php 100,000) without need of demand. The exhibitor will be responsible for the return or exit of their personnel to the host country before the special visa expire. A separate Memorandum of Agreement will be provided for visa guarantee.

We agree to use our best efforts to fulfill and exceed your expectation on the deliverable listed above. You agree to aid us in doing so by making available to us needed information pertaining to your website and to cooperate with us in expediting the work.

3.0 Booth Selection BOOTH PREFERENCE: You may request your 1st, 2nd and 3rd choice of booth spaces.

We'll make every effort to accommodate your request. Your booth space will be confirmed prior signing of this contract. If no booth selection is marked on the contract, we will assign your booth space for you.

Exhibitors must contact the Organizer for any electrical services. This is included on all booth spaces except table spaces.

All necessary forms will be included in the Exhibitor Information Packet, which will be posted on Destination Events and Business Solutions' Website, and emailed to all Exhibitors.

4.0 Terms of Payment BILLING SCHEDULE We’re sure you understand how important it is as a small business that you pay the invoices that we send you promptly. We’re also sure you’ll want to maintain a positive working relationship and keep the marketing moving forward, so you agree to stick tight to the following payment schedule.

Destination Events and Business Solutions Inc. will invoice the client for fifty per cent (50%) of the initial fees at point of this signed contract agreement which will act as the deposit. The remaining 50% will be billed 45 days before the exhibit date.

The company may opt to pay in a monthly basis provided that the payment will be in form of postdated checks.

COLLECTION COSTS In the event that we incur legal fees, costs and disbursements in an effort to collect our invoices, in addition to interest on the unpaid balance, you agree to reimburse us for these expenses.

CLIENT RESPONSIBILITY FOR ACCURACY You shall be responsible for the accuracy, completeness and propriety of information concerning your products and services which you furnish to us verbally or in writing in connection with the performance of this Agreement.

5.0Â Â General Provisions 5.1 GOVERNING LAW This Agreement shall be governed and construed in accordance with the Philippine laws.

COURT VENUE. All court actions from this contact of lease shall be filed only in the Courts of Tagaytay City to exclusion of all other courts.

5.2 LIABILITIES Liability: Producer's liability is limited to the actual money paid by Exhibitor to Producer hereunder. In the event a Show must be postponed due to fire, natural disaster or for any other reason, the monies paid will be applied to a rescheduled date/location. If the Show is cancelled all monies will be refunded or applied toward a future Show and will be at the Producers sole and absolute discretion. Exhibitor agrees to obtain liability insurance for its rental space and property used in the Show. Exhibitor is responsible for any liability arising out of its participation in the Show, including product liability, accident or injury, and hereby agrees to indemnify Exhibitor for and hold Exhibitor harmless from the same. If Exhibitor does not stay within the boundaries of its booth, Producer may immediately remove Exhibitor from the event, Exhibitor will forfeit any money paid and any amount still due, and will not receive a Registrants List.

5.3 ENTIRE AGREEMENT Except as otherwise set forth or referred to in this Agreement, this Agreement constitutes the sole and entire Agreement and understanding between the parties hereto as to the subject matter hereof, and supersedes all prior discussions, agreements and understandings of every kind and nature between them as to such subject matter.

If any provision of this Agreement is held to be illegal, invalid, or unenforceable under any present or future law, then that provision will be fully severable. In such instance, this Agreement will be construed and enforced as if the illegal, invalid, or unenforceable provision had never comprised a part of this Agreement, and the remaining provisions of this Agreement will remain in full force and effect.
