Orleans Parish School Board Transportation Agreement AGREEMENT FOR THE TRANSPORTATION OF PUPILS This AGREEMENT FOR THE TRANSPORTATION OF PUPILS, hereinafter referred to as the "AGREEMENT", is made and entered into this f_!f_ day of~ .• 20A!!: by and between by and between ORLEANS PARISH SCHOOL BOARD, with principal tftfces at 3520 General De Gaulle Drive, Suite 5078, New Orleans, LA 70114 hereinafter referred to as "DISTRJCT", and DURHAM SCHOOL SERVICES, L.P., a Delaware limited partnership, with its principal office located at 4300 Weaver Parkway, Warrenville, Illinois 60555, hereinafter referred to as "CONTRACTOR." I. Scope of Agreement. CONTRACTOR shall operate and maintain one or more daily route school buses for the transportation of pupils using vehicles provided by CONTRACTOR. a. CONTRACTOR shall provide (a) the daily service for D!STRlCT, and (b) such other transportation as may be specified by DISTRICT. b. The term "daily service", as used herein, is defined as all home-to-school and school-to-home transportation of any students of DISTRICT that takes place at the beginning or end of the school day for such students. c. The term "other transportation", as tised herein, is defined as any transportation of students and DISTRICT personnel other than daily service, including but not limited to transportation to and from extracurricular events. d. Such transportation services shall be provided tor a minimum of 180 days per AGREEMENT year.

2. I.!m.n. The tenn of this AGREEMENT shall be for a period of three (3) years beginning July I, 2012 through June 30, 2015. Route services shall commence at the opening of DISTRlCT's 2012-2013 school year. This AGREEMENT may be renewable for two (2) additional tenns of one (1) year, at the option and mutual written agreement of both parties, taking into consideration CONTRACTOR'S perfommnce under this AGREEMENT and cost negotiations, and subject to applicable statutes and regulations.

3. Document Agreement. This AGREEMENT contains all the terms and conditions agreed upon by the Parties. The complete AGREEMENT consists of this AGREEMENT, the Proposal of CONTRACTOR, and the Request for Proposal. No. 12-0021 Specification for Student Transportation Services and Addenda of the District which are incorporated herein by reference. In the event and to the extent of any inconsistency between two or more documents which fonn part of this AGREEMENT, those documents will be interpreted in the following order of priority: (a) this Agreement, (b) Proposal of Contractor, (c) and District's RFP and Addenda.

4. Peonits and Licenses. CONTRACTOR, its employees, and its agents shall secure and maintain valid permits, licenses, and certifications a~ required by Jaw for the execution of this AGREEMENT. 5. Insurance. CONTRACTOR shall maintain insurance as set forth below during this AGREEMENT period and shall furnish a. certificate of insurance for General and Auto Liability coverage and for Workers' Compensation coverage. CONTRACTOR shall furnish new Certificates of Insurance for liability coverage and for Workers' Compensation coverage within thirty (30) days following the placement of new or renewed coverage. Certificates shall provide that a thirty (30) day prior notice of cancellation will be given to DISTRICT. Such insurance shall name the DISTRICT as additional insured for claims arising from or as the result of the operations of the Contactor or his subcontractors. In the absence of specific regulations, the amount of coverage shall be as follows: a. Commercial General Liability Insurance, including bodily injury, property damage and contractual liability, with combined single limits of$5,000,000.

Insurance Covedng Special Hazards: Pollution Liability insurance, (gradual release as well as sudden and accidental), with coverage limits of not less than $10,000,000. A policy period inception date of not later than the first day of the anticipated work under the subject AGREEMENT and an expiration date of no earlier than 30 days after the anticipated completion of all work under the AGREEMENT shall be provided by the policy.

Furthemwre, the policy shall provide for an "extended reporting period" of not less than 24 months, with full reinstatement oflimits, from the expiration date of the policy and shall not be cancelled for any reason other than nonpayment of premiums. The DISTRICT shall be named as an Additional Insured on the policy and this shall be so evidenced on the Certificate of Insurance. Such insurance may be included in insurance elsewhere specified. c. Licensed and Non-Licensed Motor Vehicles: The CONTRACTOR shall maintain during the life of the AGREEMENT, Automobile Liability Insurance in an amount not less than combined single limits of $10,000,000 per occurrence for bodlly injury/property damage. d. Subcontractor's Insurance: The CONTRACTOR shall require that any and all subcontractors, which are not protected under the CONTRACTOR's own insurance policies, take and maintain insurance of the same nature and in the same amounts as required of the CONTRACTOR. 6. Indemnification and Limitation of Liability: Indemnification and Limitation of Liability shall be defined and assessed, if applicable, in aecordance with Section 3.1 of the Request for Proposal.

7. Safety Program. CONTRACTOR shall provide formal safety instruction on a regular basis for all operating personnel assigned to this AGREEMENT. CONTRACTOR employees shall not be required to perform any medical functions for passengers.

8. Independent Contractor. While engaged in carrying out and complying with the terms and conditions of this AGREEMENT, CONTRACTOR is an independent contractor, and neither CONTRACTOR, its employees or its Agents shall be considered to be an Officer, Agent, or Employee of DISTRICT. 9. Assignments. Upon the written approval of the District, which approval will not be unreasonably denied, CONTRACTOR may assign or transfer any of its rights, burdens, duties, or obligations under this AGREEMENT to its parent company, affiliates, subsidiaries, or related legal entities.

I 0. Subcontracting. CONTRACTOR will not subcontract any of its rights, burdens, duties, or obligations under this AGREEMENT without the written consent of DISTRICT, except on a short term, interim basis in the event of an emergency. Consent shall not be unreasonably withheld.

II. Force Majeure. CONTRACTOR shall be excused from performance hereunder during the time and to the extent that it is prevented from performing in the customary manner by an act of God, fire, flood, war, riot, civil disturbance, terrorism, epidemic, quarantine, strike, loc-kout, labor dispute., oil or fuel shortage, freight embargo, rationing or unavailability of materials or products, loss of transportation facilities, commandeering of equipment, materials, products, plants, or facilities by the Government, or any other occurrence whi.ch is beyond the control of CONTRACTOR. 12. Routing and Scheduling. Routes contorming to the needs of the DISTRICT will be established by the CONTRACTOR and approved by the DISTRICT. CONTRACTOR's creation of the routes is dependent upon DISTRICT's timely performance of its obHgations. DISTRICT must submit to CONTRACTOR by June 1st a tentative list of approximately 90% of all students to be transported by CONTRACTOR so that CONTRACTOR is capable of developing routes by August 1st for this group of students. DISTRICT must submit a final list to CONTRACTOR five (5) days prior to the start of school. CONTRACTOR has ten (10) days from the date it receives the final list to integrate students not previously included on the tentative list into the routes. CONTRACTOR shall provide an updated routing plan by October 1st. After DISTRICT approves routing plan, CONTRACTOR shall make no

Orleans Parish School Board Transportation Agreement changes thereto, except in cases of an emergency, without prior notic.e to, and receiving written approval from, DISR1CT. Approved changes to established routes, schedules or stops shall be implemented by CONTRACTOR as soon as possible after DISTRICT approval, ideally within three (3) but no longer than five (5) working days, unless mutually agreed upon by all affected parties.

DISTRICT shall provide CONTRACTOR with electronic data downloads of student information lists compatible with CONTRACTOR's routing software on a regular basis to allow CONTRACTOR to efficiently update the routing plan.

JJ. Contractor's PersonneL CONTRACTOR shall employ and assign for services under this AGREEMENT a sufficient number of regular and substitute drivers based on projected basic and supplementary transportation, taking into account the current driver absence rates. CONTRACTOR shall be solely responsible for hiring and discharging its employees. DISTRICT shall have the right to request removal of any of CONTRACTOR's employees from providing services under this AGREEMENT provided that such request is made in writing with the reasons set forth and provided that such request does not violate any laws against discrimination.

CONTRACTOR shall designate one (l) person as its local representative to act as the supervisor for the operations for DISTRICT. This person shall be available during all regular working hours of school days for the purpose of handling routing, assignments, and operational concems. The supervisor shall have the authority to act in all matters covered by established policies.

CONTRACTOR shall provide at least one (I) road supervisor for each one"hundred (I 00) routes operated for various safety duties. Road supervisor shall be on duty during busing activity typically between 5:30AM to 8:00AM and 3:30PM to 6:00PM. !4. Record Keeping and Accident Reports. CONTRACTOR will be required to provide any and all

operational records related to the provision of services under this AGREEMENT and kept in the ordinary course of business to DISTRICT within 30 days of DISTRICT's request for such records.

DISTRICT shall maintain the confidentiality of CONTRACTOR's records.

All equipment involved in an accident shall be reported as defined by law. Accidents involving CONTRACTOR'S equipment or personnel while operating for DISTRICT shall also be reported to DISTRICT immediately with a written briefing via email to follow up within 24 hours. Pupil injuries not involving acceleration, deceleration, or movement of the bus shall also be reported to the DISTRICT. !5. J?ayments for Services. The CONTRACTOR will submit invoice(s) for the previous month's services before the 8th working day of each month. The invoice detail will include sufficientinformation to support the am.ounts billed, and to reconcile to the Contract. The DISTRICT shall pay any accurately prepared and submitted invoice within 30 calendar days of receipt. In the event sums due and payable are not received within thirty (30) calendar days, a late charge of l .5% per month of the outstanding balance will be assessed upon the account. In the event such sums are not received within sixty (60) days, service may be discontinued until such time as CONTRACTOR has received all sums due. !6. Adjustment of Rates. If, at any time during the term of this AGREEMENT, it is determined that a significant reduction/increase in service is to be instituted due to changes in school start/end times (bell schedules), change in the number of school days, mandated reduction/increase in routes, change in number of students or miles driven, or any other changes which significantly reduce or increase the existing service level(s) or CONTRACTOR'S cost of operations, CONTRACTOR and DISTRICT agree to negotiate an adjustment to the rate schedules. The term "significant reduction/increase" as used herein is defined as any change offive percent (5 %) or more.

Notwithstanding anything else in this AGREEMENT to the contrary, in the event any federal, state, local or other govemment body's statutes, laws, rules, or regulations are enacted/promulgated, the

Orleans Parish School Board Transportation Agreement impact of which will materially impact the method and/or costs of CONTRACTOR in co!Ulection with providing the services hereunder (e.g., the enactment of mandatory national health insurance for employees), in that event, upon written notice to DISTRICT, CONTRACTOR may request a renegotiation ofthis AGREEMENT which shall be conducted in good faith. Such renegotiations shall include, but shall n.ot be.limited to, the payment schedule, duration of this AGREEMENT, levels of service, etc. Any modification to this AGREEMENT resulting from such renegotiations shall become effective on a mutually agreed-upon date.

17. Eguipwent Reguirements. All buses supplied under this AGREEMENT shall be approved school buses, as defined by applicable statutory or administrative codes. a. Regular preventive maintenance shall be practiced on all buses. In addition, buses shall be cleaned inside and out as necessary, and repairs to significant visible body damage, inside or out, shall be made within thirty (30) days from the date such damage occurs. b. The average age of the bus fleet used to service this AGREEMENT shall be no more than 12 years old at the start of each school year. c. CONTRACTOR shall provide spare buses, of appropriate sizes, and meeting all the above requirements, and shall be located by CONTRACTOR at points close enough to DISTRICT so they may be substituted for regularly assigned buses, if needed, without delay.

CONTRACTOR shall maintain a quantity of spare buses equal to at least 10% of the amount of regular route buses serving the DISTRICT. In the event that additional spare buses are needed to accommodate trips or other demands a contractor bus use fee of $50.00 would be applied per day per additional bus utilized. d. CONTRACTOR shall include real time GPS on all buses serving DISTRICT. In the event that DISTRICT specifies a system that is not currently used by CONTRACTOR in New Orleans, DISTRICT shall be responsible for all costs associated with the requested system. e. In the event that Air Conditioning is required on bus sizes from 65 to 72 passenger, then the DISTRICT and CONTRACTOR will negotiate a rate to cover the cost of adding this equipment. f.

Jt is specifically understood between the Parties that prices under this AGREEMENT do not include modifications to vehicles that might at some point in the future be required by government agencies or DISTRICT. If, during the term of this AGREEMENT, equipment modifications, including seat belts, are mandated, CONTRACTOR and DISTRICT shall negotiate in good faith price increases related to such modifications. Such renegotiations shall include, .but shall not be limited to, the payment schedule, duration of this AGREEMENT, levels of service, etc. Any modification to this AGREEMENT resulting from such renegotiations shall become effective on a mutually agreed-upon date.

18. School Bus TeonjnaL Each bus leonina! or park-out location must be located within the City or neighboring Parish. Each terminal must be staffed so as to accommodate this number of buses and drivers Each terminal shall allow sufficient parking, garage facilities, office space, etc. to allow the terminal to function efficiently. DISTRICT reserves the right to review the facility and mal<e recommendations as required. The CONTRACTOR shall provide at least one (!) full-time Contract/Te!Ulinal manager responsible for supervisory perso!Ulel to operate the routes. A manager, assistant manager, or dispatcher shall be on duty whenever students are being transported on regular to and from school routes.

avoid the potential extremes regarding price fluctuations for fuel the following fuel cap shall apply during the Ufe of this contract. The fuel cap shall be $3.85/gallon. The fuel cap and all invoicing supplied shall be calculated inclusive of all taxes and delivery fees. Should the price of Diesel fuel at the pump vary more than $.20 per gallon from the cap during a given month in which

Orleans Parish School Board Transportation Agreement school is in session, a fuel adjustment shall be made for that entire month. If cost is above $4.05 per gallon the CONTRACTOR will be reimbursed for each cent above $4.05 and if less than $3.65 per gallon The DISTRICT shall be reimbursed for each cent below $3.65. Each school month the CONTRACTOR shall retain all fuel invoicing records and attach same to their monthly invoices to the DISTRICT. The CONTRACTOR will be required to obtain fuel meeting the needs of the vehicles at the lowest at the pump price available to the CONTRACTOR. Such reimbursement shall only apply to fuel used while vehicles are in service for the DISTRICT. The DISTRICT retains the right to purchase fuel and supply it to an approved storage facility selected by the CONTRACTOR, or make such arrangements with local fuel vendors so as to achieve the lowest market prices available using the DISTRICT's combined buying power.

Determination as to the number of gallons for fuel reimbursement above/below $3.65 a gallon shall be computed on the basis eight (8) miles per gallon for fuel. Computation of the charge shall begin at the first student pickup point and end at the last school drop-off point for the morning run and the first school pickup point to the last student drop-off point for the aften10on run and school to school for trips, (live miles) and any deadhead in excess of28 miles per day.

20. Termination for Cause. The DISTRICT may terminate the AGREEMENT for cause, in whole or in part, based upon the failure of CONTRACTOR to comply with the terms and/or conditions of the Agreement, or failure to fulfill its perfonnance obligations pursuant to the AGREEMENT, provided that the DISTRICT shall give the CONTRACTOR written notice specifYing the CONTRACTOR's failure. If within thirty (30) days after receipt of such notice, the CONTRACTOR shall not have corrected such failure or, in the case of failure which cannot be corrected in (30) days, begun in good faith to correct such failure and thereafter proceeded diligently to complete such correction, then the DISTRICT may, at its option, place the CONTRACTOR in default and the Agreement shall terminate on the date specified in such notice. The CONTRACTOR may exercise any rights available to it under Louisiana Jaw to terminate for cause upon the failure of the DISTRICT to comply with the terms and conditions of the AGREEMENT, provided that the CONTRACTOR shall give the DISTRICT written notice specifYing the DISTRICT's failure and thirty (30) days after receipt of notice for the DISTRICT to cure the defect.

21. Tennjnation for.Non-Approuriation of Funds. The continuation of the AGREEMENT is contingent upon the appropriation of funds by the legislature to fulfiJJ the requirements of the contract by the legislature. If the legislature fails to appropriate sufficient monies to provide for the continuation of the AGREEMENT, or if such appropriation is reduced by the veto of the Governor or by any means provided in the appropriations act of Title 39 of the Louisiana Revised Statutes of 1950 to prevent the total appropriation for the year from exceeding revenues for that year, or for any other lawful purpose, and the effect of such reduction is to provide insufficient monies for the continuation of the contract, the AGREEMENT shall terminate on the date of the beginning of the first fiscal year for. which funds have not been appropriated If such tennination for non-appropriation occurs during the term of the AGREEMENT or its' extension periods, if any, DISTRICT shaJI promptly notifY CONTRACTOR and CONTRACTOR shall have the option to reinstate the AGREEMENT for the remaining tenn of the AGREEMENT if such funds sufficient to provide for the continuation of the AGREEMENT are subsequently approved. Notwithstanding the forgoing, the District shall be responsible for completing all payments due Contractor for servic.es rendered.

22. Liquidated Damages. Prompt and safe transportation of students to and from school is essential for students to benefit fully from their educational experience. Late or unsafe transportation burdens students, their families, and school staff. Due to the nature of the services to be rendered by the CONTRACTOR, it would be impractical and extremely difficult to detennine actual damages resulting from the CONTRACTOR's failure to provide adequate services under this AGREEMENT. It has been determined that certain failures to perform inherently involve damage.

Aceordingly, after August 31st of any school year, liquidated damages in the amounts listed in the attached Schedule B - Liquidated Damages will be applied for service deficiencies. One or more of the damages may apply to any one route or occurrence. Damages will not be imposed for situations beyond the control of the CONTRACTOR. This includes, but is not limited to: non-preventable accidents, vehicles stuck in traffic, closing of streets for repair, and delays due to extremely poor weather and impassable streets. If a bus is late due to no fault of the CONTRACTOR or the bus driver, the CONTRACTOR must provide to the DISTRICT written notice of the reason for the delay within twenty-four (24) hours to avoid liquidated damages. The final decision whether liquidated damages are to be assessed rests with the DISTRICT and will be based on the DISTRICT's investigation of the circumstances of each ineident. DISTRICT must inform CONTRACTOR within 3 days of its intent to a~sess liquidated damages for a specific event and must bill for such liquidated damage within 31 days of the occurrence. Failure to notifY or bill CONTRACTOR in a timely fashion shall relieve CONTRACTOR of its obligation to pay liquidated damages for the event.

23. Hl!rricane, Trooical Storm. and other Evacuation Assistance. CONTRACTOR shall provide buses in the event of a state ordered Orleans Parish community evacuation. CONTRACTOR shall make its fleet available to the DISTRICT, police, local, state, or federal agencies to assist in the evacuation .. If the DISTRICT or authorized agency chooses to use CONTRACTOR vehicles, the DISTRICT or agency shall be required to sign a vehicle lease agreement, provide a certificate of insurance, and proof of properly licensed drivers in advance of taking possession of any of Contractor's vehicles.

The DISRT!CT or agency agrees to indemnifY, hold harmless and defend CONTR<\CTOR, its directors, officers, employees and agents from and against every claim or demand arising from or caused by any act or omission of DISTRICT or agency while it is in possession of Contractor's equipment . The DISTRICT or Agency shall be responsible for compensating the CONTRACTOR for these services at the rates defined in Schedule A. 24. CjvU Rjghts Compliance: CONTRACTOR agrees to abide by the requirements of the following as applicable: Title VI and Title VII of the Civil Rights Act of !964, as amended by the Equal Opportunity Act of 1972, Federal Executive Order 11246, the Federal Rehabilitation Act of 1973, as amended, the Vietnanl Era Veteran's Readjustment Assistance Act of 1974, Title IX of the Education Amendments of 1972, the Age Act of 1975, and CONTRACTOR agrees to abide by the requirements of the Americans with Disabilities Act of 1990. CONTRACTOR agrees not to discriminate in its employment practices, and will render services under the AGREEMENT and any contract entered into as a result of the AGREEMENT, without regard to race, color, religion, sex, sexual orientation, national origin, veteran status, political affiliation, or disabilities. Any act of discrimination committed by CONTRACTOR, or failure to comply with these statutory obligations when applic.able shall be grounds for tennination of the AGREEMENT and any contract entered into as a result of the AGREEMENT. 25. Notices: Notices to either party to this AGREEMENT shall be in writing and shall be considered duly served and delivered if such notice is delivered by hand; mailed via the United States mail, certified, return receipt requested; or sent via overnight service. 26. Discipline. CONTRACTOR will report serious or persistent misconduct on the part of students to the designated DISTRICT employee. DISTRICT shall then impose reasonable disciplinary measures upon the students in accordance with its discipline management program.

27. Dispute Resolution. The parties agree to meet and confer in good faith on all matters and disputes under this AGREEMENT. If a dispute is not resolved under the foregoing, and one party informs the other in writing that it reasonably believes that the differences between the parties are not likely to be reconciled through further negotiation, then the parties agree to submit such dispute to binding arbitration under the Commercial Rules of the American Arbitration Association. Such arbitration will be held as promptly as possible in Orleans Parish, LA an.d will be conducted before a panel of three (3) members. DISTRICT and CONTRACTOR sha11 each select one arbitrator, and the third arbitrator shall be selected by agreement of the other two arbitrators so chosen. The decision of a majodty of the arbitration panel will be binding on the parties and may be submitted for enforcement to any court of competent jurisdiction. All costs and expenses associated with the arbitration shall be borne entirely by the non-prevailing party.

28. Choice of Law. This AGREEMENT shall be governed by the laws of the State ofLoujsiana.

29. Severability. In the event any provision of this AGREEMENT is determined to be illegal or void, the remainder ofthis AGREEMENT shall remain in full force and effect.

30. Attorney's Fees. If any legal action is brought by either of the parties hereto, it is expressly agreed that the party in whose favor final judgment shall be entered shall be entitled to recover from the other party reasonable attorney's fees in addition to any other relief that may be awarded.

31. Rate Schedule. In consideration of the perfonnance on the part of CONTRACTOR of the terms of this AGREEMENT, DISTRICT agrees to pay CONTRACTOR the rates set forth on attached Schedule A, incorporated herein, for pupil transportation services rendered.

IN WITNESS WHEREOF, the parties hereto have executed this AGREEMENT as of the date written above.

Failure to notify DISTRICT of any route running more than 15 minutes late.

Failure to notify DISTRICT of any route running more than 30 minutes late.

Doubling of routes

$25.00 fine may be imposed.

No updated route sheet Contractor must obtain prior approval from DISTRICT for any changes to P/U & D/0 times or locations.

Driver/monitor not displaying proper photo ID. A driver who has not successfully completed training required by the DISTRICT and the Stale and is not qualified and or properlY permitted Drivers or monitors smoking, on the bus, regardless of whether students are on board . Failure to have a radio (cell phone), working fire extinguisher, first aid kit, emergency triangles, and video box (if required) on the bus Bus not identified with DISTRICT speciped route sign while in service to DISTRICT Two way radio not working, Digital video cameralsystem not in place or not functioning properly, Failure to provide, at a minimum, a manager/assistant manager/dispatcher on duty while DISTRICT routes are on the road.

Failure to dispatch athletic, activity, or field trip including failure to arrive on time.

Failure to report accident or student injury per soecifications.

Failure to file an accident report within 24 hours to DISTRICT TransPortation Department.

Failure to provide Special Needs bus with all required equipment per IEP and Contract (AC, Lift, etc).

Failure to provide properly trained and qualified monitor/attendant.
