PROPOSED AMENDMENTS TO CONSTITUTION AND BYLAWS An Amendment may be made either (1) by "adding" or (2) by "striking out" words or paragraphs; or (3) by "striking out certain words and inserting others."

CONSTITUTION Article IV. Membership Section 1. Classification There shall be five classifications of membership in this Association: Regular, Associate, Student, Affiliate and Auxiliary. PROPOSED AMENDMENT: There shall be shall be five six classifications of membership in this Association: Regular, Associate, Student, Affiliate, Auxiliary and Retired. Section 7. [New Section] Retired Members A person who is at least Sixty‐two (62) years of age, has fully retired from the practice of law and who supports the objectives of the Association may become a Retired Member of the Association upon application and payment of the applicable annual membership fee. REASON/BASIS FOR AMENDMENT: • The value of retired attorneys would be beneficial to the NBA membership for their knowledge and expertise. It would also indicate that they are still an indispensible part of the NBA and that they are valued and needed. ARTICLE V. Rights of Members PROPOSED AMENDMENT: Section 6. [New Section] Retired Members Retired Members are entitled to serve on committees of the Association; to vote on any matter pertaining to the Association's business, including election of Officers and Members‐ at‐Large; and to represent the Association upon direction of the Board or appointed by the President. 2
