Fraud Woes Continue to Grow for NACM Connect Members It should come as no surprise to anyone that internet fraud is growing, and rapidly. Based on feedback from a recent survey on online orders, our members are certainly not immune to this. One member in particular wanted to share a recent event with fellow members as an example of lessons learned. We have an established customer who has been a good solid customer for quite some time. We received in an email from an email address that was very similar to their email address format and had a name attached that was an actual employee – just not someone that placed orders, he was way high up on the ladder (and we should have caught that) – attached to the email was a very legitimate looking PO. Had the company logo, correct address, same format – just had a bogus phone number – and a shipping address. While the order was a bit larger than normally purchased, the emailer explained it away by saying they had a new customer with a large job for which they needed our product. Our customer service manager

said ‘process the order’ so Sales Support (our order writers) did. Sent $15,800.00 worth (at cost) of product from the Midwest to California and the invoice posted to our customer’s account. Three weeks later we get a call from the customer wanting to know what this order was and why it was on their account. That’s when everyone started pointing fingers and we realized how many things went wrong…. the order was taken by someone that doesn’t normally handle that account so they didn’t know anything was amiss, all communication was via email and when it was scrutinized it had an extra ‘n’ in the name (just a slight change that wouldn’t register). I tracked the shipments – one for each piece of equipment – to a moving/ storage/freight place in California. Turns out they had this person – as the name listed on our shipping address – create an account with them to forward packages – we were the 3rd company to ship in to them – our packages were re-boxed and shipped to just outside London, yes England and then,

as the police fraud officer was able to find out, forwarded to Nigeria and who knows where from there. It’s a tough lesson to be taught. Not every ‘customer’ is on the up and up and in this day and age you must keep a good dose of skepticism in your process. We have now instructed our Sales Support to scrutinize every email order and call the customer – if it’s already set up in our system use that info not what’s on the PO – to verify. Had that been done on our transaction, huge red flags would wave. Even if a call had been placed to the number on the PO the juggernaut would have stopped. Why, because the phone number on the PO was a text only phone, not a business phone. When this episode came to light, I was sent the email streams and the PDF PO. If I hadn’t already known the situation I would not have thought twice about processing the PO - it was that good. My words of wisdom to all businesses is – be courteous to your customers, do everything in your power to under promise & over deliver, but be cautious and a bit skeptical until verified for any orders that seem a little out of character. Fraud is easy to spot when it does not incorporate already established customers but when the scammers start utilizing the information and logos of established businesses it is way harder. No one is immune. ■

2016 Distinguished Member Acheivement Award Winner Denise Kephart, CBA won the NACM/CFDD Distinguished Member Achievement Award for outstanding contribution to the credit profession. This was awarded at the CFDD luncheon at NACM’s 120th Credit Congress and Exposition on Tuesday, June 14th. Denise was not able to attend but the award will be presented to her at the September CFDD meeting in Omaha. ■

Long Time Credit Group Chairperson Retires The Basic Material Industry Credit Group bid farewell to their long-time Chair, Barb Lahtinen, who retired from National Material LP on June 1st.

Denise Kephart was the recipient of the 2016 Distinguished Member Acheivement Award from NACM National.

Barb started with NACM/Chicago-Midwest in 1992 as a Group Administrator for many of our local and national Industry Credit Groups including the Basic Material Credit Group. She remained at NACM/Chicago-Midwest, later NACM Midwest, for 10 years. After Barb moved on to National Material LP, she continued her dedication to NACM Midwest and to the Basic Material Credit Group as Chairperson of the group. G o o d wishes and good health to Barb in her retirement. ■

Illinois Construction Stuff and Stuff By Norm Cowie, CCE A bunch of years ago .. I don’t remember exactly how many (this happens as I get more gray hairs), a big electrical contractor filed an Assignment for Benefit of Creditors. (Wait, I need to vent for a second. An Assignment for Benefit of Creditors is mockingly misnamed because I’ve never known a creditor to ever benefit from one of these things. They are supposed to net creditors more than a more expensive bankruptcy, but the truth is they allow slippery little weasel debtors to tuck away assets that wouldn’t have happened under a trustee’s watchful eye. So don’t trust them – ever.) Anyway, back to my story. This particular contractor had two divisions, a residential division and a commercial division. Notice I’m saying division, not different corporation or subsidiaries. Well, one of them (I don’t remember which – remember that age thing) was profitable, and the other was leaking money like an oil company lobbyist. So they put just the unprofitable division into an Assignment for Benefit of Creditors. You heard me, well, read me. Right now you’re probably thinking to yourself, “Self, have I had enough coffee yet?” But after that you probably thought, “Wait, if both divisions are part of the same corporation, how can they put just one part into an insolvency proceeding?” And you’d be right. Normally you can’t do that. But in Illinois, the rules for Assignments are, well, let’s say lax … no, pathetic … and there’s a lot of latitude for dastardly shenanigans like this. When it happened, we were only owed a small balance, and I filed liens which were quickly paid by the land owners. But some of my competitors were owed considerable amounts (one of them was owed millions), and since I am on friendly terms with them, I suggested they might file an involuntary bankruptcy against the main corporation because that would bring the assets of the profitable division into the proceedings. But they ignored my suggestion, and some of them ended up losing huge money (like, hundreds of thousands and maybe some

millions, which, I maintain they have the right to lose if they wanted to… free country and all.) I’m bringing this up because I just got a judgment on a jerk, er, contractor for about thirty thousand dollars. I tried working with this guy for years to bring his account current, using COD-roll, accepting small monthly payments to reduce his balance -- when we needed electrical work done we even hired him to do some work for us. But then the payments stopped, he started ignoring me, and when I told him I might have to send the account to legal, he said this in an email, ‘do what you have to do.’ Do.What.You.Have.To.Do. Really? Okay, challenge accepted. So I got myself a judgment, didn’t take long. Then I pulled a TransUnion on him and saw why he didn’t bother fighting - his TU was a wreck. Suits, write offs, smeared grape jelly… it was a mess. The challenge was to find assets to attach … bank accounts, property, small pets, etc. I started by reviewing his paltry payments, they were all paid by money order, so I didn’t know where his bank was. I contacted my counterparts in our NACM credit group, no one had anything, except one who wrote off a thousand bucks a couple years ago. When I checked his house, get this, it was titled in his wife’s … maiden … name. Sneaky sneakster. Not as sneaky as joint tenancy in the entirety, but I’m sure he felt clever. And it’s on the market, with Mr. Sneaky’s brother as the selling agent (cuz it turns out his brother’s a realtor). So no bank, his house in his wife's maiden name, personal credit a wreck (his wife’s credit is probably sterling). Stymied, huh? I chatted with our inside staff who had dealt with him, asking if he ever discussed any property, assets … you know, things I could go after … and learned about a cabin up in Wisconsin. Really? I jumped on Facebook, because, you know, people are kind of dumb about how much info

they let display onto the Interweb for everyone to see, and I found it. Well, technically, first I found a picture of the view from his cabin, which led me to the town it was in, and then I found the property … again, in his wife’s maiden name. A house, plus 22 acres. What a weasel. He put all assets into his wife’s name, using her maiden name to further disguise it. Then he stiffs everyone. Not me though. It’s not going to happen. I called my collection agency dude, ran everything by him, and I asked him, “Hey, can we put him into an involuntary bankruptcy?” He goes, “No, I think you need three creditors to do that.” “I know, but there aren’t three. I’m the only supplier. I think you can do it with one if you’re the only creditor.” He goes, “Okay, I know a trustee. Let’s get her on the phone and see what she thinks.” Okay, I’m running out of room here, so I’ll wrap it up. It turns out that I also know the trustee, and she likes me and has worked with me before, and she didn’t take any urging at all. So we’re filing an involuntary bankruptcy on the guy, and we’ll see if we can suck the assets into the estate as fraudulent conveyances. Because, after all, he told me to do what I had to. Roles & Goals: Three Step Process for Acheiving Life Balance By Larry Grogan, CCE “He was a loving father, husband, son and brother and committed friend, colleague and mentor”. This quote caught my eye when reading a recent Wall Street Journal article covering the passing of a well-known hedge fund manager. I had been thinking about roles and in particular how in these uncertain times our work role can dominate our lives and in turn crowd out the time, energy and focus available for our other, perhaps even more important, roles. I don’t think I have ever been as busy at work as I am now. Maybe you feel the same. As luck would have it, I recently came across a book entitled ‘First Things First’ by Stephen Covey and Roger & Rebecca Merrill. You may have heard it said, ‘we teach what we most need to learn’. I’ve recognized a need for more balance in my life and thought sharing my journey in this short article might be useful to anyone working day to day in demanding credit and collection roles. The authors suggest taking the time to identify all the key roles in your life, establishing 2-3 long-term goals for each and then scheduling specific actions you will take towards achieving them in the week or month ahead. The book creates a much larger context but this is one of its key themes in a nutshell. Here’s a challenge for you. Over the next day or two, begin a list of all the roles you play in your life (the first line of this article will help you get started!). You may be surprised to find you find have twice as many as you might have guessed. I sure was. I’ll share some of my initial reactions after completing the list. Maybe some will mirror yours?: a) ‘That’s a lot of roles!’ b) ‘I’ve set goals before, but never thru the lens of my roles’ c) ‘Wow- I sometimes let my work role eclipse many of my other roles’ and d) ‘This is a new and different perspective and worth further thought and reflection’. What happened next was interesting. I

realized some of my roles had ended. After the passing of Mom and Dad, my role of ‘Son’ was a completed chapter in my life. Other roles were relatively new to me including: ‘Grandparent’ and ‘NACM Board Member’. And roles like ‘Dad’ and ‘Brother’ are very different now as my kids and siblings have aged and have different and sometimes even greater needs than when they were young. I soon realized who I am and what I want to do & be became much clearer when using ‘roles’ as a new lens. The next step was to choose 2-3 longterm goals for each of my roles. The book suggested focusing on no more than seven roles in order to remain focused. Here I was struck by how my low awareness of a particular role led to my neglect of having a vision and goals for it. In the case of my role as ‘Brother’ and ‘Dad’, I felt a sense of urgency and peace at the same time when I wrote down goals of offering more encouragement and being more intentional about staying connected. When it came to my work role, having set goals for other roles helped me realize how both goals & roles are time based and if I was to achieve the balance I was seeking, I needed to leave the office earlier and create some new boundaries around my work life. The next step was and is the true test of character: translating your long-term goals for each role into action by scheduling them in your daily / weekly / monthly calendar. The book calls this ‘scheduling your priorities’ and suggests asking ‘What is the most important thing I could do in this role this week to have the greatest positive impact?’. Here are some examples: ‘Visit Tom on Saturday’, ‘Call Kim on Sunday’, ‘Write agenda for NACM committee meeting on Monday’, and ‘Leave work by 5:30 (daily)’. Here are two other thoughts from the book before concluding: ‘All parts of our lives matter to our mission. That synergy among the parts creates energy in the whole’. This tells me ‘all work and no play’ detracts from one’s ability to have and fulfil their mission. The more balanced attention I give to my roles, the more energy I will have for each of my roles.

‘Our roles become the channels through which we live, love, learn and leave a legacy’. We can ask ourselves, ‘How am I doing in this role – on a scale of 1-10?’ ‘Am I devoting proper time and focus to it?’ ‘Whose lives benefit when I fully engaged in it?’ ‘Who can give me feedback as to how I am doing and what I can do to improve in it? The 3 step process of identifying your key roles, setting 2-3 long-term goals for each and scheduling definite action on them in the week / month ahead can give each of us the power to live our lives in a more balanced way. This brought to mind something Clarence, George Bailey’s guardian angel in the movie ‘It’s a Wonderful Life’, said to him: “Strange, isn’t it? Each man’s life touches so many other lives. When he isn’t around he leaves an awful hole, doesn’t he?” If our lives are in large part expressed through our roles, consider how your roles and how well you play them impact the lives of so many

Customer-Sponsored Credit Enhancement Programs (Consignment and PMSI): Reducing Supplier A/R and Preference Risk, or Opening the Door for a Priority Fight? By Scott Blakeley, Esq. A key supplier providing product to customer scored as a high credit risk customer often attempts to negotiate a credit enhancement, such as consignment or purchase money security interest, to offset the increased A/R risk and potential preference risk. Many financially struggling customers now appreciate that a credit enhancement program they sponsor for their entire supply chain, rather than one-offs individually negotiated with a complaining supplier, can result in continued credit terms from the supply chain. However, do these customer-sponsored credit enhancement programs (CSCEP) really reduce supplier A/R risk and preference risk, especially if that customer files Chapter 11? The credit team’s chief task is managing credit risk, and their reporting responsibility is to assure management that these high risk customers have credit terms and the risk profile has a floor. However, recent examples such as Sports Authority, Hancock Fabrics and Family Christian Books suggest otherwise—at least not without suppliers fighting back. The article discusses customer-sponsored credit enhancements, and steps suppliers can take to reduce A/R risk and preference risk by complying with Article 9 of the UCC. Why Customer-Sponsored Credit Enhancements Programs? An experienced credit team for a supplier reporting to management that a longstanding customer that is now scored as a high credit risk and no longer qualifies for terms, may recommend credit enhancements, such as a credit enhancement or PMSI, to keep the account on terms. Customers, especially those publicly traded, understand that the supplier

community closely monitor customer credit risk. Customers appreciate that should they agree to negotiate a credit enhancement for a key supplier, other suppliers learning of this preferential treatment may react by pulling terms. Likewise, if customers simply refuse to negotiate a credit enhancement program for suppliers, the supply chain may react by pulling terms, thereby negatively impacting the customers’ cash flow and working capital. From this, some customers, especially retailers, recognize that rolling out a consignment or PMSI programs allows them to encourage key suppliers to maintain terms. These customer-sponsored credit enhancement programs require the support of the customer’s lender, given the lender has a floating lien on inventory. Consignment and PMSI Programs A consignment transaction is not a true sale until the customer (consignee) sells the goods; until then, title remains with the owner, usually the manufacturer (consignor)(Supplier). The customer is obligated to pay the consignor from the proceeds of the sale of the merchandise. The consignee receives a recompense for making the sale. If the customer does not sell the goods after all, he may return them to the consignor without obligation. Title to goods on consignment remains with the consignor until the sale takes place. Selling goods under a consignment program can create A/R risk from the customer’s lender challenging the consignment. Inventory, or proceeds from the sale of the goods, may become a target of the customer’s lender unless the supplier has complied with the Uniform Commercial Code’s (UCC) requirements for perfecting a security

interest in the goods. Where a supplier selling on consignment fails to comply with the UCC, the supplier risks a challenge to its goods on hand with the

customer, or the proceeds from the sale of the goods, to a competing creditor. Article 9 of the UCC’s perfection requirements provides the means whereby a supplier can establish a valid security interest in their own goods, even when the goods have been delivered to the customer. Compliance with the perfection requirements of the UCC not only protects ownership of the goods; in the event of a dispute over the goods, the supplier may prevail over a competing creditor. Perfecting a security interest in goods takes several steps that begins with the supplier. An agreement is executed describing the relationship of the parties; a description of the goods; and agreement that title to the goods only passes to buyers. Then the supplier completes a UCC-1 financing statement which again describes the goods and the goods are delivered on consignment. The supplier then files the statement with the filing office (usually the Secretary of State).

Customer-Sponsored Credit Enhancement Programs (cont'd) The supplier seeking to establish a security interest in its goods must take additional steps if the customer has a lender with a floating lien on inventory. For the supplier’s security interest in its goods to prime the lien of the lender, the supplier should have its UCC1 and consignment agreement recorded at the time the customer received the goods. Secondly, the supplier must give written notice of to the lender, which should state the goods are subject to consignment. The supplier is then entitled to the proceeds from the sale of its goods or the return of the goods.

Credit Enhancements Alternatives As the chart highlights, suppliers and customers have options with credit enhancements. From the customer’s perspective, a credit enhancement program across the supply chain to preserve credit terms is most effective with consignment and PMSI. By contrast, a personal or corporate guaranty are not practical, and an L/C program may not work as the financially struggling customer may not have the balance sheet to support an L/C program.

Debtor Known To Sell On Consignment

Do Customer-Sponsored Credit Enhancements Reduce A/R and Preference Risk?

An exception to the supplier’s need to comply with the Article 9 notice requirement is where the debtor is generally known by its creditors to be engaged in consignment sales. It is the supplier’s burden to prove this. The competing argument by a debtor’s lender is that the unperfected consignment serves as a secret lien.

For the customer, a credit enhancement program they offer the supply chain may result in continued trade terms from suppliers. For the supplier, customer programs may result in sales they may not otherwise make if they had cut the customer off. However, the takeaway from Sports Authority and like retailers is that burden is on the supplier, not the

customer, to comply with the UCC1 description and filing requirements, and notice to lenders, or possibly face a challenge from the customer’s lender if that customer files bankruptcy. The supplier who does not comply with the notice provisions of the UCC puts their goods at risk to existing and subsequent inventory lenders, unsecured creditors’ committees or a bankruptcy trustee. ■ Scott Blakely is a partner at Blakeley & Blakeley LLP, where he advises companies regarding bankruptcy, creditors’ rights and commercial law. Prior to coming to NCS, Jerry was a Corporate Credit Manager in the manufacturing industry for 10 years, during which time he gained a very thorough hands on experience with both UCC filings and Mechanic’s Lien filings. Jerry consults with companies daily and has spoken to groups nationwide about Article 9 of the Uniform Commercial Code, Revised Article 9, the nuances of Construction Credit, and the benefits of selling through secured transactions.
