CONVOCATORIA

CONVOCATORIA

Convócase a los Señores Accionistas a Asamblea General Ordinaria a celebrarse el día 19 de Octubre de 2006 a las 16.00 horas en el local social de calle Italia 646 de la ciudad de Rosario, para tratar el siguiente: ORDEN DEL DIA: 1º.

Designación de dos accionistas para que en representación de la Asamblea y juntamente con el Presidente y Secretario, firmen el Acta respectiva.

2º.

Consideración de la Memoria, Balance General, Estados de Situación Patrimonial, de Resultados, de Evolución del Patrimonio Neto, Notas a los Estados Contables, Cuadros, Anexos e Informe de la Comisión Fiscalizadora, del Auditor y del Actuario, correspondiente al 19° Ejercicio Económico finalizado el 30 de Junio de 2006.

3º.

Consideración del Resultado del Ejercicio y su destino.

4º.

Aprobación de la gestión del Directorio.

5º.

Determinación del número de Directores Titulares y Suplentes y elección de los mismos por el término de un año, por terminación de sus mandatos.

7º.

Fijación y aprobación de los Honorarios a Directores y a Síndicos, los que exceden el límite del Art. Nº 261 de la Ley de Sociedades.

Aumento del Capital Social, dentro del margen del Art. Nº 188 de la Ley de Sociedades Comerciales de $25.000.000 a $50.000.000, mediante la capitalización de aportes irrevocables por $4.941.560 quedando facultado el Directorio para colocar el remanente.

Nota: Se recuerda a los Señores Accionistas la obligación de cumplimentar el Art. Nº 238 de la Ley Nº 19.550, en el sentido de comunicar su decisión de asistir a la Asamblea, a fin de ser inscripto en el Libro de Asistencia a Asambleas, con por lo menos tres días hábiles de anticipación a la fecha fijada para la misma.

Dando cumplimiento a normas legales y estatutarias, el Directorio somete a consideración de los señores Accionistas la reseña de los hechos más relevantes acaecidos en el Ejercicio finalizado el 30 de junio de 2006.

LA SITUACION GENERAL

Al momento de intentar describir el escenario macroeconómico en que desarrollamos nuestra actividad, no podemos olvidar que nuestra economía sostiene, desde hace casi cuatro años, un permanente e ininterrumpido crecimiento, generando indicadores de actividad equivalentes a los mejores en décadas. Si bien se mantienen inconvenientes en diversos ámbitos, debemos computar como un logro altamente positivo el haber desarrollado el crecimiento con buen ritmo y sobre bases sustentables, financiado fundamentalmente con ahorro interno y manteniendo los superávit gemelos, el del comercio exterior y el fiscal.

Inicialmente estos buenos niveles fueron impulsados, en gran medida, por el mayor consumo y la utilización del margen ocioso de la capacidad fabril instalada, en particular en la industria automotriz y de la construcción. Respecto de esta última actividad, de reconocido efecto multiplicador, debemos señalar que se focalizó en obras edilicias, postergando las de infraestructura y las industriales.

La recaudación tributaria se desarrolló sin mayores dificultades, más allá de las críticas que merece la vigencia de los gravámenes distorsivos.

Además de lo expresado, será mediante la total restauración de la confianza entre los inversores como se incentive la inversión en equipamiento, recursos humanos y capacitación. Estamos convencidos que el crecimiento debe estar vinculado prioritariamente a la inversión, tanto a la destinada a recomponer capacidad instalada como a la de incorporación de innovaciones tecnológicas.

No obstante, hay sectores que, por razones estructurales, continúan sin participar de los beneficios de la mejora lograda. Así, la desocupación no ha dejado de constituir uno de los grandes problemas, pues conlleva crecientes requerimientos de mayor calidad tecnológica en la fuerza laboral, continuando sin empleo quienes carecen de adecuada capacitación, y, en consecuencia, define bajas condiciones de vida para amplios estratos de la población.

Nuestra economía padeció muchas crisis en su historia. Su magnitud, duración y consecuencias han sido muy variadas pero, en general, se dio una constante: el desequilibrio fiscal las potenció. Si bien se evoluciona sobre mejores bases que en el pasado, constituyendo reservas que permitieron amortizar la deuda pública y crear un fondo de control de recurrencias cíclicas en crisis, no debe olvidarse que una política monetaria de contención del gasto es la principal herramienta de política fiscal.

Con acuerdos de precios en sectores clave, se desaceleró la inflación perfilada a principios de año, sumándose a ello las mejoras en la promoción del consumo y del nivel de empleo. Pero estos controles sólo tienen efectividad conyuntural, pues terminan exponiendo una inflación reprimida, que genera desaliento entre los inversores, con caída de la rentabilidad de las empresas, que las lleva necesariamente a romper los acuerdos para sostener su ecuación económica.

En lo que hace al comercio exterior cabe señalar que, en los primeros meses de 2006, la balanza de la industria resultó deficitaria: por cada dólar que exportó en productos fabriles, el país importó dos, mientras que con las manufacturas de origen agropecuario ocurrió lo contrario, inclinando hacia el superávit el saldo consolidado.

También se registraron los efectos de la menor inflación en los servicios de la deuda pública al aminorar su cuantía por el cómputo de un coeficiente de ajuste (CER) más bajo.

Nos manifestamos optimistas en cuanto a las perspectivas. No se perciben amenazas internas de tensiones sociales ni de espiralización inflacionaria que obliguen a volver a incurrir en medidas que resultaron desacertadas y frustraron enormes esfuerzos tendientes a la recuperación.

A tal fin, confiamos en la concepción y puesta en vigencia de políticas de orden institucional, económico y social que consoliden el ritmo del crecimiento alcanzado y, de manera concomitante, subsanen inequidades en sectores sociales hasta ahora postergados, especialmente en relación con umbrales de pobreza e indigencia.

EL MERCADO

La actividad aseguradora no podía estar ajena a las variaciones positivas experimentadas en el marco de nuestra economía del país. Nuestro mercado continuó acompañando a la evolución económica operando en crecimiento, al igual que en años anteriores.

A valores corrientes, la producción neta de la actividad aseguradora en su conjunto, alcanzó $15.914 millones, importe que representa un incremento del 7% en relación con el Ejercicio anterior.

Debe mencionarse que el importante crecimiento de la producción de las Compañías de Seguros de Retiro que se dio en el Ejercicio anterior se debió fundamentalmente a la aparición de la cobertura de Retiro Definitivo por Invalidez, que se comenzó a operar en aquella época. Por ello, la producción neta del mercado de Seguros de Retiro bajó de $2.371 millones del Ejercicio anterior a $1.616 millones en el Ejercicio que comprende esta Memoria.

Si bien los indicadores muestran un sostenido crecimiento de la actividad del sector, la indefinición de la nueva Ley de Accidentes del Trabajo ha sumido a las Aseguradoras de Riesgos del Trabajo y Compañías de Seguros de Retiro, entre otros, en un marco de incertidumbre e inseguridad jurídica. Esperamos que la modificación a la Ley Nº 24.557 aporte elementos que den previsibilidad a nuestros negocios.

El Organismo de Contralor de la actividad aseguradora, dentro de sus facultades, ha dictado normas tendientes a dotar al mercado de una mayor solvencia, fundamentalmente a través de la RG Nº 31.134 por la que se aumentan las necesidades de capital mínimo, a la vez de seleccionar más adecuadamente los activos computables para las relaciones técnicas.

LA SOCIEDAD

POLITICA COMERCIAL

La producción total de nuestra Sociedad fue de $152.847.225, de los cuales $150.687.954 corresponden a Rentas Vitalicias Previsionales. Este producto manifestó un crecimiento en sus ventas del orden del 64,16% respecto del Ejercicio anterior, lo que posiciona a nuestra Sociedad como uno de los actores más importantes dentro del negocio previsional.

Merece destacarse el gran incremento en los valores de la Reserva Matemática, que de los $195 millones al cierre del Ejercicio anterior pasó a $367 millones al cierre del actual, ello como consecuencia de los buenos niveles de rentabilidad alcanzados y lo ya mencionado acerca de los valores de primas emitidas.

Estos importantes incrementos en las ventas trajeron como consecuencia un aumento en la participación de mercado de Rentas Vitalicias Previsionales, ya que pasamos de un 4,48% sobre el total de ventas del Ejercicio anterior a más del 11% en el actual.

Del total de ventas del Ejercicio, un 23,2% corresponden a Retiro Definitivo por Invalidez, que el año anterior representó el 22,5% de nuestra producción.

En lo que hace al Seguro de Retiro Individual, en el Ejercicio se ha consolidado la mejoría en los niveles de venta como consecuencia de la mayor confianza generada por indicadores económicos nacionales, pasando de $1.518.042 en el Ejercicio anterior a $2.279.557 en el Ejercicio actual.

Durante el Ejercicio que comprende esta Memoria, se comenzaron a abonar, en la moneda de origen, los compromisos existentes al 31 de Diciembre de 2001, cuando la pesificación asimétrica y la ruptura de los contratos obligó a acuerdos con nuestros asegurados. Dentro de la política de respeto de los compromisos contraídos, al momento de redactarse este informe, se está abonando la segunda cuota, del orden de los u$s 620.000.

Se continuó capacitando a la red de Productores Asesores a través de un Programa de Capacitación que incluye cursos presenciales y una adecuada comunicación acerca de la normativa vigente a través de un sistema de actualización permanente. Los cursos se realizaron en Capital Federal, Córdoba, Rosario y Mar del Plata.

Cumplieron con los requisitos de la Superintendencia de Seguros de la Nación permitiendo acreditar horas de capacitación exigidas por el organismo. En los encuentros se impartieron conocimientos teóricos y prácticos sobre la actividad aseguradora y técnicas de venta, todo ello para mejorar el desempeño del Productor Asesor como profesional.

POLITICA DE INVERSIONES

La Sociedad ha continuado mostrando un altísimo respeto por las obligaciones oportunamente contraídas.

En consonancia con esta premisa y teniendo en cuenta que los compromisos con nuestros Asegurados constituyen un pasivo de muy largo plazo, la Sociedad analiza

permanentemente su cartera de inversiones, tendiente a brindar seguridad, transparencia y rentabilidad de largo plazo a favor de los Asegurados.

Como consecuencia de ello se han diversificado nuestros activos, dando participación a inversiones que operan como cobertura para prevenir la volatilidad de los mercados financieros; por ello se realizaron importantes colocaciones en el exterior y en inmuebles, todo dentro de las normas legales y reglamentarias vigentes.

Los inmuebles han sido adquiridos en sitios privilegiados de Rosario y Mar del Plata y un muy importante predio de 16 hectáreas en la localidad de Funes, provincia de Santa Fe. El propósito final es construir unidades habitacionales para ser arrendadas o bien, vendidas. Las ventas serían financiadas a través de préstamos hipotecarios, lo que permitirá que nuestras inversiones tengan una duración similar a la de nuestros compromisos con Asegurados.

Concretando estos planes, a la fecha de redactarse esta Memoria, se encuentran en construcción tres edificios de primera calidad en Rosario, con muy buena ubicación y un importante nivel de servicios para los futuros propietarios.

El Patrimonio Neto ascendió a $27.766.663. Es de destacar que en el Ejercicio finalizado se han recibido y aceptado en carácter de aportes de capital la suma total de $9.154.030, tendientes a la recomposición de los Capitales Mínimos, afectados fuertemente por los gastos de adquisición de rentas vitalicias previsionales y por el crecimiento de los compromisos con nuestros Asegurados.

De estos registros surge una sólida estructura, de la que se desprenden relaciones técnicas más que satisfactorias que trasuntan en atención fluida y oportuna de nuestras obligaciones.

NOTICE

Shareholders are hereby invited to the Annual General Meeting to be held on 19 de October de 2006 at 16.00 hours in the Company’s headquarters at Italia 646, Rosario.

AGENDA: 1º) Appointment of two shareholders to sign the Meeting minutes, together with the Chairman and Secretary.

2º) Analysis of the Financial Statement, General Balance Sheet, Net Worth Statements, Profit & Loss Statement, Net Worth Evolution Statement, Notes to the Balance Sheet, Charts, Annexes and Reports of the Auditing Committee, of the Actuary and of the Auditor, corresponding to the 19th Fiscal Year ended on June 30th, 2006.

3º) Analysis of the Fiscal Year’s results and their allocation.

4°) Approval of the Board of Directors activities.

5º) Determination of the number of Directors and Deputy Directors and their election for a year term, due to the termination of their office term.

6°·) Appointment of three Comptrollers and three deputy Comptrollers, for a year term, due to the termination of their office term.

In compliance with the company’s and legal regulations, this Board of Directors submits this summarized information about the most relevant facts of the fiscal year that ended on June 30th 2006 for Shareholders consideration.

GENERAL SITUATION

When trying to describe the macroeconomic scenario where we develop our business, we should bear in mind that our economy has been steadily growing in the last four years, with activity rates unprecedented in the last few decades.

Although some issues are still present in different areas, we should consider a very positive achievement to have sustained a rapid growth on a solid foundation, financed fundamentally with internal savings, and keeping positive both external and fiscal balances.

At first this good levels were mainly driven by greater consumption and the use of idle installed capacity in the industrial sector, particularly in the automotive industry and in building. Regarding this

last activity, of well known multiplying effect, we should point out that it mainly focused on housing construction rather than in infrastructure and industrial facilities.

Fiscal collection showed no significant difficulties, except for the current distortional taxing, which should be criticized.

Investment in equipment, human resources and training will be encouraged through total restoration of confidence among the investors. We are convinced that growth should be first and foremost related to the investment devoted to rebuilding installed capacity and to introducing technological innovations.

Nevertheless, there are areas that, due to structural reasons, are still unable to benefit from the achievements. Thus, unemployment has not ceased to be one of the great problems, because it entails increasing requirements of greater technological quality in the labor force, keeping the underskilled out of work, with the consequent low standards of living for large sectors of the population.

Our economy has suffered many crises throughout its history. Their magnitude, duration and consequences have been very different but they shared a common factor: fiscal imbalance boosted them. Although we are evolving on better basis than in the past, making up reserves that allowed public debt to be repaid and creating a fund for the control of cyclical recurrencies in crisis, we should not forget that a policy to restrict public spending is the best tool of a fiscal policy.

Inflation, which seemed to start at the beginning of the year, was slowed down through price fixing agreements with key sectors, with better conditions in consumption promotion and employment levels.

However, these control mechanisms only have a temporary effect, since they generate a repressed inflation with the consequent discouragement among the investors, and a fall in profitability. It also forces companies to fail compliance with the agreements if they want to keep their profitability.

As regards foreign trade it is worth mentioning that in the first months of 2006, the balance was negative: for every dollar the country exported in manufactured goods, it imported two dollars.

Agricultural and farming products experienced the opposite effect with a positive balance.

The effects of a lower inflation on public debt were also registered with a reduction in the adjustment rate coefficient (CER).

We remain optimistic as regards future perspectives. We do not foresee internal threats of social tensions or inflation boost which could lead to incorrect policies frustrating enormous recovery efforts as in the past.

To that end, we rely on the design and implementation of institutional, economic and social policies to sustain the growth pace we have reached and, at the same time, remedy inequities for the social sectors which have been relegated so far, especially those under the extreme poverty threshold.

THE INDUSTRY

The insurance business could not remain isolated from the positive variations experimented in the country’s economy. Our industry went on growing as in previous years.

At current values, the net production of the Industry totaled $15,914 million. This amount shows an increase of 24,4% compared to the previous fiscal year. (see page 13) It should be mentioned that the important growth in the production of the Insurance Companies obtained in the previous fiscal year was mainly due to the introduction of Permanent Retirement due to Disability coverage that was launched at that time.

Thus, the net production in the industry of Retirement Insurance went down from the $2,047 million in the previous fiscal year to $1,616 million in the fiscal year covered by this Financial Statement.

Although the indicators show a sustained growth in the sector's activity, the lack of definition of the new Work-related Accidents Law has left the Insurers of Labor Risks and the Retirement Insurance Companies among others, with a feeling of uncertainty and juridical insecurity. We hope that the amendment to Law 24,557 will contribute to the predictability of our business.

The National Insurance Supervisor has settled rules trying to provide the industry with a greater solvency, especially by Resolution 31,134 through which minimum capital needs are increased, and also trying to select more carefully which assets may be included in the technical entries

THE COMPANY

Commercial Policy Total production was $152,847,225; of which $150,687,954 accounted for Life Annuities. This product experienced a sales growth of 66.5% if compared to the previous year; this positions our company as one of the leading actors in the social security line of business.

The following indicators summarize the evolution of our business: (see page 14) The great increase in the values of the Mathematical Reserve should be highlighted. It rose from $201 million at the closing of the previous fiscal year, to $367 million at the closing of this fiscal year. This was due to good levels of profitability reached and the already mentioned values of the premiums issued.

In turn, the sales of the period corresponding to Life Annuities, are distributed for the Year under analysis in the following way: (see page 14)

These increased sales volume brought as a consequence an increase in the Life Annuities market share, from a 4.48% of the total sales in the previous fiscal year to more than 11% this year.

From the total sales of this Fiscal Year, 23.15% correspond to Permanent Retirement due to Disability, which last year accounted for 22.5% of our production.

With reference to Individual Retirement Insurance, better sales levels have been consolidated as a result of the greater confidence generated by the national economic indicators, turning from $1,518,142 in the previous fiscal year to $2,279, 557 this year.

During this period, we have started to pay in the original currency the existing commitments as of December 31st 2001, when the asymmetric pesification and the collapse of contracts made new agreements with our shareholders necessary. Within our policy to honor commitments, to this date, we are paying the second installment of about u$s 650,000.

We continued the training of Insurance AgentsAdvisors through a Training Program that includes courses and an adequate communication about the rules in effect through a system of continuing education. The courses took place in Capital Federal, C贸rdoba, Rosario and Mar del Plata.

These meetings complied with the requirements of the National Insurance Supervisor allowing us to provide the training hours required by this Organization. In the courses there were theoretical and hands-on contents about the insurance industry and sales techniques, so as to improve the performance of the Agent-Advisor as a professional.

Investment Policy The Company has continued showing the highest respect for commitments incurred.

According to this premise and considering that the commitments with our policy holders make up a very long term liability, the Company permanently analyzes its investments portfolio with the intention to provide security, transparency and profitability in the long term, to its members.

As a consequence of this, our assets have been diversified, with investments that provide coverage to the volatility of financial markets. That is why we have made important investments abroad and in real estate, within the scope allowed by regulations and laws in effect.

The buildings have been purchased in privileged areas in the city of Rosario and Mar del Plata and a very important site of 16 hectares in Funes, province of Santa Fe. The final purpose is to build housing unities to be rented or sold. The sales would be financed through mortgage loans. This would allow our investment to have terms similar to the ones of our commitments with the policy holders.

At the time of writing this Financial Statement, 3 buildings are under construction in Rosario, all of them first quality, with very good location and a very important level of services for the future owners.

Net Worth and Balance of the Fiscal Year The Fiscal Year shows profits of $529,895 that we suggest be allocated as follows: a) to Legal Reserve $26,495 b) to Retained Earnings $503,400 The Net Worth amounted to $27,766,663. We have to highlight the fact that, during this fiscal year, we have received and accepted as irrevocable contribution of capital an amount of $9,154,030 to help rebuild the Minimum Capital requirement, highly affected by the expenses of the acquisition of Social Security Life Annuities and by the growth of commitments with our policy holders.

These results evidence a solid structure, with very satisfactory technical relationships, which is translated into a fluid and timely fulfillment of our obligations.

BASES DE PREPARACION DE LOS ESTADOS CONTABLES

1.1 Los Estados Contables han sido confeccionados a moneda histórica, según lo dispuesto por normas de la Superintendencia de Seguros de la Nación y normas contables profesionales.

1.2. Criterios de Valuación A) Activos y Pasivos Monetarios: Las Disponibilidades, Créditos y Deudas en moneda nacional se encuentran expresados a su valor nominal. Los Créditos y Deudas con cláusulas de ajuste se reexpresaron de acuerdo con dichas cláusulas.

B) C)

Activos y Pasivos en Moneda Extranjera: Se valuaron a los tipos de cambio a la fecha de cierre, establecidos por la Superintendencia de Seguros de la Nación.

Inversiones: • Los Títulos Públicos de Renta están valuados a valor de cotización, en pesos, a la fecha de cierre, neto de los Gastos de Venta.

• Los Títulos Públicos de Renta, sin cotización, que fueron canjeados por Préstamos Garantizados figuran con tal denominación y están pesificados en la relación 1 dólar = 1,40 pesos. El mayor valor derivado del canje se difiere mediante devengamiento lineal en función del plazo del respectivo Préstamo Garantizado. Dicho valor se encuentra registrado en una cuenta regularizadora del Rubro Inversiones denominada «Utilidad Canje Decreto 1.387 a Devengar», que asciende al 30/06/06 a $100.683.

El mayor valor originado en la pesificación de los Préstamos Garantizados se difiere mediante devengamiento lineal en función del plazo del respectivo Préstamo Garantizado. Dicho valor se encuentra registrado en una cuenta regularizadora del Rubro Inversiones denominada «Utilidad Conversión Decreto 471 a Devengar», que asciende al 30/06/06 a $941.441.

Las adquisiciones de Préstamos Garantizados con posterioridad al canje de la deuda prevista en el Dec. 1387/01, fueron contabilizados de conformidad a los criterios indicados en el Art. Nº 7 de la Resolución N° 29.248 de la Superintendencia de Seguros de la Nación.

Asimismo se ha procedido a calcular la valuación de los Préstamos Garantizados a su valor presente, de acuerdo a lo establecido en la Resolución N° 29.248 de Superintendencia de Seguros de la Nación, optando por el menor valor resultante entre el valor teórico y el valor presente (es menor el valor teórico).

• Los Certificados de Crédito Fiscal (CCF) se expresan a su valor Técnico aplicando el Coeficiente de Estabilización de Referencia (CER) de conformidad a lo dispuesto por el Decreto PEN 471/2002 y demás normas concordantes.

• Las Acciones que se negocian en mercados del exterior están valuadas a su cotización en el mercado correspondiente, netas de gastos estimados de venta, y convertidas a pesos al tipo de cambio de cierre.

• Acciones Con Cotización: Se valúan a sus respectivas cotizaciones a la fecha de cierre de cada Ejercicio, neto de los Gastos directos de Venta.

• Acciones Sin Cotización: Valuadas al último Valor Patrimonial Proporcional conocido, en base a los Estados Contables de la Sociedad emisora.

• Fondos Comunes de Inversión: Se valuaron de acuerdo con el valor de las cuotas parte a la fecha de cierre de cada Ejercicio, netas de los gastos estimados necesarios para su venta y convertidas, de corresponder, a pesos de acuerdo con el tipo de cambio vigente a esa fecha.

• Obligaciones Negociables: Se valuaron de acuerdo con las cotizaciones vigentes a la fecha de cierre de cada Ejercicio, netas de los gastos estimados necesarios para su venta, y convertidas, de corresponder, a pesos de acuerdo con el tipo de cambio vigente a esa fecha.

• Fideicomisos: Se expresan a su valor técnico con inclusión del interés devengado.

Previsiones: La cuenta previsiones expuesta como partida negativa del Rubro Créditos incluye: El valor total de los créditos contra Banco Integrado Departamental.

Inmuebles y Bienes de Uso: Los inmuebles y los bienes de uso están valuados a los valores de origen. Se ha cumplimentado lo dispuesto en la Resolución N° 30.691/05 de la Superintendencia de Seguros de la Nación, referido a la valuación y tasación de los inmuebles. La amortización de los inmuebles y bienes de uso se efectuó por el método de línea recta sobre los valores obtenidos según lo dispuesto por las Resoluciones emitidas por SSN. Compromisos Técnicos y Previsiones: Incluye las Reservas Matemáticas y los Fondos de Fluctuación constituidas al cierre de cada Ejercicio, de acuerdo con lo establecido por las normas de la Superintendencia de Seguros de la Nación, Decreto 214/02 y concordantes.

La Sociedad ha constituido previsiones por reclamos judiciales, mediaciones y sus honorarios y gastos.

Impuesto a las Ganancias: La Sociedad no ha determinado cargo por este concepto por no corresponder.

Créditos por Impuestos La Sociedad tiene, además, saldo a su favor por retenciones del impuesto a las Ganancias por $17.342. Por anticipos Impuesto Ganancia Mínima Presunta $247.045, lo que figura en el activo, en el rubro Otros Créditos.

Por Impuesto a la Ganancia Mínima Presunta, $1.482.391 pagado en Ejercicios anteriores, no prescripto, y por la provisión correspondiente a este Ejercicio, importe que se incorpora al activo, en el rubro Otros Créditos.

Patrimonio Neto: Se ha valuado según lo dispuesto en la Res. N° 29.226. S.S.N. considerándose como valores de origen los determinados en los estados contables al 31 de diciembre de 2002, suspendiéndose la reexpresión a partir de esa fecha.

Resultados: Las cuentas de resultados están expuestas a sus valores de origen (Res. N° 29.226).

NORMAS CONTABLES APLICABLES La Sociedad preparó sus Estados Contables de acuerdo a las normas de la Superintendencia de Seguros de la Nación, que difieren de las normas contables profesionales por la no exigencia de presentación del Estado de Flujo de efectivo, ni de la información comparativa con el Ejercicio anterior en los Anexos.

BIENES DE DISPONIBILIDAD RESTRINGIDA No existen.

ACTIVOS EN CUSTODIA Cumplimentando lo dispuesto en el Reglamento General de la Actividad Aseguradora, la Sociedad tiene Activos en Custodia que ascienden a $346.066.498.

CAPITAL SOCIAL Al 30 de Junio de 2006, el Capital Suscripto e integrado asciende a $25.000.000, estando inscripto en el Registro Público de Comercio de Rosario: el 26/05/88 en T° 69, F° 688, N° 127; el 17/09/90 en T° 71, F° 3541, N° 180; el 06/05/91 T° 72, F° 1498, N° 83; el 22/05/92, T° 73, F° 2854, N° 135; 02/02/94 en T° 75, F° 67, N° 4; el 26/04/97 en T° 78, F° 2713, N° 127, y el 06/04/06 en T° 87, F° 2882, N° 149.

Se efectuaron en el Ejercicio Aportes Irrevocables a cuenta de Futuros Aumentos de Capital, a fin de cumplimentar las exigencias de Capitales Mínimos, por $1.291.560 que serán regularizados en la próxima Asamblea General Ordinaria, que aumentará el Capital dentro del quíntuplo para cubrir estos aportes y los que ocurran con posterioridad. Ver punto siguiente.

REGIMEN DE CAPITALES MINIMOS Con fecha 30 de Junio de 2006, la Sociedad presenta un déficit de capital de $3.716.127.

A la fecha de estas notas la Sociedad Controlante ha efectuado aportes de la siguiente manera: • Con fecha 04/07/2006, aporte de $1.500.000 depositado en Banco Citi mediante transferencia electrónica, en concepto de aporte irrevocable a cuenta de futuros aumentos de capital.

• Con fecha 10/07/2006, aporte de $153.529 depositado en Banco Citi mediante transferencia electrónica, en concepto de integración de suscripción de acciones.

• Con fecha 08/08/2006, aporte de $2.150.000 depositado en Banco Citi mediante transferencia electrónica, en concepto de aporte irrevocable a cuenta de futuros aumentos de capital.

SOCIEDAD CONTROLANTE La Sociedad es controlada por San Cristóbal Sociedad Mutual de Seguros Generales, que posee al 30 de Junio de 2006, el 99,8266% y al 30 de Junio de 2005 el 99,8614% de los respectivos Patrimonios Netos.

NOTES TO THE CONSOLIDATED FINANCIAL STATEMENTS AS OF JUNE 30TH 2006

1. BASIS OF ACCOUNTING AND PRESENTATION 1.1 The financial statements have been prepared using historical cost accounting according to the resolutions of the National Insurance Supervisor and professional accounting resolutions.

1.2 Valuation Criteria a) Monetary assets and liabilities: Cash, Credits and Debts in local currency are expressed in their nominal value. Credits and Debts with adjustment stipulations were re-expressed accordingly. b) Foreign Currency Assets and Liabilities: The exchange rates were considered at the moment of closing, as set forth by the National Insurance Supervisor. c) Investment: • Fixed-Income Public Bonds are considered at their market value, in Argentine pesos, at the closing date; this value is net after sales expenses.

• Fixed-Income Public Bonds without market value, which were exchanged for Secured Loans appear as such and have been transformed into Argentine pesos at 1 dollar = $1.40. The larger amount that stems from said exchange is deferred by the linear collection of sums considering the due dates for each corresponding Secured Loan. These values are recorded in an entry under Investments called «Profits from Decree 1387 Due», which amounts to $100,683 as of 6/30/2006.

The acquisition of Secured Loans after the exchange of the national public debt mentioned in the Decree 1387/01, were recorded according to the criteria shown in Section 7° of Resolution 29,248 by the National Insurance Supervisor.

Similarly, the current value calculation for Secured Loans was made according to Resolution 29,248 of the de National Insurance Supervisor. After comparison of the theoretical value against the current value, the theoretical value was recorded since it was the smallest.

• The Tax Credit Certificates (CCF) are expressed in their Technical Value using the «Coeficiente de Estabilización de Referencia» Reference Stabilization Ratio (CER) in accordance with the provisions of the government Decree PEN 471/2002 and other concurrent regulations.

• Stocks traded in foreign markets are valued according to their corresponding market prices, net of estimated sale expenses and converted to pesos at the closing exchange rate.

• Shares with quotation: They are valued according to their respective quotations at the end of each fiscal year, net of sales direct expenses.

• Shares without quotation: Valued according to their last known Proportional Net Worth according to the Balance Sheet of the issuing Company.

• Mutual Investment Funds: They were valued according to the price of the quota to the closing date of each fiscal year, net after the estimated necessary sales expenses and converted to pesos, when applicable, according to the current exchange rate to that date.

• Negotiable Instruments: They were valued according to their price to the closing date of each fiscal year, net after the estimated necessary sales expenses and converted to pesos, when applicable, according to the valid exchange rates to that date.

Resolution 30,691/05 of the National Insurance Supervisor regarding valuation and estimation of real estate value has been fully complied with. The depreciation of these items of Real Estate and Fixed Assets was carried out using the Straight Line Method based on values obtained according to the stipulations of the National Insurance Supervisor. f) Technical Commitments and Allowances: It includes the Mathematical Reserves and the Fluctuation Funds established to the closing date of each fiscal year according to the regulations of the National Insurance Supervisor, Decree 214/02 and concurrent regulations.

The Company has established allowances to provide for potential legal claims and mediations fees and expenses. g) Income Tax: The Company has not established this entry because it is not applicable . h) Tax credits: The Company also has a positive balance for retentions that amounts to $17,342.00, and payments in advance of the Minimum Presumed Income tax that amount to $ 247,045, which is included under Assets, Other credits.

The minimum Presumed Income Tax $1,482,391 paid in previous fiscal years and still not prescripted, and as a precautionary fund for this fiscal year is added to the assets, under Other Credits. i) Net Worth: It has been valued according to Resolution 29,226 of the National Insurance Supervisor taking into consideration as original values those established on the balance sheet of

December 31st 2002, and canceling the re-expression as of that date. j) Results: The profit & loss accounts are shown with their original values (Resolution 29,226).

2. APPLICABLE ACCOUNTING REGULATIONS The Company has prepared its financial statements according to the regulations of de National Insurance Supervisor which differ from the professional accounting regulations as they do neither require a Cash Flow Analysis nor the presentation of information in comparison with the previous fiscal year in the Annexes.

3. RESTRICTED AVAILABILITY ASSETS None.

4. ESCROW FUNDS Complying with the General Regulations of the Insurance Industry, the Company keeps Trusted Assets that amount to $346,066,498.

5. CAPITAL STOCK As to June 30th 2006, the Subscribed and paid capital amounts to $25,000,000, as registered in the Commercial Registry of Rosario: on 05/26/88 in Vol°69, F°688, N°127; on 09/17/90 in Vol° 71, F°3541, N° 180; on 05/06/91 in Vol° 72, F° 1498, N° 83; on 05/22/92, in Vol° 73, F° 2854, N° 135; on 02/02/94 in Vol° 75, F° 67, N° 4; on 04/26/97 in Vol° 78, F° 2713, N°127, and on 04/06/06 in Volº 2882, Nº149.

This fiscal year, irrevocable contributions of $1,291,560.00 have been made for Future Capital Increase, so as to comply with the Minimum Capital Requirements and they will be regularized in the next Annual General Meeting, which will increase Capital by a fifth to cover these contributions and any later contributions. See next item.

6. MINIMUM CAPITALS On June 30th 2006 , the Company has a capital deficit of $3,716,127.00 The controlling company has contributed as follows to this date: • 07/04/2006, irrevocable contribution of $1,500,000.00 as a deposit in the CitiBank through wire transfer, for future capital increase.

• 07/10/2006, contribution of $153,529 as a deposit in the CitiBank through wire transfer as stock subscription.

• 08/08/2006, irrevocable contribution of $2,150,000 as a deposit in the CitiBank through wire transfer, for future capital increase.

7. MONEY LAUNDERING The Company has complied with the regulations of Law 25,246 and Resolutions 4/02 and 6/05 of the UIF, referring to policies and procedures to prevent and avoid money laundering.

8. CONTROLLING COMPANY The Company is controlled by San Cristóbal Sociedad Mutual de Seguros Generales which has an equity of 99.8266 % as of June 30th 2006 and an equity of 99.8614% as of June 30th, 2005.

INFORME DEL ACTUARIO

Buenos Aires, 4 de Agosto de 2006 Señor Presidente de SAN CRISTÓBAL Seguro de Retiro S.A. Italia 646, Rosario De mi consideración: En mi carácter de actuario independiente y de acuerdo con la información suministrada por la Compañía, procedo a informar que en función de los procedimientos mínimos de control establecidos en el apartado 39.12.3 del Anexo I de la Resolución Nº 29.053 de la Superintendencia de Seguros de la Nación, las Reservas y demás Compromisos Técnicos al 30 de junio de 2006, correspondientes a las pólizas de seguro de Retiro Individual y Colectivo y a las pólizas de Renta Vitalicia Previsional (R.V.P.) y Renta de Riesgos del Trabajo (R.R.T) emitidas por esa entidad y vigentes a la fecha antes mencionada, han sido calculados de acuerdo con lo establecido en los elementos técnico-contractuales aprobados y en las resoluciones dictadas, por la Superintendencia de Seguros de la Nación, resultando así suficientes para atender adecuadamente los compromisos contraídos con los asegurados.

El concepto de suficiencia arriba utilizado se limita a la adecuada aplicación de las bases establecidas en los elementos técnico-contractuales aprobados y las resoluciones dictadas, por la Superintendencia de Seguros de la Nación.

Las mencionadas Reservas y demás Compromisos Técnicos constan en el Pasivo del Estado Patrimonial de la Entidad al 30 de junio de 2006, y ascienden a los siguientes montos: Pesos ($)

ACTUARY REPORT

Dear Sir, I, an actuary with no working relationship with the Company, based on the information provided by the Company, hereby report that, in complying with the minimum control procedures established in subsection 39.12.3, Annex I of Resolution NÂş 29,053 of the National Insurance Supervisor, the Reserves and Other Technical Commitments to June 30th, 2006, pertaining to individual and group retirement insurance policies and to Social Security Life Annuities (R.V.P., in Spanish) and Labor Risks Annuities (R.R.T., in Spanish) written by this Company and valid to the mentioned date have been calculated as per the technical and contractual terms approved and resolutions issued by the National Insurance Supervisor, and that they are sufficient to face all commitments with policyholders.

This concept of sufficiency is limited to the correct application of the approved technical and contractual terms and the resolutions by the National Insurance Supervisor.

The aforementioned Reserves and Other Technical Commitments appear under Liabilities in the Net Worth Statement of the Company as of June 30th, 2006, and amount to the following:

Señor Presidente de SAN CRISTOBAL SEGURO DE RETIRO S.A. Presente De acuerdo con las disposiciones de la Ley Nº 19.550, y en uso de las facultades conferidas por el Art. Nº 291 de dicho texto legal, hemos examinado la Memoria, el Inventario, el Balance General, los Estados Contables, Notas y tomado conocimiento del Dictamen del Auditor, que es integrante de esta Comisión, correspondiente al Ejercicio comprendido entre el 01/07/2005 y el 30/06/2006.

Asimismo, se deja constancia que el titular de esta Comisión Fiscalizadora ha asistido a las reuniones de Directorio del Período bajo informe y que los demás integrantes se han interiorizado de la marcha de la empresa encontrando aceptable su situación patrimonial y económico financiero.

En Conclusión, no tenemos ninguna observación que formular con relación a la documentación precedentemente citada.

In accordance with Law 19,550, and by the power conferred to us by Section 291 of the mentioned Law, we have reviewed this Fiscal Year’s Financial Statement, the Inventory, the Balance Sheet, Annexes and Report by the Auditor, who is part of this Committee. The fiscal year starts on 07/01/05 and ends on 06/30/06.

We also set forth that the President of this Committee has attended the Board of Directors meetings being audited and that the other members have been informed of the company’s operations and find its net worth, economic and financial situation acceptable.

In conclusion, we have no observations to present regarding the aforementioned documents.

2 ALCANCE DE LA AUDITORIA Se ha realizado el examen de la información contenida en los estados indicados en 1., de acuerdo a criterios técnicos de general aceptación y normas de la Superintendencia de Seguros de la Nación para Auditores Externos, los que prescriben la revisión selectiva de la información, con el objetivo de obtener un grado razonable de seguridad acerca de la inexistencia de errores significativos o falta de veracidad en los Estados Contables.

3 ACLARACIONES PREVIAS AL DICTAMEN Tal como se expresa en la nota 1. «Base de preparación de los Estados Contables», la Sociedad ha confeccionado los Estados Contables cerrados al 30 de Junio de 2006 a moneda histórica.

Tal como se expone en la nota 2, la Sociedad preparó sus estados contables de acuerdo con las normas de exposición emitidas por la Superintendencia de Seguros de la Nación, las que difieren de las normas contables profesionales por la no inclusión del Estado de Flujo de Efectivo y de información comparativa con el Ejercicio anterior en los estados complementarios (Anexos 1 a 13).

4 DICTAMEN En mi opinión, los Estados Contables adjuntos presentan razonablemente, en todos sus aspectos significativos, la situación patrimonial de San Cristóbal Seguro de Retiro S.A. al 30 de Junio de 2006 y 2005 y los resultados de sus operaciones por los Ejercicios terminados en esas fechas, de conformidad con el reglamento de la Ley N° 20.091, dictado por la Superintendencia de Seguros de la Nación, y, excepto por lo mencionado en el párrafo 3, con las normas contables profesionales.

5 INFORMACION ESPECIAL REQUERIDA POR DISPOSICIONES LEGALES En cumplimiento de disposiciones legales vigentes y normas de la Superintendencia de Seguros de la Nación, informo que: A) Los estados contables adjuntos surgen de los registros contables de la Sociedad los que son llevados en libros rubricados de acuerdo con las disposiciones legales vigentes y con las normas de contabilidad y plan de cuentas implantados por la Superintendencia de Seguros de la Nación y han sido preparados dando cumplimiento a la Resolución General Nº 29.053, emitida por el mencionado organismo.

B) Según nota 6, al 30 de Junio de 2006, la Sociedad presenta déficit de Capital Mínimo que a la fecha de este dictamen se encuentra regularizado, según consta en la nota citada.

C) Al 30 de Junio de 2006, la deuda devengada vencida o a vencer, en concepto de aportes y contribuciones con destino al Sistema Integrado de Jubilaciones y Pensiones, según surge de los registros contables de la Sociedad, es la siguiente: vencida: no existe; a vencer: $61.040.

D) A igual fecha, la situación frente a la Administración Provincial de Impuestos de la Pcia. de Santa Fe, referida al Impuesto a los Ingresos Brutos, es la siguiente: Deuda vencida, no existe; Deuda Devengada a vencer: $6.113.

AUDITOR`S REPORT

Attn: Shareholders of SAN CRISTOBAL SEGURO DE RETIRO S.A. Italia 646, ROSARIO I, Carlos M. Benítez, a Public Accountant having no working relationship with the Company, hereby report about the audit I have performed to the following Balance Sheets: 1. AUDITED BALANCE SHEETS a) Net Worth Balance Sheet as of June 30th 2006 and June 30th 2005. (see page 48) b) Profit & Loss Statement as of June 30th 2006 and June 30th 2005. (see page 48) c) Net Worth Evolution Sheet as of June 30th 2006 and June 30th 2005. d) Annexes and Notes to the Balance Sheets for the fiscal year ended on June 30th 2006.

2. SCOPE OF THE AUDIT The analysis of the information contained in the balance sheets indicated in 1. has been carried out according to the generally accepted technical criteria and to the regulations of the National Insurance Supervisor for External Auditors, which prescribe the selective review of information to avoid, to a reasonable extent, significant errors or untruthful facts which could appear in the Balance Sheets.

3. PRELIMINARY CLARIFICATIONS: As stated in note 1. «Bases for the preparation of the Balance Sheet», the Company has prepared the Balance sheet as of June 30th 2006 at historical value.

As stated in Note 2., the Company prepared the balance sheets in accordance with the regulations of the National Insurance Supervisor, which differ from the professional accounting regulations regarding the exception of including a Cash Flow Statement and information for comparison with the previous fiscal year in the supplementary balance sheets (Annexes 1 to 13).

4. REPORT: In my opinion, the Balance Sheets attached reasonably show the situation of San Cristóbal Seguro de Retiro S.A. Net Worth in all its main aspects as of June 20th 2006 and 2005 and the balance of its operations for the fiscal years ended on those dates, in accordance with the regulations of Law 20,091 of the National Insurance Supervisor and, except for what is mentioned in paragraph 3, also with the professional accounting regulations.

5. SPECIAL INFORMATION REQUIRED BY LAW: In compliance with legal requirements in force and regulations of the National Insurance Supervisor, I inform that: a) The attached balance sheets arise from the accounting entries in the Company's registered books, which are kept according to the legal requirements in force and with the accounting regulations and accounts plan imposed by the National Insurance Supervisor; and that they have been prepared in compliance with General Resolution 29,053 of the aforementioned Organization. b) According to note 6, as to June 30th 2006, the Company has a Minimum Capital deficit which, to this date, has been regularized according to the mentioned note. c) As to June 30th 2006, according to the Company’s accounting records, the accrued overdue or payable debts as contributions to the Integrated System of Pensions and Retirement come out as follows: Overdue: no overdue debts. Accrued debt payable: $61.040. d) To the same date, the situation before the Provincial Tax Administration of the Province of Santa Fe as regards Gross Income Tax is as follows: No overdue debts. Accrued debt payable: $6113.
