Trust deliver #Something for MAG

Cheshire-based brand communications agency Trust has worked with MAG (Manchester Airports Group) to produce the launch campaign for MAG-O – a dynamic new division within MAG created to develop ‘something’ that is going to change the way people travel.

The project is a significant one for MAG, with the nationwide recruitment campaign designed to attract the best minds and exceptional skills to the organisation. The campaign will also embed MAG-O’s ‘reasons for being’ into the existing team and communicate their unique strategy to the wider Group.

Ahead of the game with CyberCrime We were ahead of the game with our CyberCrime breakfast event at Barclays Technology Centre at Radbroke Hall back in May – the following day saw major international companies around the world subjected to hacking, including major disruption at the NHS. We heard fascinating insights from Matt Hull, Digital Forensic Investigator with Cheshire Police, into how criminals are targeting individuals and companies alike, and how easy it is to fall victim to their clever tactics.

Gareth Goddard Digital Eagle at Barclays said: “Cyber criminals no longer solely attack big corporations and are turning their attention to smaller firms. The landscape is increasingly tough as attacks become more sophisticated and it’s my job to make businesses aware of the top threats and how to protect themselves. This month, Barclays also launched a new £10m national advertising campaign across national TV, print, online and billboards to alert people to the risk of cyber fraud.”

At the end of the event we were given a tour of the Radbroke site, including a visit to the Hall itself – our thanks to Ian Barsted at Barclays for giving Chamber members the opportunity to visit such an amazing site.

Disruptive Innovation spotlighted at lunch Our first Member Spotlight lunch was held at Mottram Hall recently when the theory of Disruptive Innovation was up for debate.

Spotlighted Members … Axon IT, Prospero Accounting and Trust Brand Communications … each hosted a table and talked about disruptive innovation from their own industry perspective, and there was a real buzz around the room and some lively discussion as everyone debated the theory.

Glorious golf…

We chose the date well and had a fabulous day at Mottram for the Chamber’s 2017 Golf Day. On what was probably one of the hottest days of the summer, ten teams rose to the challenge and competed for the Gradus Trophy spurred on by the thought of relaxing on Mottram’s delightful terrace over a delicious mouthwatering BBQ at the end of the competition.

SAS Daniels led by Nigel Read were the winners, with Hallams a very close runner up. John Bianchi from the Arighi Bianchi team won Longest Drive and Andy Towle from the SAS Daniels team won Nearest the Pin. Macclesfield’s new Private GP Practice Providing old-fashioned care with newfashioned technology within the heritage setting of Georgian Charles Roe House Charles Roe became the Mayor of Macclesfield in 1747. Throughout his life he worked successfully to bring wealth to Cheshire in the Copper and Silk Industries. Now his historical, Grade II* Listed home is once again coming into the limelight having been transformed into a Private GP Practice, Art Café and Events Room.

Situated at 60 Chestergate, Charles Roe House is one of only ten Grade II* listed buildings in the vicinity. Formerly used for retail, private accommodation, office space and latterly for art exhibitions, the building has undergone a dramatic change during 2017 having been upgraded to accommodate a modern medical

practice. During this process, its heritage has been carefully preserved under the guidance of the Conservation Office.

The Practice offers its unhurried 5-star service Monday to Saturday; the Doctors see two or three patients an hour. The Private service focuses on two aspects of health: ‘Get Well’ and ‘Stay Well’, forming a lifelong partnership with each patient to ensure their Health is continuously monitored in order to extend both its quality and quantity. Managers from Leek United spent a day helping to make a blooming difference to the lives of tenants at a local supported living centre.

Eleven colleagues from throughout the Society’s branch network took part in a ‘Make a Difference Day’ at Rossendale Hall – home of The Rossendale Trust – in Sutton, just outside Macclesfield.

The Branch Managers were tasked with planting up hanging baskets and making A-frame boards to display them for sale to the general public, all of which helps to raise funds for the Trust.

who organised the visit to Rossendale Hall – said: “Everyone thoroughly enjoyed the day, which hopefully benefited a wonderful community facility and was a great team-building exercise for ourselves.

“The Trust very kindly provided us with the space to hold our monthly Branch Managers meeting, after which we joined some of the tenants in planting hanging baskets and constructing display boards.”

From their Peak District distillery, the family behind hugely successful Forest Gin have built on their original multi-awardwinning gin by launching a second spirit – Earl Grey Forest Gin. Husband and wife team, Karl and Lindsay Bond distill Forest Gin in tiny batches of 80 bottles. They use a unique mixture of organic and wild ingredients, with many foraged from the local forest by their daughter Harriet. Fresh soft water from the Peak District is used in the process from a natural spring at their distillery, and the original is the only gin in the world to be awarded two separate Double-Gold medals at the San Francisco World Spirit Awards.

Their new Earl Grey Forest Gin is infused with a luxurious tea blend created in collaboration with respected tea designer, Bernadine Tay - founder of Quinteassential, a fine loose-leaf tea company based in Chester.

Instead of the usual black tea, it uses oolong, scented with Italian bergamot which imbues it with a hint of vanilla with soft citrus aroma. When steeped in the Forest Gin, the alcohol draws out the flavor of the Earl Grey beautifully from the tea leaves. The result is a deep amber coloured gin that is clean tasting with herbaceous and fruity notes that trails a scent of citrusy bergamot.

If you bought a new car, you wouldn’t dream of not keeping it maintained. Regular services and MOTs are required to keep it in excellent condition, make it safe to drive and ensure it’s legal. Well, the same principles apply to your WordPress website! Not keeping it maintained is a ticking time bomb waiting to go off…

There are over 66 million websites worldwide running WordPress. It’s ease of use and continual evolution makes it a popular choice, but it also makes it a target for hackers and malicious code distributors. Because of this, it’s absolutely vital your WordPress website is regularly updated and maintained, just like your car. Without this you’ll be losing Google ranking to your competitors in the process and it’s only a matter of time before disaster strikes!

So why are WordPress sites so vulnerable, surely that’s a bad thing? Well, WordPress is an open source platform, meaning that anyone can study the code and try to improve it. This is a great thing, as it means that WordPress as a platform is at the cutting edge of web design and constantly evolving. However, it also means that hackers can find ways to try to break into your website. But not all hackers are bad! There are far more good ones than bad and they help to find security bugs so that they can be fixed.

What all of this means is that if you aren’t running the latest version of WordPress on your website then you are using software with known security vulnerabilities and your site could be at risk. You’re driving your car with a warning light on and ignoring it may not be safe!

Keeping WordPress secure and maintained isn’t as simple as hitting the auto update button, as this could cause code conflicts elsewhere in your site. Worst case scenario, this could lead to your site breaking and going offline, losing data, business and costing a pretty penny to fix. Like your car, it makes far more sense to maintain it with regular monitoring and updates before it blows up in your face.

Company share buy-back - A potential exit strategy?

We come across many company directors and shareholders who after trading their company successfully for a number of years are in a position where they would now like to exit but where there is no clear exit route. This can be a particular problem where there are a number of shareholders. Often the shareholder wishing to exit wrongly believes their only options are to hope that one of the others has the appetite and the personal funds to buy them out or to persuade the others to pursue a third party sale of the business.

It is far from uncommon for neither possibility to be viable. The remaining shareholders do not want, or are unable, to buy the shares of the individual who wishes to exit, but at the same time wish to continue the business.

Thankfully there can be a third possibility of the company itself buying the exiting shareholder’s shares. This is known as a company repurchase of own shares or a company share buy-back.

While this can be a valuable exit route, if not planned carefully, it can come at a considerable tax cost for the shareholder.

This is because the default tax treatment for a company repurchases of own shares is to tax it as if it were a dividend. In practice this means a tax rate of 32.5% or 38.1% for higher and additional rate taxpayers. In contrast a sale of these same shares to another individual or company would be subject to capital gains tax, and where entrepreneurs’ relief is available, the tax rate would be 10%.

The logic behind the default tax treatment is that in repurchasing its own shares, a company is making a distribution of profits to its shareholders.

If a company share buy-back ordinarily qualified for capital gains tax treatment no privately owned company would ever pay a dividend but would instead repurchase tranches of its shares on a regular basis!

In limited circumstances though the default does not apply and a company share buy-back is instead subject to capital gains tax. This opens the door to entrepreneurs’ relief. Where capital gains tax treatment is available, it provides a route both for a reluctant shareholder to sell their shares without the need to find a buyer and for the company’s profits to be extracted very tax efficiently.

Capital gains tax treatment (and therefore entrepreneurs’ relief) can be available where the company share buy-back is undertaken by a trading company for the purposes of the company’s trade, the company has reserves to fund the buy-back, and the company has (or can raise) the cash to repurchase the shares. There are also requirements on the shareholder including a minimum period of ownership and a requirement to reduce their shareholding significantly.

While it is possible to state in advance whether most of the requirements for capital gains tax treatment are met, the requirement for the share buyback to be for the purposes of a company’s trade is subjective. HMRC have given examples of repurchases they would accept as being for the purposes of the company’s trade, one of which is a controlling shareholder who wishes to retire and make way for new management.

Given that determining whether a proposed company share buy-back will qualify for capital gains tax treatment can be very subjective, and given also the difference in the tax rate between entrepreneurs’ relief (10%) and dividends (32.5% and 38.1%), it is extremely helpful that HMRC provide an advance clearance facility. Clearance usually takes only a couple of weeks and enables a tax-payer to sell shares back to the company with certainty over the tax rate applying to the proceeds.

Harts have significant experience of company share buy-backs which have qualified for capital gains tax treatment (and so entrepreneurs’ relief) and of submitting the associated HMRC clearance applications. We also value minority shareholdings in small companies on a regular basis and on a number of occasions have acted for a client solely in relation to a share buy-back (ie the ongoing relationship has remained with the company’s existing accountant).

Double Silver for James Russell Photography Multi award-winning photographer James Russell has added to his honours by winning two Silver awards at this year’s prestigious North West British Institute of Professional Photography Awards. The awards evening was held at Dukes 92 in Manchester and attended by many of the region’s top photographers. ‘“I was absolutely delighted to win not just one but two silvers,” commented James. “There was some really stunning work so I was very pleased indeed.”

The first award James collected was in the Advertising on Location category for an image of a Mercedes interior. “Location work always brings its own set of technical challenges which I particularly enjoy,” said James. “I had a good subject matter which always helps but to make the most of the luxurious interior I needed to introduce some creative lighting to show off the finish and textures of the various materials which brought the image to life.”

James’ second silver was in the Pet category. ‘Never work with children or animals’ is often the advice given, so being commissioned to take pet portraits can be particularly tricky. The image was of a pedigree bulldog puppy which of course didn’t wish to sit still!

Nevertheless, this wonderful animal gave the most perfect of looks for that split second and James got his shot.

There was a large volume of entries this year from professional photographers all over the North West and the standard was particularly high so the competition for top honours was hard fought.

New Governor at King's Internet entrepreneur, charity philanthropist and Deputy Lieutenant of Cheshire, Rob Barrow has been appointed as a Governor at The King’s School with the mission to help with fundraising and the provision of more bursary places.

Now living in Marton, Rob was a pioneer in IT development, living and working in California for much of his career, establishing and then working as the CEO and Chairman of his own FTSE 250 listed software development company SurfControl Plc, employing 650.

Rob’s daughter Fiona is a former King's School sixth form pupil.

Alongside his business life, Rob is Chair of the East Cheshire Hospice, a trustee for the Cheshire Community Foundation, a Patron of the National Trust, President and Founder of Congleton4Congleton and a Patron of The Arthritis UK 2020 Society.

Rob will join the King's team currently driving forward the bursary generation schemes ready for the proposed opening of the new world class school on a single site in September 2020.

He said: “I want to support local independent schools and am passionate about providing a first-rate education to all regardless of parental means, hence my interest in expanding bursary schemes at King’s.”

Introducing the Business Safety team at Cheshire Fire & Rescue Cheshire Fire & Rescue’s Business Safety team is based at Cheshire Fire and Rescue Service Headquarters at Sadler Road, Winsford and is made up of Business Safety Manager Tracey Carter, Business Safety Advocates Sandra Buckle and Sarah Marshall, and Bob Briscoe who works as a volunteer supporting the team.

The aim of the team is to help businesses understand their legal obligations under the Fire Safety Order 2005, while also tackling the causes of unwanted fire signals and arson.

They also carry out Business Safety Reviews, which act as a preaudit checklist for businesses – these reviews help businesses prepare for official Fire Safety Audits and help relieve anxiety or uncertainty regarding the audit process by engagement with partners, through projects, workshops and community initiatives.

Tracey regularly attends Chamber events to network and spread key messages relating to fire safety, and signposts businesses to free advice and support offered by her team and through their website www.cheshirefire.gov.uk. Under the free templates and tools section on the website there is access to risk assessment guides, log books, maintenance logs and links to other key areas of information.

Engaging with communities Each week the team visit towns and villages throughout the area engaging with communities on a range of initiatives including fire safety, arson reduction and business continuity. The team also deliver seminars on a variety of subjects that can assist businesses – these can be found on the website under the events section.

The team also arrange impact days and seminars in Cheshire East targeting areas that have been highlighted by Fire Protection teams as having experienced actual fires. Along with the impact days, seminars will be held for businesses and volunteer groups to help them understand the Fire Safety Order and the impact on them and how they need to manage fire safety within their organisation.

Occupiers of heritage buildings, schools, small and large businesses will all be able to seek advice, guidance and information from the Business Safety Team, who will work closely with Fire Protection Watch Managers and Technical Fire Safety Officers to ensure that relevant, helpful information is readily available.

Chief Executive’s Inaugural Dinner celebrates College success More than 40 partners and stakeholders gathered at Macclesfield College recently for an Engagement Dinner hosted by its Principal and Chief Executive, Rachel Kay. This event saw the coming together of people and organisations across the county who have supported and believed in the vision the College set out back in 2015, and have helped it move from strength to strength through collaboration and strategic support.

Students worked together alongside the event sponsor and Macclesfield College’s student employment partner, De Vere Cranage Estate, to create a professional event with Level 3 Professional Cookery students designing the menu and cooking on the night. Katie Shipton, Level 3 Art and Design student, designed the invitations as well as the menu and place cards.

Welcomed with a champagne reception and treated to a delightful five-course dinner, prepared and served by Level 3 Hospitality and Events students in the College’s Silk Room Restaurant, guests were treated to a keyboard accompaniment by Level 3 Extended Diploma in Music Performance and Production student Oscar Heath-Jones.

The Principal welcomed guests and toasted the College’s success. She went on to thank the management team and partners for their input and support.

David Rutley, MP for Macclesfield, attended the dinner and toasted the College for their success in establishing links with businesses at a local and national scale, referencing such companies as AstraZeneca, Siemens and Seddon Construction. The event

attendee list also featured such businesses as MEN Group, Association of Colleges and The LTE Group.

Rachel Kay said: “After two years of sourcing and settling in the most incredible team and putting our stakeholder engagement plan into action, it was great to welcome our key connections to thank them for their collaboration which has taken Macclesfield College to new heights.

“Our strategy from the get-go has been underpinned by engaging with the business community and the Government’s agenda to create great opportunities for local learners in Macclesfield and we’ve reaped excellent results. Just a few months ago FE Week named us the top further education provider in Cheshire for employer and student satisfaction. 97% of learners at Macclesfield College go on to work, Apprenticeships, higher education or higher level course.”

Positive progress David Rutley said: “I was pleased to be able to attend the Celebration of Engagement Dinner to celebrate the positive progress Macclesfield College is making in engaging with the local business community. It is great to see the College increase the number of Apprenticeships it provides from 200 in 2014/15 by an additional 350 just 18 months later – a real boost to local skills. The positive interest in Apprenticeships and technical training is good news for the local economy, but most of all for the young people whose lives are being transformed by the opportunities they offer. The College is a real asset to Macclesfield, and I wish Rachel Kay and her team continued success in the years ahead.”

Chafes Hague Lambert Solicitors has just donated an amazing £12,257.84 of dormant funds to The Christie.

These dormant funds are made up from a variety of reasons, a couple of examples are; it could be that the amount is too small or the client doesn’t cash a refund cheque.

We did of course work very hard to find clients to return the money to, this included searching the internet and contacting the Department of Work and Pensions. But when we still couldn’t find the clients, Chafes Hague Lambert made an application to the Solicitors Regulation Authority to release the money to charity.

This year, the donation will be used on a particular project called ‘100 Voices’ – where Christie patients towards the end or beyond their treatment will be invited to reflect on their journey, promoting their emotional, psychological and physical recovery and creating a chorus of cancer voices highlighting the experience of having the disease.

Practice Manager Caroline Calverley said: “We explored every possible way of ensuring the money was given to the rightful owners but our leads were exhausted. With the approval of the SRA we are delighted to give this money to The Christie. This is not the first time we have been able to donate these funds, and we have now donated over £37,000. This time the money will go towards 22

Anti-slavery charity Hope for Justice is launching its own rose “Hope for Justice” to stand as a symbol of freedom and hope, and to raise money to benefit its vital and life-changing work to rescue and restore victims of modern slavery around the world.

Direct Food Ingredients Ltd has announced an impressive 34% growth for the first half of the year, reaching a six-month sales turnover of £10.7m, in comparison to £7.6m in 2016.

The rapidly expanding Macclesfieldbased business, which also has an office in Los Angeles, is continuing to drive sales with new and current customers and strengthening its product ranges within categories such as; food and beverage, sports nutrition, animal and pet nutrition and nutraceuticals.

Commercial Director, Brigg Simpson said: “The team has worked exceptionally well over the past six months, meeting the needs of customers new and old. We’ve had excellent growth across all industries we serve and our ability to offer a wide range of products, all of which are quality assured by ourselves, has really strengthened our position in the market.”

Support Rossendale through charity golf at The Tytherington Club The Tytherington Club are looking for teams of golfers to take part in a charity golf afternoon on September 15.

All of the funds generated on the day will be going to support the Rossendale Trust so why not come along and take part in lots of golfing challenges like Quad Am Stableford, Longest Drives, Nearest the Pin and Beat the Pro. A Shotgun Start at 1pm will get the day moving, and will be followed by a 2 course meal in the Dorchester Suite at the club. This annual event is a relaxing day out, and a perfect way to improve your game.

Tytherington Chair Liz Halliday said “Tytherington is an enjoyable and challenging course. People have told us that they enjoy coming to play with their friends and colleagues. Players have the chance to network with business contacts in a sports setting. It has been important for our members to contribute to a local charity. They

can feel assurance that the money they raise is well spent within our community.”

Organiser Margaret Jordan said, “I have been able to see how the tenants of Rossendale have gained benefits from the money we help to raise. The transformation in the horticultural facilities has been inspirational! The fact that the produce is then used on-site adds interest and relevance.”

All in all, it’s a great event in aid of the Rossendale Trust, a true local charity.

Ten years ago, Claire Dalton set up health and safety specialists Live for Work after a career in the airline business. Little did she realise that the sky’s the limit for her then fledgling business.

After a string of successful contract wins, a triple celebration is in order as Live for Work announces its 10 year anniversary, new courses for senior managers and that their hard work has paid off with the renewal of Cheshire East Council’s three year training contract. This makes Live for Work the council’s sole provider of accredited First Aid and Health and Safety qualifications - training on average, 500 public sector employees per year, along with many others in the private sector.

Claire set up Live for Work following a 12year career with Thomson Airways, gaining hands on experience in administering First Aid, whilst also training new and existing Cabin Crew in on board safety and security. Quite a challenge.

She maintains the importance of not just meeting regulatory needs but making health and safety training engaging, relevant and inspirational.

Since then she has worked hard to attain Chartered Membership of the Institute of Occupational Safety and Health (IOSH), the world’s largest Chartered Health and Safety organisation – a status only awarded to members that meet the highest standards.

This has enabled Live for Work to expand into

the area of Health and Safety consultancy in addition to training; combining years of practical experience with communication skills means that advice and guidance is practical, straightforward, and engages all levels of staff from the ‘shop floor’ to senior level.

Live for Work’s new course for senior managers ‘Leading Safely’ is about leading from the front with enhanced safety and health practices. This IOSH certificated course aims to improve productivity, increase profits, enhance corporate reputation and strengthen an organisation’s brand in just five hours – with additional ongoing support from IOSH. Attendees will be able to benchmark their priorities against global models of safety using relevant case studies for their needs and sector and gain support for their own plans and actions before, during and after the course through the dedicated IOSH for Leaders app.

Bronwen MacArthur-Williams, Head of Corporate Health and Safety at Cheshire East Council says: “Cheshire East Council will be offering the IOSH Leading Safely Course to its employees and associated organisations as essential learning to re-inforce the value of great health and safety management by senior leaders.”

One expected outcome of this, is that many head teachers of newly formed Academies will be attending so that they have a clear understanding of their responsibilities as business leaders.

Mental health at work – are you looking after your employees?

Mental health issues such as stress, depression and anxiety account for almost 70 million days off sick per year costing the UK economy between £70 and £100 billion per year.

In 2016 Business in the Community undertook a national survey to understand the reality of how mental health is experienced at work. It was found that 77% of employees have experienced symptoms of poor mental health at some point in their lives. Just 22% of line managers have received mental health training to help them in their roles, however 49% said that they would benefit from basic mental health training.

SAS Daniels appoints Jeremy Orrell as Managing Partner Leading law firm SAS Daniels LLP has announced Jeremy Orrell as its new Managing Partner. This appointment has been made to support the firm’s plans for growth across its four offices in Macclesfield, Stockport, Chester and Congleton.

Orrell joined SAS Daniels in 2009 to head up its new Corporate team, which has since quadrupled its turnover. He became the firm’s Finance Partner in 2013 and has overseen a 50% growth in the firm’s annual turnover to £9m. Orrell is also recognised in Legal 500 as one of the region’s ‘Leading Individuals’ in his field.

The firm has also appointed Partner and Head of Music & Media Andy Booth as Deputy Managing Partner. Jonathan Whittaker remains as the firm’s Senior Partner.

Kerry Pearce and Matt Latham will work across a variety of areas in the ever-expanding company located at Waters Green.

Leek-resident Kerry comes to Direct Food Ingredients after working in a variety of roles at Morrisons Supermarket for five years. Kerry boasts excellent customer service skills which will assist her in her position as an administration apprentice.

Matt will support the accounts department as an apprentice. He hails from Cheddleton and having recently completed his A-Levels at Westwood College in Leek, he is now part-way through studying the AAT (Association of Accounting Technicians) level 2 qualification.

On average, there are eight hours in a working day.

According to the ONS many of us spend another two hours commuting. With an average of eight hours sleep (though it always feels much less), that leaves us six hours for everything else – kids, housework, exercise, etc. And how many of us will put going for a jog in front of finishing that report that was due two weeks ago?

Our lives around us have changed; convenience is the focus.

Jobs are increasingly office-based, lunches eaten at our desks, and commuting is the norm, with walking and cycling overloooked in favour of a (supposedly) quicker journey in the car. This has had an inevitable impact on our physical activity habits, with knock on effects to our health.

‘Lifestyle’ diseases – generally attributed to the way we live our lives – are the biggest cause of preventable deaths in the UK. And stress is cited as the most common cause of long-term absence from employment. In fact, it is estimated that there were 488,000 cases of work-related stress, depression and anxiety in 2015/16; which translated to 11.7 million working days lost.

What does this mean for employers? According to the CIPD, employee absence costs £522 per employee on average. With evidence suggesting that physical activity can not only aid

Chafes Hague Lambert Solicitors continues to grow the team Legal practice Chafes Hague Lambert Solicitors is continuing to expand its team with the arrival of two new Solicitors, Faith Gandhi and Rebecca Lee, as well as IT Manager Andy Baugh.

Arriving with a Tax Trusts and Estates specialist background, Faith will head up the firm’s Tax Trusts and Estate offering in their Knutsford office. This will include helping clients with Wills (both simple and complex), tax planning and trust work, Estate administrations and Powers of Attorney.

Tennis legends serve up three-day tournament at The Mere The region’s glitterati gathered to sip Taittinger and Pimms in the sun, shop around the luxury boutiques and watch former Wimbledon champions return to the court during the stunning three-day Boodles Tennis tournament.

Now in its sixth year at The Mere Golf Resort and Spa in Knutsford, Boodles Tennis at The Mere has become a firm favourite in the region’s summer social calendar.
