AuthorizedRetailerStaffaretrainedtobecapableofleadingconsumersthroughtheLuonto purchaseprocess,whileprovidingaserviceexperienceequaltoourproductquality.We believethishuman-to-humaninteractioniscrucial.Assuchweholdourdealerstoahigh standardensuringourconsumershavethebestpossibleexperience.

StitchingLoose

Ifstitchingislooseitmaybegintounravel.Generally,thelooseareascanbere-stitchedand normallyiscausedbytheuserexceedingthesuggestedweightlimitlistedwithintheproduct manual.

200–FABRICCLAIM UpholsteryPilling

Pillingisalwayscausedwhentheexternalfiberstickstotheupholsteryfibers,normallyfrom decorativepillows,blanketsorotheritemsusedontheupholsteredfurniture.Bycheckingthe pile,ifthecolorisdifferentfromtheupholsteryitmeanstheissueisfromoutsidefibers.Stop usingtheseitemsontheproductanduseapillingfabricshavertocorrecttheproblem.

AbnormalFabricwrinkle

Seatcushionscanbewrinkly.Thisisnormal.Especiallyifthefabricisawovenmaterial.IfThe fabriciswrinklingabnormally(morethan1”to2”),loosenthefabricfromthestaplededge. Smooththefabricsurfacethenreattachtheupholsterytightlywithsimilarstaples.

IfWelts/Pipingareattachedunevenlytheywillneedtoberemovedandreinstalledevenly.

StitchingLoose

Frame–PoorFinish

Someupholstereditemshaveexposedwoodframesordecorativetrim.Thesearefinished piecesandcancontaindefectssuchasruns,chips,andflakingfinishes.Thesedefective areaswillneedsanding,filling,ortoberepainted.

Frame–Defective,BentorUneven

Claimsfiledwiththiscodeshouldbeamanufacturingdefect,notdamagecausedduring transportation.Aneasywaytodistinguishfreightdamagefrommanufacturingdefectsisby inspectingthesurface.

Allframesareconstructedusingbirchplywood&solidspruce.Ifaframeiswarped,itwill causetheproducttoappearcrooked.Boltsundertheframeneedtobeloosened,theframe readjusted,andtheboltstightened.SomeSeatframesmaycontainlargeknotscausingthem tobreak.Iftheframeisbrokenduetoalargeknot,theseatframewillbereplaced.

Frame–Squeaking

Duringthemanufacturingprocessweassembleframesusingglueandstaples,gluedfinger jointsandsupportblocks.Resultinginasturdysqueak-freeframe.Ifsqueakingoccurs,the dustcoverneedstoberemovedandtheframeinspected.

LegsorArms–BrokenorCracked

Ifanarmorlegisbroken,lookcloselyatthedefectivearea.Ifthereisindicationthedefect occurredbeforefinishing(nocoveragedamageinstainorpaint)thisisnotamanufacturing claim.However,ifdamageinstain/paintispresentthiscanbefixedandwillrequiregluing and/ortouchupwork.

SeatCushionCore

OurSeatFoamishighquality,andthereforerequiresabreak-inperiodofsix(6)toeight(8) weeksofnormaluse.Ourconsumerssometimescommentonfirmnessorfirmness differences.Thisiscausedbysomeoftheseatsbeingusedmorethanothers.Inrarecases densitymaybeoutsideourpermittedtolerancesandwillrequireareplacement.Fabric saggingisnotcausedbyaseatcoreproblembutisnormalespeciallywithwovenfabrics.

BackCushionFilling

Ourhighqualitybackcushionfillingrequiresweeklyfluffing.Sometimesconsumersreportthe cushionissagging,thisiseasilyfixedbyadheringtoourrecommendedweeklyintervalfor Fluffingthecushions.Theproblemresolveswhenourrecommendedfluffingscheduleis maintained.

400–FUNCTION/MECHANISM/POWERRELATEDCLAIM Mechanism–DefectiveSleeperorrecliner

Sometimesmechanismscanbecomemisalignedfrommishandlingintransportandwillnot functionproperly.Torepair,themechanismshouldbeexposedandproperlyadjusted. Mechanismsmaybebentfromadroporhit,andmayrequirereplacement.

ElectricalProblems

Ifyourshipmentdoesnotincludethepartsrequiredforinstallationandset,checkallthe packagingmaterials.Thehardwareisinsidethepackagewrappedinfoamordoublebubble wrappingtoavoiddamagetotheupholstery.

LacquerorPaintRunsorChips

Runsarecausedbyexcessivevolumeoffinishorwithoutproperdryingtimebetweencoats. Theresultlookslikewaterrunningordrippingdowntheside.Correctingthistypeofdefect requiressandingofthesurfaceandrepainting.Chipsmayalsobetheresultofexcessivebuild up,requiringfillingandpainting.

Over-spray

Foundinsideofthestoragebox,theinsideofstorageboxesshouldbewipedwithapaint reducer.Sometimesthesurfaceswillrequiresandingandpolishing,dependingonfinishtype.

Splitting

Onrareoccasions,improperdryingorsealingofawoodproductcausessplitting.Whenwood expandsfromheatormoisture,thefinishexpandsatavariablerateandcauseshairline fracturesinthefinish.Dependingonthefinish,theseareascanbefilled,sanded,and/or touchedup.Inseverecasesrequiregluing,clamping,andrefinishing.

TECHNICIANNETWORK

WereservetherighttoinspectanyproductthatdoesnotmeetourQualityStandards.All productsdeterminedtobedefectivebythecustomerwillbeinspectedbyanAuthorized LuontoTechnician.WeaimtosolvetheclaimwithinoneTechnicianvisit.

Ifthecustomerrequiresanitemtobeinspectedbutthemanufacturingclaimisnotfound,they willbechargeda$95feeaspenaltyforanunnecessarytechnicianvisit.Thisfeecoversthe expenseoflaborandresources.

OurAuthorizedLuontoTechniciannetworkhasover200techniciansavailableacrossmore than40states.Alldedicatedtothecommongoalofrepairingfurniturequicklywithexcellence, inonevisit.

TermsandConditionsfortheSaleofGoods 1.Applicability.

(a)Thesetermsandconditionsofsale(these“Terms”)aretheonlytermswhichgovernthe saleofthegoods(“Goods”)byLuontoFurniture,Inc.,aDelawarecorporation(“Seller”)toa customerofSeller(“Buyer”).Acceptanceofordersisbasedontheexpressconditionthat BuyeragreestotheTerms,andtheplacingofanyorderbyBuyerwillconstituteBuyer’s agreementtotheseTerms.Inaddition,allordersforGoodsaresubjecttoacceptanceby Seller.SellerwillacknowledgeandaccepttheordersforGoodsbyissuingaconfirmationof saletoBuyer(the“OrderConfirmation”).BuyershallnotifySellerimmediately(within24hours ofreceipt)ofanyerrorintheOrderConfirmation.SellerreservestherighttorevokeanOrder Confirmationintheeventaproducthasbeendiscontinuedorwillbeunavailablefordeliveryin areasonabletime.Sellerreservestherighttonotacceptanorderthatisbasedonpricingor productspecificationerrorseitherbyBuyerorcontainedinaLuontoSalesOrder.

Notwithstandinganythinghereintothecontrary,ifawrittencontractsignedbybothpartiesisin existencecoveringthesaleoftheGoodscoveredhereby,thetermsandconditionsofsaid contractshallprevailtotheextenttheyareinconsistentwiththeseTerms.

(b)TheOrderConfirmationandtheseTerms(collectively,this“Agreement”)comprisethe entireagreementbetweentheparties,andsupersedeallpriororcontemporaneous understandings,agreements,negotiations,representationsandwarranties,and communications,bothwrittenandoral.TheseTermsprevailoveranyofBuyer’sgeneralterms andconditionsofpurchaseregardlesswhetherorwhenBuyerhassubmitteditspurchase order,shippingrequest,orsuchterms.Fortheavoidanceofdoubt,Seller’sfulfillmentof Buyer’sorderdoesnotconstituteacceptanceofanyofBuyer’stermsandconditionscontained insuchformsanddoesnotservetomodifyoramendtheseTerms.

2.CancellationofOrder. Buyeracknowledgesandagreesthat:

(a)In-stockGoodscannotbecanceledafter24hoursfollowingBuyer’sreceiptoftheOrder Confirmation,and,exceptasotherwiseprovidedintheseTerms,suchGoodsarenot returnableatanytime.

(b)MadeToOrderGoodscannotbecanceledafter3businessdaysfollowingBuyer’sreceipt oftheOrderConfirmation,and,exceptasotherwiseprovidedintheseTerms,suchGoodsare notreturnableatanytime.

(c)BuyermustprovideSellerwrittennoticeofanordercancellationwithintheappropriate timeframe,andBuyerisresponsibleforobtainingwrittenconfirmationfromSellerofsuch ordercancellationwithinsuchappropriatetimeframe.

3.ChangestoOrder.

BuyeracknowledgesandagreesthatchangestoanOrdermustbeinwriting,requireprior writtenapprovalbySeller,andaresubjecttoSeller’sabilitytomakesuchrequestedchanges. Notwithstandinganythinghereintothecontrary,Buyeracknowledgesandagreesthatchanges toanOrderwillnotbeapprovedbySelleronceSellerhascommencedproductiononsuch Goods.

AnyapprovedchangestoanOrderwillbesubjecttoaddedcostsassociatedwithchangesin thepriceofGoodsalongwiththeadministrative,cancellation,orstockingfees,andsuchcosts maybeupto50%ofthelistedPrice.Notwithstandinganythinghereintothecontrary,any OrderscontainingCustomer’sOwnMaterial(“COM”)orCustomer’sOwnLeather(“COL”) cannotbereturnedorcreditedonceSellerhascommencedproductiononsuchGoods.

(a)SellerwilloccasionallysellshowroomdisplayGoods.AnyshowroomdisplayGoodsarenot returnableatanytimeandaresoldin“asis”condition.

(b)Seller’sfinishandupholsterysamplesareonlyrepresentativeofthecolorandoverall appearanceandcannotbeguaranteedasexactmatches.Seller’sfabric,wood,andmetal samplesvarybasedonirregularitiesofmanufacture,color,surface,finish,grainandtexture, andSelleracceptsnoresponsibilityforanycomplaintarisingfromtheappearance,color, quality,orfadingofsuchmaterials.

5.Delivery.

(a)SellerwilldelivertheGoodswithinareasonabletimeafterthereceiptofBuyer’spurchase orderandSeller’sissuanceoftheOrderConfirmation,subjecttoavailabilityoffinishedGoods. Buyeracknowledgesandagreesthatallquotedcompletiondatesanddeliverydatesare estimatesonly,andSellershallnotbeliablefor(i)anydelaysintheshipmentorreceiptofthe Goods,or(ii)lossesordamagestotheGoodsincurredintransittotheShippingAddress.

(b)Unlessotherwiseagreedinwritingbytheparties,SellershalldelivertheGoodstothe locationdesignatedbyBuyer(the“ShippingAddress”)usingSeller’sstandardmethodsfor packagingandshippingsuchGoods.Notwithstandinganythinghereintothecontrary,any specializedpackagingrequestedbyBuyerinexcessofSeller’sstandardmethodsfor packagingisnotincludedinthePrice.Sellershall,initssoleandabsolutediscretion,select thecarrierusedtodelivertheGoods.Buyershallbesolelyresponsibletocommunicatewith theCarrierforscheduling,deliveryandreceiptoftheGoodstotheShippingAddress.Buyer shallberesponsibleforallloadingcostsandprovideequipmentandlaborreasonablysuited forreceiptoftheGoodsattheShippingAddress.UnlessnotedotherwiseorSellerandBuyer

4.ShowroomDisplayGoods;SamplesofSeller.

haveagreedtodifferentpaymenttermsinawritingsignedbybothpartiesevidencingthe intenttosupersedetheseTerms,Buyeracknowledgesandagreesthat(i)allshipping,local delivery,andinstallationchargesareadditionalandwillbeaddedtothefinalbalanceofthe Price,and(ii)BuyershallpaytoSellersuchchargespriortoshipment,delivery,orinstallation oftheGoods.

(c)Sellermay,initssolediscretion,withoutliabilityorpenalty,makepartialshipmentsof GoodstoBuyer.Eachshipmentwillconstituteaseparatesale,andBuyershallpayforthe unitsshippedwhethersuchshipmentisinwholeorpartialfulfillmentofBuyer’spurchase order.

(d)IfforanyreasonBuyerfailstoacceptdeliveryofanyoftheGoods,orifSellerisunableto delivertheGoodsattheShippingAddressbecauseBuyerhasnotprovidedappropriate instructions,documents,licenses,orauthorizations:(i)riskoflosstotheGoodsshallpassto Buyeratsuchtime;(ii)theGoodsshallbedeemedtohavebeendelivered;and(iii)Seller,at itsoption,maystoretheGoodsuntilBuyerpicksthemup,whereuponBuyershallbeliablefor allrelatedcostsandexpenses(including,withoutlimitation,storageandinsurance).

6.WarehousingFees.

Buyershallpayawarehousingfeeof1%ofthetotalPriceasstatedintheOrderConfirmation onanyGoodsnotdelivered,shipped,orreleasedtoBuyertwoweeksafterSellerprovides writtennoticeofsuchGoodsavailabilityforshipmentforeachweekinwhichSellerisrequired toholdsuchundeliveredGoodsatSeller’sWarehouse.Buyershallmakeallpaymentsofthe accruedwarehousingfeeseverytwoweeksbyACH,check,orwiretransferandinUnited StatesdollarstotheaccountdesignatedinwritingbySeller.Inadditiontotheweekly warehousingfee,anyshipmentsreturnedtoSeller,including,withoutlimitation,suchreturns asaresultofBuyer’simproperfailuretoacceptdeliveryorotherwiseaccepttheGoods,will requireBuyertopayalladditionalcostsincurredbySellerrelatedtothereturnandstorageof theGoods,includingshippingandstoragefees.Buyershallassumeallcostsandrisksto GoodswarehousedandGoodswillbeconsideredavailablefordeliveryforallpurposesrelated totheTerms.InadditiontoanyremediesthatmaybeprovidedundertheseTerms,ifBuyer failstomakepaymentinaccordancewiththetermshereinorotherwisefailstocomplywith anyprovisionhereof,SellermayenforceitsremediesunderSection17.

BuyerispermittedtolistanyIn-Stockstyleavailableontheirshowroom(s)floorandany Seller’sMadetoOrderstyleontheironlinecatalogofproductsorwebsitestore.Underno circumstanceswillBuyerbepermittedtolistorsellSeller’sproductsonthirdpartyretailersites i.e.Amazon,Wayfair.

7.OnlineSalesTerms.

8.ShippingTerms.

ImportedGoodsareFCASeller’swarehouselocatedat1007TridentStreet,UnitA, CharlestonSC,29410(“Seller’sWarehouse”).SellershalldelivertheGoodsinaccordance withthetermsofthisAgreement.

9.TitleandRiskofLoss.

TitleandriskoflosspassestoBuyeruponSeller’sdeliveryoftheGoodstothecarrierselected todelivertheGoodstoBuyer(the“Carrier”).Ascollateralsecurityforthepaymentofthe purchasepriceoftheGoods,BuyerherebygrantstoSelleralienonandsecurityinterestin andtoalloftheright,titleandinterestofBuyerin,toandundertheGoods,whereverlocated, andwhethernowexistingorhereafterarisingoracquiredfromtimetotime,andinall accessionstheretoandreplacementsormodificationsthereof,aswellasallproceeds (includinginsuranceproceeds)oftheforegoing.Thesecurityinterestgrantedunderthis provisionconstitutesapurchasemoneysecurityinterestundertheSouthCarolinaUniform CommercialCode.

10.AmendmentandModification.

TheseTermsmayonlybeamendedormodifiedinawritingwhichspecificallystatesthatit amendstheseTermsandissignedbyanauthorizedrepresentativeofeachparty.

11.InspectionofGoods.

(a)BuyershallinspecttheGoodsuponreceiptattheShippingAddress,andanyclaimby BuyeragainstSellerortheCarrierforshortage,damage,ordefectoccurringpriortosuch deliverymustbemadeinwritingtoSellerand/ortheCarrierwithin24hoursofreceiptofthe Goods(the“InspectionPeriod”),andsuchwritingmustbeaccompaniedbytheoriginal transportationbillnotingthatthecarrierreceivedtheGoodsfromSellerinthecondition claimed.BuyershallbedeemedtohaveacceptedtheGoodsunlessitnotifiesSellerinwriting ofanyNonconformingGoodsduringtheInspectionPeriodandfurnishessuchwrittenevidence orotherdocumentationasrequiredbySeller,initssoleandabsolutediscretion.Acceptance byBuyerofanyGoodsshallconstituteawaiverbyBuyerofanydefaultorclaimfordamages onaccountofanyNonconformingGoods.“NonconformingGoods”meansonlythefollowing:

(i)theproductshippedisdifferentthanidentifiedintheOrderConfirmation;or(ii)theproduct’s labelorpackagingincorrectlyidentifiesitscontents.

(b)IfBuyertimelynotifiesSellerofanyNonconformingGoods,Sellershall,initssole discretion,(i)replacesuchNonconformingGoodswithconformingGoods,or(ii)creditor refundthePriceforsuchNonconformingGoods,togetherwithanyreasonableshippingand handlingexpensesincurredbyBuyerinconnectiontherewith.Buyershallship,atitsexpense

SalesTerms andriskofloss,theNonconformingGoodstothefacilityasdesignatedbyBuyerinawriting.If SellerexercisesitsoptiontoreplaceNonconformingGoods,Sellershall,afterreceiving Buyer’sshipmentofNonconformingGoods,shiptoBuyer,atBuyer’sexpenseandriskofloss, thereplacedGoodstotheShippingAddress.

(c)BuyeracknowledgesandagreesthattheremediessetforthinSection10(b)areBuyer’s exclusiveremediesforthedeliveryofNonconformingGoods.Exceptasotherwiseprovided underSection10(b)oranyotherprovisionofthisAgreement,allsalesofGoodstoBuyerare madeonaone-waybasisandBuyerhasnorighttoreturnGoodspurchasedunderthis AgreementtoSeller.

12.ProductClaimsTerms.

ProductClaimsareavailableforallproductsshippedwithintheBuyer’sstateofoperation.Any productshippedbeyondastateborderisvoidofproductclaimeligibility.Onlysparepart orderswillbefulfilledforproductsshippedoutsidetheBuyer’sstateofoperation.

13.Price.

(a)BuyershallpurchasetheGoodsfromSellerattheprices(the“Prices”)setforthinSeller’s publishedpricelistinforceasofthedatethatSelleracceptsBuyer’spurchaseorderand issuestheOrderConfirmation;provided,thatthepartiesagreethatPricequotesarevalidfor 14daysfromthedateoftheorderquotationunlessextendedinwritingbytheparties.The PricesfortheGoodsshallbedisclosedtoBuyerintheOrderConfirmation.Notwithstanding theforegoing,Sellerreservestherighttochangeprices,dimensions,andspecifications withoutnoticepriortoSeller’sissuanceoftheOrderConfirmation.IfthePricesshouldbe increasedbySellerbeforedeliveryoftheGoodstoacarrierforshipmenttoBuyer,thenthese Termsshallbeconstruedasiftheincreasedpriceswereoriginallyinsertedherein,andBuyer shallbebilledbySelleronthebasisofsuchincreasedprices.

(b)Unlessnotedotherwise,allPricesarelistedinUnitedStatesdollarsandareexclusiveof shippingcharges,in-transitinsurance,storagecharges,localdeliverycharges,assembly charges,installationcharges,andallsales,use,andexcisetaxes,andanyothersimilartaxes, duties,andchargesofanykindimposed,eitherdirectlyorindirectly,byanyforeignor domesticgovernmentalauthority,includingwithoutlimitationanyfederal,state,orlocal governmentalauthority,onanyamountspayablebyBuyer.Buyershallberesponsibleforall suchcharges,costs,andtaxes;provided,thatBuyershallnotberesponsibleforanytaxes imposedon,orwithrespectto,Seller’sincome,revenues,grossreceipts,personnelorrealor personalpropertyorotherassets.

14.MinimumAdvertisedPrice(MAP)Policy.

ThispolicyisunilateralandisapplicabletoanyBuyerlistingourproductsforsale,whetheror noteligibilityforAuthorizedRetailerstatusismet.

(a)TheMAPpolicyappliestoalladvertisementsofcurrentSeller’sproducts(including picturesorphotographsofSeller’sproductseveniftheSeller’snameisnotshown)inanyand allmedia,includingbutnotlimitedtoflyers,posters,coupons,mailers,inserts,newspapers, magazines,catalogs,mailordercatalogs,eCommerceonlineorsimilarelectronicmedia, television,radioandpublicsignage(includingpublic-facingstore-exteriorsignage).

(b)ForproductsthatSellerhasannouncedinwritingasdiscontinued,theMAPpricewillno longerbeeffectiveasoftheannounceddiscontinuationdate.TheBuyermayadvertisea discontinuedSeller’sproductatapricebelowthepublishedMAPpriceaftertheeffective discontinuationdate,providedthattheproductinquestionisprominentlydescribedin advertisementsas“discontinued.”

(c)ThepricescontainedintheMAPlistareminimumadvertisedprices.TheSellerdoesnot seekandwillnotacceptanagreementregardingtheactualpricesyouchargeyourcustomers forSeller’sproducts.EveryBuyerisfreetosellSeller’sproductsatanypricethatitdeemsto beappropriate.

(d)AnyadvertisementoftheSeller’sproductmustincludeanadvertisedprice,whichcannot bebelowtheMAPprice.TheBuyermaynotomitthepriceorusesuchtermsas“Callfor specialpricing”or“E-mailusforspecialpricing,”oruseanyotherlanguagelike“LowPrice Guarantee”or“PriceMatch”thatimpliesthatalowerpriceisavailable.Advertisingmaynot useastrike-throughorotheralterationoftheMAPpriceorotherwiseobscuretheadvertised price.NoneoftheSeller’sproductscanbeadvertisedbelowtherespectiveMAPpriceeven whenincludedinapackagewithnon-Seller’sproducts.

(e)AdvertisedpricemeansthepriceatwhichSeller’sproductsareadvertised,whetheronline orinprintoranyothermedium(afterapplyinganyadvertiseddiscounts,rebates,orother reductionsinprice),includingbutnotlimitedto:

i.Rebates,volumeincentives,oranyotherdiscounting

ii.Gifts,premiums,orservicesassociatedwiththepurchaseofanySeller’s products

iii.Paymentofsalestaxesorothertaxesforthecustomer

v.Discountsonnon-Seller’sproducts(includingaccessories),whichare bundledinanywaywithSeller’sproducts

vi.Site-widediscounts.(Note:Ifaretailerisofferingasite-widediscount,the advertisementmustclearlystatethatSeller’sproductsareexcludedfrom thediscountoffer.Thementionofthisexclusionshouldappearonthe retailer’soronlinemerchant’ssaledetails&exclusionslist.)

vii.Couponcodesavailableviaemail,Facebook,etc.

viii.“Click-Thru”pricingonline,whereapriceappearsoncetheitemhasbeen addedtoashoppingcart.

(g)Seller,atitssolediscretion,mayperiodicallyauthorizeadvertisementsofsalespromotions forproductscoveredbytheMAPPolicy.Insuchevents,Sellerreservestherighttomodifyor suspendtheMAPforallapplicableproductsbynotifyingallResellersofsuchchange.

(h)Advertising“shippingincluded”freightmustcomplywithParagraphF(basedonthelower MAPpricepermittedforthespecificpromotion).

(i)MAPpricesarenotnegotiable.ImplementationofSeller’sMAPpolicyissolelySeller’s decisionandresponsibility.NoemployeeofSellerhasauthoritytodiscussormodifythispolicy. Inaddition,Sellerneithersolicitsnorwillitacceptanyassuranceofcompliancewiththispolicy. NothinginthispolicyshallconstituteanagreementbetweenSellerandanyBuyerthatthe Buyerwillcomplywiththispolicy.

(j)IfaRetaileradvertisesanySellerProductatnetpriceslessthantheMAP,Sellermay declinetoacceptanynewordersorcancelpendingordersfromtheBuyer;suspendtheBuyer; terminatetheBuyer;ortakeanyotheractionthatisconsistentwithapplicablelaw.Whenever SellerdeterminesthataBuyerhasactedinamannerinconsistentwiththisPolicy,Sellerwill notifythatBuyerinwriting.Sellerdoesnotseekandwillnotacceptassurancesofcompliance withthisPolicyatanytime.

(k)Sellerwilluseitssolediscretioninidentifyingnon-compliantadvertisingandapplyingthis Policy.Seller’sdecisionswillbefinal.Sellerwillnotdiscussanydeterminationrelatingtothis PolicyornegotiatethetermsofanysuchdeterminationwithanyBuyer,andSellerwillnotseek oracceptassurancesofanykindastoBuyer’sfutureconduct.

15.PaymentTerms.

(a)IfBuyersubmitsacreditcheckapplicationandSeller,initssoleandabsolutediscretion, determinesthatBuyerhassufficientcredit,BuyershallpayallinvoicedamountsduetoSeller within30daysfromthedateofSeller’sinvoice.

(b)IfBuyerdoesnotsubmitacreditcheckapplicationorhasinsufficientcreditasdetermined bySeller,BuyershallpayallinvoicedamountsduetoSellerinaccordancewiththefollowing terms:(i)IftheGoodsarestockorders,Buyershallpayallinvoicedamountsinfullupon receiptofSeller’sOrderConfirmationpriortotheshipmentoftheGoodstoBuyer;and(ii)Ifthe GoodsareMadeToOrdergoods,Buyershallpay50%oftheinvoicedamountonreceiptof Seller’sOrderConfirmationpriortoSellerprocessingsuchorderstoproductions,and,upon thearrivalofsuchGoodsatSeller’sWarehouse,Buyershallpaytheremaining50%balance plusanyapplicablefreightcharges,includingPPA,priortotheshipmentoftheGoodsto Buyer.

(c)Unlessnotedotherwise,BuyershallmakeallpaymentshereunderbyACH,check,orwire transferandinUnitedStatesdollars.

(d)Buyershallpayalatepaymentfeeof8.5%oftheoutstandinginvoicebalancepermonth toallaccountsnotpaidwithin30daysfromthedateofSeller’sOrderConfirmation.Inaddition tothelatepaymentfee,BuyershallreimburseSellerforallcostsincurredincollectinganylate payments,including,withoutlimitation,attorneys’fees.Inadditiontoallotherremedies availableunderthisAgreementoratlaw(whichSellerdoesnotwaivebytheexerciseofany rightshereunder),SellershallbeentitledtosuspendthedeliveryofanyGoodsifBuyerfailsto payanyamountswhenduehereunderandsuchfailurecontinuesfor60daysfollowingwritten noticethereof.

16.AdditionalTermsRegardingOrdersContainingCOMandCOL.

(a)BuyeracknowledgesandagreesthatthePricesofanyOrderscontainingCOMand/or COL(i)shallincludetheadditionallaborcostsforapplyingorupholsteringproductswith Buyer’sfabricorleather,and(ii)shallnotincludeanyshippingcostsoranydutiesforimported ordomesticgoods,andsuchcostsanddutieswillbeaddedtothePrice.Buyeracknowledges andagreesthatallorderscontainingCOMand/orCOLwillbeshippedinaccordancewith Section5oftheseTerms.

(b)BuyershallberesponsibleforprovidingthepropermaterialsandquantityoftheCOMand COLthatsatisfytheminimumrequirementsofSeller’sCOM/COLguidelinescurrentlyin effect.BuyershallprovideSellerwithaCOM/COLsampleforapproval,andSeller,initssole andabsolutediscretion,reservestherighttorejectanyCOM/COLthatisconsidered improperforanyreason.Selleracceptsnoresponsibilityforanycomplaintarisingfromthe appearance,durability,quality,fading,placement,orperformanceofanyCOMand/orCOL incorporatedintheGoods.BuyershalladviseSellerinwritingofanyspecificrequirementsas tospecialalignment,placementofordetail,frontorbackoftheCOMand/orCOL,and,inthe eventBuyerdoesnotprovidesuchawriting,SellerwillinstalltheCOMand/orCOLaccording toSeller’sguidelinesbasedonstandardyardageandsquarefeetrequirements.

(c)SellermakesnowarrantywhatsoeverwithrespecttoanyCOMorCOL.Buyer acknowledgesandagreesthatnowarrantywillapplytodamageormisuse,accidents,abuse, neglect,mishandlingorwearresultingfromnormaluserelatedtoanyGoodscontainingCOM and/orCOL.PleaserefertoSeller’sWarrantyforfurtherdetailsregardingSeller’s manufacturerwarranty.

17.LimitedWarranty.

SellerwarrantstoBuyerthatfortheperiodoftimeSETFORTHINTHESELLER’swarranty, attachedheretoasexhibita(“Sellerwarranty”),fromthedateofdeliverytotheShipping AddressthatsuchGoodswillmateriallyconfirmtotheSeller’spublishedspecificationsasset forthinthesellerwarranty.Exceptforthewarrantiessetforthinthesellerwarranty,SELLER MAKESNOWARRANTYWHATSOEVERWITHRESPECTTOTHEGOODS,INCLUDING ANY(A)WARRANTYOFMERCHANTABILITY;(B)WARRANTYOFFITNESSFORA PARTICULARPURPOSE;(C)WARRANTYOFTITLE;OR(D)WARRANTYAGAINST INFRINGEMENTOFINTELLECTUALPROPERTYRIGHTSOFATHIRDPARTY;WHETHER EXPRESSORIMPLIEDBYLAW,COURSEOFDEALING,COURSEOFPERFORMANCE, USAGEOFTRADEOROTHERWISE.

18.LimitationofLiability.

(a)INNOEVENTSHALLSELLERBELIABLETOBUYERORANYTHIRDPARTYFORANY LOSSOFUSE,REVENUEORPROFIT,ORFORANYCONSEQUENTIAL,INDIRECT, INCIDENTAL,SPECIAL,EXEMPLARY,ORPUNITIVEDAMAGESWHETHERARISINGOUT OFBREACHOFCONTRACT,TORT(INCLUDINGNEGLIGENCE)OROTHERWISE, REGARDLESSOFWHETHERSUCHDAMAGESWEREFORESEEABLEANDWHETHER ORNOTSELLERHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES,AND NOTWITHSTANDINGTHEFAILUREOFANYAGREEDOROTHERREMEDYOFITS ESSENTIALPURPOSE.

(b)INNOEVENTSHALLSELLER’SAGGREGATELIABILITYARISINGOUTOFOR RELATEDTOTHISAGREEMENT,WHETHERARISINGOUTOFORRELATEDTOBREACH OFCONTRACT,TORT(INCLUDINGNEGLIGENCE)OROTHERWISE,EXCEEDTHE TOTALOFTHEAMOUNTSPAIDTOSELLERFORTHEGOODSSOLDHEREUNDER. SELLER’SLIABILITYMAYBEFURTHERLIMITEDASPERTHETERMSOFSELLER’S MANUFACTURER’SWARRANTY.

(c)AnyclaimbyBuyerwithreferencetotheservicesofSelleroranyGoodssoldshallbe deemedwaivedbyBuyerunlesssubmittedtoSellerinwritingwithin30daysfromthedate Buyerdiscovered,orshouldhavediscoveredanyclaimedbreach.

(d)ThelimitationofliabilitysetforthinSection15(b)aboveshallnotapplyto(i)liability resultingfromSeller’sgrossnegligenceorwillfulmisconductand(ii)deathorbodilyinjury resultingfromSeller’sactsoromissions.

19.CompliancewithLaws.

Buyershallcomplywithallapplicablelaws,regulations,andordinances.Buyershallmaintain ineffectallthelicenses,permissions,authorizations,consentsandpermitsthatitneedsto carryoutitsobligationsunderthisAgreement.

20.RemediesUponDefault;Termination.

(a)IfBuyerfailstomakepaymentinaccordancewiththetermshereinorotherwisefailsto complywithanyprovisionhereof,Sellermay,atitsoption,cancelanyunshippedportionofan order,retaintheGoods,anddeclareaforfeitureofthedepositasliquidateddamages.In additiontoanyremediesthatmaybeprovidedundertheseTerms,Sellershallhavetherightto appropriateandselltheGoodsandapplytheamountscollectedtoanypaymentowedto Seller,includingbutnotlimitedtotheunpaidbalanceofallaccountsandanyexpensesand costsincurredbySellertoexerciseSeller’srightshereunder,asSellershalldetermineinits solediscretion.Buyershallremainliableforthebalanceofallunpaidaccounts.

(b)InadditiontoanyremediesthatmaybeprovidedundertheseTerms,Sellermayterminate thisAgreementwithimmediateeffectuponwrittennoticetoBuyer,ifBuyer:(i)failstopayany amountwhendueunderthisAgreement;(ii)hasnototherwiseperformedorcompliedwithany oftheseTerms,inwholeorinpart;or(iii)becomesinsolvent,filesapetitionforbankruptcyor commencesorhascommencedagainstitproceedingsrelatingtobankruptcy,receivership, reorganizationorassignmentforthebenefitofcreditors.

21.Waiver.

NowaiverbySellerofanyoftheprovisionsofthisAgreementiseffectiveunlessexplicitlyset forthinwritingandsignedbySeller.Nofailuretoexercise,ordelayinexercising,anyright, remedy,powerorprivilegearisingfromthisAgreementoperates,ormaybeconstrued,asa waiverthereof.Nosingleorpartialexerciseofanyright,remedy,power,orprivilegehereunder precludesanyotherorfurtherexercisethereofortheexerciseofanyotherright,remedy, powerorprivilege.

22.ConfidentialInformation.

Allnon-public,confidentialorproprietaryinformationofSeller,includingbutnotlimitedto specifications,samples,patterns,designs,plans,drawings,documents,data,business operations,customerlists,pricingandpricelists,catalogs,samples,discounts,orrebates, disclosedbySellertoBuyer,whetherdisclosedorallyordisclosedoraccessedinwritten, electronicorotherformormedia,andwhetherornotmarked,designatedorotherwise identifiedas“confidential”inconnectionwiththisAgreementisconfidential,solelyfortheuse ofperformingthisAgreementandmaynotbedisclosedorcopiedunlessauthorizedin advancebySellerinwriting.UponSeller’srequest,Buyershallpromptlyreturnalldocuments andothermaterialsreceivedfromSeller.Sellershallbeentitledtoinjunctivereliefforany violationofthisSection.ThisSectiondoesnotapplytoinformationthatis:(a)inthepublic domain;(b)knowntoBuyeratthetimeofdisclosure;or(c)rightfullyobtainedbyBuyerona non-confidentialbasisfromathirdparty.

23.Drawings;Plans;Dimension;andSamples.

Alldrawings,descriptions,dimensionsandillustrationsprovidedbySeller,includinginany pricelists,catalogs,oradvertisements,arecloseapproximationsonly.Anyexamplesor samplesexhibitedorprovidedbySellertoBuyerareforgeneralinformationalpurposesonly. Nothinginanydrawings,descriptions,illustrations,lists,advertisements,catalogs,orsamples shallbedeemedtocreatearepresentationorwarrantyorserveasthebasisforanyclaim againstSeller.BuyeracknowledgesandagreesthatfurnitureorotherGoodsmaybe handmadeorspeciallytreatedorprocessedandaresubjecttoslightvariations.

24.ForceMajeure.

SellershallnotbeliableorresponsibletoBuyer,norbedeemedtohavedefaultedorbreached thisAgreement,foranyfailureordelayinfulfillingorperforminganytermofthisAgreement whenandtotheextentsuchfailureordelayiscausedbyorresultsfromactsorcircumstances beyondthereasonablecontrolofSellerincluding,withoutlimitation,actsofGod,flood,fire, hurricane,tornado,earthquake,explosion,governmentalactions,war,invasionorhostilities (whetherwarisdeclaredornot),terroristthreatsoracts,riot,orothercivilunrest,nationalor

stateemergency,revolution,insurrection,epidemic,pandemic,lockouts,shortagesoflabor, rawmaterial,production,ortransportationfacilities,strikesorotherlabordisputes(whetheror notrelatingtoeitherparty’sworkforce),othercontingenciesofmanufactureorshipment,or restraintsordelaysaffectingcarriersorinabilityordelayinobtainingsuppliesofadequateor suitablematerialsfromSeller’susualsourcesofsupply,materialsortelecommunication breakdownorpoweroutage.IntheeventofanydelayinSeller’sperformancedue,inwholeor inpart,toanycausebeyondthereasonablecontrolofSeller,Sellershallhavesuchadditional timeforperformanceasmaybereasonablynecessaryunderthecircumstances.Buyer’s acceptanceofanyGoodsshallconstituteawaiverbyBuyerofanyclaimfordamageson accountofanydelayindeliveryofsuchGoods.

25.Assignment.

BuyershallnotassignanyofitsrightsordelegateanyofitsobligationsunderthisAgreement withoutthepriorwrittenconsentofSeller.Anypurportedassignmentordelegationinviolation ofthisSectionisnullandvoid.NoassignmentordelegationrelievesBuyerofanyofits obligationsunderthisAgreement.

26.RelationshipoftheParties.

Therelationshipbetweenthepartiesisthatofindependentcontractors.Nothingcontainedin thisAgreementshallbeconstruedascreatinganyagency,partnership,jointventureorother formofjointenterprise,employmentorfiduciaryrelationshipbetweentheparties,andneither partyshallhaveauthoritytocontractfororbindtheotherpartyinanymannerwhatsoever.

27.NoThird-PartyBeneficiaries.

ThisAgreementisforthesolebenefitofthepartiesheretoandtheirrespectivesuccessorsand permittedassignsandnothingherein,expressorimplied,isintendedtoorshallconferupon anyotherpersonorentityanylegalorequitableright,benefit,orremedyofanynature whatsoeverunderorbyreasonoftheseTerms.

28.GoverningLaw.

AllmattersarisingoutoforrelatingtothisAgreementisgovernedbyandconstruedin accordancewiththeinternallawsoftheStateofSouthCarolinawithoutgivingeffecttoany choiceorconflictoflawprovisionorrule(whetheroftheStateofSouthCarolinaoranyother jurisdiction)thatwouldcausetheapplicationofthelawsofanyjurisdictionotherthanthoseof theStateofSouthCarolina. ©2023LuontoFurnitureInc.

29.SubmissiontoJurisdiction.

Anylegalsuit,actionorproceedingarisingoutoforrelatingtothisAgreementshallbe institutedinthefederalcourtsoftheUnitedStatesofAmericaorthecourtsoftheStateof SouthCarolinaineachcaselocatedintheCityofHanahanandCountyofBerkeley,andeach partyirrevocablysubmitstotheexclusivejurisdictionofsuchcourtsinanysuchsuit,actionor proceeding.

30.Notices.

Allnotices,request,consents,claims,demands,waiversandothercommunicationshereunder (each,a“Notice”)shallbeinwritingandaddressedtothepartiesattheaddressessetforthon thefaceoftheOrderConfirmationortosuchotheraddressthatmaybedesignatedbythe receivingpartyinwriting.AllNoticesshallbedeliveredbypersonaldelivery,nationally recognizedovernightcourier(withallfeesprepaid),facsimile(withconfirmationof transmission)orcertifiedorregisteredmail(ineachcase,returnreceiptrequested,postage prepaid).ExceptasotherwiseprovidedinthisAgreement,aNoticeiseffectiveonly(a)upon receiptofthereceivingparty,and(b)ifthepartygivingtheNoticehascompliedwiththe requirementsofthisSection.

31.Severability.

IfanytermorprovisionofthisAgreementisinvalid,illegal,orunenforceableinanyjurisdiction, suchinvalidity,illegality,orunenforceabilityshallnotaffectanyothertermorprovisionofthis Agreementorinvalidateorrenderunenforceablesuchtermorprovisioninanyother jurisdiction.

32.Survival.

ProvisionsoftheseTermswhichbytheirnatureshouldapplybeyondtheirtermswillremainin forceafteranyterminationorexpirationofthisAgreementincluding,butnotlimitedto,the followingprovisions:CompliancewithLaws,ConfidentialInformationGoverningLaw, SubmissiontoJurisdiction,andSurvival.

ReadtheseinstructionscarefullywhenrequestingaspecificcarrierforshippingtoDistribution CentersorStores.

●WedonotsubmitmultipleBillsofLadingonthesameday.ThereforeseveralSales OrdersmaybecombinedonaBillofLadingwhenshippedonthesamedaytothe sameaddress.

●Foridentificationandplanning,ourSalesOrder(s)willbelistedontheBillofLadingfor anyoutboundshipmentsuchassmallpackage,LTLortruckload.

●AlloutboundshipmentsfromLuontorequireaconfirmedpurchaseorder.

●AllSalesOrderscanshippartiallyunlessinstructednottodosoinwritingfromthe customers’purchasingdepartmentorrelatedbuyer.

●Smallpackage,LTLortruckloadshipmentsdonotincludeaddedInsuranceCoverage.

●ForshipmentstoCanadaorMexicopleasereviewyourSalesOrderorcontact CustomerServiceforspecialinstructions.

●Allshipmentsrequireinspectionupondelivery.Anydeviationistobementionedinthe BillofLading.

●AirFreightshipmentsarenotallowedunlessyouhaveobtainedawrittenquotefromour CustomerServiceandthequoteismutuallyagreedupon.
