It’s Time To Up Our Game On Collaboration

Dear Friends and LES members, t is with great sadness and respect that the LES family mourns the passing of our great friend and leader, Peter Hess of LES Germany and LESI’s immediate Past-President. Peter passed away on April 30, 2018, the first day of the LES International Conference in San Diego. On a personal note, Peter was a great friend, he and Elisabeth touched our lives, Nadine and I, as it only happens in LES. In the span of a meeting and then two, and three… we became much more than business colleagues who enjoyed each other’s company, we truly became friends. That was in great part due to Peter’s charisma, inclusiveness and enjoyment of life! It was also due to the LES family that Peter so adored. As the current President of LESI, at the moment of his passing, he was unable to preside over “his” conference because of his grave illness. All the participants of the IMDM received a heartfelt message from Prof. Dr. Tilman Müller-Stoy on Saturday, April 28, 2018 about his inability to attend the meeting. It is a tragedy that Peter died while the LES International Conference was being held. Peter was a global leader in the fields of IP commercialization, technology transfer, and licensing. He was active in LES in many capacities, including as the President of LES Germany from 2014-2015, the LES International Board Treasurer, and as President of LESI from 2017-2018. He chaired one of our most successful LESI Annual Meetings held in Munich in 2005. During his term as LESI President, he chose the theme of “Strong IP Drives the Bottom Line” and championed this idea. His Presidential term was very successful with the advancement of several initiatives including a redesign of the les Nouvelles cover and developing joint initiatives between LESI and several prestigious IP organizations, such as the European Patent Office (EPO). Thank you also to the Board and Advisory Board of LES Germany (LES-DE) for their heart felt words of wisdom as expressed by President, Christian W. Appelt:

Creating An IP Culture Open For Business By François Painchaud, President, LES International

I

n the past years, we have brought back to the forefront many elements of importance that, all put together, shape the great LES attributes: Being visible to the outside world, business and NGO’s alike (Jim Malackowski); Improving the value proposition on education, outreach and mentoring (Kevin Nachtrab); Become stronger together in “Joining Hands” (Yvonne Chua); Maintaining an international approach (Arnaud Michel); Reviewing and understanding our core value proposition (Jim Sobieraj); the four C’s of Patricia Bunye (Consolidation, Competition, Community and Connections); and Centering our focus on business and developing partnerships (Peter Hess). Today, it is obvious that in our companies, organizations, professional societies and even within the LES family, we are facing all kinds of pressures, including renewal (reshaping) of membership and changes in the business models. Even if not new, it is more and more persistent and seems more and more intense year after year. Global realities are reshaped, regionally and locally. That’s why we need to gather our strengths to anticipate the next revolutions and their challenges. To continue to do what we do best, but we need to do it even better: we need to incorporate the tools of today’s reality to assist us in maintaining, if not increasing our understanding of each other, foster even more openness to each others’ reality as LES Societies and individually as members. It’s time for us, at LESI, to “Up our game!” To reach our goal, three core projects have been teed up for this coming year: 1. Feature articles of our National and Regional Society in LES Global News and in all local (or regional) National Society Newsletters with a summary for les Nouvelles next Spring; 2. The Long-Range Planning Committee will be tasked to give us an outlook into the future. What will LES look like in five to ten years? During their work, they will reach out to LESI Committees and National/Regional Societies. They will assess the reality of the new platforms and what is needed to make it easier to embrace those changes; President, continued on Page 2

Go on adapting the functions of the committee structures, on the model of the LESI IT Committee (which was also incorporated more recently into the Life Science Committee and the Patent Licensing Committee). This work will enable to foster the development of global issues, to disseminate the information and content to the National Societies through their liaisons and to be the link to help National Committees find each other and share experiences. Starting with the example of LES (U.S.A.and Canada)’s Life Sciences Royalty Rate Surveys (RRS Team) and its current iteration, LESI’s work is to facilitate the efforts of the RRS Team to connect all the Societies to help the RRS Team achieve their goal. It is providing a platform to facilitate the various contacts. We will carry on promoting the LESI family, the wide diversity of the LES National/Regional Societies and the strength of the whole. LESI is the glue that binds us all, a facilitator of process and progress for the National/Regional Societies and in turn for the individual members. LESI needs to be at the center of global initiatives to open up the dialogue, to be proactive, to serve its members and the LES family. “With Peter’s death, LES-DE, has not only lost one of its most productive and active members, but particularly a friend whose popularity has been deeply embedded in the hearts of many members of the LES family in Germany as well as in other professional organizations. LES-DE received many condolences after Peter’s death became publicly known, specifically from LES societies where he has been active in founding and further developing, namely LES Thailand and LES Turkey. A specific focus of Peter’s activities has been the further development of the relations of LESI to the European Patent Office. It is, simply, a tragedy that Peter had to leave the LES family and all of us at such a young age. We all, not only in LES-DE, but beyond, will keep his memory in our hearts.” Peter’s main professional activity was to practice IP law as managing partner from the Munich office of the European law firm of Bardehle Pagenberg. At the firm, he handled, besides licensing and technology transfer, a variety of complex often times multijurisdictional patent prosecution and litigation cases at all instances before the German infringement and validity courts as well as the European Patent Office (EPO) and the German Patent and Trademark Office (GPTO). To sum it up, Peter was a beloved member of the LES family, a charismatic leader and friend. He will be deeply missed by all of us. Peter was 55 when he lost his fight to cancer and, as for many who had a rather “shortened” life, he will be remembered by his enthusiasm, his relentless focus on achieving more, and his deep love for Elisabeth and life! Cheers my friend, continue to guide us as you have so well done in the past. War Stories—Lessons Learned In Licensing Many thanks to Bob Bramson for his suggestion and contribution to a new column in the LES Global News, War Stories—Lessons Learned in Licensing. We would like to have contributions from anyone who has a war story based on their experience in the licensing field. Please send your story to the Editor at editor@lesi.org. We have no rules as yet but try to keep it in the range of 300—400 words. Below is the first article from Bob Bramson. We hope many others will contribute their experience to this column.

Reciprocity By Bob Bramson

M

y client (I’ll call him Casper) was a very successful lumber entrepreneur from rural West Virginia. Casper spoke with a down-to-earth, homey accent that belied a very sharp mind and great financial success. I was advising Casper on an investment and licensing transaction. Casper was lending a large sum to the inventor of a unique, patented kiln-drying process for lumber. The funds were needed to build a large, commercial kiln-drying facility. In exchange, Casper was getting potential repayment of the loan, interest, a royalty and an exclusive license to the technology for West Virginia. Negotiations with the inventor’s New York counsel had been unnecessarily lengthy (and expensive for the client) and the documentation was a foot high (literally), notwithstanding my attempts to control the paperwork. The patent owner was represented by a tax lawyer (I’ll call him Wilbur) who knew even less about patents and licensing than I did about the Tax Code, but was a very aggressive and forceful person.

The deal was close to done and we were in New York, negotiating a few last sticky terms. One of the terms was a warranty which was eminently reasonable under the circumstances from the standpoint of Casper, the investor, but Wilbur was giving me a very hard time, trying to keep it out of the agreement. After lots of back and forth, Wilbur said he would give in if my client gave the licensor a reciprocal warranty that was not reasonable under the circumstances. We went back and forth on that and discussions were not progressing when, in exasperation, Casper (who was usually very quiet) blurted out: “Shut up, Wilbur. [Expletive!!] Yo are like a little child. Eff’n I gots a green lollipop, yo wants a green lollipop.” Wilbur folded and we finished the deal—our way. I call that problem the “green lollipop” in negotiations. Lesson learned: When I get stuck with my adversary seeking reciprocity that doesn’t make sense, I recount the Casper/ Wilbur story to him and that’s that. It has always worked. ■

Pat O’Reilley Receives LESI Gold Award—

W

e are all aware of the many contributions Pat has made to the Licensing Executives Society International and before that to LES (U.S.A. and Canada). He held many positions Pat and Kitty O’Reilley and performed them well, culminating in his service as President of LESI in 2010. However, what sets Pat apart and makes him uniquely qualified for this award, the highest level of recognition we can give, is his long service to the law and business of licensing. Besides a busy practice at Finnegan from which he recently retired, Pat spent many days and nights teaching, lecturing and writing about the law and business of licensing starting when he was tapped by Marc Finnegan as his right hand man on licensing matters. Among other writings, he is a co-author of the book “Drafting Patent License Agreements” which is a top treatise on license agreements. Pat has also had articles on licensing printed in les Nouvelles, Electronic IP Rights magazine, China IP Rights magazine and others. Pat was always in demand for WIPO when they taught patent licensing and he spoke under their auspices in seminars in, among other places, Beijing, Belgrade, Manila, Seoul, Kuala Lumpur, Saigon, Bangkok and Rio de Janiero. He has spoken at LES meetings around the world, as well as to organizations such as the Association of Corporate Patent Counsel, the University of Chicago, Johns Hopkins University, JIII, the George Washington University and George Mason Law Schools. He has been a faculty member for the Patent Resources Group course on drafting patent licenses for almost 30 years. His list of writings and speeches, if he had one, would be very extensive. Pat’s dedication to not only raising the level of competency in patent licensing touches not only himself but many others around the world. For these and other similar reasons, we are pleased to present D. Patrick O’Reilley our highest award, the LESI Gold Medal. ■

LESI Committee News Blockchain & Cryptocurrency

J

ames E. Malackowski, LESI Past President, is returning to an active role as Chair of the Blockchain and Cryptocurrency Subcommittee of the LESI High Technology Industry Committee. The Subcommittee presented a workshop to a packed room at the recent LESI Annual Meeting in San Diego. The topics addressed mirrored those of the Subcommittee mission generally: • Discussion of the patent landscape surrounding blockchain and cryptocurrency technologies • Presentation of emerging business models seeking to use blockchain and cryptocurrency to advance the business of intellectual property as an asset • Industry networking among these emerging businesses and IP service providers. Executives from KodakCoin and the Intellectual Property Coin Group presented. The Subcommittee is actively seeking interested members who should contact jmalackowski@oceantomo.com. The Subcommittee is planning a special edition in les Nouvelles and is working to prepare a training course that can be used by all interested LES Member Societies. ■ 6

LES Benelux

You Are Invited To The LES Benelux 18th Licensing Course 12-13 November, 2018 • NH Den Haag Hotel • The Hague, Netherlands

T

he 18th LES Benelux Licensing Course will be held on 12 and 13 November in The Hague, The Netherlands. Participants will follow the path of drafting an agreement from start to finish. The course includes presentations relating to key aspects of Licensing Practice such as IP Basics, Due Diligence, Valuation and Competition Law, as well as participative workshops on negotiation, IP strategy and agreement drafting. On the afternoon of the first day a lively module will provide practical insights into negotiating a license agreement. It comprises an in-depth workshop during which delegates will have the opportunity to experience and resolve a realistic IP situation. Delegates will be split into groups to facilitate interaction as actors of the negotiation. The second day provides a more detailed basic insight into the construction of a license

agreement. It comprises a workshop exploring the anatomy of a license agreement, section by section, and providing practical advice on how to draft a successful agreement. The course will be held at the NH Den Haag Hotel on the top few floors of The Hague’s World Trade Center building. It has fantastic views across the city and puts you in easy reach of both the government and business districts. The historic city center is just five minutes away by public transport. Annual Spring Meeting Held In Frankfurt, Germany

LES Germany hosted its Annual Spring Meeting on April 20, 2018 in Frankfurt, Germany, as a joint event together with VPP, Association of Intellectual Property Experts, Germany. Just like in previous years the conference started with an evening dinner for participants and speakers. The well attended event offered valuable insights in “IT Security, Data Protection and IP.” In-house experts Denis Beab, Deutsche Telekom AG; Tina Chappell, Intel,; Jürgen Hahnrath, Cisco; Eva Gardyan-Eisenlohr, Bayer AG; as well as private practitioners, Peter Bittner, PATIT and Kai-Uwe Plath, KPNZ Rechtsanwälte shared their insights with more than 90 participants. Moderated by Christian W. Appelt, President of LES Germany, and Udo Meyer, President of VPP Germany, as well as Ursula Koeniger, immediate Past-President of LES Germany, the event triggered lively discussions about the new challenges ahead. The Spring Meeting was accompanied by a LES Young Member workshop regarding “Pittfalls of Standard Provisions in IP contracts.” June 2018

LESANZ 2018 National Conference Recap—

Licensing Drives Partnerships

C

ommercialising new products and services inevitably requires partnering. In late March, LESANZ (the Australian and New Zealand chapter of LES) held its annual Conference in Adelaide to discuss partnering and hear how a range of companies and organisations have been tackling different challenges and exploiting the opportunities partnering provides. The Conference kicked off with a fantastic keynote talk from the General Manager of Cook Medical, Mr Samih Nabulsi, who spoke about the company’s long history of partnering, and their current activities in finding small medical device companies with innovative ideas and what they are doing to help bring them to market. This was followed by a fascinating story about the longterm partnership between CSIRO (the Australian government’s primary R&D agency) and commercial partner Nufarm to develop a new breed of Canola engineered to generate significant levels of Omega3. After nine years of development the Canola has been approved for public release and is ready to go to market. The Conference moved on to explore the importance to start-ups of finding the right partner to take them forward, how to identify partners and the various ways to build innovation ecosystems. Day two of the Conference included an international focus exploring the issues for Australian and New Zealand companies engaging with foreign partners in the U.S., Europe and Asian markets. The University of Adelaide then discussed how they were working closely with commercial partner Trajan Scientific to try and speed up the translation of university research to commercial products. More broadly, attendees were provided opportunities to hear speakers

from the university, defence, biotech and resource sectors talk about a range of approaches to partnering, as well as numerous success stories in these diverse sectors. Of course, an important part of any LES Conference is the networking and social functions, and this National Confer- Albert Ferraloro, LESANZ ence was no different. The President opening the conference in Adelaide. Conference dinner at the National Wine Centre of Australia gave everyone a fantastic chance to taste a range of wines dispensed using the innovative Enomatic wine dispensing system. This wine theme was followed by a fascinating talk from Louisa Rose, the chief winemaker for the world renowned Yalumba wineries company. The Conference provided the licensing and commercialisation communities a fantastic opportunity to reconnect and focus on the importance of licensing in driving and supporting innovation. LESANZ would again like to thank all the 2018 Conference sponsors, the University of Adelaide, Dennemeyer, Clarivate Analytics, Finnegans, IP Australia, FB Rice and Madderns, and now turns its attention to its 2019 National Conference in Brisbane. ■

World IP Day 2018 In Budapest

T

he Hungarian Group of the Licensing Executives Society in cooperation with the Hungarian Group of AIPPI, the Hungarian IP and Copyright Association, the Hungarian Trademark Association, the Hungarian Intellectual Property Office, Danubia Patent and Law Attorneys and Knight Bird & Bird celebrated the World IP Day on the 25th of April, 2018. The event’s venue was the stylish conference room in the Bank Centre at Szabadság square, Budapest. Istvan Molnar, the President of LES Hungary, in his opening speech proudly announced that the number of registered participants exceeded 110, and after closing the registration, still new applicants had to be entered. Istvan Molnar forwarded the message of the WIPO campaign of this year’s World IP Day about the role of women in today’s innovation, and encouraged the participants to contribute to the international discussion in the topic. Four experienced speakers gave very exciting presentations in the event. Dr. Marcell Kereszty (President, AIPPI Hungary) spoke about the confusing similarity of trademarks; Dr. Katalin Horváth (partner, Sár and Partners) about GDPR; Dr. Endre Varga (CEO, Dicomlab) shared a start-up success story with the audience; and after the last presentation of Peter Maroti (CEO, Innovation Agency, South Hungary) about the university-industry liaisons, buffet lunch and networking closed the day. LES Hungary received much positive feedback. At the event two participants announced their application as members to LES Hungary. ■

A Message From The New President Of LES Japan By Makoto Ogino

I

t is my great honor and pleasure to be the 24th president of LES Japan, an influential IP organization in Japan having nearly a half-century of history. I find it particularly exciting to be appointed as the president for this term for two reasons: First, LES Japan is going to host the 2019 LES International Annual Conference in Yokohama in May 2019. I am of the opinion that the real value of being a LES member is being connected to the global network of LES families. We can, of course, mutually benefit from the network of our own local Society members, and we can learn a lot from the annual conferences of the local Society. However, the benefits we can receive from the global network of LES families, and the knowledge and the lessons we learn from the LES International Annual Conferences, are much larger. Despite all the values of the LES International Annual Conferences, it is not practically possible for many of the LES Japan members to attend the international conferences often, as it costs much time and money to them. In 2019, however, the conference is coming to Japan! We will do our best not only for preparing for and making it successful as the host society, but also for making it a good opportunity for as many LES Japan members as possible to reach out the global network of LES families. Secondly, I now feel that we are really entering into the age of the IoT or the Fourth Industrial Revolution, so called. People have been talking a lot about the IoT for some time, but frankly it always sounded to me like just another buzzword until recently. However, I now feel that it is really coming. Many car manufacturers have started running commercials on TV everyday about their brand new cars equipped with the cutting-edge intelligent driver-assistance systems, which surely will lead to a self-driv-

ing car at some point not far in the future. The smart speakers of Amazon, Google and Line are already on the market also in Japan. I think it is really exciting to be the LES Japan president at the dawn of the new age, as the age of the IoT, in which everything is connected, and is precisely the age of licensing. Connecting, or Joining Hands, as Yvonne Chua advocated, is the basic spirit of LES. In the age of IoT, it will be more important than ever to develop the IP strategy for connecting—the strategy of when, where, how and with whom we share our IP rights—which were originally designed to exclude others, to be connected. The technological differentiation and the cost competitiveness have been the sources of the competitive edge until today. They will remain important in the IoT age, too. However, we cannot win the business competition in the IoT age just by having these capabilities. It will be more important for us to establish with our business partners mutually beneficial business ecosystems covering our products or services, and hopefully to become the platform leader of the business ecosystems. Making better products or services than others is no more sufficient to be successful in the business. We need to think about how we connect to others, and this requires companies to totally change their IP exploitation strategies. It is really the start of the golden age of licensing. At dawn, it is still dark and the light is limited, however. We do not have enough light to foresee the entire world that is about to come. We need to open up the great intellectual frontier by ourselves to find our ways in the future. Let me conclude my message with our cordial invitation to the LES International Annual Conference in Yokohama, Japan on May 26-28, 2019.
