An Indian summer is regarded as a period of autumnal weather that is hotter than the usual temperatures expected for that time of year. The phrase is believed to have originated from North American Indians. Those living on the Eastern seaboard used to depend on extended periods of fine quite sunny weather in the autumnal months when the heat was not so debilitating and before the onset of harsh winters. This time was spent diligently completing the harvest and making the most of the benign conditions to complete projects and prepare for the winter.

So, what has this got to do with the property market I hear you ask? Well we believe that this period of better weather so far this autumn will kick-start a serious increase in viewings that were woefully lacking throughout our traditional summer.

Viewings have already picked up after the school holidays and good weather always brings with it a sense of optimism. The feel

Partnership Agreements When you think of the popular 1980s band The Smiths, a number of things may spring to mind. Perhaps it’s the famous picture of the band outside the Salford Lads Club or the image of Morrissey swinging a bouquet of gladioli in a half-buttoned shirt.

What you are unlikely to be thinking of, however, is a highly successful and profitable business partnership. Yet this is exactly what The Smiths became. So successful and profitable in fact that, in the mid-nineties, the band members became embroiled in a heated and expensive legal battle over royalties that went as far as the second highest court in England and Wales - the Court of Appeal.

The claimants in the case were the drummer and bassist of the band, Mike Joyce and Andy Rourke, with the defendants being the remaining and most famous members, Johnny Marr and Morrissey. Joyce's and Rourke's claim was simple. They believed they were entitled to an equal proportion of the royalties of the band with Morrissey and Marr. Leading up to the case, Morrissey and Marr each took 40% of The Smiths' royalties, allowing 10% each to Joyce and Rourke. Joyce's barrister argued in court that the bassist and drummer were unfairly treated as "mere session musicians, as readily replaceable as the parts in a lawnmower".

The whole legal battle would have been avoided if the four members had done one simple thing at the start of their career as a band - entered into a simple written agreement as to how

they would share the profits of their work. Morrissey and Marr accepted that Joyce and Rourke were their business partners in The Smiths. However, in the absence of a written agreement, the partnership was left to be governed by a piece of legislation that is now over 120 years old - the Partnership Act 1890. The Act is simple in its treatment of how profits are to be shared between partners - in the absence of a clear agreement to the contrary, all partners of a business are entitled to an equal share of that business’s profits. At the end of the case therefore it was decided that, as there was no clear agreement governing the partnership, each band member was entitled to an equal split of the band’s earnings. Rourke, who was in debt, had in fact settled with Morrissey and Marr for a lump sum before trial and so Joyce was the sole beneficiary from the judgement.

This case highlights the importance of entering into a written agreement with your business partners at the outset of your venture. One of the main reasons which attract people to a partnership business structure rather than, say, a company structure is the lack of formalities involved. There is no need for incorporation at Companies House, nor is there a need to keep strict records of membership and file annual accounts. A group of people are in business as a partnership simply by doing something in common to make a profit. With this informality, however, there are perils, as The Smiths’ case illustrated all too well.

There are a number of questions that should be addressed at the start of any business venture. What are the roles of each of the

partners? How much time should each be devoting to the project? How much money should each person be contributing at the outset? What is to happen if a partner wishes to retire? And, of course, how are the profits to be split between the partners?

A well thought-out and well drafted partnership agreement at the beginning of a business venture will not only serve to answer these questions. It will focus the minds of each person involved, clarify what each individual’s role is within the partnership, give the business a clear structure and objective and significantly reduce the chance of a later dispute between partners that can prove so costly, both financially and to friendships. It has been suggested by many that, had it not been for the trial over royalties, The Smiths would by now have reformed!

At Coopersale Hall School in Epping, a new parent reception area was installed in the main building over the summer break. Last academic year saw the completion of a new classroom block that was opened by Mr and Mrs Rod Stewart. The children have been very happy in their new surroundings since occupying the new facilities, which will be available to view at the Opening Morning on Friday 5 October. The School was delighted to welcome Mr Brad Friedel, ex-Olympian and premiership Goalkeeper, to give out the prizes and speak at the annual Prize Giving at the end of the Summer Term.

Normanhurst School in North Chingford also had a high-profile politician as guest of honour at their Prize Day as the Rt Hon Iain Duncan Smith MP continued his long-standing association with the School by presenting over 100 cups, shields and prizes to the pupils in recognition of their many achievements.

Well it is for me, Melanie Clear, founder of clear. (formerly cleardesigns). Those who study architecture need such passion to help them through the tough, very long days of study. 7 years, equivalent to a lawyer or doctor for those of you who don’t know.

Studying for 7 years and finally being able to call yourself an ‘architect’ is no mean feat and when you can call yourself an architect it’s a privilege. Having forged my career in commercial and designled practices in Central London, in 2005 I set up clear. based in Loughton.

The driving force behind this move was that I felt that there were no other practices that appeared to encompass my passion and thought for the ‘design’ combination of architecture and interiors. My philosophy is that architects are designers, so who better to carry out the interior of a building as well as the exterior?

A different approach

Many architects tend to be ‘traditional’ in their approach of simply providing a set of drawings for the builder to work from.

Yet the great architects of the past, Sir Christopher Wren and Antonio Gaudi, were masters of design. They lived and breathed a building.

so that clients can converse with them and, most importantly, be able to guide clients in creating a building that is the best it can be. That’s not just pure design, it’s design within a budget or design that will comply with the vast plethora of planning and building regulations alike.

Every detail, every material and every thought carefully considered, creating beautiful buildings that have stood the test of time and become iconic. To me an architect should experience the building on behalf of their client, be personable
