WHAT’S NEW IN THE CITY? 1. AVALON SPORT CLUB FIZIKA The entertainment Complex “Avalon” is opening a new fitness area FIZIKA, located right in the Kiev city center. The project is devoted to personal training. 2. AN ANGEL APPEARS Along with our many tourists, another visitor from a distant land has come to Kiev: an angel. A sculpture of a Hospitality Angel was installed last December near the Kiev city state administration building in Kreschatik, symbolizing our nation’s outstanding hospitality. The sculpture will later be moved to Boryspil Airport to welcome Kiev’s guests. The Hospitality Angel is the sixth angel created for the "Angels of nations, in faith to Ukraine!" project, organized by the Fund of Ignas Yurkonis, various embassies and the support of Kiev’s city state administration. The final plan calls for 20 angels, each 1.3 meters in height, to be placed in Kiev’s major tourist spots. The Angel of Enlightenment already brightens the Bulgarian Embassy on St. Michael's Square; the Angel of Destiny from the Embassy of Latvia is positioned in the Postal Square; the Angel of the Brotherhood of Lithuania adorns St. Andrew's Descent; Angel Vera, the Moldova messenger, decorates Kontraktova Square; and Angel Innovation from Israel will travel to the territory Expocenter of Ukraine. Near each sculpture you can see a sign with a message to Ukraine from each brotherhood country.

3. TAPHOUSE BY COLLIDER – NEW MULTI-TAP CRAFT BEER PUB NOW IN YAROSLAVIV VAL (close to the Golden Gates)

The installed angels create a new tourist route, “The Way of the Angels.” By scanning a special code near each sculpture, you can learn its legend, why the angel appeared in this place, what attractions are located nearby and what the sculpture symbolizes.

The first Ukrainian Craft Brewery – producing beer since 2012 and known for its variety of unusual flavors – invites to you its new pub, Taphouse By Collider, in Yaroslaviv Val. The pub was founded by two local beer enthusiasts and professional beer tasters, whose main idea is to present to the public alternative and unusual kinds of beer. In addition, you can try a variety of traditional bar snacks and sandwiches. I am a woman. What is your superpower? “Shut up, woman. Your day is the 8th of March!” said each man in the world. On the 8th of March, the better half of humankind finally has the right to open its mouth and prove its case all day long. We joke, of course! If you are a man, International Women’s Day is a great occasion to remind your woman of her originality and necessity in your life and make her feel truly special. Initially this holiday had a political context to symbolize the international fight for women’s rights, full equality with men, democracy and peace. As the time passed, the political motives of the holiday moved to the background, and the 8th of March became a women's holiday in Ukraine and other republics of the former USSR. Different countries have different ways of celebrating. Bulgarians, for example, have an interestingly ambiguous attitude to it. Some women even forget about their day or consciously refuse celebration. Others see it as a wonderful opportunity to congratulate themselves, their mothers or their sisters. In Italy, women with close relationships gather and have a great time. The 8th of March in China is a very quiet day. It is not appropriate to give such a traditional gift as a bouquet of flowers. Only a fussy foreigner will be looking for roses, tulips or narcissuses in the streets. Ukrainians always enjoy holidays, celebrations and noisy festivities. International Women’s Day is no exception. One might compare the 8th of March in Ukraine with Mother’s Day in the West, although the Ukrainian holiday is celebrated by all women, including mothers, grandmothers, daughters and girlfriends. Ukrainian men can’t miss the opportunity to express love, gratitude, respect and honor to their dear women. There are no strict traditions of celebrating this comparatively new holiday. Everything depends on the men’s creativity and desire to astonish. It is an official day off in Ukraine, so men can start surprising their loved ones early in the morning: preparing breakfast, coffee in bed, flowers throughout

the house etc. This beautiful spring holiday is usually celebrated in the family circle with a festive meal and champagne. Another popular choice to celebrate the 8th of March is to visit friends and have a noisy party together. Not only men, but children also congratulate their mothers, mothers congratulate their daughters etc. Special holidays are organized in the kindergartens and at schools where children prepare concerts and present hand-made postcards to their mothers. Some Ukrainian men like to undertake all household duties this day—starting with washing dishes and ending with cooking dinner and looking after the children, so that women can enjoy a full day of rest and focus on themselves. Every woman expects to receive gifts on this day, and she will be really offended if you don’t think of anything interesting and unique for her. Almost every man puzzles his brain over gifts to present the woman, and it is always difficult to guess what she would like to get and what would make her happy. Here are some traditional gifts that a Ukrainian woman will be satisfied with for sure: 1) Flowers are obligatory, whether a bouquet of fresh flowers or flowers in a pot. Choose spring flowers, such as tulips, orchids or snowdrops. They will remind you that a blooming season has come, and your woman will blossom along with them. 2) Don’t give your woman any kitchen tools or appliances if she didn’t ask you for them. MARCH 2017 Andriy Shevchenko is an outstanding football manager and retired Ukrainian footballer who played for Dynamo Kyiv, Milan, Chelsea and the Ukraine’s National Football Team as a striker. Shevchenko is ranked as the fifth top goalscorer in all European competitions with 67 goals. Furthermore, he is the all-time top scorer for the Ukraine’s National Football Team with 48 goals. Shevchenko’s career has been highlighted by numerous awards, the most prestigious of which was the Ballon d’Or in 2004. He won the UEFA Champions League in 2003 with Milan, and he has also won various league and cup titles in Ukraine, Italy and England. Starting from the 15th of July 2016 Andriy Shevchenko is occupying position of a chief coach of the Ukraine’s National Football Team. We decided to ask Andriy Mykolayovych about the Ukrainian team preparations for 2018 FIFA World Cup, development of sports and tourism in Ukraine. 1. Andriy Mykolayovych, how are the preparations for 2018 FIFA World Cup qualification (UEFA) coming along for Ukraine’s National Football Team? In general, winter is a difficult period for football. There was a break in our calendar for more than two months, and it is always hard for football players to return to a competitive rhythm and gain fitness again quickly. A city of chestnut trees and ancient churches, lush parks and modern conveniences, vibrant markets and rich cultural heritage, Kiev is one of Europe’s underappreciated tourist gems. KHRESHCHATYK STREET & MAIDAN Khreshchatyk Street is the heart of Kiev and a must-stop for all visitors to the city. The street is roughly 1.3 km. in length and stretches from the European Square through the Independence Square (Maidan) to Bessarabska Square, where the famous Besarabsky Market is located. Khreshchatyk was destroyed during World War II, so most of its buildings were rebuilt in the neoclassical style of postwar Stalinist architecture. During weekends and public holidays, Khreshchatyk is closed for road traffic and is a good place to walk and observe local buskers and jugglers which create a festive atmosphere. Every Sunday, you can try traditional Karaoke in the Maidan song contest, organized by a local TV show. ANDRIYIVSKY DESCENT Andriyivsky Descent is of one the most beautiful and ancient streets in the city, often called Kiev’s Montmartre. It is a favorite stop for Kiev tourists, and here you can buy handmade souvenirs in the great variety of shops or visit art galleries, cafés and Ukrainian restaurants. The most popular Kiev souvenirs include vyshyvanka (embroidered shirts), painted Easter eggs (pysanka), Ukrainian Matryoshka, handmade linen, jewelry, a big variety of ceramic items and paintings of local artists. The street lies on a steep hill, so wear comfortable shoes while going there. It’s about a 15-minute pleasant walk from Maidan Square. Andriyivsky Uzviz is often associated with world-famous writer Mikhail Bulgakov, author of The Master and Margarita and the White Guards, who lived in the descent in the building No.13. Literature-Memorial Museum to Mikhail Bulgakov, where you can experience a mixture of the real, biographical world in which the Bulgakov family lived as well as mystical, literary world of heroes of his novel White Guards. If you want to learn the history of this mystic street and ancient Kiev lifestyle, do not miss the One Street Museum located down the Andriyivsky hill, which has a unique collection of fascinating manuscripts, documents, antique books, photographs and postcards, and allows you to feel nostalgic atmosphere of ancient Kiev, as if traveling by time machine. On the top of Andriyivsky Descent, you will find Saint Andrew’s Church, erected in the eighteenth century in royal baroque style. The church was constructed by Italian architect Bartolomeo Rastrelli under the order of the Russian Empress Elizabeth, who decided to construct a summer residence in Kiev, consisting of a palace and a church. Legends say that the place where now the Dnipro River flows was a sea in ancient times, and when Saint Andrew came to the present Kiev territories and put a Cross on the mountain, just where Saint Andrew’s Church stands now, the sea waters went under the ground. After Saint Andrew’s Church was constructed, a deep well appeared under the altar. Therefore, Saint Andrew’s Church is the only church in Kiev which has no bells, as it is believed that the first bell stroke will make water wake up and cover Kiev in one second! Just after Saint Andrew’s Church, turn to the right and see the National Museum of the History of Ukraine, located just near the ruins of the Church of the Tithes (tenth century), in an area that has been declared a state reserve. The museum illustrates Ukrainian history since ancient times and contains a huge collection of ethnographic materials and archaeological items, including an outstanding collection of Scythian art, historical paintings and sculptures, and early printed books. Near the museum, you’ll find the socalled Landscape Alley. From there, you can enjoy a view of Podil and the Dnipro River and take pictures near picturesque mosaic pictures on the walls, fountains, unusual animalshaped benches and playgrounds. This is a great place to walk, take funny pictures and enjoy the view of the Lower Town.

THE SAINT SOPHIA’S CATHEDRAL The Saint Sophia’s Cathedral (eleventh century) is one of the most important Christian cathedrals in Eastern Europe and the oldest of the few surviving buildings of Kievan Rus, included on the World Heritage List of UNESCO. It has 13 cupolas and includes an ensemble of supporting structures such as a bell tower (open for visitors in warm times of the year) and the House of Metropolitan. Close to the Cathedral, on Sophiivska square, you will find the dramatic Hetman Bohdan Khmelnytsky Monument, dedicated to the Cossack leader who fought for the independence of Ukraine in the mid-17th century. After the political events of 2013– 2014, the cultural center of Kiev moved from Maidan to Sophiivska Square. Currently, it serves as a platform for almost all public festivals, shows and concerts of the city. The administration lights the main Christmas Tree of Ukraine in the square in December, and everyone can enjoy the Christmas fair, amusement park, competition games (quests) and artistic groups’ performances.

KIEV PECHERSK LAVRA Kiev Pechersk Lavra (eleventh century) is one of the first Orthodox Christian monasteries in Kievan Rus included in the list of the Seven Wonders of Ukraine and also on the World Heritage List of UNESCO. It contains the Great Lavra Bell Tower, an ensemble of ancient churches and a complex of caves, divided into Near and Far Caves, where 123 surviving burials of saints are located. Among others, there you will find burials of the epic hero Ilya Muromets and Nestor the Chronicler. This place is believed to have strong saintly energies, and Christians from all over the world come there to pray for forgiveness, ask for relief from diseases and pray to solve family problems. The Kiev Pechersk Lavra includes a Library of History and a large museum complex with outstanding exhibits. One of them is the incredible Mykola Syadristy Microminiatures Museum, where

A rose inside of a human hair, a camel placed in a needle eye and a pair of golden horseshoes put on a flea (the “shod flea”) are among the most famous exhibits. Also, don’t forget to visit the Museum of Historical Treasures of Ukraine with the unique Gold Pectoral that is believed to have graced the breast of a Scythian king.

THE GOLDEN GATE The Golden Gate (“Zoloti Vorota”) of Kiev was the main entrance to the eleventh century fortifications of the city. It was constructed by the order of Prince Yaroslav the Wise, whose monument is erected just nearby. In 1982, the Gate was completely reconstructed for the 1500th anniversary of Kiev. At present, there is a museum inside of the building, where you can see original parts of ancient Gate and learn the history of the fortifications of ancient Kiev. Also, you can go upstairs for an excellent view of Kiev’s city center. The Gate is surrounded by attractive Zolotovoritskyi Square, set up in the 19th century and now a popular walking area. One of the square’s main attractions is a statue of Prince Yaroslav the Wise,

who holds a miniature of the Saint Sophia’s Cathedral and looks in the direction where it is built.

KONTRAKTOVA SQUARE Kontraktova Square is located in the Lower Town (Podil District) and is one of the oldest squares in Kiev, known from the times of Kievan Rus. Ideally located on the banks of Dnipro River, it was and still remains an important economic, cultural, and transport center of the city. Since ancient times, it was a trading place where numerous contracts were concluded, which gave the name to the square: “Kontraktova.” The atmosphere here combines old, picturesque buildings with meaningful murals, churches, and tiny streets that make the square an interesting place to feel the spirit of ancient Kiev. The historical places of interest here include:  The main building of the National University of KyivMohyla Academy (KMA), one of the oldest and most authentic constructions in the Square, built in baroque style in the time of Hetman Ivan Mazepa (1632). Now it serves as the Library of the University and Doctoral School.

 The fountain/sculpture of Samson (the Bible character) who tears the lion’s jaw from which the water flows. The fountain is located in a beautiful pergola adorned with sundial clocks on the columns.  The bell tower of Saint Katerina Greek monastery, built in 1914 upon the design of V. Eisner in neoclassical and modern style as a part of the monastery complex.  The monument to Petro Sahaydachniy on horseback built amidst a park on the hill in 2001 and dedicated to the Hetman of the Ukrainian Zaporozhian Cossacks who transformed the Cossack Host from an erratic military formation into a regular army.  The House of Contracts is one of the important classical architectural constructions of the city, built in the years 1815–1817. Since the mid-1990s, it has served as the Ukrainian Interbank Currency Exchange, therefore, visitors may see the building only from the outside.

NATIONAL TARAS SHEVCHENKO UNIVERSITY The National Taras Shevchenko University is one of the oldest (1834) and often ranked as the best university in Ukraine. It is named after author and artist Taras

The university is surrounded by an ensemble of 19th- and 20thcentury buildings, such as the National Academy of Sciences of Ukraine, Teacher’s House, the Maksymovych Library in neoclassical style, and the National Library of Ukraine. The beautiful Taras Shevchenko Park is jokingly called the “green building” of the University, as students often prefer to walk here instead of attending lectures. The park is well maintained with fountains and creatively constructed benches and is one of the favorite places to walk for youth as well as celebrities and politicians.

NATIONAL OPERA HOUSE OF UKRAINE The National Opera House of Ukraine is one of the most notable ballets and opera scenes in Europe, founded in 1867. The present building was designed from a design by German– Russian architect Victor Schröter, who approached the project very carefully to make sure the building’s neo-Renaissance style harmoniously fits into the architectural and natural landscape. The opera house will amaze you with its elegance of interior, gravity

and luxury. Huge Venetian mirrors adorn the lobby, marble stairs are lit by porcelain lamps and bronze, gilding, and crystal are everywhere. The theater is not just beautiful, but also very conveniently located in the centre of the city, just a few minutes of walk from other places of interest such as Maidan, The Golden Gate and Taras Shevchenko University. Talented artists and the wonderful architecture attract the attention not only of residents but also Kiev visitors. Every day, you can see various ballet and opera shows there for an incredibly low price: generally, ticket costs around $10–15. Because of its popularity, it is advisable to book your tickets beforehand, especially that now you can book your tickets online!

Mariyinsky Park and Palace are located in the heart of the city on the bank of the Dnipro River. The Mariyinsky Palace was designed by Bartolomeo Rastrelli and built in 1755. It was named after Russian Emperor Alexander II’s wife Mariya, who especially loved the palace and actively participated in the reconstruction of the park in front of it. At present, Mariyinsky Palace has a political purpose as the official ceremonial residence of the President of Ukraine (since 2002, the Palace has been under reconstruction). Walking in Mariyinsky Park, you can see decorative trees (around 80 species, including rare ones), a fountain, a stage in the open air called “Rakushka” (from Ukrainian for “shell”), the Lover’s Bridge traditionally covered with many love locks, and the wonderful views of the Dnipro River. This memorial complex includes an open-air exhibition containing military planes, tanks and other military equipment. The Rodina Mat statue is 102 meters in length and is a visiting card to the city. At most of Kiev’s retail points, you can use credit cards to pay, but traveler’s checks are generally not accepted. You should always have some cash with you as well. Note that you can use only the local currency, hryvnia (UAH). As of this writing, 1 USD equals to roughly 27 UAH. You can easily exchange any major foreign currency for hryvnia at the airport, one of the local banks, or endless exchange kiosks located around the city. Because of non-

The easiest way to navigate the city is to use Uber or Uklon mobile applications (a local Uber-like service), as in this case you will not need to talk to taxi-service call center (as in traditional taxi companies) and avoid language barrier in this way. Both Uber and Uklon can be booked online, have good service and are very cost-effective. You can also easily get around the city using the metro, which is cheap and covers all of Kiev’s main destinations. A one-way ticket, regardless of your destination, costs only 4 UAH. Note that during morning and evening rush hours, the metro can be quite crowded. For safety, keep a good eye on your belongings in the metro and any other crowded places.

TIP 4: LOCAL SIM CARD If you are going to be in Ukraine for more than a day or two, we highly recommend that you get a local, prepaid SIM card. There are three major mobile operators in Ukraine — Kyivstar, Vodafone, and Lifecell — and you will be fine with any one of them. You

can get a monthly tariff plan that offers mobile communication and unlimited 3G Internet at just $4–6 per month. You can buy the prepaid SIM card at the airport or just about anywhere in the city center, including supermarkets, press kiosks, street stands and stores selling cell phones.

TIP 5: ACCOMMODATION

If you are traveling on business, you will feel quite at home staying at one of the many well-established international hotel chains such as Hilton, Radisson, InterContinental, Hyatt or Fairmont Grand in Kiev. However, their prices can be quite steep for a non-business traveler (in the $200-400 range per night). For individual travelers, staying in a local hotel or one of the serviced apartments can be an attractive option. Local hotels are usually cheaper, but their quality varies greatly. Do your homework before you book a local hotel! Alternatively, daily rent of a serviced apartment in the city center is very popular among foreign travelers. INCORPORATING A LIMITED LIABILITY COMPANY (LLC) IN UKRAINE

Ukrainian law allows various business structures, such as joint-stock companies, limited liability companies (LLC), private entrepreneurs, joint ventures, representative offices and others. Some of them are more suitable for larger businesses (such as a joint-stock company), whereas other types are more appropriate for an individual, small or mid-size businesses. Foreign citizens and legal entities may choose one of the above business structures, taking into consideration the ownership and management structure of the company as well as the type of business they are planning to conduct. Except for a very small one-person type business (such as freelancing) where a Private Entrepreneur structure may be more suitable, most small to mid-size businesses (local and foreign) prefer to incorporate as an LLC in Ukraine. An LLC offers liability protection to business owners (i.e., their personal assets are protected from business liabilities) and the flexibility to grow bigger as the business expands, yet at the same time faces less scrutiny and government compliance requirements than other more complex business structures. In Ukrainian, an LLC is called as “Товариство з обмеженою відповідальністю” or simply “ТOB”. This article is a foreigner’s guide to incorporating an LLC in Ukraine. The sections below provide detailed information on minimum statutory requirements, the documents that have to be filed for the registration of LLC, the step-by-step LLC registration process, and post-registration tasks and filing requirements.

KEY FACTS ABOUT LLCS 1. Shareholders. An LLC must have a minimum of 1 and a maximum of 100 shareholders. The shareholders can be individuals or corporate entities and either local or foreign individuals/ entities. 2. Directors. Directors can be one or more individuals (can be either local or foreign individuals, the latter have to obtain a work permit and temporary residence permit). Corporate directors are not permitted. Directors are appointed by shareholders via a general meeting of shareholders.

3. Company Secretary. Appointment of a Company Secretary is not required. 4. Registered Address. Each company must have a local registered address in Ukraine that acts as the office where the management of the company conducts its activities. 5. Share Capital. Share capital has to be formed, but there is no minimum share capital required, so the minimum amount is 1 UAH. Shares reflect the percentage held by each company’s owner in the total share capital as listed in the company’s charter. 6. Transfer of Shares. Shares can be freely transferred subject to the priority rights as described in the company charter. Any change in shareholders requires an amendment to the company charter. 7. Registration Cost and Timeline. Government registration of an LLC is free of charge, and the registration can be generally completed in 1 working day once the necessary documents are ready. 8. Governance. An LLC is governed by the following bodies:  General meeting of shareholders (“GMS”) – the main decision-making body, which has powers to resolve all issues  Board of Directors as elected by the GMS.  Audit Commission, which supervises the Board’s activity (in case you have at least 3 shareholders) 9. Employment Agreements. Can be either in written or verbal form. Employment of foreign citizens can be only in written form. The general rule is that employment of foreign citizens requires a work permit and a temporary residence permit (unless the foreign individual has obtained a permanent residence permit).

At the stage of company registration, you have to appoint a resident director until the foreign citizen obtains a work permit. All documents that you bring from overseas must be either legalized or apostatized unless prescribed otherwise by the international treaty between Ukraine and the document issuing country (for example, legalization and apostille are not needed for documents issued in the Republic of Poland, Czech Republic, Republic of Latvia and some others). The exception is a passport, which does not require legalization and apostille. Additionally note that if documents are compiled in other language than Ukrainian, a certified translation has to be provided.

INCORPORATION STEPS

Register confirming registration of the LLC. If required, you can also obtain a sealed and stamped paper copy of this document. The Companies Registrar upon registration of the LLC will notify Tax, Statistics and Pension Fund authorities of Ukraine. Once the company is registered, anyone can access current information on the LLC online. The company should make sure that all information in the Companies Register regarding the company structure is accurate and up-to-date at all times since third persons are legally entitled to refer to information in the Companies Register as true and valid.

Once you have successfully registered your LLC, you should complete certain post-registration tasks to ensure that you are ready to begin your business operations without hiccups. Typical post-registration tasks that you should look into include:

 Decision on company structure (share capital, shareholders, directors, etc.)  Preparation of company charter (also known as Memorandum & Articles of Association or Company Constitution in many other jurisdictions). Alternatively, you can decide to adopt the model charter, approved and maintained by the Cabinet of Ministers of Ukraine.  Hold a meeting of the founders of the LLC (where a decision on incorporation is made, the charter is approved, and director/s and representative, responsible for LLC registration, are appointed).  Completion of the application form on registration of LLC. Step 2 – Filing for Registration Once the pre-registration documents are ready, they must be filed with the Companies Registrar. Once filed, the Company Registrar will issue a receipt listing the filed documents along with an application filing number. Assuming everything is in order, the LLC will be registered in 1 working day.

Company Seal A seal is not obligatory, but in practice, most companies use one. A company may avoid using a seal only if such provision is included in the company’s statutory document. Registration with Tax Authorities The LLC is required to file an application with the relevant office of the state tax authorities corresponding to the registered address of the company. In the application, you must indicate a person who is responsible for accounting and tax reporting on behalf of the company. Such application must be filed within 10 calendar days upon registration of the company. Additionally, if the company is planning to register for VAT, it must file a VAT registration application (unless such application was already filed during company registration).

Shareholders must contribute their share of the share capital in full within 1 year of the LLC registration. Contributions can be made in cash or as an asset such as intellectual property. External appraisal of non-cash contributions (real estate, property rights, others) is not required by law, and contributions are appraised by shareholders’ mutual consent. Injection capital by foreign investors may be done to the account of Ukrainian company either directly from overseas or through the investment bank account of a foreign investor in Ukraine (a foreign legal entity or individual).
