Infrastructure Investment

A farm that looked after the small guy and ensured every breeder, no matter the level of investment, would be considered. Spendthift Australia have been doing just that, as we continue to grow our broodmare band, develop our stallion roster and invest in infrastructure. We invite you to come experience it all first hand. Our gates are always open, our stallions are available daily for inspection and we would be delighted to take you on a tour of the farm.

General Manager

WELCOME

When Mr B. Wayne Hughes purchased the historic Spendthrift Farm in Lexington, Kentucky, he had a vision of building a Breeders’ Farm.

DIRTY WORK: FAST, STRONG AND SEXY

As the progeny of champion sire Written Tycoon begin to stamp their mark on the Australian breeding industry, Spendthrift Australia has ensured Victoria will not miss out on the action, confirming Group 2 winner Dirty Work is set to become only the second son to stand in the state. It was his dominant win in the 2020 Schillaci Stakes at Caulfield that sealed the deal for the Victorian-based stud farm. “He’s a stallion now,” said co-trainer Wayne Hawkes. “He’s certainly got a home at stud now. He’s a belter of a horse.”

7

Spendthrift Australia 2021

Coming off two good runs in extremely strong sprints – a third place in the G3 Concorde Stakes behind Gytrash and Nature Strip and an unlucky fourth in the G2 The Shorts, a length and a half behind Classique Legend - Dirty Work was forced back and wide in the small field but came with a late sprint to overhaul the field.

“That’s the most important part of the equation. We brought him to Melbourne and got an elite sprint win on his resume.” Spendthrift Australia’s General Manager Garry Cuddy said. “Written Tycoon this season is a fireworks display. From

his own progeny flying on the track, to that of his son Capitalist, we are delighted to be adding arguably his best looking sire son to the Spendthrift Australia roster.” Bred by Victoria’s Rifa Mustang and going through the 2018 Inglis Australian Easter Yearling Sale ring as Lot 218, Spendthrift’s $800,000 winning bid for the gorgeous Dirty Work made him the second-highest price ever for a yearling son of Written Tycoon at the time. His dam, Maidel (Ad Valorem {USA}), was a dual winner for the Snowden racing team. She unfortunately passed away earlier this year leaving behind a foal sired by Written Tycoon’s emerging sire son Capitalist. Dirty Work’s family has also produced Australian stakes winners Meidung (Bernardini {USA}), Banish (Medaglia D’Oro {USA}), Pinwheel (Lonhro) and West Point (Danehill {USA}), as well as Hong Kong Champion Sprinter Charming City (Chief’s Crown {USA}). “We can’t go to the sale and buy ugly yearlings,” Cuddy said. “We have to show them off as stallion prospects at the end of the day. The first time we looked at him, he

stood out, and we kept on going back to look at him. “That opinion of his good looks isn’t held by us alone. Dirty Work has been pick of the yard for almost every single start in his career, so he certainly captured the eye of a number of astute judges.” Finishing third in his first ever trial behind Dubious and Yes Yes Yes, Dirty Work placed on debut and then, at just his third start, contested and finished third in the G3 Vain Stakes, won by multiple Group 1 winner Bivouac. Racing well in strong company, he found winning form at the end of his 3-year-old autumn campaign, with three straight victories, including the Listed Ortensia Stakes at Rosehill Gardens. Delivering a sizzling 1:01.74 sec, Dirty Work is still the current 1100m Kensington track record holder from his phenomeonal performance in November 2019. In the spring of 2020, he was beaten less than a length, finishing third in the fastest 1200m time (1:08.76) ever run on the Moonee Valley StrathAyr surface in the G1 Manikato Stakes.

“He’s a horse that has always been an amazing physical athlete and has always shown ability.” Cuddy said. “He just took a bit of time and the Written Tycoons can do that. But he’s sensationally fast and incredibly powerful, which is a super combination for a stallion.” A consistent performer renowned for running scintillating times in elite sprint races, it was the 2021 G1 Oakleigh Plate at Caulfield that proved the greatest source of frustration for Dirty Work supporters as he delivered yet another brilliant but desperately unlucky performance. He was set an impossible task with too much ground to make up, and despite running the fastest last 800m in 43.43 sec and 600m in 33.07 sec, the quickest 600m to 400m split in 10.91 sec and the second quickest 400m to 200m split in 10.82 sec, he finished half a length off the winner. Effective from 1000m to 1200m and always running against quality competition, the ability of Dirty Work to sit both on and off the speed made him one of the most versatile sprinters around. A stunning individual, a son of the super sire Written Tycoon and an elite performer, Dirty Work is ready to step into his next role on the Spendthrift Australia roster. Spendthrift Australia 2021

WRITTEN TYCOON: THE EMERGING SIRELINE While he has been Champion Victorian Sire for the last five seasons, Written Tycoon has reached new heights in the last year, delivering milestone results both on the track and in the sale ring. He has also quickly become the country’s most exciting emerging sire of sires, further amplifying the appeal of his brilliant sprinting son Dirty Work. The 2020/21 season to date has been nothing short of remarkable for Written Tycoon, with seventeen stakeswins from twelve different progeny, including four Group 1 successes. The Group 1 double of Ole Kirk and Odeum in the Caulfield and Thousand Guineas, plus Dirty Work’s impressive G2 Schillaci Stakes victory have helped boost Written Tycoon

13

Spendthrift Australia 2021

leading active Australian sire on the Australian General Sires’ Premiership.

ring with his second crop yearlings selling for up to $1.05 million.

This season has added another notch to the record of Written Tycoon, emerging as an important source of sireline prowess for further generations. Brilliant son Capitalist has delivered exceptional results with his first crop on the track and breeders are being appropriately rewarded in the sale

But despite all his recent successes, the sun has not always shone on Written Tycoon. Written Tycoon was a fast racehorse, winning at Group 2 level over 1200m like his son Dirty Work. However, as a

stallion, he had to work his way up to the heights of elite commercial appeal he currently holds.

and his fee for the 2021 season has justifiably risen to $99,000.

Written Tycoon is a stallion who for so long has been shining the spotlight on the Victorian breeding industry.

He started his stud career off with just a $8,250 service fee. That first crop produced 56 winners from 72 runners, with four individual stakes winners. He would be crowned Australia’s Champion First Season Sire 2010/11, Leading Sire of 2-year-olds in 2015/16 as well as Champion Victorian Sire for five consecutive seasons.

This season, in addition to Dirty Work, Written Tycoon also has exciting first crop son Ole Kirk available to breeders, with the quality dual Group 1-winner standing at Vinery Stud in the Hunter Valley for a fee of $55,000.

The impressive and consistent results keep coming and only look to continue to soar as his better-bred progeny step out. With exciting sire sons, including our very own Dirty Work, commencing stud careers of their own, the sireline continues its rapid rise to success.

Nine seasons later that fee reached $45,000, and has now peaked at $165,0000 for the current season. This rags to riches story has ensured many small breeders and yearling buyers who believed in the handsome sprinter have been well rewarded for their astute judgement.

Both first season sires were highly attractive yearlings, built in the powerful and balanced mould their sire is renowned for, reflected in sale prices of $675,000 for Ole Kirk and $800,000 for the impeccable physical Dirty Work.

Written Tycoon’s son Capitalist

In 2015, the year in which James Harron purchased Golden Slipper winner Capitalist from Magic Millions, Written Tycoon had a total of 37 yearlings sold at all Australasian sales for an average of $58,756. In 2021, he has an average sale price of $332,727 and a $1.2 million dollar yearling, purchased by Spendthrift. His offspring are very much sprinter miler types who are built for speed, which is highly attractive to the modern buyer. In 2020, Written Tycoon celebrated a rare milestone when he became the first stallion in 44 years to sire the winner of both the G1 Caulfield Guineas (Ole Kirk) and the G1 Thousand Guineas (Odeum). Ole Kirk became his first multiple Group 1-winning son, whilst mare Pippie also added a second Group 1 win to her resume. Written Tycoon is one of only a few stallions to have sired two colts to win the two richest Group 1 2-year-old features in Australia. Capitalist took out the 2016 Golden Slipper Stakes, while Written By claimed victory in the 2018 Blue Diamond Stakes. Redoute’s Choice and Danehill, breedshapers in the Australian industry, are the only other stallions in the past 25 years to achieve this feat. While the stud career of son Capitalist did not start from the same humble beginnings as Written Tycoon, his progeny are showing the same attributes of speed and power, immediately delivering results with his very first runners. His first crop has produced three individual stakeswinners headed by a Group 1 winner, he’s leading first season sire Spendthrift Australia 2021

BREED SECURE PROVIDING BREEDERS A LEG-UP

Having changed the breeding landscape in America, Spendthrift’s Australian arm has turned its attention to assisting Australian breeders by minimising the cash flow risks associated with producing quality stock. Recognising the financial strain and risk faced by breeders, founder B. Wayne Hughes has long believed that Spendthrift should bear their fair share of the responsibility with the mare owner should a particular mating to one of the stallions not produce a profitable foal.

Breed Secure is an innovative breeding program to assist breeders, backed by a vision to provide the greatest longterm benefit. It was designed to allow breeders to equal the playing field between the stallion owner and the breeder.

Acknowledging the fact that stallion farms should not simply collect money from matings is a unique perspective that encompasses the breeder centric approach held by the farm.

Designed with the breeder in mind, they choose whether to sell their resulting offspring as a weanling or yearling at a public auction of their choice. Weanlings sold at auction

23

Spendthrift Australia 2021

entitle the breeder to the first $5,000 while it is the first $10,000 that goes to the breeder for yearlings sold at auction. The service fee is payable only after this expense allowance is realised. Any sales proceeds over the amount of the stud fee are pure profit to the breeder. This means in cases where a weanling or yearling does not make over $5,000 or $10,000 respectively, the stud fee is covered by Spendthrift.

FAR BETTER THAN ANY OTHER The program ultimately allows breeders to be more in control of their cash-flow while sharing the upside and reducing associated financial risks.

Standard foal shares are structured on the stallion farm providing the cost of the stud fee while the breeder carries all future costs relating to the mating such as veterinary fees, agistment and sales preparation.

“The beauty of Breed Secure is that if you take a hit in the sales ring, we take it with you. Yet if you succeed, you get the profit,” commented Spendthrift Australia’s General Manager Garry Cuddy.

Once the resulting foal is sold, all profits are split between the breeder and stallion farm, there is no guarantee that expenses incurred by the breeder will be covered should the resulting foal not make a profit, and stallion farms are simply faced with a percentage of one unpaid stud fee.

FOAL SHARE Breeder return

“Each year people are developing and implementing new ideas and initiatives, some suggesting payment at conception, but compared to Breed Secure these don’t even come close.”

Different to other breeding initiatives in Australia, Breed Secure is the only breeder’s payment program that allows breeders to pay the service fee after selling the resultant foal – therefore after recouping money for the associated expenses.

It has been well publicised that the Spendthrift operational model takes a different philosophy from what would appear to be the status quo of most of the world’s breeding industries. Mr. Hughes strongly supports the notion that grassroots breeders are the backbone of the industry and without them, his investment will be short-lived. It is this philosophy that drives the Spendthrift team to continually invest strategically in the development of their infrastructure as well as their product offerings such as the innovative Breed Secure and Share The Upside programs. Spendthrift are also major partners of the Werribee and Pakenham Racing Clubs. “We are all in this together,” explained Mr. Hughes. “The whole industry needs each other. Nobody is standing alone in this business, and that’s something we all need to bear in mind.” Giving back to the industry that has provided so much already to Mr Hughes, Spendthrift purchase yearlings with the long term aim to grow and race them in Australia and eventually feature them on the Spendthrift stallion roster. “It’s the basis of what we do here,” said Garry Cuddy.

INDUSTRY INVESTMENT 27

Spendthrift Australia 2021

“It’s also easier said than done, but 3 of our 6 stallions on the roster this year have been purchased as yearlings, raced well here and are now standing. It’s tough at the sales against the bigger players also looking to purchase a future stallion prospect, but our team is doing a great job.” Well-bred mares and fillies, such as Santa Monica and Solar Star, have been secured to assist in not only upgrading their broodmare band, but to support and compliment the Spendthrift stallions. Champion American racehorses Vino Rosso and Omaha Beach are two such stallions. With fantastic global pedigrees to match their impressive race records, where they strode to exceptional victories in the famous Spendthrift silks, both horses had full books in their first seasons.

“We own our horses and we can do what we want with them. We cannot and must not leave the breeder out.”

The good-looking son of Redoute’s Choice, Swear, is another stallion that started his career racing in the Spendthrift orange and purple colours. As Spendthrift’s first Australian yearling purchase to become a stakes winner, he has started his stud career with good success. Overshare, the handsome son of I Am Invincible, is the next yearling purchase to stand at Spendthrift, while brilliant sprinter Dirty Work will complete a trio this season. “Buying these stallions as yearlings ensures there is no unrealistic purchase price to recoup, once the horses have shown their racetrack ability,” said Cuddy. “This allows us to stand them at fair and reasonable fees, whilst also offering generous terms through supportive initiatives for breeders.” Or as Mr Hughes puts it, “we own our horses and we can do what we want with them. We cannot and must not leave the breeder out.” This guarantee extends to their Victorian home, where the stallions – and Spendthrift Farm, are comfortably secured. Success will not come with the risk of the stallions being relocated. “Victoria is Spendthrift’s Australian home,” explains Cuddy. “We are investing in its future.” Spendthrift Australia 2021

INFRASTRUCTURE

INVESTMENT

There is a certain romantic beauty to Victoria’s Macedon Ranges. The historic towns, the rolling grassy hills with meandering wildlife, the crisp air.

33

Spendthrift Australia 2021

It is a picturesque landscape that has featured as the backdrop for many local and international movie and television productions. It is also the place that stole the heart of Mr. Hughes and has become the home of Spendthrift’s first, and only, international base. Spendthrift Australia is situated just outside the small country town of Kerrie, only an hour from Melbourne’s CBD. From the moment they took over the 600 acre property in early 2015, the Spendthrift team have focused not only on the development of their Australian bloodstock band but also in the redevelopment and sustainability of the farm’s infrastructure. Whilst much time and effort has been put into the farm to bring it up to modern standards, there is still a nod to the property’s rich history. The new stallion barn, which was rebuilt a few seasons ago, reflects the heritage style of the old barn and reuses recycled timber from the original. The entire property has almost completely been re-fenced, and staff are now comfortably settled into the new office, which resembles a Kentucky-style ranch with a wide wrap-around verandah, and the spacious building overlooks the soon-to-be updated stallion parade area. The farm also features a state-of-the-art horse transportation zone, for the safe loading and unloading of horses from floats and trucks of all sizes. Situated in a high traffic area, a lot of thought was given to the layout of this space, with safety and welfare for both horse and staff at the forefront of the design. “Our new mare and foal barn is also almost up for construction,” said General Manager, Garry Cuddy. “Unfortunately, due to the pandemic there’s a steel shortage in this country at the moment so it’s on hold until those issues are rectified.” Such significant development of a successful stud does not happen overnight, but Spendthrift have no plans to go anywhere. They have remained fully operational during renovations and the support from breeders, particularly those in Victoria, only continues to flow.

“We’re now at the landscaping stage around the barn and office,” said Cuddy. “I’ve always said you don’t lay your lawn before you build the house. So, with garden beds and lawns now being rolled out, it signifies we’re in the final stages of production.” “It’s an exciting phase and we’re looking forward to showcasing to new and current clients during the upcoming breeding season.” Included in the property development and renovation plans was pasture rejuvenation. By implementing paddock management processes that are in-line with agricultural best practices and similar to those used at Spendthrift’s Kentucky base in the US, the Kerrie team have seen a marked improvement to their paddocks. These improvements not only have a long-term positive effect on the land itself, but also on the bloodstock that live and graze upon them. And from the foals right through to their resident stallions, it is the quality bloodstock that Spendthrift Australia have invested in that call those paddocks home.

THE HISTORY OF SPENDTHRIFT FARM A TIMELINE

1933 1937 Spendthrift Farm is founded by Leslie Combs II in Lexington, Kentucky. The farm is named after the great stallion, Spendthrift (Australian {GB} x Aerolite {USA}), who was owned by Comb’s ancestor,

Daniel Swigert. Daniel named the horse for his wife’s extravagant spending habits. As well as being named the 1878 American Co-Champion 2-year-old Colt and a winner of 9 races from 16 starts including the 1879 Belmont Stakes, Spendthrift was also the great-grandsire of champion racehorse Man ‘O War.

is now the world’s largest self-storage company, Public Storage Inc. Run as a Real Estate Investment Trust (REIT), meaning it is owned by investors who receive more than 90% of the company’s profits as a return on investment, there are now more than 2,400 Public Storage self-storage locations across USA, Canada and Europe.

1966 Mr Bradley Wayne Hughes, who will spend his life going by his middle name, is born in September and has a very modest upbringing. He is the son of an Oklahoma sharecropper who migrated to California during the Great Depression.

The famous son of Raise A Native (USA), Majestic Prince is bred and foaled at Spendthrift. He would later return to the farm until he passed away in 1981.

1972 Mr Hughes notices Americans were accumulating more stuff than their houses could hold, so after pooling $50,000 with a business partner, he becomes founder of what

1979

Triple Crown winner Seattle Slew (USA) retires to stud, standing at Spendthrift until 1987. Spendthrift continues to make its mark on the US thoroughbred racing and breeding industry. As well as a thriving breeding facility,

several important racehorses are buried here over the years. They include Nashua, Never Bend, Prince John, Raise A Native, Gallant Man, Caro, Valdez and Landaluce (who was originally buried at Hollywood Park Racetrack but moved in 2014 when the racetrack closed).

2002 Triple Crown-winner Affirmed. The Keeneland Association, which manages both Keeneland Racecourse and Sales complex, honours Spendthrift Farm with its Mark of Distinction Award.

2004 Mr Hughes retires from the day-to-day activities of his company, Public Storage, to devote his time to horse breeding, racing and family life. He remains Chairman.

Spendthrift Farms goes public in November, offering slightly more than 10 percent in the company. 650,000 shares debuted at $12 each.

1984 Queen Elizabeth II visits Spendthrift Farm to view stallions Seattle Slew and

Breeders Cup Juvenile, as well as his first Eclipse Award (Champion 2-year-old Male) with his horse Action This Day (USA).

Mr Hughes has his best year to date as a Thoroughbred racehorse owner, winning the Group 1 Bessemer Trust

Mr Hughes was looking for a nice little place in Central Kentucky where his grandchildren could visit and he could keep his broodmares. But when he realised Spendthrift Farm was available, he decided to buy a piece of history along with a 700-acre farm that meets his needs. “We’ve been looking for a couple of years, trying to find something that matched up with what we wanted,” said Hughes. “We fell in love with Spendthrift--the history and the farm--even though it was much larger than we anticipated. I’m happy with

the purchase. It makes me feel more a part of Kentucky.” President Eric Gustavson and General Manager Ned Toffey commence working at Spendthrift and assist Mr Hughes in working hard to give back the farm its status as a top player in the stallion and bloodstock market. They are both still with the farm to current day.

Spendthrift’s Share the Upside program, designed to promote their first-season sires, provides lifetime breeding rights to breeders who supported those new stallions for the first two years of their career. By paying a small premium on their service fee, breeders attain an annual breeding right for the rest of the stallion’s career.

2005

Aiming to help the smalltime players, whom he refers to as “the backbone of our industry,” Mr Hughes begins to not only offer a proliferating roster of blue-collar sires but implements the first of his innovative breeding schemes.

Mr Hughes’ other bold program, formulated for Spendthrift’s second season and beyond sires is Breed Secure. In this program, the stallion’s service fee is taken out of the proceeds once the resultant foal sells at auction, again with protections in place for the broodmare owner.

2011

2015

Mr Hughes secures the Henny Hughes (USA) x Leslie’s Lady (USA) filly, Beholder (USA), for US$180,000 at the September Keeneland Yearling Sale. Beholder would go on to have an illustrious career that amassed US$6,156,000 in prizemoney. Her highlights include winning the 2012 Breeders’ Cup Juvenile Fillies and being voted American Champion Two-Year-Old Filly. the 2013 Breeders’ Cup Distaff and American Champion

With a net worth of approximately $2.5 billion, Mr Hughes tops Forbes’ 2015 Richest Individuals in the state of Kentucky list.

Three-Year-Old Filly award, 2015 and 2016 American Champion Older Dirt Female Horse and 2016 Breeders’ Cup Distaff.

Outside racing, Mr Hughes also forms American Homes 4 Rent, a publicly-traded Real Estate Investment Trust (REIT) that owns and rents out nearly 53,000 singlefamily homes across 22 states. Known for his philanthropy, Mr Hughes is a regular (but usually anonymous) donor to several worthy charities and organisations, including his old alma mater, the University of Southern California. He was also responsible for the creation and ongoing funding of Parker Hughes Cancer Center in Minnesota, a facility centered on the research and development of drugs and treatment for children’s leukemia and cancers.

Part of his lifelong aim to think differently, Mr Hughes boldly sets up Spendthrift Australia (formerly the 600 acre Yallambee Park Stud) in Victoria’s Macedon Ranges, with Garry Cuddy, placed at the helm. As well as the comparatively low service fees, Hughes’ two innovative breeding schemes, Share the Upside and Breed Secure, are also used at Spendthrift Australia. “With his experiences early on in the game, Mr Hughes learned a lot as a small

breeder,” Cuddy says. “He might’ve had a few difficulties along the way which helped open his eyes to these gamechanging moves.” “Spendthrift tries to price the horses at what they’re worth, not over-inflate and then cut people deals. We don’t want people to wonder if someone else is getting a better deal than them,” Cuddy says. “Mind you, if we get a horse we think should stand at $80,000, he’ll stand at $80,000. But mostly the Spendthrift approach is about going for the numbers, and the quality. The income, while not irrelevant, isn’t high on the priority list.” “We’ve tried to maintain the same feel (with renovations), so if you’re on Spendthrift in

Kentucky, or in Australia, you know where you are,” says Cuddy, who learned much of his craft under Vin Cox, then a bloodstock agent, and went with him to Kentucky to buy both the dams of Spendthrift’s own Hampton Court (Redoute’s Choice x Roses ‘N’ Wine) and Russian Revolution (Snitzel x Ballet D’Amour) to name a few.

After being pitched the idea by founder, Michael Behrens, Mr Hughes becomes a majority owner and supporter of new venture MyRacehorse.com. Aiming to broaden racing’s appeal and involvement, MyRacehorse Stable gives the casual fan access to racehorse ownership through US Securities Exchange Commission-approved

microshares that can cost from $65 to $206.

Mr Hughes adds his name to the membership rollcall of Water Hay Oats Alliance (WHOA) in support of The Horseracing Integrity Act, a proposed bill to standardise drug rules and testing in horse racing via the US Anti-Doping Agency (USADA). “I wholeheartedly support the effort,” said Hughes. “The need for this legislation is urgent, and the future of horse racing hangs in the balance of its enactment. We are on the edge of the cliff.” (N.B The bill was eventually passed through Congress on December 21, 2020)

“On behalf of everyone at Spendthrift Farm, I want to extend my thanks to the voters at the NTRA (National Thoroughbred Racing Association), the Daily Racing Form and the National Turf Writers and Broadcasters Association. We are so honored and thankful to win Horse of the Year. This is a major milestone for Spendthrift and for our great partners,” said Hughes.

Authentic’s victory in the Kentucky Derby gave 5,314 people unprecedented and legitimate bragging rights to owning a Kentucky Derby winner, after Spendthrift offered an interest in the colt to the MyRacehorse Stable. This spilled over into widespread attraction and support for racing, leading

“This is a big deal for me. I wish all owners could have the same experience and I’m happy to be a part of this,” said Hughes. “He (Authentic) carried with him the hopes and dreams of all of us who love horse racing, and he delivered time and again on racing’s largest stages. We’ll remember that thrill for a long time to come — one of the few good stories of 2020. And I, for one, am hopeful that this new kind of partnership will lead to more fans taking an active interest as owners in our magical sport.” Authentic was retired to Spendthrift following the Classic, where he has taken up stud duties alongside his

A son of Written Tycoon, elite sprinter Dirty Work, becomes the third yearling purchase to retire to Spendthrift Australia’s stallion roster. He is offered to breeders under Share The Upside.
