Message from the President

The following is a summary of the significant changes in the companies held by Blue Diamond Legacy Holdings in the last year.

KE&G Construction Update

Since the last shareholders meeting, KE&G has accomplished a number of significant milestones. One major highlight is our renewed presence in the New Mexico market—after several years away, we successfully completed our second project in the state. Shortly thereafter, we followed up with a third project, reinforcing our momentum in this region. To further support ongoing operations and our broader goal of generating revenue across multiple states, we established a satellite office in Alamogordo, New Mexico. This expansion marks a strategic step forward in our long-term vision to diversify geographically and increase returns for our employee-owners.

In addition to these impactful developments, we also earned several prestigious industry awards over the past year. While KE&G has previously received numerous honors from the American Public Works Association (APWA), this year marks our first recognition at the national level. Our exceptional work on two standout projects will be honored at the APWA National Conference in Chicago this year. These accolades are a testament to the dedication and expertise of our project teams and the many staff members who support them—each should take pride in this achievement.

We’ve also experienced meaningful growth and investment in our workforce. Beyond welcoming outstanding new team members, we’ve hosted high-quality safety, engineering, and operations training programs. Our employees have collectively watched over 18,500 BuiltWitt training videos, and we are on track to graduate our inaugural class of heavy equipment operator apprentices this fall. This progress underscores our unwavering commitment to professional development, and reflects the remarkable strides we’re making to empower and equip our people.

Monsoon Innovations Update

Monsoon Innovations was launched with the vision of supporting local businesses and expanding our portfolio beyond construction. While this venture did not yield the results we had anticipated at this time, the experience has provided valuable insights. As a result, we have made the strategic decision to pause this initiative for now.

Looking ahead, we remain optimistic and committed to exploring new opportunities that align with our goals. We will continue to evaluate potential investments that have the potential to generate meaningful returns for Monsoon Innovations and our ESOP, and we look forward to future possibilities that support sustainable growth.

Phantom Aerial Solutions Update

We continue to wind down the Phantom Aerial Solutions company and are selling assets such as drones, Light Detection and Ranging (lidar) sensors, and other equipment. We anticipate that we will complete the sale of the equipment by early 2026.

KE&G Real Property Update

As previously announced, we’ve acquired 48 acres of prime land on Old Vail Road, just south of Valencia Road.

(See map on next page.) This new property will serve as the foundation for a modern, consolidated campus that will bring together our Tucson operations—currently spread across Alvernon (office, equipment repair, warehouse, and storage yard) and Irvington (offices and storage).

We’re currently in the design phase, with plans underway to create a centralized hub that enhances collaboration, efficiency, and growth. In addition to uniting our facilities, the new campus will feature a dedicated training area where our employees and apprenticeship cohorts can gain hands-on experience and sharpen their skills in a real-world construction environment.

This project represents a bold step forward in streamlining and modernizing our corporate headquarters. By consolidating into one thoughtfully designed campus, we’ll improve efficiency, enhance collaboration, and better support the needs of our growing team. As part of this transition, we also plan to sell the Alvernon and Irvington properties—allowing us to focus fully on building a unified, future-ready headquarters that reflects KE&G’s long-term commitment to innovation, development, and employee success.

In Closing

This past year has given us so much to be proud of—and even more to look forward to. As we continue building on the strength of our people and projects, the future for our company has never looked brighter. Just as we shared last year, we’ve already tripled in size since becoming 100% employee-owned in 2014. Now, with the dedication and drive of our incredible employee-owners across Blue Diamond Legacy Holdings, we’re well on our way to reaching fourfold growth by 2028.

Safety Division

Strategic Goal

The Safety Division is committed to one unshakable principle: every employee should leave the job site in the same condition they arrived—safe and healthy.

Our goals focus on:

• Continuing to implement smart, practical safety protocols that minimize incidents.

• Acknowledging and addressing the human factor, which remains a leading contributor to workplace incidents.

• Promoting a proactive safety culture where near-miss reporting is not only accepted, but encouraged.

• Tracking and improving safety metrics, including our Experience Modification Rate (EMOD), with the objective of remaining consistently below industry standards.

Year-in-Review

While no organization is immune to incidents, our analysis shows that human decision-making— often in the moments just before an incident—plays a significant role in the majority of cases. Recognizing the impact of personal behavior and mindset on safety outcomes is essential.

To combat this, we’ve continued investing in:

• Targeted training and education

• On-site safety resources

• Behavioral awareness programs focused on individual accountability

This self-awareness approach empowers our workforce to take ownership of safety, helping to prevent incidents before they occur.

Over the past year, KE&G has:

• Added 97 new team members

• Worked 80,000 additional manhours compared to the previous year

• Tripled job site inspections

• Reduced total incidents

• Lowered our Total Recordable Incident Rate (TRIR) from 2.96 last year to .89

These improvements are a testament to our shared commitment to safety and they reflect the power of a team that cares about one another and takes action accordingly.

We’re on track to achieve one of our safest years to date. By continuing to:

Southern Arizona Division Strategic Goal

The Southern Arizona Division is dedicated to reshaping the industry landscape through the strength of our people, a culture of safety, exceptional project execution, and a spirit of collaboration. Our commitment is to elevate the standard of excellence in every aspect of our operations.

Year-in-Review

This past year, the Southern Arizona Division continued to deliver meaningful impact—both within our organization and throughout the broader community. Our collective efforts, rooted in teamwork and pride, led to the successful completion of numerous high-profile projects and reinforced KE&G’s strong presence across the region.

In addition to our project accomplishments, community outreach initiatives played a key role in enhancing KE&G’s reputation and deepening our local connections. The Division’s steady growth in project volume, client satisfaction, and materials production reflects not just operational success, but also the dedication and unity of our team.

Looking back on the year, we do so with pride—knowing our goals were achieved through shared vision, resilience, and a commitment to excellence. As we expand our capabilities and nurture our talent, we are paving the way for an even stronger future.

Utility Division Strategic

Goal

The Utility Division remains committed to KE&G’s overarching mission and vision—to expand our market share, cultivate employee growth, and deliver long-term value. This vision is achieved through the pursuit and execution of critical utility infrastructure projects that not only support sustainable environmental practices but also create meaningful development opportunities for our workforce.

Year-in-Review

Throughout the year, the Utility Division sustained its momentum by fostering strong relationships with longstanding clients and successfully delivering a high volume of task orders through established Job Order Contracting (JOC) frameworks. These efforts were complemented by significant new wins, including two major infrastructure projects in Central Arizona where KE&G emerged as the low bidder.

A notable achievement was the successful renewal of the Pima County Water Reclamation Facility (WRF) JOC, reinforcing our presence in the region and providing a consistent pipeline of taskbased work close to home.

The Division also demonstrated cross-functional collaboration, with Project Managers working alongside other business units to explore new market territories and support the company’s regional expansion goals. These collaborative efforts are being further enhanced by the strategic adoption of innovative technologies, strengthening our operational capabilities and construction efficiencies.

Looking Ahead

Looking ahead, the Utility Division will continue to focus on scaling operations within the southwestern United States, a key target market for sustained growth. With a robust project backlog already in place, the team is positioned to meet increasing project demands while capitalizing on emerging opportunities. Continued investment in personnel, systems, and innovation will ensure the Division is equipped to deliver excellence at scale.

Infrastructure Division Strategic Goal

The Infrastructure Division remains focused on two core objectives:

1. Excellence in our current markets

2. Strategic expansion into new regions and service sectors

Our overarching aim is to increase KE&G’s profitability and market share, while continuing to strengthen longstanding client relationships through consistent, high-quality service.

As we look toward future growth, our commitment is to:

• Expand our geographic reach

• Broaden the scope of services we provide

• Preserve the trust, performance standards, and service excellence that have defined our reputation to date

This balanced approach positions the Infrastructure Division as a key driver of KE&G’s longterm success.

Year-in-Review

The Infrastructure Division continued to set the standard for excellence in 2024-2025, successfully delivering projects that are safe, timely, and of the highest quality. Our team's performance consistently exceeds client expectations, further strengthening our reputation as the contractor of choice for public infrastructure work.

These values have helped us forge mutually respectful, trust-based relationships with a growing number of agency partners and stakeholders. As a result, our division has solidified its standing as a regional leader in critical infrastructure projects.

Looking Ahead

We are pleased to report that KE&G’s Infrastructure Division has firmly established itself as a top-tier contractor for agency-selected projects throughout southern Arizona and beyond. Our strategic growth model in the Tucson Metro area has proven highly effective—and scalable—laying the groundwork for success in new markets.

Key Expansion Highlights:

• Opened a permanent office in Alamogordo, New Mexico, expanding our operational reach

• Planning to open an additional out-of-state office by this time next year, further diversifying our market presence

• Leveraging our joint venture with APS (A&K Construction) to expand into federal sector work and tap into new contracting opportunities

The recognition we’ve received, both locally and nationally, underscores the exceptional standards we maintain across all our projects. This external validation, combined with ongoing client satisfaction, reinforces the strength of our outlook and the effectiveness of our strategic direction.

The Infrastructure Division’s successes over the past year belong to everyone at KE&G; thank you for all of your hard work and dedication. As we build on these successes, the Infrastructure Division remains energized by the opportunities ahead. Our focus on expansion, excellence, and innovation will continue to drive growth while upholding the values that define KE&G.

Development Division

Strategic Goal

The Development Division’s primary focus for 2025-2026 is preparing for a forecasted surge in project volume by proactively increasing staffing and investing in targeted, department-specific training. These efforts ensure both new and existing employees are equipped with the skills and support needed to grow in their careers and contribute meaningfully to KE&G’s continued success.

Year-in-Review

The Division is currently managing six active projects, including three recently launched developments. This solid project pipeline positions us for sustained momentum well into 2026. Even without additional new work, our current schedule provides full engagement across job sites and departments.

At the same time, several upcoming developments are in progress, each representing opportunities equal to or greater than those currently underway. This growing portfolio reflects the continued confidence of our partners and the Division’s reputation for delivering quality outcomes.

Looking Ahead

A slight pause in developer activity has emerged, in line with seasonal patterns and adjustments by builders working through inventory and navigating buyer-focused incentives. Nevertheless, home sales have shown yearover-year improvement, signaling strong underlying demand.

Despite the seasonal dip, our team remains fully engaged with ongoing work. Looking ahead, we anticipate new project opportunities emerging later in Q3, particularly in Marana, where our presence continues to grow. These opportunities are expected to keep our crews active through 2026 and beyond.

Additionally, with vacant developed lot inventories at a multi-year low, now is a strategic time for developers to initiate new phases. Our readiness and depth of experience position us as a valuable partner for these next stages of community growth.

As 2025 progresses, the Development Division stands ready—with the people, expertise, and commitment to quality that define KE&G. We are excited for the opportunities on the horizon and remain focused on building strong partnerships, empowering our workforce, and shaping the next era of regional development.

Job Order Contract Division

Strategic Goal

The JOC Division is committed to strengthening existing client partnerships, cultivating new relationships, and broadening our reach to support municipalities, private entities, and organizations with impactful infrastructure solutions. Our continued success is rooted in the exceptional quality of our work, our reliable service, and an unwavering pursuit of excellence that defines the KE&G standard.

Year-in-Review

This year, the JOC Division continues to be recognized as a preferred contractor across multiple municipal agencies, with nine active projects currently underway. Our reputation for quality and dependability has been instrumental in maintaining these long-standing partnerships. This is all due to our skilled and committed team. From labor to upper management the ability to work together toward a common goal is why we remain so successful.

We are also preparing to break ground on a significant Design-Build project at Davis-Monthan Air Force Base (DMAFB) - a milestone that reflects both our expanded capabilities and growing trust in our team’s expertise.

In addition, we are actively pursuing commercial market opportunities. By exceeding expectations and providing measurable value on every project, we’ve positioned ourselves as a dynamic partner across both public and private sectors.

Looking Ahead

The groundwork laid over the past year has already begun to yield strong results. With new JOC contracts secured in additional municipal sectors, we are poised for sustained growth.

Our focus is now expanding to:

• Commercial Market Development: With newly established contacts and promising relationships, we are optimistic about penetrating this space in the near term.

• HOA Infrastructure Improvements: We are currently in negotiations for two roadway improvement projects and are committed to expanding our role in this emerging market.

Our strategy centers on clear communication, exceptional client service, operational integrity, and a steadfast commitment to safety. These values drive everything we do and remain the foundation of our continued expansion.

As we look ahead, the JOC Division is energized by the opportunities before us. With a strong project pipeline, a growing client base, and a deeply committed team, we are confident in our ability to sustain momentum, enter new markets, and deliver lasting value—always in alignment with KE&G’s mission of excellence.

Mining Division

Strategic Goal

The Mining Division is committed to delivering safe, high-quality, and timely construction services to our mining partners. Our mission is to be a trusted and dependable resource - a team that clients can rely on at any time. This commitment is made possible through the skill, experience, and dedication of our personnel across all levels.

Year-in-Review

2024 brought both challenges and achievements, and KE&G Mining responded with resilience and resolve. Our most notable success was a renewed and strengthened focus on our core values: safety and exceptional customer service.

In the mining industry, customer service encompasses more than just responsiveness; it includes delivering quality work, adhering to schedules, maintaining consistent availability, and operating with professionalism in every aspect. These principles not only sustain our internal operations but are also instrumental in helping us secure new contracts and build lasting client relationships.

Construction is inherently full of challenges, and we are proud of how our field crews and support staff have not only risen to each occasion but turned obstacles into opportunities for growth and development. Their adaptability and tenacity are what drive the Division forward.

Over the past year, we’ve strategically positioned the Mining Division to capture this momentum and maximize emerging opportunities.

The primary challenge for the year ahead is execution: turning preparation into performance, and potential into progress. With a solid team, a strong portfolio, and a clear focus, we are poised to expand our market share and operational footprint.

Above all, our continued success will be built on the foundation of safety and customer service. These guiding principles remain the cornerstone of everything we do—and we look forward to leveraging them as we pursue new opportunities in the year ahead.

Equipment & Warehouse

Strategic Goal

The mission of the Equipment and Warehouse Divisions is to deliver exceptional service and support across all KE&G operations. Our commitment ensures every project is executed safely, efficiently, and within budget— empowering field teams with the tools, equipment, and logistics necessary for success.

Core Functions

The combined efforts of the Equipment and Warehouse Divisions are critical to KE&G’s operational excellence. Our key responsibilities include:

1. Fleet Management: Overseeing acquisition and disposal of company vehicles and heavy equipment.

2. Maintenance & Repairs: Performing service on over 600 assets, including light-duty vehicles, heavy machinery, and specialized construction equipment.

3. Systems Management: Operating and maintaining our integrated systems for service, repairs, fueling, and payroll tracking.

4. Procurement & Logistics: Purchasing and delivering essential materials, tools, and equipment across all active project sites.

• Exploring development of a new shop/warehouse facility to expand capacity and improve operational efficiency

As we invest in people, infrastructure, and systems, the Equipment and Warehouse Divisions remain foundational to KE&G’s success—driving reliability, responsiveness, and readiness at every level.

Employee Development

Strategic Goal

KE&G’s Employee Development Program is evolving with a renewed sense of purpose and momentum. Our mission is to deliver a dynamic, inclusive, and accessible career development experience that empowers employees in every role and department to grow, thrive, and lead within the company.

At the heart of this initiative is our commitment to:

• Clear and rewarding career paths

• Personal ownership of professional growth

• Long-term company success through empowered employees

A cornerstone of this strategy is the Heavy Equipment Operator Apprenticeship Program, a robust multiyear training path designed to produce highly skilled, well-rounded operators. Each apprentice follows a comprehensive three-year (or more) plan focused on technical excellence, practical field experience, mentorship, and continuous personal development.

To enrich this learning ecosystem, we are integrating tools and resources such as:

• BuildWitt online learning

• Structured feedback systems

• On-the-job training

• Personalized career mapping

We are also expanding accessibility by incorporating bilingual materials, on-site learning opportunities, and emerging technologies—all to ensure every employee has the resources they need to grow with KE&G.

Program Highlights

Lilian Morales will lead the next phase of the program’s growth. Her focus will include:

• Building interdepartmental relationships

• Increasing company-wide participation

• Introducing innovative learning opportunities for both field and office staff

She will work in close partnership with Justin Housler, our Apprentice Development Coordinator, to support the expansion and long-term success of the Heavy Equipment Operator Apprenticeship Program.

Current Program Metrics

• 35+ employees actively engaged in individualized Development Plans

• 90 employees leveraging BuildWitt for continuous learning

• 3 apprentices expected to graduate in December 2025

• 4 apprentices currently completing their 1st or 2nd years

• 8 new apprentices welcomed on July 7, 2025—our largest cohort to date!

These numbers reflect growing participation, increasing demand, and the deep trust our employees have in the program’s value.

Looking Ahead

Looking ahead, KE&G is scaling its development programs with both intention and ambition. The success of the Apprenticeship Program underscores its value as both a recruitment pipeline and a long-term training tool.

In the coming year, we will:

• Expand program access across all job sites and departments

• Launch custom learning tracks, including leadership development and bilingual pathways

• Strengthen feedback mechanisms to ensure our training evolves with employee needs

This next phase is all about growth, innovation, and opportunity. With the leadership of Lilian Morales and Justin Housler, the Employee Development Program is positioned to not only support KE&G’s operational goals—but to inspire a culture of learning and advancement that touches every corner of the organization. Together, we are building careers, strengthening teams, and driving KE&G’s success through our people.

Finance, HR, Payroll & Benefits

Strategic Goal

The Finance Division, which encompasses Accounting, Human Resources, Payroll, and Benefits, remains committed to delivering exceptional service to both internal and external stakeholders, while advancing KE&G’s mission to improve profitability, operational efficiency, and employee support. Our focus is to provide timely, accurate, and transparent financial reporting, and to ensure our systems and processes enable smarter decisionmaking across the organization.

Year-in-Review

Throughout 2024, the Finance Division played a critical role in supporting KE&G’s growth, managing key functions such as:

• Financial planning and analysis

• Payroll processing and compliance

• Employee benefits administration

• External reporting and regulatory adherence

The team continued to cultivate a culture of trust, responsiveness, and reliability, ensuring that financial data is not only accurate, but actionable. By maintaining strong internal controls and upholding regulatory compliance, the department successfully safeguarded company assets while contributing to data-driven business decisions across all divisions.

In close partnership with leadership, we have supported company-wide initiatives with strategic financial insight and streamlined processing, enabling departments to operate more effectively and with greater confidence.

Looking Ahead

As KE&G grows, so too does the role of the Finance Division. Our focus for the year ahead includes:

• Enhancing operational platforms for vendor payments, fuel cards, travel, and expense reimbursement, streamlining transactions while increasing efficiency and cash rebate potential

• Developing key financial dashboards and KPIs within SharePoint to give division leaders real-time access to metrics that support faster, better-informed decisions

• Continuing to improve employee-facing services in payroll and benefits, with a focus on responsiveness, clarity, and education

Our team is also exploring additional opportunities to integrate technology-driven tools that will elevate both internal reporting and long-term financial planning. This evolution supports KE&G’s commitment to organizational excellence and prepares us for the next chapter of sustainable growth.

The Finance Division is proud to serve as a strategic partner and steward of KE&G’s financial well-being. By maintaining a focus on service, accuracy, and innovation, we continue to build the systems and support that empower the entire company to thrive, today and into the future.

Communications & Marketing

2024-2025 have been landmark years for KE&G, reflecting the strength of our culture, the power of employee ownership, and the commitment of our team to excellence and innovation.

Over the past year, KE&G was honored with several prestigious awards. We received an AACE (Annual Awards for Communications Excellence) Award for Printed Materials, a recognition of our creative and strategic efforts to keep employee-owners informed and engaged. In mid-2025, we were named a Best Place to Work for the second consecutive year by Tucson Media Partners and AZ Central, reinforcing the culture and values we strive to cultivate. Additionally, the Rocky Mountain Chapter of the ESOP Association named KE&G the 2024 Company of the Year—a tremendous testament to our leadership in the employee-ownership community.

On the national stage, KE&G earned two National APWA (American Public Works Association) Awards for the Bighorn CDO Levee Augmentation and Las Vistas Infrastructure projects. These wins highlight the incredible work of our construction and engineering teams and their collaboration with local partners. We also received three MPA (Metropolitan Pima Alliance) Common Ground Awards for the Prince 10, Bighorn, and Las Vistas projects, as well as an Arizona Chapter APWA Award for the Town of Clifton Wastewater Treatment Plant Upgrades—a project that exemplifies our commitment to building infrastructure that improves communities.

The Communications Department continued to play a central role in supporting KE&G’s operations. From crafting impactful proposals to organizing company-wide events, our focus remained on building connection, sharing stories, and supporting all divisions with high-quality communications tools.

We also continued to support internal engagement efforts. The ESOP Communication Committee built upon last year’s 10th anniversary of 100% employee ownership by organizing an even broader array of events—volunteer opportunities, sporting outings, and gatherings like our annual picnic and trap shoot tournament. Last Fall, we launched our second KE&G Golf Tournament, and many employee-owners joined us for a Diamondbacks game as part of our ongoing commitment to connection and camaraderie.

Our communications platforms continue to evolve.
