EXECUTIVESUMMARY OURSERVICES

SocialPathway focuses on developing custom content strategies for private practices in the Houston metropolitan area. Services include developing content strategy and providing Online support services to private practices.

TARGETAUDIENCE

Target customers are private medical practitioners who have poor content strategy management techniques. Medical professionals may not have time or forethought to build their Online presence through social media. SocialPathway aims to close the gap between private practices and their customers. This will increase the visibility of their private practice to a larger audience.

OURGOALS

Social media is an important tool for proper content strategy management. SocialPathway will use this tool to close the gap between medical practitioners and their patients. SocialPathway will be a part of the Content Marketing industry. Currently, content marketing is considered a niche market, comprised of different sized companies. The largest companies, such as MMI Agency and TopSpot Internet Marketing, have large inventories of products that are offered nationwide. The smallest companies sell locally either as freelancers, small agencies,or they do their own content marketing.

Our customers are private professionals who desire to have a content strategy as an avenue to bring in potential patients and keep current patients engaged in current affairs. The groups that we plan on marketing to are private professionals in the Houston area who have marketing budgets between $8000 and $15,000. According to Content Marketing Institute, healthcare marketers spend 23% of

their total marketing budgeting on content marketing activities. CDW Healthcare found that 53% of physician practice in the United States have a Facebook page. YouTube traffic to hospital sites has increased 119% year-over-year. Also, 60% of doctors say social media improves the quality of care delivered to patients.

COMPETITORANALYSIS

Our primary competitors are companies like Adit, Qim and Forthea in the Houston area. Each of these competitors offer a range of services involving branding and marketing. While these competitors can pose a threat to SocialPathway, our focus in the medical field differentiates us from the competition. Adit is the only exception and is a direct competitor. However, we believe we will provide better opportunities to our clients and our investors that Adit cannot. Adit consistently devalues itself by offering free consultations and promises that may lead to thousands of dollars in unpaid wages. At SocialPathway, we will take our jobs seriously and will not devalue our work further than it is already perceived to be. We have the opportunity to enter the market by serving private practices of all sizes.

ADVANTAGES OVER COMPETITION

We cater specifically to the private professionals so that they can focus fully on their patients. SocialPathway will provide long term support maintenance to be able to focus our full attention on what our customers offer. Further, none of our competitors have aspirations to become a media hub like SocialPathway strives to become. In the future we will create content for patients and medically minded individuals as well as providing service to private practices.

TERMS&CONDITIONS The provision of SocialPathway’s managed services to clients will be subject to the following points and form the basis of the all agreements between SocialPathway and any clients. These Terms and Conditions will detail how all services discussed within project briefs and works orders will be managed. Please read this Agreement carefully before proceeding with any use of our website or the Services, you accept and agree to be bound by this Agreement. If you do not accept the terms and conditions of this Agreement, please contact us immediately so that we can close your service agreement. ASSIGNMENT

SocialPathway may, in its sole discretion, assign this estimate and/or subcontract any and all of the work hereunder. This agreement shall be binding upon and shall inure to the benefit of the successors, and assigns of the customer and SocialPathway, provided, however, that customer may not assign or transfer this agreement, in whole or in part, except on the prior written consent of SocialPathway. BROKERS AND OTHER INTERMEDIARIES

When contracting with an intermediary such as a broker, ad agency or reseller for work on behalf of their customers, SocialPathway will hold the intermediary fully responsible for timely payment of invoices and for related collection costs, legal fees and interest. This will be done without regard to whether the intermediary has been paid by their customer for services rendered. CANCELLATION OR DEVIATION

In the event of cancellation of or deviation from all or part of the work covered hereby, customer shall give SocialPathway as much notice as reasonably practicable. Customer shall be liable for all costs incurred by SocialPathway resulting from such cancellation or deviation that are not otherwise avoidable by SocialPathway through reasonable commercial efforts, including, without limitation, down press and bindery time, materials 26 | SocialPathway Proposal 2017


ordered or inventoried on customer’s behalf and not otherwise usable by SocialPathway in the ordinary course of its business within a reasonable period of time at the scheduled plant of production, and related obligations. CHOICE OF LAW AND VENUE

This agreement is made pursuant to and shall be governed by the law of the state of Texas, and customer consents to jurisdiction of the courts thereof. CLAIMS

Claims for defects, damages, or shortages must be made by the customer in writing no later than 10 calendar days after delivery. If no claim is made within the specified time period, SocialPathway and the customer will have mutually acknowledged that the job has been accepted by the customer and that SocialPathway’s performance has fully satisfied all terms, conditions and specifications of the purchase agreement. CONTENT AND REFUSAL OF WORK

The customer warrants that the work does not contain anything that is libelous, scandalous, or anything that threatens anyone’s right to privacy or other personal or economic rights. SocialPathway, when not acting in an illegal discriminatory manner, reserves the right at his or her discretion to reject any job tendered based on illegal, libelous, scandalous, improper, or unsubstantiated content or based on copyright, trademark, trade name or service mark infringement related to any elements of the job. COPYRIGHTS

The customer warrants that it has the right to produce the subject matter to be printed, duplicated or distributed. If the subject matter is copyrighted, the customer warrants that it owns the copyright or has express permission of the owner to reproduce the copyrighted subject matter, and that it has not removed any copyright notice from any material to be reproduced without written permission.

COST AND EXPENSE OF LEGAL ACTION

The prevailing party in any legal action or proceeding brought to enforce this agreement shall be entitled to recover from the other reasonable attorneys’ fees, costs and expenses arising out of such legal action brought before a court, mediator, arbitration or private settlement. CREATIVE WORK

SocialPathway may provide creative work in the form of creative briefs, ideas, concepts, demos, sketches, dummies, storyboards, comprehensive layouts, prototypes or by other means. Creative work may be communicated verbally, visually and/or electronically. This work is the sole property of SocialPathway and may not be used by the customer in any form or derivation without SocialPathway’s written permission or without customer’s payment of compensation as determined by SocialPathway. Customer’s rights to use such creative work shall further be limited to the original agreed-upon purpose and for any time limit specified unless otherwise agreed in writing. DAMAGES/LIMITATION OF LIABILITY

SocialPathway’s maximum liability, whether by negligence, agreement, or otherwise, will not exceed the amount specified in the agreement. Except for claims for delay arising out of this agreement, the parties to this agreement mutually agree that SocialPathway’s liability for any and all claims whatsoever of any kind and nature arising out of this agreement shall not exceed SocialPathway’s price to customer for performing the work (including any services) that is the subject of this agreement or fraction affected, and further mutually agree that replacing the work (including any services) or re-mailing or re-shipping a correction or corrected job as soon as possible to rectify the mistake that is the subject of this agreement shall satisfy any and all claims whatsoever of any kind and nature arising out of this agreement. Notwithstanding the forgoing, to the extent that material submitted by customer does not conform to 28 | SocialPathway Proposal 2017


SocialPathway’s specifications, contains clerical or typographical errors, or otherwise does not strictly meet production deadlines as specified in this agreement SocialPathway shall have no liability for claims arising out of this agreement. SocialPathway’s clerical and typographical errors will be corrected without additional charges. Under no circumstances will SocialPathway be liable for specific, incidental or consequential damages, including but not limited to lost profits and lost postal discounts, however proximate or foreseeable, arising out of the work, including any services, that is the subject of this agreement. Customer agrees that the prices in this agreement for the work (including any services) that is the subject of this agreement are consideration for limiting SocialPathway’s liability hereunder. OTHER LIMITATIONS OF LIABILITY

SocialPathway shall not be liable for downtimes, interference in the form of hacking, virus, disruptions, interruptions, faulty third-party software, search engines or websites on which a service is dependent or other deliveries from a third party. SocialPathway shall use its reasonable efforts to assist in remedial efforts if so requested by the customer. Any work connected with remedial efforts as described above shall be charged to the customer separately in accordance with these Terms or (at SocialPathway’s discretion) SocialPathway’s price list applicable from time to time. SocialPathway shall not be liable for any changes made without notice by the customer or a third party employed by the customer to domain names, websites, content, links, technical setup etc. and affecting the Services delivered by SocialPathway. Preceding or subsequent work connected with any adjustments required as a result of such changes shall be charged to the customer in accordance with these Terms or on the basis of SocialPathway’s price list applicable from time to time at SocialPathway’s discretion. SocialPathway shall use all reasonable endeavors to deliver Services relating to social media marketing, SocialPathway Proposal 2017 | 29


content sharing, blogging and user engagement in accordance with the guidelines applicable to the relevant websites and social media platforms. However, SocialPathway shall not be liable for delays or deteriorating performance due to changes made to standard terms, algorithms, account functionality, account availability, search results, viewing policy, prices or other matters beyond SocialPathway’s control and reserves the right to make changes to Services as a result of the same. In addition, SocialPathway shall not be liable for other changes or discontinuation of social media platforms’ services or third party services. SocialPathway shall not be liable for Services lead to a certain volume of traffic, number of clicks, likes, follows, registrations, purchases or the like. SocialPathway shall not be responsible for profiles or their content streams dropped or excluded by a search engine or social media site for any reason. If the customer does not implement some or all of SocialPathway’s recommendations, SocialPathway shall not bear any liability for any lack of success experienced by the customer relating to the Services. ESTIMATE

An estimate not accepted in writing within thirty (30) days may be changed. No discount will be allowed unless specifically set forth in the estimate itself. Estimates are based on SocialPathway’s written understanding of the customer specifications and the accuracy of the specifications provided to SocialPathway by the customer. SocialPathway has the option to re-estimate a project at the time of submission by customer if project does not conform to the information on which the original estimate was based. Estimates are based on the cost of services, labor and materials on the date of the estimate. If changes occur in 30 | SocialPathway Proposal 2017


cost of materials, labor, or other costs prior to acceptance, or if the customer requires changes in specification, quantities, designs, or the production schedule subsequent to acceptance, or in the event of foreign or domestic legislation enacted by any level of government, including tax legislation, which increases the cost of producing, warehousing, or selling the goods or services purchased hereunder, SocialPathway reserves the right to change the price estimated. Subsequent orders will be subject to price revision if required. Estimates do not include applicable taxes, shipping costs or deliveries unless specifically stated in the estimate. If there is a change in specifications or instructions to the original estimate and these changes result in additional costs, SocialPathway will inform the customer, in writing, what these additional costs will be. The work performed will be billed at the current rates as agreed, and the completion date may be delayed. EXPERIMENTAL AND PRELIMINARY WORK

Experimental and preliminary work performed at customer’s request shall not be used without SocialPathway’s written consent. Finance Charge, Acceleration, Collection Cost, Suspension of Work, Liens Unless otherwise specified or regulated, a flat finance fee will be charged on all past due balances until paid. Customer shall execute financing statement(s) on request and irrevocably authorizes SocialPathway to execute and file same. SocialPathway and customer mutually agree that time is of the essence in this agreement, and if customer defaults in the payment of any part hereof the entire amount of the agreement shall immediately become due and payable without notice at the option of SocialPathway together with all costs of collection, including reasonable attorney’s fees if collected by law or through an attorney. In the event customer defaults in making any payment under this or any other agreement currently being performed for customer by SocialPathway, SocialPathway may suspend performance under this agreement. As security for payment of any sum due under the terms of this agreement, SocialPathway has the right to hold and place a lien on all of the customer’s property in SocialPathway’s procession. INSURANCE, RISK OF LOSS

All stock and materials belonging to a customer will be held and stored only at the customer’s risk, and the customer shall be responsible for insurance on their material. Customer retains title to and the insurable interest in its materials. Because of this, SocialPathway is held harmless for acts not of its doing that create losses. All files, software, programs, or other materials not supplied by customer but used to perform the services hereunder shall remain the exclusive property of SocialPathway unless otherwise agreed in writing. SocialPathway shall carry insurance to protect against acts or negligence on the part of its employees in the normal course of business. If specific additional insurance coverage is desired, such coverage must be specified by agreement or by separate insurance rider and premium. In such instances, the liability for losses will be limited to the agreed upon insurance amount. Moreover, SocialPathway will only maintain fire and extended coverage on property belonging to the customer while the property is in SocialPathway’s possession. SocialPathway’s liability for this property will not exceed the amount recoverable from the insurance. Additional insurance coverage may be obtained if it is requested in writing, and if the premium is paid to SocialPathway. INTEGRATION

This agreement contains the entire agreement of the parties and no inducements, representations, promises, agreements, of understandings, oral or in writing between the parties, not embodied herein or subsequently made a part hereof by a properly executed addendum or amendment hereto as herein provided, shall be of 32 | SocialPathway Proposal 2017


any force or effect. No addendum to or amendment in the provisions of this agreement shall be effective or binding upon a party hereto unless embodied in a written instrument executed on behalf of such party by an authorized representative. PAYMENT

Unless otherwise specified herein, payment for services shall be net cash due thirty (30) days from invoice date and payment for freight shall be net cash, due 10 days from invoice date. Unless otherwise agreed, invoice date will be the date any of the work is first available for shipment. PRODUCTION SCHEDULES

Production schedules shall be established and followed by both the customer and SocialPathway. There will be no supplier liability or penalty for delays due to customer delays, state of war, riot, civil disorder, fire, flood, terrorism, unavailability or shortages of materials, equipment failures, acts or defaults of the work of a subcontractor, delays in transportation, strikes, accidents, action of government or civil authority, acts of God, or other causes beyond the control of SocialPathway. In such cases, schedules will be extended by an amount of time equal to delay incurred. The prices in this agreement are based upon full compliance with said schedule and any deviation from the agreed upon schedule on the part of the customer may result in a revised delivery date or additional charges for downtime or overtime incurred by SocialPathway due to said deviation from the schedule. In any case, no additional work will be performed by SocialPathway until such revised schedule and/or pricing is approved by the customer. SUBSEQUENT WORK

To facilitate and expedite the parties’ dealings on future jobs, it is agreed that the terms set forth in this agreement shall apply to all future printing jobs unless amended or contradicted in writing signed by both parties. SocialPathway Proposal 2017 | 33


WAIVER

No waiver by either party of any default by the other in the performance of or compliance with any provision, condition, or requirement herein shall be deemed to be a waiver of, or any manner release such other party from compliance with any provision, condition, or requirement in the future, nor shall any delay or omission of either party to exercise any right hereunder in any manner impair the exercise of any such right accruing to it thereafter. Any matter arising under this Agreement that creates a right of action in either party against the other party, or the enforcement of any obligation or undertaking by one party against the other, shall survive any termination or expiration of this Agreement. CLIENT’S OBLIGATIONS AND INDEMNITIES

The customer shall provide assistance and technical information to SocialPathway, as reasonably required by SocialPathway in sufficient time to facilitate the execution of an Order in accordance with any estimated delivery dates or milestones. The customer shall have sole responsibility for ensuring the accuracy of all information provided to SocialPathway and warrants and undertakes to SocialPathway that the customer’s employees assisting in the execution of an Order have the necessary skills and authority. The customer shall be obliged as quickly as possible and within the agreed deadline to comment on and or approve materials provided under the Services, including (without limitation) profile copy, target website readerships and graphic material submitted by SocialPathway. In addition, the customer shall be obliged as quickly as possible and within the agreed deadline to implement changes on websites, in IT systems or where it may otherwise be required by SocialPathway. The customer shall be obliged to inform SocialPathway immediately of changes of domain names, websites, passwords, technical setup and any other material information regarding the technical infrastructure which may affect the Services delivered by SocialPathway. In the event that the customer fails to undertake those acts or provide those materials required under this clause 34 | SocialPathway Proposal 2017


5 within any agreed deadline (and at least within 15 Business Days of the date requested by SocialPathway) SocialPathway shall be entitled to invoice for the Services that it has supplied and the remaining Services specified in the Order whether or not SocialPathway has been able to deliver them. The customer shall indemnify and keep SocialPathway indemnified fully against all liabilities, costs and expenses whatsoever and howsoever incurred by SocialPathway in respect of any third parties as a result of the provision of the Services in accordance with the Order, Specification, or the content of the customer’s advertising or web pages which result in claims or proceedings against SocialPathway for infringement of any Intellectual Property Rights or other proprietary rights of third parties, or for breach of confidentiality or contract or for defamation. The customer undertakes to comply with all applicable rules, regulations, codes of practice and laws relating to its use of the Services, including without limitation its obligations under the Data Protection Act 1998 and hereby agrees to indemnify and to keep SocialPathway indemnified in respect of any and all costs, claims or proceedings whatsoever brought against SocialPathway by any third party in connection with any breach of the same by the customer. SocialPathway require that prior notice be given for any alterations relating to the customer’s social media profile(s) that may affect the services supplied by SocialPathway. If alterations are made by the customer or a third party to the customer’s profile(s) then performance and brand integrity may be affected and SocialPathway cannot be held responsible. ITEMS NOT COVERED UNDER WEB AND SOCIAL MEDIA MANAGEMENT:

IT and technical support, we are unable to advise you on any matter relating to your computer, web browsers, or your specific email setup. We are only able to test and confirm that your server and related email services are running as expected. If we are requested to investigate further then a charge maybe applicable if no fault is found at our end. In addition to this all site visits relating to technical support maybe chargeable. However if you require IT and technical support then we do offer this as a separate service. SocialPathway Proposal 2017 | 35


Guaranteed increased in social media/networking presence. While we will do our utmost to increase your social networking presence we give no guarantees to targets or specific figures. The service we provide is directly relational to management and therefore is a time saving and efficiency service. Design changes outside of the agreed brief and works order, while minor changes (as detailed above ) are perfectly acceptable, larger or total redesigns maybe chargeable and it should not be expected that SocialPathway can make these changes to the design of a site as part of this agreement or package. Major changes are identified as anything outside of the above listed minor changes. Major development work, this is identified as any work that will require more than 5 hours of research and a further 10 or more hours of development time. If however you wish to undertake this development by reallocating previously agreed services then this can potentially be discussed and worked into an agreement where several months worth of development services can be used at once. Guaranteed returns on investment/income, we can not be held responsible for the targets you set in relation to financial forecasts and the ability for your website to produce this income to be generated by your website. We will endeavor to create a site that given the correct marketing and product range will from a technical point of view be capable of creating this income. WARRANTIES

Except as otherwise expressly provided in the Agreement, the Service will be provided “as is� without warranty or representation of any kind, whether express or implied, SocialPathway disclaims and excludes all such warranties and representations, including (without limitation) any warranty or representation that the Service is free of defects, of satisfactory quality, fit for a particular purpose or non-infringing of third party rights, and the Customer accepts all risks and liabilities associated with the use of the Service.

DATA PROTECTION

SocialPathway and the Customer each agree to comply with their respective obligations under the Data Protection Act 1998 and related regulations and obtain and maintain all relevant notifications and consents, including (in relation to the Customer) such notifications and consents as the Customer should obtain and maintain to enable SocialPathway to process personal data in connection with the performance by SocialPathway of its obligations under the Agreement. The Customer agrees that SocialPathway may put its name and other details obtained from the Works Order into a computerized directory for internal use and for the purposes of enabling ADOmedia to provide the Service. Rights of subject access will be dealt with in accordance with the Data Protection Act 1998, upon appropriate request in writing and payment of the appropriate fee. Any and all data supplied by any customer of ADOmedia (including the Customer) is held in accordance with ADOmedia’ then current privacy policy available for inspection on its website. HIPAA ASSURANCES

In the event Business Associate creates, receives, maintains, or otherwise is exposed to personally identifiable or aggregate patient or other medical information defined as Protected Health Information (“PHI”) in the Health Insurance Portability and Accountability Act of 1996 or its relevant regulations (“HIPAA”) and otherwise meets the definition of Business Associate as defined in the HIPAA Privacy Standards (45 CFR Parts 160 and 164), Business Associate shall: (a) Recognize that HITECH (the Health Information Technology for Economic and Clinical Health Act of 2009) and the regulations thereunder (including 45 C.F.R. Sections 164.308, 164.310, 164.312, and 164.316), apply to a business associate of a covered entity in the same manner that such sections apply to the covered entity; (b) Not use or further disclose the PHI, except as permitted by law; (c) Not use or further disclose the PHI in a manner that had Insert Clinic Name done so, would violate the requirements of HIPAA; SocialPathway Proposal 2017 | 37


(d) Use appropriate safeguards (including implementing administrative, physical, and technical safeguards for electronic PHI) to protect the confidentiality, integrity, and availability of and to prevent the use or disclosure of the PHI other than as provided for by this Agreement; (e) Comply with each applicable requirements of 45 C.F.R. Part 162 if the Business Associate conducts Standard Transactions for or on behalf of the Covered Entity; (f) Report promptly to [Insert Clinic Name] any security incident or other use or disclosure of PHI not provided for by this Agreement of which Business Associate becomes aware; (g) Ensure that any subcontractors or agents who receive or are exposed to PHI (whether in electronic or other format) are explained the Business Associate obligations under this paragraph and agree to the same restrictions and conditions; (h) Make available PHI in accordance with the individual’s rights as required under the HIPAA regulations; (i) Account for PHI disclosures for up to the past six (6) years as requested by Covered Entity, which shall include: (i) dates of disclosure, (ii) names of the entities or persons who received the PHI, (iii) a brief description of the PHI disclosed, and (iv) a brief statement of the purpose and basis of such disclosure; (j) Make its internal practices, books, and records that relate to the use and disclosure of PHI available to the U.S. Secretary of Health and Human Services for purposes of determining Customer’s compliance with HIPAA; and (k) Incorporate any amendments or corrections to PHI when notified by Customer or enter into a Business Associate Agreement or other necessary Agreements to comply with HIPAA. SocialPathway reserves the right to make changes to these Terms of Use and to the services offered by SocialPathway to the Social Media Marketing product without prior notice.
