The Hillel JUC Board Board Governance/HR Committee The Vice Chair of Board Governance/HR chairs the Board Governance/HR committee whose purpose is twofold. The committee is tasked to ensure that the Hillel JUC Board fulfills its legal, ethical, and functional responsibilities through adequate governance policy development, recruitment strategies, training programs, monitoring of Board activities, and evaluation of Board members' performance.

Additionally, the committee is charged with supporting the Executive Director and CEO in his/her efforts to create a work environment of excellence that meets and exceeds where possible, the tenets of the Hillel Personnel Code.

With respect to Board Governance, the committee will ensure that the Hillel JUC Board of directors is able to govern the organization effectively through: 1. creation of governance policies and procedures; 2. recruiting and nominating suitable Board members; 3. providing orientation and training programs for Board members; and 4. evaluating the performance of individual members and the Board a whole.

Governance Policy Development The committee will ensure that policies are created and periodically reviewed which define: 1. the roles and responsibilities of the Hillel JUC Board; 2. duties and responsibilities of its directors and officers; 3. conflict of interest procedures; and 4. procedures for nomination, selection, and removal of directors.

Recruitment and Selection The committee will ensure that: 1. the Hillel JUC Board does not fall below the number of directors required by the bylaws; 2. directors appointed to the Board understand and agree with the mission of the organization and the code of ethics for directors; 3. directors appointed to the Hillel JUC Board understand and agree to the time and participation requirements of Board members; 4. directors appointed to the Hillel JUC Board understand and agree to the financial requirements of Board members; 5. elections and appointments to the Hillel JUC Board comply with bylaws and other legal requirements; and 6. term limits are enforced.

Education The committee will ensure that directors are able to discuss, debate, and plan the following from a basis of knowledge: 1. the Hillel JUC’s mission, goals, objectives, programs and services; 2. the Hillel JUC’s budget and financial statements; 3. the roles, duties and responsibilities of the Board, committees, individual directors, and the Executive Director; and 4. best practices and new ideas from outside the organization, including the Hillel field, the Jewish non-profit field, and other areas relevant to the Board’s work.

Evaluation The committee will ensure that the Hillel JUC Board, its committees, and its members are able to plan their activities with knowledge of the achievements, abilities, strengths, and limitations of current directors, staff, and volunteers.

Accountability The committee is accountable to the Hillel JUC Board of Directors for the following tasks: 1. creation and annual review of a 3-5 year plan for Board development based on the strategic plan and the annual Board assessment; 2. annual assessment of the Board’s strengths and weaknesses; 3. ongoing recruitment of members who can augment the strengths and build on the weaknesses; 4. training, coaching, and mentoring for directors to develop their own skills as Board members; 5. monitoring the attendance and contribution of members; 6. drafting governance policies for Board development; 7. keeping records of recruitment history: names suggested, who approached, what happened; and 8. producing and keeping current, documents needed for recruitment efforts.

With respect to human resources, the committee is responsible for: 1. collaborating with the Executive Director and CEO on creating and deploying current and leading edge policies to ensure “best place to work” standards for Hillel JUC employees; 2. creating protocols beyond the Hillel Personnel Code to ensure a safe working environment that guarantee that all staff have a confidential process to turn to if and when deviations from Hillel standards occur; 3. any issues arising from semi-annual evaluations of the staff together with the Executive Director and/or Assistant Director and make recommendations where necessary; 4. any issues arising from an annual 360-degree evaluation of the Executive Director; and 5. assist the Hillel JUC staff when needed in the interviewing process for new candidates, as well as in the preparation and delivery of exit interviews for departing staff.

BYLAWS

The Edward and Rose Berman Hillel Jewish University Center of Pittsburgh ARTICLE I - NAME

The legal name of this organization shall be The Edward and Rose Berman Hillel Jewish University Center and the organization may use the name “Hillel JUC” and is hereby referred to as the “Hillel Jewish University Center (Hillel JUC).”

ARTICLE II - AFFILIATION

The Hillel JUC shall seek to maintain its status as a beneficiary agency of the Jewish Federation of Greater Pittsburgh and as a subsidiary of Hillel: The Foundation for Jewish Campus Life (“Hillel International”) and shall accept all of the obligations and have all of the rights which are associated with such statuses.

ARTICLE III - PURPOSE AND MISSION

Mission Statement: To enrich the lives of Jewish students (including undergraduate and graduate students) so that they may enrich the Jewish people and the world.

(a)

Objectives: To provide a broad array of programs and experiential learning opportunities that span the spectrum of Jewish Peoplehood including but not limited to Jewish History, culture, Hebrew, Israel studies, as well as a wide array of denominationally inclusive Jewish spiritual and ritualistic traditions.

(b)

To create student leadership opportunities that not only nurture the next generation of Jewish leaders but also instill qualities that engender leaders who can lead Jewishly.

(d)

To be an indispensable partner to the universities where we reside, the wider community we serve, as well as to Hillel International.

(e)

To act as the “umbrella” for all Jewish life on campus creating space for all recognized Jewish organizations under the Hillel umbrella to thrive both individually and collectively.

(f)

To advocate for the rights of Jewish students on campus so that their religious and cultural traditions may be practiced and observed in an environment free of intimidation, prejudice, or harassment.

(g)

To nurture a safe space environment for Jewish students that beyond mere tolerance, teaches acceptance for Jews of all backgrounds no matter their upbringing, gender, sexual orientation, or individual practice.

(h)

To deeply involve and integrate Jewish faculty and university administrators in Hillel JUC leadership and activities as well as to foster and strengthen a community that thrives alongside and with the students.

(i)

To be at the vanguard on campus as a partner with the University, as well as individual student organizations around issues of social justice and repairing the world.

(j)

To encourage and facilitate creative and reciprocal partnerships between the campuses and the Pittsburgh Jewish community in order that the Hillel JUC can act as a wellspring in enhancing Jewish life not only on campus, but throughout the greater Pittsburgh Jewish community.

ARTICLE IV - GOVERNING BOARD

Section 1 - Membership The Governing Board shall consist of a minimum of 18 and a maximum of 36 members whose terms shall begin on July 1st in the year of their appointment or their election. (a)

A minimum of two faculty or staff members, one from the University of Pittsburgh and one from Carnegie Mellon University, shall serve on the board at all times. If appropriate, it is encouraged to have a faculty or staff member from additional Pittsburgh-area universities on the board.

(b)

At least one rabbi from the Pittsburgh community, with no more than one from each denomination, shall be invited to serve on the Board. To the fullest extent possible, one rabbi from each of the four denominations, Conservative, Orthodox, Reconstructionist, and Reform shall be provided with alternating opportunities to serve on the board.

(c)

The President of the University of Pittsburgh and Carnegie Mellon Hillel student groups shall be appointed to the board. Students shall have the same voting and board rights as nonstudent board members and are equally expected to make a “quality� financial commitment with respect to their economic status as students. They may serve on any committee but may not serve on the Executive Committee, nor have access to staff salaries or other confidential data.

(d)

The remaining Board member positions shall be filled by members of the community who support the mission of the Hillel JUC. They shall be nominated by the Hillel JUC Nominating Committee, approved by a majority of the full board, and serve for a term of three years with a two-term maximum, except in the event that a board member becomes a member of the Executive Committee in which case the term shall be extended for the duration of the board member's service on the Executive Committee.

(e)

Ex-officio members of the Hillel JUC Board shall include an appointed representative of the Jewish Federation of Greater Pittsburgh ("JFGP") AOC Committee, and the Executive Director and CEO of the Hillel JUC. Ex-officio members shall serve as non-voting members of the Board.

(f)

The Immediate Past Chair of the Hillel JUC shall serve for two years on the Board after completion of his/her term of office.

(g)

Emeriti Trustees shall serve as non-voting members of the Hillel JUC Board. These Trustees are elected for life at any Annual Meeting upon the recommendation of the Board for extraordinary service to the Hillel JUC. Emeriti members may be removed only by a unanimous vote of the Hillel JUC Executive Committee and a simple majority vote of the full Governing Board. All Past Presidents serve as Emeriti Trustees.

Section 2 - Eligibility for Reelection to the Board Members shall be eligible one year after the successful completion of two consecutive threeyear terms as a member of the Board, unless serving as an officer of the Board.

Section 3 - Vacancies Any board vacancy, which occurs between July 1 and June 30, may be filled by appointment for the balance of the unexpired term by the Board Governance Committee. All appointments must be voted on and approved by the Hillel JUC Executive Committee.

The Executive Committee may, at its discretion, act upon the recommendations of the Board Governance Committee and replace any member who has resigned, is absent without reasonable cause or fails to uphold the minimum expectations of each Board member.

Section 4 - Powers and Duties The Board shall have the following powers and duties:

(a)

Fiduciary responsibility to ensure that the mission of the Hillel JUC is being executed in accordance with the bylaws.

(b)

Fiduciary responsibility for the provision of the necessary financial resources to ensure smooth and consistent financial operations.

(c)

Provide oversight and support to the Hillel JUC Executive Director and CEO in the fulfillment of his/her duties in carrying out the mission of the organization as well as working collaboratively with him/her to ensure a clear delineation of responsibilities between the board and the professional staff.

(d)

Delegate to the Executive Committee such responsibilities, as the Board shall deem necessary and proper. These include the creation and operation of the following standing committees: Finance, Development, and Board Governance/HR. Additional ad hoc committees may be created as deemed necessary by the Executive Committee.

(e)

Approve an annual operating budget in a thorough, transparent, and timely manner not to exceed the last day of the fiscal year as well as ensure excellence, judiciousness, total transparency, fiscal responsibility, and the implementation of the highest standards of financial management as indicated in the institution of a regular control audit review. The operating budget shall be prepared as a result of a series of joint meetings between the Finance and Development Committees in order to ensure that the projections of each committee are in total sync. The joint committees upon completion of their work shall present their findings to the Executive Committee for approval and thereafter to the Governing board for a vote.

(f)

The Hillel JUC will conduct an annual audit. The Audit Committee will be comprised of a duly appointed representative of the auditing firm, the Vice Chair of the Finance Committee, the Executive Director and CEO of the Hillel JUC, the Chair of the Board, the Vice Chair-elect, the CFO of the JFGP (or his/her appointee), and a minimum of two outside individuals who do not have a fiduciary connection to the agency. Additional members may be appointed by the Vice Chair of Finance and may include committee members of the Finance Committee who are not board members, as well as individuals who are former board members of the agency, but who currently are not officially serving in any voluntary or professional capacity on the behalf of the Hillel JUC. A minimum of one week prior to the audit meeting, the full draft of the audit must be provided to the full Board along with an invitation to the general Board of Governors to attend the meeting in order to preserve transparency of the process and the opportunity for Board members to fulfill their fiduciary responsibilities.

The Audit Committee’s recommendations shall be sent to the Finance Committee for approval. The Finance Committee is empowered by the Board of Governors to implement the recommendations of the Audit committee on behalf of the Board.

(g)

Board Members shall make a financial commitment to the Board consistent with the Board standard commitment as determined from time to time by the Executive Committee. While the standard commitment may be the recommended minimum commitment, those who are able to do more, are strongly encouraged to do so. All Board members shall be solicited prior to the end of Q1 of any fiscal year with all commitments encouraged to be paid prior to the end of Q2 with exceptions to be made for those who wish to pay off their commitments monthly or otherwise. Understanding that not all board members are comfortable soliciting, ALL board members are nonetheless expected to make introductions to potential donors on behalf of the professional staff. As such, while Board members will serve on a variety of committees, it is understood that ALL board members unofficially serve on the Development committee as it relates to being an Ambassador, making a financial commitment, and encouraging others to do so either through assistance in solicitations or through introductions for others to do so.

(h)

To work collaboratively with the Executive Director and relevant Jewish life staff to regularly and periodically review the programs of the Hillel JUC. These reviews will include an examination of several matrix’s and measurements as prepared by the staff with the goal of ensuring that the mission of the Hillel JUC is effectively and efficiently being met to the best capabilities of the staff and student leaders.

(i)

Authorize through the Board Governance/HR Committee (and in partnership with the Executive Director and CEO) a current and leading edge set of policies to ensure “best place to work” standards for Hillel JUC employees, as well as protocols to ensure a safe working environment that provides all staff with a confidential process to turn to if and when deviations from Hillel standards occur.

The Board Governance/HR Committee will also review the 360-degree semi-annual evaluations of the staff together with the Executive Director and make recommendations where necessary. The Executive Committee will annually prepare a 360-degree evaluation 4

of the Executive Director. Decisions regarding the Hillel JUC Executive Director and CEO’s compensation shall be ratified by a majority vote of the Hillel JUC Executive Committee.

Assist the ED and CEO when needed, in the interviewing process for new candidates, as well as in the preparation and delivery of exit interviews for departing staff. (j)

The Hillel JUC Executive Director and CEO shall not be employed, nor shall his/her employment be terminated, without the approval of the Hillel JUC Governing Board.

(k)

In the event of the departure of the Executive Director and CEO before a new one can be hired, the Executive Committee reserves the right to appoint an “interim” or “acting” Executive Director and CEO. While this authorization and selection comes from the Executive Committee, the full board must vote on this decision with a simple majority voting in agreement for this to occur.

ARTICLE V - OFFICERS OF THE GOVERNING BOARD Section 1 - Officers and Their Powers and Duties The Executive officers of the Governing Board shall be a Chair of the Board, and three Vice Chair’s including: Vice Chair of Finance, Vice Chair of Development, , and Vice Chair of Board Governance/HR. Chairs of ad hoc committees will also serve on the Executive Committee.

1. There will be an Immediate Past Chair who will also serve on the Executive Committee. The aforementioned shall be elected by the Hillel JUC Board at the Annual Board Meeting of the Hillel JUC and will be installed at the same Meeting, unless otherwise indicated in Article IV, Section 1, (a) and (b).

2. One trustee emeritus may serve on the executive committee of the Hillel JUC for a term no longer than two years in any capacity except Chair. The trustee emeritus serving on the executive committee will have all rights and responsibilities of an executive committee member (including full voting privileges).

Officers shall serve for a term of two years and no more than four years (two consecutive terms). The duties of these officers shall be as follows: (a) Chair - The Chair shall preside at all meetings of the Governing Board. S/he shall appoint all committees of the Board and shall be an ex-officio member of all committees.

S/he shall serve a two-year limit unless the Hillel JUC Governing Board permits a one-year extension. Prior to his/her term, the Chair must have served on the Hillel JUC Executive Committee for at least two years. (b) Succession planning. The Chair elect will be selected from the Vice Chair positions, with the exception of the trustee emeritus. He or She shall serve in the absence of the Chair. (ii) Each Vice Chair shall have a portfolio. The Vice Chairs in consultation with the Chair will be assigned to oversee a committee. Those committees include Finance, Development, , and Board Governance/HR. (c) Immediate Past Chair - The Immediate Past Chair shall serve in an advisory capacity as an active mentor to the Chair of the Board. (d) At the discretion of the Chair, individual Board members may be invited to attend Executive Committee meetings.

Section 2 - Eligibility Officers of the Hillel JUC Board are strongly encouraged to have served at least two years on the General Board prior to their being elected to the Executive Committee.

Section 3 - Limitation of Terms No person shall serve as an officer of the Hillel JUC Board in the same capacity for more than two consecutive terms. Officers completing their duties whose Board terms have otherwise expired may not be eligible to rejoin the General Board for a period of one year.

Section 4 - Nominating Committee The President shall appoint a Nominating Committee and chair for the purpose of presenting a slate of officers to the Board for election by no later than March of the current fiscal year.

The Nominating Committee shall consist of at least three members of the Hillel JUC Board, executive, including the Board Chair.

Section 5 - Vacancies See Article IV, Section 3, (a) and (b).

Section 6 - Executive Committee Recommendations In the event of an emergency, the Hillel JUC Executive Committee’s recommendations may be temporarily enacted without approval of the General Board and must be brought to the General Board at the next regular scheduled General Board meeting.

ARTICLE VI - MEETINGS OF THE GOVERNING BOARD Section 1 - Annual Meeting The Annual Meeting shall be held at any time in July, August, or September and at least five days notice of such meeting shall be given to the Board.

Section 2 - Regular Meetings There shall be a maximum of six meetings per fiscal year and no less than four meetings per fiscal year. The Chair in consultation with the Executive Director and CEO and the Executive Committee shall set dates and publish them no later than one month into a new fiscal year.

Section 3 - Quorum A quorum required for transaction of business at a Board meeting shall consist of ten voting members of the Board.

Section 4 - Committees and Frequency of Meetings While general board meetings will occur approximately every other month, Executive Committee meetings shall take place on a monthly basis except where and when decided by the standing Chair of that committee.

ARTICLE VII - AMENDMENTS The Bylaws may be amended by a two-thirds vote of those present at any meeting of Hillel JUC General Board, provided five days written notice of the proposed amendments have been given to all members of the Board.

Board members are strongly encouraged to underwrite student events and to participate in a minimum of two events each year, plus a Shabbat.

Board committees shall be filled by Board members but may also include members of the community at large and/or pre-qualified students who have already distinguished themselves in leadership positions on campus (as determined by staff).

The Board will organize and conduct an Annual Meeting each July, August, or September.

The Annual Meeting shall be a forum to honor outgoing members and welcome incoming members. The Annual Meeting should include a “state of the Hillel” presentation by the Executive Director and CEO either separately or in partnership with the Chair of the Board.

Chaired ad hoc and/or standing committees may be appointed at any time by the Board or Board Chair. The Hillel JUC General Board shall have the power to drop, reinstate, or create an ad hoc and/or standing committees as deemed necessary.

With individual exception, General Board members are suggested to personally donate $1,000 or more to the Hillel JUC’s Annual Campaign.

With individual exception, Executive Committee members are suggested to personally invest $2,000 or more to the Hillel JUC’s Annual Campaign with an understanding that the goal is a “quality” gift that represents the individual’s commitment to Hillel as the primary recipient of that individual’s philanthropy.

A Board orientation shall take place for new Board members prior to the first fall meeting.

It is suggested that General Board members raise, exclusive of their personal donations, $5,000 or more for the Hillel JUC’s Annual Campaign.

It is suggested that Executive Committee members raise, exclusive of their personal donations, $10,000 or more for the Hillel JUC’s Annual Campaign.

ARTICLE IX - DISSOLUTION STATEMENT In the event of the dissolution of the organization or in the winding up of its affairs or other liquidation of its assets, the organization’s property shall not be conveyed to any organization created or operated for profit or to any individual for less than the fair market value of such property; all assets remaining after all debts and expenses of the organization have been paid or provided for shall be conveyed or distributed by the Hillel JUC Governing Board to one or more organizations qualifying for the exemption afforded by Section 501(c)(3) of the Code and, if possible and practical, to an organization or organizations created and operated for non-profit purposes similar to those of this organization as the Governing Board of this organization may determine. Any such assets not so distributed shall be disposed of pursuant to an order by a Court of Common Pleas of competent jurisdiction, exclusively for such purposes or to such an organization or organizations, as said court shall determine.

Hillel JUC Board Member Agreement I understand that as a member of the Board of Directors of Hillel JUC, I have a legal and ethical responsibility to ensure that the organization does the best work possible in pursuit of its goals.

I believe in the purpose and the mission of the organization, and I will act responsibly and prudently as its steward.

As a board member, I recognize that I have the following responsibilities to the Hillel JUC: 1. I will interpret the organization's mission, work and values to the community, represent the organization, and act as a spokesperson.

2. I will interpret our constituencies' needs and values to the organization, speak out for their interests, and hold the organization accountable on their behalf.

3. I will attend at least 75 percent of board meetings, committee meetings, and special events.

4. I will review agendas, supporting reports, outcome data and metrics created by Hillel JUC for evaluating its impact before board meetings and committee meetings.

5. I will excuse myself from discussions and votes where I have a conflict of interest.

6. I will stay informed about what's going on in the organization. I will ask questions and request information. I will participate in and take responsibility for making decisions on issues, policies, and other matters. I will not stay silent if I have questions or concerns.

7. I will partner with the CEO and other board members to ensure that board resolutions are carried out.

8. I will contribute to the annual performance review of the CEO if asked.

9. Each year, but no later than Thanksgiving of each year and without having to be asked, I will make a personal financial contribution at a level that is commensurate with my capacity.

10. I will actively participate in Hillel’s fundraising activities and events.

11. I will serve on committees or task forces when asked.

12. I will help Hillel JUC to identify and recruit new board members.

13. I will work in good faith with staff and other board members as partners toward achievement of our goals.

14. If I don't fulfill these commitments to the organization, I will expect the board president to call me and discuss my responsibilities with me.

In turn, the organization will be responsible to me in the following ways: 1. I will be sent, without having to request them, quarterly financial reports and an update of organizational activities that allow me to meet the "prudent person" standards of the law.

(The "prudent person rule," applied in many legal settings in slightly differing language, states that an individual must act with the same judgment and care as, in like circumstances, a prudent person would act.)

2. Opportunities will be available for to me to discuss with the executive director and the board president the organization's programs, goals, activities, and status. I can request such opportunities if I feel the need to do so.

3. The organization will help me perform my duties by keeping me informed about issues in the industry and field in which we are working and by offering me learning opportunities during board meetings.

4. Board members and staff will respond in a straightforward fashion to questions that I feel are necessary to carry out my fiscal, legal, and moral responsibilities to this organization.

Board members and staff will work in good faith with me toward achievement of our goals.

5. If the organization does not fulfill its commitments to me, I can call on the board president and executive director to discuss the organization's responsibilities to me.

The Hillel JUC Board Development Committee The Development Committee assists the Board in meeting its fiduciary responsibility of ensuring the Hillel JUC maintains adequate financial resources needed to sustain the organization for the current year as well into the future.

The duties and responsibilities of the Development Committee is as follows: 

Review annual Development plan and adjust regularly throughout the year. Monitor goals and timelines of the development plan and suggest changes accordingly.



Review the previous year’s fundraising activity including annual appeal and make recommendations for improvements for new fiscal year.



Actively encourage all board members to cultivate contacts to bring them to the building for individual meetings, events, and programs.



Conduct personal solicitations and cultivate prospects on an ongoing basis.



Provide support for attendance and sponsorships for all major fundraising events.



Conduct an annual review of all major fundraising events.



Evaluate new means for donor cultivation.



Determine board fundraising expectations and goals; provide guidance for board members on meeting fundraising goals; track progress toward fundraising goals both for individual board members and for the board as a whole.

The Hillel JUC Board Finance Committee

The Role of the Finance Committee: The Finance Committee assists the Board in meeting its fiduciary responsibility of overseeing the fiscal operations of the Hillel JUC. This includes reviewing the general operating funds and restricted funds. The Finance Committee also works with staff to manage budgeting, financial planning, financial reporting and the creation and monitoring of internal controls and other financial policies.

The Hillel JUC Board Jewish Life Committee (ad hoc) The Vice Chair of Jewish Life chairs the Jewish Life Committee which is charged with ensuring that the mission of the organization is being met through the programs and experiences being created on campus and in the community.
