Karl Baldauf, Vice President, Policy & Government Relations for the Ontario Chamber of Commerce, shared an important presentation with attendees and led a Q & A discussion to answer concerns about the effect this proposed legislation would have on local business.

22ND ANNUAL BUSINESS EXCELLENCE AWARDS PRESENTED BY CRCS DKI AND PETLEY-HARE INSURANCE 2017 FINALISTS | BUSINESS PERSON OF THE YEAR | Don Lovisa, Durham College As president of Durham College, Don Lovisa helps fulfill the college’s vision: the student experience comes first. Each year, he takes pride in watching thousands of students graduate, armed with valuable skills that will allow them to launch rewarding careers.

Under Mr. Lovisa’s leadership, the college has thrived, realizing a significant growth in students, learning spaces and reputation. Enrolment increased from 7,000 when he took over the helm in 2008 to more than 11,000 last fall, making it the fastest-growing college in Ontario. It’s also one of Canada’s Top 50 Research Colleges, is among Durham Region’s largest employers and is regularly recognized as one of the Greater Toronto Area’s Top Employers.

Durham College has undergone a campus revitalization of nearly $140 million in renovations and new building. Mr. Lovisa helped bring together all levels of government to invest in the new Centre for Collaborative Education. A legacy project tied to the college’s 50th anniversary this year, it will bring together local, Indigenous and global community groups and members of key business sectors to meet the needs of students and the community.

Since Mr. Lovisa established a sustainability committee in 2010 to fulfill his personal commitment to address the college’s environmental footprint, Durham College has launched numerous initiatives and earned several prestigious environmental awards, including Gold in the Green College category at the World Federation of Colleges and Polytechnics Awards of Excellence in 2016.

Durham College understands it has a significant role to play in the social and economic wellbeing of its communities and contributes time, expertise and financial resources to numerous partnerships with community groups.

President and CEO Sajeeb Koya established the architectural and commercial lighting business from his dining room table in 2001. Today, its head office is located in Oshawa and it has sales and

marketing offices in the Middle East and India.

Its motto: “Under promise; over deliver.” 3S focuses on the end goal of creating iconic, stunning

lighting effect projects. Most of its products are manufactured in Canada and more than 90 per cent of its business involves export. Because its products are more expensive than competitive products from the Far East, 3S must educate prospective clients about why they should invest in a costlier but higher quality option.

3S supports such organizations as Canadian Missing Children Awareness and Prevention Programs, War Amps, Muslim Association of Whitby, Islamic Institute of Toronto, Easter Seals and SickKids Hospital. For several years, it has offered summer jobs for students.

As part of its commitment to the environment, 3S converted much of its work to digital media and reuses packing materials from incoming shipments for its own packing. When 3S chose LED as its prime lighting source in 2001, LED fixtures with real brightness weren’t available commercially so it developed a line of high-end commercial ones. Over the years, its high-performance products and creativity have earned numerous lighting awards.

OC has partnered with a mobile app company to help connect jobseekers to retailers. Farmers’ Market Fridays were established in 1959 and support local farmers while providing a resource for Ontario-grown produce and products. A complimentary walking club boasts more than 200 registered members.

OC supports numerous local, non-profit organizations and offers complimentary space for displays and setups. Its annual golf tournaments have raised more than $570,000 for Lakeridge Health Foundations over the past 25 years. It donated $20,000 to Hearth Place from last year’s holiday season gift-wrapping proceeds and $52,000 to United Way from gift-wrapping proceeds and fundraising events over a five-year period.

| INNOVATION | Loa-De-Mede Farms nesses on inclusive employment practices and how to improve accessibility. It has formal partnerships with 75 local organizations in the medical, educational and community sectors. The centre and its staff have earned numerous awards, including the Ontario David C. Onley Award for Leadership in Accessibility.

The centre hosts a program designed to improve the employment futures of young adults with autism, while another program is designed to meet the needs of adults with disabilities who are no longer eligible to receive services from the secondary school system. This year, the Abilities Centre launched a program to support athletes in high school and post-graduation as they strive for success at provincial, national and international levels of competition.

Its environmental efforts include switching to LED retrofit lights and cleaning equipment with cloths that can be washed and re-used. The centre has identified two challenges that it’s working hard to overcome: the public isn’t fully aware it’s a not-for-profit organization and believe it’s a facility only for people with disabilities.

Loa-De-Mede Farms produces milk that it sells to Dairy Farmers of Canada, which then allocates it to nearby processors. Although it doesn’t sell directly to the consumer, it’s responsible for their trust in its product and has earned Distinction of Merit Quality awards each year for the last 15 years and eight Gold Star Quality awards in that timeframe.

Loa-De-Mede also sells registered Holstein cows for breeding stock to other dairy farms. In agriculture, word of mouth, loyalty and honesty drive business success and Loa-De-Mede has a long list of repeat customers.

The farms started succession planning in 2010 and five years later, its plan was successfully

implemented. John Werry, a fourth-generation member of the Werry family, will carry on the family business. He was one of four young farmers to receive the Ontario Dairy Youth Award last year and is a member of the Progressive Dairy Operators of Ontario.

In the midst of succession planning, the land upon which Loa-De-Mede operated for decades was rezoned to commercial/residential and it was forced to find a new location. It relocated to a state-of-the-art robotic dairy facility in Oshawa in 2015. New technology provides quicker and improved care of its animals and a unique stall-free system that mimics outdoor housing creates a comfortable environment for the cows.

Loa-De-Mede is active with such organization as 4-H, Durham Region Milk Producers, the Durham Region Farm Connections Program and Port Perry Fair. It has a comprehensive environment farm plan and nutrient management plan to ensure its surface and ground water isn’t adversely affected by its farming activities.

| CIVIC PRIDE | Durham Catholic District School Board The Durham Catholic District School Board (DCDSB) provides a faith-based education system in our community.

Its participation in the Ontario EcoSchools program over the past decade illustrates its commitment to customer satisfaction, providing an opportunity for schools to certify and receive recognition for their environmental contributions. Thanks to board support, each of the DCDSB’s 46 schools became certified in the 2015-16 school year through the program – an accomplishment achieved by just two other school

boards in the province.

The board is expanding its school ground greening programs, a move that promises to positively

impact growth, learning and change because students will benefit from being outside and being more active in a learning environment. Through a streamlined reduce, reuse and recycle program in its schools and administrative buildings, the DCDSB is able to divert waste from landfills and reduce its carbon footprint.

As part of its commitment to continuous improvement, the DCDSB offers regular training to ensure its staff stays on top of technology and safety. It conducts regular inspections of schools and administrative buildings to ensure safety compliance. Employees are encouraged to complete surveys and provide feedback on things like conferences to help the board continually improve.

The board works with numerous community partners, including Durham parishes, the University of Ontario Institute of Technology, Durham College, and YMCA and PRYDE childcare centres. It works with the community to make its school gymnasiums available for both children’s and adult groups. It further contributes to the community through such initiatives as food and clothing drives, community clean-ups, water conservation projects and its Children’s Charitable Foundation.

| CIVIC PRIDE | Parkwood Estate The Parkwood Estate is an Oshawa landmark that celebrates its 100th anniversary in September. The Parkwood Foundation operates the estate as a museum and heritage garden, showcasing unique architectural and landscape architectural features, and the life, times and accomplishments of R.S. McLaughlin, founder of General Motors of Canada.

The National Historic Site connects the community to its automotive industry roots, providing visitors with a deeper understanding of how the McLaughlin family and their philanthropy shaped the Oshawa community, and the role GM played here.

Excellence in customer service and creating exceptional visitor experiences are driving forces.

Some filming for the Hannibal TV show took place at the estate so when a member of the Hannibal Fan Club inquired about arranging a visit, Parkwood went above and beyond to create an unforgettable experience.

Parkwood recently opened several spaces previously unseen by the public and created a Servants’ Tour and an Art Tour, and converted the floor of one of its buildings to create a bridal suite for brides getting married at Parkwood. It has earned numerous accolades. Parkwood was named one of the 150 Gardens/Garden Experiences to visit in Canada in 2017 by the Garden Council of Canada and is a finalist in the Attractions Ontario, Ontario Choice Awards.

As part of its commitment to community partnerships, Parkwood is a satellite location for Durham College’s horticulture program. Its reimagined gift shop creates opportunities for artisans and students in Durham College’s entrepreneurship program to sell their wares. As part of its commitment to the environment, Parkwood uses green cleaning supplies that are gentle on its artifacts and the environment.

| NEW ENTERPRISE | 2Co.Design Build 2Co.Design Build is a boutique-style design firm that offers interior design and home renovation services as well as home furnishings and décor. It has grown exponentially since opening its doors in January 2015 with about 500 square feet of office space. By year’s end, it added 350 square feet of studio space and this fall will open a 5,000-square-foot showroom.

This innovative company has created systems to manage challenges unique to its industry, which include keeping track of the hundreds of details needed to complete a successful renovation project. It holds weekly meetings to review its project portfolio and to plan and develop strategies for growth.

2Co.Design Build is active in the community. As part of its longstanding relationship with Station Gallery in Whitby, for instance, it decorates a home featured on the Holiday House Tour. It relies on local businesses for things like signage and vehicle wraps, and also uses local tradespersons and woodworkers. It seeks out and supports vendors that offer Canadian-made products.

It has provided items for auctions and fundraisers in support of such organizations as Simcoe Hall Settlement House, Lakeridge Health Foundations, Special Olympics Ontario, Big Brothers Big Sisters of South-West Durham and Camp Maple Leaf. It offers co-op opportunities for local high school students interested in pursuing careers in interior design.

2Co.Design Build donates items from renovation projects that can be reused and also donates discontinued fabric samples to local schools and art programs to divert them from landfills. Its commitment to staff development includes its participation in National Kitchen & Bath Association online courses and seminars on paint colours.

| NEW ENTERPRISE | Holiday Inn Express & Suites Downtown Oshawa When a couple from Ireland left their passports behind after staying at Holiday Inn Express & Suites Oshawa Downtown while attending a university conference, the hotel arranged for a limo driver to deliver their documents to the airport so they could catch their flight.

That commitment to customer service has helped the Holiday Inn achieve guest satisfaction scores of more than 90 per cent. It understands relationships with customers are the foundation of the hospitality industry and strives to exceed the expectations of its guests, who are invited to complete an email survey upon checkout and can also comment on online third party booking sites

like TripAdvisor.

Autonomy is key to its outstanding customer service and is a word embraced by all employees, the Holiday Inn reports. Staff are encouraged to come up with innovative solutions that make guests happy and to seek out training opportunities to enhance their skill sets.

The hotel is proud to contribute to the revitalization of downtown Oshawa and is already an active member of the community. It has extended a temporary and complimentary lease to the Oshawa Arts Association for the vacant space attached to the hotel. It has also sponsored Oshawa Economic Development and the Oshawa Generals.

Making the Most of Healthcare and Dental Benefits I’ve been asked about this by a number of people lately, so I thought perhaps it’s a timely subject for many, and worth writing about. When it comes time for your employees to make a benefit claim, you want to make sure that they are getting everything to which they are entitled. In many cases, getting the highest coverage may mean coordinating benefits with other insurance plans for maximum benefits.

Coordinating benefits is common with dental and drug claims, and happens if an employee or a dependent is covered under your group insurance plan and under a second employer's program (as a spouse or dependent). In these cases, the two plans may combine to pay up to 100% of the claim expenses. It works like this: When spouses both have coverage, claims should go to the patient's plan first. Any expenses not covered by the patient's plan should then be submitted to the spouse's plan, along with the Explanation of Benefits (EOB) from the initial claim.

For dependent's benefits, the claim goes to the plan covering the parent whose birthday falls earlier in the calendar year, then to the spouse's plan along with the EOB from the initial claim.

When parents are separated or divorced, dependent's claims should be submitted in this order: the plan of the parent with custody; the spouse of the parent with custody; the parent who does not have custody; and finally, to the plan of the spouse of the parent who does not have custody.

Remember to make photocopies of all documents before you send them in to each plan.

By coordinating benefits, you can ensure that your employees are making the most of their group benefit plan.

Welcome to the Oshawa Tour

of Growth and Development TAX PLANNING USING PRIVATE CORPORATIONS — THE GOVERNMENT SPEAKS Clyde Catton Finance Minister Bill Morneau has released the much anticipated consultation paper proposing changes to how private corporations are used to gain tax advantages. As expected the proposed changes are far-reaching and will impact all Canadians who use private companies, including family businesses and incorporated professionals. Certain proposals were accompanied by draft legislation with effective dates, demonstrating the government is moving ahead with these changes.

The proposals focus on three main areas that the federal government believes provide unfair tax results to Canadian taxpayers: • Income splitting with family members to reduce the overall family tax burden. This is generally achieved by having income that would otherwise be earned by an individual who is taxed at high marginal personal tax rates taxed in the hands of family members who are taxed at lower marginal rates; tax ad• Perceived vantages achieved through the accumulation of a passive investment portfolio owned by a private corporation; and • Strategies that convert regular income or dividend income of a private corporation into capital gains, which are taxed at lower tax rates.

The government has commenced a 75-day consultation process during which it will accept submissions on these proposals.

Following is a summary of what the consultation paper contains.

INCOME SPLITTING Income sprinkling There are rules in place to curtail income splitting with certain minors (known as the tax on split income or “kiddie tax” rules). These rules prevent the transfer of income from high income earning individuals to their children under the age of 18 by taxing split income, such as dividends from private companies, as well as income from a partnership or trust derived from a business or rental activity of a related individual, at the top marginal personal tax rates.

The government is proposing to apply the tax on split

income to any Canadian resident individual, regardless of age, who receives split income to the extent that the split income is determined to be unreasonable. An amount would be considered unreasonable to the extent that it exceeds what an arm’s length individual would have paid. Split income will now also include salaries and wages, in addition to dividends and other income included in the current definition of split income.

These proposals would be effective for 2018 and later tax years and may severely limit the ability of business owners to split income with family members.

Multiplication of the Capital Gains Exemption A surprise in the document released by the federal government was the significant restrictions proposed for the use of the lifetime capital gains exemption (LCGE). The LCGE provides an exemption in computing taxable income in respect of capital gains realized by individuals on the disposition of qualified small business corporation shares and qualified farm or fishing property.

The LCGE may be claimed by several members of the family in circumstances where those individuals are legal owners of the business.

The policy paper proposes to significantly restrict the circumstances in which the LCGE may be claimed including: • Individuals will no longer qualify for the LCGE in respect of capital gains that accrue before that individual reaches 18 years of age.

• The LCGE will generally not apply to the extent that the taxable capital gain arising from the disposition is included in the individual’s split income.

• Subject to certain exceptions, gains that accrue in a trust will no longer be eligible for the LCGE. These proposals have significant impact to many Canadian private company shareholders.

These proposed rules will generally apply to dispositions occurring after 2017; however transitional rules are being proposed for certain dispositions that occur in 2018.

HOLDING PASSIVE INVESTMENTS INSIDE A PRIVATE CORPORATION The concept of integration

in the Canadian tax rules ensures that an owner-manager carrying on a business in a corporation pays essentially the same amount of tax on that business income as they would pay if they had earned that income personally. The business income earned is taxable in the corporation and the dividend distributed to the owner-manager is taxable to the individual. The current system allows for a tax deferral of the individual tax payable if the shareholder leaves the funds in the corporation. The government believes that this tax deferral results in a significant tax advantage to owners of private corporations.

The government is seeking feedback with respect to suggested solutions outlined in the paper to deal with the taxation of investment income in a private corporation in order to eliminate this perceived advantage. The suggested methods would require taxpayers to identify the source of funds in the company that are being used to generate investment income, with the tax rate applied to this income being different depending on the source of funds. Additional non-refundable taxes on investment income would be used to eliminate the tax deferral advantage that accu-

mulating investments in a corporation currently offers.

The paper is clear that the changes the government is considering should not apply to companies that reinvest the after-tax profits in the active business operations.

CONVERTING INCOME INTO CAPITAL GAINS The third area addressed in the consultation paper deals with the manner in which shareholders of private corporations extract funds from their corporations. A significant tax benefit can be obtained by individual shareholders with higher incomes when planning is undertaken to convert corporate surplus that would normally be taxable as dividends or salary into lower-taxed capital gains. This is often referred to as surplus stripping.

In an effort to prevent such planning, the government is proposing two measures to prevent the surplus income of a private corporation from being converted to a capital gain and stripped from the corporation. The first is the expansion of an existing antiavoidance rule to include situations where the cost base of shares transferred to a nonarm’s length corporation is increased in a taxable transaction, and that allows for this

cost base to be extracted. The second is the proposal of a new anti-avoidance rule aimed specifically at surplus stripping.

It is proposed that both of these measures will be effective as of the release date of July 18, 2017. This type of planning can no longer be implemented if these measures are enacted.

The government also indicated it would consider whether there are features of the current income tax system that have an inappropriate and adverse impact on genuine business transactions involving family members. A concern has been raised that the application of current anti-avoidance rules can be an issue in certain cases on the transfer of a business from one generation to another within a family because the LCGE would not be available. The government has requested feedback from stakeholders on how the tax rules could better accommodate genuine intergenerational business transfers while protecting against potential abuses that could arise with certain planning.

Canadian taxpayers received proposals with effective dates and draft legislation on income splitting and conversion of capital gains. The federal government is asking for further consultation around holding passive investments inside a private corporation.
