Geltungsbereich

1.1

Diese Geschäftsbedingungen der „scienova GmbH „ (nachfolgend „Verkäufer“), gelten für alle Verträge, die der Kunde mit dem Verkäufer hinsichtlich der im Katalog des Verkäufers dargestellten Produkte und/oder Leistungen unter Verwendung elektronischer Fernkommunikationsmittel (z. B. Telefon, Fax, E-Mail) ausschließlich durch individuelle Kommunikation im Sinne des § 312e Abs. 2 Satz 1 BGB (also nicht über ein Online-Bestellformular) abschließt. Hiermit wird der Einbeziehung von eigenen Bedingungen des Kunden widersprochen, es sei denn, es ist etwas anderes vereinbart.

1.2

Kunden im Sinne der Ziffer 1.1 sind sowohl Verbraucher als auch Unternehmer, wobei ein Verbraucher jede natürliche Person ist, die ein Rechtsgeschäft zu einem Zweck abschließt, der weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden kann. Dagegen ist ein Unternehmer jede natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss eines Rechtsgeschäfts in Ausübung ihrer selbständigen beruflichen oder gewerblichen Tätigkeit handelt.

Vertragsschluss

2.1

Die im Katalog des Verkäufers enthaltenen Produktdarstellungen dienen zur Abgabe eines rechtlich verbindlichen Angebots durch den Kunden.

2.2

Der Kunde kann das Angebot telefonisch, schriftlich, per Fax oder per E-Mail abgeben. Hierfür kann der Kunde den dem Katalog beigefügten Bestellcoupon nutzen, welcher von ihm auszufüllen und per Post, per Fax oder per Email an den Verkäufer zu senden ist.

2.3

Der Verkäufer kann das Angebot des Kunden durch eine schriftliche (Brief) oder elektronisch übermittelte Fax oder E-Mail) Auftragsbestätigung oder durch Auslieferung der Ware innerhalb von zehn Tagen annehmen. Der Verkäufer ist berechtigt, die Annahme der Bestellung abzulehnen.

Rücksendekosten bei Ausübung des Widerrufsrechts Hat der Kunde ein Widerrufsrecht nach § 312d Abs. 1 Satz 1 BGB, so werden ihm bei Ausübung des Widerrufsrechts die regelmäßigen Kosten der Rücksendung auferlegt, wenn der Preis der zurückzusendenden Sache einen Betrag von 40 Euro nicht übersteigt oder wenn bei einem höheren Preis der Sache der Kunde die Gegenleistung oder eine Teilzahlung zum Zeitpunkt des Widerrufs noch nicht erbracht hat, es sei denn, dass die gelieferte Ware nicht der bestellten entspricht. In allen anderen Fällen trägt der Verkäufer die Kosten der Rücksendung.

Preise und Zahlungsbedingungen

4.1

Die im Katalog angegebenen Preise verstehen sich als Nettopreise (exklusive der gesetzlichen deutschen Umsatzsteuer). Gegebenenfalls zusätzlich anfallende Liefer- und Versandkosten werden bei der jeweiligen Produktdarstellung im Angebot gesondert angegeben. Weitere Kosten fallen im Einzelfall bei grenzüberschreitenden Lieferungen an, wie z.B. weitere Steuern und/oder Abgaben, etwa in Form von Zöllen.

4.2

Für Lieferungen innerhalb Deutschlands bietet der Verkäufer folgende Zahlungsmöglichkeiten an, sofern in der jeweiligen Produktdarstellung im Angebot nichts anderes bestimmt ist: 1. Vorauskasse per

4.4

Bei Zahlung per Vorauskasse (Vorabüberweisung) gewährt der Verkäufer 2 % Skonto auf den Bruttowarenwert der jeweiligen Bestellung.

Ist Vorauskasse vereinbart, ist die Zahlung sofort nach Vertragsabschluss fällig.

4.6

Bei Auswahl der Zahlungsart Lieferung auf Rechung wird der Kaufpreis fällig, nachdem die Ware geliefert und in Rechnung gestellt wurde. In diesem Fall ist der Kaufpreis innerhalb von 10 (zehn) Tagen ab Erhalt der Rechnung ohne Abzug zu zahlen, sofern nichts anderes vereinbart ist. Der Verkäufer wird in diesem Fall ermächtigt, die Daten des Kunden zum Zwecke einer Bonitätsprüfung an die:

weiterzugeben. Der Verkäufer behält sich das Recht vor, abhängig vom Ergebnis der Bonitätsprüfung dem Kunden die Zahlungsart Lieferung auf Rechnung zu verweigern. 4.7

Bei Auswahl der Zahlungsart Bankeinzug (Lastschrift) und der Übermittlung der Bankverbindungsdaten des Kunden wird der Verkäufer widerruflich ermächtigt, den Rechnungsbetrag von dem angegebenen Konto des Kunden einzuziehen. Darüber hinaus wird der Verkäufer ermächtigt, die Daten des Kunden zum Zwecke einer Bonitätsprüfung an die in 4.6 genannten Unternehmen weiterzugeben. Der Verkäufer behält sich das Recht vor, abhängig vom Ergebnis der Bonitätsprüfung dem Kunden die Zahlungsart Bankeinzug (Lastschrift) zu verweigern. Wird die Lastschrift mangels ausreichender Kontodeckung oder aufgrund der Angabe einer falschen Bankverbindung nicht eingelöst oder widerspricht der Kunde der Abbuchung, obwohl er hierzu nicht berechtigt ist, hat der Kunde die durch die Rückbuchung des jeweiligen Kreditinstituts entstehenden Gebühren zu tragen, wenn er dies zu vertreten hat.

4.8

Der Kunde ist zur Aufrechnung nur dann berechtigt, wenn die Gegenforderung unbestritten, rechtskräftig festgestellt oder von dem Verkäufer anerkannt ist.

4.9

Der Kunde kann ein Zurückbehaltungsrecht nur ausüben, soweit es sich um Forderungen aus demselben Vertragsverhältnis handelt.

Liefer- und Versandbedingungen

5.1

Die Lieferung von Waren erfolgt regelmäßig auf dem Versandwege und an die vom Kunden angegebene Lieferanschrift. Bei der Abwicklung der Transaktion ist die in der Bestellabwicklung des Verkäufers angegebene Lieferanschrift maßgeblich. Abweichend hiervon ist bei Auswahl der Zahlungsart PayPal die vom Kunden bei PayPal hinterlegte Lieferanschrift maßgeblich.

Ist eine Lieferung an den Kunden nicht möglich, sendet das beauftragte Transportunternehmen die Ware an den Verkäufer zurück, wobei der Kunde die Kosten für die erfolglose Anlieferung zu tragen hat. Dies gilt nicht, wenn der Kunde den erfolglosen Zustellungsversuch nicht zu vertreten hat oder er hierdurch sein Widerrufsrecht ausübt.

5.3

Grundsätzlich geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der verkauften Ware mit der Übergabe an den Kunden oder eine empfangsberechtigte Person über. Handelt es sich bei dem Kunden um einen Unternehmer (dieser handelt in Ausübung seiner gewerblichen oder selbständigen beruflichen Tätigkeit; § 14 BGB), geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung beim Versendungskauf mit der Auslieferung der Ware am Geschäftssitz des Verkäufers an eine geeignete Transportperson über.

5.4

Gegenüber einem Unternehmer gelten alle vereinbarten Lieferfristen vorbehaltlich richtiger und rechtzeitiger Selbstbelieferung in Fällen, in denen der Verkäufer ein konkretes Deckungsgeschäft abgeschlossen und die fehlende Verfügbarkeit nicht zu vertreten hat.

Eigentumsvorbehalt Die gelieferte Ware des Verkäufers bleibt bis zur vollständigen Bezahlung im Eigentum des Verkäufers.

Mängelhaftung Liegt ein Mangel der Kaufsache vor, gelten die gesetzlichen Vorschriften. Hiervon abweichend gilt:

7.1

Für Unternehmer begründet ein unwesentlicher Mangel grundsätzlich keine Mängelansprüche. Hat der Verkäufer die Wahl der Art der Nacherfüllung, beträgt bei neuen Waren die Verjährungsfrist für Mängel ein Jahr ab Gefahrübergang. Sind bei gebrauchten Waren die Rechte und Ansprüche wegen Mängeln grundsätzlich ausgeschlossen. Beginnt die Verjährung nicht erneut, wenn im Rahmen der Mängelhaftung eine Ersatzlieferung erfolgt.

7.2

Für Verbraucher beträgt die Verjährungsfrist für Mängelansprüche bei neuen Waren zwei Jahre ab Ablieferung der Ware an den Kunden. Bei gebrauchten Waren ein Jahr ab Ablieferung der Ware an den Kunden.

7.3

Für Unternehmer bleiben die gesetzlichen Verjährungsfristen für den Rückgriffsanspruch nach § 478 BGB unberührt, gleiches gilt für Unternehmer und Verbraucher bei einer vorsätzlicher Pflichtverletzung und arglistigem Verschweigen eines Mangels.

7.4

Darüber hinaus gilt für Unternehmer und Verbraucher, dass die vorstehenden Haftungsbeschränkungen in Ziffer 7.1 und Ziffer 7.2 sich nicht auf Schadens- und Aufwendungsersatzansprüche beziehen, die der Käufer nach den gesetzlichen Vorschriften wegen Mängeln geltend machen kann. Für diese Ansprüche gilt Ziffer 8.

7.5

Ist der Kunde Kaufmann i.S.d. § 1 HGB, trifft ihn die kaufmännische Untersuchungs- und Rügepflicht gemäß § 377 HGB. Unterlässt der Kunde die dort geregelten Anzeigepflichten, gilt die Ware als genehmigt.

7.6

Ist der Kunde Verbraucher, wird er gebeten, angelieferte Waren mit offensichtlichen Transportschäden bei dem Zusteller zu reklamieren und hiervon den Verkäufer in Kenntnis zu setzen. Kommt der Kunde dem nicht nach, hat dies keinerlei Auswirkungen auf seine gesetzlichen oder vertraglichen Mängelansprüche.

7.7

Ist die Nacherfüllung im Wege der Ersatzlieferung erfolgt, ist der Kunde dazu verpflichtet, die zuerst gelieferte Ware innerhalb von 30 Tagen an den Verkäufer auf dessen Kosten zurückzusenden. Die Rücksendung der mangelhaften Ware hat nach den gesetzlichen Vorschriften zu erfolgen.

7.8

Die Abtretung der Mängelansprüche des Kunden ist ausgeschlossen.

Haftung

8.1

Der Verkäufer haftet aus jedem Rechtsgrund uneingeschränkt bei der Verletzung des Lebens, des Körpers oder der Gesundheit, bei Vorsatz oder grober Fahrlässigkeit, bei Arglist und Garantieversprechen und wenn die Haftung nach zwingenden gesetzlichen Vorschriften, wie etwa dem Produkthaftungsgesetz, erfolgt.

8.2

Im Übrigen haftet der Verkäufer gleich aus welchem Rechtsgrund wie folgt:

Sofern der Verkäufer fahrlässig eine vertragswesentliche Pflicht (sog. Kardinalpflicht) verletzt hat, ist die Ersatzpflicht für Sachschäden auf den vorhersehbaren, typischerweise entstehenden Durchschnittsschaden beschränkt. Wesentliche Vertragspflichten sind Pflichten, die der Vertrag dem Verkäufer nach seinem Inhalt zur Erreichung des Vertragszwecks auferlegt, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht und auf deren Einhaltung der Kunde regelmäßig vertrauen darf.

8.4

Sofern der Verkäufer fahrlässig eine unwesentliche Vertragspflicht verletzt hat, ist die Ersatzpflicht auf den Auftragswert begrenzt.

Anwendbares Recht

9.1

Für sämtliche Rechtsbeziehungen der Parteien gilt das Recht der Bundesrepublik Deutschland unter Ausschluss der Gesetze über den internationalen Kauf beweglicher Waren. Bei Verbrauchern gilt diese Rechtswahl nur insoweit, als nicht der gewährte Schutz durch zwingende Bestimmungen des Rechts des Staates, in dem der Verbraucher seinen gewöhnlichen Aufenthalt hat, entzogen wird.

9.2

Ist der Kunde Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag der Geschäftssitz des Verkäufers. Dasselbe gilt, wenn der Kunde keinen allgemeinen Gerichtsstand in Deutschland oder der EU hat oder Wohnsitz oder gewöhnlicher Aufenthalt im Zeitpunkt der Klageerhebung nicht bekannt sind. Die Befugnis, auch das Gericht an einem anderen gesetzlichen Gerichtsstand anzurufen bleibt hiervon unberührt.
