Frederick Goldman, Inc. (āFGIā) will create ļ¬nished jewelry pieces from āSource Materialā that is provided from you, a retail jeweler (the āCompanyā). Source Material can be in the form of sketches, photographic representations of jewelry, CAD designs, verbal instructions or other forms of information, that will be used for Design Inspiration (all of the foregoing being āDesign Inspirationsā). Design Inspirations provided by the Company to FGI are the sole creation of the Company, even though FGI may assist the Company in interpreting the Design Inspirations in the process of converting them into a ļ¬nished piece of jewelry. The Company accepts full responsibility for any copyright and/or other infringement of third-party designs. FGI will have no liability for producing jewelry from Company supplied Source Material and Design Inspirations and the Company will hold FGI (inclusive of its o cers, employees, shareholders and others) harmless from and against all claims (copyright infringement or other), losses, liabilities, costs, damages, and expenses (including, but not limited to, attorneyās fees and disbursement and amounts paid in settlement).
