THE SEPARATION OF POWERS: FRAMEWORK FOR FREEDOM
T
he American Bar Association’s theme for Law Day 2018, Tuesday, is “Separation of Powers: Framework to Freedom.” It focuses on the structure laid out in the U.S. Constitution that established the executive, judicial and legislative branches of American government and law. The Constitution also defines the authorities and powers of each branch,
how they may interact and how each serves to provide a system of checks and balances on the power of the others. The annual Law Day, and in the case of the Jacksonville legal community, Law Week, is an opportunity to consider how the separation of powers preserves rights and liberty in the American democratic republic.

Democracy is a great concept that doesn’t work without structural protection. America was the first democratic system that worked long-term, and that’s because of the constitutional structure that divides powers and protects us from electoral swings and the personal whims of those popularly elected. From time to time (especially when our own preferences are reflected in the popular will), we forget about the value of the separation of powers and wonder why we just can’t just change the country immediately, or take it back to some nonexistent romanticized past. Looking back historically, we can see times when our nation could have easily followed the direction of other countries that swung too quickly toward the latest political trend and see how we benefited from the division of powers that kept us from dashing in directions that would have upended our society. Our country is now holding its breath, hoping that those same institutional protections will protect us from the latest flavor of democratic populism, and so far it appears that we are weathering the storm. I think that we will ultimately be successful and history will once again credit the separation of powers structure as the reason for that success.
The framers of the Constitution understood that a requirement for separation of powers among the branches of the federal government was essential to the operation of the rule of law. The Constitution deliberately provides each branch with authority to have a “say-so” about the operation of the other branches. This beautiful governmental system of separation of powers and checks and balances limits the inherent risks of any one branch of the government attaining tyrannical power over “we the people.” The Constitution introduced a document drafted by men that recognized that the God-given rights of every individual must be held in higher esteem than the government’s prerogative to enact burdensome laws that govern them. Yet, the American rule of law system is not a flawless one. Our legal system operates by the work of flawed people who hold imperfect information and interpret the same under the cloud of various human biases. The American rule of law has no superiors among its counterpart justice systems because the rights of individuals to life, liberty and the pursuit of happiness matter.
Cautious adherence to the separation of powers is essential to the rule of law. The public only trusts a judicial branch that is not beholden to popular sentiment or partisan politics and instead consistently adheres to the Constitution and respect for binding precedent. Having spent time in countries with an overly powerful executive branch or an overly weak judicial branch, from my perspective, freedom is only ensured by the separation of powers.

KBJ Architects leases top of Bank of America Tower The 72-year-old firm will see its Downtown designs from the 42nd-story offices. By mid-May, KBJ Architects is expected to occupy the top floor of Jacksonville’s tallest building, the 42-story Bank of America Tower Downtown. Originally the executive offices for Barnett Banks Inc., the space served several purposes, including as a restaurant. “It is going to be the coolest office space in Jacksonville,” said Traci Jenks, senior director of Cushman & Wakefield. She represented KBJ in the negotiations. Jacksonville-based KBJ sold its 510 N. Julia St. property in December to a Missouri-based real estate investor. The sale came a year after Landrum & Brown, a global aviation planning company based in Cincinnati, bought KBJ in November 2016. Founded in 1946, KBJ is an architectural and interior design firm. It will lease about 13,000 square feet of space in the structure at 50 N. Laura St. KBJ President Tom Rensing said the global firm is scheduled to move in May 13. He said about 20 people will move and the company is hiring four to five more people. “We have a lot of work around the world,” Rensing said. Jenks said KBJ will not modify

the offices much. “They wanted to keep the beautiful timeless finishes that were already in the space,” she said. The tower was built in 1990 for the legendary Jacksonville-based Barnett Banks Inc. The KBJ space will include the office suite of the late Charles Rice, the chairman and CEO of Barnett Banks who led the company for about 20 years, ending with its sale in 1998 to NationsBank, which became Bank of America. After the offices no longer were used for banking, the Skyline Dining and Conference Center operated a café on the 42nd floor. Parts of the floor also are used as conference center space. News about the move came from JLL, which is Jones Lang LaSalle, as it reported in its firstquarter Office Insight that Lan-
drum & Brown signed a lease to move into the top floor of the tower. Michael Loftin, executive vice president of JLL, said Friday that Landrum & Brown signed a lease in January. He said the move allows KBJ “to be able to look out over all the Downtown buildings they designed.” KBJ’s designs include 27 Downtown projects, such as the Duval County Courthouse, CSX Corp. headquarters and First Baptist Church of Jacksonville. To prepare for the move, the shared office stairwell between the 41st and 42nd floors was removed to separate the tenants. The Nelson Mullins law firm leases the 41st floor. Loftin said the Nelson Mullins reception area where the stairwell was removed is receiving

new finishes to match the rest of its reception area. Loftin and former JLL Associate Jamie Alteri represented the tower’s landlord, Hertz Investment Group. The Californiabased real estate investment and management group bought the tower in 2014 for $88 million. Loftin said Colliers International Northeast Florida now handles leasing for the tower. The

Deutsche Bank has been a big economic win for Jacksonville over the past decade, growing into one of the city’s largest employers with about 2,000 jobs. However, while the previous CEO touted Deutsche Bank’s growth in Jacksonville, new Chief Executive Christian Sewing last week announced intentions to cut back the German bank’s U.S. activities. The company would not comment on how Sewing’s plan could impact Jacksonville, which is Deutsche Bank’s secondlargest operations center after New York. B l o o m b e rg News, citing an unnamed Sewing source, reported Deutsche Bank fired 400 of its 10,300 U.S. workers last week and the cuts could eventually reach 1,000. It did not say which cities were impacted by the cuts. Previous CEO John Cryan, on a visit to the offices in August 2016, said he expected continued growth in the Jacksonville operations, which opened in 2008. However, Cryan was fired three weeks ago after three straight years of losses for Deutsche Bank on his watch, with Sewing promoted to replace him. In a statement issued Thursday, Sewing said Deutsche Bank will need to cut costs to improve its finances. “These cutbacks will be painful, but they are unfortunately unavoidable if we want to be sustainably profitable in the best interests of our bank, our clients and our investors,” he said. Among the changes will be a bigger focus on Europe in the bank’s corporate finance division. “We will reduce our commitment to sectors in the U.S. and Asia in which cross-border activity is limited,” he said. Deutsche Bank also will reduce its U.S. securities business, he said.

“Given our results and our share price, it is our imperative to take tough decisions and ensure we implement them in a disciplined way,” Sewing said.
Winn-Dixie parent proposes board Southeastern Grocers LLC filed an updated Chapter 11 reorganization plan last week that still doesn’t say who will own the company when it emerges from bankruptcy. However, the updated filings do include a proposed board of directors for the Jacksonvillebased company, which operates Winn-Dixie and three other supermarket chains. Southeastern filed its prepackaged reorganization plan, with prior approval of most creditors, in U.S. Bankruptcy Court in Delaware on March 27. A confirmation hearing for the plan is scheduled for May 14. As previously revealed in court documents, CEO Anthony Hucker will be one of five directors on the board. An updated disclosure statement filed by the company proposes the other four board members: Lionel Harris, fund manager at Fidelity Management & Research Co.; Alan Lhota, senior managing director at Stifel Financial Corp.; Neal Goldman, managing member of Sage Capital Investments LLC; and Anthony Abate, chief operating officer and chief financial officer of education technology company Echo360 Inc. Southeastern’s reorganization plan includes issuing stock to holders of unsecured notes, but court documents don’t say who those holders are who will end up as the owners of the company. Documents have suggested investment firm Fidelity (which is not related to Jacksonvillebased title insurance firm Fidelity National Financial Inc.) could be a significant noteholder, so it is
no surprise to see a Fidelity representative appointed to the board. There hasn’t been anything in the documents indicating investment firm Stifel will be a significant shareholder. Sage is a consulting firm that specializes in turnaround situations. There is nothing in court documents about an Echo360 connection to Southeastern’s plans. Southeastern is owned by affiliates of Lone Star Funds. The investment firm’s ownership interest will be wiped out in the reorganization, but Lone Star will get a warrant entitling it to buy up to 5 percent of the stock.
Ameris seeking more acquisitions Ameris Bancorp is closing in on completing its purchase of Jacksonville-based Atlantic Coast Financial Corp. and is on the lookout for more acquisition targets. “We believe that we should get approval on the ACFC transaction in Jacksonville any day now, and we’re prepared to close right away,” CEO Edwin Hortman said in the company’s quarterly conference call. He did not say which regulatory agencies still need to give approval. Hortman said the conversion is scheduled for mid-June and he welcomed the bankers who will be joining the company from Orlando, Tampa and here in Jacksonville. Atlantic Coast Financial has eight bank branches in Jacksonville and three in Southeast Georgia, and has loan offices in Orlando and Tampa. Ameris officially is headquartered in Moultrie, Georgia, but its executive offices are in Jacksonville. The company has another deal pending to expand in the Atlanta area with the acquisition of Hamilton State Bancshares Inc., and Hortman said he is talking to

Landstar System Inc., as expected, reported a big increase in first-quarter earnings. The Jacksonville-based trucking company Wednesday reported earnings of $1.37 a share, up from 77 cents in the first quarter of 2017, with revenue jumping 35 percent to $1.048 billion. The big increases were no surprise because Landstar updated its forecast for the quarter four weeks ago. “Our 2018 first quarter financial performance was by far the best first quarter performance in Landstar history,” CEO Jim Gattoni said in the company’s conference call. “In our view, the overall environment for Landstar is as strong as it has been in any point over the last two decades and Landstar is firing on all cylinders.” Landstar is forecasting secondquarter earnings of $1.48 to $1.54 a share, up from 89 cents the previous year. Revenue is forecast between $1.115 billion to $1.165 billion. Gattoni said Landstar is on track to pass $4 billion in revenue this year for the first time in its 30-year history. Revenue was about $3.6 billion last year.
Patriot reports loss amid rising revenue Jacksonville’s other publicly traded trucking company, Patriot Transportation Holding Inc., reported a net loss of $188,000, or 6 cents a share, for its second quarter ended March 31. Total revenue rose 2.1 percent to $28 million but excluding fuel surcharges passed on to customers, transportation revenue fell 1.2 percent to $25.4 million. “Management is not pleased with the financial results from our business. We will continue to make the necessary improvements to our plan to improve bottom line results,” CEO Robert Sandlin said in Patriot’s conference call. Patriot’s main business is trans-
Ceridian IPO jumps at opening Ceridian HCM Holding Inc. had a very successful initial public offering last week. After saying it wanted to sell 21 million shares at $19 to $21 each, the human resources technology company’s stock offering was priced at $22. And when trading began Thursday on the New York stock exchange, the price jumped as high as $31.75. Cannae Holdings Inc., the investment firm spun off from Fidelity National Financial, is a partner in Ceridian and will continue to own about 27 percent of the stock after the IPO, according to Securities and Exchange Commission filings. Ceridian trades under the ticker “CDAY.”
St. Joe reports operating loss The St. Joe Co. reported firstquarter earnings of $700,000, or 1 cent a share, helped by investment gains. However, excluding special items, the real estate development company had an operating loss of about $500,000 in the quarter. Compensation costs also rose as Patriot, like other trucking companies, had to increase pay to deal with driver shortages. “We continue to see high driver turnover, poor applicant flow and lower quality of applicants and we anticipate this challenge to continue for the foreseeable future,” Sandlin said. Landstar operates differently from trucking companies like Patriot. Instead of employing drivers, Landstar contracts with drivers who own their own trucks to haul freight. However, Gattoni acknowledged the driver shortage problem in Landstar’s conference call. “You can bring all the trucks you want but with unemployment about 4 percent, where do the drivers come from?” he said. So far, the driver issues are not affecting Landstar’s business, he said.

The power of the press: Madison used media to promote separation of powers
By U.S. District Judge Timothy Corrigan Special to the Daily Record How fitting that when you enter the federal courthouse, you immediately come upon a display of the Bill of Rights. As a federal judge, I am a daily user of the Bill of Rights and have always been interested in its origins. In September 2015, I visited Montpelier, the Virginia home of James Madison, one of the principal drafters of the Bill of Rights. Madison, sometimes called the “Father of the Constitution,” was also a member of the Virginia legislature, Congress, and he was the fourth president of the United Corrigan States. Note though, that like many of the founders, Madison was a slaveholder. Ironically, Madison originally thought a Bill of Rights unnecessary but, bowing to anti-federalist complaints that the government formed under the new Constitution threatened individual liberties, Madison jumped in with both feet. He realized that if he took a leading role in drafting the amendments, he could restrict their content to protecting individual rights, rather than making major structural changes to the newly constituted government. So, Madison embarked on what he later described as “the nauseous project of the amendments.” Working from his second-floor study at Montpelier, Madison consulted the great political works of the past and the constitutions of other governments as he crafted the amendments. Once he had completed his task, he then worked with Congress and the “Committee of the Whole” to finalize them. Some of Madison’s work survived unscathed. For example, the Fourth Amendment, prohibiting unreasonable
by Max Marbut Associate Editor For a special interest group to use mass media to influence public opinion is not a recent trend — it was used by the framers of the Constitution to guide public opinion toward ratification. James Madison, Alexander Hamilton and John Jay submitted a series of letters to newspapers under the pen name “Publius” that advocated for the Constitution’s role in setting up a national government in the best interest of the public. Two of the letters, known as Federalist 47 and Federalist 51 after the collection was published in book form in 1788, deal directly with the separation of powers. The letter published Feb. 1, 1788, in the New York Packet is attributed by historians to Madison, who makes the case for defining the authorities of the three branches of government. “The accumulation of all powers, legislative, executive and judiciary, in the same hands, whether of one, a few, or many, and whether hereditary, selfappointed, or elective, may justly be pronounced the very definition of tyranny” and “the preservation of

searches and seizures, was adopted nearly verbatim from Madison’s proposal. I imagine this conversation: Dolley Madison: “Honey, how was work today?” James Madison: “Fine. I wrote the Fourth Amendment.” Others, particularly the First Amendment, were hotly debated and became the product of compromise. However, the first words of the First Amendment, “Congress shall make no law respecting an establishment of religion . . .” was a victory for Madison and something of great importance to him. The other amendments underwent similar revision but much of the essence
and wording that Madison originally proposed is in the final version. Space prevents a lengthier discussion of Madison’s proposals as compared to the final result, but it is a fascinating exercise. In the end, the states adopted 10 of the 12 proposed amendments to the Constitution, becoming what we now call the Bill of Rights. Madison proved prescient even on some issues on which he lost. Madison’s proposal to apply the Bill of Rights to the
liberty requires that the three great departments of power should be separate and distinct,” it states. He then describes facets of British government organization and cites examples from New England and Southern state constitutions, including Georgia’s, which declared that “the legislative, executive, and judiciary departments shall be separate and distinct, so that neither exercise the powers properly belonging to the other.” A week later, another essay, attributed to Madison or Hamilton, was published by the Packet and expanded on the concept of checks and balances. “To what expedient, then, shall we finally resort, for maintaining in practice the necessary partition of power among the several departments, as laid down in the Constitution? The only answer that can be given is, that as all these exterior provisions are found to be inadequate, the defect must be supplied, by so contriving the interior structure of the government as that its several constituent parts may, by their mutual relations, be the means of keeping each other in their proper places.”

On this Law Day, when we celebrate the rule of law, we acknowledge the transformational work of James Madison in crafting the Bill of Rights, the foundational document enumerating American liberties and preserving individual rights.

Liberty requires limited government. The Constitution prevents one person or one party from consolidating power. An independent judiciary, a bicameral legislature, a president elected separately from Congress and the concept of federalism create checks and balances that prevent a majority from abusing the rights of a minority. Without this constitutional structure, the Bill of Rights would become a “parchment guarantee.”
History has shown that if you give any one person or any one group unfettered power, the results can be detrimental. The spirit of the separation of powers has ensured that each branch of government has someone to answer to and not trample on the rights of our citizens.
The checks and balances that are in place are crucial to prevent a majority party from running our country as a dictatorship. Without these in place, our rule of law would be meaningless and corruption would be much more apparent than it already is.

Forty-eight people stood, swore an oath and became American citizens Thursday morning in a courtroom at the Bryan Simpson U.S. Courthouse during the annual Law Week Naturalization Ceremony.
‘A moment that will change your lives’ Forty-eight people from 28 countries sworn in as U.S. citizens in event that’s a tradition leading up to Law Day. By Max Marbut Associate Editor Thursday morning, 48 people from 28 nations renounced allegiance to their country of birth and then swore an oath to support and defend the Constitution and laws of the United States and to bear arms on behalf of the U.S. or perform noncombative service when required by law. In less than 60 seconds, they became America’s newest citizens at the annual Law Week Naturalization Ceremony at the Bryan Simpson U.S. Courthouse. A naturalization ceremony in conjunction with Law Day is an annual tradition for the Jacksonville legal community, said Senior U.S. District Judge Harvey Schlesinger, who presided over the ceremony. Schlesinger said when he returned to Jacksonville after leaving active duty in the Army in 1968, he was immediately appointed chair of the Jacksonville Bar Association Citizenship Committee. He has since been regularly attending naturalization ceremonies. “It always is very special to watch as people leave the room bearing the noble title ‘citizen of the United States of America.’ It is a privilege and an honor to offer you a warm and sincere welcome,” Schlesinger said to the new Americans. She explained what being a U.S. citizen has meant for her, an immigrant who became a naturalized in 2010. “This is a moment that will change your lives and open the door to so many incredible opportunities,” she said. “Twenty-eight nations walked into this room today. Nimmons seminar honors late jurist, benefits JALA Federal Bar Association donates $1,500 to legal aid. The jury assembly room at the Bryan Simpson U.S. Courthouse was filled last Tuesday with assistant U.S. attorneys, federal public defenders and private sector attorneys who attended the 15th annual Honorable Ralph W. “Buddy” Nimmons Federal Practice Seminar. Topics included finding balance between the practice of law and personal life, advances in technology related to document evaluation for litigation and recent changes in the Federal Rules of Evidence. Participants earned five hours of CLE credit and the Jacksonville Chapter of the Federal Bar Association, presenter of the event, donated $1,500 to Jacksonville Area Legal Aid in Nimmons’ honor. Nimmons, who died in 2003, entered private practice after he graduated from the University of Florida Levin College of Law in 1963. During his career in Jacksonville, Nimmons was an assistant public defender, assistant state attorney and assistant city general counsel. He was appointed to the 4th Judicial Circuit Court in 1977 and in 1983, appointed to the 1st District Court of Appeal, where he served until 1991. Nimmons then was appointed to a new seat on the U.S. District Court Middle District of Florida, which he held until his death. “He carried himself humbly and always put others ahead of himself. He was the epitome of what judges should be. “It is fitting that this seminar was named after him,” said retired 1st DCA Judge James Joanos, who served on the appellate bench with Nimmons. The annual seminar began in 2004 and has honored Nimmons each year since.

President Tad Delegal has been appointed by Michelle Suskauer, incoming president of The Florida Bar, to chair the statewide organization’s State and Federal Government & Administrative Delegal Practice Committee beginning July 1, when his term as president of the voluntary Bar association ends. The nine-member committee evaluates lawyers for certification in that specialty. Delegal previously was chair of the Labor and Employment Certification Committee and is the only Florida attorney to hold certifications in both specialty practice areas.

Partner Russell Smith said it made more sense to relocate rather than renovate the building for the third time. “I’ll retire before I’d realize that value of the renovation,” he said.

Young artists inspired by separation of powers West Riverside Elementary School Students create posters for Law Day theme. By Max Marbut Associate Editor Posters depicting the 2018 Law Day theme “Separation of Powers: Framework for Freedom,” created by students at West Riverside Elementary School, were exhibited for two weeks in the lobby of the Duval County Courthouse. The annual project began when members of the Jacksonville Bar Association Law Week Committee visited four art classes at the school to explain to the students how the executive, judicial and legislative branches of government were established and how that system ensures liberty and justice. Visitors, judges, attorneys and courthouse staff were invited to vote for their favorite poster; the student who submitted the most popular poster will be recognized at the school’s year-end awards assembly. In conjunction with the contest, the committee placed boxes at law offices to collect art supplies that will be delivered to the school and toiletries that will be donated to Downtown Ecumenical Services.
