Over the past several years, Native Resorts has made significant strides toward bringing this groundbreaking proof-of-concept to life. Our methodical and precise approach has led us to Tolman Canyon Ranch—a site with extraordinary potential to showcase our vision. We have advanced key environmental assessments, established strong relationships with local planning authorities, and are now in the final stages of preliminary due diligence. With no entitlement risks, this property offers a clear and achievable path forward.
Upon execution of the purchase agreement, and with deposits transitioning to nonrefundable status, we will immediately initiate master planning, architectural design, and finalize the selection of our world-class construction team. Native Resorts is uniquely positioned with a vertically integrated model, serving as both developer and operator, ensuring that every detail—from design to service—is executed to deliver the unmatched exclusivity and immersive experience that defines our brand.

As the landscape below transforms into a tapestry of wilderness and ancient beauty, your Personal Curator (PC) engages you in a ritualistic preparation. You are offered elixirs blended with herbs and roots known only to the native healers, designed to attune your senses to the frequencies of the land.
Upon landing, there are no check-ins, no formalities. You are greeted by the Custodians in a sacred ceremony, one that has been performed for centuries, perhaps millennia. The ceremony is not a performance; it is a rite of passage. The earth beneath your feet, the smoke rising from the sacred fire, the rhythmic chants of the Custodians—all converge to cleanse your spirit and prepare you for the journey ahead. The herd's graceful, rhythmic motion across the rugged terrain transforms the landscape into a living tapestry, where the shifting patterns and collective flow of the elk give the illusion that the mountain is moving in harmony with its inhabitants. Your journey continues with a flight over the sacred lands of Yellowstone, a journey that is not just about sightseeing but about understanding the profound connection between the earth and its inhabitants. You may choose to engage in the creation of a sacred bow, guided by a master craftsman who teaches you the ancient techniques used by the warriors of old on horseback. Or perhaps you will retreat to the mountains for some skiing at the Alpine Base Lounge, a place of quiet reflection and deep comfort, where the fire’s warmth and the mountain’s cool embrace create a perfect balance. Every choice you make is guided by a subtle intuition, as if the land itself is whispering the next step in your journey.
The evening brings a different kind of journey. You are invited to the Cave of Echoes, where sound and silence intertwine. Native Resorts is committed to establishing a marquee ultra-luxury resort that will redefine standards in the industry. Our goal is to create a one-of-a-kind destination that offers unrivaled lodging experiences, exceptional service, cutting-edge food and beverage offerings, a signature destination spa, and a robust recreational, adventure, and spiritual program. The development of this irreplaceable asset is designed to solidify Native Resorts as a premier destination, perfectly aligned with the tastes of Montana's high-end market. This document provides a strategic roadmap outlining the path to achieving this vision.
Thus far, our team has completed two initial visits to the property. Within the next 30 days, we will conduct a more detailed visit, bringing in an expert land planner to explore the Ennis site comprehensively. Partnered with OSM (On Site Management) and VITA Planning, our team of skilled consultants will meticulously evaluate county zoning regulations and land use requirements, ensuring we clearly understand any constraints, costs, and necessary timelines. Simultaneously, we will begin preliminary assessments of the site’s physical characteristics to identify potential infrastructure needs, ideal building locations, and overall site density.
After securing the land contract and completing a preliminary site plan, we will engage a leading global consultancy to perform an in-depth feasibility and market segmentation analysis. This analysis will examine the regional lodging demand and evaluate the viability of our planned lodging offerings within this location. The professional feasibility study will not only validate our vision but also serve as a cornerstone document for future equity and debt capital raises.
Following the appointment of the feasibility consultant, Native Resorts will craft a Vision Statement that articulates the project's entitlements and long-term vision. This statement will position the development as Native Resorts’ inaugural property, establishing a new benchmark in the ultra-luxury segment. We will arrange a meeting or conference call with the consultant to align on the objectives, followed by a comprehensive on-site visit to assess the local demographics and suitability of the land.
The feasibility study will deliver key recommendations, including:
(a) A validation or refinement of our proposed product size and quality, ensuring it aligns with market demand and entitlement parameters.
(b) Projections for occupancy and nightly rates.
(c) A detailed 10-year pro forma operating statement projecting financial performance postcompletion.
Additionally, the study will provide a valuation of the project at three critical stages: as-is, upon completion, and upon stabilization, giving us a robust financial outlook as we move forward.
Following the insights provided by the Feasibility Study, Native Resorts will finalize the Program for Hotel Planning (PHP). The PHP will serve as a comprehensive blueprint for the project, detailing the area matrix that includes unit mix, public spaces, back-of-house operations, on-site recreational facilities, amenities, and any residential components. This document is essential to the pre-development phase, often referred to as the “Bible” of the project, ensuring that every aspect of the development is meticulously accounted for and strategically planned.
Leveraging the PHP and Feasibility Study recommendations, our team will work closely with land planner VITA, Malek Alqadi and the design experts at Luxury Frontiers to craft the preliminary Master Plan. This will involve carefully considering the site’s natural contours, optimizing view corridors, evaluating solar and wind exposure, and identifying ideal locations for resort components, infrastructure, and guest circulation. We will also place a strong emphasis on creating a memorable sense of arrival. The goal is to produce a standout project that sets a new standard in the Montana luxury resort market.
In collaboration with Sam Ahuja of Greenberg Traurig acting as in-house counsel, we will develop the most advantageous structure for protecting capital and sweat equity during the capitalraising process. This may involve a General Partner/Limited Partner (GP/LP) structure or a simplified investment approach, ensuring that Native Resorts is protected while maximizing returns on investment and existing contributions.
The team will bring on a cost consultant to prepare a preliminary turn-key cost estimate for the project. This document will serve as an indicative budget, providing a solid financial framework to guide the development.
With preliminary costs and phasing established, Native Resorts will develop a detailed pro forma financial statement specific to the site. This will be followed by a financial model that includes a returns analysis, incorporating key assumptions regarding debt financing and required equity. This will offer a comprehensive picture of the project’s projected financial performance and investment potential.
Native Resorts is positioned to elevate the standard of ultra-luxury resorts with a distinctive and unparalleled brand identity. The resort will be developed under the Native Resorts brand, setting a new benchmark for service excellence and guest experiences. As part of the pre-development process, we will strategically plan for property operations, working closely with Native American tribes to integrate authentic cultural experiences. This will create a brand offering unmatched depth and value, placing it among the most unique and coveted luxury destinations in the world.
The next phase involves identifying and initiating interviews with key project members. We will execute non-binding Letters of Intent with various partners, including:
(a) The development team,
(b) The design and engineering team,
(c) The hotel manager (through a Hotel Management Agreement with Native Resorts OpCo),
(d) The construction team,
(e) A brokerage firm to assist with the capital raise, and
(f) All other necessary consultants.
Our approach is to negotiate terms while minimizing risk, with final contracts being signed only after the capital raise is successfully completed.
Once all foundational elements are secured, the team will create two detailed Offering Memorandums: one for debt financing and the other for equity investment. These documents will outline the investment opportunity, project vision, and financial projections, serving as key materials for prospective investors.
Working closely with a brokerage firm and leveraging the expertise of Michelle Russo from HotelAve, our team will methodically pursue debt and equity financing. We will then finalize the capital stack and negotiate terms to ensure the project receives the financial backing needed to move forward.
Once the capital stack is fully secured, Native Resorts will proceed with finalizing all contracts with development personnel, marking the official start of the project's execution phase and bringing our vision one step closer to reality.
