‫بدأت الشركة أولى الخطوات التنفيذية في تنفيذ مشروع‬ ‫الملك عبداهلل لتطوير مدينة وعد الشمال للصناعات‬ ‫ حيث ارست عقدين األول إلعداد المخطط‬،‫التعدينية‬ ‫الهندسي العام للمدينة وتقديم الخدمات الهندسية للبنى‬ ‫ والثاني‬،‫التحتية بما فيها البنى التحتية لمشروع معادن‬ ‫إلعداد التصاميم الهندسية وإدارة المشروع للمرحلة‬ .‫القادمة لمشروع شركة معادن للصناعات الفوسفاتية‬ ‫حيث أرست الشركة عقد إعداد المخطط الهندسي‬ ‫العام للمدينة وتقديم الخدمات الهندسية على شركة‬ ‫بكتل التي ستقوم بموجب العقد المبرم معها بإعداد‬ ‫المخطط الهندسي العام للمدينة الصناعية بما فيها‬ ‫ باإلضافة‬، ‫الصناعات االساسية والتحويلية والمساندة‬ ‫الى المدينة السكنية والتي تشتمل على المرافق‬ ‫التجارية والسكنية والتعليمية و يشمل العقد أيضا تقديم‬ ‫الخدمات الهندسية لمشروع الملك عبداهلل لتطوير مدينة‬ ‫ تمهيدا لبناء مدينة‬،‫وعد الشمال للصناعات التعدينية‬ ‫صناعية تعدينية متكاملة على طراز عالمي تضاهي‬ ‫ وسيتم‬،‫المدن الصناعية في الجبيل وينبع ورأس الخير‬ ‫االنتهاء من هذه الخدمات االستشارية على مرحلتين‬ .2013 ‫ والثانية ابريل‬،‫األولى في نوفمبر المقبل‬ ‫كما اسندت عقد إعداد التصاميم الهندسية وإدارة‬ ‫المشروع للمرحلة القادمة لمشروع شركة معادن‬ ‫للصناعات الفوسفاتية الى شركة «جاكوب» التي‬ ‫ستقوم بأعداد التصاميم الهندسية وتطوير المشروع‬ .‫وخدمات إدارة المشروع بالمرحلة القادمة‬ ‫وأوضح سعادة المهندس خالد بن صالح المديفر‬ ‫الرئيس التنفيذي أن هذه العقود تعتبر اللبنة األولى‬

Ma’aden takes initial steps to develop the ”King Abdullah Project for the Development of Promise of the North“

King Abdullah during the approval announcement of the Promise of the North Mining City.

Ma’aden began work on the development of the Promise of the North City for Mining Industries with the recent awarding of two contracts. The master planning consultancy contract was awarded to Bechtel for the general engineering plan of the city including the basic, downstream and support industries, residential, commercial and educational facilities.

The contract also includes providing engineering services to the city in preparation for the construction of an integrated worldclass industrial mining city comparable to the industrial cities of Jubail, Yanbu and Ras Al-Khair. The consultancy contract will be completed in two phases - the first is scheduled for delivery in November 2012 and the second in April 2013.

The second contract was awarded to Jacobs Engineering Group which will provide engineering designs and project management services for the phosphate element of the project.

Ma’aden President and CEO Engr. Khalid Al Mudaifer explained that the contracts represent the first step in the city’s development after the Custodian of the Two Holy Mosques approved its creation. He noted that Ma’aden has formed the necessary

teams and, with support from the Ministry of Petroleum and Mineral Resources, is coordinating with agencies such as the Saudi Electricity Company, Saudi railway Company, Saudi Aramco, and the Saudi Ports Authority to coordinate the arrangements and schedules of the infrastructure and services needed.

The President added that Ma’aden’s Phosphate Project will be an anchor for industries in the Promise of the North City for Mining Industries and will contribute to the achievement of sustainable development and promote the economy of the Kingdom’s northern region as well as enble other development projects.

Ma’aden is set to invest SR 26 billion to establish a mega phosphate industrial complex of which SR 21 billion has been earmarked for seven large scale word class plants and associated facilities in the Promise of the North City for Mining Industries. The plants will produce phosphate concentrates, sulfuric acid, phosphoric acid, monocalcium and dicalcium phosphate used in manufacturing animal feed, concentrated phosphoric acid used in food industries, and sodium tripolyphosphate used in manufacturing detergents and as an industrial agent.

An area of 290 square kilometers for downstream industries and 150 square kilometers for Ma’aden’s Umm Wu’al project at the Promise of the North Mining City .

Total investment of SR26 billion to construct a phosphate fertilizer industry complex to transform phosphate ore into a number of basic and specialized industrial materials.

Ma’aden will allocate SR21 billion of its investment to cover phosphate mining and processing and to establish seven large world-class plants and associated facilities.

The basic and downstream industries at the Promise of the North City for Mining Industries will create over 20 downstream investment opportunities for the private sector.

Ma’aden’s phosphate project (Umm Wu’al) and the downstream industries will create around 22,000 direct and indirect jobs at the Promise of the North City for Mining Industries.

The City will add SR15 billion to national GDP which represents 2% of non-oil GDP .

Ma’aden recently held its fifth Regular General Assembly at the company’s headquarters in Riyadh. The assembly approved the Board of Directors’ report, audit report, and consolidated financial statements for the fiscal year that ended on December 31, 2011. The assembly also decided to discharge the members of the Board of Directors from liabilities arising from their administration during the previous year and recommended not to distribute dividends for the given fiscal year.

In addition, the meeting approved the recommendation of the Audit Committee to appoint an external auditor to audit the company’s financial statement for the fiscal year 2012, as well as the quarterly financial data and to determine the auditor’s fees. Furthermore, the General Assembly approved the issuance of Sukuks or bonds and any other tradable debt instruments at any time with amounts and conditions approved by the Board of Directors whether in part or several parts, or through a series of domestic or international

issuances established by Ma’aden from time to time. The Board of Directors may carry out all actions and procedures necessary to issue debt instruments. The Board may also delegate any or all their authorities to any person or persons. Ma’aden Chairman Engr. Abdullah Saif Al Saif stated that 2011 was a focal point for Ma’aden toward achieving its aspirations and strategic goals.

He said, “We have come a long way in building a world-class mining company and a pillar of Saudi industrial development through investments in the mining sector. We strive to maximize and develop our investments for the benefit of the nation, society, and shareholders.”

Engr. Khalid Al Mudaifer, President and CEO commented that Ma’aden ended 2011 outstandingly well. “Our growth strategy, in its first year, has led to a real breakthrough in our ambitious goals of becoming one of the largest mining companies in the world. We have improved significantly in terms of the level of

performance and results. This success led to higher sales from operational activities for the fiscal year 2011 by 114%, compared to 2010.

Sales in 2011 reached SR 1.51 billion, compared to SR 706 million in 2010,” he said. The President added that by the end of 2011, Ma’aden completed 36% of the total construction works of the integrated aluminium project at Ras Al-Khair, within the project’s targeted schedule. “Next year we will begin initial production from the smelter and rolling mill, followed by the mine and refinery in 2014.”

Engr. Al Mudaifer also highlighted that Ma’aden Phosphate Company started commercial production early this year and is moving gradually to reaching planned production capacity. He pointed out that Ma’aden will become a major player in the phosphate fertilizer market, backed by large resources of phosphate, competitive sources of energy, modern infrastructure and proximity to the largest and fastest growing global markets.

Engr. Al Mudaifer lauded the Government’s continued support of Ma’aden’s existing projects as well as its expansion plans aimed at creating jobs, regional development and value for Ma’aden’s shareholders while providing the basis for the establishment of new downstream industries in

The President highlighted that Ma’aden is working on the Saudization of the mining industry through the development of remote areas and opening up new job opportunities for Saudi youth. He added that Ma’aden’s SAR 63 billion investment in the development of the Kingdom’s mining industry will further establish its presence as the third pillar of Saudi industry.

Engr. Al Mudaifer also explained that Ma’aden is establishing the Saudi Mining Polytechnic in the Northern Region to ensure that local young Saudis have access to the necessary education and training to give giving Ma’aden and mining companies access to a pool of trained local talent. Cur-

rently, Ma’aden has a Saudisation rate of approximately 63%.

His Royal Highness the Governor reiterated the importance of supporting the government’s Saudisation initiatives and providing relevant training and development programs to young Saudis.

Ma’aden currently has one mine in the Region at Al-Amar located approximately 250km southwest of Riyadh.

The underground mine and processing plant processes a gold rich polymetallic ore at a rate of 200 ktpa to produce gold in dore and copper and zinc rich concentrates which are sold to third parties for toll smelting. Commercial production at Al Amar began in January 2009.

The Saudi Minister of Trade and Industry, Dr. Tawfiq Al-Rabiah, conducted a tour of Ma’aden’s Magnesite Plant as part of his recent visit to Al-Madinah Industrial City. During the tour, the Minister and his delegation visited the plant’s laboratory and production lines and met with Saudi workers at the site. Ayed Al-Mutairi, Board Member of Ma’aden Industrial Minerals Company, provided an overview of the magnesite project and highlighted its significance in agriculture, construction and the production of various refractory products.

The magnesite plant currently produces caustic calcined magnesia and is set to produce dead burned magnesia with high-quality physical and chemical properties. Board of Directors visit Ma’aden Projects at RAK His Excellency the Minister of Transport and Chairman of the Saudi Ports Authority (SPA), Dr. Jabarh Al-Seraiseri, along with members of the SPA Board of Directors, recently conducted a tour of Ras Al-Khair Industrial City to inspect the progress of projects that are being implemented there.

He also highlighted the Ministry’s efforts to raise conservation awareness, its goals and the tools that they use to promote engagement.

He said the Ministry had raised awareness of water conservation,

through a successful national campaign which helped lower consumption by up to 40%. He also referred to the Ministry’s recent project involving 950 mosques in the city of Buraidah, where conservation kits have been installed in ablution areas.

The initiative helped achieve a saving percentage of between 20% and 40%.

Dr. Abdulrahman Yamani, Acting Vice President for Corporate Control and Head of the Social Responsibility Steering Committee, stated that the water conservation lecture in Riyadh followed a presentation conducted in Al Khobar, while a third lecture is being planned in Jeddah. He pointed out that these are part of a series of lectures, meetings, and workshops organised by Ma’aden to achieve its goals of educating staff on issues involving the environment, sustainable development, health, safety, and security.

Furthermore, Dr. Yamani underlined that Ma’aden is committed in promoting water conservation and has installed conservation kits in its

premises. He added that Ma’aden is currently working on the construction of a 430-kilometer pipeline with the capacity to transport 13,000 cubic metres per day of treated wastewater from the treatment plant in Taif to new mine sites. He said that this project will contribute to water conservation, help maintain underground water resources and preserve the environment. Ma’aden’s phosphate project at Ras Al Khair uses treated water from its own treatment plant for use in its operations.

Ma’aden’s Legal Department recently held a Labour Law Awareness workshop in partnership with the HR Department.

The workshop which focused on the new Saudi labour law and the Nitaqat system was kicked-off by Engr. Nabil Al Fraih, Vice President for Precious Metals SBU and HR (A). Dr. Naser Al Dosari, Legal Advisor, spearheaded the even. A team of experts led by Legal Advisor Mohammed bin Suleiman Daweesh, former Director General of Legal Affairs, Ministry of Labour and a member of the Council for the Settlement of Labour Disputes and Legal Advisor Yahya bin Hassan Al Sufiani, former Deputy Director General of Legal Affairs, Ministry of Labour, were invited to present the salient features of the Nitaqat programme and the new Saudi labour law. The speakers addressed key issues affecting companies following the implementation of the Nitaqat system. The Nitaqat system is designed to open more opportunities for Saudi nationals in the

The experts also discussed procedures and regulations concerning the settlement of labour disputes arising from differences between companies and employees as well as laws that apply to the hiring of Saudi and expatriate employees. The workshop was attended by HR Directors and HR executives from across Ma’aden.

Dr. Al Dosari said that the workshop was organized in line with the company’s strategic plan to educate staff on the elements of the new labour law and provide them with valuable information about their legal rights and duties. Dr. Al Dosari added that all employees are welcome to approach the Legal Department for consultation about their legal rights both inside and outside the company. Engr. Al Fraih handed out certificates to the participants and commended Dr. Al Dosari for his efforts in organizing the event. Dr. Abdulrahman Al Yamani, Acting VP for Corporate Control was also present to support the initiative.

The completion of the second floor of the South Wing at Ma’aden’s head office in Riyadh was formally inaugurated recently during a ceremony attended by President and CEO Engr. Khalid Al Mudaifer, other members of the executive and leadership team and employees. Engr. Al Mudaifer congratulated the project teams for completing the construction of the second floor South Wing ahead of schedule and encouraged them to exercise the same level of commitment in the completion of the North Wing area.

Ma’aden recently organized a weeklong blood donation campaign in collaboration with King Faisal Specialist Hospital and Research Center held at its head office in Riyadh. The campaign was inaugurated by President and CEO Engr. Khalid Al Mudaifer along with some members of the leadership team.

The CEO encouraged employees to donate blood which he said may help save another person’s life. He added that donating blood is considered a part of an individual’s responsibility towards his community. The blood donation campaign reinforces Ma’aden’s commitment to social causes that benefit the communities in which it operates.
