Para esto, es necesario reconstruir la herramienta cuando se ha producido un desgaste determinado.

A continuación indicamos las zonas a reconstruir y cuándo es necesario realizarlo.

CONDICIONES GENERALES DE VENTA DE KENDU S. COOP. PERFECCIONAMIENTO DEL CONTRATO: El contrato se considerará perfecto bien a partir del momento en que el comprador formule por escrito su aceptación expresa a la oferta o bien cuando dicha aceptación se produzca tácitamente por la realización de actos concluyentes que revelen el acuerdo de voluntades.

El comprador reconoce que las condiciones y términos generales que seguidamente se exponen forman parte del contrato de compraventa. Cualquier adición, modificación o revisión del presente Contrato (incluidas las Condiciones Generales) propuesta por el comprador se entenderá rechazada por el vendedor, salvo que éste la haya aceptado expresamente y por escrito.

PRECIOS Y ENTREGA: Los precios se entienden netos para mercancía puesta a pie de fábrica por el vendedor. Las entregas de las mercancías se realizarán EX -WORK, es decir, la mercancía y la factura comercial se pondrá a disposición de la parte compradora en las instalaciones de KENDU, S.COOP. Los riesgos del transporte y el pago del mismo correrán a cargo del comprador.

PAGOS: 1.- Los pagos se entenderán al contado en el momento de la puesta a disposición de la mercancía en el domicilio del vendedor, siendo efectuados según las modalidades establecidas en el contrato.

2.- El retraso por parte del comprador en el despacho o, en su caso, recepción de la mercancía, no dará derecho a éste a demorar el cumplimiento de las obligaciones de pago pactadas.

3.- En caso de retraso en el cumplimiento de las obligaciones de pago pactadas, el vendedor podrá cargar al comprador los correspondientes intereses de aplazamiento, a tenor del tipo de interés bancario para el descuento de letras en el momento de producirse el impago.

4.- En caso de que el comprador incurra en un procedimiento concursal sin que éste no ofrezca las garantías necesarias, podrá el vendedor resolver el contrato, exigir la indemnización correspondiente y ejercitar la eventual reserva de dominio en la forma estipulada en estas mismas Condiciones Generales.

RECLAMACIONES Y GARANTÍA: Las reclamaciones correspondientes a errores de pedido o envío serán aceptadas por la parte vendedora siempre que se realicen dentro de los 8 días tras la fecha de entrega.

La mercancía suministrada por la parte vendedora está fabricada siguiendo los controles más rigurosos en cuanto a calidad, estando certificada bajo la norma ISO 9.001. En caso de reclamación por calidad el cliente deberá enviar junto con la mercancía un informe que indique los datos de trabajo (material mecanizado, tipo de trabajo y condiciones de corte). No se aceptarán reclamaciones posteriores al año de la fecha de entrega. La parte vendedora no se responsabiliza de la utilización inadecuada de la mercancía ni de las reclamaciones realizadas cuando la mercancía haya sido manipulada por la parte compradora.

PEDIDOS ESPECIALES: En caso de pedidos especiales y por circunstancias de la producción, la parte vendedora se reserva el derecho de entregar un 10% , en más o en menos, del número de piezas pedidas, obligándose la parte compradora a pagar por la mercancía entregada.

RESERVA DE PROPIEDAD: 1.- En caso de pago aplazado, las mercancías entregadas seguirán siendo de propiedad del vendedor hasta el completo pago del precio.

2.- El comprador no puede vender, ceder, ni dar en garantía la mercancía adquirida sin haber pagado antes íntegramente el precio al vendedor o sin carta con el consentimiento previo y expreso de éste; asimismo, el comprador deberá comunicar fehacientemente de forma inmediata los procedimientos judiciales u otras reclamaciones que, planteadas a instancias de terceros, afectasen a la mercancía.

3.- En caso de incumplimiento de las obligaciones del comprador previstas en el presente artículo, el vendedor tendrá derecho a resolver el contrato con efecto inmediato, conservando a título de penalidad las cantidades ya pagadas, sin perjuicio del derecho del vendedor de exigir el resarcimiento de otros daños.

PLAZO DE ENTREGA: 1.- Los plazos de entrega correrán a partir de la fecha del perfeccionamiento del contrato.

2.- La mora del comprador en el suministro de elementos o componentes de la mercancía, documentos e información necesarios para la ejecución del pedido y que se haya comprometido a suministrar, librará al vendedor de incurrir en mora.

3.- Las fechas de entrega se consideran aproximadas en favor del vendedor y, en todo caso, con un normal margen de tolerancia.

4.- La fecha de entrega quedará prorrogada por un plazo igual al de la duración del impedimento, cuando surjan causas que no dependan de la voluntad del vendedor ni del comprador, como huelgas de cualquier tipo, incendios, inundaciones, falta de fuerza motriz, falta o escasez de materias primas, averías o siniestros en las instalaciones de producción del vendedor, retrasos en la concesión de autorizaciones de las Autoridades, obtención de permisos de transporte especial, y otros impedimentos independientes de la voluntad de las partes que hagan, temporalmente, imposible o excesivamente onerosa la entrega. Las causas que se expresan en el presente apartado no darán lugar a compensaciones o indemnizaciones ni para el vendedor ni para el comprador.

TRIBUNAL COMPETENTE: Para cualquier controversia que se derive del contrato o que se relacione con el mismo será exclusivamente competente el foro del vendedor; de todas formas, en derogación de cuanto arriba se indica, el vendedor tendrá siempre la facultad de considerar competente el foro del comprador.

KENDU S. COOP. GENERAL SALES CONDITIONS PERFECTION OF CONTRACT: The contract shall be considered perfected as from the purchaser’s written notice of their express acceptance of the offer, or when this acceptance is automatically produced by the performing of conclusive actions revealing consensus.

The purchaser acknowledges that the general terms and conditions set out below form part of the contract of sale. Any addition, amendment or review of this Contract (including the General Conditions) proposed by the purchaser shall be taken to be rejected by the seller unless it has been expressly accepted by the latter in writing.

PRICES AND DELIVERY: The prices are taken to be net amounts, for goods delivered to the factory by the seller. The goods shall be delivered ex-works, i.e. the purchasing party shall be provided with the goods and commercial invoice at KENDU, S.COOP.’s installations.

Transportation risks and transportation shall be paid for by the purchaser.

PAYMENTS: 1.- Payments shall be made in cash on delivery of the goods at the seller’s business address, and are to be made as stipulated in the contract.

2.- If the purchaser incurs in any delay in the despatch, or receipt where this is the case, of the goods, this does not entitle them to incur in any delay in the fulfilment of the payment obligations agreed on.

3.- In case of delay in the fulfilment of the payment obligations agreed on, the seller may charge the purchaser the corresponding deferment interests, in accordance with the rate of bank interest for the discounting of bills at the time default of payment occurs.

4.- If the purchaser becomes involved in bankruptcy proceedings without the necessary guarantees being offered, the seller may terminate the contract, demanding the corresponding indemnity payment and exerting the possible reservation of ownership as set out in these General Conditions.

COMPLAINTS AND GUARANTEE: Any complaints regarding errors in orders or delivery shall be accepted by the selling party, providing they are made within 8 days of the delivery date.

The goods supplied by the selling party are manufactured in compliance with the most rigorous quality controls and are certified in accordance with the ISO 9001 regulation. In case of any quality complaints, the client must send a report indicating the data for the work (material machined, type of work and cutting conditions) together with the goods. No complaints will be accepted after a year has elapsed from the delivery date. The selling party shall hold no liability for incorrect use of the goods, or for any complaints made when the goods have been manipulated by the purchasing party.

SPECIAL ORDERS: In the case of special orders and due to production circumstances, the selling party reserves the right to deliver up to 10% in excess or short of the number of parts ordered. The purchasing party shall pay for the goods delivered.

PROPERTY RESERVE: 1.- In case of deferred payment, the goods delivered shall remain the property of the seller until complete payment of the price.

2.- The purchaser may not sell, transfer or pledge the goods acquired without having first paid the complete price to the seller, or without previous express written consent from the latter. Likewise, the purchaser must give immediate written notice of any judicial proceedings or other claims made on demand from third parties and affecting the goods.

3.- If the purchaser fails to comply with the obligations set out in this article, the seller shall be entitled to terminate the contract with immediate effect, retaining the amounts already paid by way of penalty, without prejudice to the seller’s right to demand compensation for other damages.

DELIVERY PERIOD: 1.- The delivery periods shall be considered to begin on the date of perfection of the contract.

2.- Any delay on the part of the purchaser in supplying elements or components for the goods, documents and information necessary for carrying out the order and which they have undertaken to supply, shall exempt the seller from incurring in delay.

3.- The delivery periods shall be considered approximate in favour of the seller, and a standard margin of tolerance shall be applied in any case.

4.- The delivery date shall be deferred for a period of time equal to the duration of the impediment, when causes beyond the seller’s or purchaser’s control occur such as strikes of any type, fire, flood, lack of motive power, lack or shortage of raw materials, breakdown or accident at the seller’s production installations, delays in the granting of authorisations from the Authorities, obtaining of special transport permits, and other impediments beyond the control of the parties making the delivery temporarily impossible or excessively onerous. The causes stated in this section shall not give rise to any compensation or indemnity for either seller or purchaser.

COMPETENT COURT: The seller’s forum shall have exclusive competence in any dispute arising from the contract or related to the same. In any case, and in repeal of the above, the seller shall always be authorised to consider the purchaser’s forum competent.

CONDITIONS GÉNÉRALES DE KENDU S. COOP. PERFECTIONNEMENT DU CONTRAT: Le contrat est considéré parfait, soit à partir du moment où l’acheteur formule par écrit son acceptation expresse de l’offre, soit lorsque cette acceptation se produit tacitement par la réalisation d’actes concluants attestant de l’accord des volontés.

L’acheteur reconnaît que les conditions et termes généraux exposés ci-après font partie du contrat d’achat-vente. Tout ajout, modification ou révision du présent contrat (Conditions Générales comprises) proposé par l’acheteur sera réputé refusé par le vendeur, à moins que celui-ci n’ait manifesté son accord exprès par écrit.

PRIX ET LIVRAISON: Les prix sont entendus nets pour la marchandise livrée à pied d’usine par le vendeur. Les livraisons des marchandises seront réalisées EX -WORK, autrement dit, la marchandise et la facture commerciale seront placées à la disposition de la partie acheteuse dans les installations de KENDU, S.COOP. Les risques liés au transport et leur couverture sont à la charge de l’acheteur.

RÈGLEMENT: 1.- Le règlement sera exécuté comptant au moment de la mise à disposition de la marchandise au domicile du vendeur et en fonction des modalités contractuelles.

2.- Les retards, de la part de l’acheteur, dans le dédouanement ou, le cas échéant, la réception de la marchandise ne lui donnent aucun droit à retarder le règlement des obligations de paiement convenues.

3.- En cas de retard dans le règlement des obligations de paiement convenues, le vendeur pourra percevoir de l’acheteur les intérêts correspondants, selon le taux bancaire en vigueur pour l’escompte des lettres de change au moment du défaut de règlement.

4.- Au cas où l’acheteur ferait l’objet d’une procédure de liquidation n’offrant pas les garanties nécessaires, le vendeur pourra résoudre le contrat, exiger l’indemnisation correspondante et exercer l’éventuelle réserve de propriété dans les formes stipulées dans ces mêmes Conditions Générales.

RÉCLAMATIONS ET GARANTIE: Les réclamations correspondant à des erreurs de commande ou d’expédition seront acceptées par la partie vendeuse à condition d’être réalisées dans les 8 jours qui suivent la date de livraison.

La marchandise livrée par la partie vendeuse a été fabriquée dans le respect des exigences de qualité les plus rigoureuses, certifiées par la norme ISO 9.001. En cas de réclamation au titre de la qualité, le client devra remettre, accompagnant la marchandise, un rapport avec les données de travail (matière usinée, type de travail et conditions de découpe). Les réclamations postérieures à l’année de la date de livraison ne seront pas acceptées. Le vendeur décline toute responsabilité en ce qui concerne un usage inapproprié de la marchandise ou une manipulation de la marchandise par l’acheteur.

COMMANDES SPÉCIALES: En cas de commandes spéciales et en raison de circonstances de production, la partie vendeuse se réserve le droit de livrer 10%, en plus ou en moins, du nombre de pièces commandées, l’acheteur s’obligeant à régler la marchandise livrée.

RÉSERVE DE PROPRIÉTÉ: 1.- En cas de règlement reporté, les marchandises livrées resteront la propriété du vendeur jusqu’au règlement complet du prix.

2.- L’acheteur n’est pas autorisé à vendre, céder ou donner en garantie la marchandise acquise tant que le prix de celle-ci n’a pas été intégralement réglé au vendeur ou sans disposer du consentement préalable, exprès et par écrit de ce dernier ; par ailleurs, l’acheteur devra communiquer en bonne et due forme et immédiatement les procédures judiciaires ou autres réclamations, présentées à l’instance de tiers, qui touchent la marchandise.

3.- En cas de non-respect des obligations de l’acheteur prévues à cet article, le vendeur sera en droit de résilier le contrat à effet immédiat et de conserver, à titre de pénalité, les sommes déjà perçues, sans préjudice du droit du vendeur à exiger l’indemnisation d’autres dommages.

DÉLAI DE LIVRAISON: 1.- Les délais de livraison courent à partir de la date de perfectionnement du contrat.

2.- Tout retard, de la part de l’acheteur, dans la fourniture d’éléments ou de composants de la marchandise, documents et information nécessaires pour l’exécution de la commande et qu’il s’est engagé à remettre, libèrera le vendeur de toute responsabilité de retard.

3.- Les dates de livraison sont considérées comme approximatives en faveur du vendeur et, en toutes circonstances, bénéficient d’une marge de tolérance normale.

4.- La date de livraison sera prolongée pour un délai égal à la durée de l’empêchement lorsque surgiront des circonstances ne dépendant ni de la volonté du vendeur ni de celle de l’acheteur, telles que : grèves de toute nature, incendies, inondations, défaut de force motrice, défaut ou pénurie de matières premières, avaries ou sinistres dans les installations de production du vendeur, retards dans la concession d’autorisations de la part d’Autorités, obtention de permis de transport spécial et autres empêchements indépendants de la volonté des parties rendant, temporairement, impossible ou excessivement onéreuse la livraison. Les causes relevant de ce paragraphe ne pourront donner lieu à aucun type de compensation ou d’indemnisations ni pour le vendeur ni pour l’acheteur.

TRIBUNAL COMPÉTENT: Tout différend lié à l’interprétation, la validité et/ou l’exécution du contrat sera soumis aux tribunaux du vendeur ; quoi qu’il en soit, par dérogation de ce qui précède, le vendeur jouira toujours de la faculté de considérer compétents les tribunaux de l’acheteur.

CONDIZIONI GENERALI DI VENDITA DI KENDU S. COOP. PERFEZIONAMENTO DEL CONTRATTO: Il contratto sarà considerato perfezionato a partire dal momento in cui l’acquirente formula per iscritto la propria accettazione dell’offerta oppure quando tale accettazione si effettua tacitamente con la realizzazione di atti irrefutabili che rivelino l’accordo delle volontà.

L’acquirente riconosce che le condizioni e i termini generali di seguito riportati fanno parte del contratto di compravendita. Qualsiasi aggiunta, modifica o revisione del presente Contratto (incluse le Condizioni generali), proposta dall’acquirente, richiederà la relativa approvazione per iscritto del venditore, altrimenti si riterrà respinta.

PREZZI E CONSEGNA: I prezzi si intendono netti per la merce franco fabbrica del venditore. Le consegne delle merci verranno realizzate EX-WORKS, vale a dire, la merce e la fattura commerciale saranno messe a disposizione dell’acquirente presso gli stabilimenti di KENDU, S. COOP. I rischi del trasporto e il pagamento dello stesso saranno a carico dell’acquirente.

PAGAMENTI: 1.- I pagamenti si intenderanno in contanti al momento della messa a disposizione della merce presso gli stabilimenti del venditore e saranno effettuati secondo le modalità stabilite nel contratto.

2.- Il ritardo da parte dell’acquirente nel disbrigo o, eventualmente, nella ricezione della merce non darà diritto allo stesso di ritardare l’adempimento degli obblighi di pagamento pattuiti.

3.- In caso di ritardo nell’adempimento degli obblighi di pagamento pattuiti, il venditore potrà addebitare all’acquirente i relativi interessi, al tasso di interesse bancario per lo sconto di cambiali in vigore nel momento in cui si verifica il mancato pagamento.

4.- Se l’acquirente incorre in una procedura concorsuale senza offrire le garanzie necessarie, il venditore potrà risolvere il contratto, esigere il relativo risarcimento ed esercitare l’eventuale riserva di dominio nelle modalità stabilite in queste Condizioni generali.

RECLAMI E GARANZIA: I reclami relativi ad errori nell’ordine o nella spedizione saranno accettati dal venditore purché vengano presentati entro 8 giorni dalla data di consegna.

La merce fornita dal venditore viene prodotta applicando i più rigorosi controlli di qualità, con la certificazione della norma ISO 9001. In caso di reclamo riguardante la qualità, il cliente dovrà allegare alla merce una relazione riportando i dati relativi alla lavorazione (materiale lavorato, tipo di lavorazione e condizioni di taglio). Non si accetteranno reclami successivi ad un anno dalla data di consegna. Il venditore declina ogni responsabilità in caso di uso inadeguato della merce né dei reclami realizzati una volta rimaneggiata la merce dall’acquirente.

ORDINI SPECIALI: In caso di ordini speciali e per circostanze della produzione, il venditore si riserva il diritto di consegnare il 10%, in più o in meno, del numero di pezzi richiesti e l’acquirente si impegna a pagare la merce consegnata.

RISERVA DI PROPRIETÀ: 1.- In caso di pagamento dilazionato, le merci consegnate saranno di proprietà del venditore fino al completo pagamento del prezzo.

2.- L’acquirente non può vendere, cedere, né offrire in garanzia la merce acquistata prima di averne pagato integralmente il prezzo al venditore o senza l’esplicito consenso per iscritto del medesimo; inoltre, l’acquirente dovrà comunicare immediatamente eventuali procedure giudiziarie o altri reclami presentati su richiesta di terzi ed interessanti la merce.

3.- In caso di inadempimento degli obblighi dell’acquirente previsti nel presente articolo, il venditore avrà diritto di risolvere il contratto con effetto immediato, trattenendo a titolo di indennizzo l’ammontare già percepito, fatto salvo il diritto del venditore di esigere il risarcimento di altri danni.

TERMINE DI CONSEGNA: 1.- I termini di consegna decorreranno a partire dalla data del perfezionamento del contratto.

2.- In caso di ritardo dell’acquirente nella consegna di elementi o componenti della merce, documenti e informazioni necessarie per l’esecuzione dell’ordine, che si era impegnato a fornire, il venditore non incorrerà in mora.

3.- Le date di consegna saranno considerate approssimative a favore del venditore e, in ogni caso, con un margine di tolleranza normale.

4.- La data di consegna sarà prorogata per un periodo uguale alla durata dell’impedimento in caso di cause di forza maggiore, come scioperi di qualunque tipo, incendi, allagamenti, mancanza di forza motrice, mancanza o scarsità di materie prime, guasti o sinistri agli impianti produttivi del venditore, ritardi nella concessione di autorizzazioni da parte delle autorità, conseguimento di permessi per il trasporto speciale ed altri impedimenti, indipendenti della volontà del venditore o dell’acquirente, che rendano temporaneamente impossibile o eccessivamente onerosa la consegna. Le cause riportate nel presente comma non daranno diritto a risarcimento o indennizzo al venditore, né all’acquirente.

FORO COMPETENTE: Per qualsiasi controversia derivante o collegata con il contratto, sarà competente esclusivamente il foro del venditore; ad ogni modo, in deroga a quanto sopraindicato, il venditore avrà sempre la facoltà di considerare competente il foro dell’acquirente.

ALLGEMEINE GESCHÄFTSBEDINGUNGEN VON KENDU S. COOP. ABSCHLUSS DES VERTRAGES: Der Vertrag gilt als abgeschlossen, sobald der Käufer entweder ausdrücklich und schriftlich der Annahme des Angebots Ausdruck gibt, oder wenn diese Annahme durch die Ausführung schlüssiger Handlungen, die die Willensübereinstimmung erkennen lassen, stillschweigend vorausgesetzt werden kann.

Der Käufer erkennt die Allgemeinen Geschäftsbedingungen, die nachfolgend aufgeführt werden, als Teil des Kaufvertrags an. Zusätze, Veränderungen oder Überarbeitungen des vorliegenden Vertags (einschließlich der Verkaufsbedingungen), die vom Käufer vorgeschlagen werden, gelten nur dann als vom Verkäufer angenommen, wenn dieser sie ausdrücklich und schriftlich akzeptiert.

PREISE UND LIEFERUNG: Die Preise verstehen sich netto für Waren, die vom Verkäufer ab Fabrik bereitgestellt werden. Die Lieferungen erfolgen EX-WORKS, d.h., die Ware und die Handelsrechnung werden der Käuferseite in den Anlagen von KENDU, S.COOP. zur Verfügung gestellt.

Risiken und Kosten für den Transport trägt der Käufer.

ZAHLUNGSBEDINGUNGEN: 1.- Zahlungen erfolgen gegen Kasse im Moment der Bereitstellung der Ware am Sitz des Verkäufers und sind gemäß der vertraglich festgelegten Modalitäten zu begleichen.

2.- Kommt es seitens des Käufers zu einer Verzögerung bei der Abholung oder ggf. Abnahme der Ware, ist dieser deshalb nicht berechtigt, auch die Erfüllung seiner vereinbarten Zahlungsverpflichtungen zu verzögern.

3.- Bei Verzögerungen der vereinbarten Zahlungsverpflichtungen kann der Verkäufer dem Käufer die entsprechenden Verzugszinsen gemäß des zum Zeitpunkt des Zahlungsverzugs gültigen Zinssatzes der Banken für Wechseldiskonte auferlegen.

4.- Sollte der Käufer in Konkurs geraten, ohne dass dabei ausreichende Garantien gestellt werden, kann der Verkäufer den Vertrag auflösen, die entsprechende Entschädigung fordern und ggf. den Eigentumsvorbehalt in der in den vorliegenden Geschäftsbedingungen festgelegten Form vornehmen.

REKLAMATIONEN UND GARANTIEN: Reklamationen aufgrund von Fehlern im Auftrag oder bei der Lieferung werden seitens des Verkäufers akzeptiert, sofern sie innerhalb von 8 Tagen nach Lieferdatum erfolgen.

Die vom Verkäufer gelieferte Ware wird unter strengsten Qualitätskontrollen hergestellt, die Zertifizierung gemäß der Norm ISO 9001 liegt vor. Bei Reklamationen des Käufers bezüglich der Qualität, muss dieser bei der Einsendung der betreffenden Ware einen Bericht beilegen, der die Angaben zur Bearbeitung enthält (verwendetes Material, Art der Bearbeitung und Schneidebedingungen). Reklamationen, die nach Ablauf eines Jahres ab Lieferdatum erfolgen, werden nicht akzeptiert. Der Verkäufer haftet nicht im Falle unsachgemäßer Benutzung der Ware oder bei Reklamationen, bei denen die Ware seitens des Käufers manipuliert wurde.

SONDERWERKZEUGE: Bei Sonderwerkzeugen gilt eine Unter-/Überlieferung von 10%, mindestens jedoch 1 Stück als vereinbart. Eine entsprechende Übernahme und Bezahlung seitens des Bestellers hat zu erfolgen.

EIGENTUMSVORBEHALT: 1.- Bei Zahlungsaufschub bleiben die gelieferten Waren bis zur vollständigen Zahlung des Preises Eigentum des Verkäufers.

2.- Der Käufer darf die erworbene Ware nicht verkaufen, überlassen oder als Garantieleistung stellen, solange er dem Verkäufer nicht den vollständigen Preis gezahlt hat bzw. sofern er nicht über dessen entsprechende vorherige und ausdrückliche Zustimmung verfügt. Ebenso muss der Käufer den Verkäufer unverzüglich und glaubwürdig über gerichtliche Verfahren oder andere, von Dritten angestrengte Forderungen unterrichten, die sich auf die Ware beziehen.

3.- Bei Nichteinhaltung der in diesem Artikel vorgesehenen Verpflichtungen des Käufers, ist der Verkäufer berechtigt, den Vertrag mit sofortiger Wirkung aufzulösen und dabei die bereits gezahlten Beträge als Pönalität einzubehalten, unbeschadet des Rechts des Verkäufers auf anderweitige Schadensersatzforderungen.

LIEFERFRIST: 1.- Lieferfristen beginnen mit dem Datum des Vertragsabschlusses.

2.- Verzögerungen seitens des Käufers bei der Übergabe von Elementen oder Komponenten der Ware, Unterlagen und Information, die für die Ausführung des Auftrags notwendig sind und die er sich zu übergeben verpflichtet hat, stellen den Verkäufer von der Säumnis frei.

3.- Bei den Lieferfristen handelt es sich um ungefähre Zeitangaben zugunsten des Verkäufers, wobei eine normale Toleranz zugrunde gelegt wird.

4.- Die Lieferfrist wird um einen der Lieferverhinderung entsprechenden Zeitraum verlängert, wenn Umstände auftreten, die nicht vom Willen des Verkäufers oder Käufers abhängen. Dazu gehören Arbeitskämpfe aller Art, Brand, Überschwemmung, das Fehlen von Antriebskräften, das Fehlen oder mangelnde Rohstoffe, Störungen oder Schäden an den Produktionseinrichtungen des Verkäufers, Verzögerungen bei der Erteilung behördlicher Genehmigungen, der Erteilung von Erlaubnissen für Spezialtransporte, sowie weitere Verhinderungen, die nicht vom Willen der Vertragsseiten abhängen und die die Lieferung vorübergehend unmöglich oder unzumutbar machen. Aus den in diesem Abschnitt aufgeführten Ursachen lassen sich keine Rechte auf Ausgleich oder Entschädigung des Verkäufers oder Käufers ableiten.

GERICHTSBARKEIT: Streitigkeiten, die sich aus diesem Vertrag ergeben bzw. mit in Zusammenhang mit selbigem stehen, unterliegen ausschließlich dem Gerichtsstand des Verkäufers. Dabei ist der Verkäufer jedoch in Abweichung von vorgenannter Festlegung jederzeit berechtigt, den Gerichtsstand des Käufers anzuerkennen.
