Agefi Luxembourg - Le Journal Financier de Luxembourg is delighted to present Portraits of Luxembourg to you. This book brings together more than 560 portraits* published in the paper since its creation 27 years ago in 1988.

Ces portraits sont ceux de la plupart des dirigeants économiques et financiers qui ont façonné la place financière de Luxembourg et ont contribué de manière significative à sa prépondérance reconnue aujourd’hui, non seulement dans l’eurozone et dans l’Union européenne, mais aussi mondialement grâce à son expertise unique dans le secteur des fonds d’investissement et dans d’autres activités financières et économiques.

These portraits are those of most of the key economic and financial players who have shaped Luxembourg’s financial centre and contributed significantly to its widely acknowledged preponderance today, not only in the eurozone and the European Union, but also worldwide thanks to its unique expertise in the investment fund industry and in other financial and economic activities.

Personnalités du Luxembourg Personalities in Luxembourg

e Grand-Duché de Luxembourg compte 563.000 habitants.

Aucun pays de cette taille n’a autant de personnalités reconnues internationalement.

Après sa mère S.A.R. la Grande-Duchesse Charlotte (1896-1985) qui refusa de régner sous l’occupation allemande et devint le symbole de la résistance aux EtatsUnis où elle rencontra plusieurs fois le président Roosevelt puis à Londres avec le gouvernement luxembourgeois, S.A.R. le Grand-Duc Jean, qui a abdiqué en 2000, a participé activement à la libération de l’Europe en débarquant en Normandie le 11 juin 1944, en prenant part à la bataille de Caen et en libérant Bruxelles avant de libérer Luxembourg le 10 septembre 1944.

Après Pierre Werner (1913-2002), qui s’engagea aux côtés de Jean Monnet dans le Comité d’Action pour les Etats-Unis d’Europe, fut membre fondateur de la Fondation Jean Monnet pour l’Europe et créa l’Union économique et monétaire (UEM), ancêtre de l’eurozone, et après Gaston Thorn (1928-2007), 7e président de la Commission européenne (1981-1985), les personnalités luxembourgeoises européennes sont aujourd’hui Jacques Santer, 9e président de la Commission européenne (1995-1999) et le (12e) président actuel Jean-Claude Juncker qui a été auparavant une sorte de ministre des finances en présidant l’Eurogroupe de 2005 à 2013. Les Luxembourgeois Dean Spielmann et Anne Brasseur président respectivement la Cour européenne des Droits de l’Homme et l’Assemblée parlementaire du Conseil de l’Europe (PACE) depuis 2014. Viviane Reding a été viceprésidente de la Commission européenne (2012-2014).

Ils poursuivent l’unification de l’Europe allemande et centrale des empereurs de la Maison de Luxembourg Henri VII (1312-1313), Charles IV (1355-1378) qui codifia les élections impériales, Wenceslas Ier (roi des Romains 1376-1400) et Sigismond (1433-1437) qui mit fin au Grand Schisme d’Occident, du duc de Bourgogne Philippe le Bon (1396-1467) aussi appelé «le grandduc d’Occident» et de ses successeurs les empereurs de la Maison de Habsbourg (Charles Quint 1506-1555 et les Habsbourg d’Autriche 1714-1795) qui régnèrent sur le duché de Luxembourg jusqu’à la Révolution française.

Le professeur et historien Gilbert Trausch a créé en 1990 le Centre européen et de recherche Robert Schuman (CERE) dans la maison natale de Robert Schuman avec la mission de promouvoir son œuvre et son souvenir: le président Robert Schuman (1886-1963), le «Père de l’Europe», créa en 1950 la Communauté européenne du Charbon et de l’Acier (CECA), ancêtre de l’Union européenne.

Dans les institutions internationales, il faut aussi mentionner l’économiste Jean-François Rischard, viceprésident de la Banque mondiale (1998-2005).

he Grand Duchy of Luxembourg has a population of 563,000. No country of this size has so many personalities renown internationally.

After his mother, H.R.H. Grand Duchess Charlotte (1896-1985) who efused to rule under German occupation and became the focus of resistance in the U.S. where she met several times President Roosevelt then in London with the Luxembourg government, H.R.H. Grand Duke Jean, who abdicated in 2000, contributed actively in the liberation of Europe, landing in Normandy on 11 June 1944, taking part in the Battle of Caen and liberating Brussels, before liberating Luxembourg on 10 September 1944.

Following Pierre Werner (1913-2002) who was with Jean Monnet and Robert Schuman a determined advocate of European integration and who created the Economic and Monetary Union (EMU), ancester of the eurozone, Gaston Thorn (1928-2007), 7th president of the European Commission (1981-1985), the European personalities of Luxembourg are today Jacques Santer, 9th president of the European Commission (19951999) and the (12th) president Jean-Claude Juncker who was before a kind of minister of finance as president of the Eurogroup (2005-2013). Dean Spielmann and Anne Brasseur, from Luxembourg, are respectively president of the European Court of Human Rights and president of the Parliamentary Assembly of the Council of Europe (PACE). Viviane Reding was vice president of the European Commission (2012-2014).

They are continuing the unification of German and Central Europe of the emperors of the Luxembourg dynasty Henry VII (1312-1313), Charles IV (13551378) who promulgated the Golden Bull whereby the succession to the imperial title was laid down, which held for the next four centuries, Wenceslas I (King of the Romans 1376-1400) and Sigismond who ended the Western Schism, of Philip the Good, duke of Burgundy (1396-1467), also known as «The Grand Duke of the West» and his successors the Habsburg emperors (Charles V 1506-1555 and the Habsburg emperors of Austria 1714-1795) who ruled the duchy of Luxembourg until the French Revolution.

Spécialiste renommé de la défense, le FrancoLuxembourgeois François Heisbourg, fils d’un ambassadeur luxembourgeois, est président de l’International Institute for Strategic Studies (IISS) à Londres, autorité majeure en matière de conflits politico-militaires, et du Geneva Center for Security Policy (GCSP) et, à ces titres, est un commentateur incontournable de la sécurité sur les chaînes de télévision françaises.

Le ministre de la Justice Victor Bodson (1902-1984) reçut la distinction de Juste parmi les nations d’Israël pour son action qui permit à de nombreux juifs d’échapper à l’Holocauste.

Le biologiste franco-luxembourgeois Jules A. Hoffmann, Prix Nobel de physiologie et de médecine en 2011, est un spécialiste mondial du système immunitaire inné des insectes qui a fait émerger une vision nouvelle des mécanismes de défense que les organismes, des plus primitifs jusqu’à l’homme, opposent aux agents infectieux. Il est membre de l’Académie française depuis 2012 et fut président de l’Académie des Sciences en 2007-2008.

La vie académique à Luxembourg a aussi été enrichie par la création de la Miami University Luxembourg en 1968 par John E. Dolibois, né au Luxembourg (1918-2014) qui sera l’ambassadeur des Etats-Unis de 1981 à 1985.

Les nouvelles technologies ont permis au Luxembourg d’agir en pionnier avec Romain Bausch, président et CEO de SES de 1995 à 2014, le deuxième opérateur satellite dans le monde, créé en 1985, avec 50 satellites qui peuvent atteindre 99% de la population mondiale et un chiffre d’affaires 2014 de 1,9 milliard € ou 2,16 milliards $.

Aujourd’hui, l’artiste et photographe François Besch est considéré comme un pionnier de la photographie artistique pour les smartphones, inspiré par le photographe et peintre américain Edward Steichen (1879-1973), né à Bivange, le village où vit François Besch.

Le monde audiovisuel est aussi luxembourgeois en Europe, non seulement par la présence à Luxembourg de RTL, le premier conglomérat médiatique européen avec 54 chaînes de télévision et 29 chaînes de radio dans 10 pays et un chiffre d’affaires de 6 milliards € en 2012, mais aussi grâce au Franco-Luxembourgeois Stéphane Bern, promoteur de l’histoire à la télévision française, sur RTL et en librairie et spécialiste de la monarchie en Europe.

Autre personnalité médiatique, le député européen, altermondialiste et syndicaliste agricole, fils d’un FrancoLuxembourgeois membre de l’Académie (française) des Sciences et arrière-arrière-petit-neveu du botaniste et explorateur luxembourgeois Nicolas Bové (18021842), José Bové est devenu célèbre suite au démontage du restaurant McDonald’s à Millau en 1999 « contre

Reknowned expert in international defense, FrenchLuxembourgian François Heisbourg, son of a Luxembourg ambassador, is president of the lnternational Institute for Strategic Studies (IISS) and of the Geneva Center for Security Policy (GCSP) and therefore is an authority on international security on French television.

Another media star, member of the European Parliament, alter-globalist and agricultural unionist, son of a FrenchLuxembourgian member of the French Académie des Sciences, great great nephew of Luxembourgian botanist and explorer Nicolas Bové (1802-1842), José Bové was brought to the forefront by the dismantling of a McDonald’s franchise in Millau in 1999 (against the «malbouffe» i.e. junk food) and by his numerous

Son frère Jean-Chrétien Sibertin-Blanc a joué dans plusieurs films de sa sœur, d’Alain Resnais, de Pierre Jolivet, de Nicole Garcia …. Laurent Brandenbourger est un scénariste et réalisateur luxembourgeois renommé.

Le Franco-Luxembourgeois Jean-François Wolff est un acteur réputé qui a joué dans 29 films avec Daniel Auteuil, Jean-Claude Van Damme, Gérard Depardieu, Emilie Dequenne, Emmanuelle Devos, Françoise Fabian, Déborah François, Julie Gayet, Isabelle Huppert, William Hurt, Alexandra Lamy, Sophie Marceau, MiouMiou, Kristin Scott Thomas, … et dont les films les plus connus sont D’Artagnan avec Catherine Deneuve (2001), The Merchant of Venice avec Al Pacino et Jeremy Irons (2004) et très récemment Boule et Bill avec Franck Dubosc et Marina Fois (2013). L’acteur et régisseur de théâtre luxembourgeois Marc Olinger (1945-2015) a tourné dans un épisode du feuilleton télévisé français Maigret en 1992 avec Bruno Cremer.

Le compositeur Pierre Cao est le co-fondateur de l’Institut européen de Chant Choral (INEXX). La musique de Georges Lentz a été reconnue par la Tribune internationale des Compositeurs de l’UNESCO et est jouée à Berlin, Vienne, Londres, New York et Tokyo.

Le pianiste, compositeur et musicien de musique électronique Francesco Tristano est le fondateur en 2001 du New Bach Players ensemble, avec lequel il a enregistré l’intégrale des concertos pour clavecin de Johann Sebastian Bach. La soprano Mariette Kemmer a chanté dans 100 villes et 70 opéras.

Camillo Felgen (1920-2005) fut l’auteur du célèbre tube Sag Warum en 1959. Désirée Nosbusch, à 19 ans, a présenté le 29e Concours Eurovision de la Chanson en 1984.

La peinture luxembourgeoise est représentée dans le monde par Elisabeth Calmes, Max Kohn, Filip Markiewicz et Su-Mei Tse. Michel Majerus (19672002) combina sa peinture avec les médias numériques.

Le meilleur expert de Salvador Dali est le Luxembourgeois Roger Michel Erasmy, auteur du Codex Dalianus (Dali décodé).

Les frères architectes urbanistes Bob et Léon Krier sont connus pour leur engagement dans le Nouvel Urbanisme et la Nouvelle Architecture classique et Léon pour avoir mis en pratique le Nouvel Urbanisme dans plusieurs

Classical and experimental pianist and composer Francesco Tristano founded The New Bach Players ensemble in 2001, with which he recorded Johann Sebastian Bach’s complete cycle of Keyboard concertos. Soprano Mariette Kemmer has performed in over 100 cities and 70 opera houses.

Camillo Felgen (1920-2005) was the author of the popular hit Sag Warum en 1959. 19-year-old Désirée Nosbusch presented the 29th Eurovision Song Contest.

Il est impossible de recenser toutes les personnalités qui ont contribué au développement de Luxembourg et la liste qui précède est forcément incomplète: la sidérurgie qui représentait 28% du PIB en 1970 (1,6% aujourd’hui) a été l’industrie essentielle du Grand-Duché durant deux siècles et il faudrait mentionner les familles Barbanson, Laval, Mayrisch, Metz, Pescatore, Tesch, etc., apparentées aux familles des autres industries Boch, Tudor, Wurth, etc. qui ont les unes et les autres bâti l’économie du Grand-Duché.

MEMBRE FONDATEUR DE L’UNION EUROPÉENNE Le Grand-Duché de Luxembourg a été en 1950 un des 6 États fondateurs de la Communauté européenne du charbon et de l’acier (CECA) inspirée par Jean Monnet et créée sous l’impulsion de Robert Schuman, né à Clausen au Luxembourg en 1886 d’une mère luxembourgeoise, qui avait pris conscience de la nécessité d’une réconciliation franco-allemande pour garantir la sérénité de l’Europe.

C’est ainsi que le Luxembourg est resté un membre actif de la Communauté économique européenne et aujourd’hui de l’Union européenne qui ont succédé à la CECA: c’est à Luxembourg que se trouvent la Cour de Justice de l’UE, la Cour des Comptes européenne, la Banque européenne d’investissement, le Fonds européen d’investissement et l’Office des publications de l’UE ainsi que l’Association européenne de libre-échange (AELE) et la Cour de Justice de l’AELE. Le Luxembourg a donné trois présidents (sur douze) à la Commission européenne, trois anciens premiers ministres du Luxembourg: Gaston Thorn de 1981 à 1985, Jacques Santer de 1995 à 1999 et Jean-Claude Juncker depuis 2014.

Le premier ministre luxembourgeois Jean-Claude Juncker a aussi présidé de 2005 à 2013 l’Eurogroupe qui est la réunion des ministres des Finances des pays de l’eurozone.

UNE POPULATION EUROPÉENNE La population en 2015 est 563.000 dont 49,91% de femmes. Les Luxembourgeois représentent 54% (et 40% dans la Ville de Luxembourg). FOUNDING MEMBER OF THE EUROPEAN UNION The Grand Duchy of Luxembourg was in 1950 one of the 6 founding members of the European Coal and Steel Community (ECSC) inspired by Jean Monnet and created after the proposal of French Prime Minister Maurice Schuman, born in Clausen, Luxembourg in 1886 from a Luxembourgian mother and who was convinced of the necessity of the French-German reconciliation to guarantee peace in Europe.

After World War II, Luxembourg, keeping the heavy memory of the violation of its neutrality by the Germans on May 10, 1940 and during the years of occupation, knew that its survival and its future depended on the reconciliation of its two big neighbors .

Thus Luxembourg remained an active member of the European Economic Community and now of the European Union which succeeded to the ECSC: it is in Luxembourg that are the Court of Justice of the EU, the European Court of Auditors, the European Investment Bank, the European Investment Fund and the Publications Office of the EU as well as the European Free Trade Association (EFTA) and the EFTA Court.

Luxembourg gave three presidents (out of twelve) to the European Commission, three former prime ministers of Luxembourg: Gaston Thorn from 1981 to 1985, Jacques Santer from 1995 to 1999 and Jean-Claude Juncker since 2014.

Prime Minister Jean-Claude Juncker was also from 2005 to 2013 the president of the Eurogroup, the reunion of the ministers of finance of the eurozone.

UNE HISTOIRE EUROPÉENNE

Les comtes puis ducs de Luxembourg régnèrent sur un ensemble qui comprend aujourd’hui, outre le GrandDuché de Luxembourg, la Province de Luxembourg et les Cantons de l’Est en Belgique, le district de BitburgPrüm et la ville de Schleiden en Allemagne ainsi que Stenay, Thionville et Montmédy en Lorraine en France.

Le Luxembourg faisait partie du Saint-Empire romain et les comtes puis ducs de Luxembourg donnèrent quatre empereurs: Henri VII (1288-1309), Charles IV (13461353), Wenceslas Ier (1383-1390) et Sigismond (14191437).

Acheté par Philippe le Bon, duc de Bourgogne en 1444, le Luxembourg resta dans l’ensemble européen des dynasties de Bourgogne et Habsbourg jusqu’à la Révolution française.

A la défaite de Napoléon en 1815, le Luxembourg continua ses partenariats européens d’abord en union personnelle avec le roi des Pays-Bas (1815-1890) puis dans une union monétaire avec la Belgique (1854-2002) et par la création de l’union douanière Benelux en 1944 avec la Belgique et les Pays-Bas.

Luxembourg was part of the Holy Roman Empire and the counts then dukes of Luxembourg gave four emperors: Henri VII (1288-1309), Charles IV (13461353), Wenceslas Ier (1383-1390) and Sigismond (1419-1437).

Purchased in 1444 by Philip the Good, duke of Burgundy, Luxembourg remained in the European ensemble ruled by the dynasties of Burgundy and Habsburg until the French Revolution.

Ventes aux enchères publiques : entre présent et avenir Public Auctions: Present and Future

OIT-ON RÉFORMER LE DROIT LUXEMBOURGEOIS ?

Le marché mondial des ventes aux enchères d’œuvres d’art a généré 8,1 milliards de dollars de janvier à juin 2015 ; les plus gros marchés pour les ventes aux enchères sont les Etats-Unis, le Royaume-Uni et la Chine tandis que la France et l’Allemagne complètent le top 5 (ref : Arnet). Des ventes records sont régulièrement enregistrées.

Lors des ventes publiques à Londres en février 2015, Sotheby’s a pu tirer profit d’un marché très solide autour des grands maîtres de l’art impressionniste et moderne (Monet, Matisse, ToulouseLautrec) avec une vente totalisant 247,3 millions d’euros. La toile «Abstraktes Bild» du peintre allemand Gerhard Richter s’est vendue à 46,3 millions de dollars (estimation à 14-20 millions). Adjugé en mai 2015 à 179,3 millions de dollars, « Les femmes d’Alger » de Pablo Picasso est devenu le tableau vendu aux enchères le plus cher de l’histoire.

Avec l’ouverture récente du Freeport, le Grand-Duché de Luxembourg affirme son positionnement au niveau international en matière Art & Finance. Dynamiser le marché luxembourgeois des ventes aux enchères publiques devient indispensable et un enjeu financier intéressant. Or la législation luxembourgeoise, issue de textes anciens, ne semble plus adaptée au marché international actuel.

DES TEXTES ANCIENS • Monopole des notaires, huissiers et greffiers : L’arrêté du Directoire exécutif du 27 nivôse an V (16 janvier 1797) ordonne l’exécution des anciens règlements par lesquels le droit exclusif de faire les prisées et ventes publiques de meubles est attribué aux notaires, huissiers et greffiers. Il est ainsi interdit à tous autres que les notaires, greffiers et huissiers, de s’immiscer dans les prisées, estimations et ventes publiques de meubles et effets mobiliers soit qu’elles soient faites volontairement, après inventaire, ou par autorité de justice, en quelque sorte et manière que ce puisse être, et sans aucune exception (article 1er de l’arrêté du 12 Fructidor an IV du Directoire exécutif (29 août 1796)). Les contrevenants sont poursuivis et condamnés à des amendes.

• Procédure : Les meubles, effets, marchandises, bois, récoltes et tous autres objets mobiliers, ne pourront être vendus publiquement et par enchères, qu’en présence et par le ministère d’officiers publics ayant qualité pour y procéder.

Une déclaration au bureau de l’enregistrement dans l’arrondissement duquel la vente a lieu doit être effectuée préalablement à la vente publique par enchères. Les officiers publics transcrivent, en tête de leurs procès-verbaux de vente copies de leurs déclarations faite au bureau de l’enregistrement.

Chaque objet adjugé est porté de suite au procès-verbal, le prix est inscrit en toutes lettres et en chiffres. Chaque séance est close et signée par l’officier public et deux témoins domiciliés (loi du 22 pluviôse an VII (10 février 1799)).

• Droits d’enregistrement : La loi portant réforme de certaines dispositions en matière d’impôts directs et indirects du 21 décembre 2001 prévoit entre autres que les adjudications de

HOULD LUXEMBOURG LAW BE REFORMED?

Between January and June 2015, art sales by public auctions worldwide generated 8.1 billion US dollars; the biggest markets for public auctions are the United States, the United Kingdom and China with France and Germany completing the top 5 (ref: Arnet). Record sales occur on a regular basis.

During their public auctions in London in February 2015, Sotheby’s benefited from a strong market with masters of impressionist and modern art (Monet, Matisse, ToulouseLautrec) where one sale reached 247.3 million Euros. The “Abstraktes Bild” from German painter Gerhard Richter was sold for 46.3 million US dollars (estimated at 14-20 million).

Sold in May 2015 for 179.3 million US dollars, “Les Femmes d’Alger” by Pablo Picasso became the biggest sale in history for paintings presented in public auctions.

Following the recent opening of the Freeport, the Grand-Duchy of Luxembourg asserts its place as an international player in Art & Finance. Revitalising the Luxembourgish auction market becomes a necessity with interesting financial stakes. However, Luxembourg ancient legislation in this regard seems now unfit for today’s international market.

ANCIENT LEGISLATION • Monopole of notaries, bailiffs and Court clerks: The Decree passed by the Directoire exécutif of 27 nivôse year V (January 16th 1797) restates the application of previous legislations by granting notaries, bailiffs and Court clerks the exclusive right to hold public auctions of movable assets. It is forbidden for any other then notaries, bailiffs or Court clerks to meddle with the valuation and public sale by auction of movable assets whether they occur on a voluntary basis, after inventory or pursuant to a judicial decision in any way and without any exception (Article 1, Decree of 12 Fructidor year IV of the Directoire exécutif (August 29th 1796)). Infringements are prosecuted and sanctioned financially.

• Procedure: Furnitures, commodities, goods, woods, harvests and any other movable assets or property can only be publicly sold or auctioned by and in presence of public officers with qualifications to proceed. A declaration made to the bureau d’enregistrement competent in the judicial district where the auction is to take place must be made prior to the public auction. The public officers transcribe a copy of this declaration at the head of the auction’s minutes. Every auctioned object is listed in the minutes and the price written in plain letters and in figures. Each session is closed and signed by the officiating officer and two resident witnesses (law of 22 pluviôse year VII (February 10th 1799).

biens immeubles et d’objets mobiliers de toute nature sont frappés d’un droit d’enregistrement. Le droit est perçu sur la somme totale de chaque procès-verbal, sans préjudice quant aux autres règles de perception. Ce droit d’enregistrement applicable est un taux normal proportionnel, frappant chaque acte opérant un mouvement de valeur, fixé à 5%, majoré de 2/10ème soit un taux global de 6%.

• Ventes aux enchères en ligne : Le service de vente en ligne requiert l’application des dispositions des règlementations spécifiques relatives au droit de la consommation et au commerce électronique.

LES NÉCESSAIRES RÉFORMES • Risque de réforme imposée : Le droit communautaire (art. 169 du traité TFUE) impose d’assurer la concurrence. La Commission Européenne peut intervenir pour faire respecter ce principe par les Etats membres.

C’est ainsi qu’à la suite d’une réclamation formulée par Sotheby’s qui ne pouvait organiser de vente aux enchères publiques en France, la Commission Européenne a adressé à la République française un avis motivé au titre de l’article 169 du traité TFUE concernant la vente volontaire aux enchères publiques d’œuvres et objets d’art. Dans cet Avis, la Commission européenne pointait les dispositions de la réglementation française des ventes aux enchères publiques alors en vigueur qu’elle jugeait non conforme au droit communautaire (notamment pour ce qui concerne le contrôle a priori des qualifications professionnelles, l’obligation d’être nommé préalablement à un office ministériel de commissairepriseur ou encore les conditions restrictives quant à l’exercice de la profession sous forme de société). Elle demandait à la France de modifier sa réglementation en conséquence, ce qui fut fait par la loi du 10 juillet 2000, modifiée en 2011.

Certaines dispositions du droit luxembourgeois qui réservent aux notaires, greffiers et huissiers de justice nationaux l’organisation des ventes aux enchères publiques présentent des similitudes avec les dispositions que la Commission a demandé à la France de supprimer.

Quelles réformes pourrait-on envisager pour mettre la législation luxembourgeoise conforme aux règles européennes, attractive pour le marché de l’art tout en assurant la sécurité des transactions ?

• Réforme n° 1 - Ouverture à la concurrence : L’adoption d’une loi de libéralisation des ventes aux enchères publiques favorisant l’émergence d’acteurs luxembourgeois tout en incluant l’ouverture du territoire national aux ressortissants communautaires opérerait une harmonisation avec le droit communautaire en même temps qu’il poserait les bases d’un développement du secteur au Luxembourg. En revanche, il pourrait être envisagé de conserver le monopole existant en limitant son application aux ventes aux enchères judiciaires.

Ventes volontaires et judiciaires deviendraient deux activités indépendantes.

• Réforme n° 2 - Organisation de la profession : En cas de libéralisation des ventes aux enchères, il sera nécessaire d’encadrer l’organisation de la profession afin d’assurer la sécurité des transactions. A ce titre, plusieurs règles pourront

• Stamp duties: The Law of December 21st 2001 modifying certain provisions regarding direct and indirect taxes states, amongst others, that the auction of real estate and movable assets of any nature are subject to stamp duties; the amount of which is calculated on the basis of the total consideration of a particular session not withstanding other applicable taxes.

The stamp duty is proportional. The applicable rate is 5% plus two tenth which makes a aggregated rate of 6%.

• Online auctions: Online sale services are regulated by specific provisions related to consumption law and electronic commerce.

REFORMS TO BE PERFORMED • Risks of an imposed reform: Union law (Article 169 of the TFEU) imposes to maintain competition. The European Commission may intervene in order for Member States to respect this principle.

Thus, pursuant to a claim introduced by Sotheby’s which could not participate to public auctions in France, the European Commission addressed the French Republic with an opinion motivated on the basis of Article 169 of the TFEU regarding the voluntary auction of art pieces.

In this opinion, the European Commission pointed out the specific French regulatory provisions concerning public auctions which it deemed contrary to Union law (particularly the a priori control of professional qualifications, the requirement to be hold a public office of commissaire-priseur and the restrictive conditions for those who wish to exercise this profession as a company).

It demanded the French Government to amend its legislation accordingly. This was achieved with the Law of July 10th 2000 which was amended in 2011.

Certain provisions in Luxembourg law granting notaries, bailiffs and Court clerks the exclusive right to organise public auctions do present similarities with the French legal provisions of which the European Commission demanded the suppression.

What type of reform can be contemplated in order for Luxembourg law to comply with Union law and make it attractive for the art market while ensuring the security of transactions?

• Reform n°1 - Introducing competition: the adoption of a new Law regarding the liberalisation of sales in public auctions furthering the rise of Luxembourgish players and allowing European ones to operate in Luxembourg would harmonise national law with Union law while helping this sector in grow in Luxembourg. On the other hand, it would be possible to keep the existing monopole and limit its scope of application to judicial public auctions. Voluntary and judicial sales by public auctions would then become two separate activities.

Cette règle devrait s’appliquer également à leurs associés, dirigeants et employés.

- Enregistrement de ces sociétés auprès de l’administration, voire agrément soumis à conditions (ouvrir un compte destiné à recevoir les fonds détenus pour le compte de leur clients, avoir une assurance couvrant leur responsabilité professionnelle et une assurance ou un cautionnement garantissant la représentation des fond qui leurs sont confiés et avoir une personne qualifiée pour diriger les ventes, dans leur personnel) ; - Soumission à des obligations déontologiques ; - Les personnes chargées de diriger les ventes devraient répondre à des conditions d’honorabilité, de compétence et d’expérience ; - La loi devra assurer la probité et la sécurité des transactions en instaurant des règles de transparence qui s’appliqueront aux relations des professionnels avec les vendeurs (garanties, provenance des biens vendus..) comme avec les acheteurs ; - La loi devra prévoir le régime de responsabilité des professionnels: Leur responsabilité, pour toute faute dans le cadre d’une estimation ou d’une vente, pourrait être recherchée dans un délai maximum à fixer (10 ans par exemple) L’action en annulation d’une vente pour défaut d’authenticité qui s’exerce contre le vendeur pourrait quant à elle être soumise à une prescription plus longue.

• Réforme n° 3 - Tarifs et prix : Afin de rendre le marché de l’art luxembourgeois plus conforme aux marchés étrangers et permettre le libre jeu de la concurrence, il serait souhaitable de prévoir certaines règles applicables aux ventes, notamment en ce qui concerne les tarifs. Il pourrait être envisagé, comme cela a été fait en France, la libéralisation des tarifs des maisons de ventes.

Afin de faciliter les transactions, la possibilité d’accorder une avance sur le prix d’adjudication au vendeur pourrait être prévue.

La pratique du prix de réserve pourrait aussi être fixée et encadrée : en cas d’estimation le prix de réserve peut être supérieur à l’estimation basse diffusée aux enchérisseurs, par catalogue ou oralement. A condition d’être garantie par une banque, les maisons de ventes pourraient accorder une garantie de prix au vendeur dont le montant maximum, en cas d’estimation ne peut être supérieur à l’estimation basse diffusée aux enchérisseurs.

Réforme n°4 - Ventes aux enchères en ligne : Le développement des sites d’enchères par voie électronique au niveau mondial - et le positionnement du Grand-Duché de Luxembourg en tant qu’acteur majeur dans le domaine du numérique - nécessite de déterminer si ces activités entrent ou non dans le champ de la réglementation sur les ventes aux enchères. Il conviendra de distinguer la vente aux enchères publiques et le courtage aux enchères, qui relève du droit commun. Ce dernier consiste en la mise en contact d’un vendeur et d’enchérisseurs par

• Reform n°2 - Professional organisation: In case of a liberalisation of public auctions, it becomes necessary to regulate the profession in order to ensure the security of transactions. In that regard, several rules can be contemplated: - Adoption of corporate forms (S.A., S.à r.l.) for companies dealing in voluntary sales by public auctions of movable assets and restriction of the corporate object to the valuation of those assets, to the organisation and completion of sales by public auctions and prohibition to exercise any other activity (and in particular to buy or sell for their own account). This rule should equally apply to shareholders, directors and employees of those companies.

- Public registration of those companies, and maybe the application for a license under certain conditions (the opening of a bank account aimed to receive clients’ funds, contracting a professional insurance and an insurance or pledge guaranteeing representation of the deposited funds and having a qualified individual person with their employees).

- To be subject to deontological obligations.

- Individual persons in charge of the sales should meet respectability, qualifications and experience requirements.

- The regulation should ensure the integrity and the security of transactions by introducing transparency rules that will apply to relationships between professionals on one hand and the buyers and sellers on the other hand (guarantees, origin of goods, ...).

- The regulation should provide for a liability regime applicable to professionals. Their liability for any fault committed in the valuation or in the sale might be engaged within a maximum time period still to be determined (10 years for example).

The claim for the cancellation of a sale based on the lack of authenticity introduced against the seller might be subject longer time period.

• Reform n°3 - Fees and prices: In order for the Luxembourg art market to comply with foreign market and enhance free competition, it would be best to introduce certain rules concerning sales, especially about fees. The liberalisation of auction houses’ fees, as applied now in France, might be an option.

In order to facilitate transactions, the seller might be granted the possibility to ask for an advance on the starting price.

Reservation price as a practice may also be regulated: in case of a valuation, the reservation price may be superior to the lowest valuation submitted to the buyers, in writing (catalog) or orally. Under the condition that the said amount be guaranteed by a bank, the auction houses might grant the seller with a guaranteed price for an amount no higher than the lowest valuation submitted to the buyers.

• Reform n°4 - online auctions: The growth of auction websites worldwide - and the position of the Grand-Duchy of Luxembourg as a major digital player - requires to state whether or not these activities enter the scope of public auctions regulation. It is important to make the distinction

Seul le courtage de biens culturels devrait être soumis à la loi sur les enchères publiques.

Il conviendra également de prévoir une obligation d’information des consommateurs à la charge des plateformes d’enchère : une information générale sur la nature du service proposé et une information spécifique sur la réglementation relative à la circulation des biens culturels. Les conditions relatives à cette obligation d’information devront être précisées.

La dynamique du marché luxembourgeois est favorable pour que le Grand-Duché devienne une place de référence du marché de l’art. Ouvrir les ventes aux enchères publiques aux acteurs du marché s’impose. Il suffirait d’ailleurs aujourd’hui que Sotheby’s ou tout autre acteur souhaitant exercer au Luxembourg fasse une réclamation à la Commission Européenne pour que celle-ci demande au Luxembourg de mettre en conformité sa législation.

Il convient donc dès à présent d’entamer les réformes en la matière dont nous proposons ici quelques pistes de réflexion.

between public auctions and market brokerage which is not subject to specific regulations. The last merely introduces buyers to sellers and vice versa by means of a website; the said website only hosts the auction process and does not offer any guarantee of delivery to the buyer, of payment or of authenticity contrary to an auction house. Only brokage in cultural assets should be regulated under the Law on sales by public auctions.

It would be fitting as well to include disclosure requirements for auction platforms to the benefit of consumers: general information on the nature of provided services and specific information on circulation of cultural assets. The details of the disclosure are yet to be determined.

The dynamics of the Luxembourg market is favourable for Grand-Duchy of Luxembourg to become a reference in the art market. Opening public auctions to market players is essential. In the present situation, the European Commission needs no more than a claim introduced by Sotheby’s or any other player wishing to exercise in Luxembourg for it to demand that the Grand-Duchy set its legislation in line with Union law. It is not too soon to begin necessary reform in this regard and for which we here suggested a few ideas.

The Development of Luxembourg as an International Financial Centre

T

HE EUROMARKETS

If there is one constant in the history of the development of Luxembourg’s economy, it’s this: the Grand Duchy has always looked across its borders. It is no coincidence that the country joined the German Zollverein in 1842, established the Benelux union together with Belgium and the Netherlands in 1944 or was a founding member of the European Coal and Steel Community, the precursor of the European Union, in 1951. In order to thrive as a country and as an economy, Luxembourg has always needed a larger economic space. The success of Luxembourg’s financial centre, just like the success of its steel industry - which for a long time was the country’s driving economic force - is entirely export driven.

Although Luxembourg’s oldest bank dates back to 1856, the first branch of a foreign bank opened in 1893 and the country has had a stock exchange since 1928, the emergence of Luxembourg as a truly international financial centre actually began in the 1960s. While the country was already home to the first investment fund listing (in 1962), the date that really marks the rise of Luxembourg as an international financial centre is July 1963: this is when the world’s first Eurobond was listed on the Luxembourg Stock Exchange. This bond by the Italian highway operator Autostrade was in fact emblematic of what has remained a key strength of Luxembourg’s financial centre to this day: the ability to provide financial services in a cross-border environment.

While most stock exchanges at the time insisted on only listing bonds issued in their local currency and by companies established in their country, here was a bond issued by an Italian company, denominated in US dollars and listed in Luxembourg.

As a result of the development of the eurodollar loan and bond market in the 1960s, an increasing number of foreign banks chose to settle in the Grand Duchy, from the US, Germany, Switzerland, Scandinavian countries or Japan, to benefit from the pan-European market infrastructure the country had managed to set in place.

Between 1970 and 1979 alone the number of banks in Luxembourg rose from 37 to 108.

Figures such as the above illustrate why Luxembourg’s economy managed to overcome the steel crisis of 19751985 and the resulting deindustrialization: By the late 70s, the financial centre had taken over the role of economic engine. This is best illustrated by the respective sectors’ contribution to GDP. While the Luxembourg steel industry still represented 30% of GDP in 1970, this contribution had declined to 10% by 1985. Over the

same period, the contribution of financial services rose from 5 to 22% of GDP. While to this day steel continues to play a significant role – ArcelorMittal being the largest employer in the country –by the 1980s financial services had replaced steel as Luxembourg’s number one export.

Beyond its international orientation, diversification was another key element of Luxembourg’s growth as a financial centre. Private banking, corporate banking, investment funds, insurance, capital markets or payment services … instead of relying on one or two activities, over several decades Luxembourg developed expertise in many areas.

EUROPEAN INTEGRATION AS A KEY DRIVER While in the early stages of the development of the Luxembourg financial centre, sovereign factors like banking secrecy or policy decisions taken abroad (such as, for instance, the US’s decision to introduce an interest equalization tax, which forced foreign borrowers to look elsewhere – notably Luxembourg - to cover their dollar needs in the 1960s) played a role in attracting foreign banks and clients, the strong growth of the Luxembourg financial centre over the past 30 years is predominantly the result of increased European integration.

Commentators frequently make the mistake of considering Luxembourg’s financial centre purely within the geographic confines of the country, comparing its size to the national GDP, for instance. However, in the context of the single market this is a fallacy.Luxembourg’s domestic market is precisely not its national market, but the EU Single Market, with its free movement of people, goods, services and capital.

The financial centre has thrived in a harmonized regulatory framework, exporting financial services and products throughout the EU and beyond.

This development is perfectly illustrated by two industries: Luxembourg’s life insurance industry and its investment fund industry.

Until the 1980s, life insurance was predominantly a domestic activity in Luxembourg. However, in the early 1990s, Luxembourg rapidly transposed two European directives and took full advantage of the possibility to market life insurance products in other EU member states under the Freedom to Provide Services (FPS). In the two decades between 1990 and 2010, the number of life insurance companies in Luxembourg more than doubled. International insurance companies set up subsidiaries in Luxembourg specializing in panEuropean life insurance. Since life insurance products

offered abroad are governed by the rules and tax regime of the client’s country of residence, Luxembourg once again managed to capitalize on its cross-border expertise.

Over the past decades, Luxembourg developed a diverse range of flexible insurance products with a particular expertise in unit-linked life insurance products, the latter being particularly suited for cross-border wealth management.

The growth of Luxembourg’s investment fund industry is even more spectacular, and like the success of life insurance is rooted in a harmonized EU regulatory framework. In 1988 Luxembourg became a pioneer when it was the first country to implement the European UCITS directive. Even before UCITS, Luxembourg had been looking beyond its borders to combine the best elements of existing fund products, whether it was guaranteed investment funds, umbrella funds, introducing share classes or US-style money market funds. Unlike countries like France or Germany, which had sizeable domestic markets, Luxembourg, being cross-border by default, was therefore able to anticipate the huge potential of a regulated investment fund product that benefited from a EU passport. The country’s first mover advantage meant that it was able to attract international fund promoters who set up their funds in Luxembourg and distributed them throughout Europe. Twelve years later, Luxembourg has become the largest fund centre in the EU and the second largest in the world after the US, managing assets in excess of 3,400 billion euros. Luxembourg funds are distributed in over 70 countries across the globe. In 2014, over 40% of net fund sales in Europe went to Luxembourg funds.

The success of the fund industry is a good illustration of Luxembourg’s ability to anticipate and capitalize on regulatory developments. It also serves to counter the commonly held misconception that Luxembourg’s success is built on tax exemptions or banking secrecy: neither have played a role in the rise of the Luxembourg fund industry.

RECENT DEVELOPMENTS No one would deny that banking secrecy initially played a role in the development of private banking in Luxembourg. Yet even here the reality is far removed from the simplistic image that often still circulates abroad.

From the beginning many clients came to Luxembourg primarily because they could not find the same scope and level of services at home. For instance, Luxembourg banks offered clients multi-currency accounts, allowing them to hold multiple currencies pegged to an account in a reference currency of their choice. Even today

this banking product remains virtually unknown in many countries – for the simple reason that many countries with a sizeable domestic market purely think domestically when it comes to financial services. This is only one example among many of Luxembourg’s longestablished ability to cater to the needs of clients with multijurisdictional needs.

Importantly, however, the world has changed and so has Luxembourg. The financial crisis of 2008, in particular, put a renewed focus on international tax matters and transparency. Banking secrecy, in its fiscal form, has not been an argument for clients to come to Luxembourg for quite some time and indeed no longer exists in Luxembourg today. With Luxembourg already having adopted the exchange of information upon request in 2009, the new government strengthened the country’s commitment to the global trend towards tax transparency by fully abolishing tax secrecy in 2014. As of the 1st of January this year, Luxembourg has been applying the automatic exchange of information as foreseen under the EU Savings Directive and as of 2017 the Grand Duchy will exchange information automatically under an extended scope as an early adopter of the OECD’s Common Reporting Standard.

While the gradual abolishing of tax secrecy has not had an impact on assets under management in private banking, which have remained stable at around 300 billion euros, it has accelerated an ongoing shift in the client base. While there have been outflows of mass affluent clients from neighbouring countries (specifically in the wealth bracket below 500,000 euros), this has been compensated by an inflow of international HNWI (high-net-worth individual) and UHNWI (ultra-highnet-worth individual) clients. Indeed, clients with assets of over 5 million euros today account for 62% of total assets under management in private banking.

These mobile international clients, who have their families and business spread across several countries and continents, benefit from Luxembourg’s diversified financial centre ecosystem and find the right crossborder expertise to manage their wealth and businesses from a central location. This is also why many banking groups have set up their private banking competence centres for international clients in Luxembourg.

Luxembourg has also been able to built on its existing strengths to further diversify and develop expertise in transversal activities covering various industry segments of the financial centre: these activities include Islamic finance, responsible finance, international renminbi (RMB) activities or the burgeoning area of FinTech.

Today, for instance, Luxembourg is one of the largest international renminbi centres in Europe and the preferred European hub for Chinese banks (the 6 largest being present in Luxembourg). As Europe’s largest centre for RMB denominated funds, Luxembourg is also an important facilitator for global investors wishing to invest into the Chinese capital markets. Similarly, the Luxembourg Stock Exchange is the leading platform for Dim Sum bond listings in Europe (ranking third globally after Hong Kong and Singapore). In May 2011, Volkswagen, needing liquidity in RMB, launched the first European RMB denominated bond in Luxembourg.

Since it is home to a leading international financial centre, boasts a state-of-the-art ICT (information and communication technology) infrastructure and can rely on a government and financial sector regulator that is open to disruptive technologies, Luxembourg has also been successful in becoming a FinTech hub, both for start-ups and established players. Taking advantage of the country’s central geographical location the government strategically invested in ICT to create a low latency hub in the centre of the major internet hubs in Europe: Amsterdam, London, Frankfurt and Paris.

Companies can easily serve all the major European

consumer markets out of one physical location. A large number of e-payment and e-commerce companies, including global giants like Paypal, Amazon or Rakuten, have established their hub in Luxembourg to leverage the EU passport and serve their customers throughout Europe. Luxembourg once again benefited from its first mover advantage when it implemented the EU Payment Services Directive: the number of payment institutions and e-money institutions has tripled over the past 3 years.

Maybe due to its modest size, Luxembourg has often been more agile than larger countries. Luxembourg has always been able to adapt, whether in terms of international regulatory developments or industry trends. Historically, the development of the financial centre has been a combination of exogenous factors – with the creation of a Single EU Market being by far the most important– and national characteristics such as adaptability and responsiveness, a strong culture of dialogue between public authorities and the private sector, and a marked openness to the world.

Family Offices: a Vehicle to Invest Cash or an Institution to Guide and Preserve the Family Fortune and Investment

T

he Family office is coming from an old tradition which dates back to Roman times.

The new Family office was born to the 19th century in the United States, where the Rockefeller family created its own office. The development was done through a trust structure or a bank dedicated to the private interests of the family and their descendants.

Initially the structures were used to avoid the division of the family’s wealth through the generations to come. The first trust was created to execute financial transactions. With the industrial revolution came the «Bank trust officer» who had the responsibility to protect the heritage of the wealthy. At that time the family office took care of the financial needs of just one generation. Because of the accumulation of wealth and wealth levels a need to structure became very important. They had to manage the operational business as well as personal and financial dealings so they set up a separate structure.

With the 20th century industrials and entrepreneurs were managing their business which became more and more important. Alongside they set up new businesses. The responsibilities multiplied and the family was expanding. The FAMILY OFFICE was born! The office covered a multitude of structures where some family members were performing administrative work; others worked in the family business and managed entire teams of professionals focussing on investment, accounting, legal affairs, structuring, concierge services...

Wealthy entrepreneurial families have in general three components in common: the company, the shareholders and the actual family unit.

This last component is the less well organized and armed to preserve and grow capital. The Family office is ensuring a comprehensive monitoring that takes into account family structure and increase the heritage through generations, preserving the interests and harmony of the whole family.

I insist heavily on this concept of independent management because it really is the most important characteristic.

THE FAMILY PERSPECTIVE The Family office is there to preserve the values of the family through generations and guarantees the transmission of the wealth of the Patriarch.

Concentrations of common interests put at the disposal of family members. Family offices have different shapes, sizes and colours.

Nevertheless in the US we detect two main forms: Single and Multi-Family Office. The legislation allows centralizing common interests up to 15 family clients without being subject to register with the SEC. In Europe we see the single and multiFamily office and another type of multiple family offices as service provider for UHNWI. SINGLE FAMILY OFFICE The family defines the office and its way of functioning. The independence from the initial wealth creator is crucial. It is also characterized by the size of the family and the number of its members. Its purpose, its design and operation and services offered will vary from family to family and depend on the importance of fortune. The Single Family Office, often first-generation founder was among the Council members. It is independent of service providers, often working with other families (club deals) or multiple service providers.

MULTI FAMILY OFFICE On the one hand we have the Multi Family Office serving several families (George Soros’ Financial Times August 23, 2011 «- Frank Dodd Act» US disclosure rules leave world’s rich families with a tough choice «- Dan Mc Crum New York) or more descendants who are less linked. Their purpose is primarily to optimize or share costs, services and investment opportunities.

On the other hand an evolution has occurred in recent years after the various financial and banking crises on the multiple service providers in « Wealth Management». The biggest challenge here is primarily the independence! Only organizations which are totally independent with highly qualified professionals available to family clients having a long-term vision and experience will have success.

THE GENERATIONS OF THE PATRIARCH The initial founder is the entrepreneur who is the creator of the wealth. He has a real know-how and expertise of the Business. He is aware of his mission and has a goal. He cultivates what he has achieved. This is the type «NO RISK NO FUN».

The second generation will try to preserve the heritage and will take less risk so less profit. He remains in the shadow of the founder and is very different. The third generation has less connection with the family business and has different interests.

Assets will diminish in value! Costs rise with more family members and the economic environment has changed. Some manage to restart the engine others are very cautious and seeking long-term growth. After the fourth generation the family has grown around the world, governance will be internationalized and the needs are increasing. An institutional office is required.

Family Investment Office who deals mainly with families who have had a liquidity event and with a focus on the management of their investment. The Family Legal Office who prepares the transition of the fortune. The Family Business Office running the family business and deals with the operational activities. Finally, the Administrative Family Office that organizes the daily administrative activities and financial affairs, reporting…

However, let’s not forget the funny side: concierge services, cultural and musical education, life style services: yachts, private jets ... Often services that the Founder didn’t consume nor had no time for!

There are real prototypes of Patriarchs who will do anything to avoid family disputes with a focus on family governance. Others do not succeed: Only 8% of the Wealthy will transmit their wealth across three generations. A real waste! A family office can prevent this.

The rise of coaching seems unstoppable. Over the last years, coaching has continued to grow in popularity.

The application of coaching has spread from sports and business to all aspects of life like health and wellbeing.

Due to lack of oversight and regulation, the vast majority of life and wellness coaches practicing in the field never had any formal training or certification. One of the challenges in the field of coaching is upholding levels of professionalism, standards and ethics. To this end, many of the coaching bodies and organizations have codes of ethics, member standards and criteria according to which they hold their members accountable in order to protect coaching clients’ interests. There are 3 levels of certification or credentialing. These are valid for a period of 3 years. They can be renewed provided that the coach has demonstrated a certain number of hours of training and supervision.

ICF definition of coaching is: “Coaching is partnering with individuals or teams in a thought-provoking and creative process that inspires them to maximize their personal and professional potential.”

There are several types of coaching. Each of them has its respective specificities:

La directive AIFM est une des règlementations principales élaborée par les instances européennes pour limiter le risque d’une nouvelle crise en renforçant la régulation des gestionnaires de fonds d’investissements alternatifs. Elle a ainsi pour principal objectif de réglementer les activités des gestionnaires de fonds d’investissement sortants du champ de la norme UCITS IV (visant donc les OPCVM), et comprenant entre autres les fonds de gestion alternative (hedge funds, fonds immobiliers, et de private equity…).

The AIFM directive is one of the key regulations drawn up by the European authorities to limit the risk of another crisis by strengthening the regulation of alternative investment fund managers. Its main goal is to regulate the activities of the managers of investment funds that do not come within the scope of the UCITS IV standard (therefore targeting OPCVM funds) and including, among other things, alternative management funds (hedge funds, real estate funds, private equity funds, etc.).

Cette directive régule donc pour la première fois les gestionnaires de fonds d’investissements alternatifs (FIA) et non ces fonds eux-mêmes.

This directive therefore regulates, for the first time, the managers of alternative investment funds (AIF) and not the actual funds themselves.

La directive AIFM est à l’origine de changements importants pour l’industrie des fonds –et leurs gestionnaires, en leur imposant de nouvelles règles opérationnelles en matière de fonds propres, de gestion de la liquidité, des risques, des conflits d’intérêts, en matière de valorisation, de délégation de gestion (sans pour autant exclure la responsabilité de la société de gestion), de rémunération et enfin de reporting que ce soit aux investisseurs et au régulateur (en l’espèce, la CSSF pour le Luxembourg) et de dépositaire (pour chaque FIA).

The AIFM directive is at the origin of important changes for investment funds – and for their managers – by imposing new operating rules on them regarding their capital base, liquidity and risk management, conflicts of interest, valuation, management delegation (without, however, excluding the responsibility of the management company), remuneration and lastly reporting whether to the investors or to the regulator (in this particular case the CSSF for Luxembourg) and custodians (for each AIF).

Les gestionnaires de fonds d’investissements alternatifs, à l’instar des sociétés de gestion luxembourgeoises, qui agissent pour compte de tiers (AIFM de tiers) et pour lesquelles un agrément est nécessaire, ont été impactées par la directive AIFM, car elles ont dû mettre en place l’ensemble des règles opérationnelles indiquées ci-dessus.

Alternative investment fund managers, following the example of the Luxembourg management companies that act on behalf of third parties (third party AIFMs), and for which accreditation is required, have been impacted by the AIFM directive, because they have had to put in place all of the operational rules mentioned above.

Ainsi, certains gestionnaires de FIA -que ce soit pour des raisons de taille ou d’organisation- auront tout intérêt à faire appel à un AIFM de tiers.

Thus, some AIF managers – whether for size or organisational reasons – will find that it is in their best interest to use the services of a third party AIFM.

Au-delà de la nécessité de répondre à de nouvelles exigences règlementaires, l’intérêt majeur que représentent les AIFM de tiers se situe à deux niveaux : au niveau de l’accès au passeport européen et au niveau de la gouvernance.

Beyond the need to meet the new regulatory requirements, the major interest of third party AIFMs can be seen at two levels: that of access to the European passport, on the one hand, and that of governance, on the other.

En effet, la Directive AIFM permet de faciliter la commercialisation transfrontalière des fonds alternatifs aux investisseurs professionnels par le biais du passeport européen.

Indeed, the AIFM directive helps to facilitate the cross-frontier commercialisation of alternative funds to professional investors, through the intermediary of the European passport.

Ce passeport européen permet aux gestionnaires de fonds alternatifs européens de gérer et de commercialiser leur(s) AIFs européens dans tous les États membres de l’Union Européenne sans avoir à obtenir un nouvel agrément que celui obtenu dans le pays d’origine.

This European passport allows European alternative fund managers to manage and commercialise their European AIFs in all the European Union’s member states without having to obtain another accreditation in addition to the one obtained in their country of origin.

Luxembourg, is now seen under a positive light by investors, all the more so as the transposition of the AIFM directive to Luxembourg has resulted in the setting up of special limited partnerships, companies that offer the promoters of this type of fund a choice jurisdiction regarding the location of their funds and of their holding structures.

Le principal intérêt de l’AIFM de tiers est ainsi de permettre aux gestionnaires de fonds d’investissements alternatifs de pays tiers qui pourront avoir accès à ce passeport (ce qui ne sera certainement pas un exercice facile).

The main interest of the third party AIFM is therefore that it allows alternative investment fund managers in other countries to gain access to this passport (which will certainly not be an easy exercise).

La directive AIFM a rendu nécessaire la mise en place de lourdes procédures de gestion des risques et de reporting. Ces éléments ont nécessairement impacté la gouvernance des fonds, du fait de l’existence d’une fonction indépendante de gestion des risques et de gestion des investissements.

The AIFM directive means that it is necessary to put in place cumbersome risk management and reporting procedures. And this has inevitably had an impact on fund governance, owing to the existence of an independent risk management and investment management function.

Toujours en matière de gouvernance, l’exigence de reporting à effectuer est également renforcée tant envers les investisseurs qu’auprès du régulateur. Les autorités de tutelles pourront ainsi collecter davantage de données en vue de surveiller les risques systémiques. Ces reportings visent à garantir aux investisseurs et aux autorités de tutelle une meilleure transparence sur la gestion des fonds, avec par exemple la fourniture d’informations aux autorités de tutelle sur le niveau général de l’effet de levier des fonds. La collecte et la publication de ces informations ont été rendues plus efficaces de par l’indépendance des fonctions de gestion des risques et des investissements, via le rôle des conducting officers, au nombre minimum de 2 et dont les fonctions ont été rendues obligatoires dans chaque AIFM.

Still in the area of governance, the requirement concerning reporting has also been strengthened, both regarding the investors and the regulator. The supervisory authorities can thus collect more data to help them monitor systemic risks. This reporting aims to guarantee the highest level of transparency regarding fund management for the investors and the supervisory authorities, for example by providing the supervisory authorities with information on the funds’ general level of leveraging. The collection and publication of this information have been made more effective thanks to the independence of the risk and investment management functions, through the role played by the conducting officers, of which there must be at least two and whose functions have been made obligatory in each AIFM.

En termes de perspectives, il reste encore quelques étapes réglementaires et opérationnelles à régler, notamment les régimes nationaux de placement privés (RNPP), l’extension du régime des passeports à des AIFM et des AIF non européens, et l’ouverture à d’autres juridictions.

Pour mémoire, les AIFM non européens et les AIF non européens gérés par un AIFM européen sont soumis au RNPP de chaque état membre ou l’AIF est distribué ou géré.

Les RNPP devraient prendre fin à priori en juillet 2018.

L’ouverture à d’autres juridictions est un point dont la presse spécialisée et certaines associations professionnelles se font l’écho. On a ainsi récemment entendu parler de l’extension du passeport européen aux fonds d’investissement alternatifs localisés à Jersey, Guernsey et en Suisse. Il serait également question de l‘extension de ce passeport à des juridictions telles que Hong Kong, Singapour ainsi qu’aux Etats-Unis. Ceci est à suivre avec une attention particulière, compte tenu des aspects concurrentiels, politiques et réglementaires que cela impliquerait.

Concernant le régime des passeport, l’ESMA2 indique dans son dernier rapport avoir procédé aux évaluations de 6 juridictions (Guernsey, Hong Kong, Jersey, Singapour, Suisse et Etats-Unis) afin d’appliquer le passeport AIFM a des AIFM et des AIF « non-UE ».

In terms of perspectives, there are still some regulatory and operational measures that have to be settled, particularly concerning the national private placement regimes (NPPR), the extension of the passports regime to non-European AIFMs and AIFs, and the opening up to other jurisdictions.

As a reminder, non-European AIFMs and AIFs managed by a European AIFM are subject to the NPPR of each member state in which the AIF is distributed or managed.

In principle, the NPPRs should come to an end in July 2018.

The opening up to other jurisdictions is an issue that the specialist media and certain professionals have highlighted.

We have thus recently heard talk of extending the European passport to alternative investment funds based in Jersey, Guernsey and Switzerland. The idea of extending this passport to jurisdictions such as Hong Kong, Singapore and the United States has also been mooted. This should be watched closely, given the competitive, political and regulatory issues that this would raise.

Concerning the passport regime, in its latest report ESMA2 said it had proceeded with assessments of six jurisdictions (Guernsey, Hong Kong, Jersey, Singapore, Switzerland and the United States) in order to apply the AIFM passport to “nonEU” AIFMs and AIFs.

S’il semble ne pas exister d’obstacles majeurs pour Guernsey et Jersey, la Suisse doit encore faire quelques aménagements juridiques. Aucun point de vue définitif n’a cependant été donné concernant les autres juridictions compte tenu d’aspects concurrentiels et réglementaires.

Although it seems there are major obstacles regarding Guernsey and Jersey, Switzerland must still make some legal adjustments.

However, no definitive opinion has been given concerning the other jurisdictions, in view of the competition and regulatory issues.

L’AIFM est donc promis à un avenir aussi prometteur que celui des UCITS et il ne pourra que renforcer la position du Grand- Duché de Luxembourg en tant que plateforme européenne pour la gestion de fonds alternatifs.

Within less than a decade the ICT sector of Luxembourg has become a significant economic pillar.

In order to tackle the crisis, the country chose to strengthen its position and to make of the digital economy a significant diversification driver.

This includes among others the global digital program (known as “Digital Lëtzebuerg”) that was announced by the government in October 2014 and which includes six axes: Infrastructure; Support to innovation; FinTech; E-Skills; E-government; Promotion.

The objective is amongst others to hoist Luxembourg as a real center of excellence in high tech, through the search of development and diversification opportunities as well as the enhancement of potential synergies between the country’s different traditional activities.

ICT players responded to the government’s initiative; and already, they are actively taking part to the realization of this strategy.

On the field indeed, they contribute every day to the development of the country’s digital future: either through their own activities and their products and services offerings or via their investments in infrastructure and innovation. Abroad, they also promote the country and its quality «Made in Luxembourg», while attracting foreign customers and developing cooperative projects with them.

Pouvoir disciplinaire de l’employeur Employer’s Disciplinary Power

employeur peut-il infliger des sanctions disciplinaires à ses salariés ?

L’employeur peut-il sanctionner les salariés de manière appropriée, selon le degré de gravité de leur faute ? Selon la Cour d’appel, la réponse est « Non ». « A l’exception de l’avertissement1, les dispositions du Code du travail ne prévoient pas de sanction disciplinaire. La Cour retient dès lors le principe que toute peine disciplinaire dérogatoire au droit commun, que ce soit dans un contrat de travail ou dans une convention collective, est nulle comme étant en défaveur du salarié, partie la plus faible. (…) »2.

Ainsi, la Cour d’appel considère que la loi n’ayant confié aux employeurs ni le droit de créer, ni d’appliquer les sanctions qu’ils jugent appropriées en raison de la conduite de leurs salariés3, il n’est pas possible à l’employeur de sanctionner le salarié autrement que par un licenciement, et bien sûr uniquement lorsque les conditions en sont réunies.

Or, le Code du travail n’impose qu’un cadre minimum à la relation de travail, et laisse les parties libres de prévoir toutes autres conditions pertinentes, dans la limite posée par l’article L. 121-3 du Code du travail, selon lequel « Les parties au contrat de travail sont autorisées à déroger aux dispositions du présent titre dans un sens plus favorable au salarié. Est nulle et de nul effet toute clause contraire aux dispositions du présent titre pour autant qu’elle vise à restreindre les droits du salarié ou à aggraver ses obligations ».

La seule sanction disciplinaire prévue par le Code du travail est le licenciement. En conséquence, toute sanction disciplinaire moins grave, notifiée au salarié par l’employeur, doit être considérée comme valable, car plus favorable au salarié qu’un licenciement4.

C’est ce qu’a dû rappeler par deux fois la Cour de cassation.

Le fait que d’autres sanctions disciplinaires ne soient pas expressément prévues en tant que telles par le Code du travail signifie simplement que le législateur n’a pas entendu prévoir une procédure spécifique pour chacune d’entre elles, et ce notamment eu égard au pouvoir disciplinaire de l’employeur. Il convient de rappeler en effet qu’en vertu de son pouvoir de direction, l’employeur a une autorité hiérarchique sur le salarié, qui est lui-même lié à son employeur par un rapport de subordination. Dans ce cadre, il appartient à l’employeur d’émettre des ordres, des directives et

Can employers take disciplinary action against employees, in keeping with the seriousness of their offence? According to the Court of Appeal, the answer is «No». «Apart from issuing a warning1, the Labour Code does not provide for any disciplinary action.

The Court follows the principle that any disciplinary action derogatorily provided by an employment contract or a collective labour agreement, is null and void, as it is detrimental to the weaker party, i.e. the employee. (…)»2.

Hence, the Court of Appeal believes that since the law has not given employers the right either to create or to apply the penalties they consider appropriate in response to the conduct of their employees3, employers cannot sanction employees except by dismissal, and then only when all the relevant conditions have been fulfilled.

However, the Labour Code only provides a minimal framework for labour relations, and leaves the parties free to determine all other relevant conditions, within the limits set by Article L.1213 of the Labour Code, according to which «The parties to the employment contract are authorised to derogate from the provisions of this section in a manner that is more favourable to the employee. Any clause that conflicts with the provisions of this section will be null and void if its aim is to restrict the rights of the employee or increase his obligations.»

The only disciplinary measure provided for by the Labour Code is dismissal. Consequently, any less serious disciplinary measure notified to the employee by the employer must be considered valid, since it is more favourable to the employee than dismissal4. The Court of Cassation had to remind this twice.

The fact that other disciplinary measures are not expressly provided for as such by the Labour Code simply means that the law did not see fit to stipulate a specific procedure for each of them, particularly given the employer’s disciplinary power. It should be remembered that the employer’s management powers give him hierarchical authority over the employee, who is himself connected to the employer by a subordination relationship.

UXEMBOURG A CONNU UN CHANGEMENT TRÈS IMPORTANT DE SON MODÈLE ÉCONOMIQUE EN MOINS D’UN SIÈCLE; ANTICIPEZ-VOUS UN BOULEVERSEMENT AUSSI IMPORTANT DANS LES ANNÉES À VENIR ?

COMMENT LE LUXEMBOURG PEUT-IL LE DEVANCER ?

C’est une question très large. La conversion de l’économie luxembourgeoise de l’agriculture à l’industrie minière puis à la sidérurgie et enfin à la finance a pris minimum dix ans à chaque étape. Il nous faut donc attendre encore quelques années. Ces changements doivent s’effectuer en combinant à la fois transformations profondes - voire radicales - et évolutions dans la continuité, en capitalisant sur nos acquis. Prenons un exemple en termes de changements évolutifs : l’activité financière du Luxembourg, reconnue mondialement, n’est pas remise en question. Il nous faut la préserver et la diversifier. Les fonds alternatifs ou les fonds de dettes (credit funds) par exemple, activités pour lesquelles le Luxembourg prédomine de plus en plus actuellement, en témoignent. Le secteur bancaire corporate doit être préservé. Un bon exemple est celui d’une des banques chinoises venue développer tout d’abord son activité de corporate banking en Europe à partir du Luxembourg.

La transformation du private banking prend, pour beaucoup de banques, la forme d’un changement de modèle plus radical, d’une activité concentrée sur des "petites fortunes" des pays voisins vers de grandes et très grandes fortunes internationales et s’accompagne d’un glissement de la concurrence vers des pays comme Singapour et la Suisse.

Cette transformation requiert en effet une vision ambitieuse, voire parfois provocante. Cette vision intègre le secteur digital, la logistique mais aussi de nouveaux secteurs comme par exemple le "digital health" qui offre énormément d’opportunités pour notre pays, notamment dans les domaines du "precare" et "post-care".

TOUT LE MONDE RECONNAÎT QUE LE MULTILINGUISME DU LUXEMBOURG EST UN ATOUT ESSENTIEL. LA CONTREPARTIE EST LA PRÉSENCE DE PRÈS DE 50% DE RÉSIDENTS D’ORIGINE NON LUXEMBOURGEOISE. VOYEZVOUS CET ÉQUILIBRE PERSISTER ?

Le multilinguisme au Luxembourg ne s’exprime pas uniquement par le nombre moyen de langues parlées par habitant mais aussi, et surtout, à travers l’ensemble des langues parlées par ses résidents. C’est la diversité

UXEMBOURG HAS SEEN VERY SIGNIFICANT CHANGES TO ITS ECONOMIC MODEL IN LESS THAN A CENTURY; ARE YOU ANTICIPATING AN EQUALLY IMPORTANT EVOLUTION IN THE COMING YEARS? HOW CAN LUXEMBOURG STAY ONE STEP AHEAD?

This is quite a far-reaching question. Each step in the conversion of the Luxembourg economy from farming to mining and then to the steel industry and finally to finance took at least ten years. We will therefore have to wait a few more years. These changes must be achieved by combining profound – not to say radical – transformations with evolutions to the existing situation, while capitalising on our past experience at the same time. Let’s take an example in terms of evolutionary changes: Luxembourg’s financial activity, recognised worldwide, is not called into question.

We need to ensure it is preserved and diversified. For example, the alternative and credit funds activities are evidence of the increasingly prominent position of Luxembourg. The corporate banking sector must be preserved. A good example of this can be seen in a Chinese bank which has decided to establish in Luxembourg mainly to develop its corporate banking activities in Europe.

For many banks, the transformation of private banking is taking the form of a more radical change in business model, moving on from an activity where lower wealth bank private banking clients from neighbouring countries were a large proportion of the assets managed by private banks in Luxembourg, to large and high end private banking and family office clients from all around the world. This phenomenon is accompanied by a gradual shift of the competition towards countries such as Singapore and Switzerland.

However this transformation of the national economy will also require an ambitious, sometimes thoughtprovoking vision. The opening of a free-port in Luxembourg is helping the development of transactions on the art market. Many of these transactions are not public and remain totally confidential.

In order to respect the confidentiality of the transaction, and the anonymity of seller and buyer, the ‘paymaster’ lawyer serves as intermediary, advisor and guarantor of the transaction and its related financial flows, including the principal amount of the transaction and the intermediaries’ commissions.

The lawyer – advisor for the transaction – draws up or checks the ‘LOI’ (Letter of Intent) on behalf of the client, and checks the ‘BCL’ (Bank Confirmation Letter) regarding the availability of the funds.

The works of art can then change hands in complete discretion, without being devalued and without the public being informed.

This profession is particularly well-developed on the market for private sales of works of art, and has also spread to all major transactions relative to every type of object requiring the greatest confidentiality.

As the special nature of the art market and of major transactions exposes this sector to problems of money laundering, the market players are particularly attentive to this issue and apply all the due diligence rules incumbent on financial intermediaries.
