Big 3: Resilience, innovation trump uncertainty

LONG BEACH, California—I covered my first NAFA I&E here in late April, and uncertainty—there’s that word again—loomed large. And it’s no fun.

Case in point: The Trump administration teased changes to its tariff plans for automobiles just before the Detroit Big Three execs took the stage.

“Well, here we are. Let’s talk about the elephant in the room: tariffs,” OEM panel moderator Chris Brown, from Automotive News, said to begin the chat.

The new executive order, a potentially complicated adjustment on auto parts to end tariff “stacking,” is “hopefully for the good,” suggested Gabe Slack, sales enablement manager – fleet management companies at GM Envolve. “We’re just going to continue to try to be nimble and game plan around this. We’ve got the most U.S. plants of any OEM, so we’ve got some flexibility on moving some stuff around.”

Getting a big laugh, Eric Swanson, VP of commercial sales for the East region at Stellantis, explained that the company’s legal department “was very clear” in its guidance on addressing tariff questions.

“It is a very fluid situation, which we are constantly monitoring,” Swanson quipped, before answering seriously. “We woke up to something this morning that is very different than it was the day before, so we’re all trying to just figure it out.

“At the end of the day, we want to do what’s best for our employees; we have to do what’s best for our company; we have to do what’s best for our customers— and we’ve got to find how those three things line up.”

The third member of the panel, Ford Pro Commercial & Government Sales GM Greg Wood, didn’t shy away from the politics, pointing out that Trump would be in Michigan to sign the new order.

“Ford Motor Co. supports President Trump’s vision to have a healthier and growing automobile industry and manufacturing base here in the United States,” Wood said. “We assemble more vehicles in the U.S. than any other OEM. We hire more automotive workers. And we also export more vehicles assembled in the U.S. than any other OEM. So we’re going to continue to adapt and evolve.”

And the topic would emerge throughout the discussion, with Swanson—after promising not to talk about tariffs any further—resorting to “the word that rhymes with ‘sheriff ’.”

(As an aside, just as TBB is going to press, Ford, UPS, and Cummins each announced they were

withdrawing their 2025 earnings guidance, citing yes, uncertainty around tariffs and global trade.)

The panel discussion extensively explored the ongoing electrification of fleet vehicles. While acknowledging the regulatory pressures, particularly in markets like California, the OEM representatives stressed the importance of offering customers flexibility.

Wood emphasized Ford’s approach of providing “power choice,” offering gas, diesel, hybrid, and electric options to meet diverse fleet needs.

Swanson drew a historical parallel, comparing the current EV transition to previous automotive technological shifts, such as the move to fuel-efficient vehicles during the oil embargo in the 1970s.

The panel highlighted emerging vehicle technologies, with a particular focus on safety features. Dash cams, in-vehicle coaching, and advanced driver assistance systems (ADAS) are increasingly sophisticated.

The executives acknowledged the delicate balance between technological innovation and driver privacy, particularly regarding monitoring technologies.

GM’s Slack noted the significant safety improvements in modern vehicles, pointing out features like automatic emergency braking and pedestrian alerts that come standard on many commercial vehicles.

A significant portion of the discussion centered on the expanding ecosystem of fleet services. Ford Pro, GM, and Stellantis continue to develop and expand comprehensive solutions that go beyond vehicle sales.

“It’s connecting that software and hardware together that creates a lot of the magic that can help support uptime advancements for all of you,” Wood said, outlining the evolving ability to remotely diagnose a problem, order parts, and schedule service.

Regarding supply chain disruptions, the executives were candid about the complexities of global manufacturing, acknowledging that giving customers advanced notice of potential issues is often challenging.

The panel concluded with a sense of cautious optimism. While acknowledging the unprecedented challenges of recent years, the OEM representatives emphasized that a commitment to innovation, adaptability, and customer support are valuable assets for navigating uncertainty.

“We’re going to continue to adapt and find new ways of solving problems,” Swanson said. “What is the challenge that you guys are facing? Let us know so that we can solve it together.” TBB

TerraVest adds LBT to strategic buying spree TerraVest Industries Inc. has acquired tank trailer manufacturer L.B.T. Inc. in a “strategic” deal meant to align with the recent purchase of EnTrans International. LBT was acquired for an enterprise value of approximately $16 million, including the assumption of certain liabilities, and subject to customary closing adjustments, according to the TerraVest news release.

Headquartered in Omaha, Nebraska, LBT is regularly among the annual Plant Safety Award winners named by the Truck Trailer Manufacturers Association. Known for building the “Toughest Tank in the Industry,” LBT has a loyal brand following and a long-standing reputation for quality and innovative trailer designs, TerraVest noted.

“I would like to wish TerraVest continued success as they grow in the bulk tank trailer industry,” Tony Roberts, owner of L.B.T. Inc., said. “I very much look forward to watching them extend and grow the legacy of LBT in Omaha and in the aluminum bulk tank trailer industry for many years to come.”

In a statement, TerraVest CEO Dustin Haw welcomed the employees and management of LBT and looks forward to their continuing commitment to the Company and dedication to their customers.

“I am excited to welcome the LBT team into the TerraVest family. LBT is a well-recognized tank trailer manufacturer, and we see this as a strategic fit as we look to grow our group of tank trailer businesses,” Haw said.

Tremcar USA joins forces with BigDuty, expands in West Tremcar USA recently partnered with BigDuty, a petroleum equipment service center in California, in a new collaboration expected to boost equipment availability and after-sales service for customers in the region.

BigDuty’s owner, Harlan “Butch” Howard, boasts 33 years of industry experience. Over the course of his career, Howard has operated, repaired, maintained, and built a wide range of petroleum equipment, earning a stellar reputation for his expertise and dedication, Tremcar reported.

Terex Utilities replaces Service School with equipment workshops Terex Utilities launched new Maintenance Training Workshops this year to take the place of the annual Service School, typically held in June. The workshops are for technicians working on Terex digger derricks and bucket trucks, with the new format allowing technicians to receive specific training on the models of equipment they work on.

“We changed the format of the Service School into multiple workshops so we can solely focus on one subject with a smaller group,” said Kenny Vlasman, customer service manager. “At past Service Schools, we received multiple comments from participants on equipment models they don’t have in their fleet, which made that particular station not applicable.”

The first two workshops have been held, with one on the Hi-Ranger Optima bucket truck in January and the other on digger derricks held the first week of March. Participants came from a variety of states, from Maine to Nebraska.

Subjects and activities covered in these workshops may include understanding and using load charts; performing periodic inspections; troubleshooting PTO issues; changing the direction of a pump; and performing a leakage test on outriggers, depending on the session.

“Regardless of their experience level, the technicians walk away with more knowledge and experience,” Vlasman added.

The workshops held so far have had positive feedback, and many commented that they like the hands-on aspect. One

respondent wrote, “This seminar utilizes both hands-on and visual learning… I enjoyed all of it.”

Workshops planned for the remainder of the year include digger derricks, distribution aerials, and the Hi-Ranger TM aerial device. Limited seats are available for 2025, and more workshops will be scheduled in 2026.

The third annual EUFMC Women in Utility Fleet gathering is driving up fleet attendance as well. Ridge unveils 28-ft. all-composite trailer Ridge Corporation recently debuted its innovative 28-ft. allcomposite trailer, TransCore, after 16 years in development.

The new TransCore design comes in nearly a full ton lighter than the previous trailer solution, and its composite construction presents an “eco-friendly, fully recyclable, and repurposable system” that utilizes natural components without bonding agents, according to the manufacturer. Instead, the materials are thermally fused using one of the longest lamination lines in the world, creating a virtually waterproof and seamless composite structure.

“Fleet operators and OEMs alike were impressed by TRANSCORE’s potential, sustainability, and the clear advantages it brings over traditional materials,” Ridge President Bret Moss said. “There’s always a better way.”

TransCore represents a “unique synergy” of common, recycled materials brought together through a high-speed manufacturing process, delivering a cost-effective, sustainable solution with no harmful gas emissions, the company suggested, adding that TransCore is FDA “direct food” contact approved on all of its surfaces.

New Max Trailer built for high payloads With the new MAX710 lowbed trailer, Luxembourg-based MAX Trailer is extending its product range with a powerful solution for higher payloads.

The 6-, 7-, or 8-axle lowbed trailer variants set new standards in compactness, flexibility, and price/performance ratio, according to the Faymonville Group brand.

Everything is based on a modular system: The MAX710 consists of a gooseneck, a removable front bogie with two or three axles, a lowbed—as an excavator deck or with outer beams— and a rear bogie with four or five axles.

“As is usual with MAX Trailer, this concept for higher payloads also impresses with a high standard and top quality,” said Mario Faymonville, product manager and sales manager at MAX Trailer.

The gooseneck offers a technical fifth wheel load of 38 tons and is designed for 6x4 or 8x4 tractor units.

“It is also optionally available with a practical radio remote control for the hydraulic functions,“ Faymonville added. “The axle system of the bogies impresses with proven technology and high reliability. The 19.5-in. pendle-axles are safe and maneuverable at all times, even in demanding terrain.”

Extremely compact design When looking at the front bogie, the compactness stands out.

“The focus of the development was clearly on the overall length of the vehicle,“ Faymonville noted, explaining the design, which has been well thought out down to the last detail.

The bogie, available with two or three axles, can be loaded onto the lowbed for unladen journeys.

MAX Trailer

There is a choice of two extendable lowbed variants of the MAX710: The excavator deck with adjustable mattresses and the lowbed with outer beams and fixed loading floor.

A newly developed bolt coupling is integrated into the rear bogie, which is more compact than comparable models and thus enables further length gains.

As standard, the rear area is equipped with a generously sized, 900-mm wide excavator trough, in which the boom of excavators or demolition machines is safely integrated.

With the MAX710, customers can adapt existing combinations later by purchasing individual components, as all components are compatible with one another.

In addition, the complete metallization is designed to ensure optimum corrosion protection and corresponding durability, the manufacturer noted.

Liberty Trailers redesigns two car hauler models Liberty Trailers has announced the redesign of two of its car hauler models— the LC7K83C4 and LC10K83C5—with several updates aimed at improving usability and overall performance. The updated models are now in production and available for dealer orders.

A half-billion dollar trailer accident judgment against Wabash continues to skew the company’s quarterly earnings reports—and for the better in Q1.

While Wabash’s net sales for the first quarter of 2025 were $380.9 million, a 26.1% decrease compared to the same quarter last year, the company generated a consolidated gross profit of $19 million. Operating profit amounted to $314.6 million as the company recognized a $342 million gain in connection with the reduction of the 2024 legal verdict. Without the adjustment, operating loss was $27.4 million for the quarter.

“While the reduction in this verdict was a positive development in our efforts to bring this matter to a more reasonable conclusion, there is more work to do, highlighted by our recent filing of notice of appeal,” said Brent Yeagy, president and CEO. “Excluding the gain, non-GAAP adjusted EPS came in below our expectations amid a general weakening in market conditions.

“This isn’t isolated to any one product or market,” he said. “It’s a broader macro driven slowdown, and while the situation certainly presents a fresh set of challenges, in some ways it’s reinforcing the strategic importance of how we’ve organized Wabash over the last few years.”

Among the key benefits of the Wabash work structure is that it allows the company to be “agile.” He pointed to the “downturn playbook” to take costs out where necessary to align with near-term demand conditions for the Transportation Solutions side of the business, while continuing to execute “without distraction” on growth opportunities within Parts & Services.

Regarding tariffs Wabash’s exposure to tariffs is “very limited” from a manufacturing perspective, Yeagy suggested.

“Outside of one small tank trailer facility in Mexico, our manufacturing footprint is distributed entirely throughout the U.S.,” he said.

“Additionally, about 95% of our materials are sourced domestically. That proximity not only shields us from potential volatility and trade barriers, but also allows us to manufacture with speed and reliability.”

But the company is not “completely immune,” Yeagy added.

“Tariffs on raw materials like steel and aluminum can create pricing pressure even from domestic suppliers.

And, more impactfully, uncertainty tends to inhibit our customers’ ability to deploy capital for equipment,” he said. “Companies aren’t posturing to make speculative bets in this

TRASBURG, Ohio—Tremcar has worked hard to solidify its reputation as a manufacturer of premium stainless-steel chemical and food-grade tankers and highly customized multi-axle trailers since Jacques Tremblay purchased the Canadian company from the Tougas brothers 36 years ago. But recent and upcoming expansions are quickly transforming Tremcar into an elite supplier of aluminum equipment, too.

The manufacturer last year produced 28% more aluminum tankers—primarily for fuel transportation—than in 2023 at its upgraded Tremcar USA facility in Strasburg, Ohio, which now features a dedicated building for barrel construction, two additional service bays, and a parts warehouse; and it plans to open a new plant this summer in Québec, Canada, that will produce aluminum trailers and truck-mounted tanks.

“People know us for making the best stainless-steel tanks on the market,” said Daniel Tremblay, Tremcar president, and the son of Jacques, who retired in 2017. “That’s what we aim for, and we never cut corners—we always give more to our customers—so they’re still our top seller.

“But more and more, with our Strasburg plant and growing fuels business, people are seeing we make very good aluminum tanks.”

Aldé and Léo Tougas founded A&L Tougas in 1962 in Sabrevois, Québec, as a milk tank manufacturer. Jacques, who spent most of his career in the concrete industry, purchased the company in 1989 and renamed it Tremcar. Daniel entered the family business in 1992 and quickly gravitated to the tanker operation, which grew exponentially under his leadership. So Jacques opted to sell his concrete operations and join Daniel at Tremcar in 1995. “He saw my passion, and how involved I was in the business, and decided to come work here with me, so we could build something together,” Daniel recalled.

Tremcar established its first U.S. plant in 1998 in Champlain, New York, then relocated the operation in 2004 to the old International Tank Trailer facility in Ohio. Today, the company is one of the largest tank trailer manufacturers in North America, with over 700 employees and production plants in Strasburg; Haverhill, Massachusetts (home of Boston Steel, a Tremcar USA division); Saint-Jean-sur-Richelieu—where Tremcar has two facilities—and SaintCésaire, Quebec; and London, Ontario.

Now Tremcar aims to build more tank trailers, and boosting its U.S. market share—which accounted for 35% of total revenues last year—is a top priority.

The building now boasts 19,200 sq. ft. and 10 bays, including a dedicated fabrication space with a shear and press brake for speedier repairs and replacement parts. But, with five tank service facilities in a 180-mile radius, it’s the shop’s nine long-tenured, highly skilled employees—including 44-year industry veteran Ed Dugan—who make Strasburg stand out. “We have 215 years of combined experience in the service center

week, if we were lucky, to 3-4, and now we’re looking to add a fourth line and go to 5-6 trailers per week,” said Dave Brooks, Strasburg plant manager.

The $4 million facility is set up for lean-manufacturing efficiency and line flexibility, with three portable barrel rotators that enable quick changeovers. Tremcar was building B-trains with tridem leads and tandem pups for Alaska and Canada on Line 1; standard 53-ft. units for the U.S., South America, and the Caribbean on Line 2; and sixaxle trailers for Michigan on Line 3 when Trailer-Body Builders visited.

“We’re shipping them out to dealers as fast as we can build them,” Brooks said.

The original horseshoe-shaped, 11,000-sq.-ft. building now is dedicated to tanker fabrication, finishing, and final inspections. Tremcar makes most parts and components, from custom cabinets and hose trays to ladders, fenders, and frames, in house using new tools and fixtures, a Kodiak plasma cutter, and an Ermaksan press brake. End caps from Tremcar’s Saint-Césaire plant are shaped using a Blue Valley flanger.

Strasburg is up to 75 production workers, and 100 total employees—and it’s still growing.

“We have a solid team there, and it’s easy to invest when people are doing their jobs,” Daniel explained. “They’re serious about the work, so I want to support their efforts, and help them make things happen.

“Our goal is to keep moving forward.

We’re not at full capacity yet.”

Tremcar makes most parts and components, from custom cabinets and hose trays to ladders, fenders, and frames, in house using new tools and fixtures, a Kodiak plasma cutter, and an Ermaksan press brake.

The result is a persistent backlog. Even with the additional bays, customers wait 2-4 weeks for annual inspections, and 4-8 weeks for bigger projects, and every bay was full when Trailer-Body Builders arrived. The shop maintains, repairs, and inspects all tanker makes, models, and years. Regular jobs include modifications, accessory installations, frame repairs, and jacket replacements. They even fix vacuum-collapsed barrels. “It’s amazing how you can blow them out,” Everett said. “We cut off the rings in the damaged areas, fill them full of water, repressurize them, and they bounce right back.”

All trailers are metered for safety before they enter the shop.

“First and foremost, every trailer that comes in must have a cleaning slip,” Everett said. “If it’s missing, we’ll contact the company and have them send the slip or take the trailer back to have it cleaned. Then I want the SDS sheet, because even if it was cleaned, I want to know what we’re diving into.”

Continuous improvement Improvements are ongoing across the company as well.

In Strasburg, Brooks is developing new confined-space entry training for employees and first responders, introducing ergonomic carts for parts movement and staging, and emphasizing good “housekeeping.” The location also is increasing inventory, improving the utilization of raw materials, and modernizing its management system to digitize paperwork and track tanks throughout the manufacturing process.

Granby facility will feature “4.0 automation” powered by artificial intelligence and robotic welding cells—at a cost of $30 million—when it opens in July after two years of planning.

“We’re always looking for opportunities to upgrade operations,” Dufresne noted.

Now is the right time, too—despite Trump’s threat of 25% tariffs on Canadian goods, Daniel maintained.

Expanding U.S. production minimizes Tremcar’s risk, and the company already sources most of its materials and components from the U.S., but the owner and president also believes any tariffs imposed will be applied in “very precise places” to help protect complex U.S.Canada parts supply chains.

“I don’t believe the tanker industry will be impacted at all,” he said. “It’s not something I’m losing sleep over, yet.” TBB

sound NATM convention makes some records of its own in Music City

ASHVILLE, Tennessee— Music City is famous for records, and the National Association of Trailer Manufacturers got in on the act, pulling off its most successful Convention & Trade Show to date at the iconic Gaylord Opryland Resort & Convention Center here earlier this year.

The event saw record-breaking attendance, a bustling exhibit hall floor, and a smooth attendee experience—a product of the cooperation, commitment, and flexibility of NATM’s exhibitors, sponsors, and attendees.

A total of 1,507 individuals attended this year’s show— which is less than 10 folks short of overall historical records.

Attendees included 363 representatives from 138 trailer manufacturing companies, NATM reported, marking a continued upward trend in participation and interest across the industry.

Bigger, busier, better The 2025 NATM exhibit hall was packed with energy and innovation, featuring 356 booth spaces, up 10.9% from 2024. A total of 259 companies exhibited, a 12.61% increase over the previous year, including 51 new member companies (up 8.51%).

“The NATM Convention is one of our favorite shows to exhibit and attend,” Ryan Griesemer, sales manager of Ridewell Suspensions, said. “From cutting-edge technology to top-tier services, the suppliers showcase the pinnacle of what the light-and-medium-duty trailer market has to offer. It’s a dynamic environment and participating in such a convention is a testament to the health and vibrancy of our industry.”

Education that matters The NATM Educational Workshops and Technical Forum sessions, covering an array of industry aspects including manufacturing processes, technology, and sales tips, also were met with enthusiastic praise.

These sessions provided attendees with actionable insights, regulatory updates, and forward-thinking solutions across the trailer manufacturing landscape.

With strong attendance and positive feedback, these learning opportunities remain a cornerstone of the convention.

The number of companies exhibiting at the NATM show this year was up nearly 13%, including 51 new member companies.

While sponsorship revenue saw a 7.36% decrease from previous years, 29 generous sponsors stepped up to support the event. Their continued involvement and visibility on-site helped elevate the overall experience for all attendees.

As a not-for-profit, the NATM Convention funds NATM’s programming throughout the year including the Compliance Verification Program, Government Affairs Advocacy, and NATM Academy and Trailer Safety Week, to name a few.

The Trailer Trends & Technology Showcase returned, featuring 10 participating companies. The showcase offered a platform for companies to spotlight cutting-edge

developments and engage attendees with the future of the industry.

New to the 2025 lineup, the Monday Night Dueling Pianos, sponsored by PPG, hit all the right notes. This high-energy event served as the perfect icebreaker to kick off the week, bringing attendees together for a night of music, laughter, and networking before the week’s official activities began.

The piano showdown was a fun and fitting homage to the host city of Nashville, known for its musical roots. NATM announced that this event will return not only for the 2026 Convention, but also at the upcoming fall NATM Trailer Expo.

NATM names top new member recruiters J’Lynn Bruton Olah and Brett Johnson recipients of this year’s Ed Freel Membership Award. Established in 2000 to honor members who demonstrate exceptional commitment to recruiting new members, the award was renamed in 2007 in recognition of Ed Freel’s contributions to the organization.

With more 34 years of experience in manufacturing, accounting, sales, and marketing within the recycled trailer flooring industry, J’Lynn has made significant strides at Shelby Trailer Services. Her dedication to advancing the industry is further highlighted by her pivotal role in launching NATM’s inaugural Trailer Expo in Oklahoma City.

In her two years on the NATM Membership Committee, J’Lynn has continuously showcased her commitment to the Association and its mission. Brett Johnson, president and CEO of Optronics, has been a member of NATM since 2001, and has actively participated in the NATM Political Action Committee and the Government Affairs Committee.

He has played a pivotal role in fostering relationships with lawmakers and advocating for the interests of the industry through attendance at NATM’s Regulatory Roundup. Brett recalls a time when he had to explain the basics of light- and medium-duty trailers to senators and their staff. Today, thanks to his efforts and those of his colleagues, there is a heightened awareness and understanding of NATM and its mission.

Inaugural NATM Trailer Expo targets dealers Keynote speakers named to lead education program Looking to bring together the entire spectrum of the light- and medium-duty trailer industry, the inaugural NATM Trailer Expo is set for Sept. 16-18 in Oklahoma City.

“One of the primary motivations behind the creation of the NATM Trailer Expo is to address the gap in education, resources, and self-governance that exists in the trailer-dealer realm,” NATM Assistant Director Meghan Ryan said.

A successful dealership succession requires a plan—and enough time to implement it Kevin Jones | Trailer-Body Builders

So you’ve spent your life building a thriving trailer dealership, but you’re ready to retire—or at least to slow down and relax a little—and that means you need a succession plan.

If you have a next generation of family waiting in the wings, that’s good. Or maybe not. If you just want to cash out, that’s good. Or maybe not.

The main thing is to get ready to move on—and to understand the timeline. Especially since it takes about three years to put a solid succession plan together and position the business accordingly, explained Sara Hey, president of business development at Bob Clements International, a consultancy that specializes in dealership management.

An accomplished author and public speaker, Hey entertained the packed conference room at the Trailer Tech Expo with stories about a range of clients, any one of which could’ve been about the dealers in the room and their main concern: What happens to my life’s work when I’m gone?

Hey understands, and not just from a management-expert perspective. As a second-generation business owner herself (Hey is the daughter of the founder) she knows the sometimes tricky dynamics of family legacy and business continuity.

Liberty Trailers was named the Customer Service Excellence award winner at Trailer Tech Expo this year.

Her presentation wasn’t just a lively lecture; it was a road map through the tricky terrain of business transitions.

“How many of you see your dealership as your retirement plan?” she asked. Hands came up, and each represented years of sweat, sacrifice, and dreams built one trailer and one customer at a time.

Hey’s cautionary tales also measured the pulse of family business challenges. She spoke of a New York dealership where a daughter spent years preparing to take over, only to realize her heart wasn’t in the business. Years of dinner table conversations, often bemoaning the weighty responsibility that running a dealership demands, had indelibly sketched the enterprise as a burden rather than an opportunity.

“The first critical question,” Hey emphasized, “is whether the next generation actually wants to run the business?”

Key questions for family To get started, Hey offered the “it’s yours” basics.

• Do they actually want to run the business, or are they just being too nice to say no?

• Are they ready to handle the late-night calls, inventory headaches, and customer emergencies?

• Are they equipped to handle the responsibilities or do they need further training?

• Is the transition a gift, a buyout, or an unpaid internship?

• Are there clear expectations and plans for the transition, including the buyout amount?

Her presentation featured real-world examples from clients that illustrated how critical each of these issues can be.

In one instance, the owners of a Texas dealership and the next generation were all set with the succession, until they finally got to the value of the business. Mom and Dad priced the business at twice what the kids thought was fair, leading to “a massive breakdown”—of the deal and of the family relationship.

“You have spent so much time building this business, and you’ve built it to provide for your family,” Hey said. “So to have this cut-off, this break, that’s the opposite of where we want to go. So let’s be clear on how we are going to transition. Have the conversation early and have it often.”

“Why in the world would I not want to see you, as an owner, stay in the business as an employee?” Hey supposed.

“Number one, you’re going to suck at it because you have been in charge up to this point—you have made every single call.

And you’re going to be like, ‘Listen, that’s not how we did it when I was running the business.’ How helpful is that to the new ownership?”

The most compelling advice centered on preparation.

“The fastest way to increase your business’s value,” Hey said, “is to make yourself unnecessary.”

This means hiring a GM, developing crystal-clear processes, and creating a business that could run smoothly without the original owner’s constant intervention.

Trust, but verify Hey also didn’t shy away from the darker realities of business ownership, for which successors need to be prepared.

She discussed the potential for theft, whether cash or parts, sharing stories of employees who had stolen hundreds of thousands by exploiting trust. Her advice was brutally simple: Trust, but verify.

She also posed the matter of “the 4 Ds,” or what happens in worst-case scenarios like death, divorce, debt, or drug issues?

Hey suggested having such unpleasant but necessary conversations at a “neutral place,” not around the dinner table at home, or even at the dealership, which is “Mom and Dad’s turf.” Instead, think pizza parlor. The main thing is to “keep emotions low.”

And while the 4 Ds are obviously hard to talk about, there are even more subtle areas to consider: Suppose Mom and Dad happen to really like the spouse of one of their children, but can barely trust the spouse of the other with their grandkids.

How do you talk about that?

And critically, will employees, customers, and vendors take the next generation seriously?

“Just because you, as Mom and Dad, have set up the business and you’ve created this great relationship, it does not necessarily transfer to the next generation,” Hey said, pointing to items like transferring credit and contracts. “All of these different pieces have to be addressed before we transition the business.”

Hey told of a Florida dealership where the owner died suddenly and his 22-year-old daughter suddenly inherited the business—and she was not prepared. But a lot of hard-working, loyal people depended on the business for their livelihoods.

“Lucky for her, there was a general manager who had been at the dealership for over 20 years,” Hey continued. “He had seen this girl grow up to be who she was. He walked alongside her to give her direction, and helped her build up this business.

“But if we transition the business and we lose all of our employees in the midst of it, does that do anything positive for our business at all? Absolutely not,” she added.

Finding outside buyers For those thinking of selling outside the family, Hey offered another set of crucial considerations: What is the business truly worth? Are you willing to sell to just anyone? How do you communicate the transition without causing panic? What’s your plan after selling?

She shared a painful story of a dealership owner who sold without preparing his employees, causing immediate organizational chaos.

“People can handle the ups and downs and the volatility, and, honestly, as business owners, some of you probably thrive on the unknown,” Hey said. “But oftentimes your employees are not the same kind of people. Before we get to a place of selling and rolling this out to your employees, we need to be clear on answering the questions that they’re getting ready to ask. How does this affect me? What does this mean for my job? What does this mean for my friends’ jobs? What does this mean for my paycheck? What does this mean for my insurance?

“Anything that would directly affect them, we need to have an answer to.”

Another tale highlighted the dangers of an owner staying on as a “consultant”—a situation that all too often leads to tension and dysfunction at business that had been well run.

“The fastest way to increase your business’s value is to make yourself unnecessary.”

Sara Hey, Bob Clements International Use management software, pull expense reports, and always have two people sign checks. Managers and employees might be sensitive to the oversight, but it’s for everyone’s protection.

“One hour of lost productivity per day for a single employee can cost $60,000 annually,” she said. “Imagine that across your entire team.”

Hey’s final message was one of hope: Transition isn’t about ending something, but beginning a new chapter.

Whether passing to family or selling to an external buyer, the goal is to preserve the business’s core values—and value— and ensure its continued success. Your business is more than its assets; it’s a living legacy, waiting to be thoughtfully transferred to the next generation of entrepreneurs.
