“A Workable Government”: Continuity and Pragmatism in Maryland Administrative Law
In recent years, the U.S. Supreme Court has reoriented federal administrative law, imposing new limits on the legislative and executive branches based on a more formalist account of the separation of powers and emphasizing the primacy of the courts in “saying what the law is.” In this program, Joshua N. Auerbach and Michele J. McDonald will explore recent developments in Maryland in light of these changes at the federal level. In particular, we will discuss the Maryland Supreme Court’s decision to retain and refine its distinctive approach, which relies more on case-by-case balancing than doctrinal line drawing and positions the courts in dialogue with other governmental actors, including determining how statutes and regulations should be interpreted and applied.
Algorithms and Antitrust: When Does Software Use Implicate the Sherman Antitrust Act?
In 2022, ProPublica issued a report about the prevalence of revenue management software in the multi-family housing industry that recommends rental housing prices based on algorithms. In the aftermath of this report, numerous lawsuits have been filed against RealPage, Yardi, and other companies that develop revenue management software for property managers, hotels, and similar end users. State attorneys general are also investigating and bringing claims against these companies, and the Department of Justice is pursuing litigation as well. In this session, attorneys from Gallagher Evelius & Jones, one of many law firms involved in the algorithmic pricing litigation, will provide up-to-the-minute commentary about this emerging area of antitrust law and offer some insights about pressure points in the litigation and advice that may help clients mitigate risk going forward.

The value of a closely held business is often an issue in cases involving family law and marital property, shareholder disputes, partnership dissolution, lost profits, negligence damages, death taxes, buying or selling a business, insurance claims, and a host of matters involving a closely held business. This session will give the practicing attorney a clear understanding of how a business is valued under generally accepted business valuation methods using income, asset, and market approaches.
Can I Fix This? No You Can’t!: The Right to Repair In the Face of Intellectual Property Rights
This program explores and examines the evolving issues of the right of a purchaser to repair products purchased without having to go to the manufacturer or its representatives for those repairs and the federal and state legislation, as applicable, designed to allow those repairs to be made. The program describes the clash between patent and copyright protection and the practicality and affordability of ownership of the product purchased, which impacts agriculture and all other commercial and individual uses. For example, the American Farm Bureau and Deere & Company have signed a memorandum of understanding addressing what information will be available to upkeep and repair John Deere agricultural equipment. Recently, a new copyright rule allowed McDonald’s to fix its own ice cream machines. So what does all this mean if your precision agriculture equipment breaks down in the field? Whether you have a general practice or focus on business, agricultural, or intellectual property law, you’ll come away with a good understanding of this hot topic.

Developments in Fair Housing Jurisprudence
This session will highlight developments in Fair Housing Jurisprudence in Maryland. A panel consisting of attorneys from the Civil Rights Division at Maryland’s Office of the Attorney General will discuss investigations, litigation, and amicus participation on fair housing issues, including discrimination based on source of income, gender, and disability. The panel will also discuss the fair housing barriers faced by justice-involved persons and how this discrimination has a significant racially disparate impact. An attorney from Maryland Legal Aid will discuss how legal services providers and the Attorney General’s office can collaborate to investigate and address patterns of discrimination.
Disposition of Frozen Embryos in Divorce: Exploring Maryland’s Landmark Case:
Jocelyn P. v. Joshua P.
In 2021 and 2023, the Appellate Court of Maryland and Supreme Court of Maryland, respectively, issued two opinions on the disposition of a single, frozen embryo in the parties’ dissolution of marriage case. These were precedent setting cases in Maryland as there had previously been no legal authority on the subject. As IVF has become increasingly common, as have divorces involving frozen embryos held in storage, family law practitioners and the Courts have struggled with how to handle this special category of marital property. Jocelyn P. v. Joshua P., has provided some guidance for practitioners and the Courts and has also raised some questions about the future of embryo disposition and related issues in Maryland. We will explore this landmark case and touch on other IVF related litigation issues.

Don’t Forget About Delaware! The Importance of The First State For Maryland Transactional Attorneys and Business Litigators
Despite its small, geographic size, Delaware is a giant in the area of corporate and commercial law. Hosted by Matt Nelson, a Maryland and Delaware attorney, and Katie Barksdale, a Delaware attorney, this program will discuss Delaware corporate and commercial law that is geared towards the Maryland practitioner. We will dive into the popular topics of entity formation (including both location and entity type), choice of law considerations for corporate agreements, and insider information on how commercial disputes are litigated in the Delaware courts, including the Delaware Court of Chancery.We will also discuss “DExit” and whether states, such as Nevada and Texas, may threaten Delaware’s title as Corporate Capital of the United States.
Elder and Disability Rights: Recent Changes and Lesser Known Laws That Impact Our Clients’ Rights and Benefits.
Presenters will provide an overview of recent changes and lesser-known benefits and restrictions of programs such as SSI, VA benefits, Medicaid, and Medicare.
Election Law: Understanding the Legal Framework in Controversial and Competitive Races
Amanda La Forge, current Chief Counsel for the Office of the Governor and Jared DeMarinis, current State Administrator for the State Board of Elections, will provide an in-depth overview of Election Law and explore its crucial role in shaping campaigns and determining outcomes in some of the most competitive and controversial electoral contests The program will include examining the legal framework that governs the election process and its impact in tightly contested races.

What happens after a denial by the United States Department of Veterans Affairs (VA) becomes final? VA claimants who are denied disability compensation or pension have finite amounts of time in which to apply for higher-level review at the agency and ultimately, in the Courts. But what options remain for those who miss their deadlines to pursue VA and judicial appeals (often, through no fault of their own)? During this presentation—which is intended both for practitioners who currently represent disabled Veterans and their families and for aspiring advocates of these underserved heroes—we will explore pathways for collaterally attacking the finality of adverse VA decisions and for thereby qualifying for retroactive benefits that may total in the tens, or even hundreds, of thousands of dollars. Specific topics covered will include: How to seek revision or reversal of final VA decisions based on clear and unmistakable error (CUE); The mechanics of filing a CUE claim; How to plead CUE with specificity; The three criteria of a successful CUE claim; What types of VA errors may, and may not, qualify as CUE?; What evidence will VA consider when deciding a CUE claim?; Common errors VA makes when dismissing or denying CUE claims; Additional pathways for challenging final VA decisions.

This session will review the basics of how the PBJ(c) works and who can benefit, clear up common mistakes and misconceptions, and provide updates and lessons learned from the first 1.5 years of implementation.
Personal Jurisdiction in a Virtual World
It is common knowledge that the COVID-19 pandemic reshaped the U.S. economy by dramatically increasing the number of remote workers. What Maryland lawyers may not fully appreciate, however, is the extent to which the shift to telework altered the legal landscape for resolving employer- employee disputes. The fact that employees may work remotely significantly impacts whether personal jurisdiction exists in Maryland in employer-employee disputes involving breach of contract, violation of the Maryland Uniform Trade Secrets Act, or other workplace-related claims. To show that personal jurisdiction exists in this new virtual world, Maryland employers must take care in recruiting employees, negotiating contracts, and structuring their legal claims. Conversely, the broader availability of remote work opportunities gives employee-defendants new arguments concerning where claims must be litigated and which claims are viable. Drawing on their experience in employer-employee disputes in particular, the panelists will analyze key considerations that drive the personal jurisdiction analysis and discuss related legal topics concerning the viability of claims in the employer-employee context, with the goal of ensuring that counsel on all sides appreciate how these emerging issues may impact future decisions about how and whether to litigate.

This program will offer a general overview of a severance agreement, i.e., spelling out the end of an employment relationship. The Law of Armed Conflict: Case Study on Current Events & Military Tribunals
The program is intended to give an overview of “The Law of Armed Conflict” in general. The program will focus on “The Law of Armed Conflict” (LOAC), also referred to as the Law of War, where the program intends to address four fundamental principles: 1) Distinction: Combatants/ Soldiers must distinguish between civilians and enemy combatants; 2) Proportionality: Injury/harm to non-combatants/civilians should be minimal and relate to the military mission; 3) Necessity: Every military strike (bombings/firings/strikes) should serve a specific military objective; and 4) Humanity: enemy combatants warrant the protection of basic human rights. Additionally, an overview of military tribunals will be presented. Title IX Bootcamp – Essential Practice Tips for Criminal Practitioners
In 2020 and 2024, the Department of Education released comprehensive Title IX regulations that greatly impact the process and procedures institutions of higher education must follow when investigating and resolving complaints of sexual harassment, including sexual assault and other sexual violence. Often, in these matters, parallel criminal proceedings are initiated by the complainant (alleged victim), such that the respondent (alleged perpetrator) is compelled to retain criminal defense counsel. While experts in criminal defense, these attorneys often find themselves in unfamiliar territory, attempting to work through an educational process in which university counsel and victims’ rights counsel might have developed significant expertise. Navigating the Title IX process in a way that doesn’t prejudice the criminal process, and, often, while also navigating yet a third process when the complainant seeks a protective/peace order, is no small task. This session will give attendees a baseline understanding of how to approach a Title IX matter while protecting their clients’ rights in the related criminal action.
