Jared Rich

Experienced Live Production professional developing and executing technology systems to enable transformative church experiences. An accomplished team builder and production coach, Mike spent 13 years with Port City Community Church in Wilmington, NC and 4 years with Victory World Church in Atlanta, GA, as well as consulting with ministries all over the US in maximizing their live video experience.

Mike is passionate about seeing the Word of God & technology come together to help spread the Gospel of Jesus.

Former Production Director for Gwinnett Church, a North Point Ministries church (youngest ever to be trusted with the role). Gifted as both a systems designer and end user with a unique perspective on maximizing perceived value and solving complex problems, Adrian is both a generalist & a specialist.

Wide degree of experience as End User, Staff Leader, Installation Lead, Project Manager, Commissioner & Trainer, and Designer in complex technical production systems.

With over 15 years as a live event and broadcast producer, Jared is a subject matter expert in leading a creative vision from conception to completion in some of the largest churches on the West Coast and on some of the largest stages in the country. Jared brings all of this experience to Diversified to craft forward thinking and world changing worship environments.

Fun fact: Jared is also an accomplished producer and engineer. You should ask him about his major label credits.

Lee is an innovative broadcast design engineer with over 28 years experience in the industry, 13+ of those spent at Diversified. He is a jack of all trades with extensive experience in facility design of worship spaces, performing arts centers, control systems, and broadcast systems, making him extremely well rounded to serve our projects with excellence.

Further, Lee is extremely passionate about exceeding the expectations of our clients and maximizing the impact of the systems we implement.

Former Video Engineer for two of the largest and most influential churches in the country. Experienced in both broadcast and cinematic video systems, live streaming, production intercom, and IT.

Ryan is a Subject Matter Expert in the development of volunteer friendly, repeatable live video workflows utilizing both established and emerging technologies.

Creating memorable live performance experiences has always been a motivation for Riley. This passion has driven him to refine systems thinking skills and diverse knowledge in the multiple production domains. He has utilized these skills while touring professionally in both audio and lighting roles, as well as integrating systems in churches, theaters, and broadcast studios.

He brings this end user experience to our projects, ensuring theoretical meets real world with precision and excellence.

Sean has spent the past 25+ years on the Engineering & CAD team at Diversified, specializing in infrastructure design & documentation for many of our most complex projects. He has extensive experience in building construction and the nuances of integrating media systems into spaces of all shapes and sizes.

More than two decades of experience documenting the requirements for successfully integrating production systems in facilities of all size and scope all over the world.

Subject Matter Expert in the specification of building infrastructure (high voltage, conduit, structure, rigging, etc) and gifted leader of the Engineering Team translating gear lists and schedules into detailed schematic drawings that can be executed.

Jordan has spent over 13 years specializing in the sales, service, design, and engineering of live production systems in both Faith and Commercial markets. Along the way he has also served as a Production and IT Director for a fast growing multi-site church in Texas, as well as 6 years in the US Marine Corps.

He is at his best when utilizing technology to create immersive environments…spaces built with creativity, purpose and excellence.

Dan Shivener

Program Manager & Senior Project Manager

Leads the day to day operations of our team. Over a decade of experience in the organization and execution of high-level, complex projects, events and systems, bringing together departments, teams, officials, clients and contractors to create diverse and successful experiences. Total project value experience in excess of $200 million.

Jim Stamps

Project Manager

Experienced Technical Project Manager with a demonstrated history of solving problems, managing teams and processes from Forbes 100 companies to NPOs. Experience with AV integration, NPOs, Event Planning, Live Production, Video Broadcasting, Production Management, and Videography. Strong program and project management professional with a Bachelor of Science (BS) focused in Business Administration and Management.

Nate Aguilar

Project Manager

Prior to his role at Diversified, Nate spent nearly 15 years in live event production culminating in VP of a respected Event Production company, managing and leading very large Creative, Technical, and Installation teams on high profile and complex events. Nate is also an end user at his home church as a video director.

Zoe Pettit

Senior Project Coordinator

Zoe has extensive experience in all parts of our industry - field install, design, engineering, review, and administration. EXECUTIVE SUMMARY

Diversified offers professional detail design and project planning services for the design and construction of Definition Church’s (hereafter referred to as “Client”) new Horse Pen Creek worship facility located in Greensboro, NC. The fulfilled agreement presented here will result in complete technical design for the following production and technical areas and disciplines:

This proposal is comprised of multiple steps with check in points along the way. A multi-phase approach verifies the design is progressing toward the intended result. Prior to moving on to a subsequent phase, your team will review and approve submittals from the current phase.

The first step will be the execution of a Functional Requirements Analysis (FRA) and Bill of Materials (BOM) which, after approval, will be the basis of all construction drawings and detail design. Diversified will maintain primary responsibility for overall project coordination for our applicable scopes, final system detail design and specification as well as future installation, testing, commissioning, rehearsals, and training for all of the above areas. Major deviations from the approved concepts and BOM will cause a change in schedule and budget. For the project to be successful the Client’s team must remain involved, engaged, and able to make timely decisions.

The detail design described herein will include a 90% BOM with a percentage contingency line for unforeseen workflow corrections and additions to scope as the project progresses that is documented to facilitate the desires of the Client.

SCOPE OF WORK

In close collaboration with the Client’s leadership, creative, and technical staff and volunteer leaders, Diversified will develop a complete detailed system design, including a line-item Bill of Materials (BOM) for the project that reflect in great detail how the system will be integrated and configured. The goal of this complete design effort will be to rapidly develop a fully-vetted production system design to allow for proper project budgeting, facility construction, and equipment procurement, leading to a future onsite build and integration phase for 2026, followed by a testing/commissioning/training phase that culminates in a go-live target date of TBD.

The new audio systems will be designed to maintain consistent coverage performance throughout the listening space within +/- 3dB of variation as is accepted industry standard. The audio transport system will be a modern digital architecture operating on the dedicated production network. Stage sub-snakes will be utilized to ensure a clean and organized cabling plan on stage.

The new video system is expected to operate at 1920x1080 29.97, 3G, Single Link preferred, with 8 mono channels (4 AES pairs) of embedded 48 kHz 24-bit audio although UHD and/or HDR specifications may also be considered based on client’s programming and strategic requirements. As a minimum the system will be designed with a migration path for UHD technology in the future as reasonable.

Stage lighting will be designed to maximize on camera performance with consistent lighting levels and even coverage from left to right. House lighting will be designed with a target average illumination level of 30fc over the seating area, trailing off gently toward the exterior walls of the room.

Production IT will be designed around a 10G fiber backbone hub and spoke model utilizing enterprise grade switches with 1G connectivity to the edge devices. It is expected this system will be an island to the general building network system with uplink as far upstream to the firewall as possible - ideally sharing uplink alongside the building network at the firewall resulting in as full of isolation as possible for both security and management sake.

The anticipated target budget for the complete systems including all equipment and installation services is currently undefined, although client’s preliminary budgeting has produced an overall total target budget range centered at $1 million. Diversified will partner with the Client to establish mutually acceptable associated budgets for this project as a part of this process in developing the executable solution.

The labor plan and associated fees for this proposal are based on a best effort understanding of the required work product and associated time required to complete. Diversified will maintain regular communication with the Client as the labor buckets are expended. Any unused labor will be rolled into the installation project at no penalty to the Client. This proposal represents a maximum not to exceed price as reflected in the financial details of this document.

DIVERSIFIED RESPONSIBILITIES

Project Administration

Diversified will assign a dedicated Project Manager (PM) to serve as the primary point of contact for the customer regarding the contractual and financial aspects of the project. The PM will be responsible for the overall progress, schedule, and coordination of the project both with internal Diversified resources and the rest of the Client’s construction team. The Project Manager’s most critical responsibilities throughout the design phase will be coordinating the Project Kickoff Meeting and follow-up Status Meetings with appropriate customer project management and technical staff, ensuring the delivery of all expected deliverables from the Diversified engineering team, and that all reporting is properly conducted in accordance with project requirements. Responsibilities include but are not explicitly limited to:

Project Schedules : Diversified will provide detailed project schedules which will be coordinated with master project schedules and will describe how and when work will be completed, including allocation, coordination, and tracking of all project engineering personnel. Milestones, as agreed upon, and duties to be fulfilled by Client’s team will be clearly outlined.

Project Budget : Diversified will be responsible for the ongoing maintenance of the project budget inclusive of the fees within this scope of work.

Project Meetings : Diversified will participate or run the following project meetings: Project Kickoff, Project progress meetings to review project status, outstanding submittals, coordination of adjacent trades, and requested changes between our Project Manager and Client’s representative. These meetings will also

PROJECT PLAN & METHODOLOGY

The following outlines the complete project plan from these first conversations through to go-live and sign off of system completion assuming Diversified completes both design and installation portions of this project.

Pre-Agreement Services

Diversified will submit a proposal for the design of the production systems and associated facility requirements as requested in the Scope of Work. Following the submission and review of this proposal, the Diversified team will remain available to provide offsite or onsite proposal presentations reviews, discussions, and modifications as required. Following the proposal review sessions, Diversified will provide all requested proposal modifications. The ultimate outcome will be a mutually executed Agreement which will allow Diversified to engage the full breadth of our technical resources to begin the project design process.

Design Services Agreement

Diversified will first complete a Functional Needs Analysis and Project Charter reflecting the programming goals and requirements for the new spaces and systems, review of already completed work product by others, and Programming Development alongside the Client’s staff and stakeholders. At this point we will define signals and workflows. All of this effort will result in commencement of the Conceptual Design which will become a 90% Bill of Materials. We will make final manufacturer selections collaboratively and our diagrams will migrate from conceptual to extremely detailed.

Following approval of the 90% Bill of Materials, we will craft two sets of drawings - one that reflects all of the low voltage construction requirements to implement these systems and the other a set of drawings and documents that define in perfect clarity how the systems themselves are to be constructed. Client’s technical staff will work with Diversified engineers to determine all desired system mnemonics, router layouts, intercom panel layouts, multi viewer layouts, RCP layouts, KVM host names, user groups, etc. This will also include all enterprise IP coordination, network configuration, and internal communication coordination. Each technical system and space will be defined to the finest detail. Consoles, millwork, and final rack elevations will be documented, and construction can begin post haste. Diversified will work with the Client and the balance of the project team to develop and finalize a facility migration plan to transition from your old systems to the new ones.

Prior to commencement of installation, the detail design schematics must be approved by the Client’s representative as indicated by signature on the approval block of each drawing via Docusign.

Pre-Installation Agreement Services

With the completion and approval of all of the work product as described above, we will have a road map for the construction phase of the project. Diversified will submit this proposal for the technical systems installation. Following the submission and review of this proposal, the Diversified team will remain available to provide an offsite or onsite proposal presentations review, discussion, and modifications as required. Following this proposal review session, Diversified will provide all requested proposal modifications. The ultimate outcome will be a mutually executed Agreement which will kick off the project implementation phase.

Installation Services Agreement

With the completion and approval of the phases detailed above, we will now have a road map for the construction phase of the project. Diversified’s project team will use the following method to guide our actions going forward:

Procurement

Following processing of the installation agreement by Diversified’s contract administration team and receipt of the project deposit payment, Diversified will begin the equipment and materials procurement process in accordance with the project timeline to begin assembling all of the widgets, pieces and parts that will comprise the finished system.

Risk mitigation is a normal part of this process in order to minimize equipment pricing volatility due to changing market conditions, extended procurement timelines due to raw materials and manufacturing shortages, etc. The Project Manager will work directly with the Client to navigate these steps together.

Facility Construction

Diversified will engage with the other contractors involved in the construction or renovation of the facility to ensure build accuracy in accordance with Diversified’s construction drawing set. Typically this includes a predetermined set of on-site visits based on the Labor Resource Plan elsewhere within this document to ensure conformity and answer questions from the on-site trades. Project coordination meetings are a normal part of this phase as well. Diversified will generally participate via online meeting services such as Zoom or Teams unless otherwise specified elsewhere within this proposal.

Off-Site Integration

As equipment and materials begin to arrive to Diversified’s warehouse, the off-site integration team will organize storage and mobilization preparation typically including pre-building equipment racks as appropriate, prebuilding cabling assemblies to minimize on-site time, and other general mobilization preparations.

When it is time for the system to transport to site, the off-site integration team will facilitate this execution.

On-Site Integration

Diversified has set in place a dust-free conditional date as well as a date for all cable paths to be 100% complete. Without completion of these tasks by others, Diversified will be unable to begin the on-site integration portion of the project. If the General Contractor misses these dates and the Client still wishes to proceed, Diversified will provide the Client with a Waiver of Liability document to sign before work can continue. Any dates missed by the General Contractor will result in at least a 1-for-1 slide of the project timeline as set forth by the Project Manager. The Client understands there may be additional cost implications associated with changes in the project timeline in the eleventh hour. Diversified and Client will partner together to mitigate this risk as much as possible throughout the lifespan of the project.

Turn-On, Testing, & Commissioning

Toward the end of onsite installation and integration, Diversified will mobilize a turn-on / commissioning team onsite. This group will begin powering-on devices and systems to verify operability, continuity of signal cabling, and begin final setup and commissioning of all devices and completed systems. This will be a great time to engage the Client’s production technical staff to begin familiarizing them with the new equipment and systems.

Diversified will also mobilize manufacturer representatives well ahead of system completion as determined by the Project Schedule and as agreed upon within the Bill of Materials to ensure their timely arrival to facilitate additional setup, commissioning services, and/or end user training services.

The desired outcome of this phase is to transform the new systems into a fully operational state. Diversified will work with the Client’s production technical staff to implement pre-designed and approved layouts and configurations. All timelines, needs and schedules will be coordinated by the Project Manager.

Knowledge Transfer & Training

Upon the successful completion of each of the integration phases as well as subsequent commissioning phases, Diversified will work directly with Client’s team to transfer system and device knowledge which will empower Client’s team to begin assuming ownership of the newly installed system. At the end of this phase the system and the project are Substantially Complete and available for first public use. This term is used when the system has reached the point of completion where it can be utilized by its owner for its intended purpose. This date also represents the beginning of Client’s warranty period.

Launch Support & Rehearsals

After Knowledge Transfer & Training, as detailed above, live use of the system will launch on a date determined by Client with support provided by Diversified engineering staff as detailed in the Labor Resource Plan within this document. Diversified Engineering Launch Support will be in place to ensure all systems perform as intended and designed. In the event personnel experience trouble, Diversified engineering staff will be there to help, advise and retrain as needed to provide rapid response and to protect the public event quality. Unless otherwise specified within this proposal, it is expected Diversified will provide first rehearsal support and first public use support. Additional resources are available upon request on a time and material basis if not already included in the Labor Resource Plan within this document.

Project Closeout

Following the launch support window and first public use, Diversified will wrap up the project by submitting final billings, updating and delivering as-built documentation (PDF’s), and vacating the project site of all Diversified owned tools, materials, and resources. Diversified will also use this time for additional user support and knowledge transfer as required.

CHANGE MANAGEMENT

Diversified seeks to demonstrate maximum financial transparency and accountability throughout this project. Scopes of Work, Bill of Materials, and Labor Plans are built to represent our best understanding of the problems the Client wishes to solve and the most reasonable, forward thinking, and creative way to accomplish this with as little extraneous cost as possible. Since we are creating something unique for this particular solution, it is common for the need for changes to the plan to present along the way for a number of reasons through no fault of any party. The project reality is that in this technologically advanced world that we live, change happens. In order to create the best possible outcome, it is important to both embrace this reality and have a consistent process to manage it.

Diversified’s Change Management is a key process throughout this engagement that differentiates us from competitors in the systematic application of project management best practices in order to maintain our goal of maximum transparency & accountability. This process focuses on controlling changes to the baseline plan to ensure project success and minimize surprises as much as possible while allowing Diversified to maintain a posture of YES. The gives the Client the ability to make conscious, strategic decisions regarding specific project trade-offs between scope, schedule, resources, other program parameters, while dealing with the reality of the need to make changes that can arrive along the way.

Changes to the approved conceptual design, approved detail design drawings, installation plan, adjustments to the timeline, or other such circumstances that have an impact requiring additional labor, equipment, or materials to complete represent a change to this Scope of Work. Sometimes these changes have cost implications while other times they do not.

All change orders must be documented and agreed upon by all parties before any work commences. Diversified does not penalize the Client financially in any way for change orders. The change order request will include the details of the change and the impact in both cost and time. Diversified will only receive payment for duly approved change orders.

Change Orders are broken down into two categories:

Equipment Change Order (ECO) : A minor change of an equipment model or the addition of a “simple” device such as a Distribution Amplifier. This only requires the addition of the equipment to the BOM and its purchasing and tracking. No additional charges would be levied for changes to drawings, cabling, testing, etc.

Scope of Work Change Order (SCO) : A scope change where there is an addition of a system or sub-system or a significant change to an existing design (approved or not) or the addition of major items of equipment such as switchers, audio boards, routers, etc. These changes would result in discussions with the OPB in order to determine and agree upon the additional Labor & Materials charges that would be required to support the scope change.

The management and tracking process in either of the above cases is essentially the same. Once there is an agreement on the change, a Change Order worksheet will be created detailing both the equipment and a written description of the requested change. Once this document is signed off by the Client (typically 2 days provided for review), the engineers will update all drawings ready for Client’s approval. Should the change be significant enough, additional meetings and or conference calls may be scheduled by the PM or engineers in

order to review the functional requirements or details of the change with the project team. At all times Diversified will work with the Client in order to provide the most competitive and cost effective pricing for any change orders.

Process : Scope of work change order requests from Diversified will be made in writing as early as possible prior to the need for such work. Each change order request will follow the format for equipment above and be justified. SCO’s will include estimated man hours to complete the job, broken down in cost per hour, actual equipment costs, estimated materials costs.

Risk Management : The purpose of Diversified’s Risk Management Plan is to describe the intent and steps of the program risk management process. Risk mitigation and management continues throughout the lifecycle of our engagement. Our Project Manager and Project Team anticipate, identify, and advise the Client’s team of the potential risks and solutions to mitigate these risks. The audience for this Rick Management Plan is the Project Team and Stakeholders who have an interest in minimizing and managing project risks.

Diversified considers risk management and mitigation a top priority. Our proven process in this area ensures we meet expected cost, schedule, and performance standards.

ASSUMPTIONS & ACKNOWLEDGEMENTS

Services Not Included

The following services / deliverables are not currently included in Diversified’s Scope of Work to be performed on this Project. However, these services / deliverables may be provided as an additional service:

1. Equipment provision or actual integration of any equipment, including programming, commissioning, training or warranty services.

2. Building security and access control systems design or budgets

3. LAN/WAN/Structured Cabling – Non Production Systems Related - system design or budget

4. Enterprise IT and Telephony systems design or budget

5. Outside Connectivity and/or RF systems design or budget

6. Electrical, Mechanical, Structural, or Architectural design work other than what is specifically required to communicate what is necessary to support the systems within our scope of work to others.

7. Providing services related to spaces or systems not outlined in the proposed scope of work of this document.

8. Redesign or design revisions due to changes in programming criteria or budgets when such revisions are inconsistence with instructions previously given by the Owners Representative.

9. Attendance at site meeting and/or events additional to those allocated and enumerated herein.

10. Providing services made necessary by the default of the contractor; or providing services for any work damaged by an event of Force Majeure.

11. Diversified, as a part of this consultative engagement, shall have no responsibility whatsoever to obtain any governmental approvals, building permits or other permits that may be required in connection with the project construction contemplated by this Agreement. It is assumed that the contractor(s) engaged in the actual work will obtain all required permits, etc.

Specific Assumptions & Acknowledgements

1. Drawing Coordination – It is assumed that Client will provide low-voltage drawing coordination.

2. Architectural Lighting Control – It is assumed that any architectural lighting to be controlled by the production house lighting control system and designed by others will adhere to DMX control only.

3. LAN/WAN/Structured Cabling – It is assumed that all general non-production LAN/WAN/Structured cabling will be designed, procured, installed, and commissioned by others as required.

4. Network Infrastructure – The design, provision, installation, and commissioning of all general, nonproduction network infrastructure will be provided by others.

General Assumptions & Acknowledgements

1. Client Representative – A single individual will be designated by the owner and project team as the “Owner’s Representative” and act as the single point of contact for Diversified. All project communications will pass through this project team liaison to and from Diversified.

2. Documentation Standards – It is assumed that Diversified’s standard drafting/engineering nomenclature, documentation and standards shall be used. Deviations from Diversified engineering and drafting standards and practices may require additional fees.

3. Diversified is not, and does not represent to be, a licensed architect, electrician, electrical engineer, mechanical engineer, or structural engineer and Diversified shall not perform, nor be responsible for the performance of, or the work of such persons. All information, drawings, schematics, specifications or other documents containing references to, or depictions of architectural, structural, electrical, or mechanical attributes which are supplied to the Project by Diversified hereunder will be provided for the sole purpose of

indicating Diversified’s suggestions related to the Work. Diversified shall have no liability whatsoever for the Project’s reliance thereon, except as such information, drawings, documents, specifications, etc. may relate to the performance of the Systems under Diversified’s Scope or Work.

4. The proposal herein includes services limited to the stated scope of work and anticipated system requirements as defined in the preliminary requirements section. Diversified will notify the Client of any services which are requested but out of scope and provide proposals for additional services as needed. Additional services must be authorized before services will be rendered.

5. The systems design will be conceived and developed based on the direction and feedback provided at each review opportunity during the project. Diversified strongly encourages involvement from the end user, systems admin personnel and all stakeholders to ensure that the appropriate design direction is being followed. Significant changes to previously established design requirements may result in additional fees depending on the amount of re-design and coordination effort required.

6. Diversified will coordinate and specify connectivity requirements where systems connect to other, external systems and/or components such as: fire, lighting, electrical, emergency/MNS and environmental controls. This coordination effort will be limited to specifying connection locations, type and functionality required to support the proposed systems. Design leads for each applicable external system will be responsible for the comprehensive design, specification and coordination for these systems in their entirety.

7. Electrical Systems – The design, provision, installation, and commissioning of all high voltage systems, electrical and safety grounding, wall and junction boxes, UPS systems, and cable conveyance systems such as cable tray, conduit, core penetrations, j-hooks, firestop, etc. shall be provided by others. These systems shall be designed and constructed to meet the requirements of the detailed design package.

8. Enterprise Servers & Workstations – All enterprise servers (domain controllers, mail servers, file servers, etc.) and enterprise workstations will be specified, provided, installed, and configured by others.

9. Entire Agreement – This agreement (including the agreed upon AIA, consultation and design proposal) and appendices to this Agreement supersedes, terminates and otherwise voids all prior written and/or oral agreements between the parties with respect to the Services provided. There are no warranties, representations or understanding of any kind or description whatsoever made by either party to the other, except herein. Any additional terms or notes appearing on schedules, proposal summaries and/or change orders are by this reference incorporated in this Agreement.

10. Bonds – Diversified excludes all bid, performance, payment and other bonds unless specifically detailed and priced herein.

11. Physical Construction – It is assumed that all physical construction activities will be provided by others. This will include flooring, wall construction and patching, painting, electrical, mechanical, wall backing for mounted devices, core penetrations, etc.

12. Pricing Validity – Unless stated otherwise herein, all prices are valid for thirty (30) days from the date of proposal.

13. Sales Tax – Diversified has provided all pricing exclusive of sales tax. Client must provide sufficient tax exemption certificates at time of contract else this contract will be subject to sales tax.

14. Legacy Equipment Failure – Diversified shall not be held liable for legacy equipment failures, regardless of warranty status of the legacy devices. It is common for some percentage of older devices to experience failures following a power-down and move.

15. Seismic Requirements – All supportive mechanisms required by local seismic and / or structural building codes shall be provided by others.

16. Specification by Others – Diversified does not assume liability for specific functionality, interoperability or suitability for pre-designed and pre-specified systems.

17. Telephony / Unified Communications – The provision, installation and commissioning of all telephony and unified communications devices and systems will be performed by others.

18. Third-Party Services – All third-party services such as data connectivity services, ISP, MPLS, etc. will be provided by others.

Reimbursable Expenses

Reimbursable expenses (i.e. mileage, airfare, hotel, per diem, rental cars, expedited delivery service, printing costs, etc.) are not anticipated to be incurred in the completion of this project scope outside of the Ideation & Discovery session (whose costs are included, if applicable). As such, they have not been arbitrarily included in the cost schedule for this project scope.

If for some reason reimbursable expenses are incurred while providing the services described herein, they will be invoiced as they occur, at cost plus a ten percent administrative fee. These reimbursable expenses are not included in our consulting fees and will be added to the professional fees outlined in this document. Upon request, Diversified will furnish Client with copies of invoices and/or sales receipts associated with reimbursable expenditures as part of any related billing to Client.

Project schedule as agreed upon by Diversified and the Client will establish the milestones, dates, and period of performance. The schedule will be predicated on any related construction schedule and will be dictated by the flow of the other trades or in accordance with an agreed progression schedule. TERMS & CONDITIONS

1. THE PARTIES AND EFFECTIVE DATE: This agreement is made as of the date of signature below by One Diversified, LLC, hereinafter referred to as Diversified, and Definition Church, the Purchaser. The Parties agree as follows:

PREVAILING TERMS AND CONDITIONS: By signing this Agreement, Purchaser represents and acknowledges that he/ she has fully read, understands, and accepts the terms of this Agreement, including the terms and conditions included herein. All the initialed pages of this document represent the entire Agreement and supersede, terminate and otherwise void any and all prior written and/or oral agreements between the parties with respect to Products and Services. There are no warranties, representations or understandings of any kind or description whatsoever made by either party to the other, except such as are expressly set forth herein. Documents that are inconsistent with, different from or in addition to the terms and conditions of this Agreement are void.

3. APPROVAL OF ORDERS: This Agreement and all Purchaser purchase orders for Products and Professional Services under this Agreement are subject to acceptance by Diversified including, if appropriate, approval by Diversified Credit Department. Upon request, Purchaser will furnish Diversified such financial information as Diversified may reasonably request for this approval. Diversified may, in its sole discretion, cancel this Agreement at any time if Purchaser fails to meet credit requirements established by Diversified.

4. CONFIDENTIALITY: During the course of this Agreement, each Party, its employees, subcontractors, officers and agents may receive or have access to Confidential Information of the other Party. In the event the receiving Party obtains Confidential Information from the disclosing Party, the Receiving Party agrees to keep such Confidential Information in the strictest confidence and safeguard such information using the same degree of care as it uses to safeguard its own Confidential Information, which in no case shall be less than a reasonable degree of care. Each Party’s Confidential Information consists of its business plans and customer lists, any information the disclosing Party identifies as confidential at the time of disclosure (or if in writing the disclosing Party marks as Confidential), and any information a reasonable person would consider confidential under the circumstances.

A. Mutual Obligations: The Receiving Party shall (i) not use the disclosing Party’s Confidential Information for any purpose other than the exclusive purpose of fulfilling its obligations under this Agreement; (ii) not use, disclose or otherwise make available to any person or entity (except as permitted herein) any of the disclosing Party’s Confidential Information during the term of this Agreement or thereafter without the prior written consent of the disclosing Party. (iii) limit access to Confidential Information to those employees, officers, subcontractors and agents on a need to know basis who has first executed a general written agreement committing such person to conduct that would not violate Purchaser ’s obligations pursuant to this Agreement; (iv) be responsible for any breach of this Agreement by employees, subcontractors, officers and agents.

B. Exceptions: Confidential Information will not include information to the extent that: (a) such information is or becomes publicly available other than through any act or omission of either Party in breach of this Agreement; (b) such information was received by the receiving Party from a third Party, which third Party had no obligation of confidentiality to the disclosing Party; or (c) such information was in the possession of the receiving Party at the time of the disclosure, or (d) was independently developed by the receiving Party without reference to the disclosing Party’s Confidential Information; (e) such information is/are required to be disclosed pursuant law, judicial order, or government regulation, provided that, in the event the receiving Party becomes legally compelled to disclose any of the information, the receiving Party shall provide to disclosing Party prompt notice thereof so that disclosing Party may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement.

5. PROJECT SCHEDULE AND DELIVERY TIME: Diversified shall not be liable for delays in delivery or performance, or for failure to manufacture, deliver or perform, due to (i) a cause beyond its reasonable control, or (ii) an act of God, act of Purchaser, act of civil or military authority, Governmental priority, strike or other labor disturbance, flood, epidemic, war, riot, delay in transportation or car shortage, or (iii) inability on account of a cause beyond the reasonable control of Diversified to obtain necessary materials, components, services or facilities. Diversified will notify Purchaser promptly of any material delay excused by this clause and will specify the revised delivery date as soon as practicable.

6. DELIVERY, TITLE AND RISK OF LOSS – SYSTEMS INTEGRATION PROJECTS: In the case of a systems integration project with prefabrication at a Diversified integration facility, title and risks of loss of or damages to any Products will pass to Purchaser upon Diversified's delivery of them to the Purchaser’s place of business.

7. DELIVERY, TITLE AND RISK OF LOSS – DROP SHIPMENTS: In the case of drop shipments, delivery dates are approximate and are based upon prompt receipt of all necessary information from Purchaser. Unless otherwise specified by Diversified or provided for in other signed agreements, delivery will be made and title and risks of loss and/or damage will pass F.O.B. point of shipment to Purchaser. All claims for damage or loss of products must be made directly to the freight carrier.

8. TAXES: The prices for Products and Services indicated in this Agreement are subject to taxes, including, but not limited to, sales, excise or use taxes. Purchaser shall pay all sales, use, ad valorem, excise and/or any other taxes imposed on either party by virtue of this Agreement. Diversified will invoice Purchaser for any of these taxes Diversified is legally obligated to collect from Purchaser.

9. FINANCE CHARGE/COSTS OF COLLECTION: If the Purchaser fails to pay Diversified for products when due, then in addition to any other remedies available to Diversified under this Agreement or allowed by law for that default, Purchaser will pay Diversified an additional monthly financing charge equal to the lesser of: (a) one and one-half percent (1.5%); or (b) the maximum monthly interest rate allowed by law; of any amounts past due, chargeable during each month that payment remains outstanding and Diversified’s reasonable expenses of collection, including, but not limited to, attorneys' and experts' fees and court costs.

10. INSTALLATION, TESTING, COMMISSIONING, TURN OVER: If applicable, installation, testing, commissioning and turn over activities will be performed during our normal working hours, 7:00 a.m. - 5:00 p.m., Monday through Friday unless otherwise agreed upon by both parties as evidenced in the official project schedule. Schedules will be coordinated through the Project Manager. If an installation must be re-scheduled at your request, it will be moved to the next suitable opening in the master project schedule.

11. CHANGES/RETURNS: Due to the custom nature of Audiovisual and Video equipment, customer-requested changes occurring once equipment is on-hand or in transit, may result in re-stocking charges to the Purchaser. Re-stocking charges will be based on the individual manufacturer's return policy. Any changes to the agreed-upon scope of work defined in the proposal must be authorized in writing. Purchaser -initiated scope increases or schedule extensions may be subject to additional fees. In such cases, the Project Manager will submit a change order request for approval and will work in good faith with the Purchaser to reach agreement.

12. MUTUAL INDEMNIFICATION: Subject to the other provisions of this clause, Diversified agrees to indemnify and hold Purchaser and its respective directors, officers, employees and agents and its or their subsidiaries and/or affiliates harmless from and against any damages directly arising out of the violation of this Agreement and Services and the negligence or willful misconduct of Diversified, including Diversified’s employees and any subcontractors retained by Diversified, provided that Purchaser gives Diversified prompt notice of any such claim and all necessary information and assistance so that Diversified, at its option, may defend or settle such claim and Purchaser does not take any adverse position in connection with such claim. In the event that any such damage or injury is caused by the joint or concurrent negligence of Diversified and Purchaser, the loss, expense or claim shall be borne by Diversified and Purchaser in proportion to their negligence. This indemnification obligation shall not apply to any claim based on manufacture, design, operation, maintenance or service according to Purchaser’s specifications or instructions or any General Contractor’s specifications or instructions, if and to the extent Diversified has not participated in or contributed to the development of such design or specification. Purchaser’s sole remedies for equipment infringement, under this indemnification provision is limited to any one of the following, upon the agreement of Purchaser and Diversified: (i) Diversified shall procure for Purchaser the right to use the method or process, (ii) Diversified shall modify the method or process so that it no longer infringes, (iii) Diversified shall replace the method or process with non-infringing alternatives, or (iv) Diversified shall refund to the Purchaser the purchase price paid for the infringing product. Purchaser agrees to indemnify and hold Diversified and its respective directors, officers, employees and agents and its or their subsidiaries and/or affiliates, harmless from and against any damages directly arising out of the violation of this Agreement and Services and the negligence or willful misconduct of Purchaser, including Purchaser ’s employees and any subcontractors retained by Purchaser provided that

Diversified gives Purchaser prompt notice of any such claim and all necessary information and assistance so that Purchaser, at its option, may defend or settle such claim and Diversified does not take any adverse position in connection with such claim.

13. LIMITATION OF LIABILITY: The parties agree as follows with regards to limitations on liability: Other than amounts due to Diversified from Purchaser for Services or with regard to a Party’s breach of confidentiality under this Agreement, the maximum liability of either Party to the other, including any related parties, as arising out of or in connection with the fulfillment of or use of the Services, regardless of the basis of claim, shall not exceed the value of this Agreement. In no event, whether as a result of breach of contract, indemnity, warranty, tort (including Diversified’s negligence), strict liability or otherwise, shall Diversified be liable for any special, consequential, incidental or penal damages including, but not limited to, loss of profit or revenues, loss of use of the products or any associated equipment, cost of capital, downtime costs, or claims of Purchaser’s customers for such damages.

14. NON-SOLICITATION: Purchaser agrees that during the term of any Services as provided by Diversified under this Agreement and for a period of one (1) year after the termination of this Agreement, Purchaser will not solicit or induce, directly or by use of a third party, any employee of TI to leave his/her employ with Diversified. If Purchaser violates this provision, Purchaser shall pay Diversified a fee equal to fifty (50%) of such employee’s then-current salary at Diversified.

15. DISPUTE RESOLUTION: In case of any dispute arising or related to this Agreement, Diversified and Purchaser, by mutual agreement, shall attempt to resolve any dispute informally through mediation.

A. Mediation: Diversified and Purchaser shall submit the dispute to executives selected by each Party (a maximum of two persons for each Party). These executives shall meet as often as necessary to gather and analyze information relevant to resolving the dispute and shall negotiate in good faith. All proposals and information exchanged as well as discussions during this informal process will be considered settlement discussions and proposals and will be inadmissible in any subsequent proceedings. If no settlement is reached in the informal dispute discussions, either Party may, within thirty (30) days from the date of a written communication that the informal dispute process was unsuccessful, give notice to the other Party that the noticing Party wishes to pursue formal mediation throughout arbitration.

B. Arbitration: In the event that the Parties cannot amicably resolve a dispute or damage claim through Mediation, the Parties agree to resolve any such dispute or damage claim by arbitration. The arbitration proceeding shall be conducted in Atlanta, Georgia, in accordance with the rules of the American Arbitration Association then in effect with one (1) arbitrator to be selected by mutual agreement of the Parties. If the Parties cannot agree on an arbitrator, then the American Arbitration Association shall select an arbitrator from the National Panel of Arbitrators. The laws of the State of Georgia shall apply to the arbitration proceedings. The Parties agree to initially split the costs of any arbitration, but the prevailing Party, if any, is entitled to reimbursement for the Party’s portion of the arbitration fees. The Parties agree that the arbitrator cannot award punitive damages to either Party. The Parties agree that such arbitration is fully binding and agree to be so bound by the arbitrator’s findings. Judgment upon the award as rendered by the arbitrator may be entered in any court having jurisdiction.

16. TERMINATION: Notwithstanding anything to the contrary, either Party may terminate this Agreement if the other Party commits a breach of this Agreement and fails to remedy such breach within thirty (30) days after written notice from the non-breaching Party. Purchaser shall still be obligated to make payments to Diversified for Products in the project inventory and Services as rendered up to and including the date of termination. Diversified will release any work product or products related to Services for which Purchaser has made payment or upon receipt of Purchaser’s payment. Diversified is not required to release any work product or Products in the project inventory unless Purchaser has made payment in full for such Products and/or Services.

17. WARRANTY: For equipment purchases, the manufacturers' warranty applies and Purchaser is responsible to contact the manufacturer’s warranty department for service after turn-over of the completed system. Diversified guarantees system installations to be free of defects in materials and workmanship for a period of one year from the date of completion. Defective materials or workmanship will, at our option, be repaired or replaced at no cost to the owner during the warranty period. Unless a separate service agreement has been entered into, at the expiration of the 180-day System

Warranty period, the manufacturers' warranties will be honored according to their individual terms. Long-Term Customer Support Agreements are available through the Diversified Service Department.

18. WAIVER: Either party's waiver of the other's default in its obligations under any terms or conditions of this Agreement will not in any way limit or affect that party's right to enforce and compel strict compliance with that term or condition at any other time or with any other term or condition.

19. GOVERNING LAW: Notwithstanding the foregoing and unless provided for in other signed agreements this agreement is governed by the laws of the State of Georgia, without regard to its conflict or choice of law provisions.

20. ASSIGNMENT: Purchaser may not assign its rights or obligations hereunder without the express prior written consent of Diversified. Such consent shall not be unreasonably withheld.

21. TIMELY PAYMENTS: Purchaser shall not withhold payment to Diversified for reasons unrelated to the work of Diversified. Purchaser shall not unreasonably withhold authorization for payment and agrees to seek all remedies at law on the behalf of Diversified in the event of non-payment.

22. SEVERABILITY: If any provision of this Agreement or the application thereof shall, for any reason and to any extent, be invalid or unenforceable, neither the remainder of this Agreement nor the application of the provision to other persons, entities or circumstances shall be affected thereby, but instead shall be enforced to the maximum extent permitted by law.
