Message from DHPOA President Bob Marthouse Greetings everyone, To say our personal and professional lives have gone through unprecedented changes is an understatement. Your board has been talking regularly to determine what steps are needed to keep our members and employees safe. I would like to thank our members and employees for their commitment to following the CDC social distancing recommendations. I’m incredibly proud of our staff for the way they have handled these challenges. We wish everyone the best under these circumstances and hope that all our lives can return to normal soon. Please read on to view our current plans for the upcoming election, keeping in mind that it is a fluid situation. The Diamondhead Country Club and Property Owners Association (“POA”), like the rest of the country, is in a unique situation. The COVID-19 virus has forced the company to make decisions and run the business pursuant to laws and bylaws that do not contem-

Currently, the annual meeting, at which the next board member election is to occur, is set for June 20, 2020. Based on current information, it’s uncertain if the executive order will be lifted by the annual meeting. Although we still have a couple of months, the POA must prepare for the meeting now and send out proper notices within the next month. This preparation means that decisions regarding how the meeting will be conducted must be made now. The current POA board is of the opinion that the POA should stick closely to the bylaws and state law requirements and proceed with the meeting and election in a fashion that poses the least risk to the community. To that end, pursuant

to Section 3.1 of the bylaws, the POA will hold the annual meeting of the members on the third Saturday in June, at which time the newly elected officers and directors will be announced. As permitted in Section 3.3 of the bylaws, members of the POA will be able to participate in the meeting electronically in a manner that allows them to read or hear the proceedings as they occur, vote on any matters, pose questions, and make comments. The exact mechanism through which this participation will take place will be communicated in the notice of the meeting to the members. In order to facilitate the election of the new board members, the POA will proceed with the election under Section 3.10 of the bylaws. Under this section, members can act without a meeting if the POA delivers a written ballot to

every member entitled to vote. Member verification forms, ballots, proxies, and pre-paid return envelopes will be delivered to the members at the mailing address registered with the POA. All member verification forms, ballots and proxies must be returned in the OFFICIAL RETURN ENVELOPE by mail directly to the auditor. The auditing firm will then tabulate the election votes and provide the results to the POA board for announcement during the annual meeting. The newly elected board members will take their positions immediately upon the announcement of the elected candidates. We will remind you of these procedures several times in the coming months. Please make sure that the POA has your MOST current mailing address and phone number on record. As we have more information, we will share it will with you.
