WELCOME DINNER ATTENDEES: Welcome to the 2022 Corporate Leadership Award Dinner, honoring Amgen and its Executive Vice President, General Counsel and Secretary Jonathan P. Graham. It is so wonderful to be here together for this evening of celebration.

Established in 1977, the International Institute for Conflict Prevention and Resolution (CPR) is an independent nonprofit organization that seeks to manage disputes to better enable purpose.

CPR works through two divisions. The CPR Institute advocates for the prevention of business disputes, and the more effective resolution of them when they occur, through the thought leadership of its diverse members, who network, share best practices and develop innovative tools for dispute management.

CPR Dispute Resolution is a boutique provider of leading-edge dispute management services that leverages the innovative tools generated by the CPR Institute. The case administrators are experienced attorneys, and the Panel of Distinguished Neutrals is a carefully curated, diverse group of prominent, experienced subject matter experts, 640 strong, based in 35 countries.

Our motto is “Less Conflict. More Purpose.”

Companies that prevent disputes and successfully manage their disputes tend to flourish. Why? Fewer resources are diverted to wasteful conflict and more are available for investment in purpose. Amgen’s leadership on appropriate dispute resolution – ADR – through the guidance of Jonathan Graham offers a shining example of how one company can better utilize those resources.

The funds raised at this annual event are critical to sustain our important initiatives, including expanding the diversity of those engaged in alternative dispute resolution, supporting the next generation of dispute management leaders, and shifting the paradigm of managing disputes toward dispute prevention.

ALLEN WAXMAN President and Chief Executive Officer, International Institute for Conflict Prevention and Resolution Mr. Waxman is the President and CEO of the International Institute for Conflict Prevention and Resolution (CPR). He has an extensive career as a partner in law firms and as a general counsel and business executive in the life sciences industry, and is a committed advocate of finding innovative ways to avoid disputes and resolve them effectively and efficiently where they arise.

Prior to joining CPR, Mr. Waxman served as General Counsel of Pfizer, at Eisai Inc - the North American affiliate of the Japanese-based pharmaceutical company, Eisai Co Ltd - where he also led the Market Access business unit, and at Roivant Sciences, a start-up building biotech and healthcare technology companies.

He also practiced law as a partner at Williams & Connolly, in Washington, D.C., where he tried criminal and civil cases.

Later in his career, he joined Kaye Scholer LLP (now Arnold & Porter Kaye Scholer) in New York as a partner. He led the firm’s multidisciplinary Life Sciences Group, while also developing and executing on resolution strategies for clients.

Mr. Waxman currently serves on the Executive Committee of the Board of RCI, Inc., an organization dedicated to promoting the selection of diverse neutrals for arbitration. He is Vice-Chair of the Board of Rising Ground, a human services organization dedicated to helping children, adults and families in need in the greater New York City area, as well as on the Leadership Council of Convergence, a national not-for-profit dedicated to convening people of divergent views and forming alliances for action on critical national issues. Mr. Waxman has also served on the board of a variety of other professional and social justice organizations, including as the Chairman of the Bioethics Committee of the board of BIO, and as Chairman of the Boards of Equal Justice Works, the Thurgood Marshall Academy Public Charter High School in Washington, D.C., and Day One in New York City. Earlier in his career, Mr. Waxman also was an adjunct Professor of Law at Georgetown University Law Center.

Mr. Waxman began his career as a law clerk to the late Honorable Thomas Penfield Jackson of the United States District Court for the District of Columbia after receiving his J.D. from the Harvard Law School and his A.B. from Dartmouth College.

MARY BETH CANTRELL Senior Associate General Counsel, Amgen Inc.

Mary Beth Cantrell is Senior Associate General Counsel at Amgen Inc., where she is responsible for securities litigation, antitrust matters, and other complex commercial cases. Mary Beth has also handled governmental investigations, including qui tam actions, products liability litigation, third party payor litigation, consumer protection cases, class actions, tax litigation, and multi-district litigation matters. Prior to joining Amgen, Mary Beth was a partner at Holland & Knight in Orlando, Florida. Mary Beth has also been on CPR’s Board since 2011.

2022 HONOREE JONATHAN P. GRAHAM Executive Vice President, General Counsel and Secretary, Amgen Inc.

Jonathan Graham is Executive Vice President, General Counsel and Secretary, responsible for leading Amgen’s global legal function.

Amgen is a leading biotechnology company focused on serving patients with grievous diseases through innovation at the cutting edge of science.

Before joining Amgen in 2015, Graham was Senior Vice President and General Counsel at Danaher Corporation. Danaher’s strategic business platforms include life sciences, diagnostics, and water technologies. Prior to Danaher, Graham was Vice President, Litigation and Legal Policy at General Electric Company and a partner with a busy trial practice at Williams & Connolly LLP in Washington, D.C. Graham received a bachelor’s degree with honors in Economics from Pitzer College and a J.D. with honors from the University of Texas where he was the editor-in-chief of the law review. After law school, he served as a law clerk to the Honorable Joseph T. Sneed, U.S. Court of Appeals for the Ninth Circuit.

CRAIG B. GLIDDEN Executive Vice President, Global Public Policy, General Counsel, and Corporate Secretary, General Motors Co. Craig B. Glidden is executive vice president, Global Public Policy, general counsel, and corporate secretary of General Motors. Glidden joined GM in March 2015 as executive vice president and general counsel.

While in that role, he led a transformation of GM’s global legal operations to support the company’s vision of a future with zero crashes, zero emissions and zero congestion. He was named executive vice president, Global Public Policy and general counsel in June 2021, leading the company’s global public policy efforts. He assumed the duties of corporate secretary in October 2021.

Prior to joining GM, Glidden had been executive vice president and chief legal officer for LyondellBasell, one of the world’s largest plastics, chemicals and refining companies.

Glidden also previously served as senior vice president, general counsel and corporate secretary of Chevron Phillips Chemical Co., a position he held after leaving private law practice.

Glidden received a Bachelor of Arts from Tulane University in 1980, graduating magna cum laude and Phi Beta Kappa. He obtained a Juris Doctor with high honors from Florida State University in 1983, where he served as editor-in-chief and managing editor of the Florida State University Law Review.

Glidden is a member and past chair of The General Counsel Forum. As of March 2022, Glidden also serves as chair of the International Institute for Conflict Prevention and Resolution Board of Directors.

CHARLES R. MORGAN CPR Corporate Leadership Award Dinner Committee Chair, The Morgan Group Mr. Morgan is the CEO and Founder of The Morgan Group, a legal and consulting firm. He previously served as Executive Vice President and General Counsel of BellSouth Corporation where he directed all legal affairs of the company worldwide, including compliance, regulatory, litigation, antitrust, mergers, and corporate governance. Prior to that, Mr. Morgan was a partner with the international law firm of Mayer Brown LLP; Vice President, General Counsel and Secretary of Chiquita Brands International; Vice President and Senior Corporate Counsel of Kraft, Inc.; and Senior Staff Counsel of Household International, Inc. He has also served as a Senior Managing Director of FTI Consulting, Inc. He has served on many boards of directors, including CPR: The International Institute for Conflict Prevention and Resolution; the Corporate E-Discovery Forum; the U.S. Supreme Court Historical Society; the Lawyers Committee for Civil Rights Under Law; the American Arbitration Association; the Southern Center for International Studies; and the Association of Corporate Counsel. He was appointed Chair of the Blue-Ribbon Commission on Indigent Defense by the Chief Justice of the Supreme Court of Georgia. He also is an Emeritus Member of the Association of General Counsel; a former Chair of the Committee of Corporate General Counsel of the American Bar Association; and a former Chair of the General Counsel Committee of the Conference Board.

Charles received his JD degree from Columbia Law School and his BA degree from The University of North Carolina at Chapel Hill. Thereafter, he worked for the U.S. Court of Appeals for the District of Columbia Circuit, as Law Clerk for The Honorable Roger Robb. After his clerkship, Charles practiced at Davis Polk + Wardwell in New York as a litigation attorney.

He has received many honors for his contributions to the legal system and the administration of justice, including the Spirit of Excellence Award from the American Bar Association; the Amicus Curiae Award from the U.S. Supreme Court; the National Diversity Leadership Award from the Hispanic National Bar Association; the Legal Diversity Award from the American Corporate Counsel Association; the President’s Award of Excellence from the Gate City Bar Association; the Amicus Curiae Award from the Supreme Court of Georgia; the Diversity 2000 Award of the Minority Corporate Counsel Association; and the Elbert P. Tuttle Jurisprudence Award from the Anti-Defamation League.
