WELCOME CLA DINNER ATTENDEES: Welcome to the 2021 Corporate Leadership Award Dinner, honoring CVS Health and its Executive Vice President, Chief Policy and External Affairs Officer, and General Counsel Thomas M. Moriarty.

It is so wonderful to be here in person with some of you after a year of pandemic separation.

Perhaps I can ask you to take a second and think about purpose. Purpose matters to all of us, and I dare say even more after the year plus we all have been through. It is what sustains us during difficult times. It is the inspiration for our efforts. It is the bond in our relationships. And, it is what drives the value we each bring to the communities in which we work and live. Nothing can more quickly extinguish purpose than conflict.

Disputes can distract, diminish, and ultimately destroy purpose. That is why finding leaders like CVS and Tom who have dedicated themselves to combating conflict to enable purpose need to be celebrated. That is what we aim to do with all of you tonight.

It seems only fitting that this year’s award goes to CVS, a company that has not only helped advance the state of conflict prevention and resolution but has also been a pivotal player in thwarting the pandemic in the U.S. CVS Health has been a leader in ADR with strong workplace and other dispute resolution programs. The work it also has done in helping its customers navigate the pandemic is but another example of the company’s focused approach in addressing conflict and disruption to enable others to achieve their purpose. This award celebrates these efforts and the leadership of Tom. Established in 1977, CPR is an independent nonprofit organization that promotes the prevention and resolution of conflict to better enable purpose.

The CPR Institute drives a global prevention and dispute resolution culture through the thought leadership of its diverse member companies, leading mediators and arbitrators, law firms, individual practitioners, and academics. It convenes Committees to share best practices and develop innovative tools. It connects thought leaders through global, regional, and smaller events. It publishes a monthly journal on related topics and advocates for expanding the capacity for dispute prevention and resolution globally through a variety of initiatives.

CPR Dispute Resolution provides leading edge dispute management services – mediation, arbitration, early neutral evaluation, dispute review boards and others -- as well as training and education. It is uniquely positioned to resolve disputes by leveraging the resources generated by the leaders who participate in the CPR Institute. It has deep experience in dispute management, a deep bench on its global Panel of Distinguished Neutrals, and deep expertise across a variety of subject areas.

On behalf of CPR and its Board of Directors, congratulations to CVS Health and Thomas M. Moriarty, and thank you to all the attendees, many of whom are CPR members, for your friendship and support. The money we raise at this annual event is critical to sustain our important initiatives, including our call for expanding the diversity of those engaged in alternative dispute resolution and the paradigm shift toward dispute prevention.

2021 HONOREE THOMAS M. MORIARTY Executive Vice President, Chief Policy and External Affairs Officer, and General Counsel, CVS Health Thomas M. Moriarty is an accomplished business strategy, legal and policy executive who has held leadership positions at some of the largest and most innovative health care companies in the country. In his current role at CVS Health, a Fortune 5 company with the mission of helping people on their path to better health, he is responsible for the brand and reputation strategy for the company in leading the external affairs function, which includes the corporate communications, policy and government affairs teams, as well as leading the legal and regulatory departments.

Mr. Moriarty has established himself as a trusted advisor within the company and is committed to evolving CVS Health’s role in the health care industry to make health care more accessible and affordable, and to deliver better outcomes for patients in the process. Leveraging the capabilities of his teams across the organization, he is consistently able to bring together the sometimes conflicting forces of law, policy, regulation and public opinion to create a unified strategy that advances the business on multiple levels.

Since joining CVS Health in 2012 as General Counsel, Mr. Moriarty has taken on a number of additional responsibilities that have supported the significant growth and development of the organization.

Mr. Moriarty has served as CVS Health’s Chief Strategy Officer, developing and executing the expansion of the company’s health care services beyond pharmacy and ultimately leading to the acquisition of Fortune 50 health insurer Aetna in 2018. Over the three years that he held this role, the company successfully acquired and integrated five publicly traded and privately held companies, including the strategy that led to the creation of Red Oak Sourcing, the global generics sourcing venture with Cardinal Health and largest sourcing entity of generic products in the United States. During this same period, Mr. Moriarty also served as Chairman of Red Oak Sourcing, where he was responsible for the development of a long-term strategic plan to differentiate Red Oak with generic suppliers globally. Additionally, Mr. Moriarty led the Global Pharmaceutical Strategies group, as well as the Retail Networks team.

Mr. Moriarty received his law degree from the University of Virginia School of Law and his undergraduate degree from Lafayette College.

ALLEN P. WAXMAN President and Chief Executive Officer, International Institute of Conflict Prevention and Resolution Mr. Waxman is the President & CEO of the International Institute for Conflict Prevention and Resolution (CPR).

Prior to joining CPR, he served as General Counsel of Pfizer as well as other biopharmaceutical companies.

In addition, Mr. Waxman practiced law as a partner at Williams & Connolly, in Washington, D.C., and later he joined Kaye Scholer LLP (now Arnold & Porter) as a partner in its New York office.

Mr. Waxman has also served on the board of a variety of professional and social justice organizations, including as the Chairman of the Bioethics Committee of the board of BIO, and as Chairman of the Boards of Equal Justice Works, the Thurgood Marshall Academy Public Charter High School in Washington, D.C., and Day One in New York City. He currently serves as Vice-President of the board of Rising Ground, a human services organization dedicated to helping children, adults and families in need in the greater New York City area, as well as on the Leadership Council of Convergence, a national not-forprofit dedicated to convening people of divergent views and forming alliances for action on critical national issues.

Earlier in his career, he also was an adjunct Professor of Law at Georgetown University Law Center.

Mr. Waxman began his career as a law clerk to the late, Honorable Thomas Penfield Jackson of the United States District Court for the District of Columbia, after receiving his J.D. from Harvard Law School and his A.B. from Dartmouth College.

THOMAS J. SABATINO, JR. Executive Vice President, General Counsel and Corporate Secretary, Tenneco, Inc. Tom Sabatino joined Tenneco’s Law Department in February 2021 as executive vice president, general counsel and corporate secretary. He is responsible for managing the company’s global legal affairs, including corporate governance and compliance.

Sabatino’s experience includes nearly three decades of legal experience as senior general counsel for global publicly traded corporations including Aetna Inc., Hertz Corporation, Walgreen Co. & Walgreens Boots Alliance, Inc., United Continental Holdings, Inc. & United Airlines, Inc., Schering Plough Corporation, and Baxter International Inc. Sabatino currently serves as co-chair of the Humane Society of the United States and as chair of the International Institute for Conflict Prevention and Resolution. In addition, he is a member of the Board of Directors for Teligent, Inc. and the Board of Overseers of the University of Pennsylvania Law School.

Mr. Sabatino earned his law degree from the University of Pennsylvania and holds undergraduate bachelor’s degree in government from Wesleyan University in Connecticut.

CHARLES R. MORGAN The Morgan Group CPR Corporate Leadership Award Dinner Committee Chair Mr. Morgan is the CEO and Founder of The Morgan Group, a legal and consulting firm. He previously served as Executive Vice President and General Counsel of BellSouth Corporation where he directed all legal affairs of the company worldwide, including compliance, regulatory, litigation, antitrust, mergers, and corporate governance. Prior to that, Mr. Morgan was a partner with the international law firm of Mayer Brown LLP; Vice President, General Counsel and Secretary of Chiquita Brands International; Vice President and Senior Corporate Counsel of Kraft, Inc.; and Senior Staff Counsel of Household International, Inc. He has also served as a Senior Managing Director of FTI Consulting, Inc. He has served on many boards of directors, including CPR: The International Institute for Conflict Prevention and Resolution; the Corporate E-Discovery Forum; the U.S. Supreme Court Historical Society; the Lawyers Committee for Civil Rights Under Law; the American Arbitration Association; the Southern Center for International Studies; and the Association of Corporate Counsel. He was appointed Chair of the Blue-Ribbon Commission on Indigent Defense by the Chief Justice of the Supreme Court of Georgia. He also is an Emeritus Member of the Association of General Counsel; a former Chair of the Committee of Corporate General Counsel of the American Bar Association; and a former Chair of the General Counsel Committee of the Conference Board.

Charles received his JD degree from Columbia Law School and his BA degree from The University of North Carolina at Chapel Hill. Thereafter, he worked for the U.S. Court of Appeals for the District of Columbia Circuit, as Law Clerk for The Honorable Roger Robb. After his clerkship, Charles practiced at Davis Polk + Wardwell in New York as a litigation attorney.

He has received many honors for his contributions to the legal system and the administration of justice, including the Spirit of Excellence Award from the American Bar Association; the Amicus Curiae Award from the U.S. Supreme Court; the National Diversity Leadership Award from the Hispanic National Bar Association; the Legal Diversity Award from the American Corporate Counsel Association; the President’s Award of Excellence from the Gate City Bar Association; the Amicus Curiae Award from the Supreme Court of Georgia; the Diversity 2000 Award of the Minority Corporate Counsel Association; and the Elbert P. Tuttle Jurisprudence Award from the Anti-Defamation League.

ABOUT CPR Established in 1977, CPR is an independent nonprofit organization that promotes the prevention and more efficient and effective resolution of conflict to better enable business purpose.

The CPR Institute drives a global prevention and dispute resolution culture through the thought leadership of its diverse member companies, leading mediators and arbitrators, law firms, lawyers, and academics. It convenes Committees to share practices and develop innovative tools. It hosts global and regional events to connect thought leaders on dispute prevention and resolution. It publishes a monthly journal on related topics and advocates for expanding the capacity for dispute prevention and resolution globally.

CPR Dispute Resolution provides leading edge dispute management services – mediation, arbitration, early neutral evaluation, dispute review boards and others -- as well as training and educating on these services and dispute prevention and resolution more generally. It is uniquely positioned to resolve disputes by leveraging the resources generated by the ADR leaders who participate in the CPR Institute.
