SCOPE OF WORK

The contractor agrees to complete the professional services work on the Cowlitz County, as described below (or in the attached document), including the following elements:

Each item of work under this AGREEMENT will be provided by task assignment. Each assignment will be individually negotiated with the CONTRACTOR. The amount established for each assignment will be the maximum amount payable for that assignment unless modified in writing by the COUNTY. The COUNTY is not obligated to assign any specific number of tasks to the CONTRACTOR, and the COUNTY’s and CONTRACTORS obligations hereunder are limited to tasks assigned in writing.

Task assignments made by the COUNTY shall be issued in writing by a formal Task Assignment Document. An assignment shall become effective when a formal Task Assignment Document is signed by the COUNTY and based on a proposal signed by the CONTRACTOR, except that emergency actions requiring a 24-hour or less response can be handled by an oral authorization. Such oral authorization shall be followed up with a formal Task Assignment Document within ten working days, and any billing rates agreed to orally (for individuals, subconsultants, or organizations whose rates were not previously established in the AGREEMENT) shall be provisional and subject to final negotiation and acceptance by the COUNTY.

In the event the Contractor, or its agents or assigns, are unable to complete their work as scheduled, the contract period and compensation may be adjusted by mutual agreement of the County and Contractor.

INTERAGENCY AGREEMENT BETWEEN COWLITZ COUNTY AND

COWLITZ COUNTY FIRE DISTRICT #6

COWLITZ COUNTY FIRE DISTRICT #3

THIS AGREEMENT is made and entered into pursuant to Chapter 39.34 of the Revised Code of Washington, by and between COWLITZ COUNTY, a political subdivision of the State of Washington, hereinafter referred to as "County" and COWLITZ COUNTY FIRE DISTRICT #6/ COWLITZ COUNTY FIRE DISTRICT #3, duly organized pursuant to RCW Title 52, hereinafter referred to as “FIRE 6/FIRE 3”

WHEREAS, County is eligible for and receives federal funds pursuant to Public Law 106343, as reauthorized and amended by Congress, commonly known as the Secure Rural Schools and Community Self-Determination Act of 2000 (the "Act"). Cowlitz County has elected to receive its full payment amount under Title I of the Act and has allocated seven per cent (7%) of that amount to projects identified under Title Ill of the Act; and

WHEREAS, County is authorized to expend the Title III federal funds to carry out a Firewise Communities Program, develop community wildfire protection plans and reimburse for emergency services paid for by counties and performed on Federal lands (e.g. search and rescue and firefighting).

IT IS THE PURPOSE OF THIS AGREEMENT to provide the County’s Title III funds to FIRE 6/FIRE 3 to reimburse actual expenditures related to emergency response on federal forest lands that lay outside of the boundaries of FIRE 6/FIRE 3, as more particularly described herein.

THEREFORE, IT IS MUTUALLY AGREED THAT FIRE 6/FIRE 3 shall furnish the necessary personnel, equipment, material and/or service(s) and otherwise do all things necessary for or incidental to the performance of the work set forth in this Agreement.

TERM OF AGREEMENT

The term of Agreement shall be January 1, 2024 through September 30, 2024

PAYMENT

During the term of this Agreement, in consideration of the performance of services to be provided by FIRE 6/FIRE 3, County agrees to reimburse FIRE 6/FIRE 3 for actual direct and related indirect costs not-to-exceed maximum amount of Twelve thousand and no/100 Dollars ($12,000) Reimbursement under this Agreement will be based on billings, supported by appropriate documentation of costs actually incurred. FIRE 6/FIRE 3 will submit detailed information to support the reimbursement request in accordance with this Agreement. It is expressly understood that claims for reimbursement will not be submitted in excess of actual, immediate cash requirements necessary to carry out the purposes of the Agreement.

FIRE 6/FIRE 3 will, at such times and in such forms as the County may require, furnish the County periodic reports as it may request pertaining to the work or services undertaken pursuant to this Agreement, the costs and obligations incurred or to be incurred in connection therewith, and any other matters covered by this Agreement.

Payment for services under this Agreement shall include reimbursement of actual expenses incurred for wages and benefits of FIRE 6/FIRE 3 employees, volunteers or contractors and other direct and indirect costs associated such services, while training for, responding to and performing emergency services while on federal forest property or on lands immediately adjacent to the federal forest. Emergency vehicles used to respond during the performance of services described herein are to be paid using the most current State Chiefs’ Rate Schedule Appendix N. Overhead costs shall be reasonable. Upon request of the County, FIRE 6/FIRE 3 agrees to provide appropriate documentation to substantiate its overhead costs.

If FIRE 6/FIRE 3 should receive funds from the County in excess of expenses already incurred, such funds shall be invested until needed to reimburse FIRE 6/FIRE 3 for eligible costs and interest accruing on the investment of such funds (program income), shall be restricted solely for payment of costs incurred for eligible costs described herein. Program income earned during the reporting period must be shown on the next invoice and deducted from the amount billed during that period.

The County has the right to withhold payment pending receipt of documentation sufficient to detail that such funds are being used for the authorized purposes as specified in this Agreement. Partial payments may be made. Payments will not be unreasonably withheld.

REPAYMENT GUARANTEES

In the event that federal funds have been disbursed to FIRE 6/FIRE 3 and the funds are not used for the intended purpose, FIRE 6/FIRE 3 hereby guarantees that it will refund to the County all such proceeds disbursed to it, together with accrued interest at the same rate as if the funds had been invested with the Washington State Local Government Investment Pool, provided that FIRE 6/FIRE 3 may deduct such amounts as it shall have expended through the date on which a decision is made that the funds are not needed

RECAPTURE

In the event federal funds have been disbursed to FIRE 6/FIRE 3 and FIRE 6/FIRE 3 fails to comply with the terms of this Agreement or to comply with applicable federal and state laws, County reserves the right to recapture funds in an amount necessary to compensate County for the noncompliance, in addition to any other remedies available at law or in equity. This paragraph shall survive any termination, expiration or determination of invalidity of this Agreement in whole or in part.

DISALLOWED COSTS

Each party is responsible for any audit exceptions or disallowed costs incurred by its own organization or that of its Subcontractors.

AGREEMENT CHANGES, MODIFICATIONS AND AMENDMENTS

This Agreement may be changed, modified or amended by written agreement executed by both parties.

ASSIGNMENT

This Agreement, and any claim arising thereunder, is not assignable or delegable by either party in whole or in part, without the express prior written consent of the other party, which consent shall not be unreasonably withheld.

CONTRACT MANAGEMENT

The program manager for each of the parties shall be responsible for and shall be the contact person for all communications and billings regarding the performance of this Agreement.

DISPUTES

In the event that a dispute arises under this Agreement, it shall be determined by a Dispute Board in the following manner: Each party to this Agreement shall appoint one member to the Dispute Board. The members so appointed shall jointly appoint an additional member to the Dispute Board. The Dispute Board shall review the facts, agreement terms and applicable statutes and rules and make a determination of the dispute. The Dispute Board shall thereafter decide the dispute with the majority prevailing. The determination of the Dispute Board shall be final and binding on the parties hereto.

GOVERNING LAW AND DOCUMENTS

This Agreement is entered into pursuant to and under the authority granted by the laws of the state of Washington and any applicable federal laws, with state venue in Superior Court of Cowlitz County. The provisions of this Agreement shall be construed to conform to those laws.

In the event of an inconsistency in the terms of this Agreement, or between its terms and any applicable statute or rule, the inconsistency shall be resolved by giving precedence in the following order:

a. Applicable state and federal statutes and rules;

b. This Agreement; and

c. Any other provisions of the agreement, including materials incorporated by reference.

CONSTRUCTION

This agreement has been mutually reviewed and negotiated by the parties and should be given a fair and reasonable interpretation and should not be construed less favorably against either party.

INDEPENDENT CAPACITY AND LIABILITY

The employees or agents of each party who are engaged in the performance of this Agreement shall continue to be employees or agents of that party and shall not be considered for any purpose to be employees or agents of the other party.

Each party agrees to be responsible for the liabilities arising out of the employment, conduct or omissions of its own officers, agents and employees. Employees performing duties under the direction and supervision of one party are deemed for the purpose of this Agreement to be considered agents of that party only, and not agents or employees of the other party.

RECORDS MAINTENANCE

The parties to this Agreement shall each maintain books, records, documents and other evidence which sufficiently and properly reflect all direct and indirect costs expended by either party in the performance of the services and work described herein. These records shall be subject to inspection, review or audit by personnel of both parties, other personnel duly authorized by either party, the Office of the State Auditor, and federal officials so authorized by law. All books, records, documents, and other material relevant to this Agreement will be retained for six years after expiration and the Office of the State Auditor, federal auditors, and any persons duly authorized by the parties shall have full access and the right to examine any of these materials during this period. If any litigation, claim or audit is started before the expiration of the six (6) year period, the records shall be retained until all litigation, claims, or audit findings involving the records have been finally resolved.

Records and other documents, in any medium, furnished by one party to this agreement to the other party, will remain the property of the furnishing party, unless otherwise agreed. The receiving party will not disclose or make available this material to any third parties without first giving notice to the furnishing party and giving it a reasonable opportunity to respond. Each party will utilize reasonable security procedures and protections to assure that records and documents provided by the other party are not erroneously disclosed to third parties.

RIGHTS IN DATA

Unless otherwise provided, data which originates from this Agreement shall be "works for hire" as defined by the U.S. Copyright Act of 1976 and shall be owned by the County. Data shall include, but not be limited to, reports, documents, pamphlets, advertisements, books magazines, surveys, studies, computer programs, films, tapes and/or sound reproductions. Ownership includes the right to copyright, patent, register and the ability to transfer these rights.

SEVERABILITY

If any provision of this Agreement or any provision of any document incorporated by reference shall be held invalid, such invalidity shall not affect the other provisions of this Agreement, which can be given effect without the invalid provision if such remainder conforms to the requirements of applicable law and the fundamental purpose of this agreement, and to this end the provisions of this Agreement are declared to be severable.
