How Oregon's Second Largest City Vanished In A Day

The Vanport traveling exhibit tells the story of the City of Vanport, the largest wartime housing development in the nation and the most racially diverse city in Oregon at the time. Before it was destroyed by floodwater in 1948, Vanport was the second largest city in Oregon. Today, the area where Vanport was located is occupied by a golf course, a public park, and the Portland International Raceway.

Oregon State Extension publication guides horse owners on laminitis
Now that fall has arrived, laminitis — a painful yet preventable disease commonly seen in hoofed animals — comes to the forefront of many horse owners’ minds. Oregon State University Extension Service has a guide for pasture-associated laminitis.
This free publication, titled “A Horse Owner's Guide to Pasture-associated Laminitis,” provides an overview of laminitis — inflammation of the laminar structures of the hoof — and is designed to help owners manage pasture grazing, as well as laminitis causes and symptoms.
The best cure for laminitis is prevention. Pasture grazing is both economical and mentally and physically beneficial for the horse compared to stall confinement. With careful management, horses can safely graze on pastures.
In addition to prevention considerations, co-authors Scott Duggan and Troy Downing offer guidance on nonstructural carbohydrates and their link to laminitis.

RESOLVED, that the Board of Trustees hereby approves the AIA Document A-133 – 2019 Standard Form of Agreement Between Owner and Construction Manager as Constructor (Lydig Construction Agreement) between the Confederated Tribes d/b/a Wildhorse Resort & Casino and Lydig Construction, Inc., attached as Exhibit 1C to this Resolution; AND BE IT FURTHER RESOLVED, that the Board of Trustees hereby authorizes the Wildhorse Chief Executive Officer to execute the attached Lydig Construction Agreement, or an agreement containing substantially similar terms, and to take such further action and to execute documents that may be necessary to carry out the purposes of this Resolution; AND BE IT FINALLY RESOLVED,

RESOLVED, the Board of Trustees hereby approves the Fourth Amended and Restated Wells Fargo Loan Agreement (Loan Agreement) attached to this Resolution as Exhibit 1C and authorizes the Chairman (or the Vice-Chairman, in the Chairman’s absence) of the Board of Trustees (each, an Authorized Official) to execute, as necessary, the Loan Agreement in substantially such form; provided, that the Chairman (or the Vice-Chairman, in the Chairman’s absence) of the Board of Trustees may approve on behalf of the Confederated Tribes any further changes to the attached Loan Agreement recommended by tax counsel or legal counsel to the Confederated Tribes, and the signature of any such official on the Loan Agreement shall conclusively evidence the approval of the Confederated Tribes of such changes; and provided further, that the signatures of such officials may be manual or facsimile; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby approves the funding of the Initial Project Equity as set forth in Sections 1.1 and 8.3(d) of the Loan Agreement that needs to be made by the Confederated Tribes and Wildhorse Resort and Casino for the Wildhorse 2024 Expansion Project; AND BE IT FURTHER RESOLVED,the Board of Trustees hereby approves the Scheduled Contributions as set forth in Section 6.30 of the Loan Agreement that need to be made by the Confederated Tribes and Wildhorse Resort and Casino for the Wildhorse 2024 Expansion Project that is attached to this Resolution as Exhibit 2C; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby approves the Fee Letter for the payment of fees to Wells Fargo as the Administrative Agent that is attached to this Resolution as Exhibit 3C; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby approves a construction budget for the Wildhorse 2024 Expansion
Project to include a new 214 room hotel tower, event/ convention center and restaurant (2024 Project); AND BE IT FURTHER RESOLVED,the Board of Trustees hereby confirms that the following agreements approved by Resolution 12-058 remain in full force and effect: 1) Amended and Restated Security Agreement; 2) Amended and Restated Unjust Enrichment and Sovereign Immunity Agreement; 3) Amended and Restated Pledge and Security Agreement; and 4) Amended and Restated Remarketing Agreement; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby approves and authorizes the undertakings, agreements, consents, representations and warranties that are to be made by the Confederated Tribes in the Loan Documents (as that term is defined in Section 1.1 of the Loan Agreement) and the performance by the Confederated Tribes of their obligations under all terms and conditions of the Loan Documents; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby authorizes each of the Authorized Officials, on behalf of the Confederated Tribes, to execute, deliver and/or file (or cause to be delivered and/or filed) any government forms, affidavits, certificates, letters, documents, agreements and instruments and to take or direct such other actions that such Authorized Official determines to be necessary or desirable to give effect to this Resolution and to consummate the transactions contemplated herein or in the Loan Documents; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby authorizes and directs its Chairman to execute and deliver an Incumbency Certificate and such other loan, security and other documents required in connection with the Loan Documents and to take all other actions consistent with the purposes and intents of this Resolution and necessary to consummate this financing and any related transactions; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby authorizes its Secretary to execute and deliver an affidavit regarding the Board of Trustees meeting to approve this Resolution, the Loan Documents and such other documents necessary to consummate this financing and any related transactions; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby authorizes and directs legal counsel and tax counsel to
the Confederated Tribes to prepare the legal opinions and other documents and certifications necessary for the execution of the Loan Agreement and related Loan Documents; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby approves and authorizes the application of the governing law selected in the Loan Documents to govern the construction, interpretation and enforcement of the Loan Documents; AND BE IT FURTHER RESOLVED, the Board of Trustees hereby confirms that the UCC Code and Arbitration Code approved by Resolution 10-069 shall govern the Loan Documents approved herein; AND BE IT FURTHER RESOLVED, the Board of Trustees and the Confederated Tribes hereby acknowledge and agree that certain loans, advances, extensions of credit and other benefits may from time to time be conferred upon the Confederated Tribes by Wells Fargo and the Lenders (as defined in the Loan Agreement) (collectively, the “Enrichment Providers”) as contemplated by the terms of the Loan Documents. If the Loan Documents or any of them is deemed, declared or otherwise is void or unenforceable for any reason, in order to induce the Enrichment Providers to provide such loans, advances, extensions of credit and other benefits from time to time to the Confederated Tribes, the Confederated Tribes hereby agree that each of the Enrichment Providers is and will be entitled to pursue claims and remedies for unjust enrichment against the Confederated Tribes. The Confederated Tribes hereby expressly and irrevocably waive sovereign immunity from any suit, action or proceeding (including an arbitration proceeding) or from any legal process (whether through service of notice, attachment prior to judgment, attachment in aid of execution, execution, exercise of contempt powers, or otherwise) in the courts provided in the last sentence of this Resolved with respect to all such claims and remedies for unjust enrichment. In addition, without limiting the foregoing sentences, to the extent not paid prior to the earlier of (x) three months after the Loan Documents or any of them is deemed, declared or otherwise is void or unenforceable and (y) the Maturity Date as defined in the Loan Agreement, the Confederated Tribes agree to pay to Wells Fargo, for the benefit of the Enrichment Providers, the
outstanding principal amount of the loans, advances, extensions of credit and other benefits provided to the Confederated Tribes. The Confederated Tribes consent to the courts of the State of Oregon and courts of the United States in connection with the matters described in this Resolved; AND BE IT FURTHER RESOLVED, as an inducement to the parties to the Loan Documents (collectively, the Benefited Parties), to make the agreements with the Confederated Tribes that are contained in the Loan Documents to which they are parties, for the benefit of the Benefited Parties, the Board of Trustees and the Confederated Tribes hereby: a) expressly, unequivocally, and irrevocably waive the sovereign immunity of the Confederated Tribes (and any defense based thereon) and consent to arbitration provisions and the jurisdiction of the courts as provided in the Loan Documents, in connection with any suit, action or proceeding (including an arbitration proceeding) or any legal process brought by any of the Benefited Parties against the Confederated Tribes in respect of any of the Loan Documents, in each case as further set forth in and only to the extent of the limited waivers of sovereign immunity and consents to arbitration and the jurisdictions of the courts set forth in the Loan Documents;b) to the extent to which the Confederated Tribes have waived their sovereign immunity in any Loan Document with respect to particular claims concerning the construction or enforcement of such Loan Document, irrevocably agree with the Benefited Parties, and resolve, that the Tribal Courts of the Confederated Tribes will continue to have civil jurisdiction under tribal law over such claims, and to compel arbitration of such claims, to enter judgment upon an arbitration award, and otherwise concerning arbitration; c) expressly, unequivocally and irrevocably waive and limit the sovereign authority of the Confederated Tribes to limit, withdraw or repeal such waiver of sovereign immunity or the civil jurisdiction of the Tribal Courts of the Confederated Tribes, or to repeal, amend or modify any of the provisions of the Loan Documents in a manner that impairs or interferes, or could impair or interfere, in any manner, with any right or remedy of any of the Benefited Parties against the Confederated Tribes under the Loan Documents, or
the ability of any of the Benefited Parties to enforce any of the same; d) expressly, unequivocally, and irrevocably waive and limit the sovereign authority of the Confederated Tribes to repeal, or modify in a manner adverse to the any of the Benefited Parties the provisions of tribal law that reciprocally provide for recognition and implementation by the Tribal Courts of the Confederated Tribes of orders, judgments and decrees of the courts of general jurisdiction of the State of Oregon and the courts of the United States;e) irrevocably commit to and agree with the Benefited Parties, and resolve that the Confederated Tribes shall continue to maintain and fund the Tribal Courts of the Confederated Tribes so that the jurisdiction of the Tribal Courts of the Confederated Tribes mentioned above may continue to be effectively exercised; and f) irrevocably commit to and agree with the Benefited Parties, and irrevocably resolve, that the Confederated Tribes will not modify tribal law in a manner that impairs or is adverse to the ability of any of the Benefited Parties to enforce any of the provisions of the Loan Documents or any security interest granted thereunder or to enforce any judgment entered in connection therewith, and irrevocably waive and limit the sovereign authority of the Confederated Tribes to do so; it being the intent of the Board of Trustees and the Confederated Tribes that the irrevocable limitations imposed upon the sovereign authority of the Confederated Tribes, and the irrevocable waivers of the sovereign immunity of the Confederated Tribes, and the irrevocable consents to jurisdiction of the Confederated Tribes, provided for in the provisions of this Resolution and the Loan Documents shall be
