TERMS AND CONDITIONS 1. Basis of Supply 1.1 In these conditions “GBC” shall mean The Great Branding Company Limited or any of it’s associated or subsidiary companies and “Buyer” means the person or body who accepts GBC’s quotation for the supply of Products and/or services or whose order is accepted by GBC. The “Principal” shall mean the ‘asset’ holder instructing GBC to trade with the ‘asset’ holder’s licencee(s) or third party company.

1.2 The supply of Products and/or services (“the supply”) to the Buyer shall be in accordance with GBC’s written quotation or the Buyer’s written order. In either case such Order is subject to these conditions which shall govern the order to the exclusion of any other terms and conditions.

1.3 No variation to these conditions shall bind the parties unless they agree in writing.

1.4 GBC’s employees or agents are not authorised to make representations concerning the Products unless we make these in writing in placing the order you acknowledge that you do not rely on and waive any claim for breach of any such representations that are not so confirmed.

1.5 GBC shall endeavour to correct any typographical, clerical or other errors or omissions in any sales literature, quotation, price list, acceptance of offer, invoiced or other document or information issued

by GBC as soon as possible but will not be liable for loss arising from such error or omission.

1.6 Force Majeure: GBC will not be held responsible for failure or delay in the carrying out of our obligations under the contract arising out of any cause outside our reasonable control or inability to procure materials or articles except at higher prices due to any such cause and in any circumstances we shall be entitled by notice to terminate the contract in whole or in part without incurring any liability whatsoever to you.

2. Orders and Specifications 2.1 GBC shall not be deemed to have accepted the Buyer’s order unless GBC has accepted it in writing.

2.2 The Buyer is responsible for ensuring the accuracy of the Buyer’s order.

2.3 The Buyer will indemnify GBC against all loss, damages, costs and expenses awarded against or incurred by GBC in connection with or paid or agreed to be paid by GBC in settlement of any claim or infringement of any patent, copyright, design, trade mark or other industrial or intellectual property rights of any other person which results from our use of your specification / order.

2.4 GBC may alter any specification provided by the Buyer to conform with/to any statutory requirements provided this does not materially affect the quality or performance of the supply.

2.5 No order may be cancelled by you except with GBC’s agreement in writing. You shall also indemnify us in full against all loss (including loss of Profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by GBC, as a result of such cancellation.

2.6 GBC reserves the right to submit proofs to the Buyer for approval and this approval must be submitted in writing. Once approved any alterations or costs incurred will be at the Buyer’s cost. When implementing “Program” artwork, there may be insufficient time to submit proofs for approval but any designs prepared by GBC will be based on either previously submitted and approved artwork or as represented in our CAD presentations.

2.7 Any original designs, screens or positives (“Originals”) produced by GBC will remain GBC’s property. The cost of such originals will be charged extra. Such originals will be retained by the seller for six (6) calendar months after delivery of the Buyer’s order. If the Buyer places a further order after the expiry of 6 months GBC reserves the right to make an additional charge for the supply of Originals.

2.8 Where the Buyer is to supply materials Products or equipment (“Customers Property”) to GBC such customers property will be held by GBC at the Buyer’s sole risk. Further, GBC will not be liable to the Buyer for any imperfections in the finished product arising out of imperfections in the artwork/reference material supplied.

2.9 GBC shall be entitled to publish or display the Buyer’s designs or logos on GBC’s premises or in GBC’s literature.

3.0 GBC assumes that by passing the artwork etc, to them the Buyer has a legal right to the property in it, and requires the Buyer to indemnify the company from all and any claims arising from alleged breach of copyright, etc. For the sake of good order GBC herby declares that is not a knowingly party to any misuse of registered or copyrighted designs and/or materials and under no circumstances will it accept any actions against itself whether direct, conjoined or ex parte, and GBC accepts no liability for Buyer’s mistakes or transgressions in this (or any other) field.

3.0 All cancellations must be made in writing and are subject to any costs incurred until the date of cancellation notice has been received. Cancelled orders are subject to an additional administration fee of £ 100.00 (one hundred pounds) for orders valued under £ 530.00 (five hundred and thirty pounds) orders over £ 530.00 are subject to a 19% cancellation fee.

3. Price of the Supply 3.1 The price will either be GBC’s quoted price or where no price has been quoted, the price listed in GBC’s price list at the date of acceptance. All quoted prices are valid for 30 only (subject to availability of Product).

3.2 If the cost of the supply to GBC increases due to factors beyond GBC’s control GBC may increase the sell price accordingly.

3.3 Unless otherwise agreed all prices given by GBC are on an ex works basis and where GBC agrees to deliver the supply other than at GBC’s premises, the Buyer will pay GBC’s charges for transport, packaging and insurance.

3.4 Prices quoted exclude Value Added Tax which the Buyer shall pay, if applicable, in addition and will be calculated at the prevailing rate on the date the invoice is issued.

3.5 Alterations at the Buyer’s request made after GBC has accepted the Buyer’s order will be charged extra.

3.6 If GBC produces samples or proofs for the Buyer the Buyer will pay extra for them.

4. Terms of Payments 4.1 Payment is due on the terms stated on the invoice covering each transaction and/or as previously agreed by GBC. 4.1.2 If no such agreement exists the Buyer will pay for the supply on placement of an order for such supply.

4.2 Where invoicing and payment instructions and settlement terms have been indicated by the Principal to GBC to use either their licensee(s) or a third party company, the Principal shall remain fully liable for all outstanding monies until such times as the their licensee(s) or the third party company has settled the account in strict accordance with GBC’s payment terms. If these payment terms are not met, the Principal shall become liable to settle their licensee(s) or a third party company within 7 days of being notified by GBC of the failure of their licensee(s) or a third party company to comply with the agreed terms.

4.3 If the Buyer fails to pay for the supply within the time limited in 4.1 above then in addition to its other rights GBC may cancel the contract and suspend any further deliveries and charge the Buyer interest on the outstanding amount at the Bank Of England’s Minimum Lending Rate (BMLR) +8% per annum (both before and after any judgement) on the amount unpaid, at the current rate applicable under the Late Payment of Commercial Debts (Interest) Act 1998 as amended together with compensation for late payment as set out in such legislation.

5. Delivery 5.1 Unless GBC has agreed in writing to deliver the supply elsewhere the Buyer will collect the supply from GBC’s premises when GBC notifies the Buyer that the supply is ready for collection.

5.2 Delivery dates are approximate only and GBC shall not be liable for delay. Time for delivery will not be of the essence unless so agreed in writing.

5.3 GBC may deliver up to 5% more or less than the ordered quantity without adjusting the price and the quantity so delivered shall be deemed to be the quantity ordered.

5.4 If the supply is to be delivered by instalments each delivery will constitute a separate contract. If GBC fails to deliver one or more of the instalments the Buyer shall not be entitled to repudiate the whole contract.

5.5 GBC’s liability for damages for non-delivery shall be limited to the difference in price between that part of the supply not delivered and the cost to the Buyer of replacing in the cheapest available market.

5.6 If you fail to take delivery of the Products or fail to give us adequate delivery instructions at the time stated for delivery (otherwise than by reason of any cause beyond your reasonable control or by our breach of these Conditions) then, without prejudice to any other right or remedy available to us, we may: 5.7 Store the Products until actual delivery and charge you for the reasonable costs (including insurance) of storage; or 5.8 Sell the Products at the best price readily obtainable and (after deducting all reasonable storage and selling expenses) account to you for the excess over the price under the Order or charge you for any shortfall below the price stated in the Order.

5.9 For the avoidance of doubt the reasonable costs referred to in clause 5.7 will include charges made by our carriers for storage and extra delivery cost.

6. Risk and Title 6.1 Risk of damage to or loss of the supply will pass to the Buyer at the time that the supplier collects or, where GBC is to deliver the supply to the Buyer, at the time when GBC makes delivery.

6.2 All Products supplied to the Buyer shall remain the sole and absolute property of the seller as legal and equitable owner until such time as the Buyer shall have paid to the seller the agreed price.

6.3 Until such payment the Buyer shall be in the possession of the Products solely as bailee for the seller and in a fiduciary capacity and shall store the Products separately and in such a way as to enable them to be readily identifiable as the property of the seller.

6.4 Until property in the supply passes to the Buyer the Seller shall be entitled to call for the return or collection forthwith of any Products or product constituting the supply and in default to enter the Buyer’s or any third party’s premises in order to repossess such Products or products.

7. Warranties and liability 7.1 We warrant that the Products will correspond with their specification at the time of delivery save that we shall be under no liability: 7.1.1 in respect of any defect in the Products arising from any drawing, design or specification supplied by you; 7.1.2 in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow our instructions (whether oral or in writing), misuse alteration or repair of the Products without our approval; 7.1.3 if the total price for the Products has not been paid by the due date for payment; 7.1.4 for parts, materials or equipment not manufactured by us, in respect of which you shall only be entitled to the benefit of any such warranty or guarantee as is given by the manufacturer to us.

7.1.5 for the consequences of combining Products with other products or for the consequences of repacking our products. Subject as expressly provided in these Conditions, and except where the Products are sold to a person dealing as a consumer (within the meaning of the Unfair Contract Terms Act 1977), all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law.

7.3 Where the Products are sold under a consumer transaction (as defined by the Consumer Protection from Unfair Trading Regulations 2000) your statutory rights are not affected by these Conditions.

7.4 Products which are not in accordance with their specification through default on our part (but not if non compliance is due your default, including, without limitation, to a failure by you to check that Products meet your requirements) may be returned to us at your risk and expense up to thirty days after delivery. Once received, we will check whether there is a failure to conform and if we decide that this is the case, we shall, at our option and as our sole remedy for such failure, either refund to you the price paid for the Products together with the cost of returning them to us or forward to you Products which do comply with the specification at our expense. This remedy does not apply to Product which you have ordered but have not stated your requirements correctly. If you do not return Products to us, you shall not be entitled to reject the Products and we shall have no liability for such defect or failure, and you shall be bound to pay the price as if the Products had been delivered in accordance with the Order.

7.5 We shall be liable for death or injury to any person caused through our negligence arising out of the supply of Products or any liability direct to consumers which arises under applicable consumer protection legislation or liability arising as a result of fraudulent misrepresentation by us. Otherwise and subject to your sole remedy in respect of defective Products under clause 7.4, our liability in respect of Products supplied is limited to the price you are liable to pay for such Products and liability for all other loss is excluded to the fullest extent permitted by law. In particular, we shall not be liable to you by reason of any representation, or any implied warranty, condition or other term, or any duty at common law, or under the express terms of the Order, for any consequential or indirect loss or damage (whether for loss of profit, goodwill, revenue or anticipated savings or otherwise), costs, expenses or other claims for consequential compensation whatsoever (and whether caused by our negligence or that of or our employees or agents or otherwise) which arise out of or in connection with the supply of the Products or their use or resale by you.

7.6 We shall not be liable to you or be deemed to be in breach of an Order by reason of any delay in performing, or any failure to perform, any of our obligations in relation to the Products, if the delay or failure was due to any cause beyond our reasonable control. Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond our reasonable control: 7.6.1 Act of God, explosion, flood, tempest, volcanic eruption, fire or accident; 7.6.2 War or threat of war, sabotage, insurrection, civil disturbance or requisition; 7.6.3 Acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority; 7.6.4 Import or export regulations or embargoes; or customs delays 7.6.5 Strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of us or of a third party); 7.6.6 Difficulties in obtaining raw materials, labour, fuel, parts or machinery;

7.6.7 Power failure or breakdown in machinery.

8. Intellectual Property 8.1 We own any copyright, patent rights or design rights in the Products and any artwork or tooling we produce in relation to supply of the Products. You will retain ownership of any trademarks or design rights in materials that you supply to us in connection with supply of the Products.

8.2 If any claim is made against you that the Products infringe or that their use or resale infringes the patent, copyright, design, trade mark or other industrial or intellectual property rights of any other person, it is agreed that: 8.2.1 you pass to us full control of any proceedings or negotiations in connection with any such claim; 8.2.2 you shall give us all reasonable assistance for the purposes of any such proceedings or negotiations; 8.2.3 except pursuant to a final award, you shall not pay or accept any such claim, or compromise any such proceedings without our consent; 8.2.4 we shall be entitled to the benefit of, and you shall accordingly account to us for, all damages and costs (if any) awarded in your favour which are payable by, or agreed with your consent (which consent shall not be unreasonably withheld) to be paid by, any other party in respect of any such claim; and 8.2.5 Without prejudice to any duty to you at common law, we shall be entitled to require you to take such steps as we may reasonably require mitigating or reducing any such loss, damages, costs or expenses for which we may be liable to you.

8. Data 8.1 We will use any information, which may include personal information about you or your employees provided by you in connection with Orders for the purpose of administering your account, for carrying out our obligations under any Order and for ancillary purposes.

8.2 You acknowledge that we may carry out searches about you at credit reference agencies and will use the credit information provided by such agencies for the purposes of account administration, credit checking, debt tracing and fraud prevention. You hereby authorise us to disclose such information to data recipients and acknowledge that such information may be disclosed by data recipients to third parties for purposes including, but not limited to, assessing credit applications, debt tracing and fraud prevention. We may seek an opinion on the status of any account from any third party as may be necessary in the normal course of business.

8.3 You agree that all information collected by us in relation to you, subject to the provisions of the Data Protection Act 1998, may be stored used and disseminated by us for the purposes set out in 8.2 above, for marketing, promotional analysis, compilation of statistics and related purposes and for informing you of new products and/or services offered by us.

9. Exclusions 9.1 GBC shall not be liable for any defect in the supply arising from any drawing design or specification supplied by the Buyer.

9.2 GBC shall not be liable for any defect or damage caused by the Buyer.

9.3 Save as provided in these conditions and except where the supply consists of Products sold under a Consumer Sale (as defined by the Act 1979) or services supplied under a Consumer Supply (as defined by the supply of Products and Services Act 1982) all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law.

9.4 Where the supply constitutes a Consumer Sale or Consumer Supply the Buyer’s statutory rights are not affected by these conditions.

9.5 The Buyer must notify GBC of any shortages or defects within seven days of delivery and return any defective Products to GBC within 7 days of delivery.

9.6 If the Buyer notifies GBC of valid defect GBC’s liability shall be limited (at GBC’s sole discretion) to the replacement of the supply or the refund of the price.

9.7 Save as expressly provided in these conditions or in respect of death or personal injury caused by GBC’s negligence GBC shall not be liable to the Buyer for any consequential loss or damage arising out of the supply or the use or resale by the Buyer of any Products or product constituting the supply.

9.8 GBC shall not be liable to the Buyer for any delay or failure in performance of GBC’s obligations which occurs for reasons outside GBC’s reasonable control.

10. Insolvency and Default of Buyer 10.1 If the Buyer enters into a deed of arrangement or commits an act of bankruptcy or compounds with his creditors or if a receiving order is made against him or if an order is made or a resolution is passed for the winding up of the Buyer or if a receiver is appointed of any of the Buyer’s assets or undertaking or if the Buyer takes or suffers any similar or analogous action in consequence of debt or commits any breach of this or any other contract between the Seller and the Buyer GBC may without prejudice to any of its other rights stop any Products in transit and/or suspend further deliveries and/or determine the rights of the Buyer under condition 6.2 and/or by notice in writing to the Buyer determine the Contract.

11. General 11.1 If any provision of these conditions is held to be wholly or partly invalid or unenforceable the validity of the other provisions of these conditions shall not thereby be affected.

11.2 Any dispute arising under or in connection with the conditions or the Supply shall be referred to arbitration by a single arbitrator appointed in default of agreement by the president for the time being of the Chartered Institute of Arbitrators.

11.3 The contract shall be governed by the Laws of England.

11.4 Any notice under these conditions shall be w ritten and serviced at the registered office or principle place of business of the part being served.
