Partnership Agreement between Blayn Marketing Corporation and AIESEC Ateneo de Manila University
This Agreement is made and entered into by and between Blayn Marketing Corporation, herein referred to as “Blayn Corporation” and AIESEC Ateneo de Manila University, herein referred to as “AIESEC AdMU”. In consideration of the premises and mutual promises set forth herein, the parties, intending to be legally bound, hereby agree as follows:
I. Agreement. Blayn Corporation and AIESEC AdMU agree to collaborate providing Exchange Participants an opportunity to spend their traineeship with the aforementioned parties.
II. Responsibilities of Blayn Corporation: A. Providing a learning and growth environment for Exchange Participants through the core programme of their company. B. Respond to AIESEC AdMU regarding all matters as soon as possible. This especially applies for topics regarding the eligible trainees—whether they are interested or not to accept the referred trainees. C. Pay AIESEC AdMU PhP 5,000 for every trainee who would spend their traineeship with Blayn Corporation for six (6) to seven (8) weeks that they would be receiving. Payment should be made each time that a trainee arrives their company. D. Pay all the trainees from AIESEC a minimum of P15,000.00 allowance per month (4 weeks). The allowance at the time that the trainee and Blayn Corporation will be specifying.
III. Responsibilities of AIESEC AdMU: A. Look for suitable matches in the AIESEC system for Blayn Corporation under their specialized specifications. B. Send the CV’s, resumes and exchange participant forms of possible matches to Blayn Corporation for screening. C. Facilitate all pre-arrival administrative and non-administrative matters of the trainee matched to Blayn Corporation. D. Handle service and reception matters of the trainees brought in by AIESEC AdMU for Blayn Corporation. 1. Airport pick-up and drop-off 2. Welcome dinners and receptions 3. Integration activities 4. Weekly follow-ups 5. Housing
IV. Terms and Termination. . This Agreement shall be effective from the date of the signing of this Partnership Agreement through the end of the aforementioned events. A. Blayn Corporation requests for three (3) trainees per cycle, AIESEC AdMU should exert the best of their efforts to meet the number of trainees per cycle. However, due to the fluctuations of the availability of trainees in AIESEC Japan, AIESEC AdMU may not be able to satisfy the requests of Blayn Corporation. B. AIESEC assures the quality of trainees they send on exchange. However, when the company or the trainee finds that the match is not suitable at any given point during the duration of his/her stay with Blayn Corporation—AIESEC AdMU shall conduct an investigation regarding the matter at hand, and shall make necessary actions to satisfy both Blayn Corporation and the trainee.
V. Termination for Default . A. Either AIESEC ADMU or BLAYN CORPORATION by written notice may terminate this

Agreement in whole or in part for failure of one party to perform any of the provisions herein. In such event, the accountable party shall be liable for damages, including the excess cost of procuring similar supplies or services. In the case of non-negotiable event that may arise an authoritative body over both parties shall mediate the decision regarding the case at hand. In the unfortunate event of inadvertently terminating the agreement, no other local committee in the Philippines (AIESEC Ateneo de Davao University, AIESEC De la Salle- Lipa, AIESEC De la Salle University- Manila, AIESEC University of Asia and the Pacific, University of the Philippines- Diliman, AIESEC Miriam College, AIESEC Enderun) should again collaborate with Blayn Corporation for an exchange partnership.
VI. Entire Agreement. This Agreement contains the entire understanding between the parties hereto relating to the subject matter contained herein and supersedes any all prior agreements, arrangement, communications, or representations, whether oral or written. This Agreement may not be amended, altered, modified or changed except by a writing signed by both parties hereto. In this 30th day of May in Makati City, Philippines, in WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed.
