The undersigned understands that: (1) Upon execution of this Preformation Purchase Agreement (this ÒAgreementÓ) by the undersigned, payment by the undersigned for the Interests purchased hereby shall be due and payable and must accompany the delivery of this Agreement to the Managing Venturer.

(2) This Agreement may be accepted or rejected by the Managing Venturer, in its sole discretion, in whole or in part, and if rejected, the payment made by the undersigned will be returned to the undersigned without interest with the notice of rejection.

(3) The Initial Capitalization will be deposited in a separate interest bearing account maintained for PGCÕS GENESIS I JOINT VENTURE, and shall remain on deposit until such time as at least .25 of one of the Interests described in the Memorandum has been purchased and accepted. The Initial Capitalization will be promptly returned without interest to the undersigned if: (A) This Agreement is subsequently rejected by the Managing Venturer, in whole or in part, in accordance with the PGCÕS GENESIS I JOINT VENTURE AGREEMENT (the ÒJoint Venture AgreementÓ);

(4) In the event that the Managing Venturer receives aggregate initial capital contributions in the amount of $24,147.00 on or before June 15, 2014, the Initial Capitalization can be deposited into the general operating account of the Managing Venturer and Initial Capitalization will be considered an asset of the Joint Venture and the Managing Venturer applied in accordance with the terms that are set forth in the Memorandum and the Joint Venture Agreement.

(5) The Joint Venture Agreement grants extensive and significant management powers to the Joint Venturers and the undersigned will be required to actively participate in exercising those management powers to the fullest extent possible.

(6) The undersigned received information about the Joint Venture only through direct, personal communication between the undersigned and an authorized representative of the Managing Venturer.

(7) Upon receipt, the undersigned will read and become familiar with the Memorandum, the Joint Venture Agreement and all the other exhibits to the Memorandum. FOR A PERIOD OF FIVE (5) BUSINESS DAYS FROM THE RECEIPT BY THE UNDERSIGNED OF THE MEMORANDUM, THE UNDERSIGNED SHALL HAVE THE RIGHT TO RESCIND SUCH SUBSCRIPTION AND THE MANAGING VENTURER MUST RETURN THE UNDERSIGNEDÕS FUNDS IN FULL WITHOUT INTEREST UPON RECEIPT OF THE UNDERSIGNEDÕS ELECTION TO RESCIND. (10) The Units involve a high degree of risk of loss by the undersigned of the undersignedÕs purchase price of the Joint Venture Units. There is no assurance of any income from the Joint Venture.

(11) Upon formation of the Joint Venture, PGC will become the initial Managing Venturer. Upon the admission of all Venturers, the Managing Venturer shall contribute to the VentureÕs capital an amount equal to 1% of the aggregate VenturersÕ Initial Capital. The Managing Venturer shall also contribute an amount equal to 1% of all Assessments when and if called for.

The undersigned acknowledges that he or she has received a copy of the Joint Venture Agreement, the Confidential Information Memorandum to which such Agreement is attached as an exhibit, and has read and understands same and the restrictions of the Joint Venture Agreement, including, but not limited to, the right of the Managing Venturer to make certain assessments and the restrictions on transfer of Venturer's interests in the Joint Venture (Interests), all as set forth in the Joint Venture Agreement, and to the same extent and effects as if the undersigned executed the original of the Joint Venture Agreement.

(12) The management of the operations and other business of the Joint Venture shall be the responsibility of ALL of the Joint Venturers. The Joint Venturers, by a vote of 60% in interests, may from time to time designate one or more of the Joint Venturers to act as Managing Venturer of the Joint Venture. The Joint Venture Agreement provides for the initial appointment of PGC as the Managing Venturer.

(13) The Joint Venture intends to enter into a Turnkey Drilling and Completion Contract with PGC, acting for itself and not as the initial Managing Venturer pursuant to which documents PGC will assign Working Interest in the wellbores of the Wells to the Joint Venture and will cause to be drilled, tested, and completed the Wells pursuant to the Turnkey Contracts. The Managing Venturer presently anticipates that the Wells in Archer County will be drilled to an approximate true vertical depth of 1,000 +/- vertical feet. The primary target zone for the Wells is the Gunsight Limestone and Sandstone.

In addition and by his or her execution hereof, the undersigned hereby constitutes and appoints PRECISION GLOBAL CORPORATION in its capacity as Managing Venturer of the captioned joint venture, and/or any duly authorized officer thereof with full power of substitution in the premises, as his true and lawful attorney-in-fact, for him and in his name, place and stead and for his use and benefit to attach this EXECUTION PAGE AND POWER OF ATTORNEY to the Joint Venture Agreement and to execute, acknowledge, swear to, certify, verify, deliver, record, file and publish as necessary:

(14) There are various risks associated with the exploration and development for oil and gas prospects including those involving conventional vertical operations, drilling and production risks (including, but not limited to, possible blowouts, production declines and speculative revenues), no diversification, environmental liabilities, tax matters, and conflicts of interest. The Managing Venturer will require that the operator of the Wells carry a commercial general liability policy and an umbrella policy. See ÒRISK FACTORSÓ in the Memorandum.

1. Any certificate, document or instrument as may be required, necessary or desirable under the laws of the State of Delaware or the laws of any other state in which the captioned Joint Venture may be qualified, reformed or conducting business; and

(15) The undersigned will be a Joint Venturer and, accordingly, will have joint and several liability for all the debt and obligations of the Joint Venture.

(16) In the event that the Managing Venturer sells 8.00 Interests, the Joint Venture will own an 80.0% Working Interest in the wellbores of the Wells. In the event that the Managing Venturer sells 8.00 Interests, the Turnkey Drilling and Completion Contract will provide for the payment of $772,712.00 to pay for 80.0% of the costs associated with drilling and testing of the Wells. Any amounts in excess of PGCÕs costs in having the Wells drilled, tested, and completed will be retained by PGC as additional compensation. Neither the Joint Venture nor the Joint Venturers will be liable to PGC for any costs incurred by PGC in having such services performed which exceed the $772,712.00 Turnkey Drilling and Completion Price to be paid by the Joint Venture.

2. All instruments that reflect a change in the Joint Venture or change in, or amendment to this Agreement by a Vote of the Venturers.

The undersigned further authorizes such attorney-in-fact to take any further action that such attorney-in-fact considers necessary or advisable in connection with any of the foregoing, hereby giving such attorney-in-fact full power and authority to do and perform each and every act or thing whatsoever requisite or advisable to be done in and about the foregoing as fully and to the same extent as such Venturer might or could do if personally present, hereby ratifying and confirming all that such attorney-in-fact shall lawfully do or cause to be done by virtue hereof; provided, that in no event may the Managing Venturer utilize this power of attorney to cast any vote or consent of the undersigned as to the matters with respect to which the Venturers are entitled to Vote under the terms of this Agreement or by law.

(17) Due to the nature of the characteristics of known Wells in the immediate area, separate completion assessments are not applicable as it is necessary to complete the Wells in the known reservoirs to test for productivity. Therefore, the Initial Capitalization encompasses all expected and estimated costs to the Joint Venture for the Turnkey Contract.

(18) When the Joint Venture receives aggregate initial capital contributions in the amount of $24,147.00 the Joint Venture may commence the drilling activities on the sites in Archer County, Texas where the Wells will be drilled and such sites shall be determined in the Managing VenturerÕs sole discretion, provided that the Wells must be drilled on the acreage included in the Prospect.

Joint Venturers who purchase Units after drilling is commenced on a particular Well may not be eligible to expense all or a portion of intangible drilling costs thereof. This may reduce current tax benefits to them from a purchase of Joint Venture Interests. The Venturer will acquire the drilling rights to the mineral estate for the wellbores of the Wells. Assuming the sale of 8.00 Interests, the Joint VentureÕs interest in the Prospect will be an 80.0% Working Interest constituting a 60.0% Net Revenue Interest. PGC and/or Industry Partners will have a 20.0% Working Interest in the wells. Accordingly, the Joint Venture will pay 80.0% of the costs associated with acquiring the Lease and 80.0% of the costs associated with drilling, testing, and completing the Wells. The Turnkey Drilling and Completion Contract will cover the turnkey price to drill, test, and complete the Wells for one attempt up to 1,000 +/- vertical feet. The AFE for a 1% Working Interest is $7,727.12. Any additional attempts beyond the one-time attempt could be subject to Assessments.

If a Majority-in-Interest votes to approve a Subsequent Operation, and Venturer who decides not to participate and/or not to contribute the entire amount requested could lose his or her entire purchase price in the Joint Venture. See ÒMemorandum.Ó

The undersigned hereby agrees to be bound by any representations made by the Managing Venturer acting in good faith, pursuant to such power of attorney, and hereby waives any and all defenses which may be available to contest, negate, or disaffirm the action of the Managing Venturer taken in good faith under such power of attorney.

The undersigned hereby agrees to execute any and all additional forms, documents or instruments as may be reasonably necessary or required by the Managing Venturer to evidence this power of attorney. This power of attorney shall be deemed coupled with an interest and shall survive the death or disability of the undersigned, or the assignment or transfer of the undersigned's interest in the Joint Venture, until the transferee(s) or assignee( s) shall become a Substitute Venturer as required by the Joint Venture Agreement, or shall have otherwise executed such instrument(s) as the Managing Venturer reasonably deems to be necessary to bind such transferee(s) or assignee(s) under the terms of the Joint Venture Agreement, as from time to time amended, and the terms of this power or attorney.

This purchase may be accepted or rejected, in whole or in part, by the Managing Venturer in its sole judgment and

(19) All deductions, credits and net losses of the Joint Venture will be allocated 100% to the Venturers for federal income tax purposes. PGC will receive, once the Wells are in production, a monthly administrative fee of no more than $500.00 per month for the Wells in connection with the management of the Joint Venture. The net income, losses and distributions, if any, attributable to the Venturers will be allocated among the Venturers in the proportion which their respective Interests bear to the total for all the Venturers only.

(A) The Interests in the Joint Venture to be held by the undersigned will be acquired by the undersigned for the undersignedÕs own account or benefit and not for the account, in whole or in part, of any other person or business entity. The undersigned has no present intention of selling or distributing the Interests or any part thereof; (B) The funds tendered herewith by the undersigned for the Joint Venture do not represent funds borrowed by the undersigned from any person or lending institution except to the extent that the undersigned has a source of repaying those funds other than from the sale of the Interests. The Interests will not be pledged or otherwise hypothecated for any such borrowing; (C) The undersigned is experienced in business matters and has sufficient business acumen to analyze and evaluate the merits and risks of participating in the Joint Venture. The undersigned acknowledges and understands that the Interests in the Joint Venture are not ÒsecuritiesÓ as that term is defined in the federal and state securities laws and regulations. In connection therewith, the Managing Venturer will rely upon the representations of the undersigned, contained herein and in other documents executed by the undersigned. The undersigned warrants and represents that the undersigned is capable of exercising the undersignedÕs management powers as a Venturer, which involves substantial control by the undersigned over the operations of the business of the Joint Venture. In addition, the undersigned warrants and represents that the undersigned is not relying on the entrepreneurial or managerial ability of the Managing Venturer for the success of the Joint Venture and that the undersignedÕs experience and knowledge in business affairs enable the undersigned to replace the Managing Venturer as Managing Venturer and otherwise exercise meaningful Joint Venture powers; (D) The undersigned recognizes that the Joint Venture has not yet been formed and, when formed, will have no history of operations or earnings. The undersigned further recognizes that the Joint Venture is extremely speculative in nature, involves risk and may be completely lost. The undersigned represents and warrants that the undersigned has the financial capacity to withstand the loss of the undersignedÕs funds without suffering undue financial hardship; (E) The undersigned understands and realizes that the Interests cannot be readily sold or liquidated in the case of an emergency or other financial need and further that, in any event, the transferability of the Interests is extremely restricted. The undersigned further represents that sufficient liquid assets are otherwise available to the undersigned so that participation in the Joint Venture will cause no undue financial difficulties;

I have disclosed to the Applicant, in writing, prior to the Applicant’s acknowledgement of me as his/her Representative, any material relationship with the Joint Venture or its Affiliates disclosed in answer to question 8 above; and

(vi)

I personally (or, if I have checked “Yes” in question 9 or 10 above, together with the Applicant or the additional Representative[s] indicated above), have such knowledge and experience in financial and business matters that I am capable of evaluating the merits and risks of the Applicant’s prospective participation in the Joint Venture.

(F) The undersigned understands that this Agreement, the Memorandum and all other documents delivered to the undersigned in connection with the Joint Venture are confidential documents prepared solely for the benefit of the persons who will likely be acceptable to the Managing Venturer as Venturers. (22) The information provided by the undersigned to the Managing Venturer relating to the undersignedÕs qualifications and suitability remains true, correct and complete as of the date hereof. The undersigned shall immediately notify the Managing Venturer in writing of any material change therein prior to the admission of the undersigned as a Venturer.

(28) The undersigned recognizes that the acceptance of this Agreement will be based upon the undersignedÕs representations and warranties set forth herein and in other instruments and documents relating to the participation of the undersigned in the Joint Venture, and the undersigned hereby agrees to indemnify and defend the Managing Venturer and the Joint Venture and to hold the Managing Venturer and each officer, director, shareholder, agent, attorney of the Managing Venturer and all the other Venturers thereof harmless from and against any and all loss, damage, liability or expense, including costs and reasonable attorneyÕs fees, which they may incur by reason of, or in connection with, any misrepresentation made by the undersigned in this Agreement, the Purchaser Questionnaire attached as an Exhibit to the Memorandum (the ÒPurchaser QuestionnaireÓ), or elsewhere, any breach by the undersigned of the undersignedÕs warranties, and/or failure by him/her to fulfill any of the undersignedÕs covenants or agreements set forth herein or elsewhere. In addition, any such breach shall result in forfeiture of the undersignedÕs Interests.

(29) This Agreement, along with the Memorandum, the Joint Venture Agreement, the Joint Venture Suitability Questionnaire and all the other exhibits attached to the Memorandum, contain the entire agreement of the parties with respect to the Joint Venture and supersede all oral agreements and representations. The offering is made only through the Memorandum.

(30) ARBITRATION. THIS AGREEMENT CONTAINS A PREDISPUTE ARBITRATION CLAUSE. ARBITRATION SHALL BE GOVERNED BY THE RULE OF THE AMERICAN ARBITRATION ASSOCIATION (ÒAAAÓ). BY SIGNING AN ARBITRATION AGREEMENT, THE PARTIES AGREE AS FOLLOWS: (a) ALL PARTIES TO THIS AGREEMENT ARE GIVING UP THE RIGHT TO SUE EACH OTHER IN COURT, INCLUDING THE RIGHT TO A TRIAL BY JURY, EXCEPT AS PROVIDED BY THE RULES OF THE ARBITRATION FORUM IN WHICH A CLAIM IS FILED;
