We create and invest in deep tech startups.

4

World leading deep tech dealflow At Chalmers Ventures, we build a unique dealflow of deep tech startups that we invest in. This in turn creates up to ten new deep tech startups that other investors and VC’s can co-invest in . There are three elements; competence, capital, and community, in order to make this dealflow work. We have included these three elements in one single organization. We believe that this approach is the future of building deep tech startups.

1 // COMPETENCE

1 // CAPITAL

1 // COMMUNITY

Competence in the different processes and stages in building a deep tech startup. All the way from identifying the tech potential to starting up and investing in the tech and the team. What needs to be in place, and at what stage.

Capital in the form of time and money. Really early-stage technology ideas, such as research, involves extremely high risk. We have chosen to invest time and money in the earliest stages so the reserach can be commercialized.

Community is networks and facilitating relationships; investment networks, peer-2peer learning, mentorships, industry contacs, access to labs and hubs. Gaining context and learning from one another. People, quite simply.

55

Our deep tech strategy gather competence, capital and community in one organization. A unique deep tech factory.

6

Impact through science. The key to this? Entrepreneurial people with innovative ideas who want to see a better tomorrow.

Voices from 2022 The companies that Chalmers Venturs invests in are very interesting. Not to say super interesting. It is deep tech and they want to be at the forefront. It is something new. Martin Lorentzon / Co-founder Spotify

Companies started at Chalmers, in the long run, solve very large problems. Often within construction technology, water supply, infrastucture. Kim Olsson / Stena

It is inspiring to come here and see all the dedicated, talented, quickthinking people who are trying to do something different from what’s been done before. Zlatko Rihter / CEO Mölnlycke Healthcare

I believe we are seeing more and more companies within climate tech, and many of those come from Chalmers Ventures, who are producing incredibly good companies. Karolina Bjurehed / Investment Director Industrifonden

I firmly believe that if there is anywhere you will get cross-fertilization - and where innovation can really get a boost - it is at venues where different disciplines meet up. And Chalmers Ventures and Chalmers are brilliant examples of that. Johan Christensen / Partner HealthCab

CEO

Sara Wallin

Chalmers Ventures is now increasing its investment pace War, raised interest rates and recession. Yes, it means lower valuations and financial uncertainty. But also, that the investment trend goes from good to have to need to have. And Chalmers Ventures’ portfolio, as well as future investments, consists of precisely that: companies whose business ideas both have the possibility of global influence to solve important problems and global growth potential.

The need for investments in companies with a global impact is more urgent than ever. Therefore, I will start with two pieces of news that we were able to announce in the last days of 2022. Chalmers Ventures is something of a unique deep tech factory. We primarily create companies that are based on advanced research and that make a global difference in the transition to a sustainable future.

It was also why we won the award for the Nordics’ best Venture Capital at the Nordic Startup Awards in May. Our venture creation process-like investment activity that is unique to the Nordics is perhaps most like the one that The Engine in Boston has. The Engine also has a similar unique relationship with MIT as we have with Chalmers. Therefore, I am extra

1111

Chalmers Ventures is an important investor in very early stages. For every Swedish crown we invest, it attracts 15,5 Swedish crowns from other investors. happy that a visit there earlier last autumn has now resulted in us having a joint company in quantum computer technology. I see The Engine as a really interesting role model, both as an investor and as a venture creation business. Just as The Engine is in its region, we are well on our way to becoming a magnet for the Nordics’ deep tech companies

The second news at the end of the year greatly affects our development in 2023. Following a decision by the Chalmers Foundation, we will increase the investment rate from SEK 50 million in 2022 to SEK 70 million in 2023. This more than doubles the annual investments compared to the years 2016 to 2021, when the investment rate amounted to SEK 30 million. This way we can create even more benefit.

Our investments enable our portfolio companies to create long-term solutions to major problems. At the same time they create a financial return for the actors who, with the investments, enable the companies to take the solutions to a market where they can make a difference.

Chalmers Ventures is an important investor in very early stages. For every Swedish crown we invest, it attracts 15,5 Swedish crowns from other investors.

It is positive that we can increase the investment rate in a declining economy. It has been a few fantastic years for capital investments in

12

startups in general. 2022 marked a change, especially in the precision of investments. The future lies in investing in companies that have a global impact. The trend is moving towards such investments, which can be an advantage for Chalmers Ventures’ portfolio companies. Take just two examples from 2022. Elypta has shown several advances throughout the year. The company is conducting tests in its search for a rapid test for multiscreening cancer. This could mean an earlier detection of cancer than with current methods and thereby reduce mortality. In June, the company conducted a new share issue, which meant 21 million dollars in new external ownership capital. Melt & Marble is another example. The company creates fats that enhance the experience of plant-based food, which could revolutionize the food industry. In May, the company added five million euros after a new share issue. In both cases, Chalmers Ventures has been involved and made follow-on investments.

Chalmers Ventures is a long-term investor, our evergreen structure and stable foundation, together with Chalmers, enable the company to stand firm and remain a partner even during economic downturns. The evergreen structure means that we reinvest profits in new companies, and in the future, returns should also enable Chalmers Ventures to finance research. In a way, the economic resilience that our companies possess to some extent is a kind of resistance to financial chaos. But at the same time, we should not ignore the fact that valuations in companies will be lower, which will, of course, affect our short-term results. Our owner, the Chalmers Foundation, as well as the university itself, is crucial to our continued success. It is from here that the opportunities to build our evergreen model come. This will create future innovations that reach the market, but also capital for new research. The owners are long-term, and we at Chalmers Ventures are definitely too.

1313

During 2022, we established several new partnerships, both with national and international investors. I hope that both they and our existing partners will continue to work together in the longterm investments that investments in our portfolio companies entail. Together, we can create an energy that brings these innovations to the market and accelerates the pace towards an optimistic future. / Sara

14

EQUALITY AND BUSINESS Research and our own experience show us the same thing: gender-equal companies perform much better over time. At the same time, we see that CV and the industry are a long way off. This is far from OK. We wish these efforts could have produced results much more quickly. But we will go on working long-term and with determination, and we do not intend to give up. We see gender equality as one of our key opportunities and competitive advantages for building sustainable companies. It is all about working with and investing in companies with mixed teams of men and women. Chalmers Ventures will go on investing strategically in attracting more women as leaders, innovators, entrepreneurs, board members, and investors in our

companies. This is something we need to do if we are to achieve our goals and vision. Our goal with this long-term work on gender-equal companies is to position ourselves as an industry-leading investor and venture creation player for our portfolio companies, owners, entrepreneurs, and our community!

Emma Siljeäng

Strengthening unique position Water purification, quantum technology, combating air pollution, indium recycling, cybersecurity, software for analyzing and optimizing teams. In 2022, Chalmers Ventures added ten new companies to its portfolio whose business ideas contribute to global sustainable development. Nine of the business ideas stem from Chalmers. Chalmers Ventures’ strategy is to invest in growth companies that create impact, accelerate global change, and thereby solve tomorrow’s problems. The focus is on companies within deep tech. In 2022, Chalmers Ventures invested a total of 49 million SEK in 42 companies. In addition, the companies received soft funding of 113 million SEK. Thus, Chalmers Ventures has invested a total of 313 million SEK in companies with global growth potential over the years. 2022 brought about a changed market situation. Russia’s warlike attack on Ukraine,

rising interest rates, and increased inflation also negatively affect company valuations. For companies, it means new challenges where, among other things, new issues are made at lower levels. For Chalmers Ventures, the lower valuations are reflected in the company’s income statement and balance sheet. Among Chalmers Ventures’ listed holdings, the development has largely followed the general market development, which means that Chalmers Ventures will have a negative result of -24.9 million SEK in 2022 due to unrealized depreciation in the listed portfolio. The valuations of the unlisted

Chalmers Ventures has invested a total of 313 million SEK in companies with global growth potential over the years.

companies have not had a significant impact since the valuation of unlisted companies generally lags behind the development compared to listed companies. Thus, the valuations in the unlisted portfolio are largely unchanged in 2022. The total company value of the portfolio companies amounts to seven billion SEK at year-end, which is a decrease compared to the previous year due to developments on the listed market. Despite the uncertain stock market environment, Chalmers Ventures carried out two successful IPOs of Promimic and Lumen Radio. In connection with the IPO of Lumen

Radio, Chalmers Ventures sold its shares in the company, resulting in the largest exit of the year. Chalmers Ventures sold 10 companies in 2022 and received a total of 16.8 million SEK in portfolio liquidity. At the end of the year, the portfolio consisted of 100 companies with a common portfolio value of 442 million SEK. Chalmers Ventures actively works with co-investments with other investors and thus helps to scale up the financing in our portfolio companies. In 2022, each SEK Chalmers Ventures invested was scaled up 16 times by equity capital from co-investors.

How we invest

Funding the new deep tech companies of tomorrow Chalmers Ventures is an evergreen structure that invests in tech companies that resolve global challenges and offer great business potential.

Chalmers Ventures invests in early stages, and its strategy is to be the first financier for these companies. Chalmers Ventures is a long-term owner and a stable partner on the growth journey, with a successful and proven platform that companies can use for creation and growth. Chalmers Ventures is always looking to syndicate with other investors and has a large network of active players, from the very earliest stages to the later ones, leveraging the capital invested in the companies.

Chalmers Ventures invests in technologybased and innovative companies with growth potential. These companies must have internationally scalable growth potential and entrepreneurially driven teams, and must be or have been part of one of the Chalmers Ventures tracks and programs, or have other clear links to Chalmers. The historic value development of the portfolio is evidence that the Chalmers Ventures model of creating new growth companies works, and that long-term commitment pays off.
