Thank you for your interest and agreement to serve as a Board Member of the Redacted NonProfit Organization and our efforts to support The community youth. Now, more than ever, families rely on the continuous efforts and flexibility of the Redacted NonProfit; and your role in how we meet that need is incredibly vital. For these reasons your interest to serve and provide a place where young people can go for stability, guidance and help so that they can realize their talents and grow into successful contributing members of our community is deeply appreciated.

This packet is provided to give you a proper background about the Redacted NonProfit ' selection process for Board members, and what is expected from a Board member. A current listing of the community leaders serving on the Board of Directors is also included. This information is intended to ensure a successful experience as a sitting board member and as a partner in our continued support of the Club’s strategic vision and goals.

Please consider carefully the responsibility you are accepting as a Board Member as you will be called upon to help us support the financial and programmatic goals of the Club. We exist to serve youth, but our success in that effort is contingent on strong partnerships in and beyond the community. That success is equally reliant on fundraising to finance these efforts at minimum cost to low income The community families who are already struggling to make ends meet. Every Board Member, then, is a community organizer. Every Board Member is a fundraiser. Every Board Member is an ambassador of this agency. That isn't a commitment to be taken lightly, because our successes and failures echo in the lives of The community youth and their families. BOARD MEMBER PACKET

The mission of the Redacted NonProfit Organization is to inspire and enable all young people, especially those who need us the most, to reach their full potential as productive, caring, and responsible citizens.

Redacted NonProfit Organization was founded in 1956 as a registered 501c3. As of 2023, we have an operating budget of 7.5 Million dollars with 2 Clubhouses and 10 school sites located in the cities of somewhere and over there. Redacted NonProfit are nationally affiliated through a local charter system and as such are run autonomously from each other and the national headquarters in beyond. We employ between 50 and 100 Program Staff, Club Directors, and Administrators.

Redacted NonProfit Organization serves any child between the ages of 6 and 18. On average we serve 5,000 youth annually and over 1,400 ever day from school release to 6 PM between our 12 locations during the school year. We provide full day camps throughout the summer, winter, and spring breaks. Members are typically charged a $50 registration fee and then $200 month. No child is ever turned away because of an inability to pay and scholarships are

Fundraising

Every Board member should have a working knowledge of the bylaws and their role as a board member or board officer, should they be elected to serve.

Every board member is expected to participate in regularly scheduled board meetings and fundraising events. Members may also participate in additional committee meetings or serve in ad-hoc committees as desired or requested.

Every Board Member is a fundraiser. Capacity is based on annual discussions between that board member, the Executive Director and Resource Development Committee Chair. The minimum annual “give or get” for an active Board Member is $5,000 over the course of the fiscal year. The Club is a partner in your success and will provide all reasonable support and guidance in helping every board member achieve this goal.

Every Board Member is a friend raiser. The Club’s strategic goals are contingent on strong community partners. Every board member is expected to help cultivate relationships with individuals and agencies who can assist the Club in

Every Board Member is a Mentor. We expect board members to be available to mentor junior board members and REDACTED NONPROFIT staff. This is a key part of ensuring institutional knowledge but is also a large part of our staff

Prior to Serving on the Board

The Associate board, launched in 2021 is the primary mechanism for cultivating the next generation of REDACTED NONPROFIT Corporate Board Members. It’s also an exit point for Corporate Board Members who offboard but still want to be involved. This is a vital board development tool and how we ensure that incoming board members are engaged!

All potential Corporate Board Members should… Serve on the Club’s Associate Board prior to joining the Corporate Board. Be sponsored by an current Corporate Board Member.

Schedule a Q&A session with the Executive or Board Development chair.

Potential Corporate Board Members will be considered as openings become available and may be presented to the Corporate Board of Directors for a vote at any time.

Every board member must visit and tour a Club Site while it is in operation

Provided all of the tasks above are completed and a positive vote has taken place you are officially welcomed as a Board Member with the Redacted NonProfit Organization. This includes update on the Clubs website and an announcement/statement via social media and local news affiliates. Board Members are encouraged to celebrate their commitment to the club publicly.

BOARD MEMBER PACKET

In signing this agreement, I recognize that I am assuming a role as a member of the Board of Directors of the Redacted NonProfit Organization, I acknowledge that my primary role as a Board Member is to help define, adhere to, and support the mission of REDACTED NONPROFIT and to carry out the functions of the office of Board Member or Officer as stated in the bylaws.

My role as a Board Member will focus on the development of, review of, and adherence to broad policies that support and reflect the strategic vision of REDACTED NONPROFIT . This role is separate and distinct from the role of the Executive Director who determines the means of implementation and governs all staff related decisions.

I understand that this is a voluntary position, and that I am agreeing to serve a term of one-year but that this term can be extended indefinitely provided that both I and the sitting board of directors are interested in continuing my service as expressed in a vote at the annual meeting. I further understand that my status as a board member is subject to a background check and my participation in mandatory trainings as identified in the Redacted NonProfit Membership requirements.

I understand that I am agreeing to be a contributing member of the board and that I will diligently apply myself toward the successful achievement of the organization’s goals as they apply to Strategic Goals, Fundraising Goals, and Community Engagement.

To execute in a trustworthy and diligent manner the duties and obligations of a board member.

To regularly attend meetings of the Board, committees, and task forces on which I serve.

To come prepared to discuss relevant issues at scheduled meetings.

To work with and respect the opinions of my peers who serve on this Board.

To take action on behalf and in the best interest of the organization.

To represent this organization in a positive and supportive manner at all times and in all places.

To actively support the fundraising efforts of the Board including making an annual personal pledge, representing the organization in securing additional financial support which may include, but is not limited to, annual campaigns, special events, grant initiatives, or planned giving.

To observe the parliamentary procedures and display courteous conduct in all Board, committee, and task force meetings.

To refrain from intruding on administrative issues that are the responsibility of the executive or staff, except to monitor the results and prohibit methods that conflict with Board policy.

To avoid conflicts of interest between my position as a Board member and my personal life. If such a conflict does arise, I will declare that conflict before the Board and refrain from voting on matters in which I have conflict.

To support in a positive manner all actions taken by the Board of Directors even when I am in a minority position on such action.

If for any reason I find myself unable to carry out the above duties as best I can, I agree to resign my position as a Board Member/Officer.

In signing this agreement, I affirm that I will adhere to the Code of Ethics as a member of the Board of Directors of the Redacted NonProfit Organization (REDACTED NONPROFIT ), I acknowledge that my status as a board member is subject to the following.

I PLEDGE

To represent the interest of all people served by this organization regardless of race, gender, sexual orientation, religion, or creed.

To conduct myself in the best interests of REDACTED NONPROFIT in all proceedings and negotiations and that I will not use my position as a Board Member for my own personal advantage or to the individual advantage of my friends or supporters.

To keep privileged or confidential information confidential.

To behave in a manner consistent with the ethics and values of REDACTED NONPROFIT . I will not inappropriately use my authority as a Board Member.

I ACKNOWLEGE:

Staff, Board, or volunteer members may not use any form of social media to harass, threaten, discriminate, or disparage against each other, against members, or anyone associated with or doing business with the organization.

Staff, Board, or volunteer members cannot use a personal device to take pictures of members at any time or for any reason.

Staff, Board, or volunteers cannot engage with any youth alone and that I cannot meet with members in a private or unsupervised capacity at or outside the organization .

Staff, Board, or volunteer members may post on their own personal social media accounts non -private Club information under the condition that posts are linked back to the Club’s own social media channel. Examples of posts include but not limited to:

Promoting organization events, programs, services, volunteer, and employment opportunities.

If for any reason I find myself in conflict with any aspect of the above I will notify the Board President and Executive Director. If no suitable waiver or arrangement can be made, I agree to resign my position as a Board Member/Officer.
