INTERNATIONAL PETROLEUM TRANSACTIONS International Petroleum Transactions examines the law and policy framework and the typical contract agreements used between host governments and foreign investors to develop host government petroleum resources. Topics include: concession agreements, production-sharing agreements, risk service contracts, host government petroleum laws, the model international Joint Operating Agreement, and social/environment issues, including human rights cases with a focus on seeking ways to avoid the “petro-curse” and achieve sustainable development.

The seminar includes an overview of the future of the petroleum industry including the increased dominance of National Oil Companies, the geopolitics of oil, and global warming.

JACQUELINE L. WEAVER UNIVERSITY OF HOUSTON LAW CENTER

Professor Weaver graduated from the University of Houston Law Center magna cum laude in 1975, after receiving a B.A. in Economics magna cum laude from Harvard University. In 1977 she joined the faculty following five years as an Economist and Marketing Specialist for Exxon Co. USA and has taught courses in Oil and Gas, Energy Law and Policy, International Petroleum Transactions, Natural Resources, Water, and Environmental law. She was the recipient of the University of Houston Teaching Excellence award for 2005-2006. Professor Weaver is a co-author of the leading treatise on Texas oil and gas law and of the casebook titled Energy, Economics and the Environment and has just completed a treatise on International Petroleum Exploration and Exploitation Agreements with three European co-authors. She has written numerous articles on oil and gas law and energy policy, including an article on Enron’s effect on energy markets. She was the Director of the Russian Petroleum Legislation Project in 1990-1991, blending academic and organizational skills to draft a model petroleum code for the new Russian Federation, with the participation of the World Bank, the European Bank, major oil companies, and Russian academics and officials. She teaches international petroleum law in the Executive MBA programme of the University of Houston’s Bauer School of Business to executives of Chinese national oil companies and has presented training programmes in Uganda, Bangkok and elsewhere to professionals in national oil companies, civil society, Parliament, ministry officials and the media on petroleum contracts and oil revenue management.

EUROPEAN CORPORATE LAW This course will focus on the following issues. 1.The rationales for producing corporate law at the level of the EU rather than at national level. In particular, we will examine the arguments for (a) harmonisation of national law and (b) facilitating cross-border activities within a single market. 2.The institutional and political obstacles to corporate law-making at EU level and the quality of the resulting Union-level legislation. 3.The extent to which harmonisation of corporate law can be achieved through regulatory competition and regulatory arbitrage and the question whether the EU should foster or restrict such competition/arbitrage. 4.The particular issues raised by the creation of EU legal entities (as contrasted with member state harmonisation).

UNIVERSITY OF OXFORD LENGTH 12H Paul Davies is a Senior Research Fellow at the Centre for Commercial Law, Harris Manchester College, University of Oxford.

He was the Allen & Overy Professor of Corporate Law at Oxford from 2009 to 2013. He is a member of the European Company Law Experts group. He was educated at the Universities of Oxford (MA),London (LLM) and Yale (LLM). He was elected a Fellow of the British Academy in 2000, an honorary Queen's Counsel in 2006 and an honorary Bencher of Gray's Inn in 2007. He is a deputy chairman of the Central Arbitration Committee. His first teaching job was as Lecturer in Law at the University of Warwick (1969-1973). Then he was elected Fellow and Tutor in Law at Balliol College Oxford and successively CUF Lecturer, Reader and Professor in the Faculty. Between 1998 and 2009 he was the Cassel Professor of Commercial Law at the London School of Economics and Political Science.

INTERNATIONAL DEBT FINANCE: THE EUROZONE DEBT CRISIS 2009-2014 This short course will focus on the Euro area debt crisis of 2009-14 and use it as a window into understanding the key legal aspects of the workings of the international market for government debt. Students will be introduced to the considerations that go into structuring a sovereign debt deal and the front end and to those that go into a restructuring at the back end. Particular attention will be paid to some of the major events that have occurred in this market in recent years, such as the monumental Greek debt restructuring in March 2012 and the Argentine default in July 2014. The course will conclude with a discussion of the current state of Portugal’s sovereign debt situation.

MITU GULATI DUKE UNIVERSITY SCHOOL OF LAW Mitu Gulati is on the faculty of the Duke University School of Law. Gulati’s primary research interests are in the historical evolution of sovereign debt contracts and in the mechanics of sovereign debt restructurings. His current research focus is on the pricing and restructuring of government guaranteed debt. His published articles on these subjects have appeared in journals such as the Review of Finance, the Journal of Legal Studies and the Journal of Law and Social Inquiry.

LEE BUCCHEIT CLEARY GOTTLIEB Lee C. Buchheit is a partner based in the New York office of Cleary Gottlieb Steen & Hamilton LLP. Mr. Buchheit’s practice focuses on international and corporate transactions, including Eurocurrency financial transactions, sovereign debt management, privatization and project finance.

Mr. Buchheit is the author of two books in the field of international law and more than 40 articles on professional matters. He has served as an adjunct professor at the School for International and Public Affairs of Columbia University (1994-97), as a visiting professor at Chuo University in Japan (1997-98), as a Lecturer on Law at the Harvard Law School (2000), as a Visiting Lecturer in Law at the Yale Law School (2005), as an adjunct professor of law at Duke University Law School (2006-07), and as an adjunct professor of law at New York University Law School (2008). Mr. Buchheit is a Visiting Professorial Fellow in the Centre for Commercial Law Studies at the University of London.

Mr. Buchheit was recognized by the Financial Times' U.S. Innovative Lawyers Report as one of the ten most Innovative Individuals of 2012 for his work on the Greek debt restructuring. In 2010, Mr. Buchheit received International Financial Law Review's inaugural Lifetime Achievement Award for his contributions to international finance. He is also recognized by Chambers USA,The 1 International Who's Who of Business Lawyers, IFLR 1000: The Guide to the World's Leading Financial Law Firms, The Legal 500 U.S. and the Legal Media Group Guides as one of the best banking lawyers in the United States.

INTERNATIONAL ENERGY LAW This seminar starts with an overview of the general international law concepts and principles which are applicable to energy activities, the rules of international law governing state responsibility and the exercise of state jurisdiction over energy activities. Given the extent of private sector involvement in energy activities, the protection of foreign direct investment and the responsibility of States for expropriation will be the focus of several case studies. Equally important is the energy security of the State, and how to respond to the threats posed to it by a myriad of factors ranging from piracy, hostage-taking and armed incursions, to security of supply in times of international emergency. Certain energy activities, such as offshore petroleum exploitation and nuclear generation, merit particular attention given the extent of their international regulation. Yet how effective are the existing rules to ensure the safe operation of nuclear power plants and the liability of operators for damage caused from nuclear or offshore petroleum installations? The seminar will conclude with a case study of transboundary pipeline development to illustrate, inter alia, the complex interplay of human rights, environmental and other factors in major energy infrastructure projects and the remedies routes available to affected individuals, groups and States at international law.

CATHERINE REDGEWELL UNIVERSITY COLLEGE LONDON Catherine Redgwell joined the Faculty of Laws at UCL in January 2004 as Professor of International Law and is currently ViceDean (International). Her teaching and research interests include public international law, international environmental law, law of the sea, energy law, and treaty law. Recent publications include, as editor and contributing author, Energy Law in Europe: National, EU and International Law and Institutions (OUP, 2nd edn 2007; 3rd edn due in 2013) and Moving Beyond the Carbon Economy (OUP 2008). She is also co-author with Alan Boyle of International Law & the Environment (OUP, 3rd edn, 2009) and, with Michael Bowman and Peter Davies, of Lyster’s International Wildlife Law (CUP, 2nd edn, 2010). She is a member of the Academic Advisory Group of the Section on Energy, Environment and Infrastructure Law of the International Bar Association, and served as joint general editor and chair of the editorial board of the International and Comparative Law Quarterly for six years (2006-2011).Economics and Political Science.

FREE TRADE AND ENVIRONMENTAL PROTECTION This seminar focuses on one of the great challenges for international cooperation in the present age: how to reconcile free trade and free markets with effective environmental protection policies. The seminar will study the law on trade and environment, which can be found in the law of the WTO, in regional law (e.g. the EU and NAFTA), in multilateral environmental agreements, and indeed in general public international law. It will examine the connections between law and policies in this area, and will focus on the contributions made by case-law which seeks to balance free trade and environmental protection. The seminar will further aim to identify a proper theoretical basis for such balancing.

PIET EECKHOUT UNIVERSITY COLLEGE LONDON Piet Eeckhout studied law (lic.iur.) and European law (lic.Eur.iur) at the University of Ghent, Belgium, where he also obtained his PhD degree. Before joining King’s in 1 he taught at the University of Ghent and at the University of Brussels (VUB). Between 1994 and 1998 he worked in the chambers of Advocate General Jacobs at the European Court of Justice. Between 1998 and 2012 Professor Eeckhout was Director of the Centre of European Law, at King’s (see www.kcl.ac.uk/cel). He is now Professor of EU Law at University College London. He is co-editor of the Yearbook of European Law, and of the Oxford EU Law LIbrary (OUP). He is an associate academic member of Matrix Chambers, London. Professor Eeckhout is a leading authority on EU law and international economic law. He is the author of EU External Relations Law (2nd ed, OUP 2011). In 2004 he delivered the General Course at the Academy of European Law, Florence, and in 2006 he was General Rapporteur at the biennial FIDE (Federation of European Law Associations) Conference.

COMPETITION LAW Competition law (called “antitrust law” in the United States) has become an important factor in international economic relations, in international business and in legal practice relating to international business. As economic activity becomes increasingly global, its importance will continue to increase in each of these areas. In this course we will examine competition/antitrust law from a comparative and international perspective. We will look at competition law and competition law experience in the US and Europe, but also in among the newer players in competition law, including China, Japan, and Korea and examples from Latin America and Africa. We will examine some of the ways in which antitrust systems differ and what the implications of these differences are for international economic policy, international business and international legal practice. The course also investigates competition law on the global level. To what extent do domestic competition laws apply to conduct outside the territory of the state in which they are enacted? What is international antitrust convergence? Why is it so important? What are the prospects for international agreement relating to competition law?

On the European level, the course will deal with competition law enforcement, both public (by the European Commission and national agencies, subject to judicial control) and private (by individuals and companies litigating in national courts). The powers of the Commission and the national authorities will be balanced against rights of defence and procedural rights of complainants. Leniency programs will be explained as a powerful means for detecting cartels, careful consideration being given to their interaction with damages actions in courts. An inside view on administrative and judicial application of EU competition law will be provided with the support of some important cases before the Commission, national authorities, national courts and the European courts.

DAVID GERBER CHICAGO-KENT COLLEGE OF LAW David J. Gerber is University Distinguished Professor of Law at Chicago-Kent College of Law, Illinois Institute of Technology. He received his B.A. from Trinity College (Conn.), his M.A. from Yale and his J.D. from the University of Chicago. He has been a visiting professor at the law schools of the University of Pennsylvania, Northwestern University and Washington University in the United States as well as on the law faculties in Munich and Freiburg in Germany, Stockholm in Sweden, and the International University College, Turin (Italy). He has also been a visiting fellow at the Woodrow Wilson School of Public and International Affairs at Princeton University, the Max Planck Institute for Research on Collective Goods in Bonn, Germany, and Uppsala University in Sweden, and Meiji University in Japan. Before beginning his teaching career, Professor Gerber practiced law in New York and in Europe. He writes and teaches primarily in the areas of competition law, comparative law, and European Union law. He is a member of the International Academy of Comparative Law, the executive editorial board of the American Journal of Comparative Law and, among others, the editorial boards of the Journal of International Economic Law and Concurrences (France). His most recent book is Global Competition: Law, Competition and Global Markets (Oxford 1University Press, 2010).

INTERNATIONAL INVESTMENT LAW This seminar looks at the exponential growth in international legal rules governing foreign investment.

We will begin by tracing the historical, political and economic causes for the development of a plurality of such rules across custom, bilateral and regional investment treaties. We will then focus on the unique elements of dispute resolution in this field which confer standing on private (foreign) actors against states parties. Finally, we will turn to select key cases to critically evaluate the impact of investment law across a range of institutional and normative values. These encompass implications for environmental regulation, the protection of human rights and systemic engagement with the European legal order.

JÜRGEN KURTZ THE UNIVERSITY OF MELBOURNE

Jürgen Kurtz is an Associate Professor and Director of the International Investment Law Research Programme of the Institute for International Law and the Humanities at the University of Melbourne, Australia. He has held research fellowships at the Jean Monnet Center for International and Regional Economic Law and Justice at New York University (as an Emile Noël Fellow), the University of Michigan Law School (as Grotius Fellow) and at the Academy of International Law in The Hague. He is the convenor of the General Course on International Investment Law at the Academy of International Trade and Investment Law in Macau. In 2010, Jürgen joined the Global Faculties of the Centre for Transnational Legal Studies in London, Bocconi University in Milan and was appointed Fernand Braudel Senior Fellow at the European University Institute in Florence.

EUROPEAN SECURITIES REGULATION The course will examine some of the main corporate governance issues recently discussed in Europe, which will be analysed functionally across systems, focussing on boards, shareholder activism, gatekeepers and enforcement. We will pick up things like the trade off between EU level and member state level requirements, differences between Member States, governance changes and reforms coming out of the new economy bubble and the recent financial crisis. In addition to analysing past and current EU developments, we will focus on four jurisdictions (France, Germany, Italy and the UK) and make references to other Member States. We shall read economic and legal materials and discuss case studies, including well known financial scandals (Parmalat and Vivendi) and recent bank failures or frauds (Northern Rock, Royal Bank of Scotland, UBS and Société Générale).

GUIDO FERRARINI UNIVERSITY OF GENOA

Prof. Guido Ferrarini is Professor of Business Law at the University of Genoa and Director of the Centre for Law and Finance. He graduated from Genoa Law School in 1972; LL.M., Yale Law School, 1978. In 2009 he was awarded a Dr. jur. h.c. from Ghent University. He is presently Visiting Professor at Stanford Law School. He was a Visiting Professor at Bonn University, Cambridge University, Columbia Law School, Duisenberg School of Finance, Frankfurt University, Ghent University, Hamburg University, NYU Law School, Tilburg University and University College London. As a lawyer, he was admitted to the Supreme Court of Cassation. He is Fellow and Vice-Chairman of the European Corporate Governance Institute (ECGI) in Brussels. He is Chairman of EuroTLX SIM S.p.A. (a multilateral trading facility) and a Board member of Banca Passadore and Cerved Group. He was a member of the Board of Trustees, International Accounting Standards Committee (IASC), an Independent Director of Atlantia and Telecom Italia and an advisor to the Corporate Governance Committee of the Italian Stock Exchange.

Prof. Ferrarini is author of various books and articles in the fields of financial law, corporate law and business law.

OIL & GAS TAXATION This seminar will examine the fundamental principles of oil & gas taxation. The intent is to provide students with the basic concepts required to understand current tax policy for the oil and gas sector as well as to advise clients in the oil and gas industries. The seminar will draw from the experience oil-producing nations, both inside and outside the European Union.

ARIEL BERGMANN CENTRE FOR ENERGY, PETROLEUM AND MINERAL LAW AND POLICY

Dr Ariel Bergmann has been an economist at the Centre for Energy, Petroleum and Mineral Law and Policy since 2009. He has consulted, advised and provided educational training for numerous developing countries on the use of fiscal regimes and taxation instruments to maximize the creation of benefits from mineral and petroleum resource development. Dr Bergmann has also conducted research on pathways to sustainable social and economic development n Africa from the exploitation of exhaustible natural resources. Currently, Dr Bergmann has a very active research agenda examining the local / regional level socio-economic impacts of shale gas development in the United Kingdom and the European Community. This is a continuation of his career long interest in the environmental , social and economic impacts on local communities from deployment of energy projects. DR Bergmann earned his PhD (2006) from the University of Glasgow after moving from Colorado in 2002.
