The Samaritan’s Dilemma By David Halpert

S

ay you need a task done that costs $500 and there are three people locally that can do it. For simplicity’s sake, let’s call them Alice, Bob and Carson. All are equally capable of doing the task in the same amount of time. You’re about to offer the contract to Carson when a friend tells you that Alice recently lost her job and the $500 could go a long way for her financially. So you decide to give it to Alice, but just as you’re to do so, another friend tells you that Bob has been really depressed since he lost his job and might even be suicidal as well, so instead of awarding the job to Alice, you decide to give it to Bob. However, just as you’re about to offer the job to Bob, another friend tells you that Cameron is sick, and while you don’t know how sick they mention that $500 would go a long way towards a treatment for curing him. So which one do you ultimately give the job to? This is what’s known as the Samaritan’s Dilemma created by economist James M. Buchanan in 1970. He would go on to win the Nobel Prize in Economics in 1986 and for good reason; the crux of the argument being there’s a dilemma in the act of charity and the benefactor of said charity will act in one of two ways: using the charity to improve their situation, or coming to rely on charity as a means of survival. As a result, charity is looked upon as a moral hazard. The Dilemma itself can also be extended to institutions pertaining to wellintentioned systems and rules meant to regulate industries, but as a result can have unexpected consequences or the opposite effect. For example, in the state of Georgia, the average number of training days you need to be an EMT is 33 days, but to be a barber by law, you need 380 days of training, putting additional financial strain on what would otherwise be a “regular job” when compared with something more specialized. So what does this have to do with cannabis? Maybe nothing, however I recently read an article by David Brown in early October on Stratcann

entitled ‘The Cannabis Act Review Will Not Save Your Business’, the central argument for the piece being that while the recent cannabis review will likely be tabled in the House of Commons by next spring (assuming it sticks to the stated timeline), the cannabis industry is unlikely to see any tectonic regulatory changes, with many buying into the narrative that the Review will save the industry, or bring about meaningful change. In other words, don’t get your hopes up. While continuous lobbying and advocacy will always be a necessary pushback for regulatory change by governments, what we’re also seeing is a cultural shift at the industry level to a beg-for-forgiveness-rather-thanask-for-permission mentality in many laws and regulations deemed outright non-sensical in some cases by the government. Case in point, the law requiring all cannabis retailers to be properly covered in the name of protecting minors from purchasing cannabis. This, of course, comes at the expense of the employee’s safety and protection. In other words, the Samaritan’s Dilemma incarnate. Now I’m not asking for cannabis workers to openly break the law or forgo submitting through the proper regulatory channels when it comes to getting product sold, but there’s a definite need to push the envelope against behemoth institutions, both federally and provincially, in such an oversaturated market like cannabis where things are done at a snail’s pace and oftentimes bogged down by government red tape just in order to get a seat at the table. Now that we’re five years into legalization, hopefully we can inspire some real change at the government level and move on from being a nascaent industry to something more formitable.

Avicanna Provides Update on the Successful Launch of MyMedi.ca Avicanna Inc. provided an update on the progress of its new cannabis care platform MyMedi.ca since its successful launch nationwide in Canada. Cannabis Council of Canada Marks FiveYear Legalization Anniversary, Calls on Governments to Make the Changes The Cannabis Council of Canada (C3) recently released a survey of Licensed Producers (LPs) from coast to coast that underscored the urgent need for government reforms to rejuvenate the sector, ensuring its continued growth and contribution to the Cannabis Act’s public policy objectives. The survey, compiling responses from 122 LPs across the country, identified the major financial challenges facing the Canadian cannabis industry: » 71% of respondents reported a surge in excise tax payments from 2021 to 2022, reflecting the adverse financial impact of escalating excise taxes due to price compression and burdensome regulatory fees. » 83% of LPs reported negative net income in 2022. This significant increase in the excise tax burden has placed an unsustainable strain on LPs, impeding their capacity to invest in growth and innovation. C3’s Key Recommendations to Government: The Cannabis Council of Canada, recognizing the importance of the cannabis sector’s contributions to the success of the Cannabis Act, has released a position paper outlining three urgent recommendations: »

Eliminate Excessive Regulatory Fees: Overbearing regulatory fees, which do not exist in other sectors such as alcohol and tobacco, have hampered the growth and profitability of LPs. C3 urges the government to eliminate these unfair fees. Reform the Edibles Product Category: C3 calls for an increase in the allowable THC limit in edibles to 100 mg, aligning regulations with consumer protection and winning this category back from the illicit market.

Canopy Growth Completes Sale of Hershey Drive Facility Canopy Growth Corporation has completed the sale of its Hershey Drive facility in Smiths Falls, Ontario, in connection with the previously announced agreement with Hershey Canada, Inc. for cash consideration of approximately CAD$53 million. As part of its transformation to a simplified, assetlight operating model, Canopy Growth has sold a total of seven properties for aggregate gross proceeds of approximately CAD$155 million since April 1, 2023. It is anticipated that net proceeds received from the sale of the facility will be used primarily to pay down the company’s senior secured credit facility. The sale of the Facility follows the centralization of post-harvest manufacturing at the company’s former beverage facility in Smiths Falls, Ontario, as well as the consolidation of all flower cultivation in the company’s purposebuilt sites in Kincardine, Ontario and Kelowna, British Columbia. 2024 CANNABIS INDUSTRY BUSINESS PLANNING: THE TOP THREE THINGS TO AVOID By Jill Reddish & Chris Day, co-founders of the Global Cannabis Network Collective

A

s 2023 winds down, planning for 2024 speeds up and cannabis companies worldwide are again questioning what will happen with legalization frameworks, inconsistent quality standards and changing import and export restrictions – while also being strangled by federal taxation chokeholds that squeeze the life out of legal markets and effectively feed illicit markets. Through all the hype, and despite the never-ending rollercoaster ride, prudent companies looking ahead can see some useful principles for building out long-term success while ignoring, or at least sidelining, a lot of the chatter that’s often only a distraction to fundamental business planning. 1. SKIP THE SHINY OBJECT DELUSIONS In 2024, let’s skip the shiny. Every industry has its “shiny object syndrome” where the focus is always on the “next great thing.” Often major resources are put into conquering these markets with little thought to such business fundamentals as the projected cost per customer/patient acquisition, profit margins vs revenue, the lifetime value of a customer and whether or not a market has fundamental flaws in the supply chain that disallow scalable market structure. Over the last several years, countries like Germany, Mexico, Colombia and Thailand, among others, have captured the attention of business leaders with outrageously optimistic headlines that, in reality, turn into long-term market slogs. Very little smart analysis has been done on market entry strategies that are most likely to be successful considering the actual market viability at the time. While the recreational play in Germany isn’t likely to move in the near term, its medical market continues to evolve within a federal system that ensures its long-term viability. The same is true for Australia which, despite exceedingly stringent marketing restrictions has proven to be a viable market for pragmatic business planners who track customer demand and effectively manage resources for exports and expansion into Europe and South America. These countries have viable pathways to market success if planning is done based on what is real, not on what a business operator wishes it to be. The consistent secret to success for viable long-term players is based not in chasing delusional rewards but in looking at the state of each market, creating diversified revenue streams and building a business to serve that marketplace while ensuring systems are in place that allow for scalability as other markets evolve but not be-

fore. Only a handful of ancillary businesses like law firms and lobbying firms can make profits on speculation. The rest need to look at what is current market consumption, focus on driving repeatable transactions in those key markets, and then build from there. 2. ADVOCATE FOR CHANGE WHILE ACCEPTING THE CURRENT (TAXATION) REALITY This year, let’s continue to advocate for change while planning business strategies and frameworks within existing laws. Everyone can agree that irrational taxation is a problem in several markets and over-taxation is a problem in almost all. However, most businesses continue to plan as if “this year” it will all change. As an example, changes to 280E in the U.S. have been promised by pundits on stage and lobbyists in D.C. for the last five-plus years. Numerous businesses and investment groups have jumped into the fray with nearly complete disregard for the impact the existing tax law has on business operations, and only after launching into a market do they start to look at how their operation is structured for minimizing tax implications and maximizing profitability. While it’s smart in every industry to have good tax advice, it’s a business imperative in the cannabis industry. Creating plans for when the tax law changes, or when licensing regulations adapt, is only relevant in terms of scalability. For now, planning for success requires financial analysis based on current reality. 3. BROADEN YOUR DEFINITION OF MARKETING Marketing still matters even when marketing restrictions make it feel impossible to branch out. Since the rise of social media and now with the advent of AI tools, marketing has too often been reduced to what a company can put online about itself. In reality, marketing engages everything from earned media, community engagement programs, eco-conscious packaging, customer retention models and a host of other tactical tools within a broad spectrum of strategies that engage potential and current customers at both the B2B and consumer levels. As industry advocates, business leaders need to continue to push for less stringent marketing controls in some tactical channels. At the same time, it’s imperative to focus on each region’s tactical groups that are available and creatively execute against them. Each year, we see

more business cases that are proving what’s possible through creative execution, unique approaches to creating customer engagement and in-market collaborations that engage customers in ways that create loyalty and long-term relationships. Quebec in Cannabis: Five Years Later By David Halpert

There’s no denying that 2023 has been a struggle for most provinces in cannabis but none has borne the brunt more than Quebec, but not for reasons you might expect. From sales slowdowns to labour strikes to self-imposed restrictions implemented since federal legalization, Quebec remains an outlier in many ways. That said, while at first glance these factors appear discouraging, glimmers of hope still manage to shine through as we head into the New Year. TWO SOLITUDES The term ‘Two Solitudes’ comes from the 1945 novel by Hugh MacLennan referring to the perceived lack of communication between Frenchand English-speaking Canadians, however it’s also an apt term to describe the relationship between the Quebec government and the cannabis industry itself, with the Société québécoise du cannabis (SQDC) in many ways emblematic of the government’s draconian attitudes toward cannabis. “I would say historically, and not only during the legalization process, Quebec has taken a more restrictive conservative approach when it comes to cannabis compared to some other provinces,” says Pierre Leclerc, President and CEO for the Association Québécoise de l’Industrie du Chanvre et du Cannabis (AQIC), an association for the Quebec hemp and cannabis industry. “We have a very dogmatic conservative government when it comes to cannabis and I’m not just talking about cannabis products.” Leclerc is referencing the current majority Conservative government under incumbent Premier Francois Legault, whose party coincidentally took office one day after federal cannabis legalization on October 18, 2018. While there could be an argument made that the Cannabis Act was foisted upon Legault’s shoulders as a necessary evil for the province to contend with, the Act, having been spearheaded under Trudeau’s Liberal government at the federal level months before, Leclerc argues that it’s much more simpler than that. “[The Conservatives] really don’t even want to try to understand the difference between the plant and the product,” continues Leclerc, “I’m talking about the cannabis plant itself.” It’s from this inflection and stigmatization that permeates every facet of the Quebec cannabis industry today. ALL HAMMER, NO NAIL During the first two years of cannabis legalization Quebec remained a juggernaut in revenue sales quickly outpacing other provinces by a wide mar-

gin, however beginning in late 2021, as more private retail stores came into operation across Canada, Quebec cannabis sales quickly fell behind. In May 2023, for example, Quebec sales of legal recreational cannabis totaled $52.5 million for an estimated total population of 8.8 million, outpaced by the smaller provinces of Alberta ($74.3 million in sales; 4.7 million people) and British Columbia ($64.8 million in sales; 5.4 million people)*, a trend that has remained consistent going on two years now. What’s interesting about this slowdown revenue-wise is that a lot of the policies put forth by the SQDC (and largely the Quebec Conservative government) is of their own making. The minimum age of consumption is 21, the highest in all of Canada; the vape category is non-existent, despite being the second most popular product category among consumers; and let’s not forget a province-wide ban of home-grown cultivation. The edibles category has been particularly hit hard, with SQDC’s policies only allowing for a limited number of edible types to be sold into the recreational market. As per the SQDC’s guidelines, these include such products as cinnamon bites, infused dried beets, beef jerked and even infused cauliflower (?!?). “We have restrictions on shapes, flavours, colours. You name it. It cannot be sweet. [Edibles] cannot be confectionery. It cannot be chocolate. If it’s gonna be dessert, it can’t be attractive to any person who’s at 21 and under now,” says Leclerc. While similar restrictions exist on edibles across Canada (from packaging to maximum THC-levels for infused derivatives to age restrictions) Quebec is easily the most prohibitive in the nation. If we take a step back from these macrofactors, however, the retail landscape paints a non-too-flattering picture when it comes to Quebec’s flatlining revenue sales. Currently there are 98 publicly-regulated brick-and-mortar stores under the SQDC selling cannabis for the entire province. Now compare that with the city of Toronto proper which currently has more than 400 stores open within its borders, or even comparable metropolitan areas such as Edmonth (194), Calgary (202), and Winnipeg (109). Leclerc also points out that when compared with Quebec alcoholic beverages, which is run by the Société des alcools du Québec (SAQ) and the Régie des alcools, des courses et des jeux (RACJ), another publicly-regulated and restrictive market, pointof-sales reach upwards of 15,000 across the province. This slump in sales is also in no small part due to the ongoing labour disputes between 24 SQDC stores, which is a few months shy of hitting


its two-year anniversary this December and still experiences rolling closures to this day, and with no immediate plans for the SQDC to expand its footprint across the province anytime soon, recreational sales for the immediate future appear dire. Maxime Guérin, a lawyer with Quebec-based firm Groupe SGF and stakeholder in Quebec cannabis, says that a monopoly like the SQDC has far-reaching implications when it comes to product choice and sell-through, “If your product doesn’t sell that many products per month or per week or whatever you won’t get a place of the shelves. It’s very discretionary and the SQDC is run by two or three people in the end who make all the decisions.” Because the SQDC only allows for a set number of SKUs on its shelves at any given time, the introduction of a new product often comes at the expense of another product being removed across a majority of its stores to maintain a level of consistency. However, due to the SDQC monopolistic stranglehold on the province, these decisions are often arbitrary and (inconsistent) at the hands of top-level executives rather than at the store-level by the license holder or manager of any given store. “Every store has to have the same SKUs [from LPs] except for a few nurseries, but the goal is to have a uniform and identical offer of products across all their stores. So that changes the game too. It’s very different.” Guérin is currently spearheading a class-action lawsuit against the Canadian Big Banks for discriminatory practices against cannabis companies. SUPPLY VERSUS DEMAND One area where Quebec cannabis hasn’t been suffering is when it comes to supply, which has only been increasing by the number of licenses issued for the province at the federal level and the amount of that supply being sold in the market. “When I took that job [at the AQIC] there were only six Quebec suppliers. Now we’re at 26. A lot of Quebec LPs are now SQDC suppliers, but

that being said the [Quebec] government should be at the table,” says Leclerc. The AQIC, which bolsters more than 100 members including LPs, micro-cultivators, ancillary companies and industry stakeholders, represents the Quebec cannabis industry as well as advocates for change to the current Quebec cannabis system with government officials and representatives. In late 2022 the association released a memorandum of 30 recommendations in preparation for the legislative Cannabis Review last fall, a list that runs the gamut of everything from regulatory changes to the medical use of cannabis in Quebec to an overhaul of the entire system currently based on “precaution” to one based on “risk assessment”. “The first thing we need is more transparency. We’re getting there, but I think because we have a public distribution system we need more transparency and price flexibility in Quebec, better accountability in justification and communication when it comes to current product selection, planogram optimization, branch inventory

transfer, and the return on products,” continues Leclerc. “This can be really hard for some of our members as I was saying about the government [as well as for them to] consider cannabis companies as legitimate.” One trend that has certainly become more apparent in 2023 is the need for Quebec LPs to export out-of-province either internationally or to the rest of Canada (ROC). For many companies exporting is the only means of increasing their revenue and market share. Most surprisingly however was just how much recreational cannabis sold from SDQC stores comes from out of province. “Around 55-60% of the suppliers are Quebec-based LPs or micros, but when you look at the sales about 75% come from outside Quebec,” says Leclerc, “So there’s a lot of producers from outside Quebec that sell into our market and that might be one of the reasons, which explains why so many Quebec LPs are trying to get into other provinces. They realize that in Quebec there’s big competition for shelf space and they’re trying to do the same in other provinces.” That said, with distribution within Quebec limited to a handful of stores, provincial retail sales are bottlenecked by the SQDC, which has a monopolistic stranglehold on the retail sales. So what’s to look forward to in 2024 for Quebec cannabis? In late October, the Board of Directors for the SQDC announced the appointment of Suzanne Bergeron as the SQDC’s President and Chief Executive Officer (CEO). However it’s unclear whether Bergeron’s appointment will result in meaningful change or if she’ll remain a figurehead for the status quo (this will depend on the mandate given to her by the Quebec Minister of Finance, Mr. Éric Girartd). Only time will tell, however if the shared camaraderie and support by the AQIC and its cultivation members are any indication, there’s much change to be had as the cannabis industry forges ahead. THREE REASONS FOR DIRECTORS, OFFICERS & SUPERVISORS TO TAKE OCCUPATIONAL HEALTH & SAFETY SERIOUSLY By David Eaton, KC, Q. Arb, Dominique Fontaine and Brad Proctor

M

ost people know that a company has occupational health and safety obligations, and risks corporate liability if it violates those obligations. But not everyone knows the company’s directors, officers and supervisors share many of those Occupational Health & Safety (OHS) obligations as well as liability risks. Here are three reasons for everyone, particularly directors, officers and supervisors, to take occupational health and safety seriously.

circumstances (such as working in a confined space). OHS officers typically conduct the investigations and decide whether an OHS law was violated and whether and who to charge for any violation. A charge under OHS laws is “quasi-criminal”: it’s not a criminal offence but it’s subject to a penalty similar to a criminal offence, though what the prosecution must prove is less complicated. “Due diligence” is a legal defence to charges under occupational health and safety laws. But it’s only available if you can prove it.

1. You personally can be charged when there’s a workplace accident – and prosecutions are on the rise.

Criminal Charges. Breach of OHS laws can also result in personal criminal liability. Under the Criminal Code of Canada, breach of a “legal duty” that results in death or bodily injury is criminal negligence. Canada reached a turning point in 1992 when 26 miners died after an explosion in the Westray mine in Nova Scotia. Employees, union officials and government inspectors had raised serious safety concerns about the conditions at the mine but the company instituted few changes. Police and provincial government tried (and failed) to convict the company or any of three individual managers personally of criminal negligence. A Royal Commission of Inquiry investigation ultimately led to Bill C-45 and the addition of section 217.1 to the Criminal Code. Section 217.1 expressly imposes a personal legal duty on any and every individual who directs the work of others, making it clear that those who fail to meet that duty can be personally guilty for criminal negligence under the Code. However, more courts are deciding that compliance with the obligations imposed by OHS laws – and even other legislation – is a “legal duty” sufficient to ground criminal negligence charges. While a conviction under OHS laws doesn’t give

Personal culpability under occupational health and safety laws isn’t new. But the 2004 addition of personal criminal liability has given OHS violations a more criminal appearance. It’s also increased the pressure to hold employers and their representatives accountable for workplace accidents. The result: more charges and more prosecutions against organizations – and against more directors, officers and supervisors personally. Occupational Health & Safety Charges. Virtually every employer, whether it’s a corporation, a partnership or a sole proprietor and, whether it falls under provincial or federal regulation, is subject to OHS laws. OHS laws impose the obligation on multiple parties, including individual directors, officers, managers, supervisors and workers, to take every reasonable precaution in the circumstances to ensure the safety of its workers (and anyone else in the workplace), as well as more specific obligations depending on the particular


you a criminal record, a conviction under the Criminal Code does. 2. You personally can be fined – and the fines are getting higher. Fines can be imposed on individuals under both OHS laws and the Criminal Code. OHS laws in most Canadian provinces and territories authorize the imposition of a fine on both organizations and individuals that violate them. The amount of the fine varies depending on the province or territory, the nature of the violation and who (or what) gets charged. The Criminal Code also authorizes a court to impose a fine on both organizations and individuals that violate section 217.1 – and there’s no set limit on the amount. But the trend: fines are being imposed under OHS laws and under the Criminal Code and they’re getting higher. For example, in 2009 a company owner and sole director was charged personally under the Criminal Code and pleaded guilty for failing to take reasonable care. He agreed to a personal fine of $90,000 ($22,500 for each of four charges). Notably, his company pleaded guilty to the same charges of criminal negligence; the court imposed a $750,000 fine. 3. You personally can go to jail – and the sentences are getting harsher. You can’t put a company in jail but you can put the company’s people in jail. Both OHS laws and the Criminal Code authorize jail time for individuals including directors, officers and supervisors. OHS laws in most provinces and territories authorize a court

to sentence individuals who violate them to jailtime, though there’s usually an upper limit that varies depending on the nature of the violation. The Criminal Code also authorizes a court to sentence individuals who violate section 217.1 to jail time; the sentence can be up to life imprisonment for criminal negligence causing death. The trend under both OHS and Criminal Code: there’s more jail time being imposed and the sentences are getting longer. For example, in a 2013 case, the court found a supervisor guilty for OHS offences following a workplace fatality and sentenced him to 15 days in jail. In setting the sentence, the court stated the death was preventable and since the industry hadn’t prevented them so far it’s “appropriate for the Court to send a message that offenders will be dealt

In a 2016 case that appears to be the first conviction of a front-line supervisor, the court relied on section 217.1 of the Criminal Code and imposed a total sentence of three-and-a-half years imprisonment for four counts of criminal negligence causing death and one of criminal negligence causing bodily harm. In a 2018 case, the court sentenced a worker’s employer and owner to 18 months’ imprisonment for manslaughter after a workplace fatality. In a 2023 case, the court sentenced a construction site supervisor to three years’ imprisonment for one count of criminal negligence causing death – and issued a stern warning: “[A]ll supervisors, forepersons or employers in the perhaps hundreds or thousands of construction or industrial sites in this province, large or small, carry the same duties to protect those the law places under their charge. The failure to know those rules, and apply them will, when accidents result in death because of such failure, surely lead to the likelihood that prison time awaits.”
