Whileyouwereaway,therewasalotofbackandforthabouttheFederalrequirementtoregisternew andexistingbusinesseswithundertheBOIRulewhichrequirescertainentitiesformedorregisteredwho willdobusinessintheU.S.(ReportingCompanies)toreportinformationaboutthemselvesandtheir natural-personbeneficialownerstotheFinancialCrimesEnforcementNetwork(FinCEN),abureauofthe U.S.DepartmentoftheTreasurythatadministersanti-moneylaunderinglaws.
OnDecember3,2024,theUS DistrictCourtfortheEasternDistrictofTexasissuedanopinionand orderenjoiningthefederalgovernmentfromenforcingtheCTAandaruleimplementingit Then,on December13,2024,DOJfiledan“EmergencyMotionforStayPendingAppeal”intheFifthCircuit askingthatcourttostaytheDistrictCourt’sinjunctionpendingappeal,or,inthealternative,tonarrow theDistrictCourt’sinjunctiontomembersoftheNationalFederationofIndependentBusiness.
OnDecember23,2024,aFifthCircuitpanelgrantedDOJ’semergencymotion,issuingastayofthe nationwideinjunctionpendingtheFifthCircuit’sreviewoftheDOJ’sappealoftheinjunctionwhich essentiallyreinstatedtheBOIreportingrequirement.
AftertheFifthCircuit’sstay,FinCENannouncedthatitwouldextendthereportingdeadlinesunderthe BOIRule FinCEN(1)extendedthereportingdeadlineforreportingcompaniesinexistencebefore2024 fromJanuary1,2025,toJanuary13,2025;(2)extendedthedeadlineforreportingcompaniescreated orregisteredonorafterSeptember4,2024,thathadafilingdeadlinebetweenDecember3,2024, andDecember23,2024,toJanuary13,2025;and(3)andgavereportingcompaniescreatedor registeredonorafterDecember3,2024,andonorbeforeDecember23,2024,anadditional21days fromtheiroriginalfilingdeadlinetoreport.
OnDecember26,2024,aseparatepaneloftheFifthCircuitreversedcourse,vacatingthecourt’sstay ofthenationwideinjunctionissueddaysbeforeandreinstatingthenationwideinjunctionuntilthe FifthCircuithearsargumentsonthemeritsoftheDOJ’sappeal.FinCENhassinceupdatedthenotice onitswebsitetosaythat“reportingcompaniesarenotcurrentlyrequiredtofilebeneficial ownershipinformationwithFinCENandarenotsubjecttoliabilityiftheyfailtodosowhilethe orderremainsinforce.”FinCENwillcontinuetoacceptBOIreportsonavoluntarybasis. OralargumentscheduleunderwhichbriefingistobecompletedbyFebruary28,2025,andoral argumentstooccuronMarch25,2025andthereisnowanappealbeforetheSupremeCourt.
WhilethisBOIbattlecontinues,weencourageanyonewhohasstartedanewbusinessin2024/2025and startsanewbusinesstorefertotheBOIpageforupdatesonthoserequirementsinordertoavoidany potentialfees. Werecommendcheckingbackeachmonthonthefirstofthemonthsoyoudon’tmiss anydeadlines!

TheCityofCanbyhasopenedtheBusinessEnhancementGrantProgramforfiscalyear2024-2025
Theprogramwascreatedtoassistlocal,Canbybusinesses.Thegrantcanbespentonprojects, programs,events,orequipmentthatfurtherimprovesorenrichthebusiness.TheCityofCanbyhasa BusinessEnhancementGrantforlocalbusinesseswithinCitylimits.
LocalbusinessesseekingfundingfromtheBusinessEnhancementGrantprogrammustbelocated withinCanbycitylimitsandthefundingmustbeputtowardaprojectalsolocatedwithincitylimits thatsupportsandengagestheCanbycommunity.Grantapplicationsshouldfocusoncapacity building,programcreation,investmentsinequipment,innovativeorexpansionprogramming.
Funding:
TheCityofCanbyhasbudgeted$50,000fortheBusinessEnhancementGrantinthe20242025fiscalyear.Eligibleapplicantswillbeabletoapplyforupto$2,500forprojects, programs,oreventsthatmeettheeligibilityandevaluationcriteria.
