January 10, 2022 Dear Mr. Owen, We are writing to confirm that “Lincoln/Webb, LLC”, a Kentucky Limited Liability Company, is desirous of being named and designated by the Lexington Center Corporation (LCC) as the qualified and preferred developer of choice for its newly proposed High Street Development Project in the heart of downtown Lexington.

Towards that end, enclosed for your perusal are three (3) hard copies and one (1) electronic copy of our response to your most recent Request for Proposals (the RFP), these providing both our qualifications, capabilities, vision, and business plan for the success of the development and operation of our improvements to the 17.5 acre site.

In that regard, we have included the information that you asked for about our vision and plans for the overall property and its respective components, as well as about our Company, its officers, its members, and our development team.

We have also included their and our ideas and recommendations as to how we can best adhere the ongoing parking requirements that will satisfy the needs for Rupp Arena & Central Bank Center after the completion of the development. Also included in our plan is to how we can provide other additional revenues to LCC for the use of its land during a long-term ground lease arrangement. Likewise included are schematic plans and renderings that depict our proposed uses as well as our proposed tenant composition and quality levels that we envision for each.

FINANCIAL FEASIBILITY L AND LE ASE TERMS & USE PAYMENTS As a potential lessee, we are prepared to offer a more than reasonable rent and amicable conditions to LCC for the site that would meet the need for parking facilities for LCC and its functions as well as the needs of our proposed uses. We have intentionally designed the development to bring balanced and long-term sustainable life to the site following the priorities of the city as a responsible leaseholder and surrogate of the LCC interest. We anticipate that the success of this development will generate handsome financial returns for LCC. Building on the Imagine Lexington Comprehensive Plan that Lexington has rallied around promoting the one vision of ‘up not out’ as the foundation of focus, this development is poised for incredible success thanks to the willingness of LCC to make this land available.

Lincoln/Webb proposes a 99-year land lease term with an annual lease payment of $800,000 with an annual lease payment increase of 2.5% beginning in year 2 of the lease term. Lincoln/Webb proposes that the first payment come upon completion of the project. See below for the ground lease schedule.

Lincoln/Webb in addition also proposes to pay LCC an amount equal to 10% of Gross Parking Revenue realized monthly for the duration of the 99-year land lease.

PRIVATE USE FINANCE PL AN As a strong partnership using private dollars to grow the Lexington economy, we plan to make use of our sources of national and local capital for the enhancement of Downtown Lexington. This development will bring Lexington one step closer to becoming a truly 18-hour city. It will provide Lexington with a competitive edge that will attract future businesses as well as residents. In addition, we believe that our plan will further promote tourism in downtown Lexington. The strong track record of Lincoln/Webb and its’ financiers will help to increase the success of the project and provide strong returns to the city, LCC, and the State.

INTENTION TO FUND THE DEVELOPMENT Our proposed financing structure would be to capitalize the project with joint venture equity and traditional non-recourse construction financing.

It is our intent to source a trusted equity capital partner with whom LPC/Webb has a longstanding relationship, who can best match LCCs needs in terms of cash proceeds, structure, and approach to business.

Development and construction have been LPC’s and TWC’s core business for over 55 years. We have taken great care to develop the trusted relationships, credibility and capabilities needed to finance development projects of this size, as evidenced by our company statistics and the caliber of our partners.

LPC has a proven track record of success, and strong relationships with institutional capital partners, having secured 14.8MSF across the US and Europe.

Lincoln and TWC intend to jointly pursue both individual and institutional equity for the project.

For debt financing, it is our standard practice to run a wide process to procure the most competitive construction loan available in the current capital markets environment. Our capital partners’ financing preferences may vary (e.g., some with the most efficient cost of capital elect to finance projects allcash or with debt at the fund/entity level).

We generally prefer to procure modest traditional non-recourse construction financing held on balance sheet from a bank, debt fund, or life insurance company FINANCIAL GUARANTEES Together with our financial partner / lender, we will provide completion guarantees should the need arise.

PUBLIC FINANCING IMPACT The Tax Increment Financing (TIF) will be fully utilized to build, expand, and improve the public infrastructure within this project and generate new revenues for Lexington and our Commonwealth.

We also hope to eventually engage Commonwealth Economics to assist us with their TIF related services.

The proposed development also complements and connects major public initiatives for motorists, pedestrians, and cyclists in the area. In doing so, we will seamlessly weave the development into the fabric of downtown as well as the surrounding neighborhoods. The development will encourage additional peripheral investment into downtown as Lexington expands its entertainment district.

The development will serve as a traffic calming element that addresses the neighborhood’s greatest concern as reported to the City regarding the safety of High Street and Maxwell.

Addtionally, our goal is to cultivate in our proposal a $350M development that will create over $3,000,000 in tax revenues annually, totaling over $55M in just the first 15 years.

In that regard, please see below for our tax increment schedule that illustrates how the recoup of the TIF dollars occurs after 12 years, and how accretive the tax revenues the development generates are thereafter. Also, in general, TIF structures are repaid in 20-30 years, thus the proposed development performs very well as an investment for Lexington and the State.

Woodford Webb, son of co-founder Donald Webb, began working for The Webb Companies while in college. He joined the team full-time in 1992 as Vice President of Leasing and Property Management before attending law school and working for several years as an attorney.

Co-founder Donald W. Webb passed away in 2013, but his legacy lives on. The Webb Companies remains a family-run business. Co-founder R. Dudley Webb

CHAIRMAN AND CO-FOUNDER Dudley Webb, Chairman of the Board and Co-Founder of The Webb Companies, was born in the coal mining community of Hot Spot in Letcher County, Kentucky located in the heart of Appalachia.

In 1969, Dudley and his brother Donald, both attorneys, established what is now the law firm of Webb, Hoskins, Brown & Thompson, where he retains senior partner status. In 1972, the Webb brothers teamed up to form The Webb Companies, a real estate development firm that managed everything from construction to marketing, leasing, brokerage, property management and ancillary real estate functions. Under their leadership, The Webb Companies grew into one of the largest real estate development organizations in the country, with projects across the U.S. from New York to San Francisco and Boston to Miami.

Throughout his career, Dudley has served on a variety of national industry boards and committees including the Urban Land Institute, International Council of Shopping Centers, and the National Association of Industrial and Office Parks.

Locally, he has been director of PNC Bank, Triangle Foundation, Bluegrass Community Foundation, Commerce Lexington, Downtown Lexington Corporation and many other philanthropic and civic organizations.

Dudley has served on the board of trustees for Georgetown College, The Lexington School, and Sayre School, and is a former member of the University of Kentucky Development Council. He and his brother Donald have also served as cochairman of the American Cancer Society drives and co-hosts of the annual Cardinal Hill Hospital Telethon, a fundraising drive for the regional rehabilitation center.

Dudley holds a bachelor’s degree in business administration from Georgetown College and a juris doctorate from the University of Kentucky. He is a member of the Kentucky, Ohio, Fayette County and American Bar Associations.

Woodford Webb PRESIDENT

Woodford Webb is President of The Webb Companies, where he oversees the legal and financial management of the company’s large portfolio of residential and commercial investment properties. A licensed attorney, he is also associated in an Of Counsel capacity with the law firm of Webb, Hoskins, Brown & Thompson in Lexington.

Son of co-founder Donald W. Webb, Woodford began working for The Webb Companies while in college. He learned the business from the ground up, starting in the maintenance department and progressing to property management, leasing and marketing. He joined the team full-time in 1992 as Vice President of Leasing and Property Management before attending law school and working for several years as an attorney. He returned to The Webb Companies in 1999 as President.

Mr. Webb has been awarded several professional honors during his career. In 2008, he received the “Top 20 under 40 Rising Star” award by the Lexington Young Professional Association. In 2011, he was named Commerce Lexington’s 2010 Public Policy Advocate of the Year. In March 2013, he was ranked the 6th Most-Influential Leader in Lexington by the Lexington Herald-Leader and in April 2014, he was honored as an “Amazing 8” by Camp Horsin’ Around for his “amazing service to others.” Most recently, he was awarded the 2018 Downtown Lexington Partnership Outstanding Individual Award for his many years of service to downtown Lexington.

A lifelong Lexington resident, Mr. Webb gives back to his community by serving on many local and regional boards.

He currently serves as Director of the Downtown Lexington Management District(DLMD), the Downtown Lexington Partnership (DLP), Shriners Hospitals for Children Medical Center (Corporate Council Member) and the Triangle Foundation. He previously sat on the boards of the Bluegrass Community Foundation, Business Lexington, Commerce Lexington (Served as youngest Chair at Age 41), the Downtown Lexington Corporation (Past President), Evergreen Rehabilitation, Junior Achievement of the Bluegrass, The Lexington School, First Security Bank of Lexington, Hospice of the Bluegrass (Past Chair), the Kentucky Lottery Foundation, the Lexington History Museum, the Bluegrass Miracle League Advisory Board, and the Lexington Humane Society.

Woodford holds a Bachelor of Science degree in Commerce from Washington & Lee University, an MBA from the University of Kentucky, and a Juris Doctorate from the Northern Kentucky Salmon P. Chase College of Law. He also attained the designation of Certified Property Manager from the Institute of Real Estate Management.

Ron Tritschler

CHIEF EXECUTIVE OFFICER & SENIOR LEGAL COUNSEL Ron Tritschler, who joined The Webb Companies in 1987, is a director, CEO and senior legal counsel. He is responsible for providing general corporate and real estate legal advice, personnel management, and oversight of the company’s leasing and financing activities relating to a broad range of real estate projects.

He is on the board of trustees and a member of the Audit and Pricing Committees for the Unified Series Trust Mutual Funds, a compilation of 17 publicly traded mutual funds that are associated with Ultimus Funds Solutions. Ron is also on the board of directors and serves as vice chairman of the Directors’ Loan Committee, and member of the Audit and Personnel Committees of First State Financial, a bank holding company located in Kentucky. Additionally, he serves on the board of directors of Mountain Valley Insurance, an affiliate of First State Financial.

Throughout his career, Ron has served on numerous professional and charitable organizations. He is a member of the Kentucky and Fayette County Bar Associations, Commerce Lexington, and formerly served as a board member and chairman of Blue Grass Tomorrow. He is the chairman of the Lexington Convention and Visitors’ Bureau and a member of its Finance Committee. He previously served in various positions including director for Three Papas, the Papa John’s franchisee for Russia; as a trustee and secretary of the board of Lexington Catholic High School; and as a member of the parish council of St. Elizabeth Ann Seton Church.

Ross Boggess

VICE PRESIDENT, DEVELOPMENT & SPECIAL PROJECTS Ross L. Boggess, Vice President of Development & Special Projects for The Webb Companies is a proud Lexington native with experience in parking and mobility solution planning, commercial real estate development, construction, and management. Boggess is strong supporter downtown placemaking, smart growth and local economic development understanding the need for young professional retention and attraction.

Ross graduated from the University of Kentucky with a B.S. in Community & Leadership Development from the College of Agriculture and certificate in Geographic Information Systems. All four years of his undergraduate degree he was on the national champion University of Kentucky Cheerleading team as the head Wildcat mascot. He handles heavy and light construction settings for local recognizable construction firms.

Ross began his land use career with University of Kentucky Transportation Services a Project Manager he created databased models to advise University leadership on infrastructure improvement plans and solutions to direct transient demand during peak times. As well as developed and implemented multimodal plans to improve fan, patient, student, staff and guest parking experiences. Additionally managing ADA compliance, signage standards, facility condition reporting, and created and managed Wildcab.

Boggess, a Kentucky Real Estate Commission licensee, joined The Webb Companies team mid-construction of the City Center project. Over his time with The Webb Companies, he has managed over two hundred thirty thousand square feet of the Lexington portfolio, managed special projects including marketing, community relations, site selection, and innovation and modernization.

Ross is a contributor to Middle Tech Media and the DevelopLex podcast. He is a part of multiple Urban Land Institute statewide committees, enduring supporter of Commerce Lexington and serves on its board for the Emerging Leaders of the Bluegrass, steering committee for Leadership Lexington Youth Program by Junior Achievement, and American Planning Association transportation council. Ballston Quarter

CallisonRTKL is redesigning the 1980s-era Ballston Common which is being re-branded as Ballston Quarter, transforming an enclosed mall with office and parking into a mixed-use city center and cutting-edge retail destination that appeals to the influx of smart, young urban dwellers in northern Virginia, just outside of Washington, DC.

CLIENT

Originally master planned and designed by CallisonRTKL in the 1980s for the same owner, Forest City, Ballston Quarter’s new design removes portions of the mall’s roof, creating an indoor / outdoor street anchored by an existing Macy’s at one end and a new 400 unit, 26-story luxury residential tower over new retail at the other where a Macy’s Home store stood. CRTKL served as Design Architect and collaborated with Cooper Carry on the re-design of the mall, who also acted as Architect of Record. CRTKL provided full Design Architect and Architect of Record services on the project’s residential tower.

Feasibility Studies

The layout of the mall will also be reconfigured to maximize exterior storefronts, connecting to Wilson Boulevard and inviting shoppers in. In addition, a new retail mix will offer visitors a variety of shopping options. About two thirds of the existing mall’s roof is being removed to create an open air, two level street.

The enclosed and conditioned portion is being completely renovated, with strengthened connections to parking and the existing Regal Cinema. The two existing office towers are being renovated to reinforce the transformation of the development.

The existing main entrance along Wilson Boulevard will become an open-air plaza with new stairs leading down to a new food hall. The new space will accommodate events and performances, with spectator seating along the grand stair. The design extends the existing brick façade along Wilson Boulevard inside the block to express a central “warehouse” building along the north side of the new street, with an “old meets new” ambiance against the modern design of the new tower and new finishes on the south side. Existing atop the adjacent parking garage is the Kettler Capitals Iceplex, where the Washington Capitals ice hockey team practices along with several local schools and clubs, making the development an important community gathering place. CallisonRTKL’s design also includes enhancements to vertical transportation to better connect the ice rink facility with the shopping center.

Ballston Quarter is one of several CRTKL mixed use projects in the immediately adjacent area of Arlington, all contributing to the city’s renaissance as a smart growth tech hub near the nation’s capital.

CRTKL’s design for Liberty Center in Cincinnati, OH employs pristine landscaping and elegant architecture for a mixed-use town center that plays host to popular retail brands, destination dining, A-list entertainment and recreation, as well as office, hospitality and residential uses.

Liberty Center is made up of four components: The Foundry, The Green, The Acropolis and The Square. The old Foundry buildings are creatively repurposed as a premier gallery for shops, dining and public space. Retail is featured on multiple levels of the enclosed gallery, which opens into an inviting living room featuring a piano, fountains and lounge areas, a nearly 800-seat dining hall reminiscent of a bustling food market, and a children’s play area with interactive sculptures and activities. The Green includes a refined plaza, fine dining, upscale retail and residential and office space. The Acropolis is marked by a grand staircase leading to an upper-level garden, dining, and the non-denominational unity chapel. The Square is anchored by AC Liberty by Marriott and Cobb Theaters, featuring Cinébistro, the first dinein theater in the market. Interactive water features and nighttime illumination allow for round-the-clock activity.

Adjacent to the bustling City Market and the recently completed Cultural Trail, 360 Market Square will not only provide residential units, retail and outdoor dining space; city officials say the project will create hundreds of local jobs and help direct funds back into the city.

The building has an organic allantoid shape and the curved building surfaces result in a larger volume of building enclosed within less surface area, yielding a material savings and reduced energy costs. Providing badly needed green spaces in an urban heat island, it also energizes an emerging downtown core and sets a new sustainability standard in Indianapolis.

With 300 residential apartment units in the tower and a gourmet grocery store at the base, the building serves to define a formal street edge on all four sides of the site with a setback retail base along the Cultural Trail to create outdoor dining space for both residents and shoppers alike. Furthermore, 360 Market Square will encourage more foot traffic and pedestrian interaction eastward from historic Monument Circle, reestablishing Market Street as a main arterial thoroughfare in downtown Indianapolis.

CallisonRTKL was hired to develop a 16.4-acre master plan for the property next to the prosperous Penn Square Mall in Oklahoma City. After negotiations with the neighborhood and acquisition of several single-family homes on the adjacent land, the early development stage hopes to transform the neighborhood into an active mixed use destination, with it’s new name inspired by the 60-year old oak trees on the property.

Anchored by a cinema and hotel, Penn Central’s pedestrian precinct includes shopping, dining, luxury apartments and class A offices. The design is centered around two programmable event spaces including a great lawn and casual restaurant pavilions which offer year-round, morning to night entertainment and recreation. This property in its prime location is expected to thrive in the existing hot spot for commercial development and burgeoning shopping and entertainment region, a benefit for the surrounding area.

HOSPITALIT Y Our amenity-rich plan will bring life to this neighborhood seven days a week and serve as its memorable entry.

Our package will include what we believe to be the best hotel flag to anchor our project and not disturb the performance of the other downtown hotels, but expand the available room blocks for limited-service within walking distance to the convention center while providing hotel accommodations that will be a unique destination with character representative of Lexington hospitality.

ENTERTAINMENT Desiring to bring more people together, our vision for downtown is also focused on the arts and culture.

Downtowns should be the cultural and economic centers of their communities act as the heartbeat of the city radiating outward.

We have an incredible asset in our centralized arts and entertainment district, and the addition of our new venue will fill the last void whereby Central Kentucky can welcome theatrical and musical events that can’t be otherwise hosted in Lexington.

During the RFP process, we have been able to confirm that several national full-service venue operators have an interest in this site and that a venue with a 5,000-seat capacity is ideal. We believe our plan fills a local and regional entertainment gap providing venue space that will not compete with other LCC properties or stages, but rather complement them.

PRESTIGIOUS GROCER Proposed for the corner of Broadway & Maxwell, our grocery anchor will provide fresh food and grocery options to the project, downtown, and the nearby university communities.

Our plan fulfills the goal of eliminating food deserts by introducing a new-to-market modernized full-service grocer. The grocery will have its’ own parking and its’ adjacency to the planned apartments as well as the University of Kentucky will only serve to bolster this already viable location.

Again, during the RFP process, we have confirmed that national brand grocers with successful experience in urban mixed-use developments have a desire to be in this location.

RESIDENTIAL The Fayette County Housing Demand Study prepared for LFUCG, Downtown Lexington Partnership, the BIA, the LBAR, the Fayette Alliance & the Fayette County PVA are all in agreement that Lexington will need over 6,000 new apartment units in Downtown Lexington by 2025.

We hear loud and clear from supporting census data, market reports, and desiring residents that there is massive demand for residential choices in our downtown. Additionally, Lexington needs more residences to retain as many people as possible within Lexington-Fayette County to continue to grow our tax base. Given Lexington’s recent growth and potential, the downtown neighborhood is poised for quality housing developments. Being one of the largest contiguous parcels available for redevelopment we feel the responsibility to create approachable and memorable places for our Downtown worthy of seeking out and returning to. This will position Lexington for the future and help retain residents downtown through daily activities. This development will complement and honor the hard work and energy put into Central Bank Center’s reinvention by creating a vibrant and magnetic atmosphere with an expansion of the entertainment district. The phased timeline will limit the exposure of noise and disturbance to neighborhood stakeholders and is focused on an active core that runs through the center of the development, connecting High Street with Maxwell Street.

The district will welcome shoppers, guests, event attendees, diners, and tenants being an attractive gateway and greatly improve the first impressions of Rupp Arena and the Central Bank Center. The development will be community-focused and pedestrian-friendly and providing a mixed-use environment that includes public open space, entertainment, dining, and shopping, with integrated hospitality, residential and boutique office uses.

Located at the gateway into the district from High Street is a communitycentric public space that will serve as the hub for programmed events as well as a casual destination for friends and family to gather. Flanked by shopping, dining, entertainment, residences, and a hotel, this space will provide opportunities for all types of activities. There will always be something to see and do here.

The proposed masterplan development at Lexington High Street will promote tourism in an aesthetically pleasing environment. It also provides shared parking for our new development as well as parking for Rupp Arena, Central Bank Center, and Hyatt Hotel.

The framework of the master plan is designed to allow access and egress to the shared parking structures in multiple locations, minimizing the impact of peak traffic flow onto the main road network around the site.

Servicing and loading for all program elements are located discreetly within parking areas. Public vehicular circulation is designed to be convenient and intuitive throughout the development.

Pedestrian movement is prioritized and focused along the main retail spine. Landscape features provide more intimate spaces for impromptu small group gatherings. They feature a meandering route for pedestrians with cozy seating areas and shade canopies to enhance the public realm and ensure an active and engaging experience for all.

High Street is positioned to become a central link within our mixed-use program.

To Downtown Lexington, High Street is an extension of the vibrancy of the Central Business District.

The revamped Rupp warrants a strong connection however, it will be up to the edge of the High Street development to activate the street.

This becomes a front door to locals and visitors.

The University of Kentucky will use the High Street site as a way to filter into the Rupp and the core of Downtown. Activation is stressed as a result.

Additional places around the site will see and benefit from the activation within and around the High Street Development.

The organization around a central street with some height emphasizes presence to the rest of the city.

The historic context informs us on how we treat architecture and scale mutually.

High Street will fit well into the new additions to Lexington, primarily with activation and public engagement. The character will bridge the gap between historic and new.

What future developments tell us is the need for human-scaled approaches. Where the Rupp is “heroic”, High Street can focus on community and activation.

The density in Downtown Lexington informs a defined Eastern corner, be it through height or activation.

The revamped Rupp warrants connection however, the edge will command further activation.

The dense southern corner of the site creates an edge response to the university.

The southwestern edge of the site is primed for urban infill, as evidenced by recent stick frame construction. Increased residential urbanism informs the potential for programmatic adjacency.

The homes on Merino tell the story of the western edge. Development needs to respond in a manner that limits intrusion visually and imapactfully in the urban realm.

Our response to edges and density shifts height away from the surrounding, historic context.

This approach to density will respond well to view corridors mutually from within as well as toward High Street.

Our approach further compliments the life of and connection to the Rupp renovation project.

The view toward Downtown is a highlight with uninterrupted captured connections.

In the other direction, this corner will be a key face to the site about the mid-level context.

Views and connection will ultimately be defined at the pedestrian and mid-level.

View corridor is open to and from the University.

A cue could be made toward the location of the Rupp, a link will be beneficial to the University.

While activated more than before, a majority of the Rupp renovation faces north or within the joints between itself and adjacent program.

Our site will need to create more activation on the Rupp’s southern edge to complete a holistic experience.
