Stoet Geskiedenis Bergplaas Merino Stoet is deur Oupa Frikkie in 1936 gestig. Net die beste ramme is gebruik. Ram is bv. aangekoop vir R8000 wat meer was as ‘n voertuig. Die stoet is toe later op my pa, Dawie se naam geregistreer. Weereens is van die beste ramme gebruik. In 2000 is stoet op my naam, S.J. Nel, geregistreer en bly aan as Bergplaas Merino Stoet. In 2006 het ek ‘n ooi vag ingeskryf vir S.A. Vag Kompetisie en het S.A. Res. Kampioen behaal. In 2009 het ek S.A. Veldskou Kampioen Ram gehad. Verskeie prestasies is op ander skoue ook behaal. VERKOOPSVOORWAARDES BEDINGE EN VOORWAARDES VAN TOEPASSING OP ALLE AANKOPE GEMAAK TYDENS DIE VEILING SOWEL AS OP ALLE VERKOPE UIT DIE HAND VOOR EN NA DIE VEILING, MUTATIS MUTANDIS 1. Die veiling word gehou onder beheer van BKBLOUWID BE PERK (hierna “BKBLOUWID” genoem) as afslaers. 2.1 ‘n Bod gemaak, sluit nie Belasting op Toegevoegde Waarde in nie. BTW sal, waar van toepassing, by die prys gebie gevoeg word op alle fakture wat uitgereik word. 2.2 Elke bod is onherroeplik en BKBLOUWID sal die uitsluitlike bevoegdheid en diskresie hê om: enige bod te verwerp; die hoogste bod aan te wys; die volgorde van verkoop te verander; die veiling te staak tydens die verloop daarvan; in geval van ‘n geskil die koop nietig te verklaar en die lewende hawe of goedere te onttrek van die veiling. 2.3 Geen fout deur BKBLOUWID gemaak bind BKBLOUWID, die VERKOPER of die KOPER nie. Sodanige fout sal onmiddellik nadat dit ontdek is, reggestel word. 2.4 Geen party hoegenaamd sal enige verhaalsreg teen BKBLOUWID hê met betrekking tot die uitoefening van BKBLOUWID se bevoegdhede/diskresie, soos bedoel in Klousule 2.2 hierbo nie, of die regstelling van ‘n fout, soos bedoel in Klousule 2.3 hierbo nie. 2.5 Alle lewende hawe en goedere word voetstoots verkoop. Sonder om afbreuk te doen aan die algemeenheid van die voorgaande, sal BKBLOUWID nie aanspreeklik gehou word vir of in verband met:— 2.5.1 enige bewerings wat verskyn in katalogusse en/of advertensies nie; en/of 2.5.2 enige inligting wat verstrek is met betrekking tot die gehalte, teling, geslagsboom, ouderdom, datum van dekking, gesondheidstoestand, vrugbaarheid, produksievermoë, massa of enige ander aspek van die lewende hawe nie; en/of 2.5.3 enige waarborg of wanvoorstelling wat hetsy nalatiglik of andersins gemaak is met betrekking tot die lewende hawe of goedere nie; en/of 2.5.4 enige gebreke in die lewende hawe of goedere, hetsy verborge, al dan nie. 2.6 Die KOPER erken dat geen werknemer van BKBLOUWID geregtig is om enige waarborg of voorstelling hoegenaamd namens BKBLOUWID te maak met betrekking tot of ten opsigte van die lewende hawe of goedere wat te koop aangebied word nie. Die KOPER erken verder dat enige inligting verskaf met betrekking tot die lewende hawe of goedere wat te koop aangebied word, verskaf is deur of namens die VERKOPER. Enige verhaalsreg wat die KOPER mag hê moet uitsluitlik teen die VERKOPER uitgeoefen word. 2.7 Elke lot sal onmiddellik nadat die bod toegeslaan is geag word as gelewer aan die KOPER en sal daarna op die uitsluitlike risiko van die KOPER wees, wat op eie koste die lot van die veilingsterrein sal verwyder. 3. Elke VERKOPER waarborg dat sy lewende hawe vry van enige bedeerde veesiekte is en BKBLOUWID sal onder geen omstandighede hoegenaamd deur enigiemand hoegenaamd aanspreeklik gehou word vir enige verlies of skade van enige aard hoegenaamd, hetsy direkte of indirekte skade of gevolgskade of andersins gely deur enigiemand, indien die lewende hawe op die veilingsterrein onder kwarantyn geplaas word as gevolg van die aanwesigheid van ‘n beheerde veesiekte onder enige lewende hawe op die veilingsterrein nie. BKBLOUWID sal die reg hê om die veiling te staak en elke koop nietig te verklaar en geen party hoegenaamd sal enige verhaalreg teen BKBLOUWID hê met betrekking tot die uitoefening van hierdie bevoegdheid van BKBLOUWID nie. 4. Inskrywings gemaak op die vendurol sal dien as prima facie bewys van die besonderhede van elke transaksie wat daarop vermeld is. 5. Enige persoon wat bie, bie in sy persoonlike hoedanigheid tensy BKBLOUWID voor die veiling ‘n

volmag gegee ten gunste van so ‘n persoon deur sy prinsipaal, aanvaar. Indien daar op enige stadium ‘n dispuut sou ontstaan ten opsigte van die bestaan of geldigheid van sodanige volmag, word die persoon wat gebie het onmiddellik persoonlik aanspreeklik vir enige bedrag voortspruitend uit enige bod waar die hoedanigheid waarin hy gebie het in geskil is, sonder om afbreuk te doen aan enige regte wat BKBLOUWID teen sy beweerde prinsipaal mag hê. Sou dit blyk dat die prinsipaal ook aanspreeklik gehou kan word vir prestasie, sal die gemelde partye se aanspreeklikheid gesamentlik en afsonderlik wees. Die VERKOPER sal aanspreeklik wees om kommissie aan BKBLOUWID te betaal ten opsigte van alle verkope wat geskied hetsy voor, tydens of na die veiling. Waar die koers van die kommissie nie vooraf uitdruklik deur BKBLOUWID en die VERKOPER ooreengekom is nie, sal BKBLOUWID se gewone koers soos van tyd tot tyd deur BKBLOUWID vasgestel, geld. Die VERKOPER magtig BKBLOUWID om die gemelde kommissie af te trek voordat enige bedrag aan die VERKOPER ten opsigte van enige verkope oorbetaal word. Alle verkope geskied kontant en die koopprys is onmiddellik betaalbaar aan BKBLOUWID na aanvaarding van ‘n bod, tensy vooraf anders met BKBLOUWID ooreengekom is. Enige opdragte, wat skriftelik moet wees, aan BKBLOUWID met betrekking tot die laai, en/of vervoer, en/of versekering en/of versorging van die lewende hawe of goedere, word uitgevoer op die algehele risiko van die KOPER of VERKOPER, na gelang van die geval en BKBLOUWID sal nie aanspreeklik gehou word vir enige verlies of skade van enige aard hoegenaamd, hetsy direkte, indirekte, gevolgskade of andersins, wat gely mag word as gevolg van enige optrede of versuim, hetsy nalatig al dan nie, van BKBLOUWID nie. Enige ooreenkoms wat BKBLOUWID met die vervoerondernemer of versekeraar mag aangaan, word deur BKBLOUWID aangegaan as die verteenwoordiger van die KOPER of die VERKOPER, na gelang van die geval. Alle vervoerkoste en versekeringspremies is vooraf betaalbaar aan BKBLOUWID in kontant. Partye wat enige permitte, benodig, is self aanspreeklik vir die verkryging daarvan. Waar die KOPER, om welke rede ookal, nie die koopprys en/of die vervoerkoste (indien enige) en/of die versekeringspremies (indien enige) by aanvraarding van die bod in kontant betaal nie, magtig die KOPER hiermee BKBLOUWID om die koopprys (minus BKBLOUWID se kommissie) namens die KOPER aan die VERKOPER te betaal en die vervoerkoste (waar toepaslik) namens die KOPER aan die vervoerkontrakteur te betaal en die versekeringspremies (waar toepaslik) namens die KOPER aan die versekeraar te betaal, in welke geval die gemelde koopprys, vervoerkoste en versekeringspremies geag word geld geleen en voorgeskiet te wees deur BKBLOUWID aan die KOPER. Nieteenstaande die magtiging verleen deur die KOPER aan BKBLOUWID soos vervat in Klousule 7.3 hierbo, is BKBLOUWID nie verplig om enige bedrae hoegenaamd namens die KOPER te betaal nie. Waar die KOPER nie die koopprys by toeslaan van die bod in kontant betaal nie en waar BKBLOUWID nie bereid is om die koopprys aan die KOPER te leen en voor te skiet soos in Klousule 7.3 hierbo bedoel nie, sal die koop sonder meer as gekanselleer beskou word. In dié geval sal BKBLOUWID die tersaaklike lewende hawe of goedere vanaf die VERKOPER aankoop teen die prys waarop die bod aan die gemelde KOPER toegeslaan was. BKBLOUWID sal dan geregtig wees om die betrokke lewende hawe of goedere vir eie rekening te verkoop of om na goeddunke daarmee te handel. Die gemelde KOPER sal enige skade wat deur BKBLOUWID gly mag word op aanvraag aan BKBLOUWID betaal. BKBLOUWID sal geregtig wees om rente te hef op enige bedrag verskuldig hierkragtens bereken teen ‘n koers per jaar van 5% (Vyf persent) of sodanige ander koers as wat BKBLOUWID in sy uitsluitlike diskresie van tyd tot tyd mag bepaal bo die prima uitleenkoers op oortrokke bankrekening van tyd tot tyd deur ABSA BANK gehef, bereken vanaf en insluitende die datum waarop enige sodanige skuld ontstaan, welke rente agteruit op die balans van tyd tot tyd verskuldig bereken sal word en aldus bereken te word tot tyd en wyl die verskuldigde bedrag ten volle gedelg is. BKBLOUWID sal die reg besit om, indien hierdie koers gehef deur ABSA BANK verhoog of verlaag word, die voormelde rentekoers dienooreenkomstig te verhoog of te verlaag, na gelang van die geval en sonder om enige kennis daarvan aan die Skuldenaar te gee, en is die aanpassings in die rentekoers soos voormeld

bindend op die Skuldenaar ondanks dat die Skuldenaar geen kennis van sodanige aanpassing ontvang het nie. BKBLOUWID is geregtig om van tyd tot tyd en te eniger tyd, volgens sy absolute en uitsluitlike diskresie enige rente deur die Skuldenaar verskuldig te kapitaliseer, in welke geval rente voortaan bereken en betaalbaar sal wees op sodanige gekapitaliseerde bedrag. 8. Eiendomsreg in die lot wat verkoop is sal gevestig bly in die VERKOPER, totdat die koopprys daarvan ten volle deur die KOPER betaal is. 9. Nóg die KOPER, nóg die VERKOPER, sal met betrekking tot enige bedrag hierkragtens verskuldig geregtig wees om skuldvergelyking toe te pas nie. 10. Die lewende hawe of goedere mag slegs van die veilingsterrein verwyder word na betaling, of waar betaling nie geskied het nie, met die voorafverkreë toestemming van BKBLOUWID. 11. Enige regskoste, insluitende invorderingskommissie, wat deur BKBLOUWID aangegaan word as gevolg van enige nie nakoming van die KOPER se verpligtinge hierkragtens, sal deur BKBLOUWID verhaal word van die KOPER, op die skaal soos tussen prokureur-en-eie kliënt. 12. Die KOPER en die VERKOPER stem toe tot die jurisdiksie van die Landdroshof soos beoog in Artikel 45 van Wet Nr 32 van 1944 ten opsigte van enige aksie wat BKBLOUWIDteen die KOPER of VERKOPER mag instel, ondanks dat die aangeleentheid, eisoorsaak, bedrag of waarde die regspraak van daardie Hof mag oorskry, wat kragtens Artikel 28 van die voornoemde Wet jurisdiksie ten aansien van die KOPER of VERKOPER het. Nieteenstaande die voorafgaande, sal BKBLOUWID in sy uitsluitlike en absolute diskresie die reg hê om ‘n regsgeding in enige Hooggeregshof van bevoegde jurisdiksie in te stel. 13. Geen toegewing of vergunning wat deur BKBLOUWID aan die KOPER of VERKOPER toegestaan word, sal geag word om ‘n afstanddoening te wees van enige van BKBLOUWID se regte hierkragtens nie en sodanige toegewing of vergunning sal nie geag word of vertolk word as ‘n novasie hiervan nie. 14. ‘n Sertifikaat onderteken deur enige Bestuurder, Sekretaris of Rekenmeester vir tyd en wyl van BKBLOUWID en wie aanstelling as sulks nie deur BKBLOUWID bewys hoef te word nie, met betrekking tot enige bedrag verskuldig en betaalbaar deur die KOPER of VERKOPER aan BKB, sal prima facie bewys daarstel dat sodanige bedrag opeisbaar is, en sal dit voldoende bewys wees vir doeleindes van voorlopige vonnis en summiere vonnis teen die KOPER of VERKOPER in enige Hof van bevoegde jurisdiksie van die bestaan van die skuld vermeld in sodanige sertifikaat, die bedrae verskuldig, die geldende rentekoerse van tyd tot tyd wat daarin gesertifiseer is en die feit dat sodanige bedrae likwied is en verskuldig en betaalbaar is en nog nie betaal is nie. 15. Indien enige bepaling hiervan onwettig is of retrospektief onwettig gemaak word, sal daardie onwettige bepaling geag word om gewysig te wees in dié mate en op dié wyse wat nodig is om dit wettig te maak of indien sodanige wysiging onmoontlik is, sal die onwettige bepaling beskou word as deelbaar van die res van die bepalings hiervan en pro non scripto. 16. BKBLOUWID kan, sonder voorafgaande kennisgewing, hierdie voorwaardes uitbrei, inkort of wysig deur aankondigings in dié verband te maak voor of tydens die veiling. 17. Waar BKBLOUWID met betrekking tot hierdie transaksie ‘n rekenaar-geproseseerde afrekeningstaat of faktuur na uitreiking hiervan aan die VERKOPER of KOPER lewer, bly die bedinge en voorwaardes hierin verat, steeds geldig en onaangetas deur sodanige afrekeningstaat. 18. Indien enige van die gegewens met betrekking tot hierdie transaksie om enige rede gewysig of verander moet word, kan BKBLOUWID hierdie transaksie wysig deur ‘n kredietnota vir die volle bedrag uit te reik en ‘n debietnota vir die korrekte gegewens en bedrag te lewer en by lewering van sodanige kredietnota en debietnota, sal die bedinge voorwaardes hierin vervat gewys mutatis mutandis deur sodanige kredietnota en debietnota geldig en afdwingbaar bly. 19. Hierdie transaksie word in alle opsigte deur en in ooreenkoms met die wette van die Republiek van Suid-Afrika gereël en uitgelê en alle geskille, aksies en ander sake in verband hiermee moet ooreenkomstig sodanige wette bepaal word. 20. Waar die VERKOPER by die aangaan van hierdie ooreenkoms reeds ‘n bedrag verskuldig is aan BKB, of enige filiaal of firma van BKB, ongeag die skuldoorsaak van sodanige verskuldigheid, magtig die

VERKOPER BKBLOUWID hiermee onherroeplik om die koopprys hiervan (minus BKBLOUWID se kommissie) teen die VERKOPER se rekening te krediteer as synde betaling van die koopprys namens die KOPER.
CONDITIONS OF SALE TERMS AND CONDITIONS APPLICABLE TO ALL PURCHASES MADE DURING THE AUCTION AS WELL AS TO ALL PRIVATE SALES MADE BEFORE AND AFTER THE AUCTION, MUTATIS MUTANDIS 1. The auction is held under the control of BKBLOUWID LIMITED (hereinafter referred to as “BKBLOUWID”) as auctioneers. 2.1 Any price bid does not include Value Added Tax. VAT, where applicable, will be added to the bid price on all invoices which are issued. 2.2 Every bid is irrevocable and BKBLOUWID shall have the sole power and discretion to: reject any bid; indicate the highest bid; change the sequence of sale; suspend the auction during its course; in the event of a dispute arising, declare a sale null and void and to put the livestock up for resale. 2.3 BKBLOUWID, the SELLER and the BUYER shall not be bound by any mistake made by BKBLOUWID. Any such mistake shall be rectified immediately upon the discovery thereof. 2.4 Nobody shall have any right of recourse against BKBLOUWID with regard to the exercise of BKBLOUWID’s powers/discretion as contemplated in Clause 2.2 above, or the correction of a mistake as contemplated in Clause 2.3 above. 2.5 All livestock and goods are sold “voetstoots”, as they stand. Without derogating from the generality of the aforegoing, BKBLOUWID shall not be held liable for or in respect of: 2.5.1 Any allegations contained in catalogues and/or advertisement; and/or 2.5.2 any information supplied with regard to the quality, breeding, pedigree, age, date of service, condition, fecundity, production capacity, weight or any other aspect relating to the livestock; and/or 2.5.3 any guarantee / warranty or misrepresentation, whether the same was made negligently or otherwise, made with regard to the livestock or goods; and/or 2.5.4 any defects, whether latent or patent, in the livestock or goods. 2.6 The BUYER acknowledges that no employee of BKBLOUWID is entitled to furnish any guarantee/warranty or make any representations whatsoever on behalf of BKBLOUWID with regard to the livestock or goods offered for sale. The BUYER acknowledges further that any information given with regard to the livestock or goods offered for sale is given by or on behalf of the SELLER. The BUYER’s right of recourse, if any, shall be exercised solely against the SELLER. 2.7 Each lot shall be deemed to be delivered to the BUYER on the fall of the hammer and shall thereafter be at the risk of the BUYER, who shall, at his own costs, remove the same from the auction grounds. 3. Every seller warrants that his livestock is free from any controlled animal disease disease and BKBLOUWID shall under no circumstances whatsoever be held liable by anybody whomsoever for any loss or damage of any nature whatsoever, whether direct or indirect, consequential or otherwise, should the livestock on the auction grounds be placed under quarantine as a result of the presence of a controlled animal disease under any livestock on the auction grounds. BKBLOUWID shall have the right to suspend the auction and declare every sale null and void, and nobody shall have any right of recourse against BKBLOUWID with regard to the exercise of this right of BKBLOUWID. 4. Entries made on the auction list shall serve as prima facie proof of the particulars of the transactions therein recorded.

5. Any person who bids, does so in his personal capacity, unless BKBLOUWID prior to the auction accepts the power of attorney/authhority given to such person by his principal. Should a dispute arise at any stage with regard to the existence or validity of such power of attorney/authority, the person who made the bid shall, without derogating from any right BKBLOUWID may have against his principal, immediately become personally liable for any amount owing as a result of such bid. Should it transpire that the principal can also be held liable, the liability of the bidder and the principal shall be joint and several. 6. The SELLER shall be liable for BKBLOUWID’s commission relating to all sales before, during or after the auction. Where BKBLOUWID and the SELLER had not expressly agreed to a rate of commission prior to the sale, BKBLOUWID’s normal rate as determined from time to time by BKBLOUWID, shall apply. The SELLER authorises BKBLOUWID to deduct the said commission before any amount in respect of any sale is paid over to the SELLER. 7.1 All sales are strictly cash and the purchase price is payable to BKBLOUWID on the fall of the hammer, unless otherwise agreed with BKBLOUWID prior to the sale. The purchase price, BKBLOUWID’s commission and the transport costs, if any, and insurance premiums, if any, are payable in cash upon the signing hereof, unless otherwise agreed to in writing. 7.2 Any instructions, which must be in writing, given to BKBLOUWID with regard to the loading and/or transport and/or insurance and/or care of the livestock or goods are carried out at the sole risk of the BUYER or the SELLER, as the case may be, and BKBLOUWID shall not be held liable for any loss or damage of any nature whatsoever, whether direct or indirect, consequential or otherwise, sustained as a result of any conduct or omission, whether negligent or otherwise, on the part of BKBLOUWID. Any agreement which may be concluded by BKBLOUWID with the carrier or insurer, is concluded by BKBLOUWID as the agent of the BUYER or the SELLER, as the case may be. All transport costs and insurance premiums are payable to BKBLOUWID in advance in cash. Parties requiring any permits shall be personally responsible for obtaining same. 7.3 Should the BUYER, for whatever reason, fail to pay the purchase price and/or the transport costs (if any) and/or the insurance premiums (if any) on the fall of the hammer in cash, the BUYER hereby authorises BKBLOUWID to pay the purchase price (less BKBLOUWID’s commission) on behalf of the BUYER to the SELLER and to pay the transport costs (if any) on behalf of the BUYER to the carrier and to pay the insurance premiums (if any) on behalf of the BUYER to the insurer, in which event the said purchase price, transport costs and insurance premiums are deemed to be monies lent and advanced by BKBLOUWID to the BUYER. 7.4 Notwithstanding the authorisation granted to BKBLOUWID by the BUYER as set out in Clause 7.3 above, BKBLOUWID is not bound to pay any amount whatsoever on behalf of the BUYER. 7.5 Where the BUYER does not pay the purchase price in cash on the fall of the hammer, and BKBLOUWID is not prepared to lend and advance the purchase price to the BUYER as contemplated in Clause 7.3 above, the sale shall be deemed to be cancelled forthwith. In such event BKBLOUWID shall purchase the livestock or goods concerned from the SELLER at the price at which it was knocked down to the said BUYER. BKBLOUWID shall then be entitled to sell the livestock or goods concerned for its own account or to deal therewith at will. The said BUYER shall pay any loss which may be sustained by BKBLOUWID, on demand. 7.6 BKBLOUWID shall be entitled to charge interest on any amount due in terms hereof calculated at a rate per annum of 5% (five percent), or such other rate which BKBLOUWID in its exclusive discretion may determine from time to time, above the prime lending rate on overdraft charged by ABSA BANK from time to time, calculated from and including the date upon which such debt arose, which interest shall be calculated in arrears on the balance due from time to time, and to be thus calculated until the amount due has been repaid in full. Should the rate charged by ABSA BANK be increased or reduced, BKBLOUWID shall have the right to increase or reduce, as the case may be, its interest rate, without having to give any notice thereof to the debtor and the aforesaid adjustments in the rate of interest shall be binding on the debtor notwithstanding that no notice of such adjustment was received by the debtor. BKBLOUWID is entitled, from time to time, and at any time in its sole and absolute discretion,

to capitalise any interest owed by the debtor, in which case interest shall thenceforth be calculated and become payable on such capitalised amount. 8. The SELLER shall retain ownership of each lot sold until payment of the purchase price has been effected in full by the BUYER. 9. Neither the BUYER nor the SELLER shall be entitled to claim set-off with regard to any amount owing in terms hereof. 10.Unless permission is obtained in advance from BKBLOUWID, the livestock or goods may only be removed from the auction grounds after payment in respect thereof has been effected in full. 11. All legal costs, including collection commission, incurred by BKBLOUWID as a result of any noncompliance by the BUYER with any of the latter’s obligations in terms hereof, shall be recovered by BKBLOUWID from the BUYER on the scale as between an attorney and his own client. 12.The BUYER and the SELLER hereby, as is contemplated in Section 45 of Act No. 32 of 1944, consents to the jurisdiction of the Magistrate’s Court, which has jurisdiction over the BUYER or SELLER in terms of Section 28 of the said Act, in respect of any action which BKBLOUWID may institute against the BUYER or the SELLER, notwithstanding that the matter, cause of action, amount or claim may otherwise exceed the jurisdiction of that Court. Notwithstanding the afore going, BKBLOUWID shall, in its sole and absolute discretion, be entitled to institute action in any Supreme Court of competent jurisdiction. 13.No relaxation or indulgence granted by BKBLOUWID to the BUYER or the SELLER shall be deemed to be a waiver of any of BKBLOUWID’s rights in terms hereof and such relaxation or indulgence shall not be deemed to be or construed as a novation hereof. 14.A certificate signed by any Manager or Secretary, or Accountant for the time being, and whose appointment as such BKBLOUWID shall not be required to prove, wherein is set out the amount of the indebtedness of the BUYER or the SELLER to BKBLOUWID shall constitute prima facie proof that such amount is due and payable, and shall be sufficient proof for purposes of provisional sentence and summary judgment against the BUYER or the SELLER in any court of competent jurisdiction of the existence of the indebtedness set out in such certificate, the amount due, the ruling rate of interest from time to time which is certified therein, and the fact that such amount is liquid and due and payable, and has not yet been paid. 15. If any provision hereof is unlawful or is retrospectively rendered unlawful, then that unlawful provision shall be deemed to be modified only to the extent and in the manner necessary to render it lawful or, if such modification is impossible, the said unlawful provision shall be deemed to be severable from the remaining provisions hereof and pro non scripto. 16. BKBLOUWID shall be entitled, without prior notice, to add to, curtail or alter these terms and conditions by making announcements before or during the auction. 17. Where, in respect of this transaction, BKBLOUWID provides the SELLER or BUYER with a computerprocessed account, sale or invoice after the issue of this one, the terms and conditions hereof shall remain binding and unaffected by such account, sale or invoice. 18.If any of the details in respect of this have to be amended or changed for any reason, BKBLOUWID can amend this transaction by issuing a credit note for the full amount and delivering a debit note for the correct details and amount and upon delivery of such credit note and debit note, the terms and conditions hereof amended mutatis mutandis by such credit and debit note shall remain valid and enforceable. 19.This transaction shall in all respects be governed by and construed in accordance with such laws of the Republic of South Africa and all disputes, actions and other matters in connection herewith shall be determined in accordance with such laws. 20.When concluding this agreement the SELLER is already, from whatsoever cause arising, indebted to BKBLOUWID or any subsidiary or firm of BKBLOUWID then the SELLER hereby irrevocably authorises BKBLOUWID to credit the purchase price (less BKBLOUWID’s commission) to the SELLER’s account in payment of the purchase price on behalf of the BUYER.
